<legis-type>A BILL</legis-type> 
<official-title>To amend the Employee Retirement Income Security Act of 1974 and the Internal Revenue Code of 1986 to protect pension benefits of employees in defined benefit plans and to direct the Secretary of the Treasury to enforce the age discrimination requirements of the Internal Revenue Code of 1986.</official-title>

<section section-type="section-one" id="HED6D7258BEC442C49DDE10D9BA31D869" display-inline="no-display-inline"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Pension Benefits Protection Act of 2005</short-title></quote>.</text></section> 
<section id="HC721C862A96A4E62BB5993181B5CFD39"><enum>2.</enum><header>Proper administration of internal revenue laws and nondiscrimination requirements</header> 
<subsection id="HD4E919652FE54383AA005BB608DE745"><enum>(a)</enum><header>In general</header><text>The Secretary of the Treasury shall take no action in contravention of section 204(b)(1)(G), 204(b)(1)(H)(i), or 204(g) of the <act-name parsable-cite="ERISA">Employee Retirement Income Security Act of 1974</act-name>, section 411(b)(1)(G), 411(b)(1)(H)(i), or 411(d)(6) of the Internal Revenue Code of 1986, or section 4(i)(1)(A) of the Age Discrimination in Employment Act of 1967.</text></subsection> 
<subsection id="H931339557EA346668900D5B21603962B"><enum>(b)</enum><header>Directive</header><text>The Secretary of the Treasury shall apply <external-xref legal-doc="usc" parsable-cite="usc/26/411">section 411(b)(1)(H)</external-xref> of the Internal Revenue Code of 1986 without regard to the portion of the preamble to Treasury Decision 8360 (56 Fed. Reg. 47524–47603, September 19, 1991) which relates to the allocation of interest adjustments through normal retirement age under a cash balance plan, as such preamble is and has been since its adoption without the force of law.</text></subsection></section> 
<section id="H09A707178DC14A23A14802B372DEA057"><enum>3.</enum><header>Protection of participants from conversions to hybrid defined benefit plans</header> 
<subsection id="HCBEE9252DD1C453A8CAB6EAFB836769C"><enum>(a)</enum><header>Election to maintain rate of accrual in effect before plan amendment</header> 
<paragraph id="HC88974FB8CCA4F4D8ED9EC17FD435C77"><enum>(1)</enum><header>Amendment to ERISA</header><text>Section 204(b)(1) of the <act-name parsable-cite="ERISA">Employee Retirement Income Security Act of 1974</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/29/1054">29 U.S.C. 1054(b)(1)</external-xref>) is amended by adding at the end the following new subparagraph:</text> 
<quoted-block act-name="Employee Retirement Income Security Act of 1974" id="H898DAB5ED0744A7689BD9B4E0B8B7E7"> 
<subparagraph id="H0867A8A362174C69B97323F6840519F6" indent="up2"><enum>(I)</enum> 
<clause display-inline="yes-display-inline" id="H73B54095B1554141968CBAE5C00E1B0"><enum>(i)</enum><text>Notwithstanding the preceding subparagraphs, in the case of a plan amendment to a defined benefit plan—</text> 
<subclause id="H644E5D35BE8744E69585031C5881ABD1" indent="up1"><enum>(I)</enum><text>which has the effect of converting the plan to a plan under which the accrued benefit is expressed to participants and beneficiaries as an amount other than an annual benefit commencing at normal retirement age (or which has a similar effect as determined under regulations issued under clause (iv)), and</text></subclause> 
<subclause id="H22E82CF6A7414C33B55CEE18092971BD" indent="up1"><enum>(II)</enum><text>which has the effect of reducing the rate of future benefit accrual of 1 or more participants, such plan shall be treated as not satisfying the requirements of this paragraph unless such plan meets the requirements of clause (ii).</text></subclause></clause> 
<clause id="H33DB1A823121421C8F03931E818F166E" indent="up1"><enum>(ii)</enum><text>A plan meets the requirements of this clause if the plan provides each participant who has attained 40 years of age or 10 years of service (as determined under section 203) under the plan at the time such amendment takes effect with—</text> 
<subclause id="HAEE145AA6064489D9DCBEA4CA517B1D"><enum>(I)</enum><text>notice of the plan amendment indicating that it has such effect, including a comparison of the present and projected values of the accrued benefit determined both with and without regard to the plan amendment, and</text></subclause> 
<subclause id="H6704B7755FB440C795D489135C7E4BC7"><enum>(II)</enum><text>an election upon retirement to either receive benefits under the terms of the plan as in effect at the time of retirement or to receive benefits under the terms of the plan as in effect immediately before the effective date of such plan amendment (taking into account all benefit accruals under such terms since such date).</text></subclause></clause> 
<clause id="HF9F2F34BF26146B3A47070EACA106DCA" indent="up1"><enum>(iii)</enum><text>For purposes of clause (i), an accrued benefit shall include any early retirement benefit or retirement-type subsidy (within the meaning of subsection (g)(2)(A)), but only with respect to a participant who satisfies (either before or after the effective date of the amendment) the conditions for the benefit or subsidy under the terms of the plan as in effect immediately before such date.</text></clause> 
<clause id="H17914A9A7EF044DEAE06FFD6A7AAA2C" indent="up1"><enum>(iv)</enum><text>The Secretary shall issue regulations under which any plan amendment which has an effect similar to the effect described in clause (i)(I) shall be treated as a plan amendment described in clause (i)(I). Such regulations may provide that if a plan sponsor represents in communications to participants and beneficiaries that a plan amendment has an effect described in the preceding sentence, such plan amendment shall be treated as a plan amendment described in clause (i)(I).</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph> 
<paragraph id="HEA05EC836F814C61B626BA09B1AA6949"><enum>(2)</enum><header>Amendment to Internal Revenue Code</header><text><external-xref legal-doc="usc" parsable-cite="usc/26/411">Section 411(b)(1)</external-xref> of the Internal Revenue Code of 1986 (relating to accrued benefit requirements for defined benefit plans) is amended by adding at the end the following new subparagraph:</text>

<subparagraph id="HBF7460019B8C4B92BC7F5FEA500F795"><enum>(I)</enum><header>Election to maintain rate of accrual in effect before certain plan amendments</header> 
<clause id="H6E252DC55C424F1088D1002E678CF571"><enum>(i)</enum><header>In general</header><text>Notwithstanding the preceding subparagraphs, in the case of a plan amendment to a defined benefit plan—</text> 
<subclause id="H50E6F745D3654606A162D02143A622C7"><enum>(I)</enum><text>which has the effect of converting the plan to a plan under which the accrued benefit is expressed to participants and beneficiaries as an amount other than an annual benefit commencing at normal retirement age (or which has a similar effect as determined under regulations issued under clause (iv)), and</text></subclause> 
<subclause id="H37D8736569C44F45B893848E713B45C4"><enum>(II)</enum><text>which has the effect of reducing the rate of future benefit accrual of 1 or more participants, such plan shall be treated as not satisfying the requirements of this paragraph unless such plan meets the requirements of clause (ii).</text></subclause></clause> 
<clause id="HEE50E4391F684AC397BC0095C2C2DF31"><enum>(ii)</enum><header>Requirements</header><text>A plan meets the requirements of this clause if the plan provides each participant who has attained 40 years of age or 10 years of service (as determined under subsection (a)) under the plan at the time such amendment takes effect with—</text> 
<subclause id="HB0B0DFE9C6AA40C786E72C54009380AD"><enum>(I)</enum><text>notice of the plan amendment indicating that it has such effect, including a comparison of the present and projected values of the accrued benefit determined both with and without regard to the plan amendment, and</text></subclause> 
<subclause id="HCDE695398A2042DD8D3ED1C2711EC4E"><enum>(II)</enum><text>an election upon retirement to either receive benefits under the terms of the plan as in effect at the time of retirement or to receive benefits under the terms of the plan as in effect immediately before the effective date of such plan amendment (taking into account all benefit accruals under such terms since such date).</text></subclause></clause> 
<clause id="H960B1149E11F4114A67207B79C2FB2"><enum>(iii)</enum><header>Treatment of early retirement benefits and retirement-type subsidies</header><text>For purposes of clause (i), an accrued benefit shall include any early retirement benefit or retirement-type subsidy (within the meaning of subsection (d)(6)(B)(i)), but only with respect to a participant who satisfies (either before or after the effective date of the amendment) the conditions for the benefit or subsidy under the terms of the plan as in effect immediately before such date.</text></clause> 
<clause id="H565B3E6B09434605B74376D8A0C215C4"><enum>(iv)</enum><header>Regulations</header><text>The Secretary shall issue regulations under which any plan amendment which has an effect similar to the effect described in clause (i)(I) shall be treated as a plan amendment described in clause (i)(I). Such regulations may provide that if a plan sponsor represents in communications to participants and beneficiaries that a plan amendment has an effect described in the preceding sentence, such plan amendment shall be treated as a plan amendment described in clause (i)(I).</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="HE0E910BE263A40D78D05638400857B1B"><enum>(b)</enum><header>Effective date and related rules</header> 
<paragraph id="HAE27687B8DB649D2895D6E6489C0FD10"><enum>(1)</enum><header>In general</header><text>The amendments made by this section apply to plan amendments taking effect before, on, or after the date of the enactment of this Act.</text></paragraph> 
<paragraph id="HA1E45136E0574C5C8CE7E7D37173D575"><enum>(2)</enum><header>Special rule</header><text>In the case of a plan amendment taking effect before 90 days after the date of the enactment of this Act, the requirements of section 204(b)(1)(I) of the <act-name parsable-cite="ERISA">Employee Retirement Income Security Act of 1974</act-name> (as added by this section) and <external-xref legal-doc="usc" parsable-cite="usc/26/411">section 411(b)(1)(I)</external-xref> of the Internal Revenue Code of 1986 (as added by this section) shall be treated as satisfied in connection with such plan amendment, in the case of any participant described in such sections 204(b)(1)(I) and 411(b)(1)(I) in connection with such plan amendment, if, as of the end of such 90-day period—</text> 
<subparagraph id="HF8A4B09B89D9446E842CF5C1B4E7533D"><enum>(A)</enum><text>the notice described in clause (i)(I) of such section 204(b)(1)(I) and clause (i)(I) of such section 411(b)(1)(I) in connection with such plan amendment has been provided to such participant, and</text></subparagraph> 
<subparagraph id="H3D33921EF6664806A5D1F9BC002155E0"><enum>(B)</enum><text>the plan provides for the election described in clause (i)(II) of such section 204(b)(1)(I) and clause (i)(II) of such section 411(b)(1)(I) in connection with such participant’s retirement under the plan.</text></subparagraph></paragraph></subsection></section> 
<section id="HBCCBE7E4129041519DCA14ACC9AB9D7D"><enum>4.</enum><header>Prevention of wearing away of employee’s accrued benefit</header> 
<subsection id="H7A08D22DA334414682504C2CCC700059"><enum>(a)</enum><header>Amendment to ERISA</header><text>Section 204(g) of the <act-name parsable-cite="ERISA">Employee Retirement Income Security Act of 1974</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/29/1054">29 U.S.C. 1054(g)</external-xref>) is amended by adding at the end the following new paragraph:</text> 
<quoted-block act-name="Employee Retirement Income Security Act of 1974" id="H7068D0BF7EDA4774892277310846A792"> 
<paragraph id="HE06103BB56C74A40958F005DB0D6A8C" indent="up1"><enum>(6)</enum> 
<subparagraph display-inline="yes-display-inline" id="HB9E212DFB4C5457FBEA0F115AA08B4F"><enum>(A)</enum><text>For purposes of paragraph (1), an applicable plan amendment adopted by a large defined benefit plan shall be treated as reducing accrued benefits of a participant if, under the terms of the plan after the adoption of the amendment, the accrued benefit of the participant may at any time be less than the sum of—</text> 
<clause id="H543FD0E46D3F4B6BBCA5E789C9B03CDA" indent="up1"><enum>(i)</enum><text>the participant’s accrued benefit for years of service before the effective date of the amendment, determined under the terms of the plan as in effect immediately before the effective date, plus</text></clause> 
<clause id="HE1009EBBD7ED499D9280A0227B656B18" indent="up1"><enum>(ii)</enum><text>the participant’s accrued benefit determined under the formula applicable to benefit accruals under the current plan as applied to years of service after such effective date.</text></clause></subparagraph> 
<subparagraph id="HE7744434B9F14C23912B5C34122F20CE" indent="up1"><enum>(B)</enum><text>For purposes of this paragraph—</text> 
<clause id="H6104ED6634544854A424E707CF257126"><enum>(i)</enum><text>The term <term>applicable plan amendment</term> means a plan amendment which has the effect of converting the plan to a plan under which the accrued benefit is expressed to participants and beneficiaries as an amount other than an annual benefit commencing at normal retirement age (or which has a similar effect as determined under regulations of the Secretary).</text></clause> 
<clause id="H0FAF5ED078A948AA88CB32B3669D437F"><enum>(ii)</enum><text>The term <term>large defined benefit plan</term> means any defined benefit plan which had 100 or more participants who had accrued a benefit under the plan (whether or not vested) as of the last day of the plan year preceding the plan year in which the plan amendment becomes effective.</text></clause> 
<clause id="H893D698A48DA4CEDBFF4E1D1006F8ED5"><enum>(iii)</enum><text>An accrued benefit shall include any early retirement benefit or retirement-type subsidy (within the meaning of paragraph (2)(A)), but only with respect to a participant who satisfies (either before or after the effective date of the amendment) the conditions for the benefit or subsidy under the terms of the plan as in effect immediately before such date.</text></clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H5FA8B87B814548AA84E949CE4FF95BF3"><enum>(b)</enum><header>Amendment to Internal Revenue Code</header><text><external-xref legal-doc="usc" parsable-cite="usc/26/411">Section 411(d)(6)</external-xref> of the Internal Revenue Code of 1986 (relating to accrued benefit may not be decreased by amendment) is amended by adding at the end the following new subparagraph:</text>

<subparagraph id="HF38DCAC6DCE340B6AEF4001E7C9D2454"><enum>(F)</enum><header>Treatment of plan amendments wearing away accrued benefit</header> 
<clause id="H8D7694D8031A469F8EB8F330DB4DCEDE"><enum>(i)</enum><header>In general</header><text>For purposes of subparagraph (A), an applicable plan amendment adopted by a large defined benefit plan shall be treated as reducing accrued benefits of a participant if, under the terms of the plan after the adoption of the amendment, the accrued benefit of the participant may at any time be less than the sum of—</text> 
<subclause id="HAC3548879BC6487B904064437C26B3B7"><enum>(I)</enum><text>the participant’s accrued benefit for years of service before the effective date of the amendment, determined under the terms of the plan as in effect immediately before the effective date, plus</text></subclause> 
<subclause id="H367D2952947F4B3B932C975890AAF5B7"><enum>(II)</enum><text>the participant’s accrued benefit determined under the formula applicable to benefit accruals under the current plan as applied to years of service after such effective date.</text></subclause></clause> 
<clause id="HE5B87F3543964D1B9DF0E381D4DC4981"><enum>(ii)</enum><header>Definitions</header><text>For purposes of this subparagraph—</text> 
<subclause id="HBE3AFE1D350C4C269FD5C0317DBD895"><enum>(I)</enum><header>Applicable plan amendment</header><text>The term <term>applicable plan amendment</term> means a plan amendment which has the effect of converting the plan to a plan under which the accrued benefit is expressed to participants and beneficiaries as an amount other than an annual benefit commencing at normal retirement age (or which has a similar effect as determined under regulations of the Secretary).</text></subclause> 
<subclause id="HDC15C36B5E904D75BE3D221626D763F"><enum>(II)</enum><header>Large defined benefit plan</header><text>The term <term>large defined benefit plan</term> means any defined benefit plan which had 100 or more participants who had accrued a benefit under the plan (whether or not vested) as of the last day of the plan year preceding the plan year in which the plan amendment becomes effective.</text></subclause> 
<subclause id="H459B0D65D0A743DEB61EEA773514DE6F"><enum>(III)</enum><header>Protected accrued benefit</header><text>An accrued benefit shall include any early retirement benefit or retirement-type subsidy (within the meaning of subparagraph (B)(i)), but only with respect to a participant who satisfies (either before or after the effective date of the amendment) the conditions for the benefit or subsidy under the terms of the plan as in effect immediately before such date.</text></subclause></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H5585988804EC4A9683E6A40710BAFE9F"><enum>(c)</enum><header>Effective date and related rules</header> 
<paragraph id="H9E6AEE453A7B49DF92BB68634DA53C7E"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (2), the amendments made by this section apply to plan amendments taking effect before, on, or after the date of the enactment of this Act.</text></paragraph> 
<paragraph id="H3CCBC424A1024494B6B9F6C00104FB1"><enum>(2)</enum><header>Special rule</header><text>Notwithstanding paragraph (1), the amendments made by this section shall not apply in connection with any participant with respect to any plan amendment which has taken effect before 90 days after the date of the enactment of this Act if, as of the end of such 90-day period, the plan provides that the participant’s accrued benefit shall at no time be less than the sum described in section 204(g)(6)(A) of the <act-name parsable-cite="ERISA">Employee Retirement Income Security Act of 1974</act-name> (as added by this section) or <external-xref legal-doc="usc" parsable-cite="usc/26/411">section 411(d)(6)(F)(i)</external-xref> of the Internal Revenue Code of 1986 (as added by this section) in connection with such plan amendment.</text></paragraph></subsection></section>
