<section id="H423970C10E0642A88D6F73DBD6DFEAE" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">The Act may be cited as the <quote>Small Business Freedom to Lend Act of 2005</quote>.</text></section> 
<section id="H894CAAB21D4443CB835D3C11342BF629"><enum>2.</enum><header>Purpose</header> <text display-inline="no-display-inline">The purpose of this Act is as follows:</text> 
<paragraph id="H82A6177675C64D12BE0568EF18AE0F8"><enum>(1)</enum><text>To permit experienced and successful certified development companies to share their expertise and make loans in multiple States.</text></paragraph> 
<paragraph id="H622B3BED66D8482A94C4C41F00C5E6D3"><enum>(2)</enum><text display-inline="yes-display-inline">To eliminate burdensome rules that require qualified companies to create and maintain separate and distinct memberships, officers, boards of directors, and loan committees in each State they seek to serve.</text></paragraph></section> 
<section id="H39ABC3574A9F4D4B863169FEB52E69C9"><enum>3.</enum><header>Pilot program to eliminate certain restrictions on eligible certified development companies</header> 
<subsection id="HB47BAEB7F05F496F9D42733579B33950"><enum>(a)</enum><header>Establishment</header><text>The Administrator of the Small Business Administration shall establish a three-year pilot program to permit an eligible certified development company to make loans in any State that is contiguous to the State of incorporation of that company.</text></subsection> 
<subsection id="HACEA81D9DEBF46C4A4708C0158642761"><enum>(b)</enum><header>Eligible certified development company</header> 
<paragraph id="HA3C907887AF847E993D112B564D0514B"><enum>(1)</enum><header>In general</header><text>To be eligible to participate in the pilot program established under subsection (a), a certified development company shall—</text> 
<subparagraph id="H18B3A15B43EF46719DC20C33E77E2E6"><enum>(A)</enum><text>be designated as—</text> 
<clause id="H1B6A154AB25145F2A2E93772E57CA801"><enum>(i)</enum><text>an accredited lender under section 507 of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/697d">15 U.S.C. 697d</external-xref>); or</text></clause> 
<clause id="H1F4122661AD44211BF8B30BEC0086F1"><enum>(ii)</enum><text>a premier certified lender under section 508 of such Act (<external-xref legal-doc="usc" parsable-cite="usc/15/697e">15 U.S.C. 697e</external-xref>); and</text></clause></subparagraph> 
<subparagraph id="H01FC2F0B76F74F69A312DFD9348F094B"><enum>(B)</enum><text>submit to the Administrator—</text> 
<clause id="H52E6C20BAD2549F8A248FFE014185EF3"><enum>(i)</enum><text>a written notice of intention to participate in the pilot program; and</text></clause> 
<clause id="H270B33A018D641E885625053E6369FE3"><enum>(ii)</enum><text>the names of the States in which the company intends to make loans.</text></clause></subparagraph></paragraph> 
<paragraph id="HEFDF70401A8C44CDB70184F555E54304"><enum>(2)</enum><header>No requirement of separate memberships, officers, boards of directors, or loan committees</header><text>A certified development company that is eligible under paragraph (1) shall be eligible regardless of whether it maintains, in each State in which it makes loans or intends to make loans, separate and distinct memberships, officers, boards of directors, and loan committees.</text></paragraph></subsection> 
<subsection id="HFB8DD5F08FCD4FE99CB0C043D80300FC"><enum>(c)</enum><header>Report</header><text>Not later than 2 years after the date of the enactment of this Act, the Administrator of the Small Business Administration shall submit to Congress a report evaluating the success of the pilot program established under subsection (a), which shall include the number of companies that submitted applications to participate in such pilot program.</text></subsection></section> 
<section id="H2ECF708C16804B86B256ED6182F6581C"><enum>4.</enum><header>Membership, officers, and boards of directors of certified development companies</header><text display-inline="no-display-inline">Section 503 of the Small Business Investment Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637</external-xref>) is amended—</text> 
<paragraph id="HCD0BD6C1267C4C89B16CDE535846B32B"><enum>(1)</enum><text>by striking <quote><header-in-text level="section" style="OLC">Sec. 503</header-in-text> (e)(3). Notwithstanding any other provision of law</quote> and inserting the following: <quote>(3) Notwithstanding any other provision of law</quote>; and</text></paragraph> 
<paragraph id="H4AC539989FA942849100ACE464E97669"><enum>(2)</enum><text>in subsection (e), by inserting after paragraph (3), as redesignated by paragraph (1), the following new paragraph:</text> 
<quoted-block style="OLC" id="H0DD53C21750A4DF9B0CD4CF3008E2C2F" display-inline="no-display-inline"> 
<paragraph id="H78AC86487E054FC99239DBD5EE3F25DE"><enum>(4)</enum><text display-inline="yes-display-inline">An officer, director, or manager of a qualified State or local development company may serve as an officer, director, or manager of another qualified State or local development company.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block> </paragraph></section>
