<section section-type="section-one" id="HF95A0315CECC4B3BB2C218EAFBD53CC" display-inline="no-display-inline"><enum>1.</enum><header>Charter for Irish American Cultural Institute</header><text display-inline="no-display-inline">Part B of subtitle II of title 36, United States Code, is amended—</text> 
<paragraph id="H471C63459AEF46E5BB882FA6A1B2BF00"><enum>(1)</enum><text>by redesignating chapter 1001 as chapter 1003;</text></paragraph> 
<paragraph id="H8265437F3AB84D348E4474D3A2D783E6"><enum>(2)</enum><text>by redesignating sections 100101 through 100110, and the items relating thereto in the table of sections, as sections 100301 through 100310, respectively; and</text></paragraph> 
<paragraph id="H147BBB9ADF094BECBE39E48635BD1484"><enum>(3)</enum><text>by inserting after chapter 901 the following new chapter:</text>

<section section-type="subsequent-section" id="H3997A34E83C344F99DA6DABAFA419800"><enum>100101.</enum><header>Organization</header> 
<subsection id="H0C055F3051D743B6832B7627DD60E56E"><enum>(a)</enum><header>Federal charter</header><text>The Irish American Cultural Institute (in this chapter, the <quote>corporation</quote>), incorporated in New Jersey, is a federally chartered corporation.</text></subsection> 
<subsection id="H766F1376A7794BDBB26200BC672E5406"><enum>(b)</enum><header>Expiration of charter</header><text>If the corporation does not comply with any provision of this chapter, the charter granted by this chapter expires.</text></subsection></section> 
<section section-type="subsequent-section" id="HB683EC583E1F4917BB5F66B7DB7FCA61"><enum>100102.</enum><header>Purposes</header><text display-inline="no-display-inline">The purposes of the corporation are as provided in the articles of incorporation and include—</text> 
<paragraph id="H434606517DD54D1A87676E66682FC5D3"><enum>(1)</enum><text>establishing the Museum of Irish America in Washington, D.C., as the center of Irish American thought, dialogue, debate, and reflection;</text></paragraph> 
<paragraph id="H4BCA177F4E24430F87E89121D4548F10"><enum>(2)</enum><text>recognizing and recording a living memorial to the contributions of Irish-born and Irish Americans to the development of the United States;</text></paragraph> 
<paragraph id="HFAD628CC8ED746919D89FE8547CE418E"><enum>(3)</enum><text>providing a focal point for all Irish Americans, who make up 17 percent of the United States population, according to the 2000 census;</text></paragraph> 
<paragraph id="H4C4DEC575CDB45B799DF81D87B226224"><enum>(4)</enum><text>exploring past, current, and future events in Ireland and the United States, as they relate to Irish Americans and society as a whole;</text></paragraph> 
<paragraph id="HCD9ED5AE186D4C6794AA754E99E9A7C7"><enum>(5)</enum><text>documenting the tremendous contributions of Irish immigrants to the United States in the areas of architecture, military, politics, religion, labor, sports, literature, and art;</text></paragraph> 
<paragraph id="H998B19EA91934921BDA87F5F9300A1DA"><enum>(6)</enum><text>providing ongoing studies to ensure that the experiences of the past will benefit the future of both Ireland and the United States; and</text></paragraph> 
<paragraph id="H9F0297D5156240F1B4A3D408C54D612C"><enum>(7)</enum><text>establishing an Irish American Studies Program for students from both Ireland and the United States.</text></paragraph></section> 
<section section-type="subsequent-section" id="H4FCA7CC52A164C9F922B01ECF95C00"><enum>100103.</enum><header>Membership</header><text display-inline="no-display-inline">Eligibility for membership in the corporation and the rights and privileges of membership are as provided in the bylaws.</text></section> 
<section section-type="subsequent-section" id="H8E51F82C4C0C4AD7A426E033E0F7DF00"><enum>100104.</enum><header>Governing body</header> 
<subsection id="H8F6AF00F3D0F424A99C6A69F97E145B"><enum>(a)</enum><header>Board of directors</header><text>The board of directors and the responsibilities of the board are as provided in the articles of incorporation.</text></subsection> 
<subsection id="H5CE1E10C6050411B8395EC59EA08A125"><enum>(b)</enum><header>Officers</header><text>The officers and the election of officers are as provided in the articles of incorporation.</text></subsection></section> 
<section section-type="subsequent-section" id="H82F3C44D9B79476797CCBB2D46A142"><enum>100105.</enum><header>Powers</header><text display-inline="no-display-inline">The corporation shall have only the powers provided in its bylaws and articles of incorporation filed in each State in which it is incorporated.</text></section> 
<section section-type="subsequent-section" id="H0ECFB4AB0B434223BB4084B227A813B"><enum>100106.</enum><header>Exclusive right to name, seals, emblems, and badges</header><text display-inline="no-display-inline">The corporation has the exclusive right to use the name <quote>Irish American Cultural Institute</quote> and any seals, emblems, and badges relating thereto that the corporation adopts.</text></section> 
<section section-type="subsequent-section" id="H4FDDE6C92B7145E99959B9E333B9A941"><enum>100107.</enum><header>Restrictions</header> 
<subsection id="H8142DB94B7AC4CA1952BE378ACC5D5DC"><enum>(a)</enum><header>Stock and dividends</header><text>The corporation may not issue stock or declare or pay a dividend.</text></subsection> 
<subsection id="HCC3A21D082DC4A70AE298FD4B52B2BE"><enum>(b)</enum><header>Political activities</header><text>The corporation or a director or officer as such may not contribute to, support, or participate in any political activity or in any manner attempt to influence legislation.</text></subsection> 
<subsection id="HA89AB975FEA54BFDBB4ECBD1F838C2DB"><enum>(c)</enum><header>Distribution of income or assets</header><text>The income or assets of the corporation may not inure to the benefit of, or be distributed to, a director, officer, or member during the life of the charter granted by this chapter. This subsection does not prevent the payment of reasonable compensation to an officer or member in an amount approved by the board of directors.</text></subsection> 
<subsection id="H2A1C0802783546FF89D0FA04C7325B04"><enum>(d)</enum><header>Loans</header><text>The corporation may not make any loan to a director, officer, or employee.</text></subsection> 
<subsection id="HB1E1646E7C474BFA80BAFCA1A00DE3B"><enum>(e)</enum><header>Claim of governmental approval or authorization</header><text>The corporation may not claim congressional approval or the authority of the United States Government for any of its activities.</text></subsection></section> 
<section section-type="subsequent-section" id="H03630E4101A9496FA6F6BCDC6A48007"><enum>100108.</enum><header>Duty to maintain tax-exempt status</header><text display-inline="no-display-inline">The corporation shall maintain its status as an organization exempt from taxation under the Internal Revenue Code of 1986 (<external-xref legal-doc="usc" parsable-cite="usc/26/1">26 U.S.C. 1 et seq.</external-xref>).</text></section> 
<section section-type="subsequent-section" id="H1969662C2670455F93F518B4B28212B5"><enum>100109.</enum><header>Principal office</header><text display-inline="no-display-inline">The principal office of the corporation shall be in Morristown, New Jersey, or another place decided by the board of directors.</text></section> 
<section section-type="subsequent-section" id="H3652D6F0BE2A435A9097C7237C116187"><enum>100110.</enum><header>Records and inspection</header> 
<subsection id="H330782488D224775A62300AEDCB8EA02"><enum>(a)</enum><header>Records</header><text>The corporation shall keep—</text> 
<paragraph id="HFCE55A46E4C4495C8BC6FA88A1315486"><enum>(1)</enum><text>correct and complete books and records of account;</text></paragraph> 
<paragraph id="HF4F1350FEE524FC3ADA9D69C1E75312E"><enum>(2)</enum><text>minutes of the proceedings of its members, board of directors, and committees having any of the authority of its board of directors; and</text></paragraph> 
<paragraph id="HB31E1BDB514A473B92BC2DA5069D9CD5"><enum>(3)</enum><text>at its principal office, a record of the names and addresses of its members entitled to vote.</text></paragraph></subsection> 
<subsection id="H712BF6B803524E00973143E4DAC7C528"><enum>(b)</enum><header>Inspection</header><text>A member entitled to vote, or an agent or attorney of the member, may inspect the records of the corporation for any proper purpose, at any reasonable time.</text></subsection></section> 
<section section-type="subsequent-section" id="H2DB0F35EE4CA42D597F7E7C7BE964B1B"><enum>100111.</enum><header>Service of process</header><text display-inline="no-display-inline">The corporation shall comply with the law on service of process of each State in which it is incorporated and each State in which it carries on activities.</text></section> 
<section section-type="subsequent-section" id="HA73B17A6182F4E6DA85923A57359FD91"><enum>100112.</enum><header>Liability for acts of officers and agents</header><text display-inline="no-display-inline">The corporation is liable for the acts of its officers and agents acting within the scope of their authority.</text></section> 
<section section-type="subsequent-section" id="HA0072021B8F948F7B2007F68190511F4"><enum>100113.</enum><header>Annual report</header><text display-inline="no-display-inline">The corporation shall submit an annual report to Congress on the activities of the corporation during the prior fiscal year. The report shall be submitted at the same time as the report of the audit required by section 10101 of this title. The report shall not be printed as a public document.</text></section></chapter><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section> 
<section id="H85040BFD54CF4758BF759E1E907D9124"><enum>2.</enum><header>Clerical amendments</header><text display-inline="no-display-inline">The table of chapters at the beginning of subtitle II of title 36, United States Code, is amended—</text> 
<paragraph id="HD1F316082B0B4078AD83B0A533BF5F00"><enum>(1)</enum><text>in the item relating to chapter 1001, by striking <quote>1001</quote> and inserting <quote>1003</quote> and by striking <quote>100101</quote> and inserting <quote>100301</quote>; and</text></paragraph> 
<paragraph id="HD636957858874F42A5F08C7477C23638"><enum>(2)</enum><text>by inserting after the item relating to chapter 901 the following new item:</text>
