<official-title>To amend the Internal Revenue Code of 1986 to exempt from income tax the gain from the sale of a business closely held by an individual who has attained age 62, and for other purposes.</official-title>

<section id="H80E39283462F47FEB1FF3B1ED26E70FC" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Seniors’ Family Business Enhancement Act</short-title></quote>.</text></section> 
<section id="HF8A0FFD36E2B40BFB317BE856ED9CE86"><enum>2.</enum><header>Exclusion from income tax of gain from sale of closely held business by individuals who have attained age 62</header> 
<subsection id="H3B07032519F04CA796D73291E29F074C"><enum>(a)</enum><header>In general</header><text>Part III of subchapter B of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal Revenue Code of 1986 (relating to items specifically excluded from gross income) is amended by inserting after section 139A the following new section:</text>

<section id="H15B90A6642FA4D679C6C37EE37CB49AF"><enum>139B.</enum><header>Sale of closely held business by individuals who have attained age 62</header> 
<subsection id="HC15E397C21E0456AA556F3EE7C35F91B"><enum>(a)</enum><header>In general</header><text>In the case of an individual, gross income does not include the gain (whether received in single sum or otherwise) from the sale or exchange of a qualified interest in a closely held business if—</text> 
<paragraph id="H4484F1657FE44D079C7CEF73F7709F97"><enum>(1)</enum><text>the individual has attained age 62 before the date of such sale or exchange,</text></paragraph> 
<paragraph id="H82918694CC494F4C8E53C91F34CCF1CB"><enum>(2)</enum><text>the adjusted gross income of the individual for the tax year in which such sale or exchange occurs does not exceed $1,000,000 (determined without regard to such sale or exchange), and</text></paragraph> 
<paragraph id="HEC0713A705C84EC197B2F44537949BFD"><enum>(3)</enum><text>the individual so elects.</text></paragraph></subsection> 
<subsection id="H8C4EBAC5DF7A416CB28957F81744001B"><enum>(b)</enum><header>One-time exclusion</header><text>Subsection (a) shall not apply to any sale or exchange by the taxpayer if an election under subsection (a) with respect to any other sale or exchange is in effect.</text></subsection> 
<subsection id="H021E9CF55A8E46F7B8DD4D88405EFDF5"><enum>(c)</enum><header>Qualified interest in a closely held business</header> 
<paragraph id="H906CDD53335B4B87A1E81D0C17CCFC1"><enum>(1)</enum><header>In general</header><text>For purposes of subsection (a), the term <term>qualified interest in a closely held business</term> means an interest in a closely held business (as defined by section 6166(b)(1)) if the fair market value of the assets of such business is $500,000 or less, determined at the time of such sale or exchange.</text></paragraph> 
<paragraph id="H6A75D9AE371F4B72801FF01000C27036"><enum>(2)</enum><header>Rule for applying Section <enum-in-header>6166(b)(1)</enum-in-header></header><text>For purposes of paragraph (1), rules similar to rules of paragraphs (2) and (9) of subsection (b) and subsection (c) of section 6166 shall apply.</text></paragraph> 
<paragraph id="HFD7B116461614D8B955099BAE64BF5DF"><enum>(3)</enum><header>Aggregation rules</header><text>All persons treated as a single employer under subsection (a) or (b) of section 52 or subsection (m) or (o) of section 414 shall be treated as one person for purposes of paragraph (1).</text></paragraph></subsection> 
<subsection id="H7DC6673BBB75423E992FA57943CF62DF"><enum>(d)</enum><header>Election</header><text>An election under subsection (a) may be made or revoked at any time before the expiration of the period for making a claim for credit or refund of the tax imposed by this chapter for the taxable year in which the sale or exchange occurred.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H2AD0FA06CB6C4D1580418255D6C20018"><enum>(b)</enum><header>Clerical amendment</header><text>The table of sections for part III of subchapter B of chapter 1 of such Code is amended by inserting after the item relating to section 139A the following new item:</text>

<subsection id="H626733B6B2874C66917CECCB6644002C"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall apply to sales and exchanges made after December 31, 2004.</text></subsection></section>
