<official-title>To amend the Small Business Act to establish eligibility requirements for business concerns to receive awards under the Small Business Innovation Research Program.</official-title>

<section id="H2B5C237A3FF84057BC4473BC34DC6E08" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Save Biotechnology Innovative Research Act of 2005</quote> or <quote>SABIR Act</short-title></quote>. </text></section> 
<section id="HB2C02664C1F9431EA422C7B5C8FF676F"><enum>2.</enum><header>Eligibility for participation in Small Business Innovation Research Program</header> 
<subsection id="H3828D46F844E4713A33346B3D416A72F"><enum>(a)</enum><header>In general</header><text>Section 9 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/638">15 U.S.C. 638</external-xref>) is amended by adding at the end the following new subsection:</text> 
<quoted-block style="OLC" id="H913968DEAF0A4FC7B3D1C5009DC5D171" display-inline="no-display-inline"> 
<subsection id="HA46134EFACDA419B9CBB05CBA3268DFD"><enum>(x)</enum><header>Eligibility for participation in SBIR Program</header> 
<paragraph id="H6D9881EB87BA46C0AEF151C122E37600"><enum>(1)</enum><header>In general</header><text>To be eligible to receive an award under the SBIR program, a business concern—</text> 
<subparagraph id="HD99B7032F64F4D9B9C3530003B00D18"><enum>(A)</enum><text>shall have not more than 500 employees; and</text></subparagraph> 
<subparagraph id="HD3CF906E2ECC49D0922D009D9CAF23B7"><enum>(B)</enum><text>shall be owned in accordance with one of the ownership requirements described in paragraph (2).</text></subparagraph></paragraph> 
<paragraph id="HAD558AE05C6C4B21AC804F42E8B55F00"><enum>(2)</enum><header>Ownership requirements</header><text>The ownership requirements referred to in paragraph (1) are the following:</text> 
<subparagraph id="H3F974A60B96F449DAE8DF94E59DA4307"><enum>(A)</enum><text>The business concern is—</text> 
<clause id="H31448F1C41F74D0C85B3DF005FA0D597"><enum>(i)</enum><text>at least 51 percent owned and controlled by individuals or eligible venture capital companies, who are citizens of or permanent resident aliens in the United States; and</text></clause> 
<clause id="H787D49E1718A4A59A2C6D7C412F1E73D"><enum>(ii)</enum><text>not more than 49 percent owned and controlled by a single eligible venture capital company (or group of commonly-controlled eligible venture capital companies).</text></clause></subparagraph> 
<subparagraph id="H906B0AF455944849006D20A3F2F11CDD"><enum>(B)</enum><text>The business concern is at least 51 percent owned and controlled by another business concern that is itself at least 51 percent owned and controlled by individuals who are citizens of or permanent resident aliens in the United States.</text></subparagraph> 
<subparagraph id="HE7E0E6FA41BD43E59969CEF686D89515"><enum>(C)</enum><text>The business concern is a joint venture in which each entity to the joint venture meets one of the ownership requirements under this paragraph.</text></subparagraph></paragraph> 
<paragraph id="HD3D9B0045982455D8B01002D126FDA54" commented="no"><enum>(3)</enum><header>Employee defined</header><text>For purposes of paragraph (1)(A), the term <quote>employee</quote> means an individual employed by the business concern and does not include—</text> 
<subparagraph id="H202F64FC20E64DFD009CD5DAB657E076"><enum>(A)</enum><text>an individual employed by an eligible venture capital company providing financing to the business concern; or</text></subparagraph> 
<subparagraph id="H7C6740BCAAD041FFBF6E536E2345BE93"><enum>(B)</enum><text>an individual employed by any entity in which the eligible venture capital company is invested other than that business concern.</text></subparagraph></paragraph> 
<paragraph id="H8C015843107E432F946860F140E7F6F"><enum>(4)</enum><header>Treatment of other forms of ownership</header> 
<subparagraph id="H98AE7E17F616478999929063CB3F156B"><enum>(A)</enum><header>Stock option ownership</header><text>For purposes of this subsection, in the case of a business concern owned in whole or in part by an employee stock option plan, each stock trustee or plan member shall be deemed to be an owner. </text></subparagraph> 
<subparagraph id="H06D2F8954C154B12919348E8F7FA4F7"><enum>(B)</enum><header>Trust ownership</header><text>For purposes of this subsection, in the case of a business concern owned in whole or in part by a trust, each trustee or trust beneficiary shall be deemed to be an owner.</text></subparagraph></paragraph> 
<paragraph id="H17F1C5EA578D4EDAAEC227633100099B"><enum>(5)</enum><header>Exception for start-up concerns</header><text>Notwithstanding paragraphs (1) through (4), any business concern that is a start-up concern shall be eligible to receive funding under the SBIR program.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="HF6BEECF9E8CE4B6100C61C0088BB8B6D"><enum>(b)</enum><header>Definitions</header><text display-inline="yes-display-inline">Section 9(e) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/638">15 U.S.C. 638(e)</external-xref>) is amended by adding at the end the following new paragraphs:</text> 
<quoted-block style="OLC" id="H6C52B2FE75DE46A8BEFFBAF546F9EAD" display-inline="no-display-inline"> 
<paragraph id="H3DCED84864CC4C1AB3D9B13BEFB0039"><enum>(9)</enum><text>The term <quote>eligible venture capital company</quote> means a business concern—</text> 
<subparagraph id="H61BFFE1A112945D686856368266166CA"><enum>(A)</enum><text>that—</text> 
<clause id="H6973AACC00644E59A4E07C7D5B8E9EDC"><enum>(i)</enum><text>is a Venture Capital Operating Company, as that term is defined in regulations promulgated by the Secretary of Labor; or</text></clause> 
<clause id="HD331B9AD97E743EF8EEA5B473989CFC"><enum>(ii)</enum><text>is an entity that—</text> 
<subclause id="HCEBE2771694C4457A0A1661A1F136E3"><enum>(I)</enum><text>is registered under the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-51">15 U.S.C. 80a–51 et seq.</external-xref>); or</text></subclause> 
<subclause id="H179B8B55E9C246D2BC876764F1007404"><enum>(II)</enum><text display-inline="yes-display-inline">is an investment company, as defined in section 3(c)(14) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-3">15 U.S.C. 80a–3(c)(14)</external-xref>), which is not registered under such Act because it is beneficially owned by less than 100 persons; and</text></subclause></clause></subparagraph> 
<subparagraph id="HF9C3E3A5F9144483804B78011752CFCC"><enum>(B)</enum><text>that is not controlled by any business concern that is not a small business concern within the meaning of section 3.</text></subparagraph></paragraph> 
<paragraph id="H3294AA7580794FD79D58CA5E59E04081"><enum>(10)</enum><text>The term <quote>start-up concern</quote> means a business concern that—</text> 
<subparagraph id="H71FC064569F945E99052C0EF98CFBE52"><enum>(A)</enum><text>for at least 2 of the 3 preceding fiscal years has had—</text> 
<clause id="H8B0ED316533F415890E2CD8100E1CF44"><enum>(i)</enum><text>sales of not more than $3,000,000; or</text></clause> 
<clause id="HA3C8AF32A94E4DFC9941CD0009A965E6"><enum>(ii)</enum><text>no positive cash flow from operations; and</text></clause></subparagraph> 
<subparagraph id="H81295882390E4596816F9FE3798ECCBD"><enum>(B)</enum><text>is not formed to acquire any business concern other than a small business concern that meets the requirement under subparagraph (A).</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H19A0D04BDA194CB49700B18246547239" commented="no"><enum>(c)</enum><header>Regulations</header><text>Before the date that is 90 days after the date of the enactment of this Act, the Administrator of the Small Business Administration shall—</text> 
<paragraph id="H31A479806E2441A8B65D4FC63B3FBC84" commented="no"><enum>(1)</enum><text>in accordance with the exceptions to public rulemaking under section 553(b) (A) and (B) of title 5, United States Code, promulgate regulations to implement the provisions of this Act;</text></paragraph> 
<paragraph id="H104FC3BA5226419C9E7E4431DF1439F6" commented="no"><enum>(2)</enum><text>publish in the Federal Register a notification of the changes in eligibility for participation in the Small Business Innovation Research program made by this Act; and</text></paragraph> 
<paragraph id="H91D5DCB9BB2D460AB400E209716BBFE4" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">communicate such changes to Federal agencies that award grants under the Small Business Innovation Research program.</text></paragraph></subsection> 
<subsection id="H2F625964020740E1869FCE53B4D79EF3"><enum>(d)</enum><header>Effective date</header><text display-inline="yes-display-inline">The amendments made by this Act shall apply with respect to any business concern that participates in the Small Business Innovation Research program on or after the date of the enactment of this Act.</text></subsection></section>
