<legis-type>A BILL</legis-type> 
<official-title>To authorize the States (and subdivisions thereof), the District of Columbia, territories, and possessions of the United States to provide certain tax incentives to any person for economic development purposes.</official-title>

<section id="H85B4EC925E684B62AE8D001FEEFD83EC" section-type="section-one" display-inline="no-display-inline"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Economic Development Act of 2005</short-title></quote>.</text></section>
<section id="HAACC868B9A344ED1A5AFB89D7D1E73E0"><enum>2.</enum><header>Authorization</header><text display-inline="no-display-inline">Congress hereby exercises its power under Article I, Section 8, Clause 3 of the United States Constitution to regulate commerce among the several States by authorizing any State to provide to any person for economic development purposes tax incentives that otherwise would be the cause or source of discrimination against interstate commerce under the Commerce Clause of the United States Constitution, except as otherwise provided by law.</text></section>
<section id="H196BE0FE27AE4A08BE7D215946780055"><enum>3.</enum><header>Limitations</header>
<subsection id="H0FB029D76FC14D52A93B50A4C1990075"><enum>(a)</enum><header>Tax incentives not subject to protection under this Act</header><text display-inline="yes-display-inline">Section 2 shall not apply to any State tax incentive which—</text>
<paragraph id="HD7C00B73E1914325ADDCFB92F1D8DF9D"><enum>(1)</enum><text>is dependent upon State or country of incorporation, commercial domicile, or residence of an individual;</text></paragraph>
<paragraph id="HFE9417C99FF94224B53F7F007D33166F"><enum>(2)</enum><text>requires the recipient of the tax incentive to acquire, lease, license, use, or provide services to property produced, manufactured, generated, assembled, developed, fabricated, or created in the State;</text></paragraph>
<paragraph id="HF86EE4998C4646CBB78EA0D77EC5A258"><enum>(3)</enum><text>is reduced or eliminated as a direct result of an increase in out-of-State activity by the recipient of the tax incentive;</text></paragraph>
<paragraph id="H47A6FD1D703C4C2A95D848BEAECFF61D"><enum>(4)</enum><text>is reduced or eliminated as a result of an increase in out-of-State activity by a person other than the recipient of the tax incentive or as a result of such other person not having a taxable presence in the State;</text></paragraph>
<paragraph id="H728F6BF1CDC749BBB1FB659EB45626AD"><enum>(5)</enum><text>results in loss of a compensating tax system, because the tax on interstate commerce exceeds the tax on intrastate commerce;</text></paragraph>
<paragraph id="H326866086E1F4B4094CF6CF1BD414960"><enum>(6)</enum><text>requires that other taxing jurisdictions offer reciprocal tax benefits; or</text></paragraph>
<paragraph id="H74B080F5219345BBB3C0CBA88B92016F"><enum>(7)</enum><text>requires that a tax incentive earned with respect to one tax can only be used to reduce a tax burden for or provide a tax benefit against any other tax that is not imposed on apportioned interstate activities.</text></paragraph></subsection>
<subsection id="H58E5479B8D0C488C92B87D1700B7FFD4"><enum>(b)</enum><header>No inference</header><text>Nothing in this section shall be construed to create any inference with respect to the validity or invalidity under the Commerce Clause of the United States Constitution of any tax incentive described in this section.</text></subsection></section>
<section id="H5A860473ABEF442DA046B0FE2FE5B7C6"><enum>4.</enum><header>Definitions; rule of construction</header>
<subsection id="H5FFE7F4D3B754544B6893C1FDDBE24F8"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">For purposes of this Act—</text>
<paragraph id="HC031F422FBF74DB4BF3F63781202C1A4"><enum>(1)</enum><header>Compensating tax system</header><text>The term <term>compensating tax system</term> means complementary taxes imposed on both interstate and intrastate commerce where the tax on interstate commerce does not exceed the tax on intrastate commerce and the taxes are imposed on substantially equivalent events.</text></paragraph>
<paragraph id="HC508004A920B41F5B0E593983281347B"><enum>(2)</enum><header>Economic development purposes</header><text>The term <term>economic development purposes</term> means all legally permitted activities for attracting, retaining, or expanding business activity, jobs, or investment in a State.</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="HC5205B21112543A18E1B6B002C206762"><enum>(3)</enum><header>Imposed on apportioned interstate activities</header><text display-inline="yes-display-inline">The term <term>imposed on apportioned interstate activities</term> means, with respect to a tax, a tax levied on values that can arise out of interstate or foreign transactions or operations, including taxes on income, sales, use, gross receipts, net worth, and value added taxable bases. Such term shall not include taxes levied on property, transactions, or operations that are taxable only if they exist or occur exclusively inside the State, including any real property and severance taxes.</text></paragraph>
<paragraph id="H63B7D66029F4435AA63E00DE493C0006"><enum>(4)</enum><header>Person</header><text>The term <term>person</term> means any individual, corporation, partnership, limited liability company, association, or other organization that engages in any for profit or not-for-profit activities within a State .</text></paragraph>
<paragraph id="H01FF48E775A548EB8C23CB4F50D023CE"><enum>(5)</enum><header>Property</header><text>The term <term>property</term> means all forms of real, tangible, and intangible property.</text></paragraph>
<paragraph id="H6BD3BF2FBAD64BD6A1BEA8AE7FEDAA94"><enum>(6)</enum><header>State</header><text>The term <term>State</term> means each of the several States (or subdivision thereof), the District of Columbia, and any territory or possession of the United States.</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="H1EAA4F9CA67B45F1B3400950F18C1E00"><enum>(7)</enum><header>State tax</header><text display-inline="yes-display-inline">The term <term>State tax</term> means all taxes or fees imposed by a State.</text></paragraph>
<paragraph id="H2AD9FA42653E4B79B53D3BDBAF17768"><enum>(8)</enum><header>Tax benefit</header><text>The term <term>tax benefit</term> means all permanent and temporary tax savings, including applicable carrybacks and carryforwards, regardless of the taxable period in which the benefit is claimed, received, recognized, realized, or earned.</text></paragraph>
<paragraph id="HA59BD1DDDE3A436EB498CBF16C00E27D"><enum>(9)</enum><header>Tax incentive</header><text>The term <term>tax incentive</term> means any provision that reduces a State tax burden or provides a tax benefit as a result of any activity by a person that is enumerated or recognized by a State tax jurisdiction as a qualified activity for economic development purposes.</text></paragraph></subsection>
<subsection id="HD8AA99419093491E95B1F487F5A1FD37"><enum>(b)</enum><header>Rule of construction</header><text>It is the sense of Congress that the authorization provided in section 2 should be construed broadly and the limitations in section 3 should be construed narrowly.</text></subsection></section>
<section id="HEBECBEB8E0EA4CB187D459763B54C6F"><enum>5.</enum><header>Severability</header><text display-inline="no-display-inline">If any provision of this Act or the application of any provision of this Act to any person or circumstance is held to be unconstitutional, the remainder of this Act and the application of the provisions of this Act to any person or circumstance shall not be affected by the holding.</text></section>
<section id="HDB9A6BE162034C3CACA1235866A12858"><enum>6.</enum><header>Effective date</header><text display-inline="no-display-inline">This Act shall apply to any State tax incentive enacted before, on, or after the date of the enactment of this Act.</text></section>
