<subsection id="H519A21030E6442269F55B1A35FC6745F"><enum>(a)</enum><header>Grant of Charter</header><text>Part B of subtitle II of title 36, United States Code, is amended by inserting after chapter 1503 the following chapter:</text>

<section id="H4C65FB6C20FC47BC8B264700CD97E4ED"><enum>150401.</enum><header>Definition</header><text display-inline="no-display-inline">For purposes of this chapter, <term>State</term> includes the District of Columbia and the territories and possessions of the United States.</text></section> 
<section id="H44865BEBED374B07B3B97DE4997019F"><enum>150402.</enum><header>Organization</header> 
<subsection id="H7A013991F49B4980B8DFF300AD00D918"><enum>(a)</enum><header>Federal charter</header><text>The National Academies of Practice (in this chapter, the <quote>corporation</quote>), a nonprofit corporation incorporated in the District of Columbia, is a federally chartered corporation</text></subsection> 
<subsection id="H24C6D8DADE1549B6A3454824B5F04E00"><enum>(b)</enum><header>Expiration</header><text display-inline="yes-display-inline">If the corporation does not comply with any provision of this chapter, the charter granted by this chapter expires.</text></subsection></section> 
<section id="H9A1E331578AD4D28BF22B7A8BC28C677"><enum>150403.</enum><header>Purposes</header><text display-inline="no-display-inline">The purposes of the corporation are as provided in the articles of incorporation and include the following:</text> 
<paragraph id="H7165D94C36F343C9AE1CD59200004D5D"><enum>(1)</enum><text>Honoring persons who have made significant contributions to the practice of applied dentistry, medicine, nursing, optometry, osteopathy, pharmacy, podiatry, psychology, social work, veterinary medicine, and other health care professions.</text></paragraph> 
<paragraph id="HC2F62DDE4988490989EC1FE66FFAC3AA"><enum>(2)</enum><text>Improving the effectiveness of such professions by disseminating information about new techniques and procedures, promoting interdisciplinary practices, and stimulating multidisciplinary exchange of scientific and professional information.</text></paragraph> 
<paragraph id="H19B3B09D9A7A4A24A9274088E78430FF"><enum>(3)</enum><text>Upon request, advising the President, the members of the President’s Cabinet, the Congress, Federal agencies, and other relevant groups about practitioner issues in health care and health care policy, from a multidisciplinary perspective.</text></paragraph></section> 
<section id="H3FC671D9301744DB848FABCDADE6597F"><enum>150404.</enum><header>Membership</header><text display-inline="no-display-inline">Eligibility for membership in the corporation and the rights and privileges of members are as provided in the bylaws of the corporation.</text> </section> 
<section id="HB24C652DCBD24494AC67FF16CC7DEC6C"><enum>150405.</enum><header>Governing body</header> 
<paragraph id="HE27573519C384F2DB7DDBA930586A521" indent="up1"><enum>(a)</enum><header>Board of Directors</header><text>The board of directors is the governing body of the corporation. The board may exercise, or provide for the exercise of, the powers of the corporation. The composition and the responsibilities of the board are as provided in the articles of incorporation and bylaws.</text></paragraph> 
<paragraph id="HBAD535DFC743454A8B3FD47CAB7272B4" indent="up1"><enum>(b)</enum><header>Officers</header><text>The officers of the corporation, the manner of electing the officers, and the powers of the officers are as provided in the articles of incorporation and bylaws.</text></paragraph></section> 
<section id="HF163F0A1965A4591AFCAF7F8780139EF"><enum>150406.</enum><header>Powers</header><text display-inline="no-display-inline">The corporation has only those powers provided in its bylaws and articles of incorporation filed in the State in which it is incorporated, subject to the laws of such State.</text></section> 
<section id="H471BDA6DA64B44929CD18D7967997DE1"><enum>150407.</enum><header>Restrictions</header> 
<subsection id="HCD5EA8350D354890A53344B200ECE200"><enum>(a)</enum><header>Stock and dividends</header><text>The corporation may not issue stock or declare or pay a dividend.</text></subsection> 
<subsection id="HCC2738B83B224E12AA907D9D6DB47EF3"><enum>(b)</enum><header>Political activities</header><text>The corporation, any officer, or any director of the corporation, acting as such officer or director, may not contribute to, support, or otherwise participate in any political activity or in any manner attempt to influence legislation.</text></subsection> 
<subsection id="HFBC01BE6B8224D82AA8B06D323AFCC8E"><enum>(c)</enum><header>Distribution of income and assets</header><text display-inline="yes-display-inline">The income or assets of the corporation may not inure to the benefit of, or be distributed to, a director, officer, or member during the life of the charter granted by this chapter. This subsection does not prevent the payment of reasonable compensation to an officer or member in an amount approved by the board of directors.</text></subsection> 
<subsection id="H692AC853DA604A8093EC457E7DA715E"><enum>(d)</enum><header>Loans</header><text>The corporation may not make a loan to any officer, director, or employee of the corporation.</text></subsection> 
<subsection id="HD0667FADE6964491BBDBB91C13D29B59"><enum>(e)</enum><header>Claims of Federal approval or authorization</header><text>Except by agreement, the corporation may not claim congressional approval or the authority of the United States Government for any of its activities.</text></subsection> 
<subsection id="H3F18C8FF3CDA476183C8216619B27600"><enum>(f)</enum><header>Federal advisory activities</header><text>While providing advice to Federal agencies, the corporation may be subject to the Federal Advisory Committee Act (5 U.S.C. Appendix; 86 stat. 700).</text></subsection></section> 
<section id="H0ECD0D03E30B4F7DA8CE7109002CCAEC"><enum>150408.</enum><header>Duty to maintain corporate and tax-exempt status</header><text display-inline="no-display-inline">The corporation shall maintain its status as an organization exempt from taxation as provided in the Internal Revenue Code of 1986 or any corresponding similar provision.</text></section> 
<section id="HCB53A2F7CDE3445E8290CC4CCCD88491"><enum>150409.</enum><header>Records and inspection</header> 
<subsection id="H9855DE753E6548CC908B7C8F70E05FE5"><enum>(a)</enum><header>Books and records of account</header><text>The corporation shall keep correct and complete books and records of account and shall keep minutes of any proceeding of the corporation involving any of its members, the board of directors, or any committee having authority under the board of directors.</text></subsection> 
<subsection id="H4DFEEFA9253840809BFD603158FA5FC"><enum>(b)</enum><header>Names and addresses of members</header><text>The corporation shall keep at its principal office a record of the names and addresses of all members having the right to vote in any proceeding of the corporation.</text></subsection> 
<subsection id="H9C584B024C4E4038985771EF21078754"><enum>(c)</enum><header>Right to inspect books and records</header><text>All books and records of the corporation may be inspected by any member having the right to vote, or by any agent or attorney of such member, for any proper purpose, at any reasonable time.</text></subsection> 
<subsection id="HBBED0A815C72432ABCC30045CE3D4423"><enum>(d)</enum><header>Application of State law</header><text>Nothing in this section shall be construed to contravene any applicable State law.</text></subsection></section> 
<section id="H51EC6AD0CC9F4B0B8D8FFA189EE13E0"><enum>150410.</enum><header>Service of process</header><text display-inline="no-display-inline">With respect to service of process, the corporation shall comply with the laws of the State in which it is incorporated and those States in which it carries on its activities in furtherance of its corporate purposes.</text></section> 
<section id="H0F03E615AAC94AAE85FC255EDC112804"><enum>150411.</enum><header>Liability for acts of officers and agents</header><text display-inline="no-display-inline">The corporation shall be liable for the acts of its officers and agents when acting within the scope of their authority.</text></section> 
<section id="H13FBB044961241ADB7BFB54BD7EFF638"><enum>150412.</enum><header>Annual report</header><text display-inline="no-display-inline">The corporation shall report annually to the Congress concerning the activities of the corporation during the preceding fiscal year. The report shall not be printed as a public document.</text></section> </chapter><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H40783FB706554F4587F4E5989851EBF9"><enum>(b)</enum><header>Clerical amendment</header><text>The table of chapters for subtitle II of title 36, United States Code, is amended by striking the item relating to chapter 1504 and inserting the following new item:</text>
