<legis-type>A BILL</legis-type> 
<official-title>To amend the Internal Revenue Code of 1986 to retain the estate tax with an immediate increase in the exemption, to repeal the new carryover basis rules in order to prevent tax increases and the imposition of compliance burdens on many more estates than would benefit from repeal, and for other purposes.</official-title>

<section id="HAB256D7A718948C9B2B0E47D5518AF30" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Certain and Immediate Estate Tax Relief Act of 2005</short-title></quote>.</text></section> 
<section section-type="subsequent-section" id="H89798C898CC0493BAF79380038ECE855" display-inline="no-display-inline"><enum>2.</enum><header>Retention of estate tax; repeal of carryover basis</header> 
<subsection id="H9CE614613AFF4662B940BC26E332E4DE"><enum>(a)</enum><header>In general</header><text>Subtitles A and E of title V of the Economic Growth and Tax Relief Reconciliation Act of 2001, and the amendments made by such subtitles, are hereby repealed; and the Internal Revenue Code of 1986 shall be applied as if such subtitles, and amendments, had never been enacted.</text></subsection> 
<subsection id="HC943BD7B74D047B7BD9E177CE880593C"><enum>(b)</enum><header>Sunset not to apply</header><text display-inline="yes-display-inline">Section 901 of the Economic Growth and Tax Relief Reconciliation Act of 2001 shall not apply to title V of such Act. </text></subsection> 
<subsection id="H1FAE5EFBD7E54CDD8772208B09237B73"><enum>(c)</enum><header>Conforming amendments</header><text>Subsections (d) and (e) of section 511 of the Economic Growth and Tax Relief Reconciliation Act of 2001, and the amendments made by such subsections, are hereby repealed; and the Internal Revenue Code of 1986 shall be applied as if such subsections, and amendments, had never been enacted.</text></subsection></section> 
<section id="HA19E7201526348A1A881C7366392975"><enum>3.</enum><header>Modifications to estate tax</header> 
<subsection id="H2C8D5B46A48B4657AF583EFB046C6469"><enum>(a)</enum><header>Immediate increase in exclusion equivalent of unified credit</header><text>Subsection (c) of <external-xref legal-doc="usc" parsable-cite="usc/26/2010">section 2010</external-xref> of the Internal Revenue Code of 1986 (relating to applicable credit amount) is amended by striking all that follows <quote>the applicable exclusion amount</quote> and inserting <quote>. For purposes of the preceding sentence, the applicable exclusion amount is $3,500,000 ($3,000,000 in the case of estates of decedents dying before 2009).</quote>.</text></subsection> 
<subsection id="H7D55334C55184B4698262F99A9C0D5DA"><enum>(b)</enum><header>Freeze maximum estate tax rate at 47 percent; restoration of phaseout of graduated rates and unified credit</header> 
<paragraph id="HBA123EDBD17F4FD38D449196F923EBA8"><enum>(1)</enum><text>Paragraph (1) of section 2001(c) of such Code is amended by striking the last 2 items in the table and inserting the following new item:</text>

<row><entry colname="col1" align="left" rowsep="0" stub-definition="txt-ldr" stub-hierarchy="1" leader-modify="force-ldr">“Over $2,000,000</entry><entry colname="col2" align="left" rowsep="0" leader-modify="clr-ldr">$780,800, plus 47 percent of the excess of such amount over $2,000,000.”.</entry></row></tbody></tgroup></table> </paragraph> 
<paragraph id="H041BA70D361A49A890FFD6F9D400F367"><enum>(2)</enum><text>Paragraph (2) of section 2001(c) of such Code is amended to read as follows:</text>

<paragraph id="H0C4DBAA3A3A541FD9F99C207DAAEC17"><enum>(2)</enum><header>Phaseout of graduated rates and unified credit</header><text>The tentative tax determined under paragraph (1) shall be increased by an amount equal to 5 percent of so much of the amount (with respect to which the tentative tax is to be computed) as exceeds $10,000,000. The amount of the increase under the preceding sentence shall not exceed the sum of the applicable credit amount under section 2010(c) and $159,200.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H370ACA728E774CDEA5CBCB061499C9A2"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall apply to estates of decedents dying, and gifts made, after December 31, 2005.</text></subsection></section> 
<section id="HA2384623558943B5A74525407EC10748"><enum>4.</enum><header>Valuation rules for certain transfers of nonbusiness assets; limitation on minority discounts</header> 
<subsection id="H86FB885805AF4FFC8519758260BAA3C8"><enum>(a)</enum><header>In general</header><text><external-xref legal-doc="usc" parsable-cite="usc/26/2031">Section 2031</external-xref> of the Internal Revenue Code of 1986 (relating to definition of gross estate) is amended by redesignating subsection (d) as subsection (f) and by inserting after subsection (c) the following new subsections:</text>

<subsection id="HCE21E528F457406A9D7B63C9FC818733"><enum>(d)</enum><header>Valuation rules for certain transfers of nonbusiness assets</header><text>For purposes of this chapter and chapter 12—</text> 
<paragraph id="H4C47F2547E4F4B4B89F06900B879EDB7"><enum>(1)</enum><header>In general</header><text>In the case of the transfer of any interest in an entity other than an interest which is actively traded (within the meaning of section 1092)—</text> 
<subparagraph id="H65C604FA20EA4A6600D7A4E1AB51B29E"><enum>(A)</enum><text>the value of any nonbusiness assets held by the entity shall be determined as if the transferor had transferred such assets directly to the transferee (and no valuation discount shall be allowed with respect to such nonbusiness assets), and</text></subparagraph> 
<subparagraph id="HD7B20D9AA6E54C5E86642684E7C0098"><enum>(B)</enum><text>the nonbusiness assets shall not be taken into account in determining the value of the interest in the entity.</text></subparagraph></paragraph> 
<paragraph id="H86C0B58365D04A90A6DC191F26A93344"><enum>(2)</enum><header>Nonbusiness assets</header><text>For purposes of this subsection—</text> 
<subparagraph id="HCA3B26436266471BAFF4CA6BD0E31EE8"><enum>(A)</enum><header>In general</header><text>The term <term>nonbusiness asset</term> means any asset which is not used in the active conduct of 1 or more trades or businesses.</text></subparagraph> 
<subparagraph id="H6D671CCA07874A94A63CBBABABFAF4C"><enum>(B)</enum><header>Exception for certain passive assets</header><text>Except as provided in subparagraph (C), a passive asset shall not be treated for purposes of subparagraph (A) as used in the active conduct of a trade or business unless—</text> 
<clause id="H92E0D0571BD0446CA0E9C9601D56B82D"><enum>(i)</enum><text>the asset is property described in paragraph (1) or (4) of section 1221(a) or is a hedge with respect to such property, or</text></clause> 
<clause id="H3F09D55845FE4CEAA6DABCAEE001316"><enum>(ii)</enum><text>the asset is real property used in the active conduct of 1 or more real property trades or businesses (within the meaning of section 469(c)(7)(C)) in which the transferor materially participates and with respect to which the transferor meets the requirements of section 469(c)(7)(B)(ii).</text></clause><continuation-text continuation-text-level="subparagraph">For purposes of clause (ii), material participation shall be determined under the rules of section 469(h), except that section 469(h)(3) shall be applied without regard to the limitation to farming activity.</continuation-text></subparagraph> 
<subparagraph id="HB1B8B9B876E74951BCF6FECF0018F2E1"><enum>(C)</enum><header>Exception for working capital</header><text>Any asset (including a passive asset) which is held as a part of the reasonably required working capital needs of a trade or business shall be treated as used in the active conduct of a trade or business.</text></subparagraph></paragraph> 
<paragraph id="H3C24279E7C504018AD9F5481AA09F5FD"><enum>(3)</enum><header>Passive asset</header><text>For purposes of this subsection, the term <term>passive asset</term> means any—</text> 
<subparagraph id="H5DC60599CA174BAF80304E2D91BF00F2"><enum>(A)</enum><text>cash or cash equivalents,</text></subparagraph> 
<subparagraph id="HAB8933131425462D921800942235AC8D"><enum>(B)</enum><text>except to the extent provided by the Secretary, stock in a corporation or any other equity, profits, or capital interest in any entity,</text></subparagraph> 
<subparagraph id="H42B4AF8BFAEF4B1CB500372F4C98E1A5"><enum>(C)</enum><text>evidence of indebtedness, option, forward or futures contract, notional principal contract, or derivative,</text></subparagraph> 
<subparagraph id="HA2E3C0260F744A7ABEDC86E0DF17CC00"><enum>(D)</enum><text>asset described in clause (iii), (iv), or (v) of section 351(e)(1)(B),</text></subparagraph> 
<subparagraph id="HEC364028BC36403FB59C1E655F8FBAFE"><enum>(E)</enum><text>annuity,</text></subparagraph> 
<subparagraph id="H6677B6E34D394BACBAEE00DB36EA71E1"><enum>(F)</enum><text>real property used in 1 or more real property trades or businesses (as defined in section 469(c)(7)(C)),</text></subparagraph> 
<subparagraph id="H920D8C76FC7445DFA9E0F6330009D8EC"><enum>(G)</enum><text>asset (other than a patent, trademark, or copyright) which produces royalty income,</text></subparagraph> 
<subparagraph id="H50A0406EF290413B9046ACDD8564C9EC"><enum>(H)</enum><text>commodity,</text></subparagraph> 
<subparagraph id="HDB160812F3414583B371C3308D8B68A9"><enum>(I)</enum><text>collectible (within the meaning of section 401(m)), or</text></subparagraph> 
<subparagraph id="H300F4CE6F97749E69694B4FD83C5DAEC"><enum>(J)</enum><text>any other asset specified in regulations prescribed by the Secretary.</text></subparagraph></paragraph> 
<paragraph id="H2B33C020BC314520923862CA6E8486CA"><enum>(4)</enum><header>Look-thru rules</header> 
<subparagraph id="H1550E120E2284CA4BFE991C73BD4695"><enum>(A)</enum><header>In general</header><text>If a nonbusiness asset of an entity consists of a 10-percent interest in any other entity, this subsection shall be applied by disregarding the 10-percent interest and by treating the entity as holding directly its ratable share of the assets of the other entity. This subparagraph shall be applied successively to any 10-percent interest of such other entity in any other entity.</text></subparagraph> 
<subparagraph id="HF4ED95EE174641ED9428D574AE63953E"><enum>(B)</enum><header>10-percent interest</header><text>The term <term>10-percent interest</term> means—</text> 
<clause id="HE929BC013B504CCC9B2900E387C88200"><enum>(i)</enum><text>in the case of an interest in a corporation, ownership of at least 10 percent (by vote or value) of the stock in such corporation,</text></clause> 
<clause id="HD338EB50285646069F1B7936F8D65688"><enum>(ii)</enum><text>in the case of an interest in a partnership, ownership of at least 10 percent of the capital or profits interest in the partnership, and</text></clause> 
<clause id="H9D4C9151ABD9435EBEF263E38402FA3B"><enum>(iii)</enum><text>in any other case, ownership of at least 10 percent of the beneficial interests in the entity.</text></clause></subparagraph></paragraph> 
<paragraph id="H8373730D422D42B7BFBCF628D1C3F5C"><enum>(5)</enum><header>Coordination with subsection (b)</header><text>Subsection (b) shall apply after the application of this subsection.</text></paragraph></subsection> 
<subsection id="H78003C136BAC4345B6C4C051CE9E1C1D"><enum>(e)</enum><header>Limitation on minority discounts</header><text>For purposes of this chapter and chapter 12, in the case of the transfer of any interest in an entity other than an interest which is actively traded (within the meaning of section 1092), no discount shall be allowed by reason of the fact that the transferee does not have control of such entity if the transferee and members of the family (as defined in section 2032A(e)(2)) of the transferee have control of such entity.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H1A32891DB6E74823B719FD71C04B0027"><enum>(b)</enum><header>Effective date</header><text>The amendments made by this section shall apply to transfers after the date of the enactment of this Act.</text></subsection></section>
