<official-title>To amend the Internal Revenue Code of 1986 to require disclosure of lobbying activities by certain organizations.</official-title> 
</form> 
<legis-body id="HD34689E36D58450DA4C6B65EFEB650AC" style="OLC"> 
<section section-type="section-one" id="H71F347F2295E4F6DB9483E1F51B2A300" display-inline="no-display-inline"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stealth Lobbyist Disclosure Act of 2005</short-title></quote>.</text></section> 
<section id="H1AD255DB6F104C12AB3267DE6D6F20F7"><enum>2.</enum><header>Disclosure of lobbying activities by certain organizations</header> 
<subsection id="HC3627DD1017747EFA7A82774BE6D6E7B"><enum>(a)</enum><header>In general</header><text><external-xref legal-doc="usc" parsable-cite="usc/26/527">Section 527</external-xref> of the Internal Revenue Code of 1986 (relating to political organizations) is amended by adding at the end the following new subsection:</text> 
<quoted-block id="HDCA4FDCE1B664E0685FD2D2032A8932C"> 
<subsection id="H6691CBAE1ED44B78AE3E675E36DB127"><enum>(m)</enum><header>Disclosure of certain lobbying activities</header> 
<paragraph id="HAD05068571D945B0994F517FF1855B24"><enum>(1)</enum><header>In general</header><text>In the case of a coalition or association that is identified as a client on any registration filed under section 4 of the Lobbying Disclosure Act of 1995 and that is not a political organization (determined without regard to this paragraph)—</text> 
<subparagraph id="HD582EAFF3BF6473BAA00A9431706F92B"><enum>(A)</enum><text>such coalition or association shall be treated for purposes of this title as a separate entity which is a political organization, and</text></subparagraph> 
<subparagraph id="H939A9C4B1DCB430A925D5554F0254DA9"><enum>(B)</enum><text>this section shall be applied to such coalition or association with the following modifications:</text> 
<clause id="H16E90F28550A4B13895F28A937B8D0D2"><enum>(i)</enum><text>The function of conducting lobbying activities (as defined in section 3(7) of the Lobbying Disclosure Act of 1995) shall be treated as its exempt function.</text></clause> 
<clause id="H72231FCDDBD34C42A66F002FA3529CA6"><enum>(ii)</enum><text>The specific deduction under subsection (c)(2)(A) shall not be allowed.</text></clause> 
<clause id="H6DD49009D9904707B135C7DDFEC2B1CC"><enum>(iii)</enum><text>Subparagraphs (C) and (D) of subsection (c)(3) shall not apply.</text></clause> 
<clause id="H721986157BB24115ABD0B4BAE0199E5D"><enum>(iv)</enum><text>The disclosure requirements of paragraph (2) shall apply in lieu of the requirements of subsections (i) and (j).</text></clause></subparagraph><continuation-text continuation-text-level="paragraph">For purposes of subparagraph (B)(i), lobbying activities shall not include any activity described in subparagraph (C), (D), or (E) of section 4911(d)(2).</continuation-text></paragraph> 
<paragraph id="H98544680F2454EBFBD24F77500DD89CF"><enum>(2)</enum><header>Disclosure requirements</header> 
<subparagraph id="HE7A9B6B1870449AC9E5577C991171E39"><enum>(A)</enum><header>Establishment</header><text>A coalition or association which is treated under paragraph (1) as a political organization shall notify the Secretary, electronically and in writing, of its existence. Such notice shall be transmitted not later than 72 hours after a lobbyist first makes a lobbying contact (or, if earlier, is employed or retained to make a lobbying contact) on behalf of such coalition or association. For purposes of the preceding sentence, the terms <term>lobbyist</term> and <term>lobbying contact</term> have the respective meanings given to such terms by section 3 of the Lobbying Disclosure Act of 1995.</text></subparagraph> 
<subparagraph id="H171B7CC0C7B940B08D90EA5A3EADA4E"><enum>(B)</enum><header>Change in membership</header><text>A coalition or association which is required to provide a notice to the Secretary under paragraph (1) shall also notify the Secretary, electronically and in writing, of any change in its membership since its prior required notice under this paragraph. Such notice shall be transmitted not later than 72 hours after the date of the membership change.</text></subparagraph></paragraph> 
<paragraph id="HBCB492C27E46446D8BA27D7789E25465"><enum>(3)</enum><header>Contents of notice</header> 
<subparagraph id="H10BC57A89EB04783A169CE9577FAC990"><enum>(A)</enum><header>Initial notice</header><text>Each notice required under paragraph (2)(A) shall include information regarding—</text> 
<clause id="H2EA8CDBBD2F149B093F756E8566D1300"><enum>(i)</enum><text>the name, address, business telephone number, and principal place of business of each of the members of the coalition or association,</text></clause> 
<clause id="H9303D8D3AC0F4D44949408B517A25DA"><enum>(ii)</enum><text>a general description of the business or activities of each of such members, and</text></clause> 
<clause id="H385251718C994CC1BCD56221CAB9AB59"><enum>(iii)</enum><text>the amount reasonably expected to be contributed by each of such members toward the activities of the coalition or association of influencing legislation.</text></clause></subparagraph> 
<subparagraph id="H2B629C6A5BC24F6BBCD9001CA917DF6D"><enum>(B)</enum><header>Notice of membership change</header><text>Each notice required under paragraph (2)(B) shall include—</text> 
<clause id="H700723D9C9204B24A45657C2DDDBE6BB"><enum>(i)</enum><text>if the notice relates to a new member of the coalition or association, the information described in subparagraph (A) with respect to such new member, and</text></clause> 
<clause id="HE4E837AE34C64F9E9C584D84B678DC99"><enum>(ii)</enum><text>if the notice relates to the cessation of a person’s membership, the name of such person.</text></clause></subparagraph></paragraph> 
<paragraph id="HD88F80EAA0A94FE5BC67B87F74630459"><enum>(4)</enum><header>Effect of failure</header> 
<subparagraph id="H811E7E54F575409DA4E83838D51FBFC1"><enum>(A)</enum><header>In general</header><text>In the case of—</text> 
<clause id="H1168A058AA7841CC8F6072CDD8A9BDA2"><enum>(i)</enum><text>a failure to give the notice required under paragraph (2) at the time and in the manner prescribed therefor, or</text></clause> 
<clause id="HC655D65ABB894CE69F238268E197BC7F"><enum>(ii)</enum><text>a failure to include any of the information required to be included in such notice or to show the correct information,</text></clause><continuation-text continuation-text-level="subparagraph">there shall be paid by the coalition or association an amount equal to the rate of tax specified in subsection (b)(1) multiplied by the amount involved.</continuation-text></subparagraph> 
<subparagraph id="HF3A1091BBE144DC88C1B002117333D11"><enum>(B)</enum><header>Amount involved</header><text>For purposes of subparagraph (A), the amount involved with respect to any failure is—</text> 
<clause id="H26077ECA0EBB418E003B8B8DF5DAD1CD"><enum>(i)</enum><text>in the case of a failure to file the notice under paragraph (2)(A) at the time and in the manner prescribed therefor, the amount which is reasonably expected to be paid by the coalition or association or its members to the person filing the registration statement, and</text></clause> 
<clause id="H62EEEFA8B8FE4EFDA38C6C8EF7D87909"><enum>(ii)</enum><text>in the case of a failure to include any of the information required to be included in such notice, or to show the correct information, with respect to any member, the amount reasonably expected to be contributed by such member toward the activities of the coalition or association of influencing legislation.</text></clause></subparagraph> 
<subparagraph id="H6CEFDE9A9063436F85C3B596BD28C8B"><enum>(C)</enum><header>Joint and several liability</header><text>All members of the coalition or association shall be jointly and severally liable under this paragraph for any failure.</text></subparagraph> 
<subparagraph id="H53591CC50A48483D891B721CA64B42D0"><enum>(D)</enum><header>Procedures for assessment and collection of penalty</header><text>For purposes of subtitle F, the penalty imposed by this paragraph shall be assessed and collected in the same manner as penalties imposed by section 6652(c).</text></subparagraph></paragraph> 
<paragraph id="HC4CF8E7CC43B4CB6AC78BE5DD3F2DAAA"><enum>(5)</enum><header>Exception for certain tax-exempt associations</header><text>This subsection shall not apply to any association—</text> 
<subparagraph id="HB9C7321AD875456AAAE433B1A2146270"><enum>(A)</enum><text>which is described in section 501(c)(3) and exempt from tax under section 501(a), or</text></subparagraph> 
<subparagraph id="H3C1C7988D5E747F08D004B7F032FCF0"><enum>(B)</enum> 
<clause display-inline="yes-display-inline" id="HD393EFA369F349E6987D5D0017CDEB79"><enum>(i)</enum><text>which is described in any other paragraph of section 501(c) and exempt from tax under section 501(a), and</text></clause> 
<clause indent="up1" id="HBF7CF9EE85B642F88657DA4CEE42DF54"><enum>(ii)</enum><text>which has substantial exempt activities other than lobbying with respect to the specific issue for which it engaged the person filing the registration statement under section 4 of the Lobbying Disclosure Act of 1995.</text></clause></subparagraph><continuation-text continuation-text-level="paragraph">The preceding sentence shall not apply to any association formed or availed of to avoid the purposes of this subsection.</continuation-text></paragraph> 
<paragraph id="H2132C240BA8C49D6B7732D5016630071"><enum>(6)</enum><header>Exception from disclosure for certain members</header> 
<subparagraph id="H149F271ECE95492B8F86B9B51C7550AF"><enum>(A)</enum><header>In general</header><text>Information on a member of a coalition or association need not be included in any notice under paragraph (3) if the amount referred to in paragraph (3)(A)(iii) with respect to such member is less than $2,000 per year.</text></subparagraph> 
<subparagraph id="H87BFB5F9C8224D7F81C7E191AA29551"><enum>(B)</enum><header>Expenditures in excess of expected amount</header><text>If—</text> 
<clause id="H4DE335B3EE0E4F26B41D56C028A4651E"><enum>(i)</enum><text>information on a member of a coalition or association is not included in any notice by reason of subparagraph (A), and</text></clause> 
<clause id="H90695F693BDF4057B858F7B7A1EC02EE"><enum>(ii)</enum><text>the amount contributed by such member toward the activities of the coalition or association of influencing legislation exceeds $2,200 per year,</text></clause><continuation-text continuation-text-level="subparagraph">such member shall be treated for purposes of this subsection as a new member of such coalition or association as of the earliest date that clause (ii) is met.</continuation-text></subparagraph></paragraph> 
<paragraph id="H41CA6404478A4DC7A038AA8F6D5EAB23"><enum>(7)</enum><header>Look-thru rules</header><text>In the case of a coalition or association which is treated as a political organization under paragraph (1)—</text> 
<subparagraph id="H51057B389FF14A540000A69C4DB0BEA2"><enum>(A)</enum><text>such coalition or association shall be treated as employing or retaining other persons to conduct lobbying activities for purposes of determining whether any individual member thereof is treated as a political organization under paragraph (1), and</text></subparagraph> 
<subparagraph id="H089E6D7256B449428DBA215F5E3DBCE"><enum>(B)</enum><text>information on such coalition or association need not be included in any notice under paragraph (2) of the coalition or association with respect to which it is treated as a political organization under paragraph (1).</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H20426135C55446128DAEC6DD03DAFE42"><enum>(b)</enum><header>Public disclosure of notices</header> 
<paragraph id="H235BF53707CA4BB2B9ABECBB7C627ED"><enum>(1)</enum><header>In general</header><text>Paragraph (1) of section 527(k) of such Code is amended by inserting <quote>or (m)(2)</quote> after <quote>(i)(1)</quote>.</text></paragraph> 
<paragraph id="H199AF29C1A434F84B5AF336C2065D3BA"><enum>(2)</enum><header>Access</header><text>Paragaraph (2) of section 527(k) of such Code is amended by inserting after subparagraph (G) the following new subparagraph:</text>

<subparagraph id="HF61037D018964ABF86FC5F7FEDC53BC5"><enum>(H)</enum><text>The organizations which file a notice under subsection (m).</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="HFE7D8E5837AC45818D7DACEEAACFCE3C"><enum>(c)</enum><header>Effective date</header> 
<paragraph id="H4F46147D39924701A9A3159540FB33C9"><enum>(1)</enum><header>In general</header><text>The amendments made by this section shall apply to—</text> 
<subparagraph id="H15A8243ADC17475D93C5A0B10015A400"><enum>(A)</enum><text>coalitions and associations listed on registration statements filed under section 4 of the Lobbying Disclosure Act of 1995 after the date of the enactment of this Act, and</text></subparagraph> 
<subparagraph id="HD5B4C020D69C472CA8FA666689DD8B60"><enum>(B)</enum><text>coalitions and associations for whom any lobbying contact is made after the date of the enactment of this Act.</text></subparagraph></paragraph> 
<paragraph id="H8F0485C8D4B54B5A00460014D7A15204"><enum>(2)</enum><header>Special rule</header><text>In the case of any coalition or association to which the amendments made by this Act apply by reason of paragraph (1)(B), the time to file the notice under <external-xref legal-doc="usc" parsable-cite="usc/26/527">section 527(k)(2)</external-xref> of the Internal Revenue Code of 1986, as added by this section, shall be 30 days after the date of the enactment of this Act.</text></paragraph></subsection></section>
