<official-title>To improve the access of investors to regulatory records with respect to securities brokers, dealers, and investment advisers.</official-title>

<section id="H79DDB349F4B34CF8A8054257B1002879" section-type="section-one" display-inline="no-display-inline"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Realtime Investor Protection Act</short-title></quote>.</text></section> 
<section id="HA7B7764056264F209F00DF13AE6BA95B"><enum>2.</enum><header>Constitutional authority</header><text display-inline="no-display-inline">The constitutional authority on which this Act rests is the power of Congress to regulate commerce as enumerated in article I, section 8 of the United States Constitution.</text></section> 
<section id="H76DE5C03F0A14C0486DF2B16DECA3DA1"><enum>3.</enum><header>Method of maintaining broker/dealer registration, disciplinary, and other data</header><text display-inline="no-display-inline">Subsection (i) of section 15A of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o-3">15 U.S.C. 78o–3(i)</external-xref>) is amended to read as follows:</text>

<subsection id="H65234201F2C94E9E910070DF072589CE"><enum>(i)</enum><header>Obligation to maintain registration, disciplinary, and other data</header> 
<paragraph id="HD8FB684FC1304B92B375BE6EA56FA020"><enum>(1)</enum><header>Maintenance of system to respond to inquiries</header><text>A registered securities association shall—</text> 
<subparagraph id="H0645B6F2A73C41CAB2F0B1B95DEEFAC0"><enum>(A)</enum><text>establish and maintain a system for collecting and retaining registration information;</text></subparagraph> 
<subparagraph id="H56689135D4484E2F86F7016E47F76D05"><enum>(B)</enum><text>establish and maintain a toll-free telephone listing, and a readily accessible electronic or other process, to receive and promptly respond to inquiries regarding—</text> 
<clause id="H9195BD5DED0A4C5784B69DEF51E5343C"><enum>(i)</enum><text>registration information on its members and their associated persons; and</text></clause> 
<clause id="HB33AD2D7D9BF4A2FB2A41E5FF550F9A7"><enum>(ii)</enum><text>registration information on the members and their associated persons of any registered national securities exchange that uses the system described in subparagraph (A) for the registration of its members and their associated persons; and</text></clause></subparagraph> 
<subparagraph id="H57922D8D0B564B8D9D46EB2585A346C5"><enum>(C)</enum><text>adopt rules governing the process for making inquiries and the type, scope, and presentation of information to be provided in response to such inquiries in consultation with any registered national securities exchange providing information pursuant to subparagraph (B)(ii).</text></subparagraph></paragraph> 
<paragraph id="HF6028AF6212D4CECBDEECCB444ABEA2E"><enum>(2)</enum><header>Recovery of costs</header><text>Such an association may charge persons making inquiries, other than individual investors, reasonable fees for responses to such inquiries.</text></paragraph> 
<paragraph id="H5BE32F569DEB498FB9823491CAB8E207"><enum>(3)</enum><header>Process for disputed information</header><text>Such an association shall adopt rules establishing an administrative process for disputing the accuracy of information provided in response to inquiries under this subsection in consultation with any registered national securities exchange providing information pursuant to paragraph (1)(B)(ii).</text></paragraph> 
<paragraph id="H5B601C6B20B64DF78340E023D0C4BB3B"><enum>(4)</enum><header>Limitation of liability</header><text>Such an association, or exchange reporting information to such an association, shall not have any liability to any person for any actions taken or omitted in good faith under this subsection.</text></paragraph> 
<paragraph id="HE9B09E5A06BF4855B8F73417825D918E"><enum>(5)</enum><header>Definition</header><text>For purposes of this subsection, the term <term>registration information</term> means the information reported in connection with the registration or licensing of brokers and dealers and their associated persons, including disciplinary actions, regulatory, judicial, and arbitration proceedings, and other information required by law, or exchange or association rule, and the source and status of such information.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section> 
<section id="H93EA847E5039402BB51EE7FCA4B50007"><enum>4.</enum><header>Filing depositories for investment advisers</header> 
<subsection id="HFB84B8AE464947B486A0A3697B74742B"><enum>(a)</enum><header>Amendment</header><text>Section 204 of the Investment Advisers Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-4">15 U.S.C. 80b–4</external-xref>) is amended—</text> 
<paragraph id="HBC08FF4BB45543A58BC76E2136E25FDC"><enum>(1)</enum><text>by striking <quote>Every investment</quote> and inserting the following:</text>

<subsection id="HD175FF97CAF94245A8AC17EEB3C8879"><enum>(a)</enum><header>In General</header><text>Every investment</text></subsection><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph> 
<paragraph id="HCB955B630D4844A4B677B915C8569F3F"><enum>(2)</enum><text>by adding at the end the following:</text> 
<quoted-block style="OLC" id="HA720E35E3240471BA39F00DE00BFB21E" display-inline="no-display-inline"> 
<subsection id="H37A2490E565A4648B508BC5367206828"><enum>(b)</enum><header>Filing depositories</header><text>The Commission may, by rule, require an investment adviser—</text> 
<paragraph id="H20F0B7285E794D80A8C379877BBF7647"><enum>(1)</enum><text>to file with the Commission any fee, application, report, or notice required to be filed by this title or the rules issued under this title through any entity designated by the Commission for that purpose; and</text></paragraph> 
<paragraph id="H91E7C92827E04EE18103B26DE5F5D022"><enum>(2)</enum><text>to pay the reasonable costs associated with such filing and the establishment and maintenance of the systems required by subsection (c).</text></paragraph></subsection> 
<subsection id="HFEE40DB39F5447939500F7F8D836ADD"><enum>(c)</enum><header>Access to disciplinary and other information</header><text></text> 
<paragraph id="HAF8799E96C4842ECADD05E7BD0748782"><enum>(1)</enum><header>Maintenance of system to respond to inquiries</header><text>The Commission shall require the entity designated by the Commission under subsection (b)(1) to establish and maintain a toll-free telephone listing, or a readily accessible electronic or other process, to receive and promptly respond to inquiries regarding registration information (including disciplinary actions, regulatory, judicial, and arbitration proceedings, and other information required by law or rule to be reported) involving investment advisers and persons associated with investment advisers.</text></paragraph> 
<paragraph id="H8A0AD0A1EEEF4799B01BC2FD644D0000"><enum>(2)</enum><header>Recovery of costs</header><text>An entity designated by the Commission under subsection (b)(1) may charge persons making inquiries, other than individual investors, reasonable fees for responses to inquiries made under paragraph (1).</text></paragraph> 
<paragraph id="H51DF4B9C69FB41DDB6D5CD5FF5665ECA"><enum>(3)</enum><header>Limitation on liability</header><text>An entity designated by the Commission under subsection (b)(1) shall not have any liability to any person for any actions taken or omitted in good faith under this subsection.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H9177365A7F1F4F2D998441113EFFCDC0"><enum>(b)</enum><header>Conforming amendments</header> 
<paragraph id="H932E083F4A244BFD9F4039138CA9248"><enum>(1)</enum><text>Section 203A of the Investment Advisers Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-3a">15 U.S.C. 80b–3a</external-xref>) is amended—</text> 
<subparagraph id="H2303B01673404A61ABF63133EF7C1B2C"><enum>(A)</enum><text>by striking subsection (d); and</text></subparagraph> 
<subparagraph id="HCA4A0867A8B34BC8884986C153B6CB9D"><enum>(B)</enum><text>by redesignating subsection (e) as subsection (d).</text></subparagraph></paragraph> 
<paragraph id="H68FAD0C13852497EB180C3D64F856624"><enum>(2)</enum><text>Section 306 of the National Securities Markets Improvement Act of 1996 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-10">15 U.S.C. 80b–10</external-xref>, note; <external-xref legal-doc="public-law" parsable-cite="pl/104/290">Public Law 104–290</external-xref>; 110 Stat. 3439) is repealed.</text></paragraph></subsection></section>
