<legis-type>A BILL</legis-type> 
<official-title>To ensure and foster continued patient safety and quality of care by making the antitrust laws apply to negotiations between groups of independent pharmacies and health plans and health insurance issuers in the same manner as such laws apply to collective bargaining by labor organizations under the National Labor Relations Act, to ensure integrity in the operation of pharmacy benefit managers, and to preserve access standards to community pharmacies under the Medicare outpatient prescription drug program.</official-title>

<section id="H846E484F99294FA1912BDEAFC97CE13" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Community Pharmacy Preservation Act of 2004</short-title></quote>.</text></section> 
<section id="H8D8817F67F404AFA00E07934E00AC72"><enum>2.</enum><header>Application of the antitrust laws to independent pharmacies negotiating with health plans</header> 
<subsection id="HDAB711E062A54CE7A69EFB93BDD5F26"><enum>(a)</enum><header>In general</header><text>Any independent pharmacies who are engaged in negotiations with a health plan regarding the terms of any contract under which the pharmacies provide health care items or services for which benefits are provided under such plan shall, in connection with such negotiations, be entitled to the same treatment under the antitrust laws as the treatment to which bargaining units which are recognized under the National Labor Relations Act are entitled in connection with such collective bargaining. Such a pharmacy shall, only in connection with such negotiations, be treated as an employee engaged in concerted activities and shall not be regarded as having the status of an employer, independent contractor, managerial employee, or supervisor.</text></subsection> 
<subsection id="H2C061841B7D74E22B4748459C2F3326D"><enum>(b)</enum><header>Protection for good faith actions</header><text>Actions taken in good faith reliance on subsection (a) shall not be the subject under the antitrust laws of criminal sanctions nor of any civil damages, fees, or penalties beyond actual damages incurred.</text></subsection> 
<subsection id="H73781A5198014C7E9BA7F9BE8EFFB056"><enum>(c)</enum><header>Limitation</header> 
<paragraph id="H5356C874DC30480F90B88490BFE9E55"><enum>(1)</enum><header>No new right for collective cessation of service</header><text>The exemption provided in subsection (a) shall not confer any new right to participate in any collective cessation of service to patients not already permitted by existing law.</text></paragraph> 
<paragraph id="H264723015CB540839F477BA4B84E93F8"><enum>(2)</enum><header>No change in National Labor Relations Act</header><text>This section applies only to independent pharmacies excluded from the National Labor Relations Act. Nothing in this section shall be construed as changing or amending any provision of the National Labor Relations Act, or as affecting the status of any group of persons under that Act.</text></paragraph></subsection> 
<subsection id="HB7FD5268DBB34F88BE6645CA58D33100"><enum>(d)</enum><header>Effective date</header><text>The exemption provided in subsection (a) shall apply to conduct occurring beginning on the date of the enactment of this Act.</text></subsection> 
<subsection id="HFDE5F1A195C14CCCB929A0C2CCC00A2"><enum>(e)</enum><header>Limitation on exemption</header><text>Nothing in this section shall exempt from the application of the antitrust laws any agreement or otherwise unlawful conspiracy that excludes, limits the participation or reimbursement of, or otherwise limits the scope of services to be provided by any independent pharmacy or group of independent pharmacies with respect to the performance of services that are within their scope of practice as defined or permitted by relevant law or regulation.</text></subsection> 
<subsection id="HD887A889E0D84A79AFC6FF3833B3A011"><enum>(f)</enum><header>No effect on title VI of <act-name parsable-cite="CRA64">Civil Rights Act of 1964</act-name></header><text>Nothing in this section shall be construed to affect the application of title VI of the <act-name parsable-cite="CRA64">Civil Rights Act of 1964</act-name>.</text></subsection> 
<subsection id="HAA8FE31FE3354210BDDEAB19FA48E621"><enum>(g)</enum><header>No application to Federal programs</header><text>Nothing in this section shall apply to negotiations between independent pharmacies and health plans pertaining to benefits provided under any of the following:</text> 
<paragraph id="H7836C742FC1A4C8E8D8D69491FEC22FF"><enum>(1)</enum><text>The Medicaid Program under title XIX of the <act-name parsable-cite="SSA">Social Security Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/42/1396">42 U.S.C. 1396 et seq.</external-xref>).</text></paragraph> 
<paragraph id="H29EB6BA969F44942AE49878415BD63B0"><enum>(2)</enum><text>The SCHIP program under title XXI of the <act-name parsable-cite="SSA">Social Security Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/42/1397aa">42 U.S.C. 1397aa et seq.</external-xref>).</text></paragraph> 
<paragraph id="H546252A9B4FA4C80A9B4019800B3AC5B"><enum>(3)</enum><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/10/55">Chapter 55</external-xref> of title 10, United States Code (relating to medical and dental care for members of the uniformed services).</text></paragraph> 
<paragraph id="H6AC37514411F4718006FE57D6584113B"><enum>(4)</enum><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/38/17">Chapter 17</external-xref> of title 38, United States Code (relating to Veterans’ medical care).</text></paragraph> 
<paragraph id="HE51ED11069414E7DBBA362C3A1302319"><enum>(5)</enum><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/89">Chapter 89</external-xref> of title 5, United States Code (relating to the Federal employees’ health benefits program).</text></paragraph> 
<paragraph id="H4B2F53693EC44F0EA2E8F88B5FAA4000"><enum>(6)</enum><text>The <act-name parsable-cite="IHCIA">Indian Health Care Improvement Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/25/1601">25 U.S.C. 1601 et seq.</external-xref>).</text></paragraph></subsection> 
<subsection id="HB3B95867E2E54634B4FCA574EA4FBCD1"><enum>(h)</enum><header>Definitions</header><text>For purposes of this section:</text> 
<paragraph id="H13FBAB941AC746FDB03050A839C4C294"><enum>(1)</enum><header>Antitrust laws</header><text>The term <term>antitrust laws</term>—</text> 
<subparagraph id="H35A4F89780E14B3DA7C4308FF4505292"><enum>(A)</enum><text>has the meaning given it in subsection (a) of the first section of the <act-name parsable-cite="CLAY">Clayton Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12(a)</external-xref>), except that such term includes section 5 of the <act-name parsable-cite="FTCA">Federal Trade Commission Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>) to the extent such section 5 applies to unfair methods of competition; and</text></subparagraph> 
<subparagraph id="H6DC2A9A6019D465281D5FAD393FA536"><enum>(B)</enum><text>includes any State law similar to the laws referred to in subparagraph (A).</text></subparagraph></paragraph> 
<paragraph id="H4AF97855AB6F4B86B8AB32009297A5E1"><enum>(2)</enum><header>Health plan and related terms</header> 
<subparagraph id="HF934BA8DFDAF45EFA74C3CFE9D26C380"><enum>(A)</enum><header>In general</header><text>The term <term>health plan</term> means a group health plan or a health insurance issuer that is offering health insurance coverage.</text></subparagraph> 
<subparagraph id="H1280EC0E22F442DD9C1FA26DDD5A8CC"><enum>(B)</enum><header>Health insurance coverage; health insurance issuer</header><text>The terms <term>health insurance coverage</term> and <term>health insurance issuer</term> have the meanings given such terms under paragraphs (1) and (2), respectively, of section 733(b) of the <act-name parsable-cite="ERISA">Employee Retirement Income Security Act of 1974</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/29/1191b">29 U.S.C. 1191b(b)</external-xref>).</text></subparagraph> 
<subparagraph id="H7D0F4BB4CF954943954E005919D45FD5"><enum>(C)</enum><header>Group health plan</header><text>The term <term>group health plan</term> has the meaning given that term in section 733(a)(1) of the <act-name parsable-cite="ERISA">Employee Retirement Income Security Act of 1974</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/29/1191b">29 U.S.C. 1191b(a)(1)</external-xref>).</text></subparagraph></paragraph> 
<paragraph id="H8A5FAC89859340149DE1E47099EF99C0"><enum>(3)</enum><header>Independent pharmacy</header><text>The term <term>independent pharmacy</term> means a pharmacy which is not owned (or operated) by a publicly traded company. For purposes of the previous sentence, the term <quote>publicly traded company</quote> means a company that is an issuer within the meaning of section 2(a)(7) of the Sarbanes-Oxley Act of 2002 (<external-xref legal-doc="usc" parsable-cite="usc/15/7201">15 U.S.C. 7201(a)(7)</external-xref>).</text></paragraph></subsection></section> 
<section id="H15469ABD8817483FAFC6204C9CCE65D6" display-inline="no-display-inline" section-type="subsequent-section"><enum>3.</enum><header>Requirements relating to pharmacy benefit managers</header> 
<subsection id="HA4E10220F4FB4BF1BB94DCE8D6EF3944"><enum>(a)</enum><header>Prohibition on cross ownership</header> 
<paragraph id="H03A7D5B2277641809F889B06281B463F"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">No pharmaceutical drug manufacturer may have a controlling interest in an entity that is a pharmacy benefit manager.</text> </paragraph> 
<paragraph id="HC6E987A171FC4669985132A100CEFC51"><enum>(2)</enum><header>Penalty</header><text>The Secretary of Health and Human Services may issue such civil penalties for a violation of paragraph (1) as the Secretary of Health and Human Services determines necessary.</text> </paragraph></subsection> 
<subsection id="H73D2C391FC794131844735BE3F38ED03"><enum>(b)</enum><header>Drug interchange</header> 
<paragraph id="HFDE65A34ED174DCEBCB61FF193CF12EB"><enum>(1)</enum><header>Prohibitions</header> 
<subparagraph id="H05C1AF7F52C64203A9F101E5F4049CE8"><enum>(A)</enum><header>Cost increase</header><text>A pharmacy benefit manager shall not make any drug interchange proposal for an individual who is served by such manager where the net cost of the drug to which the prescription would be changed exceeds that of the drug from which the prescription would be changed.</text> </subparagraph> 
<subparagraph id="H4E03FE6DED944FA081B0667E48DE416B"><enum>(B)</enum><header>Disclosure to individual</header><text>A pharmacy benefit manager shall not make any drug interchange for an individual who is served by such manager unless the pharmacy benefit manager discloses to the individual, in a clear and conspicuous manner, the savings to the individual associated with such interchange.</text> </subparagraph> 
<subparagraph id="H6CCD694EE6F144689BEB1BD035B46E9E"><enum>(C)</enum><header>Generics</header><text>A pharmacy benefit manager shall not make any drug interchange proposal for an individual who is served by such manager if the drug from which the prescription would be changed has generic equivalents and the drug to which the prescription would be changed has no generic equivalents, unless the drug to which the prescription would be changed has a lower net cost to the individual than does each of the generic equivalents of the drug from which the prescription would be changed.</text> </subparagraph></paragraph> 
<paragraph id="H1C2862FCDCA64E939B80F02B03E01996"><enum>(2)</enum><header>Penalty</header><text>A pharmacy benefit manager that violates subparagraph (A), (B), or (C) of paragraph (1) with respect to an individual and presents a claim for payment to the United States Government as reimbursement for services to such individual, shall be considered in violation of <external-xref legal-doc="usc" parsable-cite="usc/31/3729">section 3729</external-xref> of title 31, United States Code.</text> </paragraph></subsection> 
<subsection id="HCA78B4A8ABFE4F6E829324B45144B78D"><enum>(c)</enum><header>Disclosure of compensation from drug manufacturers</header> 
<paragraph id="H21E040AE05814D67AF2D017D9E844F06"><enum>(1)</enum><header>Quarterly and annual disclosures</header><text>At the end of each fiscal year quarter, each pharmacy benefit manager shall disclose—</text> 
<subparagraph id="H2142320ADB4D406E9DA39443C4BC8C39"><enum>(A)</enum><text>to the client plans of such manager and to the Antitrust Division of the Department of Justice, all compensation and remuneration that the pharmacy benefit manager received during such fiscal year quarter from a pharmaceutical drug manufacturer, including, regardless of how categorized, market share incentives, commissions, mail service purchase discounts, and administrative or management fees; and</text> </subparagraph> 
<subparagraph id="HBC40A54373E047F285EB24DF708B9C1E"><enum>(B)</enum><text>to the client plans of such manager, any fees received for sales of utilization data to a pharmaceutical drug manufacturer.</text> </subparagraph></paragraph> 
<paragraph id="HA881BCD7208448DF868DF6DDFB45C08E"><enum>(2)</enum><header>Disclosure at contracting stage</header><text>Each pharmacy benefit manager shall disclose to each client plan and prospective client plan of such manager, in advance of executing an agreement with such plan, information relating to the pharmacy benefit manager's methodology of soliciting and receiving payments from pharmaceutical drug manufacturers. </text> </paragraph></subsection> 
<subsection id="HB4E534B58A13404BBFBCBDAA4639E717"><enum>(d)</enum><header>Definitions</header><text>For purposes of this section:</text> 
<paragraph id="H3C56267EE3A84A8CA1F9329534ABED03"><enum>(1)</enum><header>Client plan</header><text>The term <term>client plan</term> means a pharmaceutical plan in which the entity that offers such plan to its beneficiaries contracts directly with a pharmacy benefit manager to provide or administer such plan.</text> </paragraph> 
<paragraph id="HEEB4B9729337444300B3851BE2605619"><enum>(2)</enum><header>Drug interchange</header><text>The term <term>drug interchange</term> means any change from one prescription drug to another prescription drug that is intended to address or treat the same illness or condition.</text></paragraph></subsection></section> 
<section id="H492A72EB38CE489095933BC62B238247"><enum>4.</enum><header>Community pharmacy access standards under the medicare outpatient prescription drug program</header><text display-inline="no-display-inline">In establishing rules under subparagraph (C) of section 1860D–4(b)(1) of the Social Security Act, as added by the Medicare Prescription Drug, Improvement, and Modernization Act of 2003 (<external-xref legal-doc="public-law" parsable-cite="pl/108/173">Public Law 108–173</external-xref>), for convenient access to non-mail-order pharmacies consistent with the application of standards under clause (ii) of such subparagraph, the Secretary of Health and Human Services shall provide for application of the following standards:</text> 
<paragraph id="H7C741049665B4F5D8332DBF2C95EC598"><enum>(1)</enum><text></text> 
<subparagraph id="HB7B86A991CE8473F920346CDA5C1F1A8" display-inline="yes-display-inline"><enum>(A)</enum><text>In each urban area, at least 90 percent of Medicare beneficiaries in a plan’s service area, on average, live within 2 miles of a retail pharmacy participation in the prescription drug plan’s or MA–PD plan’s network.</text></subparagraph> 
<subparagraph id="HD6745B5E31B547A997F3D6F61D8E4E00" indent="up1"><enum>(B)</enum><text>In each suburban area, at least 90 percent of Medicare beneficiaries in a plan’s service area, on average, live within 5 miles of a retail pharmacy participation in the prescription drug plan’s or MA–PD plan’s network.</text></subparagraph> 
<subparagraph id="H43297FB8A35F405C9FB150A4B2CDB3C9" indent="up1"><enum>(C)</enum><text>In each rural area, at least 70 percent of Medicare beneficiaries in a plan’s service area, on average, live within 15 miles of a retail pharmacy participation in the prescription drug plan’s or MA–PD plan’s network.</text></subparagraph> 
<subparagraph id="H0DEDEA53053E408194683E0012E66148" indent="up1"><enum>(D)</enum><text>There shall be no averaging of such distances across or among urban, suburban, and rural areas. </text></subparagraph></paragraph> 
<paragraph id="H92270A1A1AB541B5A86071154DE6ECDB" display-inline="no-display-inline"><enum>(2)</enum><text>The rules shall require plans to measure traveling distances from beneficiaries’ homes to community pharmacies based on commonly traveled routes.</text> </paragraph></section>
