<section id="H239F3F1C06904B32B7B5177EEB9FD893" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>&short-title1;</short-title></quote>.</text></section> 
<section id="HB423E64E96A94F4397CAB1D2240328AE" section-type="subsequent-section"><enum>2.</enum><header>Repeal of personal holding company tax</header> 
<subsection id="H04D4EDE021504ADDB22515A11E0081DE"><enum>(a)</enum><header>In general</header><text>Part II of subchapter G of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal Revenue Code of 1986 (relating to personal holding companies) is hereby repealed.</text></subsection> 
<subsection id="H5CB5F99DA3A34C44BBE2EF66DB40AEE3"><enum>(b)</enum><header>Conforming amendments</header> 
<paragraph id="HB4353A65C0F24343AFCBC0BACA4B7800"><enum>(1)</enum><text>Section 12(2) of such Code is amended to read as follows:</text>

<subsection id="H4CBCBBACD6654D6AA5AA5367FBE7BB9"><enum>(d)</enum><header>Special rules for accumulated earnings tax</header><text>In applying subsection (a) for the purpose of determining the accumulated earnings tax under section 531—</text> 
<paragraph id="H0BE4DF0BA1B347EB872D794B7058E03D"><enum>(1)</enum><text>any excluded amount under subsection (a) allowed for purposes of this subtitle (other than section 531) shall be allowed whether or not such amount resulted in a reduction of the tax under section 531 for the prior taxable year, and</text></paragraph> 
<paragraph id="HD0AF50ECF160416093D319D7BFAAFE6"><enum>(2)</enum><text>where any excluded amount under subsection (a) was not allowed as a deduction for the prior taxable year for purposes of this subtitle other than section 531 but was allowable for the same taxable year under section 531, then such excluded amount shall be allowable if it did not result in a reduction of the tax under section 531.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph>

<paragraph id="HC25188BD9C154B278049CFAB6773B5A1"><enum>(3)</enum><header>Closely held determination</header><text>For purposes of paragraph (1), a corporation is closely held if, at any time during the last half of the taxable year, more than 50 percent in value of its outstanding stock is owned, directly or indirectly, by or for not more than 5 individuals. For purposes of this paragraph, an organization described in section 401(a), 501(c)(17), or 509(a) or a portion of a trust permanently set aside or to be used exclusively for the purposes described in section 642(c) shall be considered an individual.</text></paragraph><after-quoted-block> </after-quoted-block></quoted-block></subparagraph> 
<subparagraph id="H167BCD8C6AED418E8DC81CD82EC0C6E4" indent="up1"><enum>(C)</enum><text>Section 465 of such Code is amended by adding at the end the following new subsection:</text>

<subsection id="HC24C65853AD2476D9136B588B98D1B00"><enum>(f)</enum><header>Constructive ownership rules</header><text>For purposes of subsection (a)(3)—</text> 
<paragraph id="HCBA528684A884C0ABF6F5F39A1C16600"><enum>(1)</enum><header>Stock not owned by individual</header><text>Stock owned, directly or indirectly, by or for a corporation, partnership, estate, or trust shall be considered as being owned proportionately by its shareholders, partners, or beneficiaries.</text></paragraph> 
<paragraph id="HB182236786A041D29592A43D65040740"><enum>(2)</enum><header>Family ownership</header><text>An individual shall be considered as owning the stock owned, directly or indirectly, by or for his family. For purposes of this paragraph, the family of an individual includes only his brothers and sisters (whether by the whole or half blood), spouse, ancestors, and lineal descendants.</text></paragraph> 
<paragraph id="H703CD459296A49F1B6FCD8F1DEA14900"><enum>(3)</enum><header>Options</header><text>If any person has an option to acquire stock, such stock shall be considered as owned by such person. For purposes of this paragraph, an option to acquire such an option, and each one of a series of such options, shall be considered as an option to acquire such stock.</text></paragraph> 
<paragraph id="HBB00C531E5BA4056A08BA2AFE3E3C6EF"><enum>(4)</enum><header>Application of family and option rules</header><text>Paragraphs (2) and (3) shall be applied if, but only if, the effect is to make the corporation closely held under subsection (a)(3).</text></paragraph> 
<paragraph id="HAFD942DB56164FB9A0121690E7312CFD"><enum>(5)</enum><header>Constructive ownership as actual ownership</header><text>Stock constructively owned by a person by reason of the application of paragraph (1) or (3), shall, for purposes of applying paragraph (1) or (2), be treated as actually owned by such person; but stock constructively owned by an individual by reason of the application of paragraph (2) shall not be treated as owned by him for purposes of again applying such paragraph in order to make another the constructive owner of such stock.</text></paragraph> 
<paragraph id="H9121044398444B079EAD181F21006DD8"><enum>(6)</enum><header>Option rule in lieu of family rule</header><text>If stock may be considered as owned by an individual under either paragraph (2) or (3) it shall be considered as owned by him under paragraph (3).</text></paragraph> 
<paragraph id="H2A5217170A604191AAC9387B6EA3DCB9"><enum>(7)</enum><header>Convertible securities</header><text>Outstanding securities convertible into stock (whether or not convertible during the taxable year) shall be considered as outstanding stock if the effect of the inclusion of all such securities is to make the corporation closely held under subsection (a)(3). The requirement under the preceding sentence that all convertible securities must be included if any are to be included shall be subject to the exception that, where some of the outstanding securities are convertible only after a later date than in the case of others, the class having the earlier conversion date may be included although the others are not included, but no convertible securities shall be included unless all outstanding securities having a prior conversion date are also included.</text></paragraph></subsection><after-quoted-block> </after-quoted-block></quoted-block></subparagraph> 
<subparagraph id="H35DDF82C303E401A9B6FFDA6A47EBA6E" indent="up1"><enum>(D)</enum><text>Section 465(c)(7)(B) of such Code is amended by striking clause (i) and by redesignating clauses (ii) and (iii) as clauses (i) and (ii), respectively.</text></subparagraph> 
<subparagraph id="H33CEB9811D7F4A7294DB92450066CBC5" indent="up1"><enum>(E)</enum><text>Section 465(c)(7)(G) of such Code is amended to read as follows:</text> 
<quoted-block id="H2618010A267A488289099B6CF803AB21"> 
<subparagraph id="H516834E332AB40A4B36B00B97790EB2D"><enum>(G)</enum><header>Loss of 1 member of affiliated group may not offset income of personal service corporation</header><text>Nothing in this paragraph shall permit any loss of a member of an affiliated group to be used as an offset against the income of any other member of such group which is a personal service corporation (as defined in section 269A(b) but determined by substituting <quote>5 percent</quote> for <quote>10 percent</quote> in section 269A(b)(2)).</text></subparagraph><after-quoted-block> </after-quoted-block></quoted-block></subparagraph></paragraph> 
<paragraph id="H1275658831644BDD860962B28205985B"><enum>(14)</enum><text>Sections 508(d), 4947, and 4948(c)(4) of such Code are each amended by striking <quote>545(b)(2),</quote> each place it appears.</text></paragraph> 
<paragraph id="HD8B18305DFAB42A4AB8CB0B22699003C"><enum>(15)</enum><text>Section 532(b) of such Code is amended by striking paragraph (1) and by redesignating paragraphs (2), (3), and (4) as paragraphs (1), (2), and (3), respectively.</text></paragraph> 
<paragraph id="HAA193DEB14024C1E9DA5BECF8E04E9DE"><enum>(16)</enum><text>Sections 535(b)(1) and 556(b)(1) of such Code are each amended by striking <quote>section 541</quote> and inserting <quote>section 541 (as in effect before its repeal)</quote>.</text></paragraph>

<subparagraph id="HB0D073B4BAC94D1BB7D301AC2CBA16DC" display-inline="yes-display-inline"><enum>(A)</enum><text>Section 553(a)(1) of such Code is amended by striking <quote>section 543(d)</quote> and inserting <quote>subsection (c)</quote>.</text></subparagraph> 
<subparagraph id="HD0B1978B95664F419021A6F000A09000" indent="up1"><enum>(B)</enum><text>Section 553 of such Code is amended by adding at the end the following new subsection:</text>

<subsection id="H509EDBEEED2347509BACF57B00D1189D"><enum>(c)</enum><header>Active business computer software royalties</header> 
<paragraph id="H0044D8F1D46E4BDFA037A011B09CED68"><enum>(1)</enum><header>In general</header><text>For purposes of subsection (a), the term <term>active business computer software royalties</term> means any royalties—</text> 
<subparagraph id="H79AA80745F274BA78B9B4736F346E185"><enum>(A)</enum><text>received by any corporation during the taxable year in connection with the licensing of computer software, and</text></subparagraph> 
<subparagraph id="H21CB47D4BF0E4883A540AE51FF506A3"><enum>(B)</enum><text>with respect to which the requirements of paragraphs (2), (3), (4), and (5) are met.</text></subparagraph></paragraph> 
<paragraph id="H563007CB68634AC9BB254B4400D8F122"><enum>(2)</enum><header>Royalties must be received by corporation actively engaged in computer software business</header><text>The requirements of this paragraph are met if the royalties described in paragraph (1)—</text> 
<subparagraph id="H40B34943BB184651ABFB005544020935"><enum>(A)</enum><text>are received by a corporation engaged in the active conduct of the trade or business of developing, manufacturing, or producing computer software, and</text></subparagraph> 
<subparagraph id="HD9D570FEE46D44D89EA3D416B0E5D0E"><enum>(B)</enum><text>are attributable to computer software which—</text> 
<clause id="H87866BB22FF84D4EB8B5988FBC2622B7"><enum>(i)</enum><text>is developed, manufactured, or produced by such corporation (or its predecessor) in connection with the trade or business described in subparagraph (A), or</text></clause> 
<clause id="HB4DDD053B2A64E4D8B9919A2FC45400"><enum>(ii)</enum><text>is directly related to such trade or business.</text></clause></subparagraph></paragraph> 
<paragraph id="H978B66F0BDE742F7BB34FE858531EC01"><enum>(3)</enum><header>Royalties must constitute at least 50 percent of income</header><text>The requirements of this paragraph are met if the royalties described in paragraph (1) constitute at least 50 percent of the ordinary gross income of the corporation for the taxable year.</text></paragraph> 
<paragraph id="H0B9AD1AF2A3A45D78DB86E9946007280"><enum>(4)</enum><header>Deductions under sections 162 and 174 relating to royalties must equal or exceed 25 percent of ordinary gross income</header> 
<subparagraph id="HDF859D100C294353A9EE4C79971F9176"><enum>(A)</enum><header>In general</header><text>The requirements of this paragraph are met if—</text> 
<clause id="HD583463EB3D0419C9C6B40FA737189BB"><enum>(i)</enum><text>the sum of the deductions allowable to the corporation under sections 162, 174, and 195 for the taxable year which are properly allocable to the trade or business described in paragraph (2) equals or exceeds 25 percent of the ordinary gross income of such corporation for such taxable year, or</text></clause> 
<clause id="H578CBBA796FC4D29BEEEEADDE07CDD8C"><enum>(ii)</enum><text>the average of such deductions for the 5-taxable year period ending with such taxable year equals or exceeds 25 percent of the average ordinary gross income of such corporation for such period.</text></clause><continuation-text continuation-text-level="subparagraph">If a corporation has not been in existence during the 5-taxable year period described in clause (ii), then the period of existence of such corporation shall be substituted for such 5-taxable year period.</continuation-text></subparagraph> 
<subparagraph id="H948D95A443474691913BC1A5CD4F335"><enum>(B)</enum><header>Deductions allowable under Section 162</header><text>For purposes of subparagraph (A), a deduction shall not be treated as allowable under section 162 if it is specifically allowable under another section.</text></subparagraph> 
<subparagraph id="HD470DC8C3B1D4E7AA209DDFE65FB83B4"><enum>(C)</enum><header>Limitation on allowable deductions</header><text>For purposes of subparagraph (A), no deduction shall be taken into account with respect to compensation for personal services rendered by the 5 individual shareholders holding the largest percentage (by value) of the outstanding stock of the corporation. For purposes of the preceding sentence individuals holding less than 5 percent (by value) of the stock of such corporation shall not be taken into account.</text></subparagraph></paragraph></subsection><after-quoted-block> </after-quoted-block></quoted-block></subparagraph></paragraph> 
<paragraph id="HA3E90D46EB5E4680BEFAF9FCCEAEC236"><enum>(18)</enum><text>Section 561(a) of such Code is amended by striking paragraph (3), by inserting “and” at the end of paragraph (1), and by striking ”, and” at the end of paragraph (2) and inserting a period.</text></paragraph> 
<paragraph id="H19CA9B9EB4C04714B4372638C500BB01"><enum>(19)</enum><text>Section 562(b) of such Code is amended to read as follows:</text> 
<quoted-block id="H09EFA0D8EF9D4D9790E92378081747B9"> 
<subsection id="H215B62FF15984F9A868600C3C1DC3733"><enum>(b)</enum><header>Distributions in liquidation</header><text>Except in the case of a foreign personal holding company described in section 552—</text> 
<paragraph id="H9203A409DBE640499CBC2C070028F758"><enum>(1)</enum><text>in the case of amounts distributed in liquidation, the part of such distribution which is properly chargeable to earnings and profits accumulated after February 28, 1913, shall be treated as a dividend for purposes of computing the dividends paid deduction, and</text></paragraph> 
<paragraph id="H105C4B52DFFE4DCD88F83E8D2BE73982"><enum>(2)</enum><text>in the case of a complete liquidation occurring within 24 months after the adoption of a plan of liquidation, any distribution within such period pursuant to such plan shall, to the extent of the earnings and profits (computed without regard to capital losses) of the corporation for the taxable year in which such distribution is made, be treated as a dividend for purposes of computing the dividends paid deduction.</text></paragraph><continuation-text continuation-text-level="subsection">For purposes of paragraph (1), a liquidation includes a redemption of stock to which section 302 applies. Except to the extent provided in regulations, the preceding sentence shall not apply in the case of any mere holding or investment company which is not a regulated investment company.</continuation-text></subsection><after-quoted-block> </after-quoted-block></quoted-block></paragraph> 
<paragraph id="H707D88A6661B4A7B9516AE0914AA32AF"><enum>(20)</enum><text>Section 563 of such Code is amended by striking subsection (b).</text></paragraph> 
<paragraph id="H2DF66067E4614C62946CE0BEB7AB26B7"><enum>(21)</enum><text>Section 564 of such Code is hereby repealed.</text></paragraph>

<subparagraph id="HB1C37FB0930245F893A4D139753531C1" indent="up1"><enum>(C)</enum><text>Paragraph (3) of section 856(h) of such Code is amended by striking subparagraph (B) and by redesignating subparagraphs (C) and (D) as subparagraphs (B) and (C), respectively.</text></subparagraph> 
<subparagraph id="H6ACC6057EA6A44F7B3405ED0626E5E18" indent="up1"><enum>(D)</enum><text>Subparagraph (C) of section 856(h)(3) of such Code, as redesignating by the preceding subparagraph, is amended by striking <quote>subparagraph (C)</quote> and inserting <quote>subparagraph (B)</quote>.</text></subparagraph></paragraph> 
<paragraph id="HB62D4F7C84234612A988FE62933F20CA"><enum>(25)</enum><text>The last sentence of section 882(c)(2) of such Code is amended to read as follows:</text>
