<official-title>To require the Securities and Exchange Commission to require public companies to disclose their payments to foreign governments for the purposes of natural resources exploration, development, and extractions rights.</official-title>

<section id="H19CCBB40D8534234A4A17BDBDC9C87D2" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>&short-title1;</short-title></quote>.</text></section> 
<section id="HED7E0B89C08948F38D327376854E169B"><enum>2.</enum><header>Rulemaking required</header> 
<subsection id="HA855352D1BD44BE5BAF8F71E7F19FF1"><enum>(a)</enum><header>Revision of disclosure requirements required</header><text>The Securities and Exchange Commission shall revise its rules and regulations under sections 13 and 15(d) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78m">15 U.S.C. 78m</external-xref>, 78<italic>o</italic>(d)) to require each issuer subject to such sections to disclose in the annual and quarterly reports of such issuer the aggregate payments by such issuer made in connection with the securing of exploration, development, exploitation, extraction, and production rights for natural resources to any foreign government or any other public entity of foreign countries. Such aggregate payments shall include taxes, royalties, fees, and other amounts paid in such connection.</text></subsection> 
<subsection id="HE85EF1C08A364B80AC814428A4F175BE"><enum>(b)</enum><header>Minimum payments excepted</header><text>Such disclosure requirement shall not apply to an issuer if the amount of such aggregate payments by such issuer for the reporting period are less than $250,000.</text></subsection> 
<subsection id="HEF93FEA704414DCC8919C8730000134E"><enum>(c)</enum><header>Deadline for revisions</header><text>The Securities and Exchange Commission shall prescribe the revisions required by subsection (a) not later than 6 months after the date of enactment of this Act.</text></subsection> 
<subsection id="H019E609E578446F3AEE619C62E5FD187"><enum>(d)</enum><header>Definition of natural resources</header><text>For purposes of this section, the term <term>natural resources</term> means oil, gas, and minerals.</text> </subsection></section>
