<official-title>To amend title 36, United States Code, to amend the Federal charter of the United States Olympic Committee, and for other purposes.</official-title>

<section id="HEFE9921DB9754950B1FABB271200185B" section-type="section-one"><enum>1.</enum><header>Short Title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>&short-title1;</short-title></quote>.</text></section> 
<section id="H124292D203B64C1E9046A02523CE9888"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/36/220501">Section 220501(b)</external-xref> of title 36, United States Code, is amended—</text> 
<paragraph id="HCE5B49E9940D4F56868C33E1B74C20B7"><enum>(1)</enum><text>by redesignating paragraphs (5) through (8) as paragraphs (6) through (9), respectively; and</text></paragraph> 
<paragraph id="H7E7E07F087354E089839C8CCE64F6558"><enum>(2)</enum><text>by inserting after paragraph (4) the following:</text> 
<quoted-block style="USC" id="HF0ABB0E60EAF4A7499A0D674A984C6B1" display-inline="no-display-inline"> 
<paragraph id="HC0D7EBC9E31E4177A900F7BA27E08D70"><enum>(5)</enum><text><quote>independent director</quote> means an independent director, as defined by the bylaws of the corporation, who, at minimum—</text> 
<subparagraph id="H06D84E91215F401EADCA281BD6617541"><enum>(A)</enum><text>has not been an officer or director of the Executive Committee of the corporation, during the 3-year period prior to appointment as an independent director;</text></subparagraph> 
<subparagraph id="H560EC5B54DD64D0FB585DCE6C6BF843"><enum>(B)</enum><text>has not been an officer or a member of the Athlete’s Advisory Council, the National Governing Bodies Council, or of the International Olympic Committee, during the 3-year period prior to appointment as an independent director;</text></subparagraph> 
<subparagraph id="HB0141C0964574961992869B3D182626"><enum>(C)</enum><text>has not, during the 3-year period prior to appointment as an independent director, received any compensation from, and does not have a personal service contract with, the corporation, any United States Olympic Entity, any International Olympic entity, or a member of the corporation’s senior management;</text></subparagraph> 
<subparagraph id="HE343F67EA82F4C4ABC056655C938205C"><enum>(D)</enum><text>has not, during the 3-year period prior to appointment as an independent director, had such a close affiliation with a company or firm that is counsel, auditor, advisor, paid consultant of, or has a material business relationship with, the corporation, any United States Olympic entity, any International Olympic entity, or a member of the corporation’s senior management, that in the judgment of the Nominating and Governance Committee would adversely affect the director’s ability to represent the interests of the United State public in the activities of the corporation;</text></subparagraph> 
<subparagraph id="H0AF32D42751F440D8BFF90D4A4E36FDB"><enum>(E)</enum><text>has no relationship with the corporation, any United States Olympic entity, any International Olympic entity, or a member of the corporation’s senior management that in the judgment of the Nominating and Governance Committee would adversely affect the director’s ability to represent the interests of the United State public in the activities of the corporation; and</text></subparagraph> 
<subparagraph id="HBE8290E3F55E4FA300E73709BBD800BA"><enum>(F)</enum><text>is not an immediate family member of any person described in subparagraphs (A) through (E).</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section> 
<section id="H50148087957B4F9585AA53637445097F"><enum>3.</enum><header>Purposes</header><text display-inline="no-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/36/220503">Section 220503</external-xref> of title 36, United States Code, is amended to read as follows:</text> 
<quoted-block style="USC" id="HB03D82BD3FC94E4CB08FB355A34C19D7" display-inline="no-display-inline"> 
<section id="HE66EA40A8578417800DC9EFB3FF8B8B"><enum>220503.</enum><header>Purposes</header><text display-inline="no-display-inline">The purposes of this corporation are—</text> 
<paragraph id="HBE18BDD052E04D069314F89411E5935C"><enum>(1)</enum><text>to exercise exclusive jurisdiction directly or through constituent members or committees, over—</text> 
<subparagraph id="H5DBD9EC0881C481A89CF4CBA69981B50"><enum>(A)</enum><text>all matters pertaining to the United States participation in the Olympic Games, the Paralympic Games, and the Pan American Games, including representation of the United States in such games; and</text></subparagraph> 
<subparagraph id="HFAC4203A9F46413D8C4461C716993FC6"><enum>(B)</enum><text>the organization of the Olympic Games, the Paralympic Games, and the Pan American Games when held in the United States;</text></subparagraph></paragraph> 
<paragraph id="HC12896E4242C4833846D39C200F64696"><enum>(2)</enum><text>to obtain for the United States, directly or by delegation to the appropriate national governing body or paralympic sports organization, the most competent amateur representation possible in each event of the Olympic Games, the Paralympic games, and the Pan American Games;</text></paragraph> 
<paragraph id="HE0DB83C6F1E6452E87417224D326EAC5"><enum>(3)</enum><text>to provide for swift resolution of conflicts or disputes involving amateur athletes, national governing bodies, paralympic sports organizations, and amateur sports organizations, and protect the opportunity of any amateur athlete, coach, trainer, manager, administrator, or official to participate in amateur competition; and</text></paragraph> 
<paragraph id="H6422A1DFF8EC436B00B1290025CE6021"><enum>(4)</enum><text>to encourage and provide assistance to amateur athletic programs and activities for women and men, athletes with disabilities, and athletes who are racial and ethnic minorities.</text></paragraph></section><after-quoted-block>.</after-quoted-block></quoted-block></section> 
<section id="H7DEE5654FEC04BE985752F01CCCAFD03"><enum>4.</enum><header>Governance</header> 
<subsection id="H5FDBABE838CF40C4B1341111771F4346"><enum>(a)</enum><header>In General</header><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/36/2205">Chapter 2205</external-xref> of title 36, United States Code, is amended by redesignating sections 220505 through 220512 as sections 220506 through 220513, respectively, and inserting after section 220504 the following new section:</text> 
<quoted-block style="USC" id="H50969B86B8124268803936E9B00E78B" display-inline="no-display-inline"> 
<section id="HA04CC76FF8824AE198431CE80011F6D5"><enum>220505.</enum><header>Governance</header> 
<subsection id="H8EEA35E9891F42378DB5AE06A1708F8F"><enum>(a)</enum><header>In General</header><text>Consistent with the provisions of this chapter, the corporation shall adopt bylaws to establish and maintain provisions with respect to its governance which shall include the requirements contained in subsections (b) through (f):</text> </subsection> 
<subsection id="H2077C10F1ABA46C1993C4171B6D1BFD"><enum>(b)</enum><header>Board of Directors</header> 
<paragraph id="HB69DA573F64F42E290ADA3C061F13500"><enum>(1)</enum><header>In general</header><text>The corporation shall be governed by a Board of Directors (in this chapter referred to as the <quote>Board</quote>) as follows: </text> 
<subparagraph id="H6EBDF522BBBE4EDFB84F00223797C29B"><enum>(A)</enum><header>Elected members</header><text>The Board shall be composed of 9 elected members who shall be nominated by the Nominating and Governance Committee (described in paragraph (7)(C)). The elected members shall consist of—</text> 
<clause id="H9B76F283B42F48F3B1E2CA549C7091"><enum>(i)</enum><text>5 members who shall be independent directors;</text></clause> 
<clause id="H1B22662F82D0401FB4F34B4977FB01F0"><enum>(ii)</enum><text>2 members who shall be elected from among individuals proposed by the National Governing Bodies Council; and</text></clause> 
<clause id="H7B3B960459154FA4B4FF10A74EFF822D"><enum>(iii)</enum><text>2 members who shall be elected from among individuals proposed by the Athlete’s Advisory Council.</text></clause> </subparagraph> 
<subparagraph id="HF7025734C5984EEEAE32EF8091DEB4E"><enum>(B)</enum><header>Ex officio members</header><text>The Board shall have as ex officio members the members of the International Olympic Committee (IOC) that are required by that committee’s charter.</text> </subparagraph> 
<subparagraph id="H9B1D028A58964727885EEFD4EA1E003B"><enum>(C)</enum><header>Non-voting members</header> 
<clause id="H0C54ACA327804FFC8794ABC1A03C2393"><enum>(i)</enum><header>Liaison of the Olympic Assembly</header><text>The liaison of the Olympic Assembly (described in subsection (d)(3)) shall serve as a nonvoting ex officio member of the Board.</text></clause> 
<clause id="H4B8777B16B3041E688841D789C35325E"><enum>(ii)</enum><header>Representation of Paralympic Sports Organization</header><text>Unless at least 1 of the elected members under subparagraph (A) is a representative of a paralympic sports organization, such a representative shall be appointed by the Nominating and Governance Committee of the Board to serve as a nonvoting member of the Board.</text> </clause></subparagraph></paragraph> 
<paragraph id="H0F450D5FCC2541B7B0FE1928954BD666"><enum>(2)</enum><header>Terms</header><text>Members of the Board shall serve for appointed terms in accordance with the bylaws of the corporation. Except as provided in paragraph (6), no member shall serve on the Board for a period greater than 6 years.</text></paragraph> 
<paragraph id="H0C4DA6F8659949F9B4BDD4E69FAD852C"><enum>(3)</enum><header>Qualifications</header><text>Each member shall have demonstrated the highest character and integrity, significant professional success, and a commitment to public service, and shall have demonstrated by their vocation or experience the capacity to further the objectives and purposes of the United States Olympic Committee, and shall have such other specific qualities or expertise as the Board considers necessary.</text></paragraph> 
<paragraph id="HB3DAD3208FB34C29BC82017CA54C7C6F"><enum>(4)</enum><header>Removal</header><text>Members may be removed from the Board only for cause, in accordance with the bylaws of the corporation.</text></paragraph> 
<paragraph id="HB7AB2C34FF0E433D946292FBA3CB1500"><enum>(5)</enum><header>Voting</header><text></text> 
<subparagraph id="H1091BF21ECFC4FA68BEB3CB180C9ED42"><enum>(A)</enum><header>In general</header> 
<clause id="HA2184146C6574144B01DDBDD2D608EA"><enum>(i)</enum><header>Elected members</header><text>Each of the 9 elected members described in paragraph (1)(A) shall have the number of votes equal to the number of ex officio members described in paragraph (1)(B).</text> </clause> 
<clause id="H5F5FA62BB86C4E1E819CCB95814BE5A8"><enum>(ii)</enum><header>ex officio members</header><text>The ex officio members described in paragraph (1)(B) shall each have 1 vote on all matters on which the Board votes except—</text> 
<subclause id="H5187D29C11084F2291290431DD438864"><enum>(I)</enum><text>the selection of the chair of the Board;</text></subclause> 
<subclause id="HD366B7A5267A420EBE1230C642D6AECE"><enum>(II)</enum><text>the election of new members; </text></subclause> 
<subclause id="H489D214DBDC949A6A77C2DC98C00F3C9"><enum>(III)</enum><text>the composition of Board committees; and</text></subclause> 
<subclause id="H0CAAAD9F139A405E81EBFF00F9D55CDB"><enum>(IV)</enum><text>any matter which presents such members with a conflict of interest.</text></subclause></clause></subparagraph> 
<subparagraph id="HF15C539B5FEB42E3AF568582A980D206"><enum>(B)</enum><header>Tie votes</header><text>A tie vote shall be broken as provided for in the bylaws of the corporation, in accordance with the following:</text> 
<clause id="H380B2E7DD65841069D7F1B1FBA18B507"><enum>(i)</enum><header>Matters of purely business and governance</header><text>On matters related purely to the business and governance of the corporation, a tie vote of the Board shall be broken by the majority of the votes cast by the independent directors described in paragraph (1)(A)(i).</text></clause> 
<clause id="H44B5BA6F191E487E9427649F68FB562C"><enum>(ii)</enum><header>Matters related to sport</header><text>On matters related to sport and all matters other than those described in clause (i), a tie vote of the Board shall be broken by a majority of the votes cast by the members described in clauses (ii) and (iii) of paragraph (1)(A), and the ex officio members described in paragraph (1)(B).</text></clause></subparagraph> </paragraph> 
<paragraph id="HAE5180DC3B184553ADD39405511B4D5E"><enum>(6)</enum><header>Chair</header><text>The Board shall elect 1 of the members to serve as chair of the Board, who shall serve as chair for a term of 4 years. The chair may serve an additional 2 years (beyond the term established for the Board in paragraph (2)) in order to complete his or her 4 year term as chair. The first chair elected after the date of enactment of the United States Olympic Committee Reform Act shall be an independent member.</text></paragraph> 
<paragraph id="HBF64C7EC46794720A57C01FF0010761B"><enum>(7)</enum><header>Committees</header><text>In addition to any committees, subcommittees, and task forces as may be necessary or appropriate and for which sufficient funds exist, the Board shall establish the following standing committees: </text> 
<subparagraph id="H1AF60AAF2E214C22BEAB00973E97697D"><enum>(A)</enum><text>An Audit Committee, consisting of—</text> 
<clause id="HA1F6008192FE4F26ACDEFCA3ECC6A423"><enum>(i)</enum><text>3 Board members described in paragraph (1)(A)(i); and</text></clause> 
<clause id="H2CEF23F214EB4AF18D166F251D761BAE"><enum>(ii)</enum><text>1 Board member described in paragraph (1)(A)(iii).</text></clause></subparagraph> 
<subparagraph id="H304AF87D635040AE968C3200EAA6D21"><enum>(B)</enum><text>An Ethics Committee, consisting of—</text> 
<clause id="H7015890CA7B04E2FBB7299BEE3DD7084"><enum>(i)</enum><text>3 persons who meet the definition of <quote>independent director</quote> in section 220501(b)(5) and who are not members of the Board;</text></clause> 
<clause id="HBCAA3CA141014744972E076E5EBD5CE8"><enum>(ii)</enum><text>1 person who meets the definition of <quote>amateur athlete</quote> in section 220501(b)(1) and who is not a member of the Board; and</text></clause> 
<clause id="HEB53FC6CA54944E69CF9BA2BDA8B2878"><enum>(iii)</enum><text>1 elected member of the Board described in paragraph (1)(A).</text></clause></subparagraph> 
<subparagraph id="H7080B53EA04344AC94CBB7E7A2E2132B"><enum>(C)</enum><text>A Nominating and Governance Committee and a Compensation Committee, each consisting of—</text> 
<clause id="H0B3EC141DEBC4665A7C01BB400A9A6EE"><enum>(i)</enum><text>3 Board members described in paragraph (1)(A)(i);</text></clause> 
<clause id="HA0D08D9AD08F4728AA00ABB600FCF527"><enum>(ii)</enum><text>1 Board member described in paragraph (1)(A)(ii); and</text></clause> 
<clause id="HB20ACC76940644D1003B9872299EF3D"><enum>(iii)</enum><text>1 Board member described in paragraph (1)(A)(iii).</text></clause></subparagraph></paragraph> 
<paragraph id="H932EE63D9F3B434F9880D6DAB2A0096"><enum>(8)</enum><header>Remuneration and Travel Expenses</header><text>The members of the Board shall not receive any compensation, fee, salary, or other remuneration for their service on the Board, but shall be reimbursed for actual and reasonable travel expenses incurred for attending Board meetings or in furtherance of duties that they have been requested to perform by the Chair.</text></paragraph> 
<paragraph id="H69BCA8D42B7F44C7A5C2001B2F7553DA"><enum>(9)</enum><header>Duties</header><text>The Board shall have the following duties:</text> 
<subparagraph id="HF96EE4A9B5C541978276FA09123ECEE7"><enum>(A)</enum><text>To oversee the corporation’s business and operations in the United States and abroad, including all matters relating to financial, commercial, legal, personnel, and governance.</text></subparagraph> 
<subparagraph id="HD2B9DD61D27F420DBD8F25C73B842D36"><enum>(B)</enum><text>To set the policy and direction of the corporation consistent with the corporation’s mission and purposes.</text></subparagraph> 
<subparagraph id="HA5C3A4F18EBA4335A09252BEDCA1FE8"><enum>(C)</enum><text>To establish a Nominating and Governance Committee to provide for a process for nominating new Board members.</text></subparagraph> 
<subparagraph id="H54D1FF56B25645F3B97D247BBDB9B6CF"><enum>(D)</enum><text>To elect new Board members from among those persons nominated by the Nominating and Governance Committee.</text></subparagraph> 
<subparagraph id="HFCC961F14C054D638896CECCB400DD"><enum>(E)</enum><text>To elect the chair of the Board.</text></subparagraph> 
<subparagraph id="H157B358EAB06446FABDBB5231C4390AE"><enum>(F)</enum><text>To select and evaluate the Chief Executive Officer.</text></subparagraph> 
<subparagraph id="H56BB05D151B34DC5A9E338BA513CF74"><enum>(G)</enum><text>To oversee the bid city process in the United States, and to monitor the organizing committee of the Olympic Games when the Games are held in the United States.</text> </subparagraph></paragraph></subsection> 
<subsection id="HCDAB8F4393AB4AAAA4744E9B008903AD"><enum>(c)</enum><header>Chief Executive Officer</header> 
<paragraph id="H81C4D4FFE0DB4A898F00AE77747CBBE7"><enum>(1)</enum><header>In General</header><text>The corporation shall have a chief executive officer who shall not be a member of the Board of Directors. The chief executive officer shall be elected by, and report to, the Board, as provided in the bylaws of the corporation. The chief executive officer shall be responsible, with Board approval, for filling other key senior management positions as provided in the bylaws of the corporation.</text></paragraph> 
<paragraph id="H3023BD372CA247BA9F2CC4009DFEB17D"><enum>(2)</enum><header>Duties</header><text>The chief executive officer shall, either directly or by delegation—</text> 
<subparagraph id="H7CD91901CE084378B94D00D0BEB0A019"><enum>(A)</enum><text>manage all staff functions and the day-to-day affairs and business operations of the corporation, including relations with international organizations; and</text></subparagraph> 
<subparagraph id="HFBCBC1BC871F4701A7DF611995C35B10"><enum>(B)</enum><text>implement the mission and policies of the corporation, as determined by the Board.</text></subparagraph></paragraph></subsection> 
<subsection id="H40936BA919C44AC0AFC8D078AA880080"><enum>(d)</enum><header>Olympic Assembly</header><text></text> 
<paragraph id="H96E5D332C5D244B2BF65A56043011118"><enum>(1)</enum><header>In general</header><text>The corporation shall have an Olympic Assembly (in this chapter referred to as the Assembly) in which all of the constituencies of the corporation shall be represented. The size and composition of the Assembly shall be determined by the Board and shall include—</text> 
<subparagraph id="H2F58B96A7BEF44E881C400820051FF56"><enum>(A)</enum><text>Olympic athletes and former Olympic athletes;</text></subparagraph> 
<subparagraph id="H353D4750F8D04BE494BD0000BBA9C9AA"><enum>(B)</enum><text>representatives of Olympic sports organizations;</text></subparagraph> 
<subparagraph id="HA4A6289E294C45A08798ABADBDAA41E9"><enum>(C)</enum><text>representatives of Pan American sports organizations;</text></subparagraph> 
<subparagraph id="H1F8D904539404D17AA49293F75CF26A1"><enum>(D)</enum><text>a representative of an affiliated sports organization;</text></subparagraph> 
<subparagraph id="HD0E95B1FAC7848A581D2473879E905AA"><enum>(E)</enum><text>representatives of community-based and education-based multisport organizations;</text></subparagraph> 
<subparagraph id="HC9F834CBF295473CAED5D8E99C33D94"><enum>(F)</enum><text>representatives of the United States Armed Forces; and</text></subparagraph> 
<subparagraph id="H2F55E1E68AF846649145E01400D6BEB1"><enum>(G)</enum><text>a representative of a State Olympic organization.</text> </subparagraph> </paragraph> 
<paragraph id="H1BDEDD2CCFC449BDBC8D42BA8BECC2BE"><enum>(2)</enum><header>Terms</header><text>Each member of the Assembly shall serve for a term of 4 years, beginning with the first meeting following a Summer Olympic Games and extending until the first meeting following the subsequent Summer Olympic Games. There shall be no limit to the number of terms which a member may serve.</text></paragraph> 
<paragraph id="HD5B2249C918A4B949ED9F3B9344E29BD"><enum>(3)</enum><header>Liaison</header><text>Each Assembly shall elect a liaison from among its members who shall preside over the annual meetings of the Assembly, and who shall be limited to serving 1 term of 4 years.</text></paragraph> 
<paragraph id="HB2D58FC8DA034998B0E0A0DAB794BCDA"><enum>(4)</enum><header>Role and responsibilities</header><text></text> 
<subparagraph id="HF86123B18B68448CBB50EC00F7C6435"><enum>(A)</enum><header>Required activities</header><text>The Assembly shall—</text> 
<clause id="H6AB5A0DD007D4E159899902D43A013AD"><enum>(i)</enum><text>meet annually, at the time of a meeting of the Board of Directors, to represent the interests of its members; and</text></clause> 
<clause id="H6C6D43C503094679A28333DE245F2D3F"><enum>(ii)</enum><text>receive and review reports from the Board concerning sport matters and the business of the corporation.</text></clause></subparagraph> 
<subparagraph id="HC36B7B88EAD4494FA5DA7766C703B522"><enum>(B)</enum><header>Permitted activities</header><text>The Assembly may—</text> 
<clause id="H3D47702D6E73450F97F7E73E52A100A6"><enum>(i)</enum><text>propose items for consideration by the chair to be included on the agenda for the Board; and</text></clause> 
<clause id="H44B1761F6FCE45E9A938A411E130005D"><enum>(ii)</enum><text>perform other functions as the Board determines to be appropriate.</text></clause></subparagraph></paragraph> 
<paragraph id="H7923383C650942B1B6720600A842383E"><enum>(5)</enum><header>Expenses</header><text>The Board shall set the budget for the Assembly, which may pay the actual and reasonable expenses of members of the Assembly to attend the annual meeting, and any special meetings called by the Board.</text></paragraph></subsection> 
<subsection id="H6CB934480500493E8B148D3BBE4CBD8C"><enum>(e)</enum><header>Standards and Compliance Program</header><text>The corporation shall maintain a standards and compliance program that includes, at minimum, the following requirements:</text> 
<paragraph id="H2D6F717E23EF402781237E476E27009D"><enum>(1)</enum><text>The development and distribution of written standards of conduct, as well as written policies, procedures, and protocols that promote the United States Olympic Committee’s commitment to compliance with such standards and address specific areas of potential infractions of compliance. </text></paragraph> 
<paragraph id="HCF6C4CF1F28F4F0184E42C67005B88A5"><enum>(2)</enum><text>The designation of a compliance or ethics officer at the executive level who shall report to the Board and shall be charged with the responsibility for developing, operating, and monitoring the compliance program.</text></paragraph> 
<paragraph id="H2F4163B2184F4A40BD67D4BDEB3FD215"><enum>(3)</enum><text>The development and implementation of regular, effective education and training programs for all affected United States Olympic Committee employees, including paid senior management, officers, volunteers, and directors of a member organization.</text></paragraph> 
<paragraph id="HCDA9D82D79CE4529BC3BF1632782B1A6"><enum>(4)</enum><text>The creation and maintenance of an effective line of communication between the compliance officer and all United States Olympic Committee employees and volunteers, including a process, such as a hotline or other reporting system, to receive complaints, and the adoption of procedures to protect the anonymity of complainants and to protect complainants from retaliation.</text></paragraph> 
<paragraph id="H120C9D53319D4D928B1F9443D22BC8C"><enum>(5)</enum><text>The use of audits and other risk evaluation techniques to monitor compliance, identify problem areas, affecting the United States Olympic Committee, its officers, employees, and volunteers, and assist in the reduction of identified problems.</text></paragraph> 
<paragraph id="H32ADC282F99D4303BF76F8CFB0A54400"><enum>(6)</enum><text>The development of policies and procedures with respect to the investigation of identified systemic problems, which include direction regarding the prompt and proper response to detected offenses, such as the initiation of appropriate corrective action and preventive measures.</text></paragraph> 
<paragraph id="HD3909E0295AA4C1CBDF02811DF30D6B"><enum>(7)</enum><text>The development of a system to respond to allegations of illegal or improper activities and the enforcement of appropriate disciplinary action against United States Olympic Committee employees who have violated internal compliance policies, applicable statutes, regulations, or other United states Olympic Committee requirements.</text></paragraph></subsection> 
<subsection id="HEEF591B49CBE40D995BAAE66F5B6D9FB"><enum>(f)</enum><header>10-year Review</header><text>Not later than January 1, 2014, and every 10 years thereafter, the Board shall appoint an independent commission to study and determine whether the governance structure of the corporation continues to serve the purpose for which it was created. Such commission shall transmit to Congress a report which shall include recommendations for changes to the governance structure of the corporation.</text></subsection> </section><after-quoted-block>.</after-quoted-block></quoted-block></subsection>

<paragraph id="HACF41E0E6128462B922C7EAC95221EF1"><enum>(2)</enum><header>Initial Nominating and Governance Committee</header><text></text> 
<subparagraph id="HA0C938113B814A8A8BC3A8F1C2F7A4F5"><enum>(A)</enum><header>In general</header><text>Until the initial Board of Directors has been elected and taken office, the Nominating and Governance Committee required by <external-xref legal-doc="usc" parsable-cite="usc/36/220505">section 220505(b)(6)(C)</external-xref> of title 36, United States Code, (as amended by this Act) shall consist of—</text> 
<clause id="H4615C46D7A7F49ACAE5CA68349471DAE"><enum>(i)</enum><text>1 individual selected by the Athlete’s Advisory Council from among its members; </text></clause> 
<clause id="H6E92EDF04A1949EC8DBAC82F967D3E4"><enum>(ii)</enum><text>1 individual selected by the National Governing Bodies’ Council from among its members; </text></clause> 
<clause id="HA23240F7012A422A8F9BA9D4D3A7E96F"><enum>(iii)</enum><text>1 individual selected by the public-sector directors of the United States Olympic Committee from among such directors serving on the date of enactment of this Act; </text></clause> 
<clause id="H7B8F8630057741FD93564490B043F141"><enum>(iv)</enum><text>1 individual selected by the Governance and Ethics Task Force established by the United States Olympic Committee in February, 2003, from among its members; and</text></clause> 
<clause id="HDE3B691F70834044A4DC93808360BC3"><enum>(v) </enum><text>1 individual selected by the Independent Commission on Reform established by the United States Olympic Committee in March, 2003, from among its members, who shall chair the committee.</text></clause></subparagraph> 
<subparagraph id="HB9BAFDF9A9EF4F32B1B68C926388EB4E"><enum>(B)</enum><header>Election of new board of directors</header><text>The Nominating and Governance Committee established by paragraph (2) shall—</text> 
<clause id="H4A7B495475D8464C86B108BE20A1C9F6"><enum>(i)</enum><text>elect an initial Board of Directors who shall serve for the terms provided in <external-xref legal-doc="usc" parsable-cite="usc/36/220505">section 220505(b)(2)(C)</external-xref> of title 36, United States Code (as amended by this Act); and </text></clause> 
<clause id="HD776097DD5504BF7A0FEECF44B2E54A1"><enum>(ii)</enum><text>elect 1 of the independent members described in section 220505(b)(1)(A)(i) of that title (as amended by this Act) to serve as chair until the terms of the members elected under clause (i) have expired.</text></clause></subparagraph> 
<subparagraph id="H2F2E30CF7D794338866534DCE91847D"><enum>(C)</enum><header>Eligibility for new board of directors</header><text>Members of the initial Nominating and Governance Committee shall not be eligible to serve on the initial Board of Directors that has been elected under subparagraph (B), but shall be eligible for election to subsequent Boards.</text></subparagraph></paragraph></subsection></section>

<section id="HDE121984AB5C45958CBC1D00E0927D87" section-type="subsequent-section"><enum>7.</enum><header>Promotion of Travel and Tourism in the United States</header> 
<subsection id="H9D61119D27B24B34888B47A9FDA882C4"><enum>(a)</enum><header>In general</header><text>The Secretary of Commerce shall make grants to qualifying State entities to encourage international visitors to travel to and within the United States for tourism purposes in conjunction with the United States hosting the Olympic or Pan-American Games. The Secretary may require a State entity seeking a grant authorized by this section to submit an application for such grant at such time and in such form and manner as the Secretary may prescribe.</text></subsection> 
<subsection id="H27C9D7A604CD433CBE008106D16C3034"><enum>(b)</enum><header>Qualifying State Entity</header><text>As used in this section, the term <quote>qualifying State entity</quote> means a State or local agency having authority under State or local law to conduct programs to promote travel and tourism, including State and local convention and visitor bureaus, multi-State entities governed by State tourism directors, and multi-jurisdiction entities governed by local tourism directors.</text> </subsection> 
<subsection id="HEF9C3539F3914CCFB690AE5601F64331"> <enum>(c)</enum><header>Support of other programs or costs prohibited</header><text>Amounts appropriated under subsection (d) shall not be available to—</text> 
<paragraph id="H3960C6217DB144DD869ED56E88913C83"><enum>(1)</enum><text>cover the cost of any Federal, State, or local government program or marketing activity other than those authorized under this Act; </text></paragraph> 
<paragraph id="HABA4F64968634F0CB42F6D1B76B868CD"><enum>(2)</enum><text>reimburse the Federal Government for any function performed by an employee or agent of the Federal Government; or</text></paragraph> 
<paragraph id="H64B3CA94296B413E9E00BBC3220549E2"><enum>(3)</enum><text>create any additional full-time equivalent positions within the Federal Government.</text></paragraph></subsection> 
<subsection id="H29A275076BC74D4AB0A51E245CEED8B"><enum>(d)</enum><header>Funding</header><text></text> 
<paragraph id="HED57ECCDF9FA4C7794DA3354EDC80ED"><enum>(1)</enum><header>Authorization of Appropriations</header><text>There is authorized to be appropriated to the Secretary of Commerce $1,000,000 for any year in which the United States hosts the Olympic or the Pan-American Games, to remain available until expended.</text></paragraph> 
<paragraph id="HEE4A5E3C37CA4421BBA0177822C9D63D"><enum>(2)</enum><header>Reversion of unobligated amounts</header><text>Funds appropriated pursuant to paragraph (1) that remain unexpended and unobligated at the end of the fiscal year in which such games are hosted in the United States shall revert to the Treasury of the United States.</text></paragraph></subsection></section> 
<section id="H5402F4F24F924D89899DD796B8AE0608"><enum>8.</enum><header>Study of Impact to Interstate Commerce of Hosting Olympic Games</header> 
<subsection id="HCF9EE0695A894B3B8DC38E8241A98F3"><enum>(a)</enum><header>Study</header><text>The Secretary of Commerce shall conduct a study on the projected impact on commerce of a United States bid city hosting the Olympic Games. The study shall include—</text> 
<paragraph id="H0D8532E91CBF4E79BF2E763D6EDC3B51"><enum>(1)</enum><text>a projection of the costs and benefits to the host city and surrounding region of hosting the Olympic Games;</text></paragraph> 
<paragraph id="H64566883CE7D49668B90DE77F891C6FF"><enum>(2)</enum><text>an analysis of the future economic benefit to be derived from any new infrastructure resulting from hosting the Olympic Games;</text></paragraph> 
<paragraph id="H05F14481003A4123B02D307D43ECE96C"><enum>(3)</enum><text>an assessment of the benefits to interstate commerce from preparing for and hosting the Olympic Games, including new infrastructure, job creation, travel and tourism, and the marketing of goods and services; and</text></paragraph> 
<paragraph id="H10B2416B089F4C0EA622BA85C9B00BC"><enum>(4)</enum><text>a comparison of projected benefits of hosting the Olympic Games to the benefits derived by former United States Olympic host cities.</text></paragraph></subsection> 
<subsection id="H5F24A76F7DEB4B24BBA58C24E07100A7"><enum>(b)</enum><header>Report</header><text>Not later than 1 year after the date of the enactment of this Act, the Secretary of Commerce shall transmit to the Committee on Energy and Commerce of the House of Representatives and the Committee on Commerce, Science, and Transportation of the Senate a report of the findings of the study required by this section. </text> </subsection></section>
