<section id="d745e90" identifier="/us/pl/119/57/s1" style="-uslm-lc:I658146"><num class="bold" value="1">SECTION 1. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x3aeb427f-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t36/s101">36 USC 101 note</ref>.</p></sidenote><heading>SHORT TITLE.</heading><content style="-uslm-lc:I658120">  This Act may be cited as the “<shortTitle role="act">Foundation of the Federal Bar Association Charter Amendments Act of 2025</shortTitle>”.</content></section>
<section id="d745e105" identifier="/us/pl/119/57/s2" role="instruction" style="-uslm-lc:I658141"><num class="fontsize12" value="2">SEC. 2. </num><heading>ORGANIZATION.</heading><chapeau class="indentUp0 firstIndent0 fontsize10" id="x3aeb6990-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120">  <ref href="/us/usc/t36/s70501">Section 70501 of title 36, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction>—</chapeau><paragraph class="fontsize10" id="y3aeb6991-e4c2-11f0-a1e4-69761a48a15a" identifier="/us/pl/119/57/s2/1" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><content>by <amendingAction type="delete">striking</amendingAction> subsection (b); and</content></paragraph>

<section id="d745e136" identifier="/us/pl/119/57/s3" role="instruction" style="-uslm-lc:I658141"><num class="fontsize12" value="3">SEC. 3. </num><heading>MEMBERSHIP.</heading><chapeau class="indentUp0 firstIndent0 fontsize10" id="x3aeb90a3-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120">  <ref href="/us/usc/t36/s70503">Section 70503 of title 36, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction>—</chapeau><paragraph class="fontsize10" id="y3aeb90a4-e4c2-11f0-a1e4-69761a48a15a" identifier="/us/pl/119/57/s3/1" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><content>by <amendingAction type="delete">striking</amendingAction> subsections (a) and (b) and <amendingAction type="insert">inserting</amendingAction> the following:<quotedContent><subsection class="indentDown1 firstIndent0 fontsize10" id="y3aebb7b5-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">“(a) </num><heading class="fontsize10"><inline class="smallCaps">Eligibility</inline>.—</heading><content>Except as provided in this chapter, eligibility for membership in the corporation and the rights and privileges of members are as provided in the bylaws.”</content></subsection>

<section id="d745e182" identifier="/us/pl/119/57/s4" role="instruction" style="-uslm-lc:I658141"><num class="fontsize12" value="4">SEC. 4. </num><heading>GOVERNING BODY.</heading><content class="firstIndent0 fontsize10" id="x3aebdec7-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120">  <ref href="/us/usc/t36/s70504">Section 70504 of title 36, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction> to read as follows:<quotedContent><section class="centered fontsize12" id="y3aebdec8-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658165"><num class="fontsize12" value="70504">“§ 70504.</num><heading class="fontsize12"> Governing body</heading><subsection class="firstIndent0 fontsize10" id="y3aebdec9-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">“(a) </num><heading class="fontsize10"><inline class="smallCaps">Board of Directors</inline>.—</heading><content>The board of directors is the governing body of the corporation. The board may exercise, or provide for the exercise of, the powers of the corporation. The board of directors and the responsibilities of the board are as provided in the bylaws.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y3aebdeca-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">“(b) </num><heading class="fontsize10"><inline class="smallCaps">Officers</inline>.—</heading><content>The officers and the election of the officers are as provided for in the bylaws.”</content></subsection>

<section id="d745e222" identifier="/us/pl/119/57/s5" role="instruction" style="-uslm-lc:I658141"><num class="fontsize12" value="5">SEC. 5. </num><heading>RESTRICTIONS.</heading><content class="firstIndent0 fontsize10" id="x3aec2ceb-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120">  <ref href="/us/usc/t36/s70507">Section 70507 of title 36, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction> to read as follows:<quotedContent><section class="centered fontsize12" id="y3aeca21c-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658165"><num class="fontsize12" value="70507">“§ 70507.</num><heading class="fontsize12"> Restrictions</heading><subsection class="firstIndent0 fontsize10" id="y3aeca21d-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">“(a) </num><heading class="fontsize10"><inline class="smallCaps">Stock and Dividends</inline>.—</heading><content>The corporation may not issue stock or declare or pay a dividend.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y3aeca21e-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">“(b) </num><heading class="fontsize10"><inline class="smallCaps">Political Activities</inline>.—</heading><page identifier="/us/stat/139/712">139 STAT. 712</page>
<paragraph class="fontsize10" id="y3aeca21f-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><content>The activities, funds, income, and property of the corporation may not be used to carry on political activity or attempt to influence legislation.</content></paragraph>
<paragraph class="fontsize10" id="y3aeca220-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">No contribution, support, or participation</inline>.—</heading><content>The corporation or a director or officer in the corporate capacity of the director of officer may not contribute to, support, or participate in any political activity or in any manner attempt to influence legislation.</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y3aeca221-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="c">“(c) </num><heading class="fontsize10"><inline class="smallCaps">Distribution of Income or Assets</inline>.—</heading><paragraph class="fontsize10" id="y3aeca222-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><chapeau>The income or assets of the corporation may not inure to the benefit of, or be distributed to, a director, officer, or member during the life of the charter granted by this chapter. This subsection does not prevent the payment, in amounts approved by the board of directors, of—</chapeau><subparagraph class="fontsize10" id="y3aecc833-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>reasonable compensation; or</content></subparagraph>
<subparagraph class="fontsize10" id="y3aecc834-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>reimbursement for expenses incurred in undertaking the corporation’s business, to officers, directors, or members.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y3aecc835-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">Rule of construction</inline>.—</heading><chapeau>This subsection shall not be construed to—</chapeau><subparagraph class="fontsize10" id="y3aecc836-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>prevent the award of a grant to a Federal Bar Association chapter of which an officer, director, or member may be a member; or</content></subparagraph>
<subparagraph class="fontsize10" id="y3aecc837-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>prevent the payment of reasonable compensation to the corporation’s employees for services undertaken on behalf of the corporation.</content></subparagraph>

</subsection>
<subsection class="firstIndent0 fontsize10" id="y3aecc838-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="d">“(d) </num><heading class="fontsize10"><inline class="smallCaps">Loans</inline>.—</heading><content>The corporation may not make a loan to a director, officer, member, or employee.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y3aecc839-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="e">“(e) </num><heading class="fontsize10"><inline class="smallCaps">Immunity From Liability</inline>.—</heading><content>Members and private individuals are not liable for the obligations of the corporation.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y3aecc83a-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="f">“(f) </num><heading class="fontsize10"><inline class="smallCaps">Claim of Governmental Approval or Authority</inline>.—</heading><chapeau>The corporation—</chapeau><paragraph class="fontsize10" id="y3aecc83b-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><content>may not claim congressional approval or the authority of the United States Government for any of its activities; and</content></paragraph>
<paragraph class="fontsize10" id="y3aecc83c-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><content>may acknowledge this charter.”</content></paragraph>

<section id="d745e366" identifier="/us/pl/119/57/s6" role="instruction" style="-uslm-lc:I658141"><num class="fontsize12" value="6">SEC. 6. </num><heading>PRINCIPAL OFFICE.</heading><content style="-uslm-lc:I658120">  <ref href="/us/usc/t36/s70508">Section 70508 of title 36, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction> by <amendingAction type="delete">striking</amendingAction> “<quotedText>the District of Columbia,</quotedText>” and <amendingAction type="insert">inserting</amendingAction> “<quotedText>a United States location decided by the board of directors and specified in the bylaws,</quotedText>”.</content></section>
<section id="d745e385" identifier="/us/pl/119/57/s7" role="instruction" style="-uslm-lc:I658141"><num class="fontsize12" value="7">SEC. 7. </num><heading>SERVICE OF PROCESS.</heading><content class="firstIndent0 fontsize10" id="x3aecef4d-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120">  <ref href="/us/usc/t36/s70510">Section 70510 of title 36, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction> to read as follows:<quotedContent><section class="centered fontsize12" id="y3aecef4e-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658165"><num class="fontsize12" value="70510">“§ 70510.</num><heading class="fontsize12"><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x3aecef4f-e4c2-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Compliance.</p></sidenote> Service of process</heading><content class="indentUp0 firstIndent0 fontsize10" style="-uslm-lc:I658120">  “The corporation shall comply with the law on service of process of the State or District in which it is incorporated.”</content></section>
