<section id="d53238e92" identifier="/us/pl/117/82/s1" style="-uslm-lc:I658146"><num class="bold" value="1">SECTION 1. </num><heading>SHORT TITLE.</heading><content style="-uslm-lc:I658120">  This Act may be cited as the “<shortTitle role="act">Puerto Rico Recovery Accuracy in Disclosures Act of 2021</shortTitle>” or “<shortTitle role="act">PRRADA</shortTitle>”.</content></section>
<section id="d53238e105" identifier="/us/pl/117/82/s2" style="-uslm-lc:I658141"><num class="fontsize12" value="2">SEC. 2. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x70b7e36d-e812-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180"><ref href="/us/usc/t48/s2178">48 USC 2178</ref>.</p></sidenote><heading>DISCLOSURE BY PROFESSIONAL PERSONS SEEKING APPROVAL OF COMPENSATION UNDER SECTION 316 OR 317 OF PROMESA.</heading><subsection class="firstIndent0 fontsize10" id="y70b8f4de-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">(a) </num><heading class="fontsize10"><inline class="smallCaps">Definitions</inline>.—</heading><chapeau>In this section:</chapeau><paragraph class="fontsize10" id="y70b8f4df-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/a/1" role="definitions" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><heading class="fontsize10"><inline class="smallCaps">List of material interested parties</inline>.—</heading><content>The term “<term>List of Material Interested Parties</term>” means the List of Material Interested Parties established under subsection (c)(1).</content></paragraph>
<paragraph class="fontsize10" id="y70b8f4e0-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/a/2" role="definitions" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">(2) </num><heading class="fontsize10"><inline class="smallCaps">Oversight board</inline>.—</heading><content>The term “<term>Oversight Board</term>” has the meaning given the term in section 5 of PROMESA (<ref href="/us/usc/t48/s2104">48 U.S.C. 2104</ref>).</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y70b8f4e1-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/b" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">(b) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x70b8f4e2-e812-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180">Courts.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Required Disclosure</inline>.—</heading><paragraph class="fontsize10" id="y70b8f4e3-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/b/1" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><content>In a case commenced under section 304 of PROMESA (<ref href="/us/usc/t48/s2164">48 U.S.C. 2164</ref>), no attorney, accountant, appraiser, auctioneer, agent, or other professional person may be compensated under section 316 or 317 of that Act (<ref href="/us/usc/t48/s2176">48 U.S.C. 2176</ref>, 2177) unless prior to making a request for compensation, the professional person has filed with the court a verified statement conforming to the disclosure requirements of rule 2014(a) of the Federal Rules of Bankruptcy Procedure setting forth the connection of the professional person with any entity or person on the List of Material Interested Parties.</content></paragraph>
<paragraph class="fontsize10" id="y70b8f4e4-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/b/2" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">(2) </num><heading class="fontsize10"><inline class="smallCaps">Supplement</inline>.—</heading><content>A professional person that submits a statement under paragraph (1) shall promptly supplement the statement with any additional relevant information that becomes known to the person.</content></paragraph>
<paragraph class="fontsize10" id="y70b8f4e5-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/b/3" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">(3) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x70b8f4e6-e812-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180">Determination.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Disclosure</inline>.—</heading><content>Subject to any other applicable law, rule, or regulation, a professional person that fails to file or update a statement required under paragraph (1) or files a statement that the court determines does not represent a good faith effort to comply with this section shall disclose such failure in any filing required to conform to the disclosure requirements under rule 2014(a) of the Federal Rules of Bankruptcy Procedure.</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y70b8f4e7-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="c">(c) </num><heading class="fontsize10"><inline class="smallCaps">List of Material Interested Parties</inline>.—</heading><page identifier="/us/stat/136/4">136 STAT. 4</page>
<paragraph class="fontsize10" id="y70b8f4e8-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/1" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x70b8f4e9-e812-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180">Deadline.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Preparation</inline>.—</heading><chapeau>Not later than 30 days after the date of enactment of this Act, the Oversight Board shall establish a List of Material Interested Parties subject to—</chapeau><subparagraph class="fontsize10" id="y70b8f4ea-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/1/A" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">(A) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x70b8f4eb-e812-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180">Courts.</p></sidenote><content>the approval of the court; and</content></subparagraph>
<subparagraph class="fontsize10" id="y70b8f4ec-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/1/B" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">(B) </num><content>the right of the United States trustee or any party in interest to be heard on the approval.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y70b8f4ed-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">(2) </num><heading class="fontsize10"><inline class="smallCaps">Inclusions</inline>.—</heading><chapeau>Except as provided in paragraph (3), the List of Material Interested Parties shall include—</chapeau><subparagraph class="fontsize10" id="y70b8f4ee-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/A" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">(A) </num><content>the debtor;</content></subparagraph>
<subparagraph class="fontsize10" id="y70b8f4ef-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/B" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">(B) </num><content>any creditor;</content></subparagraph>
<subparagraph class="fontsize10" id="y70b8f4f0-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/C" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">(C) </num><content>any other party in interest;</content></subparagraph>
<subparagraph class="fontsize10" id="y70b8f4f1-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/D" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="D">(D) </num><chapeau>any attorney or accountant of—</chapeau><clause class="fontsize10" id="y70b8f4f2-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/D/i" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">(i) </num><content>the debtor;</content></clause>
<clause class="fontsize10" id="y70b8f4f3-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/D/ii" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">(ii) </num><content>any creditor; or</content></clause>
<clause class="fontsize10" id="y70b8f4f4-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/D/iii" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="iii">(iii) </num><content>any other party in interest;</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y70b8f4f5-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/E" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="E">(E) </num><content>the United States trustee and any person employed in the office of the United States trustee; and</content></subparagraph>
<subparagraph class="fontsize10" id="y70b8f4f6-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/2/F" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="F">(F) </num><content>the Oversight Board, including the members, the Executive Director, and the employees of the Oversight Board.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y70b8f4f7-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/c/3" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">(3) </num><heading class="fontsize10"><inline class="smallCaps">Exclusions</inline>.—</heading><content>The List of Material Interested Parties may not include any person with a claim, the amount of which is below a threshold dollar amount established by the court that is consistent with the purpose of this Act.</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y70b8f4f8-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/d" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="d">(d) </num><heading class="fontsize10"><inline class="smallCaps">Review</inline>.—</heading><paragraph class="fontsize10" id="y70b91b09-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/d/1" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><content>The United States trustee shall review each verified statement submitted pursuant to subsection (b) and may file with the court comments on such verified statements before the professionals filing such statements seek compensation under section 316 or 317 of PROMESA (<ref href="/us/usc/t48/s2176">48 U.S.C. 2176</ref>, 2177).</content></paragraph>
<paragraph class="fontsize10" id="y70b91b0a-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/d/2" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">(2) </num><heading class="fontsize10"><inline class="smallCaps">Objection</inline>.—</heading><content>The United States trustee may object to applications filed under section 316 or 317 of PROMESA (<ref href="/us/usc/t48/s2176">48 U.S.C. 2176</ref>, 2177) that fail to satisfy the requirements of subsection (b).</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y70b91b0b-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/e" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="e">(e) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x70b91b0c-e812-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180">Courts.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Limitation on Compensation</inline>.—</heading><chapeau>In a case commenced under section 304 of PROMESA (<ref href="/us/usc/t48/s2164">48 U.S.C. 2164</ref>), in connection with the review and approval of professional compensation under section 316 or 317 of PROMESA (<ref href="/us/usc/t48/s2176">48 U.S.C. 2176</ref>, 2177) filed after the date of enactment of this Act, the court may deny allowance of compensation or reimbursement of expenses if—</chapeau><paragraph class="fontsize10" id="y70b91b0d-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/e/1" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><content>the professional person has failed to file the verified disclosure statements required under subsection (b)(1) or has filed inadequate disclosure statements under that subsection; or</content></paragraph>
<paragraph class="fontsize10" id="y70b91b0e-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/e/2" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">(2) </num><chapeau>during the professional person’s employment in connection with the case, the professional person—</chapeau><subparagraph class="fontsize10" id="y70b91b0f-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/e/2/A" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">(A) </num><content>is not a disinterested person (as defined in <ref href="/us/usc/t11/s101">section 101 of title 11, United States Code</ref>) relative to any entity or person on the List of Material Interested Parties; or<page identifier="/us/stat/136/5">136 STAT. 5</page></content></subparagraph>
<subparagraph class="fontsize10" id="y70b91b10-e812-11f0-bc57-ad3ac4b1618c" identifier="/us/pl/117/82/s2/e/2/B" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">(B) </num><content>represents or holds an adverse interest in connection with the case.</content></subparagraph>
