<section id="d65247e98" identifier="/us/pl/117/224/s1" style="-uslm-lc:I658146"><num class="bold" value="1">SECTION 1. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x3b472516-e819-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t42/s19401">42 USC 19401 note</ref>.</p></sidenote><heading>SHORT TITLE.</heading><content style="-uslm-lc:I658120">  This Act may be cited as the “<shortTitle role="act">Speak Out Act</shortTitle>”.</content></section>
<section id="d65247e113" identifier="/us/pl/117/224/s2" style="-uslm-lc:I658141"><num class="fontsize12" value="2">SEC. 2. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x3b474c27-e819-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t42/s19401">42 USC 19401</ref>.</p></sidenote><heading>FINDINGS.</heading><chapeau class="indentUp0 firstIndent0 fontsize10" id="x3b479a48-e819-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120">  Congress finds the following:</chapeau><paragraph class="fontsize10" id="y3b479a49-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s2/1" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><content>Sexual harassment and assault remain pervasive in the workplace and throughout civic society, affecting millions of Americans.</content></paragraph>
<paragraph class="fontsize10" id="y3b479a4a-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s2/2" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">(2) </num><content>Eighty-one percent of women and 43 percent of men have experienced some form of sexual harassment or assault throughout their lifetime.</content></paragraph>
<paragraph class="fontsize10" id="y3b479a4b-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s2/3" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">(3) </num><content>One in 3 women has faced sexual harassment in the workplace during her career, and an estimated 87 to 94 percent of those who experience sexual harassment never file a formal complaint.</content></paragraph>
<paragraph class="fontsize10" id="y3b479a4c-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s2/4" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="4">(4) </num><content>Sexual harassment in the workplace forces many women to leave their occupation or industry, or pass up opportunities for advancement.</content></paragraph>
<paragraph class="fontsize10" id="y3b479a4d-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s2/5" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="5">(5) </num><content>In order to combat sexual harassment and assault, it is essential that victims and survivors have the freedom to report and publicly disclose their abuse.</content></paragraph>
<paragraph class="fontsize10" id="y3b479a4e-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s2/6" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="6">(6) </num><content>Nondisclosure and nondisparagement provisions in agreements between employers and current, former, and prospective employees, and independent contractors, and between providers of goods and services and consumers, can perpetuate illegal conduct by silencing those who are survivors of illegal sexual harassment and assault or illegal retaliation, or have knowledge of such conduct, while shielding perpetrators and enabling them to continue their abuse.</content></paragraph>
<paragraph class="fontsize10" id="y3b479a4f-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s2/7" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="7">(7) </num><content>Prohibiting nondisclosure and nondisparagement clauses will empower survivors to come forward, hold perpetrators accountable for abuse, improve transparency around illegal conduct, enable the pursuit of justice, and make workplaces safer and more productive for everyone.</content></paragraph>

<section id="d65247e161" identifier="/us/pl/117/224/s3" style="-uslm-lc:I658141"><num class="fontsize12" value="3">SEC. 3. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x3b47c160-e819-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t42/s19402">42 USC 19402</ref>.</p></sidenote><heading>DEFINITIONS.</heading><chapeau class="indentUp0 firstIndent0 fontsize10" id="x3b47e871-e819-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120">  In this Act:</chapeau><paragraph class="fontsize10" id="y3b47e872-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s3/1" role="definitions" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><heading class="fontsize10"><inline class="smallCaps">Nondisclosure clause</inline>.—</heading><content>The term “<term>nondisclosure clause</term>” means a provision in a contract or agreement that<page identifier="/us/stat/136/2291">136 STAT. 2291</page>
 requires the parties to the contract or agreement not to disclose or discuss conduct, the existence of a settlement involving conduct, or information covered by the terms and conditions of the contract or agreement.</content></paragraph>
<paragraph class="fontsize10" id="y3b47e873-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s3/2" role="definitions" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">(2) </num><heading class="fontsize10"><inline class="smallCaps">Nondisparagement clause</inline>.—</heading><content>The term “<term>nondisparagement clause</term>” means a provision in a contract or agreement that requires 1 or more parties to the contract or agreement not to make a negative statement about another party that relates to the contract, agreement, claim, or case.</content></paragraph>
<paragraph class="fontsize10" id="y3b47e874-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s3/3" role="definitions" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">(3) </num><heading class="fontsize10"><inline class="smallCaps">Sexual assault dispute</inline>.—</heading><content>The term “<term>sexual assault dispute</term>” means a dispute involving a nonconsensual sexual act or sexual contact, as such terms are defined in <ref href="/us/usc/t18/s2246">section 2246 of title 18, United States Code</ref>, or similar applicable Tribal or State law, including when the victim lacks capacity to consent.</content></paragraph>
<paragraph class="fontsize10" id="y3b47e875-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s3/4" role="definitions" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="4">(4) </num><heading class="fontsize10"><inline class="smallCaps">Sexual harassment dispute</inline>.—</heading><content>The term “<term>sexual harassment dispute</term>” means a dispute relating to conduct that is alleged to constitute sexual harassment under applicable Federal, Tribal, or State law.</content></paragraph>

<section id="d65247e218" identifier="/us/pl/117/224/s4" style="-uslm-lc:I658141"><num class="fontsize12" value="4">SEC. 4. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x3b480f86-e819-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t42/s19403">42 USC 19403</ref>.</p></sidenote><heading>LIMITATION ON JUDICIAL ENFORCEABILITY OF NONDISCLOSURE AND NONDISPARAGEMENT CONTRACT CLAUSES RELATING TO SEXUAL ASSAULT DISPUTES AND SEXUAL HARASSMENT DISPUTES.</heading><subsection class="firstIndent0 fontsize10" id="y3b483697-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s4/a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">(a) </num><heading class="fontsize10"><inline class="smallCaps">In General</inline>.—</heading><content>With respect to a sexual assault dispute or sexual harassment dispute, no nondisclosure clause or nondisparagement clause agreed to before the dispute arises shall be judicially enforceable in instances in which conduct is alleged to have violated Federal, Tribal, or State law.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y3b483698-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s4/b" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">(b) </num><heading class="fontsize10"><inline class="smallCaps">Continued Applicability of State Law</inline>.—</heading><content>Nothing in this Act shall prohibit a State or locality from enforcing a provision of State law governing nondisclosure or nondisparagement clauses that is at least as protective of the right of an individual to speak freely, as provided by this Act.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y3b483699-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s4/c" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="c">(c) </num><heading class="fontsize10"><inline class="smallCaps">Continued Applicability of Federal, State, and Tribal Law</inline>.—</heading><content>This Act shall not be construed to supersede a provision of Federal, State, or Tribal Law that governs the use of pseudonyms in the filing of claims involving sexual assault or sexual harassment disputes.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y3b48369a-e819-11f0-a1e4-69761a48a15a" identifier="/us/pl/117/224/s4/d" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="d">(d) </num><heading class="fontsize10"><inline class="smallCaps">Protection of Trade Secrets and Proprietary Information</inline>.—</heading><content>Nothing in this Act shall prohibit an employer and an employee from protecting trade secrets or proprietary information.<page identifier="/us/stat/136/2292">136 STAT. 2292</page></content></subsection>

<section id="d65247e267" identifier="/us/pl/117/224/s5" style="-uslm-lc:I658141"><num class="fontsize12" value="5">SEC. 5. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x3b48369b-e819-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t42/s19404">42 USC 19404</ref>.</p></sidenote><heading>APPLICABILITY.</heading><content style="-uslm-lc:I658120">  This Act shall apply with respect to a claim that is filed under Federal, State, or Tribal law on or after the date of enactment of this Act.</content></section>
