<section id="d223492e98" identifier="/us/pl/116/257/s1" style="-uslm-lc:I658146"><num class="bold" value="1">SECTION 1. </num><heading>SHORT TITLE.</heading><content style="-uslm-lc:I658120">  This Act may be cited as the “<shortTitle role="act">Criminal Antitrust Anti-Retaliation Act of 2019</shortTitle>”.</content></section>
<section id="d223492e108" identifier="/us/pl/116/257/s2" role="instruction" style="-uslm-lc:I658141"><num class="fontsize12" value="2">SEC. 2. </num><heading>AMENDMENT TO ACPERA.</heading><content class="firstIndent0 fontsize10" id="x24e80f9e-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658120">  The Antitrust Criminal Penalty Enhancement and Reform Act of 2004 (<ref href="/us/pl/108/237">Public Law 108–237</ref>; <ref href="/us/usc/t15/s1">15 U.S.C. 1 note</ref>) <amendingAction type="amend">is amended</amendingAction> by <amendingAction type="insert">inserting</amendingAction> after section 215 the following:<quotedContent><section class="centered fontsize12" id="y24e8d2ef-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658143"><num class="fontsize12" value="216">“SEC. 216. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x24e8d2f0-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180"><ref href="/us/usc/t15/s7a–3">15 USC 7a–3</ref>.</p></sidenote><heading class="fontsize12">ANTI-RETALIATION PROTECTION FOR WHISTLEBLOWERS.</heading><subsection class="firstIndent0 fontsize10" id="y24e8d2f1-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">“(a) </num><heading class="fontsize10"><inline class="smallCaps">Whistleblower Protections for Employees, Contractors, Subcontractors, and Agents</inline>.—</heading><paragraph class="fontsize10" id="y24e8d2f2-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><chapeau>No employer may discharge, demote, suspend, threaten, harass, or in any other manner discriminate against a covered individual in the terms and conditions of employment of the covered individual because of any lawful act done by the covered individual—</chapeau><subparagraph class="fontsize10" id="y24e8d2f3-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><chapeau>to provide or cause to be provided to the Federal Government or a person with supervisory authority over the covered individual (or such other person working for the employer who has the authority to investigate, discover, or terminate misconduct) information relating to—</chapeau><clause class="fontsize10" id="y24e8d2f4-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><content>any violation of, or any act or omission the covered individual reasonably believes to be a violation of, the antitrust laws; or</content></clause>
<clause class="fontsize10" id="y24e8d2f5-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>any violation of, or any act or omission the covered individual reasonably believes to be a violation of, another criminal law committed in conjunction with a potential violation of the antitrust laws or in conjunction with an investigation by the Department of Justice of a potential violation of the antitrust laws; or</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y24e8d2f6-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><chapeau>to cause to be filed, testify in, participate in, or otherwise assist a Federal Government investigation or a Federal Government proceeding filed or about to be filed (with any knowledge of the employer) relating to—</chapeau><clause class="fontsize10" id="y24e8d2f7-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><content>any violation of, or any act or omission the covered individual reasonably believes to be a violation of, the antitrust laws; or</content></clause>
<clause class="fontsize10" id="y24e8d2f8-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>any violation of, or any act or omission the covered individual reasonably believes to be a violation <page identifier="/us/stat/134/1148">134 STAT. 1148</page>
of, another criminal law committed in conjunction with a potential violation of the antitrust laws or in conjunction with an investigation by the Department of Justice of a potential violation of the antitrust laws.</content></clause>
</subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y24e8d2f9-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">Limitation on protections</inline>.—</heading><chapeau>Paragraph (1) shall not apply to any covered individual if—</chapeau><subparagraph class="fontsize10" id="y24e8d2fa-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>the covered individual planned and initiated a violation or attempted violation of the antitrust laws;</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8d2fb-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>the covered individual planned and initiated a violation or attempted violation of another criminal law in conjunction with a violation or attempted violation of the antitrust laws; or</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8d2fc-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><content>the covered individual planned and initiated an obstruction or attempted obstruction of an investigation by the Department of Justice of a violation of the antitrust laws.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y24e8d2fd-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">“(3) </num><heading class="fontsize10"><inline class="smallCaps">Definitions</inline>.—</heading><chapeau>In this section:</chapeau><subparagraph class="fontsize10" id="y24e8d2fe-e824-11f0-bc57-ad3ac4b1618c" role="definitions" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><heading class="fontsize10"><inline class="smallCaps">Antitrust laws</inline>.—</heading><content>The term ‘<term>antitrust laws</term>’ means section 1 or 3 of the Sherman Act (<ref href="/us/usc/t15/s1">15 U.S.C. 1</ref> and 3).</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa0f-e824-11f0-bc57-ad3ac4b1618c" role="definitions" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><heading class="fontsize10"><inline class="smallCaps">Covered individual</inline>.—</heading><content>The term ‘<term>covered individual</term>’ means an employee, contractor, subcontractor, or agent of an employer.</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa10-e824-11f0-bc57-ad3ac4b1618c" role="definitions" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><heading class="fontsize10"><inline class="smallCaps">Employer</inline>.—</heading><content>The term ‘<term>employer</term>’ means a person, or any officer, employee, contractor, subcontractor, or agent of such person.</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa11-e824-11f0-bc57-ad3ac4b1618c" role="definitions" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="D">“(D) </num><heading class="fontsize10"><inline class="smallCaps">Federal government</inline>.—</heading><chapeau>The term ‘<term>Federal Government</term>’ means—</chapeau><clause class="fontsize10" id="y24e8fa12-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><content>a Federal regulatory or law enforcement agency; or</content></clause>
<clause class="fontsize10" id="y24e8fa13-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>any Member of Congress or committee of Congress.</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y24e8fa14-e824-11f0-bc57-ad3ac4b1618c" role="definitions" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="E">“(E) </num><heading class="fontsize10"><inline class="smallCaps">Person</inline>.—</heading><content>The term ‘<term>person</term>’ has the same meaning as in subsection (a) of the first section of the Clayton Act (<ref href="/us/usc/t15/s12/a">15 U.S.C. 12(a)</ref>).</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y24e8fa15-e824-11f0-bc57-ad3ac4b1618c" role="definitions" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="4">“(4) </num><heading class="fontsize10"><inline class="smallCaps">Rule of construction</inline>.—</heading><content>The term ‘<term>violation</term>’, with respect to the antitrust laws, shall not be construed to include a civil violation of any law that is not also a criminal violation.</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y24e8fa16-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">“(b) </num><heading class="fontsize10"><inline class="smallCaps">Enforcement Action</inline>.—</heading><paragraph class="fontsize10" id="y24e8fa17-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><chapeau>A covered individual who alleges discharge or other discrimination by any employer in violation of subsection (a) may seek relief under subsection (c) by—</chapeau><subparagraph class="fontsize10" id="y24e8fa18-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>filing a complaint with the Secretary of Labor; or</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa19-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x24e8fa1a-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180">Deadline.</p></sidenote><content>if the Secretary of Labor has not issued a final decision within 180 days of the filing of the complaint and there is no showing that such delay is due to the bad faith of the claimant, bringing an action at law or equity for de novo review in the appropriate district court of the United States, which shall have jurisdiction over such an action without regard to the amount in controversy.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y24e8fa1b-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">Procedure</inline>.—</heading><subparagraph class="fontsize10" id="y24e8fa1c-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><content>A complaint filed with the Secretary of Labor under paragraph (1)(A) shall be governed under the rules and procedures set forth in <ref href="/us/usc/t49/s42121/b">section 42121(b) of title 49, United States Code</ref>.<page identifier="/us/stat/134/1149">134 STAT. 1149</page></content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa1d-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><heading class="fontsize10"><inline class="smallCaps">Exception</inline>.—</heading><content>Notification made under <ref href="/us/usc/t49/s42121/b/1">section 42121(b)(1) of title 49, United States Code</ref>, shall be made to any individual named in the complaint and to the employer.</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa1e-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><heading class="fontsize10"><inline class="smallCaps">Burdens of proof</inline>.—</heading><content>An action brought under paragraph (1)(B) shall be governed by the legal burdens of proof set forth in <ref href="/us/usc/t49/s42121/b">section 42121(b) of title 49, United States Code</ref>.</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa1f-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="D">“(D) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x24e8fa20-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658180">Deadline.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Statute of limitations</inline>.—</heading><content>A complaint under paragraph (1)(A) shall be filed with the Secretary of Labor not later than 180 days after the date on which the violation occurs.</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa21-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="E">“(E) </num><heading class="fontsize10"><inline class="smallCaps">Civil actions to enforce</inline>.—</heading><content>If a person fails to comply with an order or preliminary order issued by the Secretary of Labor pursuant to the procedures set forth in <ref href="/us/usc/t49/s42121/b">section 42121(b) of title 49, United States Code</ref>, the Secretary of Labor or the person on whose behalf the order was issued may bring a civil action to enforce the order in the district court of the United States for the judicial district in which the violation occurred.</content></subparagraph>
</paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y24e8fa22-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="c">“(c) </num><heading class="fontsize10"><inline class="smallCaps">Remedies</inline>.—</heading><paragraph class="fontsize10" id="y24e8fa23-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><content>A covered individual prevailing in any action under subsection (b)(1) shall be entitled to all relief necessary to make the covered individual whole.</content></paragraph>
<paragraph class="fontsize10" id="y24e8fa24-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">Compensatory damages</inline>.—</heading><chapeau>Relief for any action under paragraph (1) shall include—</chapeau><subparagraph class="fontsize10" id="y24e8fa25-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>reinstatement with the same seniority status that the covered individual would have had, but for the discrimination;</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa26-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>the amount of back pay, with interest; and</content></subparagraph>
<subparagraph class="fontsize10" id="y24e8fa27-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><content>compensation for any special damages sustained as a result of the discrimination including litigation costs, expert witness fees, and reasonable attorney’s fees.</content></subparagraph>
</paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y24e8fa28-e824-11f0-bc57-ad3ac4b1618c" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="d">“(d) </num><heading class="fontsize10"><inline class="smallCaps">Rights Retained by Whistleblowers</inline>.—</heading><content>Nothing in this section shall be deemed to diminish the rights, privileges, or remedies of any covered individual under any Federal or State law, or under any collective bargaining agreement.”</content></subsection>
