<section id="d115938e94" identifier="/us/pl/116/142/s1" style="-uslm-lc:I658146"><num class="bold" value="1">SECTION 1. </num><heading>SHORT TITLE.</heading><content style="-uslm-lc:I658120">  This Act may be cited as the “<shortTitle role="act">Paycheck Protection Program Flexibility Act of 2020</shortTitle>”.</content></section>
<section id="d115938e104" identifier="/us/pl/116/142/s2" style="-uslm-lc:I658141"><num class="fontsize12" value="2">SEC. 2. </num><heading>MATURITY FOR LOANS WITH REMAINING BALANCE AFTER APPLICATION OF FORGIVENESS.</heading><subsection class="firstIndent0 fontsize10" id="y41f47bfa-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s2/a" role="instruction" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">(a) </num><heading class="fontsize10"><inline class="smallCaps">In General</inline>.—</heading><content>Section 7(a)(36)(K)(ii) of the Small Business Act (<ref href="/us/usc/t15/s636/a/36">15 U.S.C. 636(a)(36)</ref>) <amendingAction type="amend">is amended</amendingAction> by <amendingAction type="insert">inserting</amendingAction> “<quotedText>minimum maturity of 5 years and a</quotedText>” before “<quotedText>maximum maturity</quotedText>”.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y41f47bfb-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s2/b" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">(b) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x41f47bfc-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t15/s636">15 USC 636 note</ref>.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Effective Date; Applicability</inline>.—</heading><content>The amendment made by this section shall take effect on the date of the enactment of this Act and shall apply to any loan made pursuant to section 7(a)(36) of the Small Business Act (<ref href="/us/usc/t15/s636/a/36">15 U.S.C. 636(a)(36)</ref>) on or after such date. Nothing in this Act, the CARES Act (<ref href="/us/pl/116/136">Public Law 116–136</ref>), or the Paycheck Protection Program and Health Care Enhancement Act (<ref href="/us/pl/116/139">Public Law 116–139</ref>) shall be construed to prohibit lenders and borrowers from mutually agreeing to modify the maturity terms of a covered loan described in subparagraph (K) of such section to conform with requirements of this section.</content></subsection>
</section>
<section id="d115938e152" identifier="/us/pl/116/142/s3" style="-uslm-lc:I658141"><num class="fontsize12" value="3">SEC. 3. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x41f47bfd-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Time periods.</p></sidenote><heading>AMENDMENTS TO PAYCHECK PROTECTION PROGRAM LOAN FORGIVENESS.</heading><subsection class="firstIndent0 fontsize10" id="y41f5665e-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/a" role="instruction" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">(a) </num><heading class="fontsize10"><inline class="smallCaps">Extension of Covered Period</inline>.—</heading><content>Section 7(a)(36)(A)(iii) of the Small Business Act (<ref href="/us/usc/t15/s636/a/36/A/iii">15 U.S.C. 636(a)(36)(A)(iii)</ref>) <amendingAction type="amend">is amended</amendingAction> by <amendingAction type="delete">striking</amendingAction> “<quotedText>June 30, 2020</quotedText>” and <amendingAction type="insert">inserting</amendingAction> “<quotedText>December 31, 2020</quotedText>”.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y41f5665f-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/b" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">(b) </num><heading class="fontsize10"><inline class="smallCaps">Forgiveness</inline>.—</heading><chapeau>Section 1106 of the CARES Act (<ref href="/us/pl/116/136">Public Law 116–136</ref>) is<sidenote><p class="leftAlign firstIndent0 fontsize8" id="x41f58d70-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><i>Ante</i>, p. 297.</p></sidenote> amended—</chapeau><paragraph class="fontsize10" id="y41f58d71-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/b/1" role="instruction" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><content>in subsection (a), by <amendingAction type="delete">striking</amendingAction> paragraph (3) and <amendingAction type="insert">inserting</amendingAction> the following:<quotedContent><paragraph class="indentUp0 fontsize10" id="y41f58d72-e829-11f0-a1e4-69761a48a15a" role="definitions" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">“(3) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x41f58d73-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Definition.</p></sidenote><chapeau>the term ‘<term>covered period</term>’ means, subject to subsection (l), the period beginning on the date of the origination of a covered loan and ending the earlier of—</chapeau><subparagraph class="fontsize10" id="y41f58d74-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>the date that is 24 weeks after such date of origination; or</content></subparagraph>
<subparagraph class="fontsize10" id="y41f58d75-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>December 31, 2020;”</content></subparagraph>

<paragraph class="fontsize10" id="y41f58d76-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/b/2" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">(2) </num><chapeau>in subsection (d)—<page identifier="/us/stat/134/642">134 STAT. 642</page></chapeau><subparagraph class="fontsize10" id="y41f58d77-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/b/2/A" role="instruction" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">(A) </num><content>in paragraph (5)(B), by <amendingAction type="delete">striking</amendingAction> “<quotedText>June 30, 2020</quotedText>” each place it appears and <amendingAction type="insert">inserting</amendingAction> “<quotedText>December 31, 2020</quotedText>”; and</content></subparagraph>
<subparagraph class="fontsize10" id="y41f58d78-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/b/2/B" role="instruction" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">(B) </num><content>by <amendingAction type="add">adding</amendingAction> at the end the following new paragraphs:<quotedContent><paragraph class="indentDown1 fontsize10" id="y41f5db99-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="7">“(7) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x41f5db9a-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Determination.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Exemption based on employee availability</inline>.—</heading><chapeau>During the period beginning on February 15, 2020, and ending on December 31, 2020, the amount of loan forgiveness under this section shall be determined without regard to a proportional reduction in the number of full-time equivalent employees if an eligible recipient, in good faith—</chapeau><subparagraph class="fontsize10" id="y41f5db9b-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><chapeau>is able to document—</chapeau><clause class="fontsize10" id="y41f5db9c-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><content>an inability to rehire individuals who were employees of the eligible recipient on February 15, 2020; and</content></clause>
<clause class="fontsize10" id="y41f5db9d-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>an inability to hire similarly qualified employees for unfilled positions on or before December 31, 2020; or</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y41f5db9e-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>is able to document an inability to return to the same level of business activity as such business was operating at before February 15, 2020, due to compliance with requirements established or guidance issued by the Secretary of Health and Human Services, the Director of the Centers for Disease Control and Prevention, or the Occupational Safety and Health Administration during the period beginning on March 1, 2020, and ending December 31, 2020, related to the maintenance of standards for sanitation, social distancing, or any other worker or customer safety requirement related to COVID–19.</content></subparagraph>
</paragraph>
<paragraph class="indentDown1 fontsize10" id="y41f5db9f-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="8">“(8) </num><heading class="fontsize10"><inline class="smallCaps">Limitation on forgiveness</inline>.—</heading><content>To receive loan forgiveness under this section, an eligible recipient shall use at least 60 percent of the covered loan amount for payroll costs, and may use up to 40 percent of such amount for any payment of interest on any covered mortgage obligation (which shall not include any prepayment of or payment of principal on a covered mortgage obligation), any payment on any covered rent obligation, or any covered utility payment.”</content></paragraph>

<paragraph class="fontsize10" id="y41f602b0-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/b/3" role="instruction" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">(3) </num><content>by <amendingAction type="add">adding</amendingAction> at the end the following new subsection:<quotedContent><subsection class="indentDown1 firstIndent0 fontsize10" id="y41f602b1-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="l">“(l) </num><heading class="fontsize10"><inline class="smallCaps">Application to Certain Eligible Recipients</inline>.—</heading><content>An eligible recipient that received a covered loan before the date of enactment of this subsection may elect for the covered period applicable to such covered loan to end on the date that is 8 weeks after the date of the origination of such covered loan.”</content></subsection>

<subsection class="firstIndent0 fontsize10" id="y41f602b2-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/c" role="instruction" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="c">(c) </num><heading class="fontsize10"><inline class="smallCaps">Extension of Deferral Period</inline>.—</heading><chapeau>Section 7(a)(36)(M) of the Small Business Act (<ref href="/us/usc/t15/s636/a/36/M">15 U.S.C. 636(a)(36)(M)</ref>) <amendingAction type="amend">is amended</amendingAction>—</chapeau><paragraph class="fontsize10" id="y41f602b3-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s3/c/1" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">(1) </num><content>in clause (ii)(II), by <amendingAction type="delete">striking</amendingAction> “<quotedText>for a period of not less than 6 months, including payment of principal, interest, and fees, and not more than 1 year.</quotedText>” and <amendingAction type="insert">inserting</amendingAction> the following: “<quotedText>, including payment of principal, interest, and fees, until the date on which the amount of forgiveness determined under section 1106 of the CARES Act is remitted to the lender.</quotedText>”;</content></paragraph>

<section id="d115938e413" identifier="/us/pl/116/142/s4" style="-uslm-lc:I658141"><num class="fontsize12" value="4">SEC. 4. </num><heading>DELAY OF PAYMENT OF EMPLOYER PAYROLL TAXES.</heading><subsection class="firstIndent0 fontsize10" id="y41f650db-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s4/a" role="instruction" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">(a) </num><heading class="fontsize10"><inline class="smallCaps">In General</inline>.—</heading><content>Section 2302(a) of the CARES Act (<ref href="/us/pl/116/136">Public Law 116–136</ref>) is<sidenote><p class="leftAlign firstIndent0 fontsize8" id="x41f650dc-e829-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><i>Ante</i>, p. 351.</p></sidenote> amended by <amendingAction type="delete">striking</amendingAction> paragraph (3).</content></subsection>

<subsection class="firstIndent0 fontsize10" id="y41f677f0-e829-11f0-a1e4-69761a48a15a" identifier="/us/pl/116/142/s5/b" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">(b) </num><heading class="fontsize10"><inline class="smallCaps">Designation in Senate</inline>.—</heading><content>In the Senate, this Act is designated as an emergency requirement pursuant to section 4112(a) of H. Con. Res. 71 (115th Congress), the concurrent resolution on the budget for fiscal year 2018.</content></subsection>
