<section id="d225564e88" identifier="/us/pl/114/284/s1" style="-uslm-lc:I658146"><num class="bold" value="1">SECTION 1. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa0adf6-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t15/s78a">15 USC 78a note</ref>.</p></sidenote><heading>SHORT TITLE.</heading><content style="-uslm-lc:I658120">  This Act may be cited as the “<shortTitle role="act">SEC Small Business Advocate Act of 2016</shortTitle>”.</content></section>
<section id="d225564e103" identifier="/us/pl/114/284/s2" style="-uslm-lc:I658141"><num class="fontsize12" value="2">SEC. 2. </num><heading>ESTABLISHMENT OF OFFICE OF THE ADVOCATE FOR SMALL BUSINESS CAPITAL FORMATION AND SMALL BUSINESS CAPITAL FORMATION ADVISORY COMMITTEE.</heading><subsection class="firstIndent0 fontsize10" id="y0aa19857-e852-11f0-a1e4-69761a48a15a" identifier="/us/pl/114/284/s2/a" role="instruction" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">(a) </num><heading class="fontsize10"><inline class="smallCaps">Office of the Advocate for Small Business Capital Formation</inline>.—</heading><content>Section 4 of the Securities Exchange Act of 1934 (<ref href="/us/usc/t15/s78d">15 U.S.C. 78d</ref>) <amendingAction type="amend">is amended</amendingAction> by <amendingAction type="add">adding</amendingAction> at the end the following:<quotedContent><subsection class="firstIndent0 fontsize10" id="y0aa282b8-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="j">“(j) </num><heading class="fontsize10"><inline class="smallCaps">Office of the Advocate for Small Business Capital Formation</inline>.—</heading><paragraph class="fontsize10" id="y0aa282b9-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">Office established</inline>.—</heading><content>There is established within the Commission the Office of the Advocate for Small Business Capital Formation (hereafter in this subsection referred to as the ‘Office’).</content></paragraph>
<paragraph class="fontsize10" id="y0aa282ba-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">Advocate for small business capital formation</inline>.—</heading><subparagraph class="fontsize10" id="y0aa282bb-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><chapeau>The head of the Office shall be the Advocate for Small Business Capital Formation, who shall—</chapeau><clause class="fontsize10" id="y0aa282bc-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><content>report directly to the Commission; and</content></clause>
<clause class="fontsize10" id="y0aa282bd-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa282be-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Appointment.</p></sidenote><content>be appointed by the Commission, from among individuals having experience in advocating for the interests of small businesses and encouraging small business capital formation.</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y0aa282bf-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><heading class="fontsize10"><inline class="smallCaps">Compensation</inline>.—</heading><content>The annual rate of pay for the Advocate for Small Business Capital Formation shall be equal to the highest rate of annual pay for other senior executives who report directly to the Commission.</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282c0-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><heading class="fontsize10"><inline class="smallCaps">No current employee of the commission</inline>.—</heading><content>An individual may not be appointed as the Advocate for Small Business Capital Formation if the individual is currently employed by the Commission.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y0aa282c1-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">“(3) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa282c2-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Consultation.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Staff of office</inline>.—</heading><content>The Advocate for Small Business Capital Formation, after consultation with the Commission, may retain or employ independent counsel, research staff, and <page identifier="/us/stat/130/1448">130 STAT. 1448</page>
service staff, as the Advocate for Small Business Capital Formation determines to be necessary to carry out the functions of the Office.</content></paragraph>
<paragraph class="fontsize10" id="y0aa282c3-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="4">“(4) </num><heading class="fontsize10"><inline class="smallCaps">Functions of the advocate for small business capital formation</inline>.—</heading><chapeau>The Advocate for Small Business Capital Formation shall—</chapeau><subparagraph class="fontsize10" id="y0aa282c4-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>assist small businesses and small business investors in resolving significant problems such businesses and investors may have with the Commission or with self-regulatory organizations;</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282c5-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>identify areas in which small businesses and small business investors would benefit from changes in the regulations of the Commission or the rules of self-regulatory organizations;</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282c6-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><content>identify problems that small businesses have with securing access to capital, including any unique challenges to minority-owned and women-owned small businesses;</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282c7-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="D">“(D) </num><chapeau>analyze the potential impact on small businesses and small business investors of—</chapeau><clause class="fontsize10" id="y0aa282c8-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><content>proposed regulations of the Commission that are likely to have a significant economic impact on small businesses and small business capital formation; and</content></clause>
<clause class="fontsize10" id="y0aa282c9-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>proposed rules that are likely to have a significant economic impact on small businesses and small business capital formation of self-regulatory organizations registered under this title;</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y0aa282ca-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="E">“(E) </num><content>conduct outreach to small businesses and small business investors, including through regional roundtables, in order to solicit views on relevant capital formation issues;</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282cb-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="F">“(F) </num><content>to the extent practicable, propose to the Commission changes in the regulations or orders of the Commission and to Congress any legislative, administrative, or personnel changes that may be appropriate to mitigate problems identified under this paragraph and to promote the interests of small businesses and small business investors;</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282cc-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="G">“(G) </num><content>consult with the Investor Advocate on proposed recommendations made under subparagraph (F); and</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282cd-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="H">“(H) </num><content>advise the Investor Advocate on issues related to small businesses and small business investors.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y0aa282ce-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="5">“(5) </num><heading class="fontsize10"><inline class="smallCaps">Access to documents</inline>.—</heading><content>The Commission shall ensure that the Advocate for Small Business Capital Formation has full access to the documents and information of the Commission and any self-regulatory organization, as necessary to carry out the functions of the Office.</content></paragraph>
<paragraph class="fontsize10" id="y0aa282cf-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="6">“(6) </num><heading class="fontsize10"><inline class="smallCaps">Annual report on activities</inline>.—</heading><subparagraph class="fontsize10" id="y0aa282d0-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><content>Not later than December 31 of each year after 2015, the Advocate for Small Business Capital Formation shall submit to the Committee on Banking, Housing, and Urban Affairs of the Senate and the Committee on Financial Services of the House of Representatives a report on the activities of the Advocate for Small Business Capital Formation during the immediately preceding fiscal year.</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282d1-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><heading class="fontsize10"><inline class="smallCaps">Contents</inline>.—</heading><chapeau>Each report required under subparagraph (A) shall include—<page identifier="/us/stat/130/1449">130 STAT. 1449</page></chapeau><clause class="fontsize10" id="y0aa282d2-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa282d3-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Analysis.</p></sidenote><content>appropriate statistical information and full and substantive analysis;</content></clause>
<clause class="fontsize10" id="y0aa282d4-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>information on steps that the Advocate for Small Business Capital Formation has taken during the reporting period to improve small business services and the responsiveness of the Commission and self-regulatory organizations to small business and small business investor concerns;</content></clause>
<clause class="fontsize10" id="y0aa282d5-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="iii">“(iii) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa282d6-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Summary.</p></sidenote><content>a summary of the most serious issues encountered by small businesses and small business investors, including any unique issues encountered by minority-owned and women-owned small businesses and their investors, during the reporting period;</content></clause>
<clause class="fontsize10" id="y0aa282d7-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="iv">“(iv) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa282d8-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Records.</p></sidenote><chapeau>an inventory of the items summarized under clause (iii) (including items summarized under such clause for any prior reporting period on which no action has been taken or that have not been resolved to the satisfaction of the Advocate for Small Business Capital Formation as of the beginning of the reporting period covered by the report) that includes—</chapeau><subclause class="fontsize10" id="y0aa282d9-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="I">“(I) </num><content>identification of any action taken by the Commission or the self-regulatory organization and the result of such action;</content></subclause>
<subclause class="fontsize10" id="y0aa282da-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="II">“(II) </num><content>the length of time that each item has remained on such inventory; and</content></subclause>
<subclause class="fontsize10" id="y0aa282db-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="III">“(III) </num><content>for items on which no action has been taken, the reasons for inaction, and an identification of any official who is responsible for such action;</content></subclause>
</clause>
<clause class="fontsize10" id="y0aa282dc-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="v">“(v) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa282dd-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Recommenda-</p><p class="leftAlign firstIndent0 fontsize8" id="x0aa282de-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">tions.</p></sidenote><content>recommendations for such changes to the regulations, guidance and orders of the Commission and such legislative actions as may be appropriate to resolve problems with the Commission and self-regulatory organizations encountered by small businesses and small business investors and to encourage small business capital formation; and</content></clause>
<clause class="fontsize10" id="y0aa282df-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="vi">“(vi) </num><content>any other information, as determined appropriate by the Advocate for Small Business Capital Formation.</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y0aa282e0-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><heading class="fontsize10"><inline class="smallCaps">Confidentiality</inline>.—</heading><content>No report required by subparagraph (A) may contain confidential information.</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa282e1-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="D">“(D) </num><heading class="fontsize10"><inline class="smallCaps">Independence</inline>.—</heading><content>Each report required under subparagraph (A) shall be provided directly to the committees of Congress listed in such subparagraph without any prior review or comment from the Commission, any commissioner, any other officer or employee of the Commission, or the Office of Management and Budget.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y0aa282e2-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="7">“(7) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa282e3-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Procedures.</p><p class="leftAlign firstIndent0 fontsize8" id="x0aa282e4-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Deadline.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Regulations</inline>.—</heading><content>The Commission shall establish procedures requiring a formal response to all recommendations submitted to the Commission by the Advocate for Small Business Capital Formation, not later than 3 months after the date of such submission.</content></paragraph>
<paragraph class="fontsize10" id="y0aa282e5-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="8">“(8) </num><heading class="fontsize10"><inline class="smallCaps">Government-business forum on small business capital formation</inline>.—</heading><content>The Advocate for Small Business Capital Formation shall be responsible for planning, organizing, and executing the annual Government-Business Forum on Small Business Capital Formation described in section 503 of the <page identifier="/us/stat/130/1450">130 STAT. 1450</page>
Small Business Investment Incentive Act of 1980 (<ref href="/us/usc/t15/s80c–1">15 U.S.C. 80c–1</ref>).</content></paragraph>
<paragraph class="fontsize10" id="y0aa282e6-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="9">“(9) </num><heading class="fontsize10"><inline class="smallCaps">Rule of construction</inline>.—</heading><content>Nothing in this subsection may be construed as replacing or reducing the responsibilities of the Investor Advocate with respect to small business investors.”</content></paragraph>

<subsection class="firstIndent0 fontsize10" id="y0aa282e7-e852-11f0-a1e4-69761a48a15a" identifier="/us/pl/114/284/s2/b" role="instruction" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">(b) </num><heading class="fontsize10"><inline class="smallCaps">Small Business Capital Formation Advisory Committee</inline>.—</heading><content>Title I of the Securities Exchange Act of 1934 (<ref href="/us/usc/t15/s78a/etseq">15 U.S.C. 78a et seq.</ref>) <amendingAction type="amend">is amended</amendingAction> by <amendingAction type="add">adding</amendingAction> at the end the following:<quotedContent><section class="centered fontsize12" id="y0aa39458-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658142"><num class="fontsize12" value="40">“SEC. 40. </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa39459-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180"><ref href="/us/usc/t15/s78qq">15 USC 78qq</ref>.</p></sidenote><heading class="fontsize12">SMALL BUSINESS CAPITAL FORMATION ADVISORY COMMITTEE.</heading><subsection class="firstIndent0 fontsize10" id="y0aa3945a-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="a">“(a) </num><heading class="fontsize10"><inline class="smallCaps">Establishment and Purpose</inline>.—</heading><paragraph class="fontsize10" id="y0aa3945b-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">Establishment</inline>.—</heading><content>There is established within the Commission the Small Business Capital Formation Advisory Committee (hereafter in this section referred to as the ‘Committee’).</content></paragraph>
<paragraph class="fontsize10" id="y0aa3945c-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">Functions</inline>.—</heading><subparagraph class="fontsize10" id="y0aa3945d-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><chapeau>The Committee shall provide the Commission with advice on the Commission’s rules, regulations, and policies with regard to the Commission’s mission of protecting investors, maintaining fair, orderly, and efficient markets, and facilitating capital formation, as such rules, regulations, and policies relate to—</chapeau><clause class="fontsize10" id="y0aa3945e-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><content>capital raising by emerging, privately held small businesses (‘emerging companies’) and publicly traded companies with less than $250,000,000 in public market capitalization (‘smaller public companies’) through securities offerings, including private and limited offerings and initial and other public offerings;</content></clause>
<clause class="fontsize10" id="y0aa3945f-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>trading in the securities of emerging companies and smaller public companies; and</content></clause>
<clause class="fontsize10" id="y0aa39460-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="iii">“(iii) </num><content>public reporting and corporate governance requirements of emerging companies and smaller public companies.</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y0aa39461-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><heading class="fontsize10"><inline class="smallCaps">Limitation</inline>.—</heading><content>The Committee shall not provide any advice with respect to any policies, practices, actions, or decisions concerning the Commission’s enforcement program.</content></subparagraph>
</paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y0aa39462-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="b">“(b) </num><heading class="fontsize10"><inline class="smallCaps">Membership</inline>.—</heading><paragraph class="fontsize10" id="y0aa39463-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><chapeau>The members of the Committee shall be—</chapeau><subparagraph class="fontsize10" id="y0aa39464-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>the Advocate for Small Business Capital Formation;</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa39465-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><chapeau>not fewer than 10, and not more than 20, members appointed by the Commission, from among individuals—</chapeau><clause class="fontsize10" id="y0aa39466-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><chapeau>who represent—</chapeau><subclause class="fontsize10" id="y0aa39467-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="I">“(I) </num><content>emerging companies engaging in private and limited securities offerings or considering initial public offerings (‘IPO’) (including the companies’ officers and directors);</content></subclause>
<subclause class="fontsize10" id="y0aa39468-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="II">“(II) </num><content>the professional advisors of such companies (including attorneys, accountants, investment bankers, and financial advisors); and</content></subclause>
<subclause class="fontsize10" id="y0aa39469-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="III">“(III) </num><content>the investors in such companies (including angel investors, venture capital funds, and family offices);<page identifier="/us/stat/130/1451">130 STAT. 1451</page></content></subclause>
</clause>
<clause class="fontsize10" id="y0aa3946a-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>who are officers or directors of minority-owned small businesses or women-owned small businesses;</content></clause>
<clause class="fontsize10" id="y0aa3946b-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="iii">“(iii) </num><chapeau>who represent—</chapeau><subclause class="fontsize10" id="y0aa3946c-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="I">“(I) </num><content>smaller public companies (including the companies’ officers and directors);</content></subclause>
<subclause class="fontsize10" id="y0aa3946d-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="II">“(II) </num><content>the professional advisors of such companies (including attorneys, auditors, underwriters, and financial advisors); and</content></subclause>
<subclause class="fontsize10" id="y0aa3946e-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658128"><num class="fontsize10" style="-uslm-lc:emspace2" value="III">“(III) </num><content>the pre-IPO and post-IPO investors in such companies (both institutional, such as venture capital funds, and individual, such as angel investors); and</content></subclause>
</clause>
<clause class="fontsize10" id="y0aa3946f-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="iv">“(iv) </num><content>who represent participants in the marketplace for the securities of emerging companies and smaller public companies, such as securities exchanges, alternative trading systems, analysts, information processors, and transfer agents; and</content></clause>
</subparagraph>
<subparagraph class="fontsize10" id="y0aa39470-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><chapeau>three non-voting members—</chapeau><clause class="fontsize10" id="y0aa39471-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="i">“(i) </num><content>one of whom shall be appointed by the Investor Advocate;</content></clause>
<clause class="fontsize10" id="y0aa39472-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>one of whom shall be appointed by the North American Securities Administrators Association; and</content></clause>
<clause class="fontsize10" id="y0aa39473-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658126"><num class="fontsize10" style="-uslm-lc:emspace2" value="iii">“(iii) </num><content>one of whom shall be appointed by the Administrator of the Small Business Administration.</content></clause>
</subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y0aa39474-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">Term</inline>.—</heading><content>Each member of the Committee appointed under subparagraph (B), (C)(ii), or (C)(iii) of paragraph (1) shall serve for a term of 4 years.</content></paragraph>
<paragraph class="fontsize10" id="y0aa39475-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="3">“(3) </num><heading class="fontsize10"><inline class="smallCaps">Members not commission employees</inline>.—</heading><content>Members appointed under subparagraph (B), (C)(ii), or (C)(iii) of paragraph (1) shall not be treated as employees or agents of the Commission solely because of membership on the Committee.</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y0aa39476-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="c">“(c) </num><heading class="fontsize10"><inline class="smallCaps">Chairman; Vice Chairman; Secretary; Assistant Secretary</inline>.—</heading><paragraph class="fontsize10" id="y0aa39477-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">In general</inline>.—</heading><chapeau>The members of the Committee shall elect, from among the members of the Committee—</chapeau><subparagraph class="fontsize10" id="y0aa39478-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>a chairman;</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa39479-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>a vice chairman;</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa3947a-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="C">“(C) </num><content>a secretary; and</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa3947b-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="D">“(D) </num><content>an assistant secretary.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y0aa3947c-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><heading class="fontsize10"><inline class="smallCaps">Term</inline>.—</heading><content>Each member elected under paragraph (1) shall serve for a term of 3 years in the capacity for which the member was elected under paragraph (1).</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y0aa3947d-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="d">“(d) </num><heading class="fontsize10"><inline class="smallCaps">Meetings</inline>.—</heading><paragraph class="fontsize10" id="y0aa3947e-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><heading class="fontsize10"><inline class="smallCaps">Frequency of meetings</inline>.—</heading><chapeau>The Committee shall meet—</chapeau><subparagraph class="fontsize10" id="y0aa3947f-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><content>not less frequently than four times annually, at the call of the chairman of the Committee; and</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa39480-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>from time to time, at the call of the Commission.</content></subparagraph>
</paragraph>
<paragraph class="fontsize10" id="y0aa39481-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa39482-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Deadline.</p></sidenote><heading class="fontsize10"><inline class="smallCaps">Notice</inline>.—</heading><content>The chairman of the Committee shall give the members of the Committee written notice of each meeting, not later than 2 weeks before the date of the meeting.</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y0aa39483-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="e">“(e) </num><heading class="fontsize10"><inline class="smallCaps">Compensation and Travel Expenses</inline>.—</heading><chapeau>Each member of the Committee who is not a full-time employee of the United States shall—</chapeau><paragraph class="fontsize10" id="y0aa39484-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><content>be entitled to receive compensation at a rate not to exceed the daily equivalent of the annual rate of basic pay in effect for a position at level V of the Executive Schedule <page identifier="/us/stat/130/1452">130 STAT. 1452</page>
under <ref href="/us/usc/t5/s5316">section 5316 of title 5, United States Code</ref>, for each day during which the member is engaged in the actual performance of the duties of the Committee; and</content></paragraph>
<paragraph class="fontsize10" id="y0aa39485-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><content>while away from the home or regular place of business of the member in the performance of services for the Committee, be allowed travel expenses, including per diem in lieu of subsistence, in the same manner as persons employed intermittently in the Government service are allowed expenses under <ref href="/us/usc/t5/s5703">section 5703 of title 5, United States Code</ref>.</content></paragraph>
</subsection>
<subsection class="firstIndent0 fontsize10" id="y0aa39486-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="f">“(f) </num><heading class="fontsize10"><inline class="smallCaps">Staff</inline>.—</heading><content>The Commission shall make available to the Committee such staff as the chairman of the Committee determines are necessary to carry out this section.</content></subsection>
<subsection class="firstIndent0 fontsize10" id="y0aa39487-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="g">“(g) </num><heading class="fontsize10"><inline class="smallCaps">Review by Commission</inline>.—</heading><chapeau>The Commission shall—</chapeau><paragraph class="fontsize10" id="y0aa39488-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="1">“(1) </num><content>review the findings and recommendations of the Committee; and</content></paragraph>
<paragraph class="fontsize10" id="y0aa39489-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658122"><num class="fontsize10" style="-uslm-lc:emspace2" value="2">“(2) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa3948a-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Public information.</p></sidenote><chapeau>each time the Committee submits a finding or recommendation to the Commission, promptly issue a public statement—</chapeau><subparagraph class="fontsize10" id="y0aa3948b-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="A">“(A) </num><sidenote><p class="leftAlign firstIndent0 fontsize8" id="x0aa3948c-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658180">Assessment.</p></sidenote><content>assessing the finding or recommendation of the Committee; and</content></subparagraph>
<subparagraph class="fontsize10" id="y0aa3948d-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658124"><num class="fontsize10" style="-uslm-lc:emspace2" value="B">“(B) </num><content>disclosing the action, if any, the Commission intends to take with respect to the finding or recommendation.</content></subparagraph>

</subsection>
<subsection class="firstIndent0 fontsize10" id="y0aa3948e-e852-11f0-a1e4-69761a48a15a" style="-uslm-lc:I658120"><num class="fontsize10" style="-uslm-lc:emspace2" value="h">“(h) </num><heading class="fontsize10"><inline class="smallCaps">Federal Advisory Committee Act</inline>.—</heading><content>The Federal Advisory Committee Act (<ref href="/us/usc/t5/app">5 U.S.C. App.</ref>) shall not apply with respect to the Committee and its activities.”</content></subsection>
