    <main style="-uslm-dtd:legis-body"><longTitle><docTitle style="-uslm-dtd:legis-type">AN ACT</docTitle><officialTitle style="-uslm-dtd:official-title">To amend the Small Business Act and the CARES Act to modify certain provisions related to the forgiveness of loans under the paycheck protection program, to allow recipients of loan forgiveness under the paycheck protection program to defer payroll taxes, and for other purposes.</officialTitle></longTitle><enactingFormula style="-uslm-dtd:enacting-clause">Be it enacted by the Senate and House of Representatives of the United States of America in Congress assembled,</enactingFormula>
        <section style="-uslm-dtd:section" identifier="/us/sComp/116/142/s1" styleType="OLC">
            <num style="-uslm-dtd:enum" value="1">SECTION 1. </num><editorialNote style="-uslm-dtd:usc-reference" role="uscRef"><b>[</b><ref href="/us/usc/t15/s631">15 U.S.C. 631 note</ref><b>]</b> </editorialNote><heading style="-uslm-dtd:header">SHORT TITLE. </heading><content style="-uslm-dtd:text">This Act may be cited as the “<shortTitle style="-uslm-dtd:quote">Paycheck Protection Program Flexibility Act of 2020</shortTitle>”.</content>
        </section>
        <section style="-uslm-dtd:section" identifier="/us/sComp/116/142/s2" styleType="OLC">
            <num style="-uslm-dtd:enum" value="2">SEC. 2. </num><heading style="-uslm-dtd:header">MATURITY FOR LOANS WITH REMAINING BALANCE AFTER APPLICATION OF FORGIVENESS. </heading>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s2/a" styleType="OLC">
                <num style="-uslm-dtd:enum" value="a">(a) </num><heading style="-uslm-dtd:header">In General.—</heading><content style="-uslm-dtd:text">Section 7(a)(36)(K)(ii) of the Small Business Act (15 U.S.C. 636(a)(36)) is amended by inserting “<quotedText style="-uslm-dtd:quote">minimum maturity of 5 years and a</quotedText>” before  “<quotedText style="-uslm-dtd:quote">maximum maturity</quotedText>”.</content>
            </subsection>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s2/b" styleType="OLC">
                <num style="-uslm-dtd:enum" value="b">(b) </num><editorialNote style="-uslm-dtd:usc-reference" role="uscRef"><b>[</b><ref href="/us/usc/t15/s636">15 U.S.C. 636 note</ref><b>]</b> </editorialNote><heading style="-uslm-dtd:header">Effective Date; Applicability.—</heading><content style="-uslm-dtd:text">The amendment made by this section shall take effect on the date of the enactment of this Act and shall apply to any loan made pursuant to section 7(a)(36) of the Small Business Act (15 U.S.C. 636(a)(36)) on or after such date. Nothing in this Act, the CARES Act (Public Law 116-136), or the Paycheck Protection Program and Health Care Enhancement Act (Public Law 116-139) shall be construed to prohibit lenders and borrowers from mutually agreeing to modify the maturity terms of a covered loan described in subparagraph (K) of such section to conform with requirements of this section.</content>
            </subsection>
        </section>
        <section style="-uslm-dtd:section" identifier="/us/sComp/116/142/s3" styleType="OLC">
            <num style="-uslm-dtd:enum" value="3">SEC. 3. </num><heading style="-uslm-dtd:header">AMENDMENTS TO PAYCHECK PROTECTION PROGRAM LOAN FORGIVENESS. </heading>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s3/a" styleType="OLC">
                <num style="-uslm-dtd:enum" value="a">(a) </num><heading style="-uslm-dtd:header">Extension of Covered Period.—</heading><content style="-uslm-dtd:text">Section 7(a)(36)(A)(iii) of the Small Business Act (15 U.S.C. 636(a)(36)(A)(iii)) is amended by striking “<quotedText style="-uslm-dtd:quote">June 30, 2020</quotedText>” and inserting “<quotedText style="-uslm-dtd:quote">December 31, 2020</quotedText>”.</content>
            </subsection>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s3/b" styleType="OLC">
                <num style="-uslm-dtd:enum" value="b">(b) </num><heading style="-uslm-dtd:header">Forgiveness.—</heading><chapeau style="-uslm-dtd:text">Section 1106 of the CARES Act (Public Law 116-136) is amended—</chapeau>
                <paragraph style="-uslm-dtd:paragraph" identifier="/us/sComp/116/142/s3/b/1" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="1">(1) </num><content style="-uslm-dtd:text">in subsection (a), by striking paragraph (3) and inserting the following:<quotedContent style="-uslm-dtd:quoted-block">
                    <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="3">“(3) </num><chapeau style="-uslm-dtd:text">the term ‘<quotedText style="-uslm-dtd:quote">covered period</quotedText>’ means, subject to subsection (l), the period beginning on the date of the origination of a covered loan and ending the earlier of—</chapeau>
                        <subparagraph style="-uslm-dtd:subparagraph" styleType="OLC">
                            <num style="-uslm-dtd:enum" value="A">“(A) </num><content style="-uslm-dtd:text">the date that is 24 weeks after such date of origination; or</content>
                        </subparagraph>
                        <subparagraph style="-uslm-dtd:subparagraph" styleType="OLC">
                            <num style="-uslm-dtd:enum" value="B">“(B) </num><content style="-uslm-dtd:text">December 31, 2020;”</content>
                        </subparagraph>
                    </paragraph></quotedContent>;</content>
                </paragraph>
                <paragraph style="-uslm-dtd:paragraph" identifier="/us/sComp/116/142/s3/b/2" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="2">(2) </num><chapeau style="-uslm-dtd:text">in subsection (d)—</chapeau>
                    <subparagraph style="-uslm-dtd:subparagraph" identifier="/us/sComp/116/142/s3/b/2/A" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="A">(A) </num><content style="-uslm-dtd:text">in paragraph (5)(B), by striking “<quotedText style="-uslm-dtd:quote">June 30, 2020</quotedText>” each place it appears and inserting “<quotedText style="-uslm-dtd:quote">December 31, 2020</quotedText>”; and</content>
                    </subparagraph>
                    <subparagraph style="-uslm-dtd:subparagraph" identifier="/us/sComp/116/142/s3/b/2/B" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="B">(B) </num><content style="-uslm-dtd:text">by adding at the end the following new paragraphs:<quotedContent style="-uslm-dtd:quoted-block">
                        <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                            <num style="-uslm-dtd:enum" value="7">“(7) </num><heading style="-uslm-dtd:header">Exemption based on employee availability.—</heading><chapeau style="-uslm-dtd:text">During the period beginning on February 15, 2020, and ending on December 31, 2020, the amount of loan forgiveness under this section shall be determined without regard to a proportional reduction in the number of full-time equivalent employees if an eligible recipient, in good faith—</chapeau>
                            <subparagraph style="-uslm-dtd:subparagraph" styleType="OLC">
                                <num style="-uslm-dtd:enum" value="A">“(A) </num><chapeau style="-uslm-dtd:text">is able to document—</chapeau>
                                <clause style="-uslm-dtd:clause" styleType="OLC">
                                    <num style="-uslm-dtd:enum" value="i">“(i) </num><content style="-uslm-dtd:text">an inability to rehire individuals who were employees of the eligible recipient on February 15, 2020; and</content>
                                </clause>
                                <clause style="-uslm-dtd:clause" styleType="OLC">
                                    <num style="-uslm-dtd:enum" value="ii">“(ii) </num><content style="-uslm-dtd:text">an inability to hire similarly qualified employees for unfilled positions on or before December 31, 2020; or</content>
                                </clause>
                            </subparagraph>
                            <subparagraph style="-uslm-dtd:subparagraph" styleType="OLC">
                                <num style="-uslm-dtd:enum" value="B">“(B) </num><content style="-uslm-dtd:text">is able to document an inability to return to the same level of business activity as such business was operating at before February 15, 2020, due to compliance with requirements established or guidance issued by the Secretary of Health and Human Services, the Director of the Centers for Disease Control and Prevention, or the Occupational Safety and Health Administration during the period beginning on March 1, 2020, and ending December 31, 2020, related to the maintenance of standards for sanitation, social distancing, or any other worker or customer safety requirement related to COVID-19.</content>
                            </subparagraph>
                        </paragraph>
                        <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                            <num style="-uslm-dtd:enum" value="8">“(8) </num><heading style="-uslm-dtd:header">Limitation on forgiveness.—</heading><content style="-uslm-dtd:text">To receive loan forgiveness under this section, an eligible recipient shall use at least 60 percent of the covered loan amount for payroll costs, and may use up to 40 percent of such amount for any payment of interest on any covered mortgage obligation (which shall not include any prepayment of or payment of principal on a covered mortgage obligation), any payment on any covered rent obligation, or any covered utility payment.”</content>
                        </paragraph></quotedContent>; and</content>
                    </subparagraph>
                </paragraph>
                <paragraph style="-uslm-dtd:paragraph" identifier="/us/sComp/116/142/s3/b/3" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="3">(3) </num><content style="-uslm-dtd:text">by adding at the end the following new subsection:<quotedContent style="-uslm-dtd:quoted-block">
                    <subsection style="-uslm-dtd:subsection" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="l">“(l) </num><heading style="-uslm-dtd:header">Application to Certain Eligible Recipients.—</heading><content style="-uslm-dtd:text">An eligible recipient that received a covered loan before the date of enactment of this subsection may elect for the covered period applicable to such covered loan to end on the date that is 8 weeks after the date of the origination of such covered loan.”</content>
                    </subsection></quotedContent>.</content>
                </paragraph>
            </subsection>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s3/c" styleType="OLC">
                <num style="-uslm-dtd:enum" value="c">(c) </num><heading style="-uslm-dtd:header">Extension of Deferral Period.—</heading><chapeau style="-uslm-dtd:text">Section 7(a)(36)(M) of the Small Business Act (15 U.S.C. 636(a)(36)(M)) is amended—</chapeau>
                <paragraph style="-uslm-dtd:paragraph" identifier="/us/sComp/116/142/s3/c/1" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="1">(1) </num><content style="-uslm-dtd:text">in clause (ii)(II), by striking “<quotedText style="-uslm-dtd:quote">for a period of not less than 6 months, including payment of principal, interest, and fees, and not more than 1 year.</quotedText>” and inserting the following:  “<quotedText style="-uslm-dtd:quote">, including payment of principal, interest, and fees, until the date on which the amount of forgiveness determined under section 1106 of the CARES Act is remitted to the lender.</quotedText>”;</content>
                </paragraph>
                <paragraph style="-uslm-dtd:paragraph" identifier="/us/sComp/116/142/s3/c/2" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="2">(2) </num><content style="-uslm-dtd:text">in clause (iii), by striking “<quotedText style="-uslm-dtd:quote">for a period of not less than 6 months, including payment of principal, interest, and fees, and not more than 1 year.</quotedText>” and inserting the following:  “<quotedText style="-uslm-dtd:quote">, including payment of principal, interest, and fees, until the date on which the amount of forgiveness determined under section 1106 of the CARES Act is remitted to the lender.</quotedText>”; and</content>
                </paragraph>
                <paragraph style="-uslm-dtd:paragraph" identifier="/us/sComp/116/142/s3/c/3" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="3">(3) </num><content style="-uslm-dtd:text">by adding at the end the following new clause:<quotedContent style="-uslm-dtd:quoted-block">
                    <clause style="-uslm-dtd:clause" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="v">“(v) </num><heading style="-uslm-dtd:header">Rule of construction.—</heading><content style="-uslm-dtd:text">If an eligible recipient fails to apply for forgiveness of a covered loan within 10 months after the last day of the covered period defined in section 1106(a) of the CARES Act, such eligible recipient shall make payments of principal, interest, and fees on such covered loan beginning on the day that is not earlier than the date that is 10 months after the last day of such covered period.”</content>
                    </clause></quotedContent>.</content>
                </paragraph>
            </subsection>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s3/d" styleType="OLC">
                <num style="-uslm-dtd:enum" value="d">(d) </num><editorialNote style="-uslm-dtd:usc-reference" role="uscRef"><b>[</b><ref href="/us/usc/t15/s636">15 U.S.C. 636 note</ref><b>]</b> </editorialNote><heading style="-uslm-dtd:header">Effective Date; Applicability.—</heading><content style="-uslm-dtd:text">The amendments made by this section shall be effective as if included in the CARES Act (Public Law 116-136) and shall apply to any loan made pursuant to section 7(a)(36) of the Small Business Act (15 U.S.C. 636(a)(36)) or section 1109 of the CARES Act.</content>
            </subsection>
        </section>
        <section style="-uslm-dtd:section" identifier="/us/sComp/116/142/s4" styleType="OLC">
            <num style="-uslm-dtd:enum" value="4">SEC. 4. </num><heading style="-uslm-dtd:header">DELAY OF PAYMENT OF EMPLOYER PAYROLL TAXES. </heading>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s4/a" styleType="OLC">
                <num style="-uslm-dtd:enum" value="a">(a) </num><heading style="-uslm-dtd:header">In General.—</heading><content style="-uslm-dtd:text">Section 2302(a) of the CARES Act (Public Law 116-136) is amended by striking paragraph (3).</content>
            </subsection>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s4/b" styleType="OLC">
                <num style="-uslm-dtd:enum" value="b">(b) </num><editorialNote style="-uslm-dtd:usc-reference" role="uscRef"><b>[</b><ref href="/us/usc/t26/s3111">26 U.S.C. 3111 note</ref><b>]</b> </editorialNote><heading style="-uslm-dtd:header">Effective Date; Applicability.—</heading><content style="-uslm-dtd:text">The amendments made by this section shall be effective as if included in the CARES Act (Public Law 116-136) and shall apply to any loan made pursuant to section 7(a)(36) of the Small Business Act (15 U.S.C. 636(a)(36)) or section 1109 of the CARES Act.</content>
            </subsection>
        </section>
        <section style="-uslm-dtd:section" identifier="/us/sComp/116/142/s5" styleType="OLC">
            <num style="-uslm-dtd:enum" value="5">SEC. 5. </num><heading style="-uslm-dtd:header">EMERGENCY DESIGNATION. </heading>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s5/a" styleType="OLC">
                <num style="-uslm-dtd:enum" value="a">(a) </num><heading style="-uslm-dtd:header">In General.—</heading><content style="-uslm-dtd:text">This Act is designated as an emergency requirement pursuant to section 4(g) of the Statutory Pay-As-You-Go Act of 2010 (2 U.S.C. 933(g)).</content>
            </subsection>
            <subsection style="-uslm-dtd:subsection" identifier="/us/sComp/116/142/s5/b" styleType="OLC">
                <num style="-uslm-dtd:enum" value="b">(b) </num><heading style="-uslm-dtd:header">Designation in Senate.—</heading><content style="-uslm-dtd:text">In the Senate, this Act is designated as an emergency requirement pursuant to section 4112(a) of H. Con. Res. 71 (115th Congress), the concurrent resolution on the budget for fiscal year 2018.</content>
            </subsection>
