<section id="d6476e62" identifier="/us/bill/117/s/3823/s1" style="-uslm-lc:I650146"><num value="1">SECTION 1. </num><heading>SHORT TITLE.</heading><content style="-uslm-lc:I650120">  This Act may be cited as the “<shortTitle role="act">Bankruptcy Threshold Adjustment and Technical Corrections Act</shortTitle>”.</content></section>
<section id="d6476e72" identifier="/us/bill/117/s/3823/s2" style="-uslm-lc:I650141"><num value="2">SEC. 2. </num><heading>BANKRUPTCY AMENDMENTS.</heading><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e76" identifier="/us/bill/117/s/3823/s2/a" role="instruction" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="a">(a) </num><heading><inline class="smallCaps">Definition of Small Business Debtor</inline>.—</heading><chapeau><ref href="/us/usc/t11/s101/51D/B">Section 101(51D)(B) of title 11, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction>—</chapeau><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e90" identifier="/us/bill/117/s/3823/s2/a/1" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="1">(1) </num><content>in clause (i), by <amendingAction type="insert">inserting</amendingAction> “<quotedText>under this title</quotedText>” after “<quotedText>affiliated debtors</quotedText>”; and</content></paragraph><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e98" identifier="/us/bill/117/s/3823/s2/a/2" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="2">(2) </num><content>in clause (iii), by <amendingAction type="delete">striking</amendingAction> “<quotedText>an issuer</quotedText>” and all that follows and <amendingAction type="insert">inserting</amendingAction> “<quotedText>a corporation described in clause (ii).</quotedText>”.</content></paragraph></subsection><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e109" identifier="/us/bill/117/s/3823/s2/b" role="instruction" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="b">(b) </num><heading><inline class="smallCaps">Adjustments for Inflation</inline>.—</heading><chapeau><ref href="/us/usc/t11/s104">Section 104 of title 11, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction>—</chapeau><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e123" identifier="/us/bill/117/s/3823/s2/b/1" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="1">(1) </num><content>in subsection (a), by <amendingAction type="insert">inserting</amendingAction> “<quotedText>1182(1),</quotedText>” after “<quotedText>707(b),</quotedText>”; and</content></paragraph><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e131" identifier="/us/bill/117/s/3823/s2/b/2" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="2">(2) </num><content>in subsection (b), by <amendingAction type="insert">inserting</amendingAction> “<quotedText>1182(1),</quotedText>” after “<quotedText>707(b),</quotedText>”.</content></paragraph></subsection><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e139" identifier="/us/bill/117/s/3823/s2/c" role="instruction" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="c">(c) </num><heading><inline class="smallCaps">Who May Be a Debtor Under Chapter 13</inline>.—</heading><content><ref href="/us/usc/t11/s109">Section 109 of title 11, United States Code</ref> <amendingAction type="amend">is amended</amendingAction> by <amendingAction type="delete">striking</amendingAction> subsection (e) and <amendingAction type="insert">inserting</amendingAction> the following:<quotedContent><subsection class="indentUp0 firstIndent1 fontsize10" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="e">“(e) </num><content>Only an individual with regular income that owes, on the date of the filing of the petition, noncontingent, liquidated debts of less than $2,750,000 or an individual with regular income and such individual’s spouse, except a stockbroker or a commodity broker, that owe, on the date of the filing of the petition, noncontingent, liquidated debts that aggregate less than $2,750,000 may be a debtor under chapter 13 of this title.”</content></subsection></quotedContent>.</content></subsection><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e165" identifier="/us/bill/117/s/3823/s2/d" role="instruction" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="d">(d) </num><heading><inline class="smallCaps">Definition of Debtor</inline>.—</heading><content><ref href="/us/usc/t11/s1182/1">Section 1182(1) of title 11, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction> to read as follows:<quotedContent><paragraph class="indentUp1 firstIndent1 fontsize10" role="definitions" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="1">“(1) </num><heading><inline class="smallCaps">Debtor</inline>.—</heading><chapeau>The term ‘<term>debtor</term>’—</chapeau><subparagraph class="indentUp1 firstIndent1 fontsize10" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="A">“(A) </num><content>subject to subparagraph (B), means a person engaged in commercial or business activities (including any affiliate of such person that is also a debtor under this title and excluding a person whose primary activity is the business of owning single asset real estate) that has aggregate noncontingent liquidated secured and unsecured debts as of the date of the filing of the petition or the date of the order for relief in an amount not more than $7,500,000 (excluding debts owed to 1 or more affiliates or insiders) not less than 50 percent of which arose from the commercial or business activities of the debtor; and</content></subparagraph><subparagraph class="indentUp1 firstIndent1 fontsize10" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="B">“(B) </num><chapeau>does not include—</chapeau><clause class="indentUp1 firstIndent1 fontsize10" style="-uslm-lc:I650126"><num style="-uslm-lc:emspace2" value="i">“(i) </num><content>any member of a group of affiliated debtors under this title that has aggregate noncontingent liquidated secured and unsecured debts in an amount greater than $7,500,000 (excluding debt owed to 1 or more affiliates or insiders);</content></clause><clause class="indentUp1 firstIndent1 fontsize10" style="-uslm-lc:I650126"><num style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>any debtor that is a corporation subject to the reporting requirements under section 13 or 15(d) of the Securities Exchange Act of 1934 (<ref href="/us/usc/t15/s78m">15 U.S.C. 78m</ref>, 78o(d)); or</content></clause><clause class="indentUp1 firstIndent1 fontsize10" style="-uslm-lc:I650126"><num style="-uslm-lc:emspace2" value="iii">“(iii) </num><content>any debtor that is an affiliate of a corporation described in clause (ii).”</content></clause></subparagraph></paragraph></quotedContent>.</content></subsection><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e213" identifier="/us/bill/117/s/3823/s2/e" role="instruction" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="e">(e) </num><heading><inline class="smallCaps">Trustee</inline>.—</heading><chapeau><ref href="/us/usc/t11/s1183/b/5">Section 1183(b)(5) of title 11, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction>—</chapeau><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e227" identifier="/us/bill/117/s/3823/s2/e/1" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="1">(1) </num><content>by <amendingAction type="delete">striking</amendingAction> “<quotedText>possession, perform</quotedText>” and <amendingAction type="insert">inserting</amendingAction> <quotedContent>“possession—<subparagraph class="indentUp2 firstIndent1 fontsize10" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="A">“(A) </num><content>perform”</content></subparagraph></quotedContent>;</content></paragraph><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e245" identifier="/us/bill/117/s/3823/s2/e/2" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="2">(2) </num><chapeau>in subparagraph (A), as so designated—</chapeau><subparagraph class="indentUp1 firstIndent1 fontsize10" id="d6476e249" identifier="/us/bill/117/s/3823/s2/e/2/A" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="A">(A) </num><content>by <amendingAction type="delete">striking</amendingAction> “<quotedText>, including operating the business of the debtor</quotedText>”; and</content></subparagraph><subparagraph class="indentUp1 firstIndent1 fontsize10" id="d6476e257" identifier="/us/bill/117/s/3823/s2/e/2/B" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="B">(B) </num><content>by <amendingAction type="add">adding</amendingAction> “<quotedText>and</quotedText>” at the end; and</content></subparagraph></paragraph><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e265" identifier="/us/bill/117/s/3823/s2/e/3" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="3">(3) </num><content>by <amendingAction type="add">adding</amendingAction> at the end the following:<quotedContent><subparagraph class="indentUp2 firstIndent1 fontsize10" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="B">“(B) </num><content>be authorized to operate the business of the debtor;”</content></subparagraph></quotedContent>.</content></paragraph></subsection><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e279" identifier="/us/bill/117/s/3823/s2/f" role="instruction" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="f">(f) </num><heading><inline class="smallCaps">Confirmation of Plan</inline>.—</heading><content><ref href="/us/usc/t11/s1191/c">Section 1191(c) of title 11, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction> by <amendingAction type="delete">striking</amendingAction> paragraph (3) and <amendingAction type="insert">inserting</amendingAction> the following:<quotedContent><paragraph class="indentUp1 firstIndent1 fontsize10" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="3">“(3)</num><subparagraph class="inline"><num value="A">(A) </num><content>The debtor will be able to make all payments under the plan; or</content></subparagraph><subparagraph class="indentUp0 firstIndent1 fontsize10" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="B">“(B)</num><clause class="inline"><num value="i">(i) </num><content>there is a reasonable likelihood that the debtor will be able to make all payments under the plan; and</content></clause><clause class="indentUp0 firstIndent1 fontsize10" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="ii">“(ii) </num><content>the plan provides appropriate remedies, which may include the liquidation of nonexempt assets, to protect the holders of claims or interests in the event that the payments are not made.”</content></clause></subparagraph></paragraph></quotedContent>.</content></subsection><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e319" identifier="/us/bill/117/s/3823/s2/g" role="instruction" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="g">(g) </num><heading><inline class="smallCaps">Technical Corrections to the Bankruptcy Administration Improvement Act</inline>.—</heading><chapeau><ref href="/us/usc/t28/s589a">Section 589a of title 28, United States Code</ref> <amendingAction type="amend">is amended</amendingAction>—</chapeau><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e333" identifier="/us/bill/117/s/3823/s2/g/1" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="1">(1) </num><content>in subsection (c) by <amendingAction type="delete">striking</amendingAction> “<quotedText>subsection (a)</quotedText>” and <amendingAction type="insert">inserting</amendingAction> “<quotedText>subsections (a) and (f)</quotedText>”; and</content></paragraph><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e344" identifier="/us/bill/117/s/3823/s2/g/2" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="2">(2) </num><chapeau>in subsection (f)(1)—</chapeau><subparagraph class="indentUp1 firstIndent1 fontsize10" id="d6476e348" identifier="/us/bill/117/s/3823/s2/g/2/A" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="A">(A) </num><content>in the matter preceding subparagraph (A), by <amendingAction type="delete">striking</amendingAction> “<quotedText>subsections (b) and (c)</quotedText>” and <amendingAction type="insert">inserting</amendingAction> “<quotedText>subsection (b)(5)</quotedText>”; and</content></subparagraph><subparagraph class="indentUp1 firstIndent1 fontsize10" id="d6476e359" identifier="/us/bill/117/s/3823/s2/g/2/B" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="B">(B) </num><content>in subparagraph (A), by <amendingAction type="insert">inserting</amendingAction> “<quotedText>needed to offset the amount</quotedText>” after “<quotedText>amounts</quotedText>”.</content></subparagraph></paragraph></subsection><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e367" identifier="/us/bill/117/s/3823/s2/h" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="h">(h) </num><heading><inline class="smallCaps">Effective Date; Applicability</inline>.—</heading><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e374" identifier="/us/bill/117/s/3823/s2/h/1" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="1">(1) </num><heading><inline class="smallCaps">In general</inline>.—</heading><content>Subsections (b) and (c) and the amendments made by subsections (b) and (c) shall take effect on the date of enactment of this Act.</content></paragraph><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e382" identifier="/us/bill/117/s/3823/s2/h/2" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="2">(2) </num><heading><inline class="smallCaps">Retroactive application of certain amendments</inline>.—</heading><chapeau>The amendments made by subsections (a), (d), (e), and (f) shall apply with respect to any case that—</chapeau><subparagraph class="indentUp1 firstIndent1 fontsize10" id="d6476e390" identifier="/us/bill/117/s/3823/s2/h/2/A" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="A">(A) </num><content>is commenced under <ref href="/us/usc/t11">title 11, United States Code</ref>, on or after March 27, 2020; and</content></subparagraph><subparagraph class="indentUp1 firstIndent1 fontsize10" id="d6476e398" identifier="/us/bill/117/s/3823/s2/h/2/B" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="B">(B) </num><content>with respect to a case that was commenced on or after March 27, 2020 and before the date of enactment of this Act, is pending on the date of enactment of this Act.</content></subparagraph></paragraph><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e402" identifier="/us/bill/117/s/3823/s2/h/3" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="3">(3) </num><heading><inline class="smallCaps">Effective date of technical corrections to baia</inline>.—</heading><content>The amendments made by subsection (g) shall take effect as if enacted on October 1, 2021.</content></paragraph></subsection><subsection class="indentUp0 firstIndent1 fontsize10" id="d6476e410" identifier="/us/bill/117/s/3823/s2/i" style="-uslm-lc:I650120"><num style="-uslm-lc:emspace2" value="i">(i) </num><heading><inline class="smallCaps">Sunsets</inline>.—</heading><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e417" identifier="/us/bill/117/s/3823/s2/i/1" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="1">(1) </num><heading><inline class="smallCaps">In general</inline>.—</heading><chapeau>Effective on the date that is 2 years after the date of enactment of this Act—</chapeau><subparagraph class="indentUp1 firstIndent1 fontsize10" id="d6476e425" identifier="/us/bill/117/s/3823/s2/i/1/A" role="instruction" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="A">(A) </num><content>subsection (e) of <ref href="/us/usc/t11/s109">section 109 of title 11, United States Code</ref> <amendingAction type="amend">is amended</amendingAction> to read as such subsection read on the day before the date of enactment of this Act; and</content></subparagraph><subparagraph class="indentUp1 firstIndent1 fontsize10" id="d6476e436" identifier="/us/bill/117/s/3823/s2/i/1/B" role="instruction" style="-uslm-lc:I650124"><num style="-uslm-lc:emspace2" value="B">(B) </num><content><ref href="/us/usc/t11/s1182/1">section 1182(1) of title 11, United States Code</ref>, <amendingAction type="amend">is amended</amendingAction> to read as follows:<quotedContent><paragraph class="indentUp1 firstIndent1 fontsize10" role="definitions" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="1">“(1) </num><heading><inline class="smallCaps">Debtor</inline>.—</heading><content>The term ‘<term>debtor</term>’ means a small business debtor.”</content></paragraph></quotedContent>.</content></subparagraph></paragraph><paragraph class="indentUp1 firstIndent1 fontsize10" id="d6476e456" identifier="/us/bill/117/s/3823/s2/i/2" style="-uslm-lc:I650122"><num style="-uslm-lc:emspace2" value="2">(2) </num><heading><inline class="smallCaps">Amounts</inline>.—</heading><content>For purposes of applying subsection (e) of <ref href="/us/usc/t11/s109">section 109 of title 11, United States Code</ref>, as amended by paragraph (1)(A), the amounts specified in such subsection shall be the amounts that were in effect on the day before the date of enactment of this Act.</content></paragraph></subsection></section>
