                <enum>(a)</enum>
                <header>In general</header>
 <text display-inline="yes-display-inline">Subtitle D of the Internal Revenue Code of 1986 is amended by adding at the end the following new chapter:</text>

                                <enum>(a)</enum>
                                <header display-inline="yes-display-inline">In general</header>
 <text>A tax is hereby imposed for each taxable year in an amount equal to the applicable percentage of any qualified litigation proceeds received by a covered party.</text>
                            </subsection>
                            <subsection commented="no" display-inline="no-display-inline" id="HDE2327B7BCBD41888D81A1BC9B6C6C63">
                                <enum>(b)</enum>
                                <header>Applicable percentage</header>
 <text>For purposes of subsection (a), with respect to any taxable year, the applicable percentage shall be the amount (expressed as a percentage) equal to the sum of—</text>

                                    <enum>(1)</enum>
 <text display-inline="yes-display-inline">the highest rate of tax imposed by section 1 for such taxable year, plus</text>
                                </paragraph>
                                <paragraph commented="no" display-inline="no-display-inline" id="H7E1909E061DD4F4DA17F97819759204D">
                                    <enum>(2)</enum>
 <text>3.8 percentage points.</text> </paragraph> </subsection> <subsection commented="no" display-inline="no-display-inline" id="H0B433E74EA1B4B9C803F8E8CA2123C46"> <enum>(c)</enum> <header>Application of tax for pass-Thru entities</header> <text>In the case of a covered party that is a partnership, S corporation, or other pass-thru entity, the tax imposed under subsection (a) shall be applied at the entity level.</text>

                            <header>Definitions</header>
 <text display-inline="no-display-inline">In this chapter—</text> <paragraph commented="no" display-inline="no-display-inline" id="H2D72044865924337BC7E93FD5309673F"> <enum>(1)</enum> <header display-inline="yes-display-inline">Civil action</header> <subparagraph commented="no" display-inline="no-display-inline" id="HA9E1647D6C7048B48228C3F7A2CC6936"> <enum>(A)</enum> <header>In general</header> <text>The term <term>civil action</term> means any civil action, administrative proceeding, claim, or cause of action.</text>
                                </subparagraph>
                                <subparagraph commented="no" display-inline="no-display-inline" id="HC9B4C44FF4FB42938D5105A1172B9438">
                                    <enum>(B)</enum>
                                    <header display-inline="yes-display-inline">Multiple
                                        actions</header>
 <text display-inline="yes-display-inline">The term <term>civil action</term> may, unless otherwise indicated, include more than 1 civil action.</text>
                                </subparagraph>
                            </paragraph>
                            <paragraph commented="no" display-inline="no-display-inline" id="H9E0E14FED2E2423BBC30CF86A294CADC">
                                <enum>(2)</enum>
                                <header display-inline="yes-display-inline">Covered party</header>
                                <subparagraph commented="no" display-inline="no-display-inline" id="H190D10D1E8024BE4B6DC33D352E7708C">
                                    <enum>(A)</enum>
                                    <header>In general</header>
 <text display-inline="yes-display-inline">The term <term>covered party</term> means, with respect to any civil action, any third party (including an individual, corporation, partnership, or sovereign wealth fund) to such action which—</text>
                                    <clause commented="no" display-inline="no-display-inline" id="H59E7A68E60EF48A591CB0F37B80B73CD">
                                        <enum>(i)</enum>
 <text display-inline="yes-display-inline">receives funds pursuant to a litigation financing agreement, and</text>
                                    </clause>
                                    <clause commented="no" display-inline="no-display-inline" id="H0BD9F732006041A18D2CF51BF3EC4C87">
                                        <enum>(ii)</enum>
 <text>is not an attorney representing a party to such civil action.</text>
                                    </clause>
                                </subparagraph>
                                <subparagraph commented="no" display-inline="no-display-inline" id="H7CCDF6E750CF40FFB07CA89F2D709B8E">
                                    <enum>(B)</enum>
                                    <header>Inclusion of domestic and foreign entities</header>
 <text>Subparagraph (A) shall apply to any third party without regard to whether such party is created or organized in the United States or under the law of the United States or of any State.</text>
                                </subparagraph>
                            </paragraph>

                                <enum>(3)</enum>
                                <header display-inline="yes-display-inline">Litigation financing
                                    agreement</header>
                                <subparagraph commented="no" display-inline="no-display-inline" id="H26F0E3A8DCBD47BEBEB2F5F5D0ADBDA4">
                                    <enum>(A)</enum>
                                    <header>In general</header>
 <text display-inline="yes-display-inline">The term <term>litigation financing agreement</term> means, with respect to any civil action, a written agreement—</text>
                                    <clause commented="no" display-inline="no-display-inline" id="HEE8885B204F049969C52396820F49909">
                                        <enum>(i)</enum>
 <text display-inline="yes-display-inline">whereby a third party agrees to provide funds to one of the named parties or any law firm affiliated with such civil action, and</text>
                                    </clause>
                                    <clause commented="no" display-inline="no-display-inline" id="HB91DD529CE2646F79737BDBEDAC28D27">
                                        <enum>(ii)</enum>
 <text display-inline="yes-display-inline">which creates a direct or collateralized interest in the proceeds of such action (by settlement, verdict, judgment or otherwise) which—</text>
                                        <subclause commented="no" display-inline="no-display-inline" id="H022759FD3415456CBC038734D1A3B6AC">
                                            <enum>(I)</enum>
 <text display-inline="yes-display-inline">is based, in whole or part, on a funding-based obligation to—</text>
                                            <item commented="no" display-inline="no-display-inline" id="HD9B9C7CE5E0D4D9597F2A2DD153846CC">
                                                <enum>(aa)</enum>
 <text display-inline="yes-display-inline">such civil action,</text>
                                            </item>
                                            <item commented="no" display-inline="no-display-inline" id="H3F872910342E4477B52780A36A898017">
                                                <enum>(bb)</enum>
 <text display-inline="yes-display-inline">the appearing counsel,</text>
                                            </item>
                                            <item commented="no" display-inline="no-display-inline" id="HB4B2CB8B17C142B6951FBD09C09A0D42">
                                                <enum>(cc)</enum>
 <text display-inline="yes-display-inline">any contractual co-counsel, or</text>
                                            </item>
                                            <item commented="no" display-inline="no-display-inline" id="H9B33A429EE1540F7B3FD1FCA9688605B">
                                                <enum>(dd)</enum>
 <text display-inline="yes-display-inline">the law firm of such counsel or co-counsel, and</text>
                                            </item>
                                        </subclause>
                                        <subclause commented="no" display-inline="no-display-inline" id="H7D12BFD11AA54D7DB60976429354429A">
                                            <enum>(II)</enum>
 <text display-inline="yes-display-inline">is executed with—</text>
                                            <item commented="no" display-inline="no-display-inline" id="H48143EED8AE74CAA87AE43C85260F09F">
                                                <enum>(aa)</enum>
 <text display-inline="yes-display-inline">any attorney representing a party to such civil action,</text>
                                            </item>
                                            <item commented="no" display-inline="no-display-inline" id="H5D185EEA351D449D9D68247841D350CE">
                                                <enum>(bb)</enum>
 <text display-inline="yes-display-inline">any co-counsel in the litigation with a contingent fee interest in the representation of such party,</text>
                                            </item>
                                            <item commented="no" display-inline="no-display-inline" id="HE5FAA9A387E54FCFB53B1281CCAD6000">
                                                <enum>(cc)</enum>
 <text display-inline="yes-display-inline">any third party that has a collateral-based interest in the contingency fees of the counsel or co-counsel firm which is related, in whole or part, to the fees derived from representing such party, or</text>
                                            </item>
                                            <item commented="no" display-inline="no-display-inline" id="H61ABE7EAE4DE4C24A115238B5565D38F">
                                                <enum>(dd)</enum>
 <text>any named party in such civil action.</text> </item> </subclause> </clause> </subparagraph> <subparagraph commented="no" display-inline="no-display-inline" id="HB28219ADE9B04F4EBBB01430196F8185"> <enum>(B)</enum> <header>Substantially similar agreements</header> <text>The term <term>litigation financing agreement</term> shall include any contract (including any option, forward contract, futures contract, short position, swap, or similar contract) or other agreement which, as determined by the Secretary, is substantially similar to an agreement described in subparagraph (A).</text>
                                </subparagraph>
                                <subparagraph commented="no" display-inline="no-display-inline" id="H6364A61CF9274CDCBC0A5EA828CAAC70">
                                    <enum>(C)</enum>
                                    <header display-inline="yes-display-inline">Exceptions</header>
 <text display-inline="yes-display-inline">The term <term>litigation financing agreement</term> shall not include any agreement—</text>
                                    <clause commented="no" display-inline="no-display-inline" id="H939C41DE82E0446B9F99532872AA234E">
                                        <enum>(i)</enum>
 <text display-inline="yes-display-inline">under which the total amount of funds described in subparagraph (A)(i) with respect to an individual civil action is less than $10,000, or</text>
                                    </clause>
                                    <clause commented="no" display-inline="no-display-inline" id="HD48EC47D304346899F45E92191634D16">
                                        <enum>(ii)</enum>
 <text display-inline="yes-display-inline">in which the third party described in subparagraph (A)—</text>
                                        <subclause commented="no" display-inline="no-display-inline" id="H932D48C3AE09481EBC497B3000775520">
                                            <enum>(I)</enum>
 <text display-inline="yes-display-inline">has a right to receive proceeds which are derived from, or pursuant to, such agreement that are limited to—</text>
                                            <item commented="no" display-inline="no-display-inline" id="H38104731536E44019374614791A51657">
                                                <enum>(aa)</enum>
 <text display-inline="yes-display-inline">repayment of the principal of a loan,</text>
                                            </item>
                                            <item commented="no" display-inline="no-display-inline" id="HC4BD85BF38B841EBA31521F967F61A87">
                                                <enum>(bb)</enum>
 <text>repayment of the principal of a loan plus any interest on such loan, provided that the rate of interest does not exceed the greater of—</text>
                                                <subitem commented="no" display-inline="no-display-inline" id="H5EC6108D3CE5484A8AA449F93A19155E">
                                                  <enum>(AA)</enum>
 <text display-inline="yes-display-inline">7 percent, or</text>
                                                </subitem>
                                                <subitem commented="no" display-inline="no-display-inline" id="H2283BF1137544AEABA0EF85FA62390BA">
                                                  <enum>(BB)</enum>
 <text display-inline="yes-display-inline">a rate equal to twice the average annual yield on 30-year United States Treasury securities (as determined for the year preceding the date on which such agreement was executed), or</text>
                                                </subitem>
                                            </item>
                                            <item commented="no" display-inline="no-display-inline"

                                                <enum>(cc)</enum>
 <text>reimbursement of attorney's fees, or</text> </item> </subclause> <subclause commented="no" display-inline="no-display-inline" id="HF0650F98C95F43C6BA253B820C63227B"> <enum>(II)</enum> <text>bears a relationship described in section 267(b) to the named party receiving the payment described in subparagraph (A)(i).</text>
                                        </subclause>
                                    </clause>
                                </subparagraph>
                            </paragraph>
                            <paragraph commented="no" display-inline="no-display-inline" id="HD3E3E365E16F4B0997BF676839524AC2">
                                <enum>(4)</enum>
                                <header display-inline="yes-display-inline">Qualified litigation
                                    proceeds</header>
                                <subparagraph commented="no" display-inline="no-display-inline" id="H32C1FCC8BB41454CA406083EC7CCC203">
                                    <enum>(A)</enum>
                                    <header>In general</header>
 <text display-inline="yes-display-inline">The term <term>qualified litigation proceeds</term> means, with respect to any taxable year, an amount equal to the realized gains, net income, or other profit received by a covered party during such taxable year which is derived from, or pursuant to, any litigation financing agreement.</text>
                                </subparagraph>
                                <subparagraph commented="no" display-inline="no-display-inline" id="H016EF642E4D342748AFAD6E07B9D4A2B">
                                    <enum>(B)</enum>
                                    <header>Anti-netting</header>
 <text>Any gains, income, or profit described in subparagraph (A) shall not be reduced or offset by any ordinary or capital loss in the taxable year.</text>
                                </subparagraph>
                                <subparagraph commented="no" display-inline="no-display-inline" id="H36FCF2E74724461D9072AFB660542320">
                                    <enum>(C)</enum>
                                    <header>Prohibition on exclusion of certain amounts</header>
 <text>In determining the amount of realized gain under subparagraph (A), amounts described in section 104(a)(2) and 892(a)(1) shall not be excluded.</text>
                                </subparagraph>
                            </paragraph>
                        </section>

                            <enum>5000E–3.<?LEXA-Enum 5000E–3.?></enum>
                            <header>Special rules</header>
                            <subsection commented="no" display-inline="no-display-inline" id="H949CCEF3CD864D35BF0CFC3A6A81FCB3">
                                <enum>(a)</enum>
                                <header display-inline="yes-display-inline">Withholding of tax on
                                    litigation proceeds</header>
 <text>Any applicable person having the control, receipt, or custody of any proceeds from a civil action (by settlement, judgment, or otherwise) with respect to which such person had entered into a litigation financing agreement shall deduct and withhold from such proceeds a tax equal to 50 percent of the applicable percentage (as determined under section 5000E–1(b)) of any payments which are required to be made to a third party pursuant to such agreement.</text>
                            </subsection>
                            <subsection commented="no" display-inline="no-display-inline" id="HD5EB872D5D1D47259147E7B1228F9269">
                                <enum>(b)</enum>
                                <header>Applicable person</header>
 <text display-inline="yes-display-inline">For purposes of this section, the term <term>applicable person</term> means any person which—</text>
                                <paragraph commented="no" display-inline="no-display-inline" id="HCF7FDCA1A4A84BBABB8C5934A2969D10">
                                    <enum>(1)</enum>
 <text display-inline="yes-display-inline">is a named party in a civil action or a law firm affiliated with such civil action, and</text>
                                </paragraph>
                                <paragraph commented="no" display-inline="no-display-inline" id="H5C8AFADE118A4BCF83CBEA5B24FBD91E">
                                    <enum>(2)</enum>
 <text display-inline="yes-display-inline">has entered into a litigation financing agreement with respect to such civil action.</text>
                                </paragraph>
                            </subsection>
                            <subsection commented="no" display-inline="no-display-inline" id="H1917553E47464A22917A42A21C041987">
                                <enum>(c)</enum>
                                <header>Application of withholding provisions</header>
                                <paragraph commented="no" display-inline="no-display-inline" id="HB9AA6BCC638D4CAAB73E70121832F686">
                                    <enum>(1)</enum>
                                    <header display-inline="yes-display-inline">Liability for
                                        withheld tax</header>
 <text>Every person required to deduct and withhold any tax under this chapter is hereby made liable for such tax and is hereby indemnified against the claims and demands of any person for the amount of any payments made in accordance with the provisions of this chapter.</text>
                                </paragraph>
                                <paragraph commented="no" display-inline="no-display-inline" id="H3CB7FA43679947D5AFF49C68D50C9152">
                                    <enum>(2)</enum>
                                    <header display-inline="yes-display-inline">Withheld tax as
                                        credit to recipient of qualified litigation
                                        proceeds</header>
 <text>Qualified litigation proceeds on which any tax is required to be withheld at the source under this chapter shall be included in the return of the recipient of such proceeds, but any amount of tax so withheld shall be credited against the amount of tax as computed in such return.</text>
                                </paragraph>
                                <paragraph commented="no" display-inline="no-display-inline" id="HA247A009D0484D0A95F9FB941A570919">
                                    <enum>(3)</enum>
                                    <header display-inline="yes-display-inline">Tax paid by
                                        recipient of qualified litigation proceeds</header>
 <text>If—</text> <subparagraph commented="no" display-inline="no-display-inline" id="HCCD27EC47AEC4957BA3324EFD3C2BB87"> <enum>(A)</enum> <text display-inline="yes-display-inline">any person, in violation of the provisions of this chapter, fails to deduct and withhold any tax under this chapter, and</text>
                                    </subparagraph>
                                    <subparagraph commented="no" display-inline="no-display-inline" id="HD459A3C63BF642B387B238317374DCEE">
                                        <enum>(B)</enum>
 <text>thereafter the tax against which such tax may be credited is paid,</text>
                                    </subparagraph>
                                    <continuation-text continuation-text-level="paragraph">the tax
                                        so required to be deducted and withheld shall not be
                                        collected from such person, but this paragraph shall in no
                                        case relieve such person from liability for interest or any
                                        penalties or additions to the tax otherwise applicable in
                                        respect of such failure to deduct and
                                        withhold.</continuation-text>
                                </paragraph>
                                <paragraph commented="no" display-inline="no-display-inline" id="HEDCE9C3DCC8D43B587BD59A30D8EF34D">
                                    <enum>(4)</enum>
                                    <header display-inline="yes-display-inline">Refunds and credits
                                        with respect to withheld tax</header>
 <text display-inline="yes-display-inline">Where there has been an overpayment of tax under this chapter, any refund or credit made under chapter 65 shall be made to the withholding agent unless the amount of such tax was actually withheld by the withholding agent.</text>
                                </paragraph>
                            </subsection>
                        </section>

            </subsection>

                <enum>(b)</enum>
                <header>Exclusion from definition of capital asset</header>
 <text><external-xref legal-doc="usc" parsable-cite="usc/26/1221">Section 1221(a)</external-xref> of the Internal Revenue Code of 1986 is amended—</text> <paragraph commented="no" display-inline="no-display-inline" id="H77608EDE15D943158115179E268F7BEE"> <enum>(1)</enum> <text display-inline="yes-display-inline">in paragraph (7), by striking <quote>or</quote> at the end,</text>
                </paragraph>
                <paragraph commented="no" display-inline="no-display-inline" id="H406ED15C8B4F4397A09E8D41C865987A">
                    <enum>(2)</enum>
 <text>in paragraph (8), by striking the period at the end and inserting <quote>; or</quote>, and</text>
                </paragraph>
                <paragraph commented="no" display-inline="no-display-inline" id="H64B767CD6D3E4BBCB496009F0655A22F">
                    <enum>(3)</enum>
 <text>by adding at the end the following new paragraph:</text> <quoted-block style="OLC" display-inline="no-display-inline" id="H97B43A35B4B6424D8EE78497904F1EF0"> <paragraph commented="no" display-inline="no-display-inline" id="HEDD395095F95409E91BA52F145D80D22"> <enum>(9)</enum> <text>any financial arrangement created by, or any proceeds derived from, a litigation financing agreement (as defined under section 5000E–2).</text>
                        </paragraph>

            </subsection>
            <subsection commented="no" display-inline="no-display-inline" id="HBE32EB8A32D642BFBF55051BB07E8F4E">
                <enum>(c)</enum>
                <header display-inline="yes-display-inline">Removal from gross income</header>
 <text>Part III of subchapter B of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal Revenue Code of 1986 is amended by inserting after section 139I the following new section:</text>

                        <header>Qualified litigation proceeds</header>
 <text display-inline="no-display-inline">Gross income shall not include any qualified litigation proceeds (as defined in section 5000E–2).</text>

                    <enum>(1)</enum>
 <text><external-xref legal-doc="usc" parsable-cite="usc/26/7701">Section 7701(a)(16)</external-xref> of the Internal Revenue Code of 1986 is amended by inserting <quote>5000E–3(c)(1),</quote> before <quote>1441</quote>.</text>
