display-inline="no-display-inline">Congress finds that—</text><paragraph id="HDDE81DE3B0884687BC002319E36FDD62"><enum>(1)</enum><text>throughout the history of the United States, national banks have played a crucial role in financing most of the public infrastructure of the United States;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H7BBE8AF95ADA4CF2A53D02F04329245A"><enum>(2)</enum><text display-inline="yes-display-inline">the largest national banks included—</text><subparagraph commented="no" display-inline="no-display-inline" id="HC11D06C60F464F0593A5221265FEB7EC"><enum>(A)</enum><text display-inline="yes-display-inline">the First Bank of the United States, from 1791 through 1811;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HDF065583BFAD45B1810BDDA1A48DC687"><enum>(B)</enum><text display-inline="yes-display-inline">the Second Bank of the United States, from 1816 through 1836;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H3D3D661367BB431AB294803CB508278D"><enum>(C)</enum><text display-inline="yes-display-inline">the national banking system instituted by President Lincoln; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H2FC9525C36A848408BB9B59A4D165EC8"><enum>(D)</enum><text display-inline="yes-display-inline">the Reconstruction Finance Corporation instituted by President Franklin Delano Roosevelt, from 1932 through 1957;</text></subparagraph></paragraph><paragraph id="HBB50783E521B4DD5B627DF99ACFAA9AA"><enum>(3)</enum><text>those national banks were enacted with broad bipartisan support, and financed the construction of roads, turnpikes, bridges, canals, the Transcontinental Railroad, the Hoover Dam, rural electrification, manufacturing startups, and rail, school, and farm improvements in every corner of the United States;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H0EBACD7A78214CA2B9343E649D2BB323"><enum>(4)</enum><text display-inline="yes-display-inline">those infrastructure investments created the conditions for improved productivity, economic growth, and job creation, helped lift the United States out of the Great Depression, and contributed to victory in World War II;</text></paragraph><paragraph id="H619CB83737344C58B698684B65200201"><enum>(5)</enum><text display-inline="yes-display-inline">the American Society of Civil Engineers (referred to in this section as <quote>ASCE</quote>), in its 2025 Report Card estimates that $9,139,000,000,000 (not adjusted for inflation) is needed from 2024 to 2033 to meet all of the infrastructure needs of the United States, and of that amount, $5,450,000,000,000 is expected to be financed by the Federal Government at continued appropriation levels, and by States, counties, cities, utilities, and port and airport authorities through their general revenues, special taxes, user fees, and borrowing from capital markets;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HA67EC129E72C4FEAB13C95881EABF3E3"><enum>(6)</enum><text display-inline="yes-display-inline">even with the investments described in paragraph (5), a financing gap of $3,689,000,000,000 remains, and to close that gap, the United States will need to increase funding by all levels of government, in order to improve infrastructure quality and resiliency, grow the economy faster, and maintain our international competitiveness;</text></paragraph><paragraph id="H60B2D73B7F774690A2C08DBE67AE8260"><enum>(7)</enum><text display-inline="yes-display-inline">ASCE further estimates that the added $3,689,000,000,000 needed over a 10-year period to bring systems up to a state of good repair includes—</text><subparagraph id="H34F00D55755E47F6993292A5FF6F20BD"><enum>(A)</enum><text>$1,208,000,000,000 for roads, bridges, and transit;</text></subparagraph><subparagraph id="HE75EFED1F62B4DF0A2B6C70788CEEFBB"><enum>(B)</enum><text>$1,015,000,000,000 for drinking water, wastewater, and stormwater systems;</text></subparagraph><subparagraph id="HEC0126F951114268A07446E6CB0B236E"><enum>(C)</enum><text display-inline="yes-display-inline">$429,000,000,000 for schools and broadband access;</text></subparagraph><subparagraph id="H462BD48A4F2C4677A29CDC9FBD116AD0"><enum>(D)</enum><text>$578,000,000,000 for electricity generation, transmission, and distribution;</text></subparagraph><subparagraph id="H6D0C1A6CFF164E8C9AABA554808082C7"><enum>(E)</enum><text>$113,000,000,000 for aviation;</text></subparagraph><subparagraph id="H756B5F4C5F844E8AA94CE28AC06FBA6C"><enum>(F)</enum><text>$286,000,000,000 for dams, levees, inland waterways, and ports;</text></subparagraph><subparagraph id="HD7D73A2B05D241B39739325BAE68EB06"><enum>(G)</enum><text>$32,000,000,000 for passenger rail; and</text></subparagraph><subparagraph id="HDD10B5CDA98E45CF9AFC47DD6CADB429"><enum>(H)</enum><text>$44,000,000,000 for public parks and recreation;</text></subparagraph></paragraph><paragraph id="H587E0D671B2941EFB4CD90667521BC72"><enum>(8)</enum><text display-inline="yes-display-inline">expanded investment of at least $1,311,000,000,000 is also needed, including—</text><subparagraph id="H069B08AADDE549A7A70222CBCA041E4C"><enum>(A)</enum><text display-inline="yes-display-inline">$320,000,000,000 for new affordable housing;</text></subparagraph><subparagraph id="HF07D5C3F9998463A98708E4A4E11AE52"><enum>(B)</enum><text>$791,000,000,000 for a 17,000-mile high-speed rail network;</text></subparagraph><subparagraph id="HC2476EF9D482449DAE27895C684E7CB1"><enum>(C)</enum><text>$200,000,000,000 for major water supply projects; and</text></subparagraph><subparagraph commented="no" id="H3577A42F87D84EB888511F55CB58F6F4"><enum>(D)</enum><text display-inline="yes-display-inline">incorporated in each of the categories described in subparagraphs (A) through (C), science and technology drivers, resiliency features, accommodation of population growth, energy savings, and improvements in rural, urban, and low-income areas that the public and private sectors are not fully serving now;</text></subparagraph></paragraph><paragraph id="H9E12E957BD8C4BC69ED34DA77FECC970"><enum>(9)</enum><text display-inline="yes-display-inline">although Federal grant programs, along with matching State and local funding, should continue to play a coordinating role in financing infrastructure in the United States, current and foreseeable demands on existing Federal, State, and local budgets exceed the resources to support those programs by a wide margin;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HBD111FCE37274A9A967E43B1231B4113"><enum>(10)</enum><text display-inline="yes-display-inline">a sharp bout of inflation in 2021 through 2023, and a delay in the enactment of a robust, adequately sized, 10-year lending plan to the period of 2024 through 2033, should require a 40-percent increase above real costs to ensure adequate funding in nominal dollars;</text></paragraph><paragraph id="H16B52EFDB3BC41F9AF34BE6F7E7DFECB"><enum>(11)</enum><text>the establishment of a United States public deposit bank would provide direct loans and other financing of up to $5,000,000,000,000 for qualifying infrastructure projects without requiring additional Federal taxes or deficits; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HF9FFE378C323478C9AC484B5C5A7A565"><enum>(12)</enum><text display-inline="yes-display-inline">that funding would—</text><subparagraph commented="no" display-inline="no-display-inline" id="H214F105FDD444360A46D93A4DFFB12C3"><enum>(A)</enum><text display-inline="yes-display-inline">be adequate to finance all of the unfunded infrastructure needs of the United States, in all parts of the country, according to well-developed strategic plans; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HAB033C076A974923BDA977E713D1BD19"><enum>(B)</enum><text display-inline="yes-display-inline">return the United States to its most recent <quote>golden age</quote> when a National Infrastructure Bank was in place, from 1933 to 1957, during which time—</text><clause commented="no" display-inline="no-display-inline" id="H31BF66DD0FB245A79C3D3071F2499E9D"><enum>(i)</enum><text display-inline="yes-display-inline">total factor productivity advanced by 3.5 percent per year;</text></clause><clause commented="no" display-inline="no-display-inline" id="H35AFC8B4EC7B4EA8B075C61BC2DC9369"><enum>(ii)</enum><text display-inline="yes-display-inline">the economy grew, on average, 5.5 percent per year;</text></clause><clause commented="no" display-inline="no-display-inline" id="HF10A20CC43294D7CB216B0037B0B6541"><enum>(iii)</enum><text display-inline="yes-display-inline">income inequality decreased by <fraction>1/3</fraction>; and</text></clause><clause commented="no" display-inline="no-display-inline" id="H5376D46177A745BFA436BD6667BB7DE0"><enum>(iv)</enum><text display-inline="yes-display-inline">Federal and State tax receipts rose dramatically.</text></clause></subparagraph></paragraph></section><title id="HE36813605DA740E5AF7F481CAB6B9DA6" commented="no"><enum>I</enum><header>Revenue provisions</header><section id="H5AEAC4C0C7B2458DBE394D81E24861FA" commented="no"><enum>101.</enum><header>Treatment of National Infrastructure Bank as a Government corporation exempt from tax</header><subsection id="HF01B38714AEA4CCCB12A8707954A24D8" commented="no"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/26/501">Section 501(l)</external-xref> of the Internal Revenue Code of 1986 is amended by adding at the end the following new paragraph:</text><quoted-block style="OLC" display-inline="no-display-inline" id="HC5673FB79C9749039AB769F4C2C919B9"><paragraph id="H588A1E3A3D4A458F94BB6BC956AFFAB6" commented="no"><enum>(5)</enum><text display-inline="yes-display-inline">The National Infrastructure Bank established under title II of the <short-title>National Infrastructure Bank Act of 2025</short-title>.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HDCD16D686F4F4E19A33C17977598CBC2" commented="no"><enum>(b)</enum><header>Effective date</header><text>The amendment made by this section shall apply to taxable years ending after the date of the enactment of this Act.</text></subsection></section><section id="HC4782C204A20451D80602D56188C9D47" commented="no"><enum>102.</enum><header>Treatment of contributions to the National Infrastructure Bank as charitable contributions</header><subsection id="H472F836F76C54968BAD573D04ACAD574" commented="no"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/26/170">Section 170(c)</external-xref> of the Internal Revenue Code of 1986 is amended by inserting after paragraph (6) the following new paragraph:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H35E6BEFBD6F74666BD2CA72572337070"><paragraph id="H4E824D7EDA14412BB80711E94737D51E" commented="no"><enum>(7)</enum><text display-inline="yes-display-inline">The National Infrastructure Bank established under title II of the <short-title>National Infrastructure Bank Act of 2025</short-title>.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HA52BA76497DE44CE94F9076D92C815D3" commented="no"><enum>(b)</enum><header>Application of percentage limitation</header><text>Section 170(b)(1)(A) of such Code is amended by striking <quote>or</quote> at the end of clause (ix), by inserting <quote>or</quote> at the end of clause (x), and by inserting after clause (x) the following new clause:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H9F2D4A9DE9E94FEBA2AE12E85C2BEAAF"><clause id="H048FBAAD171A43588A1F9317DBB573F6" commented="no"><enum>(xi)</enum><text display-inline="yes-display-inline">the National Infrastructure Bank referred to in subsection (c)(7),</text></clause><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H6A097881FFD44DB9B56F5E5FF331E0CD" commented="no"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall apply to taxable years ending after the date of the enactment of this Act.</text></subsection></section><section id="H2E412BE54DB34D1A9969B98020C57455" commented="no"><enum>103.</enum><header>Preferred dividends of National Infrastructure Bank excludible from gross income</header><subsection id="H4ED670CE642B4FCF9D4F72D8F9D7C314" commented="no"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Part III of subchapter B of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal Revenue Code of 1986 is amended by inserting after section 139I the following new section:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H5556DCB9B0304282B1F0E32A8CF24CF8"><section id="H6B3B810A66A640F4BF9D0C40A5FE76F9" commented="no"><enum>139J.</enum><header>Preferred dividends of National Infrastructure Bank</header><text display-inline="no-display-inline">Gross income shall not include any amount received as a dividend on preferred stock of the National Infrastructure Bank pursuant to section 203(c) of the <short-title>National Infrastructure Bank Act of 2025</short-title> (as in effect on the date of the enactment of this section).</text></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H70B39499E5F04CC1B797A4FF274CA238" commented="no"><enum>(b)</enum><header>Clerical amendment</header><text>The table of sections of such part is amended by inserting after the item relating to section 139I the following new id="H188BFFA401934E5A8F266FA58DA362D3"><enum>201.</enum><header>Definitions</header><text display-inline="no-display-inline">In this title:</text><paragraph id="H5681E17B4740453BB932D3331C9549EA"><enum>(1)</enum><header>Affordable housing</header><text>The term <term>affordable housing</term> means housing that meets the criteria established under section 215 of the Cranston-Gonzalez National Affordable Housing Act (<external-xref legal-doc="usc" parsable-cite="usc/42/12745">42 U.S.C. 12745</external-xref>).</text></paragraph><paragraph id="H2A5A55817C34442F89A1041996A1787E"><enum>(2)</enum><header>Bank</header><text>The term <term>Bank</term> means the National Infrastructure Bank established under section economic units, including networks of commuter routes, railways, shipping lanes, and internet cables, including geomatic data collected by the Department of Transportation.</text></paragraph><paragraph id="H937392C90EC4448084B57FF318A30006"><enum>(15)</enum><header>Develop; development</header><text>The terms <term>develop</term> and <term>development</term>, with respect to an infrastructure project, mean—</text><subparagraph id="H540D24BD47A24ACD989216E6B1754FC4"><enum>(A)</enum><text>any preconstruction planning, feasibility review for stand-alone projects or for bundled projects, permitting, design work, life-cycle maintenance planning, and other preconstruction activities; and</text></subparagraph><subparagraph id="H7B6237C7B4734A76B1B92C73FC146327"><enum>(B)</enum><text>any construction, reconstruction, rehabilitation, replacement, or expansion.</text></subparagraph></paragraph><paragraph id="H01C2A8C1D4C341DC8D10F97FC8539935"><enum>(16)</enum><header>Direct loan</header><text>The term <term>direct loan</term> has the meaning given the term in section 502 of the Federal Credit Reform Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/2/661a">2 U.S.C. 661a</external-xref>).</text></paragraph><paragraph id="H581A4CCD0C624E2A9FA357A9C8A57555"><enum>(17)</enum><header>Disadvantaged community</header><text display-inline="yes-display-inline">The term <term>disadvantaged community</term> means a 9501</external-xref>)).</text></subparagraph></paragraph><paragraph id="H5B3B72D89CA94D8B92D975FC72AB9623"><enum>(18)</enum><header>Energy infrastructure project</header><text>The term <term>energy infrastructure project</term> means a project that involves the construction of a new or upgraded energy generation, transmission, distribution, or storage facility.</text></paragraph><paragraph id="HC5216FB4293D44B2999CD524CAD61356"><enum>(19)</enum><header>Entity</header><text>The term <term>entity</term> means—</text><subparagraph id="H36DF28F69FE54D7AAFD14CD1BD4FEC69"><enum>(A)</enum><text>a State or political subdivision of a State;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H840EA7A621AF4108AE2AF41CE8FD2986"><enum>(B)</enum><text>a unit of local government;</text></subparagraph><subparagraph id="H744C46267C5F447B92EDF972FD10704A"><enum>(C)</enum><text>a publicly partnership.</text></subparagraph></paragraph><paragraph id="H313F0FD6E4FA4B0F85829CD54311CFF0"><enum>(20)</enum><header>Environmental infrastructure project</header><text>The term <term>environmental infrastructure project</term> means any project for—</text><subparagraph commented="no" display-inline="no-display-inline" id="H6F38AD235B7B4863BB606B39B89F8B53"><enum>(A)</enum><text display-inline="yes-display-inline">the establishment, deferred maintenance, or enhancement, including security enhancement, of any drinking water and wastewater treatment facility, stormwater management system, flood gate, dam, levee, solid waste disposal facility, or hazardous waste facility;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H074C3D8A2284474FBE70ECDB5A4AD7D1"><enum>(B)</enum><text>dredging;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H9C836735CFB3417785A48B99902CAB2C"><enum>(C)</enum><text display-inline="yes-display-inline">wetland restoration or other open space conservation;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H50F2B440F3CD43A1A250E4EB8A4396DF"><enum>(D)</enum><text display-inline="yes-display-inline">infill development; or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H9367FB9550F04ACAB5C8C6C127ACD041"><enum>(E)</enum><text display-inline="yes-display-inline">industrial site cleanup or remediation.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HCE25A68BF8404125B4403B480B765C52"><enum>(21)</enum><header>Executive Committee</header><text>The term <term>Executive Committee</term> means the Executive Committee of the Bank established under section 208(a).</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H16755BF73F36489F89366483FF72545F"><enum>(22)</enum><header>Federally recognized area of economic distress</header><text>The term <term>federally recognized area of economic distress</term> means—</text><subparagraph id="H667145547EC046459F2627DCBD0DA39E"><enum>(A)</enum><text>a HUBZone (as defined in section 31(b) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/657a">15 U.S.C. 657a(b)</external-xref>));</text></subparagraph><subparagraph id="H2BA9AB03F2A845CDB901C575FE138F02"><enum>(B)</enum><text>an area of Housing and Urban Development; or</text></clause><clause id="HCD04FEA2D22F4BD6957436A307957F53"><enum>(iii)</enum><text>is a low- or moderate-income area, as determined by the Secretary of Housing id="H6527DAD5794E418E85C591B038B5C7FE"><enum>(25)</enum><header>Infrastructure project</header><text display-inline="yes-display-inline">The term <term>infrastructure project</term> means any transportation infrastructure project, energy infrastructure project, environmental infrastructure project, telecommunications infrastructure project, community development infrastructure project, or other infrastructure project for which a development plan is presented to the Bank for financing.</text></paragraph><paragraph id="H916EBDBBD8AE4C1AA0D1EB6C3559DD89"><enum>(26)</enum><header>Local financial institution</header><text display-inline="yes-display-inline">The term <term>local financial institution</term> means—</text><subparagraph commented="no" display-inline="no-display-inline" id="H0CB0D20FD81040AB8B81BCCE269A61CC"><enum>(A)</enum><text display-inline="yes-display-inline">a certified community development financial institution (as defined in section 103 of the Riegle display-inline="yes-display-inline">a State public bank.</text></subparagraph></paragraph><paragraph id="H7470A8ACD0BF4FBDB94C5CD510C27B9F"><enum>(27)</enum><header>Low-income community</header><text>The term <term>low-income community</term> means any census block group in which 30 percent or more of the population are individuals with an annual household income equal to, or less than, the greater of—</text><subparagraph id="HA8B914B4A2D04F92BE858F00376DB313"><enum>(A)</enum><text>an amount equal to 80 percent of the median income of the area in which the household is located, as reported by the Department of Housing and Urban Development; and</text></subparagraph><subparagraph id="HC98CEEE60DAC49129A1CEE5FBACE34CF"><enum>(B)</enum><text>200 percent of the Federal poverty line.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H99181F8EA02E4334954760E6B5EBB6E4"><enum>(28)</enum><header>Private entity</header><text>The term <term>private entity</term> means a corporation, partnership, company, or nonprofit organization.</text></paragraph><paragraph id="HE1CF90A720D94F8F8779D49C9CE846B7"><enum>(29)</enum><header>Productivity</header><text>The term <term>productivity</term> means the improved efficiency in the economy associated with investments in public and private infrastructure, calculated as the difference between—</text><subparagraph commented="no" display-inline="no-display-inline" id="H8B746B5B3E7B43B3947C6DC7978CE8B3"><enum>(A)</enum><text display-inline="yes-display-inline">the change in the value of total production; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H1EDEC66008D74755A4EF5484FE15B92F"><enum>(B)</enum><text display-inline="yes-display-inline">the change in the value of inputs going into production.</text></subparagraph></paragraph><paragraph id="H864A1D3D8758412A900FDD42357AD602"><enum>(30)</enum><header>Public benefit</header><text>The term <term>public benefit</term> means the clear and measurable benefit to society resulting from the use of the infrastructure project by the public with respect to which a project is carried out, or the improvement the infrastructure project provides in—</text><subparagraph id="H4B244E1632634FFE95BC8D7D9743B81D"><enum>(A)</enum><text>economic growth and productivity;</text></subparagraph><subparagraph id="H2F0316FFEAF24D399B943D87D2223CDB"><enum>(B)</enum><text>air and water quality;</text></subparagraph><subparagraph id="H238B6F982F494766A29BB6143516B9E2"><enum>(C)</enum><text>energy savings;</text></subparagraph><subparagraph id="H649CCFE823BC427B8B04AE266157DC01"><enum>(D)</enum><text>high-wage jobs;</text></subparagraph><subparagraph id="H2A1BD4ACEF064810BD777602D62CB9D1"><enum>(E)</enum><text>poverty reduction; or</text></subparagraph><subparagraph id="H97D425BFCC2C46A19C0A994D65B207DF"><enum>(F)</enum><text>Federal, State, and local revenues.</text></subparagraph></paragraph><paragraph id="HDECF384B0D074D0FB1BC44C869F4D5C6" commented="no"><enum>(31)</enum><header>Public-private partnership</header><text>The term <term>public-private partnership</term> means an agreement between an entity described in any of subparagraphs (A) through (H) of paragraph (19) and a private entity to finance, build, and maintain or operate an infrastructure project.</text></paragraph><paragraph id="H989613C44B1A4890ABA0DC835C500744"><enum>(32)</enum><header>Revolving fund</header><text display-inline="yes-display-inline">The term <term>revolving fund</term> means a fund or program established by a State or a political subdivision or other instrumentality of a State, the principal activity of which is to make loans, commitments, or other financial accommodations for the development of 1 or more categories of infrastructure projects.</text></paragraph><paragraph id="H00D2687BA5274898AC8DAF54970D18BF"><enum>(33)</enum><header>Secretary</header><text>The term <term>Secretary</term> means the Secretary of the Treasury.</text></paragraph><paragraph id="H9EE49E6E0B8444658D25950350497876"><enum>(34)</enum><header>State</header><text>The term <term>State</term> means any of the several States, the District of Columbia, the Commonwealth of Puerto Rico, Guam, American Samoa, the United States Virgin Islands, the Commonwealth of the Northern Mariana Islands, and any other territory or possession of the United States.</text></paragraph><paragraph id="H5D53CF3DB39149AC82FCDD33BFCC2A00" commented="no"><enum>(35)</enum><header>Telecommunications infrastructure project</header><text>The term <term>telecommunications infrastructure project</term> means any project involving infrastructure required—</text><subparagraph commented="no" display-inline="no-display-inline" id="HBB008B2EED124C6E9EA6E21BDB4E97EA"><enum>(A)</enum><text display-inline="yes-display-inline">to provide communications by wire (including fiber optic cable), wireless (including satellite, microwave, or beam), internet, or radio (including broadband); or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HBE66B89F740F4EF5B4F596F1955F39A9"><enum>(B)</enum><text display-inline="yes-display-inline">to enhance performance and security for that infrastructure (including networks and artificial intelligence).</text></subparagraph></paragraph><paragraph id="H384AB7A92066482181F68A8C69F707A9"><enum>(36)</enum><header>Transportation infrastructure project</header><text display-inline="yes-display-inline">The term <term>transportation infrastructure project</term> means any project for the construction, deferred maintenance, or enhancement, including security enhancement, of a highway, road, bridge, transit or intermodal system, inland waterway, commercial port, airport, high-speed or passenger rail, or rail track system.</text></paragraph><paragraph id="HB0F541C213184DDEBDC01F9132950518"><enum>(37)</enum><header>Trust fund</header><subparagraph commented="no" display-inline="no-display-inline" id="H722F1D38A64A4A1DB63D73A2783CA44D"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The term <term>trust fund</term> means a delineated account in the books of the Bank, set up to receive and disburse grant money to fully or partially subsidize project loans to entities operating in disadvantaged communities.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HD663B1A48A2043E3ADED3921946AEC8F"><enum>(B)</enum><header>Inclusions</header><text display-inline="yes-display-inline">The term <term>trust fund</term> includes any trust fund receipts remaining from net operations of the Bank, a Federal grant disbursement, or a philanthropic or other gift from an individual or entity, as such a receipt becomes available.</text></subparagraph></paragraph></section><section id="H7E6856D45A804960AF5B19998D83AA9F"><enum>202.</enum><header>Establishment of National Infrastructure Bank</header><subsection id="H99E4BEB1902F4731B15AA6A807F80A0F"><enum>(a)</enum><header>Establishment of national infrastructure bank</header><text>There is established a National Infrastructure Bank, which shall be a mixed-ownership Government corporation subject to <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/91">chapter 91</external-xref> of title 31, United States Code, except as otherwise provided in this Act.</text></subsection><subsection id="H2F05A3C4111E4BF8B97E9FD5E40D71E2"><enum>(b)</enum><header>Conforming amendment</header><text>Section 9101(2) of title 31, United States Code, is amended by adding at the end the following:</text><quoted-block style="OLC" id="HC50BFE93523B489C9EC76D7C7D60B7DC"><subparagraph id="H2A957E9B44A14E20A2727F0A9B51E4DF"><enum>(K)</enum><text>the National Infrastructure Bank.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection commented="no" display-inline="no-display-inline" id="H7B34070D73964A609C64D92AF754537A"><enum>(c)</enum><header>National bank charter</header><text>This Act shall serve as the charter for the Bank.</text></subsection><subsection id="HA5FFD9402FE24ABC94AE6153D1745A0F"><enum>(d)</enum><header>Responsibility of the Secretary</header><text>The Secretary shall take such action as may be necessary to assist in the establishment of the Bank in accordance with this Act.</text></subsection></section><section id="H1BB021F48F8F4485BBD7BA977AFE6206" commented="no"><enum>203.</enum><header>Purposes and authorizations</header><subsection id="H312B8B1A057C42C1952A3B49AC425C4D" commented="no"><enum>(a)</enum><header>Purpose</header><text>The purpose of National Infrastructure Bank shall be to facilitate efficient, long-term financing of infrastructure projects, business and economic growth, and new job creation in the United States.</text></subsection><subsection id="H5BAD01747B3643F0A48DB43C9D9CCDA8" commented="no"><enum>(b)</enum><header>Capitalization</header><paragraph id="H3F23E355715D4D098B7167822F5C593F" commented="no"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The National Infrastructure Bank shall raise capital stock, in an amount approved by the Board, but not to exceed $500,000,000,000, to be held in the form of Treasury securities.</text></paragraph><paragraph id="HBDAB25CCF052423AB15B9B9486E9C8AC" commented="no"><enum>(2)</enum><header>Subscription</header><text>The capital stock shall be subscribed by—</text><subparagraph id="HC5466464F25142DEA17D7688BC422A28" commented="no"><enum>(A)</enum><text>public holders of outstanding Treasury securities of 3 years or greater maturity, or outstanding municipal bonds of States or municipalities of 5 years or greater maturity, who transfer such securities or bonds to the Bank in exchange for the capital stock;</text></subparagraph><subparagraph id="HCEE5741CB78846CFB4C201EF9687B026" commented="no"><enum>(B)</enum><text>paid-in share capital, paid in cash; and</text></subparagraph><subparagraph id="H7615387A4BBC4F17BEAFD9D068CE3018" commented="no"><enum>(C)</enum><text>the United States Treasury, as on-call subscriber to the Bank, in an amount up to $100,000,000,000 in 30-year United States Treasury bonds.</text></subparagraph></paragraph><paragraph id="HD591C229C5964AF28619E4D7919257CF" commented="no"><enum>(3)</enum><header>Capital adequacy ratio</header><text>The Bank shall maintain risk-based capital of no less than 10 percent.</text></paragraph><paragraph id="H61280903C9A844D8AE4D2E6BC3A81677" commented="no"><enum>(4)</enum><header>Limitation on purchase of newly issued public debt</header><text display-inline="yes-display-inline">The Bank shall not purchase public debt of the United States, as newly issued, except for the purpose of rolling over the existing Treasury holdings of the Bank or to convert the proceeds of cash purchases of the preferred stock of the Bank into Treasury securities.</text></paragraph><paragraph id="HCB339B6C0BDE400FA825B9C2445B64A3" commented="no"><enum>(5)</enum><header>Assessments and phase-in of limitation on capital stock</header><text display-inline="yes-display-inline">The accumulation of capital stock of the Bank shall be limited—</text><subparagraph id="H20D4D06BC0BD4A67AA9B74E9DCDA4C60" commented="no"><enum>(A)</enum><text>to no more than $150,000,000,000 by the end of its first full fiscal year of operations, following the end of which fiscal year the Board of Governors of the Federal Reserve System shall conduct an assessment of the operations of the Bank and report to Congress and the Board of the Bank concerning the ways in which the Bank is succeeding or falling short in fulfilling the purposes of this Act;</text></subparagraph><subparagraph id="HDAF684BE727D408C9E7CD4DDF78E7217" commented="no"><enum>(B)</enum><text>to no more than $300,000,000,000 by the end of its third full fiscal year, following the end of which fiscal year the Board of Governors of the Federal Reserve System shall conduct another assessment of the operations of the Bank and submit similar reports to those specified in subparagraph (A), noting in particular the adequacy of the response of the Bank to criticisms and recommendations included in the assessment conducted pursuant to subparagraph (A);</text></subparagraph><subparagraph id="H803F0D84BA92436FA1792181DEA9173D" commented="no"><enum>(C)</enum><text>to no more than $500,000,000,000 by the end of its fifth full fiscal year, following the end of which fiscal year the Board of Governors of the Federal Reserve System shall conduct another assessment of the operations of the Bank and submit similar reports to those specified in subparagraphs (A) and (B), noting in particular the adequacy of the response of the Bank to criticisms and recommendations included in the assessments conducted pursuant to subparagraphs (A) and (B); and</text></subparagraph><subparagraph id="H5E474EFFF9084839ADF128A25CADCF93" commented="no"><enum>(D)</enum><text>thereafter to the full amount set forth in paragraph (1), with the Board of Governors of the Federal Reserve System conducting periodic assessments of the operations of the Bank and submitting similar reports to those specified in subparagraphs (A) through (C) following the end of each fifth fiscal year beginning with the tenth full fiscal year of the Bank.</text></subparagraph></paragraph></subsection><subsection id="HDFEF9C61BCAB4217ADA700036B534EF4" commented="no"><enum>(c)</enum><header>Preferred stock</header><paragraph id="HD81281A61F524DBEB71AC34C5CE5D986" commented="no"><enum>(1)</enum><header>In general</header><text>All subscribed capital shall be exchanged for an equivalent in preferred stock, or shares, in the Bank, callable only by the Bank at the current market value of the shares during a period of 20 years following finalization of a stock purchase agreement. Notwithstanding any other provision of law, a guarantee of redemption at the then current market price of the shares shall be included in the stock purchase agreement. Preferred shareholders shall have no voting rights in the Bank.</text></paragraph><paragraph id="HB410FBFB42F74FACBE82DBDEA2D54185" commented="no"><enum>(2)</enum><header>Dividends on preferred stock</header><text>The Bank shall pay dividends on its preferred stock semiannually at the following rates:</text><subparagraph id="H71D36F426DBE42D5A5E9911FF50D29D2" commented="no"><enum>(A)</enum><text>For stock acquired in exchange for Treasury securities by an individual, by an entity that is not exempt from tax under <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501</external-xref> of the Internal Revenue Code of 1986, or by the United States Treasury, the same annual rate as the Treasury security exchanged for the stock.</text></subparagraph><subparagraph id="H4E82BBBD7E44452AAAB74EEAD7389F56" commented="no"><enum>(B)</enum><text>For stock acquired in exchange for securities by an organization that is exempt from tax under <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501</external-xref> of the Internal Revenue Code of 1986, the same annual rate as the Treasury security exchanged for the stock plus ½ percent.</text></subparagraph><subparagraph id="H3B676E6EF0AC41449082DF283E4EEBE4" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">For stock purchased in exchange for cash by an individual or an entity that is not exempt from tax under <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501</external-xref> of the Internal Revenue Code of 1986 and for stock acquired in exchange for municipal bonds, the same annual rate payable on Treasury bonds with a 30-year maturity purchased from the Treasury on the day the stock purchase agreement is finalized.</text></subparagraph><subparagraph id="H5DACE9C51033455582E34666385BDC98" commented="no"><enum>(D)</enum><text>For stock purchased in exchange for cash by an organization that is exempt from tax under <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501</external-xref> of the Internal Revenue Code of 1986, the same annual rate payable on Treasury bonds with a 30-year maturity on the day the stock purchase agreement is finalized plus ½ percent.</text></subparagraph></paragraph><paragraph id="HF5561E69A4BC4412922619DB01E52C01" commented="no"><enum>(3)</enum><header>Acquisitions for other than cash or Treasury securities treated as acquisitions for cash</header><text>For stock acquired in exchange for non-cash assets other than Treasury securities, the assets shall be liquidated by the Bank and the proceeds treated as a cash purchase of stock.</text></paragraph><paragraph id="H02088570317B4C33AC088F1E8E719F5A" commented="no"><enum>(4)</enum><header>Authority to modify rates</header><text>If the dividends provided for in paragraph (2) generate more or less investment in the preferred stock of the Bank than is needed to achieve and maintain the desired level of capital investment in the Bank, the directors of the Bank may reduce or increase the dividends provided for new acquisitions of preferred stock in 1 or more of subparagraphs (A) through (D) of paragraph (2) for such periods of time as the directors determine appropriate.</text></paragraph><paragraph id="H22637FE83E3C49F38393F934C1099B6D" commented="no"><enum>(5)</enum><header>Priority and obligation of dividend payments</header><text>Dividend payments on the preferred stock shall have priority over other uses of interest payments received by the Bank on its capital stock holdings of Treasury securities, and any such dividends owed in excess of the amount covered by these interest payments shall be guaranteed by the Bank in the stock purchase agreement.</text></paragraph></subsection><subsection id="H6D37D57800044ECDBEB709A0B5EC791B"><enum>(d)</enum><header>Borrowed capital</header><paragraph id="H66C7D0FE8C22432688C84EDB90D121D3"><enum>(1)</enum><header>In general</header><text>The Bank is further authorized to raise borrowed capital for projects needs, or to meet its cash flow needs, by—</text><subparagraph id="H874740AB924947AE82262924A33F03DB"><enum>(A)</enum><text>issuing bonds, with a fixed 5- to 10-year maturity;</text></subparagraph><subparagraph id="H489C2BE5C41E45F082B4FACFFD43DE73"><enum>(B)</enum><text>maintaining a permanent, revolving discount line of credit account with the Board of Governors of the Federal Reserve System; and</text></subparagraph><subparagraph id="HFF0FC247C94A4974989DFB925805347E"><enum>(C)</enum><text>borrowing from other banks or wholesale capital markets, under repurchase or other agreements, on a short-or medium-term basis, as determined by the chief financial officer and chief risk officers, with approval by the Board.</text></subparagraph></paragraph><paragraph id="H25FDFABBFDCC4F8A97EBEF83666B87B9"><enum>(2)</enum><header>Definition</header><text>In this subsection, the term <term>bond</term> means any bond issued in accordance with this Act—</text><subparagraph id="HCEB96B3A5FDB4F25A00596EB0EB07A5C"><enum>(A)</enum><text>the proceeds from the sale of which are to be used for expenditures incurred after the date of issuance with respect to any infrastructure project or other purpose, subject to such rules as the Bank may provide;</text></subparagraph><subparagraph id="H74CE9BF44BC64FBDAE7055D1A8565353"><enum>(B)</enum><text>that is issued in registered form;</text></subparagraph><subparagraph id="H72EEEB54B4644B9196A34ECE5931E784"><enum>(C)</enum><text>that has such terms, and carries interest in such an amount, as determined by the Bank; and</text></subparagraph><subparagraph id="H03DECCC9AEF94FF2AF6986984D105743"><enum>(D)</enum><text>for which the payment of interest and principal with respect to the bond is the obligation of the Bank, and is backed by the full faith and credit of the United States.</text></subparagraph></paragraph></subsection><subsection id="H0DD92161D29F456AB7630E4FF39FDEEC" commented="no"><enum>(e)</enum><header>Deposits</header><text>Once chartered as a national bank, the Bank—</text><paragraph id="H855C681449A543D6BF18917F2055BD87" commented="no"><enum>(1)</enum><text display-inline="yes-display-inline">shall accept deposits from individuals, corporations, public entities, or any other source, into transaction deposit accounts on its books, and pay interest on those deposits, in an amount deemed appropriate by the Board;</text></paragraph><paragraph id="H38C87D4A548541CAB6A874FB90EE8BAF" commented="no"><enum>(2)</enum><text>may deposit its funds in any bank or other financial institution; and</text></paragraph><paragraph id="H4A23CF0A6B7F4EDCB945A4FBA5268804" commented="no"><enum>(3)</enum><text>may utilize the services of electronic transfer systems to transfer funds among any deposit accounts.</text></paragraph></subsection><subsection id="H9F18CBFD365C4C6280B90EF56F7FDAA7" commented="no"><enum>(f)</enum><header>Loans</header><paragraph id="H7F3197DB526B4647962BEC06A46A0664" commented="no"><enum>(1)</enum><header>In general</header><text>The Bank shall provide loans, in accordance with this Act, to entities, or enter into blended financing credit, for the financing, development, or operation of infrastructure projects.</text></paragraph><paragraph id="H0125F42A2BB744C9ADFF5E2F4F4218FB" commented="no"><enum>(2)</enum><header>Loan maturity</header><text>The maturity of loans should match, to the extent possible, the maturity periods of anticipated profitability, economic stimulus, and projected useful life of projects financed by such loans.</text></paragraph><paragraph id="HB38408174A77455BAD2785212669AE6A" commented="no"><enum>(3)</enum><header>Loan limit</header><text>Total loans contracted by the Bank shall not exceed $5,000,000,000,000.</text></paragraph><paragraph id="H0C354F99662E4F27BD3D5F356A735F3A" commented="no"><enum>(4)</enum><header>Interest charges on loans and other fees</header><text>The Bank—</text><subparagraph id="HCA9BCDE800FF4BC3B5D2E07297D6BFFE" commented="no"><enum>(A)</enum><text>shall charge fixed-rate interest, fees, premiums, or discounts based on the risk associated with a loan made by the Bank, taking into consideration—</text><clause id="H207255C0E8C143D3B122A72E5B9F4EC7" commented="no"><enum>(i)</enum><text>the price of Treasury obligations of a similar maturity or 1.6 percent per annum, whichever is greater;</text></clause><clause id="H95B16B34696A4672843D5F50DB6C055E" commented="no"><enum>(ii)</enum><text>the credit rating of the borrowing entity if expressly published, or an assessment of the overall finances of the borrowing entity indicating an ability to service the loan;</text></clause><clause id="H6A452F226F9749329B4B86701C96D8FA" commented="no"><enum>(iii)</enum><text>current and expected future economic conditions, including expected improvements in the economy and the borrowing entity’s finances resulting from the overall lending operations of the Bank; and</text></clause><clause id="HFA79F621B2884AD9997043109144D13B" commented="no"><enum>(iv)</enum><text>whether the borrowing entity qualifies as a disadvantaged community, and an interest rate subsidy, subject to availability of funds;</text></clause></subparagraph><subparagraph id="H19FBCB95670C46C58B4AC884D0FAB85B" commented="no"><enum>(B)</enum><text>may, in connection with a loan extended by the Bank, issue loan guarantees, insurance, coinsurance, and reinsurance to borrowing entities, insurance companies, financial institutions, or others, or groups thereof, and charge fees based on a similar risk analysis; and</text></subparagraph><subparagraph id="H8859F9C2A27A4A03B0E13F1873203AEA" commented="no"><enum>(C)</enum><text>may charge for the review of any project proposal in such amount as may be approved by the Board to cover the costs of such review.</text></subparagraph></paragraph><paragraph id="H8A29B940A412462DB0843B95232C6E6F" commented="no"><enum>(5)</enum><header>Refinancing</header><text>Subject to a full audit of the project and borrower, and subject to Board review, the Bank may extend the time limit for repayment of a loan, through renewal, substitution of new obligations, or otherwise, with the maximum time for such renewal to be approved by the Board. The Bank may make such further loans as necessary for project completion, or to assure loan repayment.</text></paragraph><paragraph id="H4C4BD11D9561436EB08ECEE8C64A9B84" commented="no"><enum>(6)</enum><header>Limitations on loans</header><text>The Bank may not—</text><subparagraph id="H03AD93EE3E4B420399F200C43FA5E6AD" commented="no"><enum>(A)</enum><text>provide loans to consumers or provide any other loans not described under this Act; or</text></subparagraph><subparagraph id="HA42A26CCA0F84144989B923153CAC813" commented="no"><enum>(B)</enum><text>engage in investment banking activities such as underwriting securities or trust management for customers.</text></subparagraph></paragraph></subsection><subsection id="H7D94575CA2CD4093B4CA7AFF53DD0EB2" commented="no"><enum>(g)</enum><header>Capital for loan disbursements</header><text>Once chartered as a deposit-taking bank, the Bank is authorized to create funds in a deposit account in the name of a borrower, in accordance with the loan agreement, as each scheduled loan disbursement is made. The Bank shall draw up an aggregate loan disbursement plan, for the information of the Comptroller of the Currency and the Board of Governors of the Federal Reserve System.</text></subsection><subsection id="HCBE89AC633A0440487CED337D2795894" commented="no"><enum>(h)</enum><header>Net earnings</header><text>After meeting current obligations, the Bank is authorized to use its earnings, and all moneys which have been or may hereafter be allocated to or borrowed by it, in the exercise of its functions. From those monies, the Bank shall set aside loan-loss provisions equal to a proportion of loan book value, as determined appropriate by the Board. Net earnings of the Bank, after setting aside loan-loss provisions and estimated forward cash flow needs, shall be used for the payment of dividends to the United States Treasury, in an annual amount to be determined by the Board. Any residual net earnings shall be deposited into a trust fund to subsidize loans for disadvantaged communities that are not able to repay infrastructure loans on normal loan terms, in a manner to be determined by the Board. Any direct Federal contributions from the budget for the purpose of subsidizing disadvantaged communities may also be added and utilized via the trust fund.</text></subsection><subsection id="H33AE87B95A40419D86DA46AFA8ED405C" commented="no"><enum>(i)</enum><header>Loan-Loss provisions and Federal contingent liability</header><text>In the event of any losses, as determined by the Board, incurred on loans, loan guarantees, insurance, or for capital investment and dividend payments on stock issues under this Act, they shall be borne by the Bank out of its loan-loss provisions. Any losses in excess thereof shall be borne by the Secretary of the Treasury. That excess shall be considered a contingent obligation backed by the full faith and credit of the United States Government.</text></subsection><subsection id="HC48FA5C822194B918E489FD5BF729D6B" commented="no"><enum>(j)</enum><header>Reserves</header><text>The Bank shall maintain reserves against the transaction accounts of the Bank in such amount as the Board may determine appropriate, but not greater than 14 percent of the total transaction accounts of the Bank greater than $25,000,000.</text></subsection><subsection id="HADD35C71C6BA4C1EBDB6B7260AEC1CE1" commented="no" display-inline="no-display-inline"><enum>(k)</enum><header>Branches</header><text>The Bank shall establish an office of lending and deposit in each city that has a Federal reserve bank, via the internet, and in any other location where the Board determines appropriate.</text></subsection></section><section id="H39DED99048B048DB93FB6A02DA539DA4"><enum>204.</enum><header>Formation of regional economic accelerator planning groups</header><subsection id="H30EC8C36D997439DA740B67DF51B5C86"><enum>(a)</enum><header>In general</header><text>The Bank, through the branch offices established under section 203(k), shall facilitate the organization of not fewer than 7 regional economic accelerator planning groups, which shall be defined by common economic, demographic, and infrastructure connectivities.</text></subsection><subsection id="H222D436DE7494CEFBE7181B6073239E7"><enum>(b)</enum><header>Duties</header><text>The regional economic accelerator planning groups may—</text><paragraph id="H94947F19EE5B4B2AB18C0AB25F36A930"><enum>(1)</enum><text>organize by, and be composed of, State and local public sector officials, including through multijurisdictional or multistate agreements among agencies;</text></paragraph><paragraph id="HA0C747E66CC2444392B3DF8672823D07"><enum>(2)</enum><text>identify economic megaregions, which shall consist of hub cities, related towns and suburbs, manufacturing production corridors, and rural areas woven together into the communities where people of the United States live, work, and provide goods or services for movement within the region, and to other regions;</text></paragraph><paragraph id="H497C01659FB14460B23592443C57B5C7"><enum>(3)</enum><text>identify infrastructure needs and priorities for economics megaregions, with input from the American Society of Civil Engineers, and other trade, business, and industrial associations;</text></paragraph><paragraph id="H5DE29727718B4012B6D4ACB169DEB0D2"><enum>(4)</enum><text>develop regional economic accelerator plans, including a pipeline of infrastructure projects and the strategic placement of those infrastructure projects, needed to improve supply chains, land use, and productivity within each economic megaregion, while seeking to include all communities;</text></paragraph><paragraph id="H5CA12EA53EEC41F99C18B74DA472521F"><enum>(5)</enum><text>define how those infrastructure projects will create energy savings, improve the environment, improve jobs and wages, create regional economic growth, and create growth in regional tax income;</text></paragraph><paragraph id="H62D61361E0E24759B65C4F6A24AB78E3"><enum>(6)</enum><text display-inline="yes-display-inline">identify where multijurisdictional agreements should be enacted or strengthened to improve the development of infrastructure projects that cross jurisdictional lines, such as transportation improvements along the northeast corridor, flood mitigation, water management to relieve drought conditions in southwestern States, or development of a national high-speed rail grid;</text></paragraph><paragraph id="HF81333F7DD4F4166B5F038FBAECA366E"><enum>(7)</enum><text>identify Federal, State, or local laws and regulations that should be streamlined to reduce infrastructure project costs and approval times, while maintaining environmental and safety objectives, and work towards streamlining those laws and regulations;</text></paragraph><paragraph id="H094B288C57F94388BCA888D1EDD48075"><enum>(8)</enum><text>seek public input on the broad outlines of each regional infrastructure development plan;</text></paragraph><paragraph id="H290B91AA1B4F4FC2955A3E0300145AAF"><enum>(9)</enum><text>provide the regional infrastructure development plans to the Bank to inform the Bank on the selection of infrastructure projects for financing; and</text></paragraph><paragraph id="H6239EAF5BE2241BCB2D476134412E050"><enum>(10)</enum><text>assist entities formulating and submitting projects for consideration of Bank financing on the definition, scope, selection criteria, and other factors under section 205 that will be considered in the approval process.</text></paragraph></subsection></section><section id="HA36162A4F7FC4793B3630ACF6C6E436E"><enum>205.</enum><header>Eligibility criteria for assistance from the Bank</header><subsection id="H0FC7B15C81684843A6A046097F240337"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Subject to subsection (e), the Bank may provide financial assistance to an entity for an infrastructure project if the project—</text><paragraph commented="no" display-inline="no-display-inline" id="H02F79335A9384D06BD20F08ACE048977"><enum>(1)</enum><text display-inline="yes-display-inline">meets the criteria described in, and requirements of, this Act;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H71CAAC83A53C43C59D39DD9572F32EB8"><enum>(2)</enum><text>has local, regional, or national significance; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HFEB10B44625A461F8752A44E75561576"><enum>(3)</enum><text>is in the public interest.</text></paragraph></subsection><subsection id="HFA0B662EE44343CCA972F64F4E08801A"><enum>(b)</enum><header>Applications</header><text>To be considered for financial assistance from the Bank for an infrastructure project, an entity shall submit to the Bank an application at such time, in such manner, and containing such information as the Bank may require in accordance with subsection (c).</text></subsection><subsection id="HDADAD50376BF4085AC34434E2FF9276A"><enum>(c)</enum><header>Guidelines for infrastructure projects</header><text>The Executive Committee and the Board shall establish standard operating procedures and develop online application procedures for financial assistance from the Bank.</text></subsection><subsection id="H31B79E3BA3364F96A7185B967A929D85"><enum>(d)</enum><header>Criteria</header><paragraph id="H1585F66D93354F9CBD8FFCDD8CC97433"><enum>(1)</enum><header>In general</header><text>The Board shall evaluate and rate each application received under subsection (b) based on the factors appropriate for the type of the infrastructure project, including—</text><subparagraph id="H04F4C3396EBD4BA79ADC5FA0F847C3D1" commented="no"><enum>(A)</enum><text>the consistency of the infrastructure project with a regional infrastructure development plan that builds connectivity in the project area and beyond, so that maximum growth is achieved while leaving no community behind;</text></subparagraph><subparagraph id="H0C5CF5D79A604037B1199576B6015BC4" commented="no"><enum>(B)</enum><text>the results of a life-cycle projection of the benefits, as compared to costs, of the infrastructure project that incorporates the factors described in subparagraphs (C) through (L);</text></subparagraph><subparagraph id="HF5BA353C7C09479481264C0548E3C258" commented="no"><enum>(C)</enum><text>the extent to which the infrastructure project would promote economic growth, including private sector-led growth associated with the infrastructure project;</text></subparagraph><subparagraph id="H254F6E8C55F34BDBB17D6C13D34631AB" commented="no"><enum>(D)</enum><text>the extent to which the infrastructure project contributes to job creation, including fair and responsible employment practices and workforce development to train workers in new skills, including by union apprentice programs to train new hires;</text></subparagraph><subparagraph id="HABCF02DD5D9149E89F6C82AAB758C1F9" commented="no"><enum>(E)</enum><text>the extent to which the infrastructure project provides environmental and public health benefits, including a reduction in greenhouse gases, water pollution, and air pollution, and the removal of lead and other hazardous materials;</text></subparagraph><subparagraph id="H78E512201F7443A585AB108480131EC5" commented="no"><enum>(F)</enum><text>whether the applicant has a demonstrated ability to contract for design, construction, operation, and maintenance of the infrastructure project throughout its estimated useful life, including by defining project objectives, selecting experienced project managers, and utilizing performance-based monitoring;</text></subparagraph><subparagraph id="HF10C5815E03C4DDE897AE109CE6C5BB9" commented="no"><enum>(G)</enum><text>whether the applicant has demonstrated an understanding of the strategic importance of bundling, sequencing, and correctly sizing projects, and adopting value design and procurement procedures, so as to realize long-term cost savings through a principle known as <quote>dig, build, expand, or improve only once</quote>;</text></subparagraph><subparagraph id="HA5898AE46C2F4E9196A1AF060720DCC0" commented="no"><enum>(H)</enum><text>whether the applicant has demonstrated an understanding of the importance of innovative and state-of-the-art technologies that achieve project reliability, efficiency, resiliency, sustainability, security, and public safety;</text></subparagraph><subparagraph id="H76A95F29BEC54871B84FD64645774BF6" commented="no"><enum>(I)</enum><text>the extent to which the infrastructure project preserves and repurposes existing infrastructure and rationally connects to other categories of existing or planned infrastructure projects;</text></subparagraph><subparagraph id="H15E4290F7FC7497F86724FDA41C7CD2C" commented="no"><enum>(J)</enum><text>the extent to which the infrastructure project promotes the domestic production of construction inputs needed for projects that receive financial assistance from the Bank;</text></subparagraph><subparagraph id="H5707DA683ABE48B5B77BE56F01FB05E1" commented="no"><enum>(K)</enum><text>a categorical benefit as described in paragraph (2); and</text></subparagraph><subparagraph id="H56677D5BBAC142CD8465406292BD4A11" commented="no"><enum>(L)</enum><text>any other criteria as determined by the Board.</text></subparagraph></paragraph><paragraph id="H43828B578E5440FAAA5337FA0FA3ABE4"><enum>(2)</enum><header>Categorical benefit</header><text>A categorical benefit referred to in paragraph (1)(K) is—</text><subparagraph id="H33073266B2F84B28B8F6CF95A0E08B2C"><enum>(A)</enum><text>for a transportation infrastructure project—</text><clause id="H6F6C30F5DF7F4ACE9E85150A767B3F5B"><enum>(i)</enum><text>a reduction in surface and air traffic congestion, by road, transit, passenger rail, freight rail, port or inland water travel, or air travel, as measured by reductions in transit, boarding, and total trip times;</text></clause><clause id="H70AC4ED891FD48A0BB05A4AD9D2AF50A"><enum>(ii)</enum><text>an anticipated increase in capacity for existing and expected new ridership or transport use, including by high-speed rail;</text></clause><clause id="H7ABC5E6C5E68471A83B5AE65D5CA3CAA"><enum>(iii)</enum><text>a reduction in risks from maintenance decline, or structural failure, over the service life of the project;</text></clause><clause id="HE5BC32C268A14DDC8B70D1E1497882E6"><enum>(iv)</enum><text>the coordination of improvements in commuter passenger operations, freight transport, and new community design, with the demographics of population, economic production, and trade hubs according to a regional infrastructure plan;</text></clause><clause id="H4DDF24770BFF4882BF28987E0C893108"><enum>(v)</enum><text>an overall decline in greenhouse gas emissions from surface and air transportation infrastructure projects financed by the Bank;</text></clause><clause id="H618FEAB5DEAF4CCCACB9BD3A373E3000"><enum>(vi)</enum><text display-inline="yes-display-inline">an increase in access to affordable transportation options, to improve access to jobs, affordable housing, schools, medical services, food and other essential community services; or</text></clause><clause id="H89E9302C4E0B43A2A5F651F65D938B96"><enum>(vii)</enum><text>improvements in safety for users, passengers, and operators, as measured by a reduction in fatalities and serious injuries;</text></clause></subparagraph><subparagraph id="HF806EE4B2AD745D383A9EE63CA1FEB76"><enum>(B)</enum><text>for an environmental infrastructure project—</text><clause id="HB71A15D8FC1243B2BFF293B5CAB217C6"><enum>(i)</enum><text>increased coastal and inland flood mitigation and protection;</text></clause><clause id="H71A0B745F76A47A3BDBCF355709CE93C"><enum>(ii)</enum><text>improvements in drinking water, wastewater, or stormwater systems, through the repair, expansion or replacement of those systems;</text></clause><clause id="HE888C93ACE184AD3AB3EC7D50FFDF34A"><enum>(iii)</enum><text display-inline="yes-display-inline">a reduction in risk to any public infrastructure from structural failure, or damage, due to weather-related events, cyber or physical attacks, or catastrophic wildfires; or</text></clause><clause id="HCF9725A7ABEC4C64A828EAAB5FB49755"><enum>(iv)</enum><text display-inline="yes-display-inline">environmental improvements from the removal of hazardous wastes or chemical pollutants;</text></clause></subparagraph><subparagraph id="HB24FC71BF92740D4AD06D4516D422FD3"><enum>(C)</enum><text display-inline="yes-display-inline">for an energy infrastructure project—</text><clause id="H1207B4F3BE9A4E47920A7CC9856E9079"><enum>(i)</enum><text>development of a system that provides for any of the smart grid functions described in section 1306(d) of the Energy Independence and Security Act of 2007 (<external-xref legal-doc="usc" parsable-cite="usc/42/17386">42 U.S.C. 17386(d)</external-xref>) (commonly known as a <quote>smart grid</quote>), with modern security and resiliency systems;</text></clause><clause id="HB45E15FF52304415B70BA97F5A68B0B9"><enum>(ii)</enum><text display-inline="yes-display-inline">expansion of transmission and distribution capacity to cover new generation suppliers, including a macrogrid overlay to transport power from renewable sources, and new generation demand, including from global warming, or the electrification of vehicles or rail transport systems;</text></clause><clause id="HA966394DD4F64341B344A017CB390D38"><enum>(iii)</enum><text>enhancement of systems to balance electricity supply and demand, curtail peak demand, restore power outages, or coordinate operating procedures among power-supplying entities; or</text></clause><clause id="HFE97605795B243B08A65599159CA3C97"><enum>(iv)</enum><text>energy-efficient buildings, including clean energy designated retrofits;</text></clause></subparagraph><subparagraph id="HC7AD3BBAEB4F4AEFB641950263CE9869"><enum>(D)</enum><text>for a telecommunications infrastructure project—</text><clause id="H7FB222D9EA7B49D0BC5A809B6AE9733A"><enum>(i)</enum><text>completion of, or improvement in, broadband and wireless access and affordability in rural and disadvantaged communities not served by the private sector; or</text></clause><clause id="H53BD91609549439C90CA345868F8508C"><enum>(ii)</enum><text>improvement of the global telecommunication satellite network; and</text></clause></subparagraph><subparagraph id="H46C5E5585E644F6695676CDA259F3828"><enum>(E)</enum><text>for a community development infrastructure project—</text><clause id="H566E3F5FC41B450F828902211635EC88"><enum>(i)</enum><text display-inline="yes-display-inline">promotion of economic growth and poverty reduction;</text></clause><clause id="HFA7F65A10AFB4B1AACFF5577AD212734"><enum>(ii)</enum><text>modernization of local land use policies, including those that promote transit-oriented development and location efficiency;</text></clause><clause id="HFAE4525732B845D08D6508B2E4EA42D3"><enum>(iii)</enum><text>expansion in the provision of public housing, or publicly assisted affordable housing, to provide long-term affordability in targeted, disadvantaged communities, for families and persons with incomes equivalent to those currently assisted, and improvement in the physical condition of that housing;</text></clause><clause id="H64965EBF6BE14854A72D1DCFE2FA72F1"><enum>(iv)</enum><text>replacement of schools that have reached their service lifetime or expansion of school facilities with growing populations or to house new programs for workforce development; or</text></clause><clause id="H2EEFCBDCF11D4DCA91FB9B574E5D5497"><enum>(v)</enum><text>improvements in national, State, and local parks and recreation facilities and related open space land management.</text></clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H7DA49AEC8D354789AB4042AF856AE198"><enum>(3)</enum><header>Stimulation of domestic production</header><text>If the Bank determines that any type of iron, steel, manufactured product, or construction material is not produced in the United States in sufficient and reasonably available quantities or of a satisfactory quality to meet the infrastructure needs in the United States, the Bank may solicit loan applications for projects to increase or improve the domestic production of that iron, steel, manufactured product, or construction material.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H24DA653AE9BC4FFB899154145804A3A4"><enum>(4)</enum><header>Lender of last resort</header><text>In selecting infrastructure projects to receive financial assistance from the Bank, the Board shall also lend for—</text><subparagraph commented="no" display-inline="no-display-inline" id="H19A47FFAC4FE40459C1D7D4B487AE289"><enum>(A)</enum><text display-inline="yes-display-inline">an infrastructure project in an area of high unemployment or a disadvantaged community, including a workforce development plan to train workers in new skills and connect those workers with job openings financed by the Bank; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H11194839175E4019AFBD6C9134F0D525"><enum>(B)</enum><text display-inline="yes-display-inline">an infrastructure project—</text><clause commented="no" display-inline="no-display-inline" id="H7DA351259FE34570B4CC065F52309A35"><enum>(i)</enum><text display-inline="yes-display-inline">that leverages or complements Federal, State, local, and private financing; or</text></clause><clause commented="no" display-inline="no-display-inline" id="H377F684D516C43AD9ECB092655436FE8"><enum>(ii)</enum><text display-inline="yes-display-inline">for which the applicant demonstrates that the additional capital could not be obtained from commercial sources at reasonable financing costs.</text></clause></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="H10715A03DE5149828547415A8DF2ADBE"><enum>(e)</enum><header>Exclusions</header><text>The Bank may not provide financial assistance for any infrastructure project that subsidizes or otherwise encourages the sale or lease of infrastructure currently owned or controlled by an entity described in subparagraphs (A) through (G) of section 201(19), or will result in the private control or operation of infrastructure currently owned or controlled by such an entity under any agreement, including a public-private partnership.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="H3A5BA540E94D4395B3B39F730C32B98A"><enum>(f)</enum><header>Employee protections</header><text>The Bank may not provide financial assistance for an infrastructure project involving reconstruction, rehabilitation, replacement, or expansion that may impact current employees on the project site, until the entity submitting an application for an infrastructure project certifies to the Bank that the entity is in compliance with section 213 with respect to the interests of employees affected by the financial assistance.</text></subsection><subsection id="HC424C6B1827947BB88443C34AB9D7F87"><enum>(g)</enum><header>Emergency procedures</header><paragraph commented="no" display-inline="no-display-inline" id="H556C39410CE947C49ADCEF02DA7CD071"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">During the period described in paragraph (2), the Board may waive such selection criteria and procedures as the Board determines to be necessary in order to provide loans more quickly for infrastructure projects—</text><subparagraph id="H45E75B52B80442D498B15EEC23F58201"><enum>(A)</enum><text>that reduce unemployment;</text></subparagraph><subparagraph id="H7431E3704EAE4D558A9D6DA80DF1459E"><enum>(B)</enum><text>that address the backlog of critical, shovel-ready projects for which preliminary engineering or permitting is already completed; or</text></subparagraph><subparagraph id="H07A57510AE0C4C63B2B768D20A988A8D"><enum>(C)</enum><text>that address a critical safety or other public need.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H637A0BE109BC4BDDB7B4DB06A4528E8E"><enum>(2)</enum><header>Period described</header><text display-inline="yes-display-inline">The period referred to in paragraph (1) is the period beginning on the date of enactment of this Act and ending on the later of—</text><subparagraph commented="no" display-inline="no-display-inline" id="H13A4C9F5523D4FADA1EEDD4255EFA294"><enum>(A)</enum><text display-inline="yes-display-inline">1 year after the date on which the Bank begins operations; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HB52905D6D8CD478AA21058C5DD8B2BE7"><enum>(B)</enum><text>the date on which the Bank has provided a total of $500,000,000,000 in loans.</text></subparagraph></paragraph></subsection></section><section id="HB158FCFB957748B5A5990537D52357B1"><enum>206.</enum><header>Board of Directors</header><subsection id="H606DCABC951D494BAE0437610132F5C1"><enum>(a)</enum><header>In general</header><text>The Bank shall have a Board of Directors consisting of 25 members, appointed by the President by and with the advice and consent of the Senate.</text></subsection><subsection id="HE432CD4358C54E5BB6B0FC7F62D05BEB"><enum>(b)</enum><header>Qualifications</header><text>The members of the Board shall include individuals representing different regions of the United States, of whom—</text><paragraph id="HC86D13EE134A47BD9B10AB39E95E38BA"><enum>(1)</enum><text>12 shall have not less than 15 years of industrial and engineering experience;</text></paragraph><paragraph id="H288588870D074062915A7A2EAFA436A9"><enum>(2)</enum><text>1 shall be a representative of the AFL–CIO;</text></paragraph><paragraph id="H4E93372A10B14DB2A4E1D4B98521AF49"><enum>(3)</enum><text>2 shall be representatives of North America’s Building Trades Unions;</text></paragraph><paragraph id="H80D869936FA044308298C3153DA7235B"><enum>(4)</enum><text>2 shall be representatives of the Corps of Engineers;</text></paragraph><paragraph id="H31E68B75C17E41F8ACEF5A59CDAA3543"><enum>(5)</enum><text>2 shall have State and local public sector experience;</text></paragraph><paragraph id="HF7630503674E40B383DE04EA75EA8037"><enum>(6)</enum><text>2 shall have finance experience;</text></paragraph><paragraph id="HD4D5A7D7332348F9865A033A402AAF3A"><enum>(7)</enum><text>2 shall have economic development experience; and</text></paragraph><paragraph id="H9F9B1B7BA504426DA68357FEA871F6D6"><enum>(8)</enum><text>2 shall represent minority communities or disadvantaged communities.</text></paragraph></subsection><subsection id="HB8F5B0FD41FE4436BCDA004FBBEEC80A"><enum>(c)</enum><header>Chairperson and vice chairperson</header><text>At the time of appointment, the President shall designate—</text><paragraph commented="no" display-inline="no-display-inline" id="HCD6E74A9AD774D8C806C8676D512CD2A"><enum>(1)</enum><text display-inline="yes-display-inline">1 member of the Board to serve as chairperson; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H42AE6C1102C2423DBC355599E3D3E860"><enum>(2)</enum><text display-inline="yes-display-inline">1 member of the Board to serve as vice chairperson.</text></paragraph></subsection><subsection id="HB5A9A5F5326742FEBA4BA85F6168C936"><enum>(d)</enum><header>Terms</header><paragraph id="H098ECC085C5643C4BD889143483CD7DE"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (2), each member shall be appointed for a term of 6 years.</text></paragraph><paragraph id="HAEE17BB974374A1B8FECF4FAB95C8DE8"><enum>(2)</enum><header>Initial staggered terms</header><text>Of the initial members of the Board—</text><subparagraph id="H8C816F659A054E04A700320EEBE95371"><enum>(A)</enum><text>the chairperson and vice chairperson shall each be appointed for terms of 6 years;</text></subparagraph><subparagraph id="H5371A3FDD0034F82B5ABC107E434E4A3"><enum>(B)</enum><text>12 shall be appointed for a term of 4 years; and</text></subparagraph><subparagraph id="H84013AFB3FF147898A544BF9A3252864"><enum>(C)</enum><text>11 shall be appointed for a term of 2 years.</text></subparagraph></paragraph></subsection><subsection id="H34A8A621E9DF47DD91107AFB2B4DD18F"><enum>(e)</enum><header>Congressional recommendations</header><text>Not later than 30 days after the date of enactment of this Act, the majority leader of the Senate, the minority leader of the Senate, the Speaker of the House of Representatives, and the minority leader of the House of Representatives shall each submit to the President a recommendation for appointment of a member of the Board, after consultation with the appropriate committees of Congress.</text></subsection><subsection id="HA718C30CB07947D6BF796F2AD6D12DD7"><enum>(f)</enum><header>Date of initial nominations</header><text>The initial nominations by the President for appointment of members to the Board shall be made not later than 60 days after the date of enactment of this Act.</text></subsection><subsection id="H25915F292143433A9C60189CC76F1994"><enum>(g)</enum><header>Vacancies</header><paragraph id="H9EF71DD9F2604AFB9338861B9E09D33B"><enum>(1)</enum><header>In general</header><text>A vacancy on the Board shall be filled in the manner in which the original appointment was made.</text></paragraph><paragraph id="H0FFEAB0036D84273A64A610DE9C100E3"><enum>(2)</enum><header>Appointment to replace during term</header><text>A member of the Board appointed to fill a vacancy occurring before the expiration of the term for which the predecessor of the member was appointed shall be appointed only for the remainder of the term.</text></paragraph><paragraph id="H08BA7ABDA5BB44CC8978058647D7AE46"><enum>(3)</enum><header>Duration</header><text>A member of the Board may serve after the expiration of the term of the member until a successor has taken office.</text></paragraph></subsection><subsection id="H6F27CFD9C8564BCE9C7FF59CAF3CE0A7"><enum>(h)</enum><header>Quorum</header><text>At the time of any Board meeting, 75 percent of the members confirmed by the Senate (rounded down to a whole number) shall constitute a quorum.</text></subsection><subsection id="H9D9A95FA01444C5A973E122D0C92149C"><enum>(i)</enum><header>Reappointment</header><text>A member of the Board may be reappointed by the President in accordance with this section.</text></subsection><subsection id="HB57D84A2E13840929D0B89E65896A7D5"><enum>(j)</enum><header>Per diem reimbursement</header><text>Members of the Board shall serve on a part-time basis and shall receive a per diem when engaged in the actual performance of Bank business, plus reasonable reimbursement for travel, subsistence, and other necessary expenses incurred in the performance of their duties.</text></subsection><subsection id="HD04150E2B3044D09AAA9131B28CBB72D"><enum>(k)</enum><header>Limitations</header><text>A member of the Board may not participate in any review or decision affecting a project under consideration for assistance under this Act if the member has, or is affiliated with a person who has, an interest in the project.</text></subsection><subsection id="H8E5DBCEDCBB74DC5B91EC6A47666D6A2"><enum>(l)</enum><header>Responsibilities</header><text>The Board shall—</text><paragraph id="H7EAC00A605284ED38C6313F3011BDB0A"><enum>(1)</enum><text>as soon as practicable after the date on which the last member is appointed, establish an Executive Committee, risk management committee and audit committee pursuant to this Act;</text></paragraph><paragraph id="HFED5FFA213824E2FB398060B3A53CF4B"><enum>(2)</enum><text>not later than 180 days after the date on which the last member is appointed, develop and approve the bylaws of the Bank, and publish those bylaws in the Federal Register, including bylaws for the regulation of the affairs and conduct of the business of the Bank, consistent with the purpose, goals, objectives, and policies described in this Act;</text></paragraph><paragraph id="H425741F24C064B98BB8B467E07C9AB61"><enum>(3)</enum><text>ensure that the Bank is at all times operated in a manner that is consistent with this Act, by—</text><subparagraph id="H2700BEE5965B4A95A46448F45888626C"><enum>(A)</enum><text>monitoring and assessing the effectiveness of the Bank in achieving strategic goals;</text></subparagraph><subparagraph id="H60236FEF9F2A4F499EB11F5E77B9953D"><enum>(B)</enum><text>periodically reviewing internal policies submitted by the chief executive officer;</text></subparagraph><subparagraph id="HF46AD8F8CF6A402B9A8A4AD0044C7442"><enum>(C)</enum><text>reviewing and approving annual business plans, annual budgets, and long-term strategies submitted by the chief executive officer;</text></subparagraph><subparagraph id="H3E7ED5A717EB4CCBBB7724D58D7D5273"><enum>(D)</enum><text>reviewing and approving annual reports submitted by the chief executive officer;</text></subparagraph><subparagraph id="H84F54495C27045888C7EA81B643EE233"><enum>(E)</enum><text>reviewing risk management and audit practices of the Bank; and</text></subparagraph><subparagraph id="H841C493919AE4F84BBD43B1070945353"><enum>(F)</enum><text>reviewing and approving all changes to the organization of the Bank; and</text></subparagraph></paragraph><paragraph id="HB96CD76964CD424187BFEA44B0260691"><enum>(4)</enum><text>establishing such other criteria, requirements, and procedures as the Board may consider to be appropriate in carrying out this Act.</text></paragraph></subsection><subsection id="H249B3C1C733348EDB3D82648C3BC81ED"><enum>(m)</enum><header>Meetings</header><paragraph id="HF90041184AEC4DB59B65A9338E12657E"><enum>(1)</enum><header>Open to the public; notice</header><text>All meetings of the Board held to conduct the business of the Bank shall be open to the public and shall be preceded by reasonable notice.</text></paragraph><paragraph id="H041F04846E904918B4BD37E40D7AED69"><enum>(2)</enum><header>Initial meeting</header><text>The Board shall meet—</text><subparagraph commented="no" display-inline="no-display-inline" id="H3269CE0318FE42578F2F51B11A6B2CD5"><enum>(A)</enum><text display-inline="yes-display-inline">not later than 90 days after the date on which the last member is appointed; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H9B3226D893FB4BFAA8C687CEDF4D056D"><enum>(B)</enum><text display-inline="yes-display-inline">at the call of the chairperson.</text></subparagraph></paragraph><paragraph id="H6B2BF100DA2B47C2BDE600875438AD54"><enum>(3)</enum><header>Exception for closed meetings</header><subparagraph commented="no" display-inline="no-display-inline" id="H17D4987751F04AB09DA8AEFAB148C5A6"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Pursuant to such rules as the Board may establish through bylaws, the members may close a meeting of the Board if, at the meeting, there is likely to be disclosed information that could adversely affect or lead to speculation—</text><clause commented="no" display-inline="no-display-inline" id="HD7901F8529F8453ABA041D7ABAFC89B0"><enum>(i)</enum><text display-inline="yes-display-inline">relating to an infrastructure project under consideration for assistance under this Act; or</text></clause><clause commented="no" display-inline="no-display-inline" id="HACDDDD601C974E6A81A32C216F8D614C"><enum>(ii)</enum><text display-inline="yes-display-inline">in financial, securities, or commodities markets or institutions, utilities, or real estate.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HD67EABDC85CB41EE94D02BE0101726AA"><enum>(B)</enum><header>Notice</header><text display-inline="yes-display-inline">The determination to close any meeting of the Board shall be made in a meeting of the Board, open to the public, and preceded by reasonable notice.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H20BCDBBA87AC4C159FF92230ED1B7330"><enum>(C)</enum><header>Minutes</header><text display-inline="yes-display-inline">The Board shall prepare minutes of any meeting that is closed to the public and make those minutes available as soon as the considerations necessitating the closure of the meeting no longer apply.</text></subparagraph></paragraph></subsection></section><section id="HD6EE205C917A4BC2936BF70171D77151"><enum>207.</enum><header>Powers and limitations of the Board</header><subsection id="HDA58B4D676E34C35BB6ECA9FD279E9C2"><enum>(a)</enum><header>Powers</header><text>In order to carry out the purposes of the Bank as described in this Act, the Board shall be responsible for the approval and monitoring of infrastructure projects, and shall have the following powers:</text><paragraph id="H6BE7694D42684493A98728C34393DFAF"><enum>(1)</enum><text>To make senior and subordinated direct loans on such terms as the Board may determine to be appropriate to assist in the financing or refinancing of an infrastructure project.</text></paragraph><paragraph id="H82B0C24508E349D383EB66CABC3FC607"><enum>(2)</enum><text>Subject to the availability of funding, to develop specialized loan programs, such as a disadvantaged communities loan program, or a community cooperative startup, that provide project financing on flexible repayment terms.</text></paragraph><paragraph id="HFC709955E35A40E2B66FAE5BF155B471"><enum>(3)</enum><text>To make loan guarantees on such terms as the Board may determine to be appropriate to assist in the financing or refinancing of an infrastructure project.</text></paragraph><paragraph id="H1555A6E5FC0C4179B5D8D2D3E8AC1985"><enum>(4)</enum><text>To issue bonds to provide financing for infrastructure projects from amounts made available from the issuance of those bonds.</text></paragraph><paragraph id="HA6B83E8E5A5F4A39941FE82EBF2DAD07"><enum>(5)</enum><text>To make agreements and contracts with any entity in furtherance of the business of the Bank.</text></paragraph><paragraph id="HD39315E3CB6C4F7B83B0808248C8D11E"><enum>(6)</enum><text>To approve infrastructure loans financed in whole or in part by the Bank after receiving recommendations from the Executive Committee.</text></paragraph><paragraph id="HA8709DE9BB484F2484E81D0B90272EA7"><enum>(7)</enum><text>To monitor infrastructure projects financed in whole or in part by the Bank after receiving assessments from the Executive Committee.</text></paragraph><paragraph id="HA1056527B2504F1E861473BB5117CF6B" commented="no"><enum>(8)</enum><text>To sue and be sued in the Bank’s corporate capacity in any court of competent jurisdiction, except that no attachment, injunction, or similar process, may be issued against the property of the Bank or against the Bank with respect to such property.</text></paragraph><paragraph id="HDC1E9D4FC8B548F1A35A3CB9FF867FA9"><enum>(9)</enum><text>To indemnify the members of the Board and officers of the Bank for liabilities arising out of the actions of the Board and officers of the Bank in such capacity, in accordance with, and subject to the limitations contained in, this Act.</text></paragraph><paragraph interests of the Bank.</text></paragraph><paragraph id="HB9874D4EE90A43DD8F40CF4C70A39D58"><enum>(11)</enum><text>To exercise all other lawful powers that are necessary or appropriate to carry out, and are consistent with, the purposes of the Bank.</text></paragraph></subsection><subsection id="HAA76AFBD07654190A89D50BC37A75039"><enum>(b)</enum><header>Coordination with State and local regulatory authorities</header><text>The provision of financial assistance by the Board pursuant to this Act shall not—</text><paragraph id="HEDECFC2DCF064E36BCA72BD8D69DD6C6"><enum>(1)</enum><text>limit the right of any State or political subdivision or other instrumentality of a State to approve or regulate rates of return on private equity invested in an infrastructure project; or</text></paragraph><paragraph id="HACC3F53F49ED425E97A7209345E62B2F"><enum>(2)</enum><text>otherwise supersede any State law or regulation applicable to an infrastructure project.</text></paragraph></subsection><subsection id="HE5B375FB2ECE42ADAC48978F9EB3E420"><enum>(c)</enum><header>Federal personnel requests</header><paragraph commented="no" display-inline="no-display-inline" id="H1AAC124D8731465B8296F7BFDBEAEE17"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Board may request the detail, on a reimbursable basis, of personnel from other Federal agencies with specific expertise not available from within the Bank, including personnel with experience in the selection process for competitive awards from—</text><subparagraph commented="no" display-inline="no-display-inline" id="H1FF92AD8D65044B09AB92FF04F521C62"><enum>(A)</enum><text display-inline="yes-display-inline">the Corps of Engineers;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HF4F46A59DFB942519C3670B39729F1AD"><enum>(B)</enum><text>the Department of Transportation;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H34966DF170F44088BCB6AACFD9F8BAB9"><enum>(C)</enum><text>the Department of Labor;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HC267436DE9FF4FD78FCA82E3C26BF6F9"><enum>(D)</enum><text>the Department of Housing and Urban Development;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HA89C77971706460A80506F8A00CD7D06"><enum>(E)</enum><text>the Environmental Protection Agency;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H673A3C257E7F49B4AE9300FEA835D069"><enum>(F)</enum><text>the Department of the Treasury;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H187ACCF94D0545C7AA095BAB4FF63C5C"><enum>(G)</enum><text>the Department of Commerce; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H6B51E2E90D8049FAB07285962CA0A889"><enum>(H)</enum><text>other relevant Federal agencies.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H1F2264566C504FC0A55C25D7BFD7CB9F"><enum>(2)</enum><header>Detail</header><text display-inline="yes-display-inline">The head of any Federal agency—</text><subparagraph commented="no" display-inline="no-display-inline" id="HAA6315E4704E498E94BB17D364F1AD88"><enum>(A)</enum><text display-inline="yes-display-inline">may detail, on a reimbursable basis, any personnel of the agency requested by the Board; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H7F520B1473EF4AC4B94D46A345E0649A"><enum>(B)</enum><text display-inline="yes-display-inline">shall not withhold unreasonably the detail of any personnel requested by the Board.</text></subparagraph></paragraph></subsection></section><section id="H8E2D819DE6474E75B34D8F252085B766"><enum>208.</enum><header>Executive Committee</header><subsection id="H22C7174108554597BC301F1DE1B7E501"><enum>(a)</enum><header>In general</header><text>The Board shall establish an Executive Committee consisting of 9 members, including—</text><paragraph id="HECEF905D8B7D48B0B2906C9C1C3B0AD3"><enum>(1)</enum><text>the chief executive officer, who shall serve as the head of the Executive Committee;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H53D91E15EECC44F3BF967178FE0B6CFE"><enum>(2)</enum><text display-inline="yes-display-inline">the chief risk officer;</text></paragraph><paragraph id="HC0F5B59AAE264DD381D647546BFB755C"><enum>(3)</enum><text>the chief operations officer;</text></paragraph><paragraph id="H54B9B858190E4A329990FE046EC1A213"><enum>(4)</enum><text>the chief loan origination officer;</text></paragraph><paragraph id="H3C3627F792604FA88323469DE94BFA7D"><enum>(5)</enum><text>the chief compliance officer;</text></paragraph><paragraph id="HF402B6CDDA6D41F9867BC9394157C408"><enum>(6)</enum><text>the chief financial officer;</text></paragraph><paragraph id="H8908D35934A84575B6A11F7A7AE5FE7C"><enum>(7)</enum><text>the chief treasury officer;</text></paragraph><paragraph id="H04CAF37815804CF7BE9D97443207A593"><enum>(8)</enum><text>the chief asset and liability management officer; and</text></paragraph><paragraph id="H193694572B4141A8816BF30DF30EE451"><enum>(9)</enum><text>the general counsel.</text></paragraph></subsection><subsection id="HBD52A5C305CF45B79A8CF9D620758236"><enum>(b)</enum><header>Appointments</header><text>A majority of the Board shall have the authority—</text><paragraph commented="no" display-inline="no-display-inline" id="HA9DC92B965CA4250BA22B06C2FFA29EB"><enum>(1)</enum><text display-inline="yes-display-inline">to appoint the members of the Executive Committee; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H2160728B8999486CB83D40C2F538FD3D"><enum>(2)</enum><text>to define the duties of each member of the Executive Committee in accordance with this Act, the bylaws of the Bank, and requirements of the Board.</text></paragraph></subsection><subsection id="H30CD24721A0E48C0BE11D877D2E9B634"><enum>(c)</enum><header>Qualifications</header><text>Each member of the Executive Committee and all loan origination officers of the Bank shall have extensive experience and expertise in retail banking, and in 1 or more of the following:</text><paragraph id="H05C9C0DB783F4CE7B4859484F4C32568"><enum>(1)</enum><text>Transportation infrastructure.</text></paragraph><paragraph id="H1A9FC740944C42C186914F41A25255DF"><enum>(2)</enum><text>Environmental infrastructure.</text></paragraph><paragraph id="H40A0C30352E24FD29CCD22280BAAAABF"><enum>(3)</enum><text>Energy infrastructure.</text></paragraph><paragraph id="H6A737962B174409F87CF65CD0F897C7F"><enum>(4)</enum><text>Telecommunications infrastructure.</text></paragraph><paragraph id="H1E9D08DF9EE14CDBA95243437C0FCA4C"><enum>(5)</enum><text>Public housing and urban or rural development.</text></paragraph><paragraph id="H6F9B75680A0D48EA9A608FA0BC7200FA"><enum>(6)</enum><text>Economic development.</text></paragraph><paragraph id="HD76697A0D1E346DF803096DEB951AB64"><enum>(7)</enum><text>Workforce development.</text></paragraph><paragraph id="HCEE75AB1D57F458CA2EEB3B2510BE60B"><enum>(8)</enum><text>Public finance.</text></paragraph></subsection><subsection id="H2A4C03074CB9489CB33A6D8CB9CB4EBB"><enum>(d)</enum><header>Duties of Chief Executive Officer</header><text>The chief executive officer shall have responsibility for the development and implementation of the strategy of the Bank, including—</text><paragraph id="HE16A1287D49F4A23A36B2554EBB5827E"><enum>(1)</enum><text>the development and submission to the Board of the annual business plans and budget;</text></paragraph><paragraph id="H23F57E99F6A1476582FE7E0F4BCECAC9"><enum>(2)</enum><text>the development and submission to the Board of a long-term strategic infrastructure development plan that is consistent with regional plans presented to the Bank by regional economic accelerator planning groups established under section 204; and</text></paragraph><paragraph id="H07ED8A85BB6D4946BFF0746D02D50FAC"><enum>(3)</enum><text>the development, revision, and submission to the Board of other internal policies of the Bank.</text></paragraph></subsection><subsection id="H7C9C9907551741FF87A3AD27EF928A23"><enum>(e)</enum><header>Duties of Executive Committee</header><text>In order to carry out the purposes of the Bank, the Executive Committee shall—</text><paragraph id="H288066283F70435685B97CCF20E65599"><enum>(1)</enum><text>establish and submit to the Board for approval disclosure and application procedures for entities submitting applications for infrastructure projects for assistance under this Act;</text></paragraph><paragraph id="H63893511F98449FE9AE006D888E0DCD7"><enum>(2)</enum><text>establish and submit to the Board for approval standardized terms and conditions, fee schedules, or legal requirements of a contract or program to carry out this Act;</text></paragraph><paragraph id="HB62AA32350224EDCBADBA239AD545B26"><enum>(3)</enum><text>establish and submit to the Board for approval guidelines for the selection and approval of infrastructure projects and specific criteria for determining eligibility for project selection, subject to the general criteria provided in section 205;</text></paragraph><paragraph id="HA7B7D9DBD61A415E8799F11C613C9E99"><enum>(4)</enum><text>accept for consideration project proposals from entities for the development of infrastructure projects in accordance with this Act;</text></paragraph><paragraph id="HB53680F3BA664FE2A4A8EC3F4CE47F09"><enum>(5)</enum><text>provide recommendations to the Board and place project proposals accepted by the Executive Committee on a list for consideration for financial assistance from the Board; and</text></paragraph><paragraph id="H4A8545778C644CCD9E619783ED4E48AD"><enum>(6)</enum><text>establish a plan, and build capacity within the Bank, to provide technical assistance to State and local governments, regional economic accelerator planning groups established under section 204, joint ventures, regional economic accelerator agencies, and other borrowing entities on—</text><subparagraph id="HB09DE847F923410EAD782846BB3B946D"><enum>(A)</enum><text>the borrowing procedures and selection criteria of the Bank;</text></subparagraph><subparagraph id="H85CCEFB4981E465D88D35E126058A304"><enum>(B)</enum><text>the development of a pipeline of projects suitable for financing that meet the selection criteria developed by the Bank;</text></subparagraph><subparagraph id="HCF6B1884C4F24A9AB06EA654D20A5B9B"><enum>(C)</enum><text>the development of specialized institutional structures and cross-regional planning to help in the planning of complex projects;</text></subparagraph><subparagraph id="HDC310F8D5DF546F18F02715501483229"><enum>(D)</enum><text>best practices for design, construction, and management, including those identified in global infrastructure databases;</text></subparagraph><subparagraph id="H80AEAFCF89C14A83AD3F0987166FCEE7"><enum>(E)</enum><text>contract evaluation methods, including procurement value-for-money options; and</text></subparagraph><subparagraph id="H63A577748B3647CDA5EC6BFFDDC3DE71"><enum>(F)</enum><text>institution strengthening relating to the management of projects and work contracts, including through performance-based project delivery.</text></subparagraph></paragraph></subsection><subsection id="H711DBA29AAAE4F51BCE07663F0962FB6"><enum>(f)</enum><header>Vacancy</header><text>A vacancy on the Executive Committee shall be filled in the manner in which the original appointment was made.</text></subsection><subsection id="HA75430F61E9C481CA7CD429EC1382BEC"><enum>(g)</enum><header>Compensation</header><text>The compensation of a member of the Executive Committee shall be determined by the Board.</text></subsection><subsection id="HA97D39376E32467298F803A3BA85E67F"><enum>(h)</enum><header>Removal</header><text>A member of the Executive Committee may be removed at the discretion of a majority of the Board.</text></subsection><subsection id="H7F6E96CECFE3492FBD6FA5620E2F8EEC"><enum>(i)</enum><header>Term</header><text>A member of the Executive Committee shall serve a term of 6 years and may be reappointed in accordance with this section.</text></subsection><subsection id="H961E6E54F4F142289EB9F722F4A9E666"><enum>(j)</enum><header>Limitations</header><paragraph commented="no" display-inline="no-display-inline" id="HF63C61984EE54D07A384E3F337136CAD"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">During the period described in paragraph (2), a member of the Executive Committee may not—</text><subparagraph id="H568B04839DBC464DB1E30563A0262C7A"><enum>(A)</enum><text>hold any other public office;</text></subparagraph><subparagraph id="H09B9B13D60924A5097B07A4C89EDFC04"><enum>(B)</enum><text>have any interest in an infrastructure project considered by the Board; or</text></subparagraph><subparagraph id="H2A6054DD6D154DF7BC6D93F28226E4C2"><enum>(C)</enum><text>have any interest in an entity seeking financial assistance from the Bank for any infrastructure project.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HAEE661CEA22B4ADB80B80B00812E164A"><enum>(2)</enum><header>Period described</header><text>The period referred to in paragraph (1) is the period—</text><subparagraph commented="no" display-inline="no-display-inline" id="H5EE751B670214C349903DBBECAC4E596"><enum>(A)</enum><text display-inline="yes-display-inline">beginning on the date on which the member of the Executive Committee is appointed; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H3B1DDE34CF60497AB856F242D03AE88E"><enum>(B)</enum><text>ending on the date on which the member ceases to serve on the Executive Committee.</text></subparagraph></paragraph></subsection></section><section id="H538C06829D674F4FA506769EE5EB7CEA"><enum>209.</enum><header>Risk management committee</header><subsection id="H13F656AE79A640A2AFF490FFA295F770"><enum>(a)</enum><header>Establishment</header><text>The Board, in consultation with the chief loan origination officer, shall establish a risk management committee consisting of 5 members, headed by the chief risk officer.</text></subsection><subsection id="HFA169A88325B4C9D989797EAE54482FF"><enum>(b)</enum><header>Appointment</header><text>A majority of the Board shall have the authority—</text><paragraph commented="no" display-inline="no-display-inline" id="HB31EB77B12B546EB8B43F54F0B2C7DB1"><enum>(1)</enum><text display-inline="yes-display-inline">to appoint the members of the risk management committee; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HA949A0AACD6A477EB1738C664A71E3F5"><enum>(2)</enum><text>to define the duties of the chief risk officer and each remaining member of the risk management committee in accordance with this Act, the bylaws of the Bank, and requirements of the Board.</text></paragraph></subsection><subsection id="H594B205740624C768B3562468BE4F49F"><enum>(c)</enum><header>Qualifications</header><text>Each member of the risk management committee shall have demonstrated experience and expertise in 1 or more of the following:</text><paragraph id="H5799CFC37EAE4B92B7956EE6D1979189"><enum>(1)</enum><text>Treasury and asset and liability management.</text></paragraph><paragraph id="H92D6D571EE974AFCAF2ACFD55C4D8C31"><enum>(2)</enum><text>Investment regulations.</text></paragraph><paragraph id="H4E62E1AD92744316B9CAB6E4DA13195C"><enum>(3)</enum><text>Insurance.</text></paragraph><paragraph id="H4127ECFBBCDD48CF846553351020C606"><enum>(4)</enum><text>Credit risk management and credit evaluations.</text></paragraph><paragraph id="HB5708683513644238EBC2D95AFFF09E8"><enum>(5)</enum><text>Infrastructure development projects.</text></paragraph></subsection><subsection id="HD4DC9DF6529443DBB037580B8656D20A"><enum>(d)</enum><header>Duties of chief risk officer</header><text>The chief risk officer shall—</text><paragraph commented="no" display-inline="no-display-inline" id="H737BA51BD7C340239B9B07A14B8BDEE3"><enum>(1)</enum><text display-inline="yes-display-inline">have such functions, powers, and duties as may be prescribed by this Act, the bylaws of the Bank, and the Board; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H3C33E106987D42D5AD3452F7FCB123BE"><enum>(2)</enum><text display-inline="yes-display-inline">report directly to the Board.</text></paragraph></subsection><subsection id="H01D81CEE20444C32A4AB6FE171AEBEA3"><enum>(e)</enum><header>Duties of risk management committee</header><text>The risk management committee shall—</text><paragraph id="HB025F111937D49DB85C5009F54A8D857"><enum>(1)</enum><text>develop overarching financial, credit, and operational risk management guidelines and policies to be adhered to by the Bank;</text></paragraph><paragraph id="HA6873141D66D48EAAC20E59F56E1FDF2"><enum>(2)</enum><text>develop conforming standards for loan agreements to ensure diversification of lending activities by geographic region, infrastructure project type, and inclusion of rural and disadvantaged communities;</text></paragraph><paragraph id="H95A24C67767B4D26A04C8EBBB0388DA3" commented="no"><enum>(3)</enum><text>ensure compliance with Federal and State laws referred to in section 213;</text></paragraph><paragraph id="H1EC7B5E8841D44E498A82F4FE953570D"><enum>(4)</enum><text display-inline="yes-display-inline">develop specific plans for all financial assistance provided by the Bank, including subsidy programs for disadvantaged communities and the inclusion of minorities, women, and indigenous people, and disadvantaged business participation in infrastructure projects financed by the Bank in accordance with section 213;</text></paragraph><paragraph id="H8F370E9EE3C1465784DA14E2BB4F89AD"><enum>(5)</enum><text>monitor the overall financial, credit, and operational exposure of the Bank;</text></paragraph><paragraph id="HB43A3D6559D34282AA20EF888BAA610B"><enum>(6)</enum><text>establish a standing subcommittee to perform regular credit evaluations and report on large infrastructure loans extended by the Bank to monitor compliance with terms and attainment of performance targets contained in loan agreements; and</text></paragraph><paragraph id="H88B5BBDE843D477CAB36D7F0BAFE7A00"><enum>(7)</enum><text>provide financial recommendations to the Board for approval.</text></paragraph></subsection><subsection id="HCC6F0B5EE39C46C4A04BA41F06BDF92D"><enum>(f)</enum><header>Vacancy</header><text>A vacancy on the risk management committee shall be filled in the manner in which the original appointment was made.</text></subsection><subsection id="H35DFB359F64C4DBF8E5C396F97B832A7"><enum>(g)</enum><header>Compensation</header><text>The compensation of a member of the risk management committee shall be determined by the Board.</text></subsection><subsection id="H66F0C12A436546ADBFABCDA8128130EF"><enum>(h)</enum><header>Removal</header><text>A member of the risk management committee may be removed at the discretion of a majority of the Board.</text></subsection><subsection id="H4C9541AA44084002B119346952EC9280"><enum>(i)</enum><header>Term</header><text>A member of the risk management committee shall serve a term of 6 years and may be reappointed in accordance with this section.</text></subsection><subsection id="H24EC243987F44E5FB6C04F872FA32C7E"><enum>(j)</enum><header>Limitations</header><paragraph commented="no" display-inline="no-display-inline" id="H14383FC34C37435795E04CF433084CD5"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">During the period described in paragraph (2), a member of the risk management committee may not—</text><subparagraph id="HF7660693858F46638B8109954CBCB788"><enum>(A)</enum><text>hold any other public office;</text></subparagraph><subparagraph id="HA41694B612F34A03BDA0A9D5620AE879"><enum>(B)</enum><text>have any interest in an infrastructure project considered by the Board; or</text></subparagraph><subparagraph id="H5DF974F14500409C92DB464AF412C974"><enum>(C)</enum><text>have any interest in an investment institution, commercial bank, or other entity seeking financial assistance from the Bank for any infrastructure project.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HD29E2F738B3F476AAA988C8D76C9BEE5"><enum>(2)</enum><header>Period described</header><text>The period referred to in paragraph (1) is the period—</text><subparagraph commented="no" display-inline="no-display-inline" id="HDF4DAF91E5B14335A079CA1E194812F8"><enum>(A)</enum><text display-inline="yes-display-inline">beginning on the date on which the member of the risk management committee is appointed; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H9F86E67B0E124276B4AD339CC55E18AD"><enum>(B)</enum><text>ending on the date on which the member ceases to serve on the risk management committee.</text></subparagraph></paragraph></subsection></section><section id="HED75A1B1119C41D89A391331E9EA8AFC"><enum>210.</enum><header>Audit committee</header><subsection id="HC167213B4C9040D5AB08714F6FF0DB15"><enum>(a)</enum><header>In general</header><text>The Bank shall establish an audit committee consisting of 5 members, headed by the chief compliance officer.</text></subsection><subsection id="HC35B975B11CA4AFDA93FCA5AB675F6BF"><enum>(b)</enum><header>Appointment</header><text>A majority of the Board shall have the authority—</text><paragraph commented="no" display-inline="no-display-inline" id="HE22395725C4C4AA89B69D9512DD46E90"><enum>(1)</enum><text display-inline="yes-display-inline">to appoint the members of the audit committee; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HD53203E6DC38488FAEFA3C2ACAB03C59"><enum>(2)</enum><text display-inline="yes-display-inline">to define the duties of the chief compliance officer and each remaining member of the audit committee in accordance with this Act, the bylaws of the Bank, and requirements of the Board.</text></paragraph></subsection><subsection id="HA86E269F51AB4F199FD64E72B3AAEE07"><enum>(c)</enum><header>Qualifications</header><text>Each member of the audit committee shall have demonstrated experience and expertise in 1 or more of the following:</text><paragraph id="H39BB187424834AEF99015983B3C4447D"><enum>(1)</enum><text>Internal auditing.</text></paragraph><paragraph id="H08BE36CB718C4DF3A8CF3202F1547813"><enum>(2)</enum><text>Internal investigations.</text></paragraph><paragraph id="HBD736B65E42B41E6BF6D2A93E559C54C"><enum>(3)</enum><text>Accounting practices.</text></paragraph><paragraph id="H55A5ACC3DF70466C88132372D37C121F"><enum>(4)</enum><text>Financing practices.</text></paragraph></subsection><subsection id="H3F7A2ED68B264946B9F1E3F968965929"><enum>(d)</enum><header>Duties of chief compliance officer</header><text>The chief compliance officer shall—</text><paragraph commented="no" display-inline="no-display-inline" id="H21BFB74697714EB1AC2B7CB89EAE2C8D"><enum>(1)</enum><text display-inline="yes-display-inline">have such functions, powers, and duties as may be prescribed by this Act, the bylaws of the Bank, and the Board; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H285FFB7534904FCABD26A1A384318A9F"><enum>(2)</enum><text display-inline="yes-display-inline">report directly to the Board.</text></paragraph></subsection><subsection id="H0A61A3F577E6486096605DAEB39866C2"><enum>(e)</enum><header>Duties of audit committee</header><text>The audit committee shall—</text><paragraph id="H957F8B4BB2FC47DE80A6308BF0367947"><enum>(1)</enum><text>provide internal controls and internal auditing activities for the Bank;</text></paragraph><paragraph id="H894C55E09E1C4D3F9B65BF1E22C0FCEC"><enum>(2)</enum><text>maintain responsibility for the accounting activities of the Bank;</text></paragraph><paragraph id="H15C043291A464899A33B44C664A3AD9E"><enum>(3)</enum><text>conduct internal investigations of the business activities of the Bank;</text></paragraph><paragraph id="HD073E8652C7D48AB9734185E1F0B2C39"><enum>(4)</enum><text>issue financial reports of the Bank; and</text></paragraph><paragraph id="H217D7EDC67B74598B8CBA5E96A9B87A5"><enum>(5)</enum><text>complete reports with outside auditors and public accountants appointed by the Board.</text></paragraph></subsection><subsection id="H3007AEDD68714EAEBB6394F753949A59"><enum>(f)</enum><header>Vacancy</header><text>A vacancy on the audit committee shall be filled in the manner in which the original appointment was made.</text></subsection><subsection id="H4A3DBAD245B54A2089DC2AE24B12AB53"><enum>(g)</enum><header>Compensation</header><text>The compensation of a member of the audit committee shall be determined by the Board.</text></subsection><subsection id="HFC20BB524CD849838A5F979EF4905038"><enum>(h)</enum><header>Removal</header><text>A member of the audit committee may be removed at the discretion of a majority of the Board.</text></subsection><subsection id="HC8DFE619FCB74642BAAF32F39605A377"><enum>(i)</enum><header>Term</header><text>A member of the audit committee shall serve a term of 6 years and may be reappointed in accordance with this section.</text></subsection><subsection id="H6FFD2C1025AC474C8B263A63B6A8F69E"><enum>(j)</enum><header>Limitations</header><paragraph commented="no" display-inline="no-display-inline" id="HB8FC43765C64478C94CAAF9E7CFAED70"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">During the period described in paragraph (2), a member of the audit committee may not—</text><subparagraph id="H940F92F3C9F243CAA8EB01DB3C610A4B"><enum>(A)</enum><text>hold any other public office;</text></subparagraph><subparagraph id="H72B6CEA5C2314C66A8BD3D7A1BE2C415"><enum>(B)</enum><text>have any interest in an infrastructure project considered by the Board; or</text></subparagraph><subparagraph id="H2ED89FC10FF94D3D9B2BBBB2772E1F0D"><enum>(C)</enum><text>have any interest in an investment institution, commercial bank, or other entity seeking financial assistance from the Bank for any infrastructure project.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HE52C8CC02843402E9D4B53EEF6715033"><enum>(2)</enum><header>Period described</header><text>The period referred to in paragraph (1) is the period—</text><subparagraph commented="no" display-inline="no-display-inline" id="H72009735EB384117968D7E7B78AE0416"><enum>(A)</enum><text display-inline="yes-display-inline">beginning on the date on which the member of the audit committee is appointed; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H988B8322BE434AE5A2A4F56B749617DA"><enum>(B)</enum><text>ending on the date on which the member ceases to serve on the audit committee.</text></subparagraph></paragraph></subsection></section><section id="H789F848C3FE242DA848F8281C5F889DC"><enum>211.</enum><header>Personnel</header><subsection id="H7C8293A3F5F1492BADFDD1D80BA987F0"><enum>(a)</enum><header>Compensation; duties</header><text>The chairperson of the Board, chief executive officer, chief risk officer, and chief compliance officer shall appoint, remove, fix the compensation of, and define the duties of such qualified personnel to serve the Board, Executive Committee, risk management committee, or audit committee, as applicable, as necessary and prescribed by this Act, the bylaws of the Bank, and the Board.</text></subsection><subsection id="H1B36141044184F8AA5F803CF28635EFC"><enum>(b)</enum><header>Nondiscrimination and equal opportunity employment</header><paragraph commented="no" display-inline="no-display-inline" id="H7D3FAB4C173F4FE5A07EB06309025D22"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Bank shall not discriminate on the basis of race, religion, color, national origin, age, physical or mental handicap or disability, medical condition, marital status, sex, sexual orientation, gender identity, pregnancy, or ethnic or social origin against any employee or applicant for employment.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H336B64B0D6564EE99AE70965763F1C6A"><enum>(2)</enum><header>Inclusions</header><text display-inline="yes-display-inline">Paragraph (1) shall apply to, at a minimum, employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship.</text></paragraph></subsection></section><section id="H25E78B231C5A41ED93D65FE0F06731D5"><enum>212.</enum><header>Special Inspector General for the National Infrastructure Bank</header><subsection id="HA6C22AF902224543A63A4873D3EEF0DF"><enum>(a)</enum><header>In general</header><text>Beginning on the date on which the President appoints a Special Inspector General for the Bank (referred to in this section as the <quote>Special Inspector General</quote>) under subsection (b), there is established an Office of the Special Inspector General for the Bank.</text></subsection><subsection id="H125C9E15240748EA91FCE6CE9FD7F980"><enum>(b)</enum><header>Appointment of inspector general; removal</header><paragraph id="HF0416B699A274CDB9EB913BC957ED7B3"><enum>(1)</enum><header>Appointment</header><text>The Special Inspector General for the Bank shall be appointed by the President, by and with the advice and consent of the Senate.</text></paragraph><paragraph id="H43A912B1F9594DE586C2F97D75C9E561"><enum>(2)</enum><header>Basis of appointment</header><text>The appointment of the Special Inspector General shall be made on the basis of integrity and demonstrated ability in accounting, auditing, financial analysis, law, management analysis, public administration, or investigations.</text></paragraph><paragraph id="H6A9EE3E668424DD98A54D7BEAF085D33"><enum>(3)</enum><header>Timing of nomination</header><text>The nomination of an individual as Special Inspector General shall be made as soon as practicable after the date of enactment of this Act.</text></paragraph><paragraph id="H37EAF1D0857B46118E595E5ED9A2CFD1"><enum>(4)</enum><header>Removal</header><text>The Special Inspector General shall be removable from office in accordance with the provisions of section 403(b) of title 5, United States Code.</text></paragraph><paragraph id="HD45D77A73DF94DB6B65C8DA92FBF6574"><enum>(5)</enum><header>Rule of construction</header><text>For purposes of section 7324 of title 5, United States Code, the Special Inspector General shall not be considered an employee who determines policies to be pursued by the United States in the nationwide administration of Federal law.</text></paragraph><paragraph id="H8D02E32464B941228B3DE166CAE3DE34"><enum>(6)</enum><header>Rate of pay</header><text>The annual rate of basic pay of the Special Inspector General shall be the annual rate of basic pay for an Inspector General under section 403(e) of title 5, United States Code.</text></paragraph></subsection><subsection id="H932223B48E5846F6BBE9DCF3AA5F4286"><enum>(c)</enum><header>Duties</header><text>The Special Inspector General shall—</text><paragraph id="H52CEEFB6CB3C4ACD984D390210617B23"><enum>(1)</enum><text>conduct, supervise, and coordinate audits and investigations of the business activities of the Bank;</text></paragraph><paragraph id="H8975B726A6FF4FD0B04DE828DAF7A18F"><enum>(2)</enum><text>establish, maintain, and oversee such systems, procedures, and controls as the Special Inspector General considers appropriate to discharge the duty under paragraph (1); and</text></paragraph><paragraph id="HBF47A9952D2D4825B4B3FBB466B49CD6"><enum>(3)</enum><text>carry out any other duties and responsibilities of inspectors general under <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/4">chapter 4</external-xref> of title 5, United States Code.</text></paragraph></subsection><subsection id="H1804810F5EC1400E8538ED45AA7458C1"><enum>(d)</enum><header>Powers and authorities</header><paragraph id="HE301EE89CB564EE68AA3E1DC74C4C285"><enum>(1)</enum><header>In general</header><text>In carrying out the duties specified in subsection (c), the Special Inspector General shall have the authorities provided in section 406 of title 5, United States Code.</text></paragraph><paragraph id="H41EF056764A7475699B0CA186CBD3817"><enum>(2)</enum><header>Additional authority</header><text>The Special Inspector General shall carry out the duties specified in subsection (c)(1) in accordance with section 404(b)(1) of title 5, United States Code.</text></paragraph></subsection><subsection id="H7C6571320BAE4BA1AE7B4B627159705F"><enum>(e)</enum><header>Personnel, facilities, and other resources</header><paragraph id="H5DE295E792EB402B9D276621E49FDF09"><enum>(1)</enum><header>Additional officers</header><subparagraph id="H909B6C69E9964AE08292D0577AC15761"><enum>(A)</enum><header>In general</header><text>The Special Inspector General may select, appoint, and employ such officers and employees as may be necessary for carrying out the duties of the Special Inspector General, subject to the provisions of title 5, United States Code, governing appointments in the competitive service, and the provisions of chapter 51 and subchapter III of chapter 53 of such title, relating to classification and General Schedule pay rates.</text></subparagraph><subparagraph id="H706A43194C854F27918C108DB095FB10"><enum>(B)</enum><header>Employment and compensation</header><text>The Special Inspector General may exercise the authorities of subsections (b) through (i) of section 3161 of title 5, United States Code (without regard to subsection (a) of that section).</text></subparagraph></paragraph><paragraph id="H405122F5845F488EBA5135B551B85D5A"><enum>(2)</enum><header>Retention of services</header><text>The Special Inspector General may obtain services as authorized by section 3109 of title 5, United States Code, at daily rates not to exceed the equivalent rate prescribed for grade GS–15 of the General Schedule by section 5332 of such title.</text></paragraph><paragraph id="H920B914BAFA540A1A55EB85CD41C23BC"><enum>(3)</enum><header>Ability to contract for audits, studies, and other services</header><text>The Special Inspector General may enter into contracts and other arrangements for audits, studies, analyses, and other services with public agencies and with private persons, and make such payments as may be necessary to carry out the duties of the Special Inspector General.</text></paragraph><paragraph id="HF1B16CD5FCDB4981B08561D388E2E9AD"><enum>(4)</enum><header>Request for information</header><subparagraph id="H17155F82E5CD4569BF06ED7DFE05903C"><enum>(A)</enum><header>In general</header><text>Upon request of the Special Inspector General for information or assistance from any department, agency, or other entity of the Federal Government, the head of that entity shall, insofar as is practicable and not in contravention of any existing law, furnish the information or assistance to the Special Inspector General or an authorized designee.</text></subparagraph><subparagraph id="HC2210F99934041AE9354F581960C0613"><enum>(B)</enum><header>Refusal to comply</header><text>If information or assistance requested by the Special Inspector General is, in the judgment of the Special Inspector General, unreasonably refused or not provided, the Special Inspector General shall report the circumstances to the Secretary, without delay.</text></subparagraph></paragraph></subsection><subsection id="HB8EDF3C9E71D43BA8DBA18A8600DC3A3"><enum>(f)</enum><header>Reports</header><paragraph id="HE99A4867DC7D4643A42E5425A9B12816"><enum>(1)</enum><header>Annual report</header><text>Not later than 1 year after the date on which the Special Inspector General is confirmed, and every calendar year thereafter, the Special Inspector General shall submit to the President and appropriate committees of Congress a report summarizing the activities of the Special Inspector General during the previous 1-year period ending on the date on which such report is required.</text></paragraph><paragraph id="HB9A5E7BE743543AF9B45FBEE410B2315"><enum>(2)</enum><header>Public disclosures</header><text>Nothing in this subsection authorizes the public disclosure of information that is—</text><subparagraph id="HB0057CECEFC241138CD7204773BC2E3D"><enum>(A)</enum><text>specifically prohibited from disclosure by any other provision of law;</text></subparagraph><subparagraph id="H48B8A60AE604495A8235555BB56F2967"><enum>(B)</enum><text>specifically required by Executive order to be protected from disclosure in the interest of national defense or national security or in the conduct of foreign affairs; or</text></subparagraph><subparagraph id="H56681DD4C2594146833D16F896DC461D" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text>a part of an ongoing criminal investigation.</text></subparagraph></paragraph></subsection></section><section id="HCA3F1364929E407FB20BC71EB7C60C22"><enum>213.</enum><header>Status and applicability of certain Federal and State laws</header><subsection id="H400FD65681A04BAC8E4435F14D6F8084"><enum>(a)</enum><header>Compliance with Federal and State laws</header><paragraph commented="no" display-inline="no-display-inline" id="HD78324CE9EAE46E3A48A85A0FC37A949"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Bank, any entity that receives financial assistance from the Bank, and any contractor or subcontractor that receives funds from financial assistance provided by the Bank shall comply with all applicable Federal and State laws, including this section.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H15036FB622684AABB3C0D92C0E6F9D87"><enum>(2)</enum><header>Agreements</header><text>The Bank shall require that an entity that receives financial assistance from the Bank shall—</text><subparagraph commented="no" display-inline="no-display-inline" id="H47B06376B199491FB902347CFC5279C4"><enum>(A)</enum><text display-inline="yes-display-inline">confirm compliance with applicable Federal and State laws in a loan agreement between the Bank and the entity; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HA6DBA7E8EFC94D3492EF7FE2D92B9F53"><enum>(B)</enum><text>ensure, through a written agreement, that contractors and subcontractors used by the entity for an infrastructure project carried out with that financial assistance are in compliance with applicable Federal and State laws.</text></subparagraph></paragraph></subsection><subsection id="H0B50DB01554F4EE5B790E35EA9F4A426" commented="no"><enum>(b)</enum><header>Compliance with Davis-Bacon Act</header><paragraph commented="no" display-inline="no-display-inline" id="H769A3098B60B4E1ABB8E4A1C80B9A142"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">All laborers and mechanics employed by contractors and subcontractors on infrastructure projects funded directly by or assisted in whole or in part by or through the Bank pursuant to this Act shall be paid wages at rates not less than those prevailing on projects of a character similar in the locality as determined by the Secretary of Labor in accordance with subchapter IV of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/40/31">chapter 31</external-xref> of title 40, United States Code.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HDB2AF9CD237C44C7A92C70F7574409F3"><enum>(2)</enum><header>Labor standards</header><text display-inline="yes-display-inline">With respect to the labor standards described in paragraph (1), the Secretary of Labor shall have the authority and functions set forth in Reorganization Plan Numbered 14 of 1950 (64 Stat. 1267; 5 U.S.C. App.) and section 3145 of title 40, United States Code.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="H2B28069E9472440495A7357145EE44EC"><enum>(c)</enum><header>Compliance with project labor agreements</header><paragraph commented="no" display-inline="no-display-inline" id="H829EE83BB3D8425284FEA83122817AAE"><enum>(1)</enum><header>In general</header><subparagraph commented="no" display-inline="no-display-inline" id="H1A8E4D60E5804518B25067F1F052F58A"><enum>(A)</enum><header display-inline="yes-display-inline">Covered States</header><text>Any recipient of financial assistance from the Bank in a covered State shall, for purposes of an infrastructure project funded by such financial assistance, be a party to a project labor agreement with an applicable labor organization.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H900CF039D23341408E90B77D9FE55953"><enum>(B)</enum><header display-inline="yes-display-inline">States that are not covered States</header><text>Any recipient of financial assistance from the Bank in a State that is not a covered State shall, for purposes of the infrastructure project funded by such financial assistance, permit voluntary collective bargaining with respect to becoming a party to a project labor agreement.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H9A1D2FDCC7B9481FB256EBAEC80F1650"><enum>(2)</enum><header>Definitions</header><text>For purposes of this subsection:</text><subparagraph commented="no" display-inline="no-display-inline" id="HC441934C68784167A7FE8BBB41A5F1F8"><enum>(A)</enum><header>Covered States</header><text>The term <term>covered State</term> means a State in which—</text><clause commented="no" display-inline="no-display-inline" id="H88D19B3ECCDD411AA92F01B9F18994DA"><enum>(i)</enum><text>the laws of such State permit an entity to require project labor agreements; or</text></clause><clause commented="no" display-inline="no-display-inline" id="H1774BFD4AA1C44D5B6166ADC35EED5C0"><enum>(ii)</enum><text>the total amount of all construction contracts financed by the Bank in such State is not less than $35,000,000.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H8B26D8AD6569410294EAA032F8DF71BE"><enum>(B)</enum><header>Project labor agreement</header><text display-inline="yes-display-inline">The term <term>project labor agreement</term> means a pre-hire collective bargaining agreement with one or more labor organizations that establishes the terms and conditions of employment for a specific construction project and is described in section 8(f) of the National Labor Relations Act (<external-xref legal-doc="usc" parsable-cite="usc/29/158">29 U.S.C. 158(f)</external-xref>).</text></subparagraph></paragraph></subsection><subsection id="HAEF3E932D5884D4D80B4119652B34D70"><enum>(d)</enum><header>Buy America requirement</header><text display-inline="yes-display-inline">Section 70914 of the Infrastructure Investment and Jobs Act (<external-xref legal-doc="usc" parsable-cite="usc/41/8301">41 U.S.C. 8301</external-xref> note; <external-xref legal-doc="public-law" parsable-cite="pl/117/58">Public Law 117–58</external-xref>) shall apply to the Bank, including financial assistance provided by the Bank.</text></subsection><subsection id="H3C2E977E720E4D898AECE1E14A6F84D5" commented="no"><enum>(e)</enum><header>Nondiscrimination</header><paragraph commented="no" display-inline="no-display-inline" id="HDCE5C843B6FB491090E67BB1A161FA8A"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">For the purpose of applying the prohibitions against discrimination on the basis of age under the Age Discrimination Act of 1975 (<external-xref legal-doc="usc" parsable-cite="usc/42/6101">42 U.S.C. 6101 et seq.</external-xref>), of disability under section 504 of the Rehabilitation Act of 1973 (<external-xref legal-doc="usc" parsable-cite="usc/29/794">29 U.S.C. 794</external-xref>), on the basis of sex under title IX of the Education Amendments of 1972 (<external-xref legal-doc="usc" parsable-cite="usc/20/1681">20 U.S.C. 1681 et seq.</external-xref>), programs and activities funded or otherwise financially assisted in whole or in part under this Act by the Bank, directly or indirectly, are considered to be education programs and activities receiving Federal financial assistance.</text></paragraph><paragraph id="H5706D12DE4CC41D5A7C15C8B10DB7A28" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header>Compliance with Civil Rights Act of 1964</header><text>The Bank, along with contractors and subcontractors on infrastructure projects funded directly by, or assisted in whole or in part by the Bank, shall comply with titles VI and VII of the Civil Rights Act of 1964 as to hiring and awarding contracts to build projects. The Bank shall implement such titles, in part, by including language in loan agreements to require contracted work financed in whole or in part by the Bank to include an equal opportunity clause as set out in section 60–1.4 of title 41 of the Code of Federal Regulations.</text></paragraph></subsection><subsection id="H7895ACE229B345158B3995C53DE3DCDF" commented="no"><enum>(f)</enum><header>Minority, women, and disadvantaged business enterprise participation</header><text>For each fiscal year, the Bank shall ensure that not less than 10 percent of the financial assistance provided by the Bank is expended through small business concerns owned and controlled by socially and economically disadvantaged individuals or qualified HUBZone small business concerns (as those terms are defined in section 47113(a) of title 49, United States Code).</text></subsection><subsection id="H430CE386E1AA4FCFB103FEF5C39AE316"><enum>(g)</enum><header>Local hiring preference</header><paragraph commented="no" display-inline="no-display-inline" id="H6ABE80A04EDA4997818FDD155A42A83E"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">In providing financial assistance under this Act, the Bank shall ensure that recipients of financial assistance from the Bank implement a local, rural, or other geographic or economic hiring preference relating to the use of labor for construction of an infrastructure project funded by the assistance, including prehire agreements, subject to any applicable State and local laws, policies, and procedures, in partnership with a registered apprenticeship program (as defined in <external-xref legal-doc="usc" parsable-cite="usc/26/3131">section 3131(e)(3)(B)</external-xref> of the Internal Revenue Code of 1986), if applicable, or with a State board or local board (as those terms are defined in section 3 of the Workforce Innovation and Opportunity Act (<external-xref legal-doc="usc" parsable-cite="usc/29/3102">29 U.S.C. 3102</external-xref>)).</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HCCF72E4EE88D4311B34C0258190A575D"><enum>(2)</enum><header>Priority</header><text>In carrying out paragraph (1), the Bank shall ensure that recipients of financial assistance from the Bank give priority in hiring to—</text><subparagraph commented="no" display-inline="no-display-inline" id="H75A30E70EF114DF8BABE86FB66136ABA"><enum>(A)</enum><text display-inline="yes-display-inline">individuals with a barrier to employment (as defined in section 3 of the Workforce Innovation and Opportunity Act (<external-xref legal-doc="usc" parsable-cite="usc/29/3102">29 U.S.C. 3102</external-xref>)), including ex-offenders and disabled individuals;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H2AB567F33CF1412E975276EA69B6E737"><enum>(B)</enum><text>veterans; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HDB3D8ED19694432BA8B2700CB5AF3C25"><enum>(C)</enum><text>individuals that represent populations that are traditionally underrepresented in the infrastructure workforce, such as women and racial and ethnic minorities.</text></subparagraph></paragraph></subsection><subsection id="HDB10263D35264EC4AC94697C46515ED6" commented="no"><enum>(h)</enum><header>Infrastructure planning, coordination and nonduplication</header><text>To the maximum extent practicable, the Bank shall ensure that activities of the Bank are coordinated with, and do not duplicate the efforts of, any Federal or State department or agency.</text></subsection><subsection id="HB5486595596E4431958B69DF99C9F2DF"><enum>(i)</enum><header>State and local permits</header><text>The provision of financial assistance by the Bank with respect to an infrastructure project does not relieve any recipient of the assistance of any obligation to obtain required State and local permits and approvals with respect to the infrastructure project.</text></subsection></section><section id="H03989E06BBD9410FB17C11B54960526E" commented="no"><enum>214.</enum><header>Exemption from certain laws</header><subsection id="HC04421A8B45E45AF96AEB67F14D138BC" commented="no"><enum>(a)</enum><header>No budget authority for contracts or loans</header><text>Section 504(b) of the Federal Credit Reform Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/2/661c">2 U.S.C. 661c(b)</external-xref>) shall not apply to any contract or loan under this Act.</text></subsection><subsection id="H1DCC7F8F96C748ECAA09A8C69684C4E3" commented="no"><enum>(b)</enum><header>No priority as a Federal claim</header><text>Section 3713 of title 31, United States Code, shall not apply with respect to any indebtedness of the Bank.</text></subsection></section><section id="H917B458E3BD9424ABB404D49A9CDBFA8"><enum>215.</enum><header>Relations with local financial institutions</header><subsection id="HA3E2D62B42114B4DA9763D4E1286A96E"><enum>(a)</enum><header>Complementary provision of services</header><paragraph commented="no" display-inline="no-display-inline" id="H30F2C2789D7A410EB86142D8C0839B0A"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Except as provided in subsection (b), the Bank—</text><subparagraph commented="no" display-inline="no-display-inline" id="H7CF97E8DA5B34F55AD6D473E22679FE1"><enum>(A)</enum><text display-inline="yes-display-inline">shall conduct loan activities in partnership with local financial institutions; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H9E27123EDF1041D09DDE640AEF4767FD"><enum>(B)</enum><text display-inline="yes-display-inline">shall not compete with local financial institutions.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H8529746AA8F143C1BFAF64886AA6BFA1"><enum>(2)</enum><header>Partnership</header><text display-inline="yes-display-inline">A partnership under paragraph (1)(A) may include the participation of a local financial institution in loan requests, loan monitoring, or blended financing of project loans.</text></paragraph></subsection><subsection id="HF5EEF5E6F0D84DD6A3FC6CC57B37EF89"><enum>(b)</enum><header>Exception</header><text>The Bank may engage in loan activities without partnering with a local financial institution if those loan activities are not offered or provided by local financial institutions in the jurisdiction in which the loan is being provided.</text></subsection><subsection id="HA9FD610532834EC0A33B8FD1CBAAA29C"><enum>(c)</enum><header>Bank as a clearinghouse</header><text>For local financial institutions that make the Bank a reserve depositary, the Bank may perform the functions and render the services of a clearinghouse, including all facilities for providing domestic and foreign exchange, or rediscounting paper on such terms as the Board shall provide.</text></subsection></section><section id="HF9AE0E6AE44849238127010B703DBE51"><enum>216.</enum><header>Audits; reports to President and Congress</header><subsection id="HF81646378EFA46BA9345BFD44ADD44D0"><enum>(a)</enum><header>Accounting</header><text>The books of account of the Bank shall be—</text><paragraph commented="no" display-inline="no-display-inline" id="H7B1A6ADC1CBC4E1CB0E2E020C9B3310A"><enum>(1)</enum><text display-inline="yes-display-inline">maintained in accordance with generally accepted accounting principles as used in the United States; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H70084F9878C2442AA99E4FDCADF9506B"><enum>(2)</enum><text display-inline="yes-display-inline">subject to an annual audit by independent public accountants of nationally recognized standing, to be appointed by the Board.</text></paragraph></subsection><subsection id="H42213E8042C140CC91A71D24F26CFBE5"><enum>(b)</enum><header>Reports</header><paragraph id="H848F5428E027470B80CFF73909D3CB4E"><enum>(1)</enum><header>Board</header><text>Not later than 90 days after the end of each fiscal year, the Board shall submit to the President and Congress a complete and detailed report with respect to the preceding fiscal year that describes—</text><subparagraph id="HEDF1869E013746A9BF1222323CCEA464"><enum>(A)</enum><text>a summary of the operations of the Bank;</text></subparagraph><subparagraph id="H38F69742246B459391CD8A3A3764A2D7"><enum>(B)</enum><text>a schedule of the obligations of the Bank that are outstanding at the end of that preceding fiscal year, with a statement of the amounts issued and redeemed or paid during that preceding fiscal year; and</text></subparagraph><subparagraph id="H1495B1921E4B4FBEA9C1DBA1DB98BC22"><enum>(C)</enum><text>the status of infrastructure projects that have received funding or other assistance pursuant to this Act, including disclosure of all entities with a development, ownership, or operational interest in those infrastructure projects.</text></subparagraph></paragraph><paragraph id="HC50ABE1BF7AB40519F5C6AA4B1862176"><enum>(2)</enum><header>GAO</header><text>Not later than 5 years after the date of enactment of this Act, the Comptroller General of the United States shall submit to Congress a report evaluating activities of the Bank that includes an assessment of the impact and benefits of each funded infrastructure project, including a review of how effectively each infrastructure project accomplished the goals prioritized by the project criteria of the Bank.</text></paragraph></subsection><subsection id="H767EBB191F124A368B7833500F68ED40"><enum>(c)</enum><header>Books and records</header><paragraph id="H2A5C92287E56462CB82E5CDB4129D303"><enum>(1)</enum><header>In general</header><text>The Bank shall maintain adequate books and records to support the financial transactions of the Bank with a description of financial transactions and infrastructure projects receiving funding, and the amount of funding for each infrastructure project maintained on a publicly accessible database.</text></paragraph><paragraph id="H7663C47736154CB19509B27CF7591569"><enum>(2)</enum><header>Public comment period</header><text>The Bank shall provide a period of not less than 30 days for public comment on each infrastructure financing agreement posted on the database referred to in paragraph (1) before providing final financing for the infrastructure project.</text></paragraph><paragraph id="H7D7B6A8A900D4786B74711C729D7333E"><enum>(3)</enum><header>Audits by the secretary and GAO</header><text>The books and records of the Bank shall be open to inspection by the Secretary and the Comptroller General of the United States.</text></paragraph></subsection></section><section id="H3C75496D7DCE46F8AB1932A9C65C6EA1"><enum>217.</enum><header>Budgetary effects</header><text display-inline="no-display-inline">The budgetary effects of this Act, for the purpose of complying with the Statutory Pay-As-You-Go Act of 2010, shall be determined by reference to the latest statement titled <quote>Budgetary Effects of PAYGO Legislation</quote> for this Act, submitted for printing in the Congressional Record by the Chairman of the House Budget Committee, provided that such statement has been submitted prior to the vote on passage.</text></section><section id="H06B857DFD8FD4D26B3289F101A4FC956"><enum>218.</enum><header>Authorization of appropriations</header><text display-inline="no-display-inline">There is authorized to be appropriated $50,000,000 for each of fiscal years 2025 and 2026 for the initial organization of the Bank, the Board, and Bank staff.</text></section></title></legis-body></bill>
