<section id="H0D7C068C406444129CC6927B9C58DDAF" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>DFC Modernization Act of 2025</short-title></quote>.</text></section> <section id="H22CE2111F3DE4F30A7FAA9E500161A27"><enum>2.</enum><header>Sense of Congress; statement of policy</header> <subsection id="HD5DFC8BD806242EB9D71D3D4234B91FE"><enum>(a)</enum><header>In general</header><text>It is the sense of Congress that the United States International Development Finance Corporation should seek to responsibly increase its risk tolerance in investments to ensure that the Corporation is maximizing the mobilization of private capital and properly pursuing its statutory objectives of advancing United States foreign policy, economic development, and national security goals to make America safer, stronger, and more prosperous, including—</text> 
<paragraph id="H1F2950482ADD46DAADACDA7049E06254"><enum>(1)</enum><text>by more frequent use of one or more of a variety of tools to mitigate risk to the private sector, including the use of equity, hybrid securities, mezzanine debt, accepting creditor status that is subordinate to that of other creditors, using partial guarantees, employing first loss coverage, insurance, and using blended finance;</text></paragraph> <paragraph id="HB2151398CA0E4EC0AE9038211D9C5D3F"><enum>(2)</enum><text>by lending, investing, or offering insurance in high-risk countries, regions, or sectors as a means to achieve its mission as a United States foreign policy and development agency of economic statecraft to mobilize capital, secure strategic needs, and build private markets;</text></paragraph> 
<paragraph id="H29EFAF69F7124CA8BE887FAA2F199AED"><enum>(3)</enum><text>by preventing strategic competitor inroads and dominance of key sectors such as infrastructure, critical and rare earth minerals, and critical supply chains and industries, which is in the economic and national security interests of the United States; and</text></paragraph> <paragraph id="H04563BB888024EFEA231C740B3872465"><enum>(4)</enum><text>by assisting allied and partner countries in achieving energy security through diversification of their energy sources and supply routes which is in the economic and national security interests of the United States.</text></paragraph></subsection> 
<subsection id="HC907E220FEA442B59FF48F054CAA31A7"><enum>(b)</enum><header>Statement of policy</header><text>It is the policy of the United States—</text> <paragraph id="H9ED572CA260346B28381B4C98E45AC85"><enum>(1)</enum><text>to advance United States foreign policy, national security, and economic development goals by facilitating market-based private sector development in countries to make America safer, stronger, and more prosperous;</text></paragraph> 
<paragraph id="H259CE1BDFFC04C7E8F0FC8F17946C9AE"><enum>(2)</enum><text>to counter or limit strategic competitor inroads and dominance of key sectors such as infrastructure, critical and rare earth minerals, and critical supply chains and industries through support of diversified private sector options and by providing a robust alternative to and reducing reliance on state-directed, unsustainable financing by strategic competitors of the United States;</text></paragraph> <paragraph id="H97EF60AA65874AB5ABB4AF6409F9C9BB"><enum>(3)</enum><text>to advance United States foreign policy, national security, and economic development goals by assisting countries to reduce their dependence on resources from countries that use dependence for undue malign influence and that have used natural gas, nuclear energy, oil, rare earths, critical and strategic materials, and other resources to coerce, intimidate, and influence other countries;</text></paragraph> 
<paragraph id="H6B6E1B9D7EF8465CA2D1375C75386D88"><enum>(4)</enum><text>to promote the energy security of allied and partner countries by encouraging the development of accessible, transparent, and competitive energy markets that provide diversified sources, energy types, and diversified energy transport and distribution methods and routes, which are in the economic and national security interests of the United States;</text></paragraph> <paragraph id="HFFB1D9C37D3E44F3BF33B460DF56C372"><enum>(5)</enum><text>to encourage United States public and private sector investment in energy, telecommunications, and other infrastructure projects in allied and partner countries to bridge the gap between security requirements and commercial demand consistent with the country’s absorptive capacity;</text></paragraph> 
<paragraph id="H8306F42490A945ADADBF2A3C333F72F4"><enum>(6)</enum><text>to facilitate the export of United States energy, telecommunications, technology, expertise, and other resources to global markets in a way that benefits the economic and national security interests of the United States;</text></paragraph> <paragraph id="HF4237EE29EA14ACD8BE7A04B3B243D0B"><enum>(7)</enum><text>to support private sector development in countries that promote economic prosperity in a manner that can help to curb illegal migration and secure the borders of the United States;</text></paragraph> 
<paragraph id="HFCBF34DBCC9E43E3940F3452340AE38D"><enum>(8)</enum><text>to facilitate procurement of necessary resources and supply chains for the benefit of the United States and its citizens; and</text></paragraph> <paragraph id="H75B926D805174A1AAF4DEDDA3F1979D3"><enum>(9)</enum><text>to facilitate market-based private sector development and economic growth through the provision of credit, capital, and other financial support by taking on substantial financial risk, and when necessary financial losses, to unlock new, significant private capital investments or achieve or advance major United States foreign policy objectives. Losses may be expected, in certain instances, at the individual investment level and financial performance may be measured at the overall portfolio level.</text></paragraph></subsection></section> 
<title id="H590A57F20A2D49C380955AC4E05835BB"><enum>I</enum><header>DEFINITIONS AND LESS DEVELOPED COUNTRY FOCUS</header> 
<section id="H9D053DB00DF542E1B32FA809C77754B2"><enum>101.</enum><header>Definitions</header><text display-inline="no-display-inline">Section 1402 of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9601">22 U.S.C. 9601</external-xref>) is amended—</text> <paragraph id="H3FE43F7B496F4B85A21C59BC376C6B63"><enum>(1)</enum><text>by redesignating paragraphs (2), (3), and (4) as paragraphs (3), (4), and (5), respectively;</text></paragraph> 
<paragraph id="H7D71CD4AD9ED440494602F363AE48BA2"><enum>(2)</enum><text>by inserting after paragraph (1) the following:</text> <quoted-block id="HB1591E205A1E472796E3A0122DBABBE2" style="OLC"> <paragraph id="H36997C435EB547E4A12F4850606E7912"><enum>(2)</enum><header>High-income country</header><text>The term <term>high-income country</term> means a country with a high-income economy, as defined by International Bank for Reconstruction and Development and the International Development Association (collectively referred to as the <quote>World Bank</quote>).</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></paragraph> 
<paragraph id="HF2A907F0D0FC49C1B67F48A12B3AD987"><enum>(3)</enum><text>in paragraph (5), as so redesignated—</text> <subparagraph id="H6CD57C68E0794A10A7B49D91A44DD111"><enum>(A)</enum><text>in subparagraph (A), by striking <quote>or</quote> at the end;</text></subparagraph>

<subparagraph id="H983752EF10464496BB590C89BF037F38" commented="no"><enum>(B)</enum><text>The Republic of Cuba.</text></subparagraph> <subparagraph id="H621A60AB2BFF43048EB096A83A6ABC91" commented="no"><enum>(C)</enum><text>The Democratic People’s Republican of Korea.</text></subparagraph> 
<subparagraph id="H9B327C21C93548A2B03249F95FB8989E" commented="no"><enum>(D)</enum><text>The Islamic Republic of Iran.</text></subparagraph> <subparagraph id="HA638D1AD3E384ADF9E1C55FCAAF3192E" commented="no"><enum>(E)</enum><text>The People’s Republic of China.</text></subparagraph>

<section id="H1DDF9126BAED4E6F8B6BC28A7C0ED24B"><enum>102.</enum><header>Less developed country focus</header> <text display-inline="no-display-inline">Section 1412 of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9612">22 U.S.C. 9612</external-xref>) is amended—</text> <paragraph id="HD3748DA58BAC475E84076B2CFFACB85F"><enum>(1)</enum><text>by inserting <quote>and high income countries and areas, as appropriate,</quote> after <quote>less developed countries</quote>; and</text></paragraph> 
<paragraph id="H6ED90EDD1A8047999BF3E18D30582A28"><enum>(2)</enum><text>by adding at the end the following:</text> <quoted-block id="HB1C0C92746B94F34B1342021A42C2A95" style="OLC"> <paragraph id="H17CEB7FFDC3746B6AD05C2B41FC820EE"><enum>(3)</enum><header>Support in high-income countries and areas</header><text>The Corporation shall restrict the provision of support under title II in high-income countries and areas unless the President certifies to the appropriate congressional committees that such support furthers the national economic or foreign policy interests of the United States.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section></title> 
<title id="HD25F5C199DBD4530A641F5305438B323"><enum>II</enum><header>MANAGEMENT OF CORPORATION</header> 
<section id="H0C62BD7459894703BBA9A9EEC71951F0"><enum>201.</enum><header>Board of Directors</header><text display-inline="no-display-inline">Section 1413(b) of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9613">22 U.S.C. 9613(b)</external-xref>) is amended—</text> <paragraph id="H94CBBB943E1A45E9B869E5207F168D4B"><enum>(1)</enum><text>in subparagraph (2)(A)(iii), by striking <quote>5 individuals</quote> each place it appears and inserting <quote>3 individuals</quote>;</text></paragraph> 
<paragraph id="H7D53254AAEA14B7B9A4EE998369F64AD"><enum>(2)</enum><text>in subparagraph (2)(B)(i), by striking subclause III and inserting the following:</text> <quoted-block style="OLC" id="H0B94761E11FE48F88B58B0A3B8A6536A" display-inline="no-display-inline"> <subclause id="HD68B5B67611843B8BA07730F2E7B4632"><enum>(III)</enum><text display-inline="yes-display-inline">One other principal officer from an executive Department designated by the President.</text></subclause><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph> 
<paragraph id="H8D554AFEDFB840A680DBE280A72F7E1E"><enum>(3)</enum><text>by striking subparagraph (4) and inserting the following:</text> <quoted-block id="H419B8DFF614D49E381E0D90ECCA36A84" style="OLC"> <paragraph id="H7DB8E338CED741A59BDE756015A2B62E"><enum>(4)</enum><header>Vice chairperson</header><text>The President shall appoint a member of the Board to serve as the Vice Chairperson of the Board.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section> 
<section id="HCD00082642BE42FBB054ECF6CA51621C"><enum>202.</enum><header>Chief Risk Officer</header><text display-inline="no-display-inline">Section 1413(f) of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9613">22 U.S.C. 9613(f)</external-xref>) is amended—</text> <paragraph id="H972988AB699243A9BDEF8480D1E1DB87"><enum>(1)</enum><text display-inline="yes-display-inline">in the matter preceding subparagraph (A), by striking <quote>, who—</quote> and inserting a period;</text></paragraph> 
<paragraph id="HCB5063B74FA44A1581AA2B6D1609650C"><enum>(2)</enum><text>in paragraph (1), by striking subparagraphs (A) and (B); and</text></paragraph> <paragraph id="HC58997823BE24D058D183CB175E12A72"><enum>(3)</enum><text>in paragraph (2), by striking <quote>audit</quote> and inserting <quote>risk</quote>.</text></paragraph></section>

<subsection id="H76809E0D379248ECBE3D679303B1A0D9"><enum>(a)</enum><header>In general</header><text>Section 1413 of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9613">22 U.S.C. 9613</external-xref>) is amended—</text> <paragraph id="H875A8BBB04794CC5B580BB11A2120F21"><enum>(1)</enum><text>in subsection (a), by striking <quote>a Chief Development Officer,</quote>;</text></paragraph> 
<paragraph id="H584D59ACF8494F7EBC36F3AE3B455179"><enum>(2)</enum><text>by striking subsection (g) and redesignating subsections (h) and (i) as subsections (g) and (h), respectively;</text></paragraph> <paragraph id="HFDE49BAFEA7043A996D27E663CDE6085"><enum>(3)</enum><text>in subsection (g) as so redesignated, by striking paragraph (1) and inserting the following:</text>

<subsection id="H6C6E01837D264E78B34FF42641934A6E"><enum>(a)</enum><header>In general</header><text>The Chief Executive Officer shall—</text> <paragraph id="H749992E70D01494AAD1504D6AE83A58E"><enum>(1)</enum><text>develop a strategic relationship with private sector entities focused at the nexus of business opportunities and development priorities;</text></paragraph> 
<paragraph id="HB86B4A279ED7442A98C1CEB15A890F50"><enum>(2)</enum><text>engage such entities and reduce business risks primarily through direct transaction support and facilitating investment partnerships;</text></paragraph> <paragraph id="H3293D08959BF4652975AC98995A30510"><enum>(3)</enum><text>develop and support tools, approaches, and intermediaries that can mobilize private finance at scale in the developing world; and</text></paragraph> 
<paragraph id="H308DBA5765C042D9A128D390C7F08CF6"><enum>(4)</enum><text>pursue highly developmental projects of all sizes, especially those that are small but designed for work in the most underdeveloped areas, including countries with chronic suffering as a result of extreme poverty, fragile institutions, or a history of violence.</text></paragraph></subsection><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph> <paragraph id="HE9072B5A854E44F898D12A2D9B86A7D3" commented="no"><enum>(2)</enum><text>in subsection (c), by striking <quote>the United States Agency for International Development and</quote>.</text></paragraph></subsection></section> 
<section id="HC8C56F5F461A4EBFAE173FE82CA15AB6"><enum>204.</enum><header>Administratively determined positions</header><text display-inline="no-display-inline">Section 1413(g)(2) of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9613">22 U.S.C. 9613(g)(2)</external-xref>), as so redesignated, is amended in subparagraph (A) by striking <quote>50</quote> and inserting <quote>100</quote>.</text></section></title> <title id="H2DEE5D10B3944577AC4E3187863D2DE4"><enum>III</enum><header>AUTHORITIES RELATING TO PROVISION OF SUPPORT</header> <section id="HCF093C2989654E5EA6C97D68DAFD6B3A"><enum>301.</enum><header>Equity limitation</header><text display-inline="no-display-inline">Section 1421(c)(4)(A) of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9621">22 U.S.C. 9621(c)(4)(A)</external-xref>) is amended by striking <quote>30</quote> and inserting <quote>49</quote>.</text></section> 
<section id="HA0FED4B9F1FF4E25B89405DC683FE082"><enum>302.</enum><header>Revolving equity investment account</header> 
<subsection id="H8FD5CE97F5584A1FA1D65BC20C242B89"><enum>(a)</enum><header>Equity Investments Account</header><text>Section 1421(c) of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9621">22 U.S.C. 9621(c)</external-xref>) is amended by adding at the end the following:</text> <quoted-block id="H8FE19D3AD8984B478D2D500A41F95FA6" style="OLC"> <paragraph id="H02D325091CD44762BBE842263EEEE4B9"><enum>(7)</enum><header>Equity Investments Account</header> <subparagraph id="HD24D9908F5B44F23AEF264D97210693B"><enum>(A)</enum><header>Establishment</header><text>There is established in the Treasury of the United States an Equity Investments Account of the United States International Development Finance Corporation (referred to in this subsection as the <quote>Equity Investments Account</quote>).</text></subparagraph> 
<subparagraph id="H7120E83EF44044998CC17B3DCD2F4184"><enum>(B)</enum><header>Retention of collections</header><text>Collections derived from the earnings, fees, credits, and other collections from the equity investments made using amounts in the Equity Investments Account shall be deposited into the Equity Investments Account, and shall be available to the Corporation without further appropriation or fiscal year limitation for carrying out the purposes of this section.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> <subsection id="HCD83BE98BFF84E69A407BEA6ECB56DA7"><enum>(b)</enum><header>Collections</header><text>Section 1434(h) of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9634">22 U.S.C. 9634(h)</external-xref>) is amended by adding <quote>except earnings, fees, credits, and other collections related to equity investments from the Equity Investments Account,</quote> after <quote>earnings collected related to equity investments,</quote>.</text></subsection></section> 
<section id="HD8DB157CC25C4CDBA609BAC154B3CE59"><enum>303.</enum><header>Enterprise funds</header> <text display-inline="no-display-inline">Section 1421(g) of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9621">22 U.S.C. 9621(g)</external-xref>) is amended—</text> <paragraph id="HB0C2E031648A4310BFB2624DF2442EE3"><enum>(1)</enum><text>in paragraph (1), by striking <quote>the Administrator of the United States Agency for International Development,</quote>; and</text></paragraph> 
<paragraph id="H6575C119326B41D9979010D3943EAB13"><enum>(2)</enum><text display-inline="yes-display-inline">in paragraph (3)(E), by striking <quote>Agency for International Development</quote>.</text></paragraph></section> <section id="H9432D835046F49749F165D439E0D764A"><enum>304.</enum><header>Termination</header><text display-inline="no-display-inline">Section 1424(a) of the Better Utilization of investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9624">22 U.S.C. 9624(a)</external-xref>) is amended by striking <quote>the date that is 7 years after the date of the enactment of this Act</quote> and inserting <quote>December 31, 2031</quote>.</text></section></title>

<section id="HD0B378E026CE44CAA3291D4A7D397E44"><enum>401.</enum><header>Corporate powers</header><text display-inline="no-display-inline">Section 1432(a) of the Better Utilization of Investments Leading to Development Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/9632">22 U.S.C. 9632(a)</external-xref>) is amended—</text> <paragraph id="HFFC2495B714A4B1EA0C2777EC495AF36"><enum>(1)</enum><text>in paragraph (2), by striking <quote>division C of subtitle I of</quote>; and</text></paragraph>

 <text>The Corporation shall develop appropriate policies and guidelines for support provided under title II for a project involving a state-owned enterprise, sovereign wealth fund, or a parastatal entity to ensure such support is provided consistent with appropriate principles and practices of competitive neutrality.</text>
            </paragraph>

              <enum>(2)</enum>
              <header>Prohibitions</header>
              <subparagraph id="H41BB611CE8264879855C2CE912B098D1">
                <enum>(A)</enum>
                <header>Anticompetitive practices</header>
 <text>The Corporation may not provide support under title II for a project that involves a private sector entity engaged in anticompetitive practices.</text>
              </subparagraph>
              <subparagraph id="HDCFACE81ED8B48EAB64875B387125B44">
                <enum>(B)</enum>
                <header>Countries of concern</header>
 <text>The Corporation may not provide support under title II for projects—</text> <clause id="H643EC2A26BD54F48806143A960989DBB"> <enum>(i)</enum> <text>that involve partnerships with the government of a country of concern or a state-owned enterprise that belongs to or is under the control of a foreign country of concern; or</text>
                </clause>

                  <enum>(ii)</enum>
 <text>that would be operated, managed, or controlled by the government of a country of concern or a state-owned enterprise that belongs to or is under the control of a foreign country of concern.</text>

            </paragraph>

              <enum>(3)</enum>
              <header>Definitions</header>
 <text>In this subsection:</text> <subparagraph id="H8E91CF07E2A64923979B5CBAF191C68C"> <enum>(A)</enum> <header>State-owned enterprise</header> <text>The term <term>state-owned enterprise</term> means any enterprise established for a commercial or business purpose that is directly owned or controlled by one or more governments, including any agency, instrumentality, subdivision, or other unit of government at any level of jurisdiction.</text>
              </subparagraph>
              <subparagraph id="H4B753B5D353A437A8C5679CA2D998D8A">
                <enum>(B)</enum>
                <header>Control</header>
 <text>The term <term>control</term>, with respect to an enterprise, means the power by any means to control the enterprise regardless of—</text>

                  <enum>(i)</enum>
 <text>the level of ownership; and</text> </clause> <clause id="H04AB223F4F6D4761B6E351AF44311699"> <enum>(ii)</enum> <text>whether or not the power is exercised.</text>
                </clause>
              </subparagraph>
              <subparagraph id="H424F7BD2D0154F52B61992F6F3AEDD7D">
                <enum>(C)</enum>
                <header>Owned</header>
 <text>The term <term>owned</term>, with respect to an enterprise, means a majority or controlling interest, whether by value or voting interest, of the shares of that enterprise, including through fiduciaries, agents, or other means.</text>
              </subparagraph>
            </paragraph>
            <paragraph id="H9FC7A38C01ED41DFBD7B1CA94EB526B9" commented="no">
              <enum>(4)</enum>
              <header>Qualifying sovereign entity</header>
 <text>State-owned enterprises, sovereign wealth funds, or parastatal entities that the Corporation supports, pursuant to the policy and prohibitions in section 407 (1) and (2), shall be considered as a <quote>qualifying sovereign entity</quote> as defined in section 1402.</text>
            </paragraph>
