<section id="H81A0FA04D18F4457931E33F9FAF4FB83" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Ethics in Energy Act of 2025</short-title></quote>.</text></section> <section id="HDB33129DAA154F6A904AA8F77F5DE9D7"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text> 
<paragraph id="H78305B4B5B4F4FB89C3F930A2C76B281"><enum>(1)</enum><header>Centralized service company</header><text>The term <term>centralized service company</term> has the meaning given the term in section 367.1(a) of title 18, Code of Federal Regulations (or a successor regulation).</text></paragraph> <paragraph id="H81747BB52B994D999FD40B14A7590E55"><enum>(2)</enum><header>Commission</header><text>The term <term>Commission</term> means the Federal Energy Regulatory Commission.</text></paragraph> 
<paragraph id="H437C2268E0054AD2B0613BC58EF4370D"><enum>(3)</enum><header>Covered expense</header><text>The term <term>covered expense</term> means a direct or indirect expense paid by a covered utility to—</text> <subparagraph id="HB6F74FD5369C476996754D3C07C15A99"><enum>(A)</enum><text>an external entity to perform political influence activities;</text></subparagraph> 
<subparagraph id="H1BFDBB6DB5C74552B974971F0BC7CAAD"><enum>(B)</enum><text>a centralized service company, parent company, or other corporate affiliate—</text> <clause id="H30D93322CF1741478185F23D4C80081F"><enum>(i)</enum><text>to perform a political influence activity; and</text></clause> 
<clause id="HCF00230464CD43BBA1DB712A3678816C"><enum>(ii)</enum><text>that invoices that covered utility for the expenses related to that political influence activity; or</text></clause></subparagraph> <subparagraph id="H9493C589934D4D51B61C6511CAABAE8C"><enum>(C)</enum><text>an employee of that covered utility, in the form of a salary, that performs a political influence activity.</text></subparagraph></paragraph> 
<paragraph id="HA7568B2411274E3F836AE5FC5FD5447B"><enum>(4)</enum><header>Covered utility</header><text>The term <term>covered utility</term> means—</text> <subparagraph id="H340CD8BAD6564D16AD1A082201ADB39E"><enum>(A)</enum><text>an electric utility company (as defined in section 367.1(a) of title 18, Code of Federal Regulations (or a successor regulation)) that had, in each of the 3 previous calendar years, sales or transmission services that exceeded—</text> 
<clause id="H13905041710D45FFA14C44C842AC00C1"><enum>(i)</enum><text>1,000,000 megawatt-hours of total annual sales;</text></clause> <clause id="H00AECA732833401E913A6B0914AA8A71"><enum>(ii)</enum><text>100 megawatt-hours of annual sales for resale;</text></clause> 
<clause id="HCEA54212099E47DC8F27BD2DD0D8CB20"><enum>(iii)</enum><text>500 megawatt-hours of annual power exchanges delivered; or</text></clause> <clause id="HBE5CA40123C147CAA857E1B6D2B75332"><enum>(iv)</enum><text>500 megawatt-hours of annual wheeling;</text></clause></subparagraph> 
<subparagraph id="H0B719A3FB7D04A7D97EAA91B8E4BC4BA"><enum>(B)</enum><text>a major natural gas company; and</text></subparagraph> <subparagraph id="H68C0328F59F6419B855985328187389B"><enum>(C)</enum><text>a centralized service company.</text></subparagraph></paragraph> 
<paragraph id="H916CC3C3A8BE43728D619E1367FD98AE"><enum>(5)</enum><header>Major natural gas company</header><text>The term <term>major natural gas company</term> means a natural-gas company (as defined in section 2 of the Natural Gas Act (<external-xref legal-doc="usc" parsable-cite="usc/15/717a">15 U.S.C. 717a</external-xref>)) whose combined gas transported or stored for a fee exceed 50,000,000 Dth in each of the 3 previous calendar years.</text></paragraph> <paragraph id="HDF1694CF1712422BBDA550303BBAA206"><enum>(6)</enum><header>Political influence activity</header><text>The term <term>political influence activity</term> includes—</text> 
<subparagraph id="H05CC6D6500E842FC9AB28CC6EC45294C"><enum>(A)</enum><text>any expense for the purpose of directly or indirectly influencing the possible—</text> <clause id="HEF36C012E11D4096B36B31ED87C8676D"><enum>(i)</enum><text>adoption of Federal, State, or local regulations, legislation, or ordinances; or</text></clause> 
<clause id="H07A0DC86ADA44980AA0ACD097B25B073"><enum>(ii)</enum><text>repeal or modification of existing Federal, State, or local regulations, legislation, or ordinances;</text></clause></subparagraph> <subparagraph id="H1435BF12FF1A4E5C951EBC09265CC7AF"><enum>(B)</enum><text>any expense for the purpose of directly or indirectly influencing elections or appointments of public officials or referenda;</text></subparagraph> 
<subparagraph id="H9F30CA0C914C4C6C9245598D828280CE"><enum>(C)</enum><text>any expense for the purpose of directly or indirectly influencing the approval, modification, or revocation of utility franchises;</text></subparagraph> <subparagraph id="HDA6A29EC58964BAEA437FFBA2B1115D1"><enum>(D)</enum><text>any expense for the purpose of directly or indirectly influencing the public opinion with respect to Federal, State, or local—</text> 
<clause commented="no" display-inline="no-display-inline" id="H311A8385FA684EECA954127E60B6844E"><enum>(i)</enum><text display-inline="yes-display-inline">regulations, legislation, or ordinances;</text></clause> <clause commented="no" display-inline="no-display-inline" id="H745CE962B38944ECB8C5BD8B1B4B48E4"><enum>(ii)</enum><text display-inline="yes-display-inline">elections;</text></clause> 
<clause commented="no" display-inline="no-display-inline" id="H7DC3B1B8AB014E769ECEF63E4994475E"><enum>(iii)</enum><text display-inline="yes-display-inline">referenda; or</text></clause> <clause commented="no" display-inline="no-display-inline" id="H496F57A6DC4744F2B086C79C17C25013"><enum>(iv)</enum><text display-inline="yes-display-inline">utility rate setting;</text></clause></subparagraph> 
<subparagraph id="H0A6CB72094B24B2C9CD6B3F2E97AEAD5"><enum>(E)</enum><text>any expense for the purpose of directly or indirectly influencing the decisions of Federal, State, or local government officials;</text></subparagraph> <subparagraph id="HCFCEAA519DCC4E8DBCF74A0BFDB83E29"><enum>(F)</enum><text>any expense relating to attendance or participation in, preparation for, or appeal of any formal proceeding before a regulatory commission;</text></subparagraph> 
<subparagraph id="HDB44D3E67AFB4EAEBB8C0CC14A8DE6B4"><enum>(G)</enum><text>dues or fees paid to trade associations or industry associations;</text></subparagraph> <subparagraph id="H64762AEAAB134612893A1F1C96775FC3"><enum>(H)</enum><text>any contributions or other payments to an organization described in paragraph (3) or (4) of <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501(c)</external-xref> of the Internal Revenue Code of 1986; and</text></subparagraph> 
<subparagraph id="H01F5176E0383403DA3EC04323294D9B2"><enum>(I)</enum><text>advertising, marketing, or public relations expenses designed for the purpose of—</text> <clause id="H261B9671D28541948F470EE84B56EB27"><enum>(i)</enum><text>influencing public opinion;</text></clause> 
<clause id="HE0E005207BB04177AF2775B189931E1A"><enum>(ii)</enum><text>increasing goodwill toward a covered utility from the public or from public officials;</text></clause> <clause id="H9A5144E850C342F4B3B3FE7EF3CCBA89"><enum>(iii)</enum><text>improving the reputation of a covered utility; or</text></clause> 
<clause id="H33968625D5E24F08BCAA40C178C1055D"><enum>(iv)</enum><text>promoting or retaining the service provided by a covered utility.</text></clause></subparagraph></paragraph></section> <section id="H976506EDEBE1470999046C1AD5E655FE"><enum>3.</enum><header>Prohibition against recovering political activity expenses from ratepayers</header> <subsection id="H970E021AB0464A7A873B7EDC6846D08F"><enum>(a)</enum><header>Regulations</header><text>Not later than 18 months after the date of enactment of this Act, the Commission shall promulgate regulations—</text> 
<paragraph id="H611FC055C2314C75B86F28B3AA588A4C"><enum>(1)</enum><text>to prohibit covered utilities from recovering covered expenses from ratepayers in proceedings before the Commission, in accordance with this section; and</text></paragraph> <paragraph id="H3BAA41D0B1DB4787BA6200D83E29D104"><enum>(2)</enum><text>to amend the applicable Uniform System of Accounts in title 18, Code of Federal Regulations (or successor regulations), to instruct covered utilities to place covered expenses in accounts that are presumptively not recoverable from ratepayers, in accordance with this section.</text></paragraph></subsection> 
<subsection id="HAF2066A792774813B2BF52E7171E933A"><enum>(b)</enum><header>Report</header> 
<paragraph id="H4175D36D4B60409A9D456FFECE469C2F"><enum>(1)</enum><header>In general</header><text>The Commission shall require that, not later than 18 months after the date of enactment of this Act, and annually thereafter, each covered utility shall submit to the Commission a report containing—</text> <subparagraph id="H25D721E905A248B29EE17CC5483544A6"><enum>(A)</enum><text>an itemized list of expenses of the preceding year recorded in accounts relating to—</text> 
<clause id="H395BAA145BB94E91A94FEEB0A75ADC2B"><enum>(i)</enum><text>covered expenses;</text></clause> <clause id="H83AA32A3CA9B41B49CFDA097A28FB471"><enum>(ii)</enum><text>outside services or vendors; and</text></clause> 
<clause id="H6A02D71C6F134F5886EA3456E6063E68"><enum>(iii)</enum><text>the operations of the covered utility with respect to administrative and general expenses; and</text></clause></subparagraph> <subparagraph id="HB7D2AF93AE3440C7B9932C033540D7BB"><enum>(B)</enum><text>for each expense or cost described in clauses (i) through (iii) of subparagraph (A), unredacted information with respect to each of the matters described in paragraph (2) that are applicable to that expense or cost.</text></subparagraph></paragraph> 
<paragraph commented="no" display-inline="no-display-inline" id="HF72EC270A0864E81815204055452CDE8"><enum>(2)</enum><header>Matters described</header><text>The matters referred to in paragraph (1)(B) for the expenses and costs described in clauses (i) through (iii) of paragraph (1)(A) are the following:</text> <subparagraph id="H57CC654402F840B5ABFF1E95E74528D9"><enum>(A)</enum><text>Billing amounts.</text></subparagraph> 
<subparagraph id="H4ABB8738C5BA4E69AC1957EE19BEFB49"><enum>(B)</enum><text>Billing dates.</text></subparagraph> <subparagraph id="HB382BD5977984790A19636F59D584D20"><enum>(C)</enum><text>The identity of each payee for any external consultants or contracts.</text></subparagraph> 
<subparagraph id="H7C823F80423942FA901EEC7D989F6806"><enum>(D)</enum><text>In the case of a payment made to a third-party vendor by a centralized service company, parent company, or other corporate affiliate of the covered utility, the identity of that third-party vendor.</text></subparagraph> <subparagraph id="HE4AF1347BFB64CAA8C575C9BF75651A1"><enum>(E)</enum><text>The job title, portion of salaries, and expenses, and all Uniform System of Account codes to which compensation was recorded for the employee, of covered utility staff with respect to any work performed relating to a covered expense.</text></subparagraph> 
<subparagraph id="H438DF9E2A5B94C15A48540B3A3D46AB8"><enum>(F)</enum><text>An explanation of the expense or cost that is sufficient to describe the purpose of the expense or cost.</text></subparagraph></paragraph> <paragraph id="H5CCE200E22614538A8B3AE24078E7480"><enum>(3)</enum><header>Reporting minimum removed</header><text>With respect to any annual form that a covered utility submits to the Commission having a reporting threshold of $250,0000, the Commission shall remove that reporting threshold for the reporting of transactions with associated or affiliated companies on that annual form.</text></paragraph></subsection> 
<subsection id="HF0CC6E1578724AA8A6F850DC78CEF129"><enum>(c)</enum><header>Enforcement</header> 
<paragraph id="H9D85BDF6C4E44253ADA4EB1CAAB0439E"><enum>(1)</enum><header>In general</header><text>The Commission shall monitor and investigate compliance and noncompliance with the regulations promulgated under this section.</text></paragraph> <paragraph id="H461E6DC5F727407599AD5B28967C2315"><enum>(2)</enum><header>Penalty</header> <subparagraph commented="no" display-inline="no-display-inline" id="HDA4A974515734131A8A7FC78B5FC9CD2"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">In addition to any refunds that the Commission orders a covered utility to pay ratepayers, the Commission shall assess a penalty in accordance with subparagraph (B) against a covered utility that violates or fails or refuses to comply with the regulations promulgated under this section by charging a ratepayer a covered expense.</text></subparagraph> 
<subparagraph commented="no" display-inline="no-display-inline" id="H4BF54951A74B4C08ABA85EB312AF8285"><enum>(B)</enum><header>Amount of penalty</header> 
<clause commented="no" display-inline="no-display-inline" id="H4B17847314F54DEAA774CA09A0D33217"><enum>(i)</enum><header>In general</header><text display-inline="yes-display-inline">Subject to clause (ii), a penalty assessed under subparagraph (A) shall be—</text> <subclause id="H0EFE20361C0E4C02B37794DE6E3C6123"><enum>(I)</enum><text>for a covered expense charged to ratepayers in an amount less than $1,000,000, not less than the amount of that covered expense;</text></subclause> 
<subclause id="H695E26F0A6D34FCBB31A17071E1B536C"><enum>(II)</enum><text>for a covered expense charged to ratepayers in an amount not less than $1,000,000 and not more than $10,000,000, not less than double the amount of that covered expense; and</text></subclause> <subclause id="H1448B51173404C8897EF9575BFFB8710"><enum>(III)</enum><text>for a covered expense charged to ratepayers in an amount more than $10,000,000, not less than triple the amount of that covered expense.</text></subclause></clause> 
<clause commented="no" display-inline="no-display-inline" id="H65CDA30C2E9243AA9D170B5AEAF71B36"><enum>(ii)</enum><header>Limitation</header><text>The amount of a penalty assessed under subparagraph (A) shall be not more than 20 times the amount of the applicable covered expense.</text></clause></subparagraph></paragraph> <paragraph id="H25D680F7488248D8996D04EAF6683C5C"><enum>(3)</enum><header>No recovery from ratepayers</header><text>Covered utilities that are subject to a penalty under this subsection may not recover that penalty from ratepayers.</text></paragraph> 
<paragraph id="HC59FBA6EC04F4CEAA4C826E272BA310D"><enum>(4)</enum><header>Penalty distribution</header><text>With respect to each penalty assessed and collected under this subsection—</text> <subparagraph commented="no" display-inline="no-display-inline" id="H8979E1AAA1094B58831270E9BA00C14D"><enum>(A)</enum><text display-inline="yes-display-inline">½ of that penalty shall be distributed to ratepayers, through a rebate; and</text></subparagraph> 
<subparagraph commented="no" display-inline="no-display-inline" id="H414E879BEC8E40368C6FFA29DD1CFD12"><enum>(B)</enum><text display-inline="yes-display-inline">½ of that penalty shall be distributed to the Commission for the purpose of increasing resources for enforcing this section.</text></subparagraph></paragraph> <paragraph id="H7977E5759BFA48BCB45A1FBCAE7B0191"><enum>(5)</enum><header>Rule of construction</header><text>Nothing in this Act prevents the Commission from issuing refunds or rebates to ratepayers for a covered expense that was recovered by a covered utility on a date before the date of enactment of this Act.</text></paragraph></subsection></section>
