and</text></paragraph><paragraph id="H377BF76F94DC431EB66D9F5AEC57B192"><enum>(2)</enum><text>in subparagraph (C)(i), by striking <quote>$10,000,000</quote> and inserting <quote>$50,000,000</quote>.</text></paragraph></section><section id="HB23EA1C31B314A9CBE185CB5477D4430"><enum>3.</enum><header>Study and rulemaking</header><subsection id="HE95549DA16A74E01A1B8669F1A22B557"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Beginning 5 years after the date of enactment of this Act, the Advocate for Small Business Capital Formation, in consultation with the Investor Advocate, shall conduct a study on the effect of the amendments made by section 2 on the businesses and startup entities in which qualifying venture capital funds invest, specifically including, with respect to such businesses and startup entities, changes or trends relating to—</text><paragraph id="HCBE3D78467E64CB085A6B1B3A32BAB5E"><enum>(1)</enum><text display-inline="yes-display-inline">the geographic distribution of capital to portfolio companies;</text></paragraph><paragraph id="H92AF855AAAB9433D9111C65CD645B46F"><enum>(2)</enum><text>the socio-economic characteristics of founders or controlling persons;</text></paragraph><paragraph id="HD5EBB642C20943A3B0F7824620FE4BAD"><enum>(3)</enum><text>the veteran status of founders or controlling persons;</text></paragraph><paragraph id="H12D30C7929B0470AAF1D049B5658B2F6"><enum>(4)</enum><text>the industry sector, size, stage of development, and related details; and</text></paragraph><paragraph id="H8FE8E05E26C94DC08700BF4EE32E149C"><enum>(5)</enum><text display-inline="yes-display-inline">other factors or metrics determined by the Advocate for Small Business Capital Formation.</text></paragraph></subsection><subsection id="H31D5F5460CBB4D64ABED8BDB4B3620B8"><enum>(b)</enum><header>Report</header><text display-inline="yes-display-inline">The Advocate for Small Business Capital Formation shall issue a report to the Congress containing all findings and determinations made in carrying out the study required in subsection (a), and make such report available to the public on the website of the Commission.</text></subsection><subsection id="H9CC859F205FF4815B24670C41319C51F"><enum>(c)</enum><header>Public comment</header><text display-inline="yes-display-inline">During the 180-day period beginning on the date the report is issued under subsection (b), the Commission shall solicit feedback from the public on the findings and determinations contained in the report.</text></subsection><subsection id="H84CFF7F4A6004723B5C7ED77E7263C00"><enum>(d)</enum><header>Rulemaking</header><paragraph id="HC61F63AAC24C4B34994B53F501BC749D"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Commission, in consultation with the Investor Advocate and the Advocate for Small Business Capital Formation, may, after considering all comments received under subsection (c) and only if the Commission determines in such report that the amendments made by section 2 have had a demonstrable effect on increasing the geographic distribution of capital to portfolio companies, increasing the variety of the socio-economic characteristics of founders or controlling persons, or increasing the number of founders or controlling persons who are veterans, issue rules to—</text><subparagraph id="H948A50B1839E4C6188724F36C3B05381"><enum>(A)</enum><text display-inline="yes-display-inline">increase or decrease the 500 person threshold described in the matter preceding subparagraph (A) of section 3(c)(1) of the Investment Company Act of 1940, but such threshold may not exceed 750 persons or be reduced below 250 persons; and</text></subparagraph><subparagraph id="H1DDA79394EC64853BCA484A9B026D73F"><enum>(B)</enum><text display-inline="yes-display-inline">increase or decrease the $50,000,000 dollar figure in section 3(c)(1)(C)(i) of the Investment Company Act of 1940, but such dollar figure may not exceed $100,000,000 or be reduced below $10,000,000.</text></subparagraph></paragraph><paragraph id="H7124E40235B2451E93EE9891720FC735"><enum>(2)</enum><header>Deadline for rulemaking</header><text display-inline="yes-display-inline">The rulemaking authority in paragraph (1) only applies to a rule with respect to which the proposed rule was issued during the 180-day period beginning at the end of the public comment period described in subsection (c).</text></paragraph><paragraph id="HB222C467C84A46A9AB4E5A023A1EA467"><enum>(3)</enum><header>No effect on inflation adjustments</header><text display-inline="yes-display-inline">A rule issued under this subsection shall have no effect on the requirement under clause (i) of section 3(c)(1)(C) of the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-3">15 U.S.C. 80a–3(c)(1)(C)</external-xref>) to index the first dollar amount in such clause for inflation.</text></paragraph></subsection></section></legis-body><endorsement display="yes"><action-date date="20250908">September 8, 2025</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc></endorsement></bill>
