<section id="HE3D3CE5ED83E4A6A8B69466AD1931E73" section-type="section-one"><enum>1.</enum><header>Short title</header>
 <text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stopping Proxy Advisor Racketeering Act</short-title></quote>.</text></section> 
<section id="H16D2D5767F1E446C933527F4F79A13BF"><enum>2.</enum><header>Conduct of proxy advisory firms</header><text display-inline="no-display-inline">The Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78a">15 U.S.C. 78a et seq.</external-xref>) is amended by inserting after section 14B the following:</text> <quoted-block style="OLC" id="H31ED69A0292442E28BD123D39F9F2564" display-inline="no-display-inline"> <section id="H099C88BD0F524599968958C377A6F0CB"><enum>14C.</enum><header>Conduct of proxy advisory firms</header> <subsection id="H12EB49DE78E24CD2830435434D6584DD"><enum>(a)</enum><header>Prohibited conduct</header><text display-inline="yes-display-inline">It shall be unlawful for a proxy advisory firm to provide proxy voting advice if the proxy advisory firm possesses a conflict of interest, direct or indirect, including by—</text> 
<paragraph id="H3D71D72C0FC340E59E350FCC4252CCF4"><enum>(1)</enum><text display-inline="yes-display-inline">providing consulting services offered directly or indirectly through an affiliate to a registrant;</text></paragraph> <paragraph id="HEC060DC35D104C6C967EA997295EA7BB"><enum>(2)</enum><text display-inline="yes-display-inline">modifying a voting recommendation or otherwise departing from the adopted systematic procedures and methodologies of the proxy advisory firm or affiliate for the provision of proxy voting advice based on whether a registrant, or affiliate of the registrant, subscribes or will subscribe to the services or products of the proxy advisory firm or any affiliate of the proxy advisory firm;</text></paragraph> 
<paragraph id="HD7D765BCAA2B42F0916EC41BAEA43645" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">providing proxy voting advice during any period of time when the proxy advisory firm or any affiliate of the proxy advisory firm is providing stewardship or engagement services to a shareholder proponent, a non-issuer, a soliciting person, or affiliate of any of the foregoing related to the matter covered by the proxy voting advice; or</text></paragraph> <paragraph id="HFFB61E1760CE4DC19388C00E28BA0A0F" commented="no"><enum>(4)</enum><text>being a member of any organization that supports a shareholder-sponsored proposal that is, or is substantially the same subject matters as, the proxy voting advice.</text></paragraph></subsection> 
<subsection id="HEDFBDC5E7B9D48CABF08724043A48D55"><enum>(b)</enum><header>Administrative civil penalties available</header><text display-inline="yes-display-inline">If the Commission finds, after notice and opportunity for hearing in a proceeding instituted pursuant to section 21C, that a proxy advisory firm violated subsection (a), the Commission may, in addition to entering an order under section 21C, impose a civil penalty against the proxy advisory firm and any other person that the Commission finds was a cause of such violation. The determination to impose such a civil penalty and the amount of the penalty shall be governed by the standards set forth in section 21B.</text></subsection> <subsection id="H987A8E774BA54B079C2F6D54E62955BB"><enum>(c)</enum><header>Definitions</header><text>In this section:</text> 
<paragraph id="HA700D2817EC14EAEBFDA2258D444B74E"><enum>(1)</enum><header>Consulting services</header><text display-inline="yes-display-inline">With respect to a proxy advisory firm or an affiliate of a proxy advisory firm, the term <quote>consulting services</quote> means—</text> <subparagraph id="H5EEBDEB5537E41BD988CC41246C324B3"><enum>(A)</enum><text>providing any non-public information with respect to a proxy advisory firm’s polices or ratings methodologies;</text></subparagraph> 
<subparagraph id="H9783CCC322D64A9F9E7CAEA2EE5011BB"><enum>(B)</enum><text display-inline="yes-display-inline">any services designed to provide guidance or advice regarding any corporate governance, compensation, corporate social responsibility, environmental, social, political, or other policies, disclosures, or actions adopted by a registrant with respect to—</text> <clause id="H10AB37027AB249B0A00FA69CE6E02FAF"><enum>(i)</enum><text>any matter—</text> 
<subclause id="H493B0EEE008C489CA1101A3FA1C99E41"><enum>(I)</enum><text>for which security holder vote or consent is or will be solicited; and</text></subclause> <subclause id="H3DA68A652BE144FE8AF011B11F80D0CA"><enum>(II)</enum><text>as to which the proxy advisory firm makes or will make a recommendation as to a security holder’s vote or consent; or</text></subclause></clause> 
<clause id="H55A1512A0FA4427A8D312326DCDBE870"><enum>(ii)</enum><text>matters included in or covered by any written report or rating furnished by the proxy advisory firm; and</text></clause></subparagraph> <subparagraph id="H815106E753E64F2E8F1435E4C2F31FC9" commented="no"><enum>(C)</enum><text>such other services as the Commission may determine.</text></subparagraph></paragraph> 
<paragraph id="HD5935B89A60E400E9A711DE99A432C64"><enum>(2)</enum><header>Proxy advisory firm</header><text display-inline="yes-display-inline">The term <quote>proxy advisory firm</quote> means a person that markets the person’s expertise as a provider of proxy voting advice, separately from other forms of investment advice, and sells such proxy voting advice for a fee.</text></paragraph> <paragraph id="H707C551A65144FFCA332872A703AF851"><enum>(3)</enum><header>Proxy voting advice</header><text display-inline="yes-display-inline">The term <quote>proxy voting advice</quote> means any advice that makes a recommendation to a security holder as to the vote, consent, or authorization of the security holder on a specific matter for which the approval of the security holder is solicited.</text></paragraph>
<paragraph id="H461041FC85F647AEA744BC1DA7EDB3A5"><enum>(4)</enum><header>Registrant</header><text display-inline="yes-display-inline">The term <quote>registrant</quote> means the issuer of the securities in respect of which proxies are to be solicited.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></section> </legis-body></bill>
