<section id="HF92C7E1D63B045E59D94E858AA4B3A71" section-type="section-one"><enum>1.</enum><header>Short title</header>
 <text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>No Shorting America Act</short-title></quote>.</text></section> 
<section id="H12C95950F15D428CA4F75D334522830A"><enum>2.</enum><header>Prohibition of congressional short selling of financial investments</header> <text display-inline="no-display-inline"><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/131">Chapter 131</external-xref> of title 5, United States Code, is amended by adding at the end the following (and by conforming the table of contents for such chapter accordingly):</text> <quoted-block style="USC" id="H2FC22446F6BE4BACAEFAB5FB568BFF4C" display-inline="no-display-inline"> <subchapter id="H0B290B4820E04ACF82AAE3F1D239C52A"><enum>IV</enum><header>Prohibition on Congressional Short Selling</header> <section id="H019FEC22825F4994AB346FDBB1AC0643"><enum>13151.</enum><header>Definitions</header><text display-inline="no-display-inline">In this subchapter:</text> 
<paragraph id="HDC4BEB1784334948B3D1D40933A37143"><enum>(1)</enum><header>Covered financial instrument</header><text display-inline="yes-display-inline">The term <quote>covered financial instrument</quote> means—</text> <subparagraph id="HB6D1462C9DC34776A55692DAB62763D1"><enum>(A)</enum><text>any investment in—</text> 
<clause id="HEC720C5727B5469098191F9B5D975D1A"><enum>(i)</enum><text display-inline="yes-display-inline">a security (as defined in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>));</text></clause> <clause id="H0E6A8203C72B464D955CF6B092B800A6" commented="no"><enum>(ii)</enum><text display-inline="yes-display-inline">a security future (as defined in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>)); or</text></clause> 
<clause id="H49DBE76B832E41EC86D7C3D834183E40"><enum>(iii)</enum><text display-inline="yes-display-inline">a commodity (as defined in section 1a of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/1a">7 U.S.C. 1a</external-xref>)); and</text></clause></subparagraph> <subparagraph id="H2D76ECED134A4E46859FB9B5CCAE75F1"><enum>(B)</enum><text display-inline="yes-display-inline">any economic interest comparable to an interest described in subclause (I) that is acquired through synthetic means, such as the use of a derivative, including an option, warrant, or other similar means.</text></subparagraph></paragraph> 
<paragraph id="H7BC19C07B23B47A189076DACAAF38582"><enum>(2)</enum><header>Covered individual</header><text>The term <quote>covered individual</quote> means any of the following:</text> <subparagraph id="H64F78E31254F4117B1C203C46862C910"><enum>(A)</enum><text>A Member of Congress.</text></subparagraph> 
<subparagraph id="H440A84A70B614761B848DF8775F35EE0"><enum>(B)</enum><text>The spouse of a Member of Congress.</text></subparagraph> <subparagraph id="HBA76589531EC46F4A2882F6923299A77"><enum>(C)</enum><text>The dependent of a Member of Congress.</text></subparagraph></paragraph> 
<paragraph id="HF7EB4DE9BC644B5BB1496A454AAE33B4"><enum>(3)</enum><header>Dependent</header><text display-inline="yes-display-inline">The term <quote>dependent</quote> has the meaning given that term in section 13101.</text></paragraph> <paragraph id="H7CF83165F40A4F32A749E956C144C31D" commented="no"><enum>(4)</enum><header>Member of Congress</header><text display-inline="yes-display-inline">The term <quote>Member of Congress</quote> has the meaning given that term in section 13101.</text></paragraph> 
<paragraph id="HD68EACCB5ED04BFF9B024C137C70205C"><enum>(5)</enum><header>Short sale</header><text>The term <quote>short sale</quote> has the meaning given that term in section 242.200 of title 17, Code of Federal Regulations (or any successor regulation).</text></paragraph> <paragraph id="HD0AE4DB440284CE5B36CC333EF04BBD9" commented="no"><enum>(6)</enum><header>Supervising ethics office</header><text>The term <quote>supervising ethics office</quote> has the meaning given that term in section 13101.</text></paragraph></section> 
<section id="HA218577717E84543971AE8050AEFC692"><enum>13152.</enum><header>Limitation on short sale</header> 
<subsection id="H24CE637375FF40B5AEF5D4E848150876"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">No covered individual may engage in a short sale of any covered financial instrument issued by any business entity that is listed on a national stock exchange.</text></subsection> <subsection id="H15D1BE6D616241BEB67C69434DDF8768"><enum>(b)</enum><header>Income tax</header><text display-inline="yes-display-inline">A loss from a short sale involving a covered financial instrument that is conducted in violation of this section may not be deducted from the amount of income tax owed by the covered individual.</text></subsection> 
<subsection id="H3F2D33192587444B85EF4BB3E60AC039"><enum>(c)</enum><header>Proof of compliance</header> 
<paragraph id="HC6638B2566E94649852EA1ABF9D7FECC"><enum>(1)</enum><header>Submission</header><text display-inline="yes-display-inline">A Member of Congress shall submit to the supervising ethics office a pledge of compliance with the requirements of this subchapter, and shall produce, upon request of the supervising ethics office, material or information determined by the supervising ethics committee to be necessary to indicate compliance with the provisions of this subchapter.</text></paragraph> <paragraph id="H1BFFAAFB6BE74CCAAA8E5D6F4C4ED829"><enum>(2)</enum><header>Certificate</header><text>The supervising ethics office shall provide each Member of Congress in compliance with the provisions of this chapter with a certificate of compliance.</text></paragraph> 
<paragraph id="HF48AC921D3B44F53BE2F5368B0945469"><enum>(3)</enum><header>Publication</header><text>The supervising ethics office shall make available, on a publicly accessible website, all certificates issued under this subsection.</text></paragraph></subsection></section> <section id="H4AF5F364CC404E39B1EBC5490121572B"><enum>13153.</enum><header>Enforcement</header> <subsection id="H268E9880048C4CE182682AF0E0BA8CBE"><enum>(a)</enum><header>Referral</header><text display-inline="yes-display-inline">The supervising ethics office shall refer to the Attorney General the name of any covered individual who such office has reasonable cause to believe has willfully failed to comply with the requirements of section 13152.</text></subsection> 
<subsection id="H81F017437A0D49A599E85A2B6BAA7886"><enum>(b)</enum><header>Penalty</header> 
<paragraph id="H9DD2F154182C4597B42756DD870965B8"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Attorney General may bring a civil action in any appropriate United States district court against any covered individual who knowingly and willfully fails to comply with section 13152. The court in which such action is brought may assess against such individual a civil penalty in any amount, not to exceed $50,000.</text></paragraph> <paragraph id="H0912DD2558504D5B9841A1C70A320A79" commented="no"><enum>(2)</enum><header>Limitation</header><text display-inline="yes-display-inline">A covered individual may not pay any penalty resulting from a civil action under paragraph (1) using—</text> 
<subparagraph id="H80C0F129BEE04C3FA06F32FF233310E3" commented="no"><enum>(A)</enum><text>funds from a Members’ Representational Allowance or Senators’ Official Personnel and Office Expense Account (as the case may be); or</text></subparagraph> <subparagraph id="HB71C083904F74B389BB2E8980BE449C0" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">funds of any political committee under the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30101">52 U.S.C. 30101 et seq.</external-xref>).</text></subparagraph></paragraph></subsection></section></subchapter><after-quoted-block>.</after-quoted-block></quoted-block></section>
