<section id="HCF8FE8566B9A43BAA261BDDB016E96E1" section-type="section-one"><enum>1.</enum><header>Grant of Federal charter to Veterans Association of Real Estate Professionals</header>
<subsection id="HBCBED223972F4F6092FD9B629EACDC0C"><enum>(a)</enum><header>Grant of charter</header><text>Part B of subtitle II of title 36, United States Code, is amended by inserting after chapter 2301 the following new chapter:</text> <quoted-block display-inline="no-display-inline" id="H627ACAF142BE42D1881E7AFDADF6D0B6" style="USC"> <chapter id="H6A3256FECB764488AE4410C253E1CCA4"><enum>2302</enum><header>Veterans Association of Real Estate Professionals</header> <toc container-level="chapter-container" quoted-block="no-quoted-block" lowest-level="section" idref="H6A3256FECB764488AE4410C253E1CCA4" regeneration="yes-regeneration" lowest-bolded-level="division-lowest-bolded"> <toc-entry level="section" idref="HF53CE0BA2FE34ED78D775C7E694BCD8D">Sec.</toc-entry> <toc-entry idref="HF53CE0BA2FE34ED78D775C7E694BCD8D" level="section">230201. State defined.</toc-entry></toc> <section id="HF53CE0BA2FE34ED78D775C7E694BCD8D"><enum>230201.</enum><header>Organization</header> <subsection id="H348E838DDBEA48FF9B0FC39F5BA066D4"><enum>(a)</enum><header>Federal charter</header><text>Veterans Association of Real Estate Professionals (in this chapter, the <quote>corporation</quote>), a nonprofit organization that meets the requirements for a veterans service organization under <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501(c)(19)</external-xref> of the Internal Revenue Code of 1986 and is organized under the laws of the State of California, is a federally chartered corporation.</text></subsection>
<subsection id="H3CB40F3C549443EBB575D4E487018CFB"><enum>(b)</enum><header>Expiration of charter</header><text>If the corporation does not comply with the provisions of this chapter, the charter granted by subsection (a) expires.</text></subsection></section> <section id="H34BBE3EA6FE7430C893A644698926D0B"><enum>230202.</enum><header>Purposes</header><text display-inline="no-display-inline">The purposes of the corporation are those provided in its articles of incorporation and include the following:</text>
<paragraph id="H6C0132E9A2F4470FAFAC04A26D3EF9C4"><enum>(1)</enum><text>To organize as a veterans service organization to maintain a continuing interest in the welfare of veterans by—</text> <subparagraph id="H29872A04504741BCAC7103DCEF460631"><enum>(A)</enum><text>advocating for, and increasing sustainable homeownership;</text></subparagraph>
<subparagraph id="H76835E850330406F9A5BA0513FEF8F6E"><enum>(B)</enum><text display-inline="yes-display-inline">providing financial literacy education,</text></subparagraph> <subparagraph id="H6F7D83F8DA764D37BBB364D9E251AD7F"><enum>(C)</enum><text>spreading awareness of housing loans guaranteed by the Secretary of Veterans Affairs; and</text></subparagraph>
<subparagraph id="H85A01E577FB546BF86A062E1E15A1AF3"><enum>(D)</enum><text>increasing economic opportunities for members of the Armed Forces and veterans.</text></subparagraph></paragraph> <paragraph id="H322014DF2F1C4593AC5C2009B8B37C0C"><enum>(2)</enum><text display-inline="yes-display-inline">To establish facilities for the assistance of all veterans, with programs regarding topics including the following:</text>
<subparagraph id="HB187BA6EB0754A75BBC03A6692AC3A38"><enum>(A)</enum><text>financial literacy (including understanding credit);</text></subparagraph> <subparagraph id="H2F5745886D77453ABBB110F2B196A9C1"><enum>(B)</enum><text>workforce development;</text></subparagraph>
<subparagraph id="HBAB3985E6B9C49DAA19A944359DB85E0"><enum>(C)</enum><text>small business incubation and mentorship;</text></subparagraph> <subparagraph id="H243979F5FD204ACAB99C6A0D6AAA6C13"><enum>(D)</enum><text display-inline="yes-display-inline">education regarding housing, including homelessness prevention, rental counseling, foreclosure prevention, and affordable housing opportunities; and</text></subparagraph>
<subparagraph id="H6ACA8142CDD4492CA3D5F8AAA0C24AEB"><enum>(E)</enum><text>suicide awareness and prevention.</text></subparagraph></paragraph> <paragraph id="H3CC202B2DD544DADB8F5AA326D099132"><enum>(3)</enum><text display-inline="yes-display-inline">To provide a forum for real estate and financial service professionals to share ideas, learn, and be empowered to better serve the real estate needs of members of the Armed Forces, veterans, their families, and others.</text></paragraph>
<paragraph id="H3C90082C1DD84F7B99DF5398C81D4BE1"><enum>(4)</enum><text>To collaborate with organizations in the real estate &amp; financial service sector to support employment of, and economic and business development for, veterans.</text></paragraph></section> <section id="HA7884BB7350143D6B91CF60DEEAEE30C"><enum>230203.</enum><header>Membership</header><text display-inline="no-display-inline">Eligibility for membership in the corporation, and the rights and privileges of members of the corporation, are as provided in the articles and bylaws of the corporation.</text></section>
<section id="H011EE20AA32547449DAD001A381BC45D"><enum>230204.</enum><header>Governing body</header>
<subsection id="HEDFBAA575525485F93AC71EC799708A8"><enum>(a)</enum><header>Board of directors</header><text>The composition of the board of directors of the corporation, and the responsibilities of the board, are as provided in the articles of incorporation and bylaws of the corporation.</text></subsection> <subsection id="H02F1BAD170FC4AA9BBE312871B59ADAF"><enum>(b)</enum><header>Officers</header><text>The positions of officers of the corporation, and the election of the officers, are as provided in such articles of incorporation and bylaws.</text></subsection></section>
<section id="HC3DDDF94F7DD4E7D8947CD83BBBFFFCD"><enum>230205.</enum><header>Powers</header><text display-inline="no-display-inline">The corporation has only those powers provided in its bylaws and articles of incorporation filed in each State in which it is incorporated.</text></section> <section id="HAEB17359FC54467BAE2003BF99F88458"><enum>230206.</enum><header>Restrictions</header> <subsection id="HE59515815D38449D9B73868B191FB00C"><enum>(a)</enum><header>Stock and dividends</header><text>The corporation may not issue stock or declare or pay a dividend.</text></subsection>
<subsection id="H4F2223AA229049958EF376AD64E976A2"><enum>(b)</enum><header>Distribution of income or assets</header><text display-inline="yes-display-inline">The income or assets of the corporation may not inure to the benefit of, or be distributed to, a director, officer, or member of the corporation during the life of the charter granted by this chapter. This subsection shall not prevent the payment of reasonable compensation to an officer or employee of the corporation, or reimbursement for actual necessary expenses, in amounts approved by the board of directors.</text></subsection> <subsection id="H0966570DE1494DB3B3CCAB7B6C4A3344"><enum>(c)</enum><header>Political activities</header><text display-inline="yes-display-inline">The corporation (or an officer of the corporation, in the course of acting in such capacity) may not contribute to, support, or participate in any political activity.</text></subsection>
<subsection id="H378BEF700CF2473CBC04D577037211D8"><enum>(d)</enum><header>Loans</header><text>The corporation may not make a loan to a director, officer, employee, or member of the corporation.</text></subsection> <subsection id="H39EFB3F9D96340E3BEF0BC149C9B9913"><enum>(e)</enum><header>Claim of governmental approval or authority</header><text>The corporation may not claim congressional approval, or the authority of the United States, for any of its activities.</text></subsection>
<subsection id="HF2A0BA62647044DC8A314B643473CF5F"><enum>(f)</enum><header>Corporate status</header><text>The corporation shall maintain its status as a corporation incorporated under the laws of the State of California.</text></subsection></section> <section id="H7672480119FF4191AB8EBCDF9F48A748"><enum>230207.</enum><header>Tax-exempt status required as condition of charter</header><text display-inline="no-display-inline">If the corporation fails to maintain its status as an organization exempt from taxation under the Internal Revenue Code of 1986, the charter granted under this chapter shall terminate.</text></section>
<section id="HF97A4358722742579BEC0E50CD7A393E"><enum>230208.</enum><header>Records and inspection</header>
<subsection id="H7E38D077864541B29C2EC6AD12461966"><enum>(a)</enum><header>Records</header><text>The corporation shall keep—</text> <paragraph id="H65BB3548CD42426EB8718450F7BC0D32"><enum>(1)</enum><text>correct and complete records of account;</text></paragraph>
<paragraph id="H2AE00A7DBB5C448B9D737C6F2D8EF7BD"><enum>(2)</enum><text>minutes of the proceedings of the members, board of directors, and committees of the corporation having any of the authority of the board of directors;</text></paragraph> <paragraph id="H5CB96775AAD743A2B27A95B87A8038F5"><enum>(3)</enum><text display-inline="yes-display-inline">at the principal office of the corporation, a record of the names and addresses of members of the corporation entitled to vote on matters relating to the corporation; and</text></paragraph>
<paragraph id="H6B2A587404874C9E8BEE80966BD2C74F"><enum>(4)</enum><text display-inline="yes-display-inline">the State charter documents, bylaws, and articles of incorporation available to the public on an easily accessible website of the corporation.</text></paragraph></subsection> <subsection id="HE5FFD47DF8BD479198B342515235611E"><enum>(b)</enum><header>Inspection</header><text>A member entitled to vote on any matter relating to the corporation, or an agent or attorney of the member, may inspect the records of the corporation for any proper purpose, at any reasonable time.</text></subsection></section>
<section id="HD6F8FD1AA15948A09C03DD68ED0AB653"><enum>230209.</enum><header>Service of process</header><text display-inline="no-display-inline">The corporation shall comply with the law of service of process of the State in which it is incorporated and each State in which it operates.</text></section> <section id="H9F30BF300B064A83A6AA32C25428DCDE"><enum>230210.</enum><header>Liability for acts of officers and agents</header><text display-inline="no-display-inline">The corporation is liable for the acts of its officers and agents acting within the scope of their authority.</text></section>
<section id="H4C1A1C3C82EA4FFF91B07FFC3F9B08F3"><enum>230211.</enum><header>Annual report</header><text display-inline="no-display-inline">The corporation shall submit to Congress an annual report on the activities of the corporation during the preceding fiscal year. The report shall be submitted at the same time as the report of the audit required by section 10101 of this title. The report may not be printed as a public document.</text></section> <section id="H5B1F53B28CCE41168BDE1E6B112AC4EB"><enum>230212.</enum><header>State defined</header><text display-inline="no-display-inline">For purposes of this chapter, the term <quote>State</quote> means each of the several States, the District of Columbia, the Commonwealth of Puerto Rico, or a territory or possession of the United States.</text></section></chapter><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection id="HD7B7C4DAD3314FC2872D4AB59473B291"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of chapters at the beginning of subtitle II of title 36, United States Code, is amended by inserting after the item relating to chapter 2301 the following new item:</text> <quoted-block style="USC" id="H4D4AB20D9FF648818D3B888222855FF0" display-inline="no-display-inline"> <toc regeneration="no-regeneration"> <multi-column-toc-entry level="section"><toc-enum>2302.</toc-enum><level-header level="section">Veterans Association of Real Estate Professionals</level-header><target>230201</target></multi-column-toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section> </legis-body></bill>
