<section id="H4EC4AF5670BD4D418D5AC8835FAD61B7" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stop Trading, Retention, and Unfair Market Payoffs in Crypto Act of 2025</short-title></quote> or the <quote><short-title>Stop TRUMP in Crypto Act of 2025</short-title></quote>.</text></section> <section id="HB3E074A57E9A45A78DDEF0D7CC298B04"><enum>2.</enum><header>Prohibition on covered individuals in connection with digital assets</header> <subsection id="H93F60EF0A16F47B39CAEDF00C9C45CAC" display-inline="no-display-inline"><enum>(a)</enum><header>In general</header><text>A covered individual may not—</text> 
<paragraph id="H352CA9293DB94CA6B63EBE834D1AA986"><enum>(1)</enum><text display-inline="yes-display-inline">own a proportion of a digital asset that would allow the individual to unilaterally make changes to the digital asset;</text></paragraph> <paragraph id="H1874E0034436499EB32965EAC0149BB9"><enum>(2)</enum><text>serve as an officer, director, or owner of a digital asset issuer;</text></paragraph> 
<paragraph id="HF89B407671204EEB9D705DFB8C98E0B7"><enum>(3)</enum><text display-inline="yes-display-inline">issue, sponsor, promote, or receive any direct or indirect compensation, including fees, for the sale, marketing, or mining of any digital asset in the United States or to a United States person; or</text></paragraph> <paragraph id="HD60B0E10A64744788687968131FB241F"><enum>(4)</enum><text display-inline="yes-display-inline">trade digital assets while in office, if the covered individual has material non-public information about digital assets.</text></paragraph></subsection> 
<subsection id="H5E8856EEF6CA487C86E141EE59AE335A"><enum>(b)</enum><header>Prohibition on certain companies acting on behalf of a covered individual</header><text display-inline="yes-display-inline">An issuer required to file reports with the Securities and Exchange Commission under section 13 of the Securities Exchange Act of 1934 may not issue or sell, or otherwise transact with respect to, a digital asset on behalf of a covered individual.</text></subsection> <subsection id="HE5F8A2F6F3D84AA5996913A8F0B83976"><enum>(c)</enum><header>Penalties</header><text display-inline="yes-display-inline">Section 216 of title 18, United States Code, shall apply to a violation of this section to the same extent as such section 216 applies to a violation of section 203, 204, 205, 207, 208, or 209 of such title.</text></subsection> </section> 
<section id="HC382A2307C1C45D98FE3441CD1EE29BA"><enum>3.</enum><header>Prohibition on indirect participation through intermediaries and beneficial ownership</header> 
<subsection id="H84CD2549826A4D8397EA19DA8BB76430">
        <enum>(a)</enum>
        <header>Anti-Evasion rule</header>
 <text display-inline="yes-display-inline">A covered individual may not take any action prohibited by this Act through any trust, corporation, partnership, limited liability company, unincorporated association, political committee, nonprofit organization, or other entity or person, including any digital wallet or protocol, if such covered individual—</text>
        <paragraph id="HD5787806D49242BD82ADF23AB68FD02F">
          <enum>(1)</enum>
 <text>directly or indirectly exercises control over such entity;</text> </paragraph> <paragraph id="HB9A70571C83241378545ECF57F64C47C"> <enum>(2)</enum> <text>acts through such entity as a beneficial owner; or</text>
        </paragraph>
        <paragraph id="H433C34D89DDE4E65B05459D5CC386B19">
          <enum>(3)</enum>
 <text>has received or expects to receive compensation, financial benefit, or influence as a result of the entity’s engagement in digital asset activities described in this Act.</text>
        </paragraph>
      </subsection> 
<subsection id="HA3791C8209D54BA7BA621DB32AADC5F2"><enum>(b)</enum><header>Definition of beneficial owner</header><text>In this section, and with respect to an entity, the term <term>beneficial owner</term> includes any individual who, directly or indirectly—</text> <paragraph id="H005ABD58619646009C9DF19396EE748D"><enum>(1)</enum><text>has a financial interest in, or receives material benefit from a digital asset issuer;</text></paragraph> 
<paragraph id="H3497C73629664B93AFD26630BC41EA7A"><enum>(2)</enum><text>has the ability to influence, direct, or control decisions of such entity or digital asset activity, whether formal or informal;</text></paragraph> <paragraph id="HF27084A6A658467CAE9DFD887FCD549C"><enum>(3)</enum><text>has any ownership interest of 5 percent or more in such entity, including through trusts, nominee arrangements, or contractual rights; or</text></paragraph> 
<paragraph id="H6393BD93EDB249F4B4219B37A2A4B8DB"><enum>(4)</enum><text>is a grantor, trustee, or beneficiary of a trust that holds such interests.</text></paragraph></subsection> <subsection id="HB35033626006435D8D975CBF64F4DDD4"> <enum>(c)</enum> <header>Look-Through requirement</header> <text>Any prohibition or disclosure requirement in this Act shall apply to covered individuals with respect to any digital asset held indirectly or through any arrangement intended to conceal beneficial ownership or control.</text>
      </subsection></section> 
<section id="HA10621C75DBC49E4BA5A9287F505958C"><enum>4.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text> <paragraph id="H68721FE355C54468BDB97BE3982B3DBA" display-inline="no-display-inline"><enum>(1)</enum><header>Covered individual defined</header><text>The term <term>covered individual</term> means—</text> 
<subparagraph id="HA8F65A4C72DA41DCBE2DA2CB66C63493"><enum>(A)</enum><text>the President;</text></subparagraph> <subparagraph id="H08EB233BBC434C469D48A46F94236CB3"><enum>(B)</enum><text>the Vice President;</text></subparagraph> 
<subparagraph id="H1FCFC5E5994E4FE190EB46C522B8C815"><enum>(C)</enum><text>a Member of Congress; or</text></subparagraph> <subparagraph id="H31801F9FA5B244609F23A19886DBFA6F"><enum>(D)</enum><text display-inline="yes-display-inline">the spouse, child, son-in-law, or daughter-in-law, as determined under applicable common law, of any individual described in subparagraph (A), (B), or (C).</text></subparagraph></paragraph> 
<paragraph id="H8ECA44BB629D483FB060386980E92FD2">
        <enum>(2)</enum>
        <header>Digital asset</header>
 <text display-inline="yes-display-inline">The term <term>digital asset</term> means any digital representation of value which is recorded on a cryptographically-secured distributed ledger, including a stablecoin, a memecoin, and any financial contract or product or instrument that derives its value from a digital asset, including—</text>
        <subparagraph id="H9D31B7A07CAD47AF87973815F56F3A64">
          <enum>(A)</enum>
 <text display-inline="yes-display-inline">futures, options, or swaps referencing a digital asset;</text>
        </subparagraph>
        <subparagraph id="H6C186C5A62394B42901477A53FE9884D">
          <enum>(B)</enum>
 <text>any security or trust whose primary assets or benchmark are digital assets;</text> </subparagraph> <subparagraph id="HBB6B52F4CC5C4F9FA92FBE900E7D0A21"> <enum>(C)</enum> <text>yield-bearing digital asset products including staking, lending, or decentralized finance protocols;</text>
        </subparagraph>
        <subparagraph id="H0D1735FAA2C042C7B5D6F9CBFE1155BD">
          <enum>(D)</enum>
 <text>non-fungible tokens; and</text> </subparagraph> <subparagraph id="HC7747CF4427647DAAD397786E69BB35B"> <enum>(E)</enum> <text display-inline="yes-display-inline">decentralized autonomous organization tokens.</text>
        </subparagraph>
      </paragraph> 
<paragraph id="HFAFAD01C1C794E549BBB56E259612EA5"><enum>(3)</enum><header>Distributed ledger</header><text display-inline="yes-display-inline">The term <term>distributed ledger</term> means technology where data is shared across a network that creates a digital ledger of verified transactions or information among network participants and the data are typically linked using cryptography to maintain the integrity of the ledger and execute other functions.</text></paragraph> <paragraph id="H8A7D5659BB824342ABAC3A6B4F9CF1A4"><enum>(4)</enum><header>Member of Congress</header><text display-inline="yes-display-inline">The term <quote>Member of Congress</quote> means a Senator or a Representative in, or a Delegate or Resident Commissioner to, the Congress.</text></paragraph> </section>
