which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><action display="yes"><action-date date="20250603">June 3, 2025</action-date><action-desc>Additional sponsor: <cosponsor name-id="S000168">Ms. Salazar</cosponsor></action-desc></action><action display="yes"><action-date date="20250603">June 3, 2025</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc><action-instruction>Strike out all after the enacting clause and insert the part printed in italic</action-instruction><action-instruction>For text of introduced bill, see copy of bill as introduced on May 13, 2025</action-instruction></action><action><action-desc><pagebreak></pagebreak></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To require the Securities and Exchange Commission to revise rules relating to general solicitation or general advertising to allow for presentations or other communication made by or on behalf of an issuer at certain events, and for other purposes.<pagebreak></pagebreak></official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause" changed="added" style="OLC" committee-id="HBA00" reported-display-style="italic" id="H7FAB4B2ADC5A422C87D2D4645550DBED"><section id="H049836F441614102A7834886FFE7E4B1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Helping Angels Lead Our Startups Act of 2025</short-title></quote> or the <quote><short-title>HALOS Act of 2025</short-title></quote>.</text></section><section id="H5CE6C20AF17D44D69AD9BCAA273CBF12"><enum>2.</enum><header>Clarification of general solicitation</header><subsection id="H5CA1C32750614C8795235E0BA816FB90"><enum>(a)</enum><header>Definitions</header><text>For purposes of this section and the revision of rules required under this section:</text><paragraph id="H9BCBE1EC2CB94225AC538BFA92ADDA04"><enum>(1)</enum><header>Angel investor group</header><text>The term <term>angel investor group</term> means any group that—</text><subparagraph id="HC50CF143E7534203A566168058C0E2DB"><enum>(A)</enum><text>is composed of accredited investors interested in investing personal capital in early-stage companies;</text></subparagraph><subparagraph id="HDF56CA0AE0184E078811BF1BAFF09C3D"><enum>(B)</enum><text>holds regular meetings and has defined processes and procedures for making investment decisions, either individually or among the membership of the group as a whole; and</text></subparagraph><subparagraph id="HD2D5D40F973E4D35BACD6776C8E5A2DB"><enum>(C)</enum><text>is neither associated nor affiliated with brokers, dealers, or investment advisers.</text></subparagraph></paragraph><paragraph id="H5C5BF1891DD9435787034058D50BDC1B"><enum>(2)</enum><header>Issuer</header><text>The term <term>issuer</term> means an issuer that is a business, is not in bankruptcy or receivership, is not an investment company, and is not a blank check, blind pool, or shell company.</text></paragraph></subsection><subsection id="HFF89508F1FAC4CDABB6F1EEB9DB94A4A"><enum>(b)</enum><header>In general</header><text>Not later than 6 months after the date of enactment of this Act, the Securities and Exchange Commission shall revise Regulation D (17 CFR 230.500 et seq.) to require that in carrying out the prohibition against general solicitation or general advertising contained in section 230.502(c) of title 17, Code of Federal Regulations, the prohibition shall not apply to a presentation or other communication made by or on behalf of an issuer which is made at an event—</text><paragraph id="HB8A7836E47744344AD38AFF4D145A0F9"><enum>(1)</enum><text>sponsored by—</text><subparagraph id="H9AE159571BC64A36A52A94ED0D1950CC" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">the United States or any territory thereof, the District of Columbia, any State, a federally recognized Indian Tribe, a political subdivision of any State, territory, or federally recognized Indian Tribe, or any agency or public instrumentality of any of the foregoing;</text></subparagraph><subparagraph id="H39496001221B4E9E98883C4B70A73937"><enum>(B)</enum><text>a college, university, or other institution of higher education;</text></subparagraph><subparagraph id="HED9EF47F8590411BB1120C3E4359E7C6"><enum>(C)</enum><text>a nonprofit organization;</text></subparagraph><subparagraph id="H1D1FE8A92F974B52906388510C175BB5"><enum>(D)</enum><text>an angel investor group;</text></subparagraph><subparagraph id="H4094B1CC70224F87B2797BD599ACC727" display-inline="no-display-inline"><enum>(E)</enum><text display-inline="yes-display-inline">an incubator or accelerator;</text></subparagraph><subparagraph id="HB191D4E5D2AD430C9C6903BACB718669" display-inline="no-display-inline"><enum>(F)</enum><text display-inline="yes-display-inline">a venture forum, venture capital association, or trade association, other than an association created solely for the purpose of sponsoring an event described under this subsection; or</text></subparagraph><subparagraph id="H0CC9C7D788DF4299A13292E87B232317"><enum>(G)</enum><text>any other group, person, or entity as the Securities and Exchange Commission may determine by rule;</text></subparagraph></paragraph><paragraph id="HD6DB17D69C9B45DBAF6AE0BD10F9899C" display-inline="no-display-inline"><enum>(2)</enum><text display-inline="yes-display-inline">that is not held in any facility that is owned or operated by a religious organization, other than an institution of higher education that is accredited and operated primarily for post-secondary education;</text></paragraph><paragraph id="H40367CF6E05C4F9B83914D67349FF0F7"><enum>(3)</enum><text>where any advertising for the event does not reference any specific offering of securities by the issuer;</text></paragraph><paragraph id="H170CA3EA07994B4680BD128479EC351C"><enum>(4)</enum><text>the sponsor of which—</text><subparagraph id="HA6E66FC00E854CB3A3EC16434CB04DDF"><enum>(A)</enum><text>does not make investment recommendations or provide investment advice to event attendees;</text></subparagraph><subparagraph id="HAFE82B57CC5A40838624EE64C5DCF949"><enum>(B)</enum><text>does not engage in an active role in any investment negotiations between the issuer and investors attending the event;</text></subparagraph><subparagraph id="H7992E8FE7C7041A3AC81BCA951066FCB"><enum>(C)</enum><text>does not charge event attendees any fees other than reasonable administrative fees;</text></subparagraph><subparagraph id="HE9FF30FC8E634836942ECD3BD46DEB4E"><enum>(D)</enum><text>does not receive any compensation for making introductions between investors attending the event and issuers, or for investment negotiations between such parties;</text></subparagraph><subparagraph id="HBE74E6296F0647008781156A21FE8889"><enum>(E)</enum><text>makes readily available to attendees a disclosure not longer than one page in length, as prescribed by the Securities and Exchange Commission, describing the nature of the event and the risks of investing in the issuers presenting at the event; and</text></subparagraph><subparagraph id="H61195D62F51348B0BB0F16EAFD3870E6"><enum>(F)</enum><text>does not receive any compensation with respect to such event that would require registration of the sponsor as a broker or a dealer under the Securities Exchange Act of 1934, or as an investment advisor under the Investment Advisers Act of 1940; and</text></subparagraph></paragraph><paragraph id="H8E1842787B224B01A976882989641E2A"><enum>(5)</enum><text>where no specific information regarding an offering of securities by the issuer is communicated or distributed by or on behalf of the issuer, other than—</text><subparagraph id="HE6353978C64F4A669BC88B637D0625FA"><enum>(A)</enum><text>that the issuer is in the process of offering securities or planning to offer securities;</text></subparagraph><subparagraph id="H4D2B314D267C4A52A19E07C3CD36A553"><enum>(B)</enum><text>the type and amount of securities being offered;</text></subparagraph><subparagraph id="H40DDB7BCCB144DE48ED5412072B81796"><enum>(C)</enum><text>the amount of securities being offered that have already been subscribed for; and</text></subparagraph><subparagraph id="H69D4345E4095449FAA10F8EDB171B10D"><enum>(D)</enum><text>the intended use of proceeds of the offering.</text></subparagraph></paragraph></subsection><subsection id="H5A5A56C7E82045CCAF4657C64DF92D67"><enum>(c)</enum><header>Rule of construction</header><text>Subsection (b) may only be construed as requiring the Securities and Exchange Commission to amend the requirements of Regulation D with respect to presentations and communications, and not with respect to purchases or sales.</text></subsection><subsection id="H9B8A06FB5AE14812A5F4D0F501E5E22F"><enum>(d)</enum><header>No pre-existing substantive relationship by reason of event</header><text>Attendance at an event described under subsection (b) shall not qualify, by itself, as establishing a pre-existing substantive relationship between an issuer and a purchaser, for purposes of Rule 506(b).</text></subsection></section></legis-body><endorsement display="yes"><action-date date="20250603">June 3, 2025</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc></endorsement></bill>
