R. 3348</legis-num><associated-doc role="report" display="yes">[Report No. 119–134]</associated-doc><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20250513">May 13, 2025</action-date><action-desc><sponsor name-id="H001058">Mr. Huizenga</sponsor> introduced the following bill; which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><action display="yes"><action-date date="20250604">June 4, 2025</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc><action-instruction>Strike out all after the enacting clause and insert the part printed in italic</action-instruction><action-instruction>For text of introduced bill, see copy of bill as introduced on May 13, 2025</action-instruction></action><action><action-desc><pagebreak></pagebreak></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Securities Act of 1933 and the Dodd-Frank Wall Street Reform and Consumer Protection Act with respect to the definition of accredited investor, and for other purposes.<pagebreak></pagebreak></official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause" changed="added" style="OLC" committee-id="HBA00" reported-display-style="italic" id="H65B63210DC3845C1BB3E051A5564025B"><section id="H7E9BF15370304302AE5E4DF742E28759" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Accredited Investor Definition Review Act</short-title></quote>.</text></section><section id="HC449458097714962BBA0ACFE3C6F49DF"><enum>2.</enum><header>Certifications, designations, and credentials under the definition of accredited investor</header><text display-inline="no-display-inline">Section 2(a)(15) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77b">15 U.S.C. 77b(a)(15)</external-xref>) is amended—</text><paragraph id="HDD70CCBD49AA469CA33D8C63C0A1720C" display-inline="no-display-inline"><enum>(1)</enum><text>by redesignating clauses (i) and (ii) as subparagraphs (A) and (B), respectively;</text></paragraph><paragraph id="HB9799DBD774249D795602C59F0DA2B8A"><enum>(2)</enum><text>in subparagraph (A), as so redesignated, by striking <quote>adviser; or</quote> and inserting <quote>adviser;</quote>;</text></paragraph><paragraph id="H96AE994B1103492B9F66A140983C4CE5"><enum>(3)</enum><text>in subparagraph (B), as so redesignated, by striking the period at the end and inserting <quote>; or</quote>; and</text></paragraph><paragraph id="H10341B08833E43D5B102BAAA8816AB76"><enum>(4)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" id="H412EC4B022BF4AFA9D68A6D17BB514D4" display-inline="no-display-inline" changed="added" reported-display-style="italic" committee-id="HBA00"><subparagraph id="HC111D46596E34E758C410CE844DB3CA9"><enum>(C)</enum><text display-inline="yes-display-inline">an individual holding such certifications, designations, or credentials as the Commission determines necessary or appropriate in the public interest or for the protection of investors, where—</text><clause id="H7DAC7C8D6AA84D8FAB52D50516239951"><enum>(i)</enum><text display-inline="yes-display-inline">such list of certifications, designations, or credentials shall include those professional certifications described in the Commission order titled <quote>Order Designating Certain Professional Licenses as Qualifying Natural Persons for Accredited Investor Status</quote> (85 Fed. Reg. 64234; published October 9, 2020); and</text></clause><clause id="HE1AABA5E48334802A2488ACEF362DB9E"><enum>(ii)</enum><text display-inline="yes-display-inline">in establishing which attributes should be considered for purposes of determining such certifications, designations, or credentials, the Commission shall consider attributes that are no less broad than those attributes described in the amendments made to section 230.501(a)(10) of title 17, Code of Federal Regulations, by the final rule of the Commission titled <quote>Accredited Investor Definition</quote> (85 Fed. Reg. 64234; published October 9, 2020).</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="H3FE4392AA55B4206BF93AB7ADD5303C3"><enum>3.</enum><header>Periodic review of certifications, designations, and credentials</header><text display-inline="no-display-inline">Section 413(b) of the Dodd-Frank Wall Street Reform and Consumer Protection Act (<external-xref legal-doc="usc" parsable-cite="usc/15/77b">15 U.S.C. 77b</external-xref> note) is amended by adding at the end the following:</text><quoted-block style="OLC" id="H5924A7C497DA4C378D7C14D947B41B5E" display-inline="no-display-inline" changed="added" reported-display-style="italic" committee-id="HBA00"><paragraph id="HD3A546DC9874421A951DAC7272DF4B9C"><enum>(3)</enum><header>Periodic review of certifications, designations, and credentials</header><text display-inline="yes-display-inline">Not later than 18 months after the date of the enactment of this paragraph and not less frequently than once every 5 years thereafter, the Commission shall—</text><subparagraph id="H56AABFB6AC6C4B5FAB80E4D7B441F8B0"><enum>(A)</enum><text display-inline="yes-display-inline">review the list of certifications, designations, and credentials designated as qualifying natural persons for accredited investor status pursuant to Rule 501(a)(10) (17 CFR 230.501(a)(10));</text></subparagraph><subparagraph id="H2731AEB383D549E38135666FD0B724D2"><enum>(B)</enum><text>add such certifications, designations, and credentials to such list as the Commission determines are substantially similar in measuring the financial sophistication, knowledge, and experience in financial matters of an individual to the certifications, designations, and credentials included on such list at the time of such review; and</text></subparagraph><subparagraph id="HAD8B8C64770C47FDA7B0B6903BB672CB"><enum>(C)</enum><text>adjust or modify such list as the Commission determines necessary or appropriate in the public interest or for the protection of investors.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body><endorsement display="yes"><action-date date="20250604">June 4, 2025</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc></endorsement></bill>
