which was read twice and referred to the <committee-name committee-id="SSFR00" added-display-style="italic" deleted-display-style="strikethrough">Committee on Foreign Relations</committee-name></action-desc></action><action stage="Reported-in-Senate"><action-date>May 7, 2024</action-date><action-desc>Reported by <sponsor name-id="S308">Mr. Cardin</sponsor>, with an amendment</action-desc><action-instruction>Strike out all after the enacting clause and insert the part printed in italic</action-instruction></action><legis-type>A BILL</legis-type><official-title>To establish the United States Foundation for International Conservation to promote long-term management of protected and conserved areas, and for other purposes.</official-title></form><legis-body id="H7C750E8477604A029F3D49686673A557"><section id="S1" section-type="section-one" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>United States Foundation for International Conservation Act of 2023</short-title></quote>.</text></section><section id="idcf3a278a872544a5979af5b5654ad18e" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph commented="no" display-inline="no-display-inline" id="id0872749eb534458aa1a40e93b53da260"><enum>(1)</enum><header>Appropriate congressional committees</header><text display-inline="yes-display-inline">The term <term>appropriate congressional committees</term> means—</text><subparagraph id="idB6359593DA0E4706BF8C419A4430779B"><enum>(A)</enum><text display-inline="yes-display-inline">the <committee-name committee-id="SSAP00">Committee on Appropriations of the Senate</committee-name>;</text></subparagraph><subparagraph id="id28A58F4F9A4C4EE09E1BAFDF33977939"><enum>(B)</enum><text display-inline="yes-display-inline">the <committee-name committee-id="SSFR00">Committee on Foreign Relations of the Senate</committee-name>;</text></subparagraph><subparagraph id="id8B30479C2C8E4D019B4EBD857C499A7F"><enum>(C)</enum><text display-inline="yes-display-inline">the <committee-name committee-id="">Committee on Appropriations of the House of Representatives</committee-name>; and</text></subparagraph><subparagraph id="id372831B07BD34577BF2C3F1FCA1E324B"><enum>(D)</enum><text>the <committee-name committee-id="">Committee on Foreign Affairs of the House of Representatives</committee-name>.</text></subparagraph></paragraph><paragraph id="id090e06d12df840ca8201ba41ffb25bb0"><enum>(2)</enum><header>Board</header><text>The term <term>Board</term> means the Board of Directors established pursuant to section 4(a).</text></paragraph><paragraph id="idc20bec8d8b1d4672b35085a04558332f"><enum>(3)</enum><header>Director</header><text>The term <term>Director</term> means—</text><subparagraph commented="no" display-inline="no-display-inline" id="id04177de1b12e43d6af409ff08faacf44"><enum>(A)</enum><text display-inline="yes-display-inline">an initial member of the Board appointed pursuant to section 4(a)(2)(C); or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id1094d1f6082b49cfbe32af624e698539"><enum>(B)</enum><text display-inline="yes-display-inline">a member of the Board selected to fill a vacancy pursuant to section 4(a)(3)(B).</text></subparagraph></paragraph><paragraph id="id3e68b11b00ca45929a072cb38a53d077"><enum>(4)</enum><header>Eligible country</header><text>The term <term>eligible country</term> means any of the countries described in section 7(b). </text></paragraph><paragraph id="id1c69b52ad1264dc6ac748e3639fb3b37"><enum>(5)</enum><header>Eligible project</header><text>The term <term>eligible project</term> means any of the projects described in section 7(a)(2). </text></paragraph><paragraph id="id011b02d96c384f849b58a2dd22f736ef"><enum>(6)</enum><header>Executive director</header><text>The term <term>Executive Director</term> means the Executive Director of the Foundation hired pursuant to section 4(b).</text></paragraph><paragraph id="id920e197318194bdea981e254b0673d0c"><enum>(7)</enum><header>Foundation</header><text>The term <term>Foundation</term> means the United States Foundation for International Conservation established pursuant to section 3(a). </text></paragraph><paragraph id="id77f3b94d59ef4406b8d3edccd6bb4122"><enum>(8)</enum><header>Secretary</header><text>The term <term>Secretary</term> means the Secretary of State. </text></paragraph></section><section id="idf7583b174eac421d8e9ea9d56c7c9243" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>3.</enum><header>United States Foundation for International Conservation</header><subsection id="idca00c3d347da4bb882f003980002c909"><enum>(a)</enum><header>Establishment</header><paragraph commented="no" display-inline="no-display-inline" id="id1b9b18c10faa49159b787dc6249ac84b"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Not later than 180 days after the date of the enactment of this Act, the Secretary shall establish the United States Foundation for International Conservation.</text></paragraph><paragraph id="idD887459B07714C94A98D75E6F8E64DFD"><enum>(2)</enum><header>Independence</header><text>The Foundation is not an agency or instrumentality of the United States Government. </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd16d5c4b5efc42cdb44dfb647cf83bb4"><enum>(3)</enum><header>Tax-exempt status</header><text>The Board shall take all necessary and appropriate steps to ensure that the Foundation is an organization described in subsection (c) of <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501</external-xref> of the Internal Revenue Code of 1986, which exempts the organization from taxation under subsection (a) of such section. </text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="idC81D8C7E73B5457F946DF121F8347836"><enum>(4)</enum><header>Termination of operations</header><text>The Foundation shall terminate operations on the date that is 10 years after the date on which it is established pursuant to paragraph (1).</text></paragraph></subsection><subsection id="id2bb7bf587d234678b28619b521a555d4"><enum>(b)</enum><header>Purposes</header><text>The purposes of the Foundation are—</text><paragraph id="id76e65e5c57b7412c882c852510a6801e"><enum>(1)</enum><text>to promote effective, long-term management of protected and conserved areas and their contiguous buffer zones in eligible countries;</text></paragraph><paragraph id="ida5be7ded51fc46cc891b50d75e7ad17b"><enum>(2)</enum><text>to advocate for, incentivize, accept, and administer governmental and nongovernmental funds, including donations from the private sector, to increase the availability and predictability of financing for long-term management of protected and conserved areas;</text></paragraph><paragraph id="id1f6a1e83ce47472eac1be7ab63c6f043"><enum>(3)</enum><text>to close critical gaps in public international conservation efforts by—</text><subparagraph id="idFE1C1B24C2494ACFAD6E8240C0D6A280"><enum>(A)</enum><text>increasing private sector investment, including investments from philanthropic entities; and </text></subparagraph><subparagraph id="idD79E417B4C1C4561B0B2BB503D55F54B"><enum>(B)</enum><text>collaborating with partners providing bilateral and multilateral financing to support enhanced coordination;</text></subparagraph></paragraph><paragraph id="idd86243a91d9d4862b2af4033a79edb8b"><enum>(4)</enum><text>to identify and financially support implementation-ready projects—</text><subparagraph id="id1C64B87B33C34601A434D7F77DF74754"><enum>(A)</enum><text>that promote long-term management of protected and conserved areas and their contiguous buffer zones in eligible countries, including supporting the management of terrestrial, coastal, freshwater, and marine protected areas, parks, community conservancies, indigenous reserves, conservation easements, and biological reserves; and </text></subparagraph><subparagraph id="id56D397E368A8442AA1D435CD9EDF3788"><enum>(B)</enum><text>that provide effective area-based conservation measures, consistent with internationally recognized best practices and standards for environmental and social safeguards; and</text></subparagraph></paragraph><paragraph id="id5e356e53454c4ffb98ad78fc72feadf0"><enum>(5)</enum><text>to coordinate with, and otherwise support and assist, foreign governments, private sector entities, local communities, Indigenous Peoples, and other stakeholders in undertaking biodiversity conservation activities—</text><subparagraph id="id8D16E082963041778E18E5DF518AE218"><enum>(A)</enum><text>to achieve sustainable biodiversity conservation outcomes; and </text></subparagraph><subparagraph id="id93AB8924C42E4F48AC030CD45F9B3B42"><enum>(B)</enum><text>to improve local security, governance, food security, and economic opportunities.</text></subparagraph></paragraph></subsection></section><section id="idf324ac4503b5403685edd810ee12c134" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>4.</enum><header>Governance of the Foundation</header><subsection id="id79f13105f9f14300adc2db8a0335386b"><enum>(a)</enum><header>Board of Directors</header><paragraph id="id48F9C27C1E14471D946606B921E12F3B"><enum>(1)</enum><header>Governance</header><text>The Foundation shall be governed by a Board of Directors.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idf35c1d87b1e84c62957a9eb02a6770f8"><enum>(2)</enum><header>Composition</header><subparagraph commented="no" display-inline="no-display-inline" id="idb5193a8d805a4d20adb7d7183360eb21"><enum>(A)</enum><header>In general</header><text>The Board shall be composed of—</text><clause commented="no" display-inline="no-display-inline" id="id9e7f49a9bc944a429a7ebf1ae69e6f7d"><enum>(i)</enum><text display-inline="yes-display-inline">the Directors described in subparagraph (B); and </text></clause><clause commented="no" display-inline="no-display-inline" id="ide63937025da14c37a3139eb1fd1bae78"><enum>(ii)</enum><text display-inline="yes-display-inline">Appointed Directors described in subparagraph (C). </text></clause></subparagraph><subparagraph id="id0427913e01504568843af849726b7978"><enum>(B)</enum><header>Directors</header><text>The following individuals, or designees of such individuals, shall serve as Directors:</text><clause id="id19a695dd2118498c92ba0ff427702338"><enum>(i)</enum><text>The Secretary of State.</text></clause><clause id="ida9ec756cfb934a3985f9a9c3e1516eac"><enum>(ii)</enum><text>The Administrator of the United States Agency for International Development.</text></clause><clause id="id55af50cbf9634e39aa56f7406c4f3a87"><enum>(iii)</enum><text>The Secretary of the Interior.</text></clause><clause id="id8d6db3b339af4938b30f0e50805b3613"><enum>(iv)</enum><text>The Chief of the United States Forest Service.</text></clause><clause id="id1ec0b6a4d56b4741aa16a438131fc34c"><enum>(v)</enum><text>The Administrator of the National Oceanic and Atmospheric Administration.</text></clause></subparagraph><subparagraph id="id00383d5b5fe342dcb2fd6d26a04dcaf1"><enum>(C)</enum><header>Appointed directors</header><text>The Secretary, in consultation with the other Directors described in subparagraph (B), shall appoint, as Directors of the Board—</text><clause commented="no" display-inline="no-display-inline" id="id414ff1e985314bc98962b6da5321d585"><enum>(i)</enum><text display-inline="yes-display-inline">4 private-sector committed donors; and </text></clause><clause commented="no" display-inline="no-display-inline" id="idad324a78740c42899a84a37ee5f15d37"><enum>(ii)</enum><text display-inline="yes-display-inline">5 independent experts who represent diverse points of view, to the maximum extent practicable.</text></clause></subparagraph><subparagraph id="idC624CA9C68B74A86968139829AACB7F6"><enum>(D)</enum><header>Qualifications</header><text>Each independent expert appointed pursuant to subparagraph (C) shall be knowledgeable and experienced in matters relating to—</text><clause id="id09C6295BE68F473491E1994A6250D10C"><enum>(i)</enum><text>international development; </text></clause><clause id="idDE3F497923704480B9B184B8E6B26C20"><enum>(ii)</enum><text>protected area management and the conservation of global biodiversity, fish and wildlife, ecosystem restoration, adaptation, and resilience; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id090fa7d52569460095e2703d1b78eaa3"><enum>(iii)</enum><text>grantmaking in support of international conservation.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id607e45b2604647619808257b7798ab40"><enum>(E)</enum><header>Chairperson</header><text display-inline="yes-display-inline">The Board shall elect, from among its Directors, a Chairperson, who shall serve for a 2-year term.</text></subparagraph></paragraph><paragraph id="id1dd49fea319c4eb7923fa5c7dcca7421"><enum>(3)</enum><header>Terms; vacancies</header><subparagraph id="id037e0dda5ebf4bce83645249420848ca"><enum>(A)</enum><header>Terms</header><clause commented="no" display-inline="no-display-inline" id="idf392de3142b342a1ba2b528dbe602191"><enum>(i)</enum><header display-inline="yes-display-inline">In general</header><text>The term of service of each Director appointed pursuant to paragraph (2)(C) shall be not more than 5 years.</text></clause><clause commented="no" display-inline="no-display-inline" id="id7a6a7daf6323400792111a3befec7135"><enum>(ii)</enum><header>Initial appointed directors</header><text>Of the initial Directors appointed pursuant to paragraph (2)(C)—</text><subclause commented="no" display-inline="no-display-inline" id="id3ab135905dd24233b6ee1840ac7ab223"><enum>(I)</enum><text display-inline="yes-display-inline">5 Directors, including at least 2 private-sector committed donors, shall serve for 4 years; and </text></subclause><subclause commented="no" display-inline="no-display-inline" id="id2f2988986cb3459a9f11e40c8443372f"><enum>(II)</enum><text display-inline="yes-display-inline">4 Directors shall serve for 5 years, as determined by the Chairperson of the Board. </text></subclause></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id1b8844b3be9744bea5725c02a9c271e3"><enum>(B)</enum><header>Vacancies</header><text>Any vacancy in the membership of the appointed Directors of the Board—</text><clause id="idabe9259d6f384d1f80e62d5113637ac5"><enum>(i)</enum><text>shall be filled in accordance with the bylaws of the Foundation by a private-sector committed donor or an independent expert who meets the qualifications under subparagraph (C)(ii)(A), as applicable, as represented by the vacating Director;</text></clause><clause id="id3e47af2995dc4834ae7b6c2c993ad265"><enum>(ii)</enum><text>shall not affect the power of the remaining appointed Directors to execute the duties of the Board; and</text></clause><clause id="id6eac3fc296924706a8070869b1ab6e5f"><enum>(iii)</enum><text>shall be filled by an individual selected by the Board.</text></clause></subparagraph></paragraph><paragraph id="id00691275ff254b40a33c0e5013cb4839"><enum>(4)</enum><header>Quorum</header><text>A majority of the current membership of the Board shall constitute a quorum for the transaction of Foundation business.</text></paragraph><paragraph id="id24b469ea719f408d8c1b46a7b7cd0d76"><enum>(5)</enum><header>Meetings</header><subparagraph id="id7342D48A74A0475DA110A2793A169DAB"><enum>(A)</enum><header>In general</header><text>The Board shall meet at the call of the Chairperson not less frequently than annually. </text></subparagraph><subparagraph id="id1AC9FB7FB4C54C9B93CD55CE2A9C97E4"><enum>(B)</enum><header>Initial meeting</header><text>Not later than 60 days after the Board is established pursuant to section 3(a), the Secretary shall convene a meeting of the ex-officio Directors and the appointed Directors of the Board to incorporate the Foundation. </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idd1e51ed9d6f442799c09cd18479eae3e"><enum>(C)</enum><header display-inline="yes-display-inline">Removal</header><text>Any Director who misses 3 consecutive regularly scheduled meetings may be removed from the Board.</text></subparagraph></paragraph><paragraph id="id88ec8837d3ab46dea33d1ac571a9ad24"><enum>(6)</enum><header>Reimbursement of expenses</header><text>Directors of the Board shall serve without pay, but may be reimbursed for the actual and necessary traveling and subsistence expenses incurred in the performance of the duties of the Foundation.</text></paragraph><paragraph id="id061e0fcf7da440f98e0bbb455121c549"><enum>(7)</enum><header>Not federal employees</header><text>Appointment as a Director of the Board shall not constitute employment by, or the holding of an office of, the United States for purposes of any Federal law.</text></paragraph><paragraph id="ida8383c6d02744ca98e1ea6a0f05ecebd"><enum>(8)</enum><header>Duties</header><text>The Board shall—</text><subparagraph id="idef6191ac3d064226aec344b24949c160"><enum>(A)</enum><text>establish bylaws for the Foundation in accordance with paragraph (9);</text></subparagraph><subparagraph id="ida7cb4392762c474d8f5a3134b3792245"><enum>(B)</enum><text>provide overall direction for the activities of the Foundation and establish priority activities;</text></subparagraph><subparagraph id="ida79584600cb14984b560295e3a064f7b"><enum>(C)</enum><text>carry out any other necessary activities of the Foundation;</text></subparagraph><subparagraph id="ide59f69855d1f4fb7b696840727317185"><enum>(D)</enum><text>evaluate the performance of the Executive Director; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ide088fb7e29284d78954fda8aa2d6ecc7"><enum>(E)</enum><text>not less frequently than annually, consult and coordinate with stakeholders qualified to provide advice, assistance, and information regarding effective protected and conserved area management.</text></subparagraph></paragraph><paragraph id="id0519d3a3345a495ab244199a84117d65"><enum>(9)</enum><header>Bylaws</header><subparagraph id="id5fc258d6b08249f88033a35b7d2bdf5b"><enum>(A)</enum><header>In general</header><text>The bylaws established pursuant to paragraph (8)(A) may include—</text><clause id="idb34846b1434d4be9809b6228b053cc7b"><enum>(i)</enum><text>policies for the selection of Directors of the Board and officers, employees, agents, and contractors of the Foundation;</text></clause><clause id="id8c4d550fd667445ea5065f96dae8755b"><enum>(ii)</enum><text>policies, including ethical standards, for—</text><subclause id="idf5bd43fc7d6c4a63a0e7d55e97e64d6e"><enum>(I)</enum><text>the acceptance, solicitation, and disposition of donations and grants to the Foundation; and</text></subclause><subclause id="ide0a2e88d74f54768b648a7158511cc3c"><enum>(II)</enum><text>the disposition of assets of the Foundation;</text></subclause></clause><clause id="id75b435fe1ab244b8b0b364827daea57b"><enum>(iii)</enum><text>policies that subject all employees, fellows, trainees, and other agents of the Foundation (including ex-officio Directors and appointed Directors of the Board) to conflict of interest standards; and</text></clause><clause id="id75ab4f6fbac6446182ea23726413bc22"><enum>(iv)</enum><text>the specific duties of the Executive Director.</text></clause></subparagraph><subparagraph id="id1149f7187c4e42539c68456534f3e354"><enum>(B)</enum><header>Requirements</header><text>The Board shall ensure that the bylaws of the Foundation and the activities carried out under such bylaws do not—</text><clause id="id06fcd47984674fb58695bd81951f4319"><enum>(i)</enum><text>reflect unfavorably on the ability of the Foundation to carry out activities in a fair and objective manner; or</text></clause><clause id="id195cddbb2e784e14a5ec196785ed52ac"><enum>(ii)</enum><text>compromise, or appear to compromise, the integrity of any governmental agency or program, or any officer or employee employed by, or involved in, a governmental agency or program. </text></clause></subparagraph></paragraph></subsection><subsection id="id590f4752b4fe425ca0217f732523ba44"><enum>(b)</enum><header>Executive Director</header><text>The Board shall hire an Executive Director of the Foundation, who shall serve, at the pleasure of the Board, as the Chief Executive Officer of the Foundation.</text></subsection><subsection id="idd8c8ed019a984b92bcfab83fcdb61408" commented="no"><enum>(c)</enum><header>Foundation staff</header><text>Officers and employees of the Foundation—</text><paragraph id="idfa6f239cccf641168eab347cf2f51221" commented="no"><enum>(1)</enum><text>may not be employees of, or hold any office in, the United States Government; and</text></paragraph><paragraph id="id488ddbb7538f4a06887c453c043e7404" commented="no"><enum>(2)</enum><text>shall be appointed without regard to the provisions of—</text><subparagraph commented="no" display-inline="no-display-inline" id="idaf1f277bbda146f0a21d526f3c7ff913"><enum>(A)</enum><text display-inline="yes-display-inline">title 5, United States Code, governing appointments in the competitive service; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id30a4b4da594344ea99cd20f2e1e08394"><enum>(B)</enum><text display-inline="yes-display-inline">chapter 51 and subchapter III of chapter 53 of such title, relating to classification and General Schedule pay rates.</text></subparagraph></paragraph></subsection><subsection id="idaf58fa52cb404a50ad154962e53e30f4"><enum>(d)</enum><header>Limitation and conflicts of interests</header><paragraph id="id72d9e278b6a3423c8b3a4319095849ae"><enum>(1)</enum><header>Political participation</header><text>The Foundation may not participate or intervene in any political campaign on behalf of any candidate for public office in any country.</text></paragraph><paragraph id="idcdea1601e144410e81adf782dd8b7f20"><enum>(2)</enum><header>Financial interests</header><text>Any Director of the Board or officer or employee of the Foundation is prohibited from participating, directly or indirectly, in the consideration or determination of any question before the Foundation affecting—</text><subparagraph id="id48cd042c51a8492e99c7c9a60fb24b16"><enum>(A)</enum><text>the financial interests of such Director, officer, or employee; and</text></subparagraph><subparagraph id="id7ebc3b7a6e414ba3b6ba06797b71ee23"><enum>(B)</enum><text>the interests of any corporation, partnership, entity, or organization in which such Director, officer, or employee has any fiduciary obligation or direct or indirect financial interest.</text></subparagraph></paragraph></subsection></section><section id="id1effdf082ee34f0ebd5e9a6ddc0c2113" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>5.</enum><header>Corporate powers and obligations of the Foundation</header><subsection id="id98a9f64bdc234f06afa632dac3bdbb32"><enum>(a)</enum><header>General authority</header><paragraph id="id7583fbcfb3e34ca39b167430a583b0b9"><enum>(1)</enum><header>In general</header><text>The Foundation—</text><subparagraph id="idc41aee45ba79425c9e535974988c891b"><enum>(A)</enum><text>shall have perpetual succession unless dissolved by an Act of Congress;</text></subparagraph><subparagraph id="id0a91f84c13254427a51ff9eeb337b626"><enum>(B)</enum><text>may conduct business throughout the States, territories, and possessions of the United States and in foreign countries;</text></subparagraph><subparagraph id="id72ab9dce2dae4e9da34b982e117e9da9"><enum>(C)</enum><text>shall have its principal offices in the Washington, DC metropolitan area; and</text></subparagraph><subparagraph id="id3fc0d43514954018b75dc1edde370bba"><enum>(D)</enum><text>shall continuously maintain a designated agent in Washington, DC who is authorized to accept notice or service of process on behalf of the Foundation.</text></subparagraph></paragraph><paragraph id="id12ba268ecfb6400bbce64e29f21aeba6"><enum>(2)</enum><header>Notice and service of process</header><text>The serving of notice to, or service of process upon, the agent referred to in paragraph (1)(D), or mailed to the business address of such agent, shall be deemed as service upon, or notice to, the Foundation.</text></paragraph><paragraph id="id0198ec4555854a41a88964a19157cdff"><enum>(3)</enum><header>Seal</header><text>The Foundation shall have an official seal, which shall be selected by the Board and judicially noticed.</text></paragraph></subsection><subsection id="id18e024838b5e464f86d1ac6cf210f429"><enum>(b)</enum><header>Authorities</header><text>In addition to powers explicitly authorized under this Act, the Foundation, in order to carry out the purposes described in section 3(b), shall have the usual powers of a corporation headquartered in Washington, DC, including the authority—</text><paragraph id="id45088388bbec4b09aa7f96fb3af5682f"><enum>(1)</enum><text>to accept, receive, solicit, hold, administer, and use any gift, devise, or bequest, either absolutely or in trust, or real or personal property or any income derived from such gift or property, or other interest in such gift or property;</text></paragraph><paragraph id="idec77f77c207e4d02b3e9835cfed86603"><enum>(2)</enum><text>to acquire by donation, gift, devise, purchase, or exchange any real or personal property or interest in such property;</text></paragraph><paragraph id="idee6d1c4f4400499d93aa6849159c0eea"><enum>(3)</enum><text>unless otherwise required by the instrument of transfer, to sell, donate, lease, invest, reinvest, retain, or otherwise dispose of any property or income derived from such property;</text></paragraph><paragraph id="id64b8b92717c94a07b2a531347a181767"><enum>(4)</enum><text>to borrow money and issue bonds, debentures, or other debt instruments;</text></paragraph><paragraph id="id8425f1d8634b4951ab3c365b3f99c432"><enum>(5)</enum><text>to complain and defend itself in any court of competent jurisdiction (except that the Directors of the Board shall not be personally liable, except for gross negligence);</text></paragraph><paragraph id="id1a4fabed86234942b23cef2a69443eb1"><enum>(6)</enum><text>to enter into contracts or other arrangements with public agencies, private organizations, and persons and to make such payments as may be necessary to carry out the purposes of such contracts or arrangements; and</text></paragraph><paragraph id="id39309ebab5c846dc948c056a127a674a"><enum>(7)</enum><text>to award grants for eligible projects, in accordance with section 7.</text></paragraph></subsection><subsection id="id9c820f3a7fc74c1ebce89abe7841603d" commented="no"><enum>(c)</enum><header>Property interests</header><paragraph id="id58a86ffe8c66496a8896ade4357f96b1" commented="no"><enum>(1)</enum><header>Interest in real property</header><text>In this subsection, the term <term>interest in real property</term> includes—</text><subparagraph commented="no" id="id37E257306D604B949A6135FE9DA75127"><enum>(A)</enum><text>mineral and water rights;</text></subparagraph><subparagraph commented="no" id="idC0A73A10A1A6415FB932814742C70CBF"><enum>(B)</enum><text>rights of way; and </text></subparagraph><subparagraph commented="no" id="idC9FE5F955BA7448A82D24F10EAAB3CD2"><enum>(C)</enum><text>easements appurtenant or in gross. </text></subparagraph></paragraph><paragraph commented="no" id="idA9FF22E5677940209D55C80D692411BA"><enum>(2)</enum><header>In general</header><text>The Foundation may acquire, hold, and dispose of lands, waters, and other interests in real property by donation, gift, devise, purchase, or exchange. </text></paragraph><paragraph commented="no" id="idBB34774DDE0C499090A49B8E8CFE7025"><enum>(3)</enum><header>Limits to property rights</header><text>A gift, devise, or bequest may be accepted by the Foundation even though it is encumbered, restricted, or subject to beneficial interests of private persons if any current or future interest therein is for the benefit of the Foundation.</text></paragraph></subsection><subsection id="idbedaa5b3baa843d59d5250d6eb6ec0af"><enum>(d)</enum><header>Federal funds</header><paragraph id="idCD57A5D56B8A47F597EB67BE68581E9D"><enum>(1)</enum><header>In general</header><text>The Foundation may—</text><subparagraph id="idE25F2EC524374FA19A83DFDB589C3B82"><enum>(A)</enum><text>hold Federal funds made available, but not immediately disbursed; and </text></subparagraph><subparagraph id="idC6838E228B2E4C988FB2A62236EAB3C1"><enum>(B)</enum><text>use any interest or other investment income earned on such Federal funds to carry out the purposes of the Foundation under this Act.</text></subparagraph></paragraph><paragraph id="idAEF7A0CD742B42F0A0379D32A3F65444"><enum>(2)</enum><header>Limitation</header><text>Investments made pursuant to paragraph (1)(B) may only be made in—</text><subparagraph id="idE5B0D6AC22884255ABA788F9144E7DFE"><enum>(A)</enum><text>interest-bearing obligations of the United States; or </text></subparagraph><subparagraph id="id1F567378D3384ACAB02DA13C17C0ECB5"><enum>(B)</enum><text>obligations guaranteed as to both principal and interest by the United States.</text></subparagraph></paragraph></subsection><subsection id="id1bb78a49ae7947568027e81ace26a434"><enum>(e)</enum><header>Limitation of public liability</header><text>The United States shall not be liable for any debts, defaults, acts, or omissions of the Foundation.</text></subsection></section><section id="ide0a15e4c7d1b47d7b2c0d91d72ab9ab7" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>6.</enum><header>Safeguards and accountability</header><subsection id="ida9cb844de1c64f3f81de58999a8dc046"><enum>(a)</enum><header>Safeguards</header><text>The Foundation shall develop, and incorporate into any agreement for support provided by the Foundation, appropriate safeguards, policies, and guidelines, consistent with internationally recognized best practices and standards for environmental and social safeguards.</text></subsection><subsection id="ide52c94f23f534165937fcf4bde45a1e5"><enum>(b)</enum><header>Independent accountability mechanism</header><paragraph id="idb578dfaeebe84fa7bd8cbff4816fa05a"><enum>(1)</enum><header>In general</header><text>The Foundation shall establish a transparent and independent accountability mechanism, which shall provide—</text><subparagraph id="id41ff9b5781c649bdba78cbe719c75d3c"><enum>(A)</enum><text>a compliance review function that assesses whether Foundation-supported projects adhere to the requirements developed pursuant to subsection (a);</text></subparagraph><subparagraph id="id08533c7d19d845199b1abf81626920d0"><enum>(B)</enum><text>a dispute resolution function for resolving concerns between complainants and project implementers regarding the impacts of specific Foundation-supported projects with respect to such standards; and</text></subparagraph><subparagraph id="ide02db04ca9e8451cac5d489fe23dd8e4"><enum>(C)</enum><text>an advisory function that reports to the Foundation on projects, policies, and practices.</text></subparagraph></paragraph><paragraph id="ida6f9284fef6043c786f9bee7947fa712"><enum>(2)</enum><header>Duties</header><text>The accountability mechanism shall—</text><subparagraph id="idaa19321bd15642829709111f5912004a"><enum>(A)</enum><text>report annually to the Board and to the appropriate congressional committees regarding the Foundation’s compliance with internationally recognized best practices and standards in accordance with paragraph (1)(A);</text></subparagraph><subparagraph id="idacc134c0f8fc49d1bb83265623e60aa4"><enum>(B)</enum><clause commented="no" display-inline="yes-display-inline" id="id45578721E78A451597294A9E09B1FBAE"><enum>(i)</enum><text>have permanent staff to conduct compliance reviews and dispute resolutions; or </text></clause><clause id="id28459BF6FFD34F7EBEA942730105090F" indent="up1"><enum>(ii)</enum><text>maintain a roster of experts to serve such roles, to the extent needed; and</text></clause></subparagraph><subparagraph id="id8909a0e8964f475fac930aee30439ad0"><enum>(C)</enum><text>hold a public comment period lasting not fewer than 60 days regarding the initial design of the accountability mechanism.</text></subparagraph></paragraph></subsection></section><section id="idb548467ea4de4b43b341886268922101" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>7.</enum><header>Projects and grants</header><subsection id="iddf8f0b735f1f418381172bef093823fb"><enum>(a)</enum><header>Project funding requirements</header><paragraph id="idC2FC9C90CD454F6CB27013A1261195BE"><enum>(1)</enum><header>In general</header><text>The Foundation shall—</text><subparagraph id="id702120D882E34843B655699E1158C317"><enum>(A)</enum><text>fund eligible projects that support its mission to provide long-term funding for the effective management of protected and conserved areas and their contiguous buffer zones in eligible countries; and</text></subparagraph><subparagraph id="id28EB0EA3505C46E8899555E43EFB862D"><enum>(B)</enum><text>recognize the importance of a landscape or seascape approach to conservation that includes buffer zones, wildlife dispersal and corridor areas, and other effective area-based conservation measures.</text></subparagraph></paragraph><paragraph id="idEF0FF8B9304A4BC2BB7AAE81A6D9366A"><enum>(2)</enum><header>Eligible projects</header><text>Eligible projects shall include projects that—</text><subparagraph id="idaedb3a3c18974107b5015ceb8b75351f"><enum>(A)</enum><text>focus on supporting—</text><clause id="id5C39D54988664BD9B8047294621C7BD0"><enum>(i)</enum><text>long-term management of protected or conserved areas and their contiguous buffer zones in countries described in subsection (b), including terrestrial, coastal, and marine-protected or conserved areas, parks, community conservancies, indigenous reserves, conservation easements, and biological reserves; and </text></clause><clause id="id199B280F2B4941D8B003E650962555E3"><enum>(ii)</enum><text>other effective area-based conservation measures;</text></clause></subparagraph><subparagraph id="id94b222bbb1d24a47912efd32540b312b"><enum>(B)</enum><text>are cost-matched from sources other than the United States Government;</text></subparagraph><subparagraph id="ide36c43e888dd4c5db247386088b4b4f4"><enum>(C)</enum><text>have host country and local population support, as evidenced by a long-term binding memorandum of understanding signed by the host government that respects free, prior, and informed consent of affected communities;</text></subparagraph><subparagraph id="id855c11907e6a43119035617cbb5b2580"><enum>(D)</enum><text>incorporate a set of key performance indicators;</text></subparagraph><subparagraph id="idf540a19b5dda422e8c8dbe7de9134983"><enum>(E)</enum><text>demonstrate robust local community engagement, with the completion of appropriate environmental and social due diligence, including—</text><clause id="idAB6CE1A794084BDC865CF549EC22C5DB"><enum>(i)</enum><text>free, prior, and informed consent of Indigenous Peoples and consultation with relevant local communities;</text></clause><clause id="id69D5C0CE8DAD4C318AEBEB33C7AABD6B"><enum>(ii)</enum><text>equitable governance structures; and </text></clause><clause id="id70581C7DB5674E5D821CFB1422DDB4B2"><enum>(iii)</enum><text>effective grievance mechanisms;</text></clause></subparagraph><subparagraph id="id15b713ca8ce747b9a328fab619ddfdbc"><enum>(F)</enum><text>create economic opportunities for local communities, through activities such as—</text><clause id="id6B7132D2A1504822BE1B1009154E45F2"><enum>(i)</enum><text>equity and profit-sharing;</text></clause><clause id="idAB3AB252CF444A989FAF0C7DFE6770EB"><enum>(ii)</enum><text>employment activities; and</text></clause><clause id="id8E5592911F3845E0B20B7689DA69C92D"><enum>(iii)</enum><text>other economic growth activities;</text></clause></subparagraph><subparagraph id="id208dd33151a5451abd8840cdb250709c"><enum>(G)</enum><text>provide stable baseline funding for the effective management of the protected or conserved area project;</text></subparagraph><subparagraph id="id80116b291e18444fad952b0ce19d7b26"><enum>(H)</enum><text>are implementation ready; and</text></subparagraph><subparagraph id="id6c2864ffd380487695c93d045f9b100e"><enum>(I)</enum><text>where possible, demonstrate a plan to strengthen the capacity of, and transfer skills to, local institutions to manage the protected or conserved area before or after grant funding is exhausted. </text></subparagraph></paragraph></subsection><subsection id="id00bd142d1a694a7c86a3cecf5bed5ef5"><enum>(b)</enum><header>Eligible countries</header><paragraph commented="no" display-inline="no-display-inline" id="id0b394ee1c77e46ce82ecc9a47c904210"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Before awarding any grants or entering into any project agreements for a given fiscal year, the Board shall conduct a review of countries in which the Foundation shall be eligible to fund projects to determine which countries—</text><subparagraph id="id86ee6b2ade114f70be9a074732f0e301"><enum>(A)</enum><text>are low-income, lower-middle-income, or upper-middle-income economies (as defined by the International Bank for Reconstruction and Development and the International Development Association;</text></subparagraph><subparagraph id="id39a84476324148859a89cfa35531e797"><enum>(B)</enum><text>have—</text><clause id="idEA9D4E6BA1C44B66A3B89E1D6D08A949"><enum>(i)</enum><text>a high degree of biological diversity; or </text></clause><clause id="id92B489EE1906409EAB8F21DBFA88E7BE"><enum>(ii)</enum><text>species or ecosystems of significant importance; and</text></clause></subparagraph><subparagraph id="id3cf0e2167bd241bda93a3465e1c5d160"><enum>(C)</enum><text>have demonstrated a commitment to conservation through actions, such as protecting lands and waters through the gazettement of national parks, community conservancies, marine reserves and protected areas, forest reserves, and other legally recognized forms of place-based conservation.</text></subparagraph></paragraph><paragraph id="id00324c5fee4b46eda965f9adb395a8eb"><enum>(2)</enum><header>Identification of eligible countries</header><text>Not later than 5 days after the date on which the Board determines which countries are eligible countries for a given fiscal year, the Executive Director shall—</text><subparagraph id="id4d5cb519be314dc8ae4e2e7956063bf9"><enum>(A)</enum><text>submit a report to the appropriate congressional committees that includes—</text><clause commented="no" display-inline="no-display-inline" id="id28afc649fac0434091503d5cef3f024a"><enum>(i)</enum><text display-inline="yes-display-inline">a list of all such eligible countries; and </text></clause><clause commented="no" display-inline="no-display-inline" id="idb9831e9f660f4f3591b547850363a371"><enum>(ii)</enum><text display-inline="yes-display-inline">a justification for such eligibility determinations; and</text></clause></subparagraph><subparagraph id="idbaae7eb6cc0542d8911d3b0da215197c"><enum>(B)</enum><text>publish the information contained in the report described in paragraph (A) in the Federal Register. </text></subparagraph></paragraph></subsection><subsection id="idfff4bad6dbd4490d8b8136f3bf706660"><enum>(c)</enum><header>Grantmaking</header><paragraph id="id428D328F4CA54B2C9A424B7006076025"><enum>(1)</enum><header>In general</header><text>In order to maximize its program effects, the Foundation should—</text><subparagraph id="idE716D2CAFB2D405F8A974096B635A578"><enum>(A)</enum><text>seek to coordinate with other international public and private donors to the extent possible;</text></subparagraph><subparagraph id="id365C62AC057248E6AFFC8D32A5A110C0"><enum>(B)</enum><text>seek additional financial and nonfinancial contributions and commitments for its projects from host governments; and </text></subparagraph><subparagraph id="id7AE6A717E90A4117B83B9978580709CC"><enum>(C)</enum><text>strive to generate a partnership mentality among all participants, including public and private funders, host governments, local protected areas authorities, and private and nongovernmental organization partners. </text></subparagraph></paragraph><paragraph id="id4D7FF37660694EA38267371519360A09"><enum>(2)</enum><header>Grant criteria</header><text>Foundation grants—</text><subparagraph id="id09dee182a30b454e93e74e20e8c0dd44"><enum>(A)</enum><text>shall fund the management of well-defined protected or conserved areas and the systems of such conservation areas in eligible countries;</text></subparagraph><subparagraph id="ide1c7118261984ae89f89cc618ec653ed"><enum>(B)</enum><text>should provide adequate baseline funding for at least 10 years, without replacing or duplicating existing baseline funding, for each protected and conserved area and the system that supports that area in an amount sufficient to maintain the effective management of the area over the long term;</text></subparagraph><subparagraph id="id2707a0cc5ea149bab78c477fcc012862"><enum>(C)</enum><text>should, during the grant period, demonstrate progress in achieving clearly identified key performance indicators (as defined in the grant agreement), which may include—</text><clause id="id28aa3b74ce574ddc91f1160d231d4fac"><enum>(i)</enum><text>the protection of biological diversity;</text></clause><clause id="id10daef8dd02a43b49d623eb1f804888f"><enum>(ii)</enum><text>the protection of native flora and habitats, such as trees, forests, grasslands, mangroves, coral reefs, and sea grass;</text></clause><clause id="id9c02493fe4684a7e87f3ea9f3143896f"><enum>(iii)</enum><text>community-based economic growth indicators, such as improved land tenure, increases in beneficiaries participating in economic growth activities, and sufficient income from conservation activities being directed to communities in project areas;</text></clause><clause id="id287b6bb06d424ddc92af44e8ca3cc7a7"><enum>(iv)</enum><text>improved management of the protected or conserved area covered by the project, as documented through the submission of strategic plans or annual reports to the Foundation; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id4af6d6cd3ba047d98239374697587740"><enum>(v)</enum><text>the identification of additional revenue sources or sustainable financing mechanisms to meet the recurring costs of management of the protected or conserved areas; and </text></clause></subparagraph><subparagraph id="id2a8e69be7faa4a7189512a4c6d6d2344"><enum>(D)</enum><text>may be terminated if the Board determines that the project is not meeting applicable requirements under this Act or making progress in achieving the key performance indicators defined in the grant agreement. </text></subparagraph></paragraph></subsection></section><section id="id7a50731213fc4e429394b1b7ea7e0474" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>8.</enum><header>Prohibition of support in countries that support terrorism or violate human rights and of support for sanctioned persons</header><subsection id="id5c249d469aeb4104aac7f2a28a660215"><enum>(a)</enum><header>In general</header><text>The Foundation may not provide support for any government, or any entity owned or controlled by a government, if the Secretary has determined that such government—</text><paragraph id="id5800c77fd15645a0afea02e56c09194b"><enum>(1)</enum><text>has repeatedly provided support for acts of international terrorism, as determined under—</text><subparagraph id="idda1e8d6ab335494e8b5bda8f8038d366"><enum>(A)</enum><text>section 1754(c)(1)(A)(i) of the Export Control Reform Act of 2018 (subtitle B of title XVII of <external-xref legal-doc="public-law" parsable-cite="pl/115/232">Public Law 115–232</external-xref>);</text></subparagraph><subparagraph id="id77c8a71d835d4cb2a60d625bf56fc77a"><enum>(B)</enum><text>section 620A(a) of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2371">22 U.S.C. 2371(a)</external-xref>);</text></subparagraph><subparagraph id="idc429382733d54b3c8fee98f6c5759801"><enum>(C)</enum><text>section 40(d) of the Arms Export Control Act (<external-xref legal-doc="usc" parsable-cite="usc/22/2780">22 U.S.C. 2780(d)</external-xref>); or</text></subparagraph><subparagraph id="id19bde1485bc94a958bfbecb11133a384"><enum>(D)</enum><text>any other relevant provision of law; or</text></subparagraph></paragraph><paragraph id="id3b0b295e29e243538011169ccb1f2604"><enum>(2)</enum><text>has engaged in a consistent pattern of gross violations of internationally recognized human rights, as determined under section 116(a) or 502B(a)(2) of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2151n">22 U.S.C. 2151n(a)</external-xref> and 2304(a)(2)) or any other relevant provision of law.</text></paragraph></subsection><subsection id="id285e07e8d53a4832810fee38dadffe15"><enum>(b)</enum><header>Prohibition of support for sanctioned persons</header><text>The Foundation may not engage in any dealing prohibited under United States sanctions laws or regulations, including dealings with persons on the list of specially designated persons and blocked persons maintained by the Office of Foreign Assets Control of the Department of the Treasury, except to the extent otherwise authorized by the Secretary or by the Secretary of the Treasury.</text></subsection><subsection id="id27fe28f77268448686771b40ac5bc5c1"><enum>(c)</enum><header>Prohibition of support for activities subject to sanctions</header><text>The Foundation shall require any person receiving support to certify that such person, and any entity owned or controlled by such person, is in compliance with all United States sanctions laws and regulations. </text></subsection></section><section id="id5603e056ab1644f6b4f1c7fc9de9c508" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>9.</enum><header>Annual report</header><text display-inline="no-display-inline">Not later than 360 days after the date of the enactment of this Act, and annually thereafter while the Foundation continues to operate, the Executive Director of the Foundation shall submit a report to the appropriate congressional committees that describes—</text><paragraph id="id9247ebd0247c4ceabf246e99db3cf6fd"><enum>(1)</enum><text>the goals of the Foundation;</text></paragraph><paragraph id="id80abec7c55af4cacb4f512ff34d86941"><enum>(2)</enum><text>the programs, projects, and activities supported by the Foundation;</text></paragraph><paragraph id="ide53415de8b824ceeaf88d76d552150b7"><enum>(3)</enum><text>private and governmental contributions to the Foundation; and</text></paragraph><paragraph id="idde010199d16f44a98e09bca1ecbd1ac0"><enum>(4)</enum><text>the standardized criteria utilized to determine the programs and activities supported by the Foundation, including baselines, targets, desired outcomes, measurable goals, and extent to which those goals are being achieved for each project.</text></paragraph></section><section id="id7cf9cd0afb1045f3806751805e3c50b6" changed="deleted" reported-display-style="strikethrough" committee-id="SSFR00"><enum>10.</enum><header>Authorization of appropriations</header><subsection id="id0E91D15C64E448BD92BEEB63C71EC1CF"><enum>(a)</enum><header>In general</header><text>There are authorized to be appropriated to the Foundation $100,000,000 for each of the fiscal years 2024 through 2033 to carry out the purposes of this Act.</text></subsection><subsection id="id104461118e024e59b71d26d3eeeca4b5"><enum>(b)</enum><header>Cost matching requirement</header><text>Amounts appropriated pursuant to subsection (a) may only be made available to grantees to the extent such grantees secure funding for an eligible project from sources other than the United States Government in an amount that is not less than the amount received in grants for such project pursuant to section 7.</text></subsection></section></legis-body><legis-body display-enacting-clause="no-display-enacting-clause"><section id="idfc5964a807e2408eb278aa2553ebb772" section-type="section-one" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>1.</enum><header>Short title; Authorization of appropriations.</toc-entry></toc></subsection></section><section id="id20b310df447d4d378c0f5a1e1d21cf9b" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="id1b4c929905e147d788187b029ca70d91"><enum>(1)</enum><header>Appropriate congressional committees</header><text>The term <term>appropriate congressional committees</term> means—</text><subparagraph id="id302aae1a24464c77839bc5ce43c325d9"><enum>(A)</enum><text>the <committee-name committee-id="SSFR00">Committee on Foreign Relations of the Senate</committee-name>;</text></subparagraph><subparagraph id="id71a77b385ce84fc688cb414fefd74387"><enum>(B)</enum><text>the <committee-name committee-id="SSAP00">Committee on Appropriations of the Senate</committee-name>;</text></subparagraph><subparagraph id="id7aa1de86fb8547ecb436f70da4314400"><enum>(C)</enum><text>the <committee-name committee-id="">Committee on Foreign Affairs of the House of Representatives</committee-name>; and</text></subparagraph><subparagraph id="idd56d28b9b28348a0a1c7abff78b6a8f1"><enum>(D)</enum><text>the <committee-name committee-id="">Committee on Appropriations of the House of Representatives</committee-name>.</text></subparagraph></paragraph><paragraph id="id07386a96d2fb490a9c2c27eff6c0e08c"><enum>(2)</enum><header>Board</header><text>The term <term>Board</term> means the Board of Directors established pursuant to section 4(a).</text></paragraph><paragraph id="idf92d8b87597b48438caba2d03e323405"><enum>(3)</enum><header>Eligible country</header><text>The term <term>eligible country</term> means any country described in section 7(b).</text></paragraph><paragraph id="id9704947a59cc4e7eba857bf906599207"><enum>(4)</enum><header>Eligible project</header><text>The term <term>eligible project</term> means any project described in section 7(a)(2).</text></paragraph><paragraph id="id60446e3e52c84420bee8d7aeda627f8f"><enum>(5)</enum><header>Executive director</header><text>The term <term>Executive Director</term> means the Executive Director of the Foundation hired pursuant to section 4(b).</text></paragraph><paragraph id="id4f0ec4e416cd4c8fba450df0a242911b"><enum>(6)</enum><header>Foundation</header><text>The term <term>Foundation</term> means the United States Foundation for International Conservation established pursuant to section 3(a).</text></paragraph><paragraph id="ide9d916dfad914497ad268721bcc38182"><enum>(7)</enum><header>Secretary</header><text>The term <term>Secretary</term> means the Secretary of State.</text></paragraph></section><section id="id34ded206376d47748280da3f8681291d" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>3.</enum><header>United States Foundation for International Conservation</header><subsection id="id1df8c5be4cd74123b8218a36f1998a1f"><enum>(a)</enum><header>Establishment</header><paragraph id="idbe32bd5677134e179c7257ecac254aca"><enum>(1)</enum><header>In general</header><text>Not later than 180 days after the date of the enactment of this Act, the Secretary shall establish the United States Foundation for International Conservation (referred to in this Act as the <quote>Foundation</quote>), which shall be operated as a charitable, nonprofit corporation.</text></paragraph><paragraph id="idc3d3e0dcd2064d8bb4f071b91d15ccd5"><enum>(2)</enum><header>Independence</header><text>The Foundation is not an agency or instrumentality of the United States Government.</text></paragraph><paragraph id="ida4729d219a2041d3b7b4af33c0fc578e"><enum>(3)</enum><header>Tax-exempt status</header><text>The Board shall take all necessary and appropriate steps to ensure that the Foundation is an organization described in subsection (c) of <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501</external-xref> of the Internal Revenue Code of 1986, which exempt the organization from taxation under subsection (a) of such section.</text></paragraph><paragraph id="id958dba79eaff43ea8ed55999139a279c"><enum>(4)</enum><header>Termination of operations</header><text>The Foundation shall terminate operations on the date that is 10 years after the date on which the Foundation becomes operational, in accordance with—</text><subparagraph id="id43036688a67547b882a28d67389885a2"><enum>(A)</enum><text>a plan for winding down the activities of the Foundation that the Board shall submit to the appropriate congressional committees not later than 180 days before such termination date; and</text></subparagraph><subparagraph id="ideb23deeeb69140bab97d08dbee93d90c"><enum>(B)</enum><text>the bylaws established pursuant to section 4(b)(13).</text></subparagraph></paragraph></subsection><subsection id="id967f3bba2cca4b2d90f05684beea359c"><enum>(b)</enum><header>Purposes</header><text>The purposes of the Foundation are—</text><paragraph id="id5baa417e06ac4350b7fe485ba6cc32f9"><enum>(1)</enum><text>to provide grants for the responsible management of designated priority primarily protected and conserved areas in eligible countries that have a high degree of biodiversity or species and ecosystems of significant ecological value;</text></paragraph><paragraph id="id6d68ede6dddd49aab4a91c05ef6c742f"><enum>(2)</enum><text>to promote responsible, long-term management of primarily protected and conserved areas and their contiguous buffer zones;</text></paragraph><paragraph id="id2cb4b4c3164d44aeb2a1592ad9ac8213"><enum>(3)</enum><text>to incentivize, leverage, accept, and effectively administer governmental and nongovernmental funds, including donations from the private sector, to increase the availability and predictability of financing for responsible, long-term management of primarily protected and conserved areas in eligible countries;</text></paragraph><paragraph id="ida5a9a72c605d46a6b344a126f9f2c7cf"><enum>(4)</enum><text>to help close critical gaps in public international conservation efforts in eligible countries by—</text><subparagraph id="id3b5b4ab53e4543b596d300ba6729f31a"><enum>(A)</enum><text>increasing private sector investment, including investments from philanthropic entities; and</text></subparagraph><subparagraph id="id3ae3f319150f43cb93aa0cbd47956d9a"><enum>(B)</enum><text>collaborating with partners providing bilateral and multilateral financing to support enhanced coordination, including public and private funders, partner governments, local protected areas authorities, and private and nongovernmental organization partners;</text></subparagraph></paragraph><paragraph id="id7ddfd56d3a7b4291965510f3306f68b0"><enum>(5)</enum><text>to identify and financially support viable projects that—</text><subparagraph id="id0fd53237daa14f6ea53fb9c9809a09cf"><enum>(A)</enum><text>promote responsible, long-term management of primarily protected and conserved areas and their contiguous buffer zones in eligible countries, including support for the management of terrestrial, coastal, freshwater, and marine protected areas, parks, community conservancies, Indigenous reserves, conservation easements, and biological reserves; and</text></subparagraph><subparagraph id="idc58455aa871a4553ad25e014d10173c6"><enum>(B)</enum><text>provide effective area-based conservation measures, consistent with best practices and standards for environmental and social safeguards; and</text></subparagraph></paragraph><paragraph id="ide7fff277d9b54fb1b00b227b11354f19"><enum>(6)</enum><text>to coordinate with, consult, and otherwise support and assist, governments, private sector entities, local communities, Indigenous Peoples, and other stakeholders in eligible countries in undertaking biodiversity conservation activities—</text><subparagraph id="id25f1b927a293488dadce86102d12df2b"><enum>(A)</enum><text>to achieve measurable and enduring biodiversity conservation outcomes; and</text></subparagraph><subparagraph id="id1c3524498ae842ddbfd0f3acf1c19a68"><enum>(B)</enum><text>to improve local security, governance, food security, and economic opportunities.</text></subparagraph></paragraph></subsection><subsection id="id1abf41e238a6457aa8f335c8ff1de64f"><enum>(c)</enum><header>Plan of action</header><paragraph id="id2981a52853ce452a99d0b8f124a0def0"><enum>(1)</enum><header>In general</header><text>Not later than 6 months after the establishment of the Foundation, the Executive Director shall submit for approval from the Board an initial 3-year Plan of Action to implement the purposes of this Act, including—</text><subparagraph id="id2cf1764f1c7f410eb05760b0ae1fc0c3"><enum>(A)</enum><text>a description of the priority actions to be undertaken by the Foundation over the proceeding 3-year period, including a timeline for implementation of such priority actions;</text></subparagraph><subparagraph id="id91696df2a5c4466c940004f6c97659b7"><enum>(B)</enum><text>descriptions of the processes and criteria by which—</text><clause id="id443cfc7a73b14d07b12a820421f38925"><enum>(i)</enum><text>eligible countries, in which eligible projects may be selected to receive assistance under this Act, will be identified;</text></clause><clause id="id794d8e5a8cbc4842a7a3757d78e6f075"><enum>(ii)</enum><text>grant proposals for Foundation activities in eligible countries will be developed, evaluated, and selected; and</text></clause><clause id="id42195e033e704ca489902ea7941f7087"><enum>(iii)</enum><text>grant implementation will be monitored and evaluated;</text></clause></subparagraph><subparagraph id="id59bfb8818c354b43a4153ed49a98f512"><enum>(C)</enum><text>the projected staffing and budgetary requirements of the Foundation during the proceeding 3-year period.</text></subparagraph><subparagraph id="id9f3e0cc43b404a3ea61c8fc6bc590bb6"><enum>(D)</enum><text>a plan to maximize commitments from private sector entities to fund the Foundation.</text></subparagraph></paragraph><paragraph id="id189290e54102439594c82598d2026901"><enum>(2)</enum><header>Submission</header><text>The Executive Director shall submit the initial Plan of Action to the appropriate congressional committees not later than 5 days after the Plan of Action is approved by the Board.</text></paragraph><paragraph id="id879e2d619d674707ad56b775d262e221"><enum>(3)</enum><header>Updates</header><text>The Executive Director shall annually update the Plan of Action and submit each such updated plan to the appropriate congressional committees not later that 5 days after the update plan is approved by the Board.</text></paragraph></subsection></section><section id="idaa613554705841068d0bed9b0a85efc3" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>4.</enum><header>Governance of the Foundation</header><subsection id="ide611467614eb40a085428623975a6ed1"><enum>(a)</enum><header>Executive Director</header><text>There shall be in the Foundation an Executive Director, who—</text><paragraph commented="no" display-inline="no-display-inline" id="ida91a6a957c2b48cea26f05b9b6bd065e"><enum>(1)</enum><text display-inline="yes-display-inline">shall manage the Foundation; and </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id70716692711d401598b751b6d52943d7"><enum>(2)</enum><text display-inline="yes-display-inline">shall report to, and be under the direct authority, of the Board.</text></paragraph></subsection><subsection id="id865f9b03a40f412ba566e9c97b0f517b"><enum>(b)</enum><header>Board of directors</header><paragraph id="ide3d9573895804d01b97f01555e766d66"><enum>(1)</enum><header>Governance</header><text>The Foundation shall be governed by a Board of Directors, which—</text><subparagraph commented="no" display-inline="no-display-inline" id="idc0e0822ac1b04353baa3e66f2d59e7ad"><enum>(A)</enum><text display-inline="yes-display-inline">shall perform the functions specified to be carried out by the Board under this Act; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id21d0dce90906435481a919baae6081dc"><enum>(B)</enum><text display-inline="yes-display-inline">may prescribe, amend, and repeal bylaws, rules, regulations, and procedures governing the manner in which the business of the Foundation may be conducted and in which the powers granted to it by law may be exercised.</text></subparagraph></paragraph><paragraph id="id92963b38c74845dfba211d7fd6adae3b"><enum>(2)</enum><header>Membership</header><text>The Board shall be composed of—</text><subparagraph id="id632b887a2fee4be397187dbcbe9b9d53"><enum>(A)</enum><text>the Secretary of State, the Administrator of the United States Agency for International Development, the Secretary of the Interior, the Chief of the United States Forest Service, and the Administrator of the National Oceanic and Atmospheric Administration, or the Senate-confirmed designees of such officials; and</text></subparagraph><subparagraph id="id5f9044d73b024e81b13f99d29ccf6704"><enum>(B)</enum><text>8 other individuals, who shall be appointed by the Secretary, in consultation with the members of the Board described in subparagraph (A), the Speaker and Minority Leader of the House of Representatives, and the President Pro Tempore and Minority Leader of the Senate, of whom—</text><clause id="id2bb3821a83e84d329f06a35b7c326c17"><enum>(i)</enum><text>4 members shall be private-sector donors making financial contributions to the Foundation; and</text></clause><clause id="idd3007d1f006b4738aca2709dd8df2871"><enum>(ii)</enum><text>4 members shall be independent experts who, in addition to meeting the qualification requirements described in paragraph (3), represent diverse points of view and diverse geographies, to the maximum extent practicable.</text></clause></subparagraph></paragraph><paragraph id="id0d9346a2afb74d5ca584aad60c0f9e01" commented="no"><enum>(3)</enum><header>Qualifications</header><text>Each member of the Board appointed pursuant to paragraph (2)(B) shall be knowledgeable and experienced in matters relating to—</text><subparagraph id="ided2d61f5155c412eb242e0a0372cfff9" commented="no"><enum>(A)</enum><text>international development;</text></subparagraph><subparagraph id="id7e78e16c03c340d4b3e2887b42634a6d" commented="no"><enum>(B)</enum><text>protected area management and the conservation of global biodiversity, fish and wildlife, ecosystem restoration, adaptation, and resilience; and</text></subparagraph><subparagraph id="idf8d1e3d0d39249dbacbf1f7721c1a29d" commented="no"><enum>(C)</enum><text>grantmaking in support of international conservation.</text></subparagraph></paragraph><paragraph id="id924542f1c505402b9cd6ded2abc20709" commented="no"><enum>(4)</enum><header>Political affiliation</header><text>Not more than 5 of the members appointed to the Board pursuant to paragraph (2)(B) may be affiliated with the same political party.</text></paragraph><paragraph id="ida89b577af2f44cb7a2c837bc4dc3173d" commented="no"><enum>(5)</enum><header>Conflicts of interest</header><text>Any individual with business interests, financial holdings, or controlling interests in any entity that has sought support, or is receiving support, from the Foundation may not be appointed to the Board during the 5-year period immediately preceding such appointment.</text></paragraph><paragraph id="idcb0459cdecd04e4b9c8e80e73df54fc1" commented="no"><enum>(6)</enum><header>Chairperson</header><text>The Board shall elect, from among its members, a Chairperson, who shall serve for a 2-year term.</text></paragraph><paragraph id="id1af75a09592441fdbe331b393941e740"><enum>(7)</enum><header>Terms; vacancies</header><subparagraph id="idea2cb56e0c8345d8987fdb85bf02991f"><enum>(A)</enum><header>Terms</header><clause id="idb931e4d505a64a8b938c38576fff312f"><enum>(i)</enum><header>In general</header><text>The term of service of each member of the Board appointed pursuant to paragraph (2)(B) shall be not more than 5 years.</text></clause><clause id="idba341d5a902e451293777f4ad46e864d"><enum>(ii)</enum><header>Initial appointed directors</header><text>Of the initial members of the Board appointed pursuant to paragraph (2)(B)—</text><subclause id="id829f064308e843ee9c22402e357b0006"><enum>(I)</enum><text>4 members, including at least 2 private-sector donors making financial contributions to the Foundation, shall serve for 4 years; and</text></subclause><subclause id="idaa7fbe5a67b7427ab88d98cd2d27d5a5"><enum>(II)</enum><text>4 members shall serve for 5 years, as determined by the Chairperson of the Board.</text></subclause></clause></subparagraph><subparagraph id="idef1f2c1d615f43658b411bfc2efee5bb"><enum>(B)</enum><header>Vacancies</header><text>Any vacancy in the Board—</text><clause id="idfef1804c0a2e4c7387c809848dfda149"><enum>(i)</enum><text>shall be filled in the manner in which the original appointment was made; and</text></clause><clause id="id195c46e1a7fb4842a4524265eb5041cf"><enum>(ii)</enum><text>shall not affect the power of the remaining appointed members of the Board to execute the duties of the Board.</text></clause></subparagraph></paragraph><paragraph id="id5d5a99dc89174cd28b7cc1ef81c5c1b2"><enum>(8)</enum><header>Quorum</header><text>A majority of the current membership of the Board, including the Secretary or the Secretary’s designee, shall constitute a quorum for the transaction of Foundation business.</text></paragraph><paragraph id="idd31fc70ff3b84871bfff9716824bb69f"><enum>(9)</enum><header>Meetings</header><subparagraph id="id4e8d4b4a04a4440490c22b0844ada066"><enum>(A)</enum><header>In general</header><text>The Board shall meet not less frequently than annually at the call of the Chairperson. Such meetings may be in person, virtual, or hybrid.</text></subparagraph><subparagraph id="id99aa6c8143ec42ec8e1a5ce7064abe78"><enum>(B)</enum><header>Initial meeting</header><text>Not later than 60 days after the Board is established pursuant to section 3(a), the Secretary of State shall convene a meeting of the ex-officio members of the Board and the appointed members of the Board to incorporate the Foundation.</text></subparagraph><subparagraph id="id2be033dae500411c9875b8484a2a71c5"><enum>(C)</enum><header>Removal</header><text>Any member of the Board appointed pursuant to paragraph (2)(B) who misses 3 consecutive regularly scheduled meetings may be removed by a majority vote of the Board.</text></subparagraph></paragraph><paragraph id="ide77ae9adfaa945ddae96fc87cef6a513"><enum>(10)</enum><header>Reimbursement of expenses</header><subparagraph id="idaa7777bfc48343b4a6c529dd7867244e"><enum>(A)</enum><header>In general</header><text>Members of the Board shall serve without pay, but may be reimbursed for the actual and necessary traveling and subsistence expenses incurred in the performance of the duties of the Foundation.</text></subparagraph><subparagraph id="id9d25aa03de6a44448399a48656d70416"><enum>(B)</enum><header>Limitation</header><text>Expenses incurred outside the United States may be reimbursed under this paragraph if at least 2 members of the Board concurrently incurred such expenses. Such reimbursements—</text><clause id="id9a71321f4c8b4deb98ec9f07758e0814"><enum>(i)</enum><text>shall be available exclusively for actual costs incurred by members of the Board up to the published daily per diem rate for lodging, meals, and incidentals; and</text></clause><clause id="id8d8b67fa7e0b432ea2f342d4b7921f02"><enum>(ii)</enum><text>shall not include first-class, business-class, or travel in any class other than Economy Class or Coach Class.</text></clause></subparagraph><subparagraph id="id9017b3295edc47adb6e6a78a9250cc9d"><enum>(C)</enum><header>Other expenses</header><text>All other expenses, including salaries for officers and staff of the Foundation, shall be established by a majority vote of the Board, as proposed by the Executive Director on no less than an annual basis.</text></subparagraph></paragraph><paragraph id="idf8e791e480564d19b699dddd3d5f4c34"><enum>(11)</enum><header>Not federal employees</header><text>Appointment as a member of the Board and employment by the Foundation does not constitute employment by, or the holding of an office of, the United States for purposes of any Federal law.</text></paragraph><paragraph id="id571178fb476448bfab1463c7390a4ad7"><enum>(12)</enum><header>Duties</header><text>The Board shall—</text><subparagraph id="id6b310828098841af922bbbc74ea4be51"><enum>(A)</enum><text>establish bylaws for the Foundation in accordance with paragraph (13);</text></subparagraph><subparagraph id="id19f5a95dbd19484db0ee13d435cc3e25"><enum>(B)</enum><text>provide overall direction for the activities of the Foundation and establish priority activities;</text></subparagraph><subparagraph id="id6bfc743f767047eaba9f9ad5265d9000"><enum>(C)</enum><text>carry out any other necessary activities of the Foundation;</text></subparagraph><subparagraph id="ide2a1760910b84452a3d492402aac3880"><enum>(D)</enum><text>evaluate the performance of the Executive Director;</text></subparagraph><subparagraph id="id693a4e173b5c4c75aa6aaa4067b16b57"><enum>(E)</enum><text>take steps to limit the administrative expenses of the Foundation; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id5c19cbd43b004f23ba6b7ff798c575cd"><enum>(F)</enum><text display-inline="yes-display-inline">not less frequently than annually, consult and coordinate with stakeholders qualified to provide advice, assistance, and information regarding effective protected and conserved area management.</text></subparagraph></paragraph><paragraph id="id550d5452fed24e26a338cdc2d4c8c525"><enum>(13)</enum><header>Bylaws</header><subparagraph id="idd402ad77223748059c83cfd7d5ec927c"><enum>(A)</enum><header>In general</header><text>The bylaws required to be established under paragraph (12)(A) shall include—</text><clause id="id98e224fb0fcc4ec08f4e882639ff11a2"><enum>(i)</enum><text>the specific duties of the Executive Director;</text></clause><clause id="id1df05b157dca4641a0c28a944cbbd10a"><enum>(ii)</enum><text>policies and procedures for the selection of members of the Board and officers, employees, agents, and contractors of the Foundation;</text></clause><clause id="id5c1f8e3cb0e1463bb3597baf2249bfac"><enum>(iii)</enum><text>policies, including ethical standards, for—</text><subclause id="id45f597a273dc47b7a3a6951975ea9425"><enum>(I)</enum><text>the acceptance, solicitation, and disposition of donations and grants to the Foundation; and</text></subclause><subclause id="id4b158bd17b0f47649fb20e55076962f4"><enum>(II)</enum><text>the disposition of assets of the Foundation upon the dissolution of the Foundation;</text></subclause></clause><clause id="id68c5d1850b9f46f5ac7fc5e494ce8867"><enum>(iv)</enum><text>policies that subject all implementing partners, employees, fellows, trainees, and other agents of the Foundation (including ex-officio members of the Board and appointed members of the Board) to stringent ethical and conflict of interest standards;</text></clause><clause id="idbb5a8ae0e4aa49cb91439a25d0c37ca7"><enum>(v)</enum><text>removal and exclusion procedures for implementing partners, employees, fellows, trainees, and other agents of the Foundation (including ex-officio members of the Board and appointed members of the Board) who fail to uphold the ethical and conflict of interest standards established pursuant to clause (iii);</text></clause><clause id="id975eaacc3bce41a0b64a127e45296a4c"><enum>(vi)</enum><text>policies for winding down the activities of the Foundation upon its dissolution, including a plan—</text><subclause id="id591de2e300d94343b7d23e0bfe42f18b"><enum>(I)</enum><text>to return unspent appropriations to the Treasury of the United States; and</text></subclause><subclause id="id9a4ae7bfef584a9cae3d32c28360c7b5"><enum>(II)</enum><text>to donate unspent private and philanthropic contributions to projects that align with the goals and requirements described in section 7;</text></subclause></clause><clause id="id7c455d614b6c45acae30477b59f3d82d"><enum>(vii)</enum><text>policies for vetting implementing partners and grantees to ensure the Foundation does not provide grants to for profit entities whose primary objective is activities other than conservation activities; and</text></clause><clause id="iddbea956f7d6a421fab1b46f1baf04466"><enum>(viii)</enum><text>clawback policies and procedures to be incorporated into grant agreements to ensure compliance with the policies referred to in clause (vii).</text></clause></subparagraph><subparagraph id="ide605bd9a53c746679e94f12b5d3412e5"><enum>(B)</enum><header>Requirements</header><text>The Board shall ensure that the bylaws of the Foundation and the activities carried out under such bylaws do not—</text><clause id="idecbd045bdfc14fda982bed07084f18cd"><enum>(i)</enum><text>reflect unfavorably on the ability of the Foundation to carry out activities in a fair and objective manner; or</text></clause><clause id="id6fa57c210e7b4220a8ad8f49844a5252"><enum>(ii)</enum><text>compromise, or appear to compromise, the integrity of any governmental agency or program, or any officer or employee employed by, or involved in, a governmental agency or program.</text></clause></subparagraph></paragraph></subsection><subsection id="id2b9e26953b464f6e9e6a272ff030319d"><enum>(c)</enum><header>Foundation staff</header><text display-inline="yes-display-inline">Officers and employees of the Foundation—</text><paragraph id="id0e260c67ade840b69bf9e23e33e32abb"><enum>(1)</enum><text>may not be employees of, or hold any office in, the United States Government;</text></paragraph><paragraph id="id3212fc77ea494f2180ed8d0550fc40f8"><enum>(2)</enum><text>may not serve in the employ of any nongovernmental organization, project, or person related to or affiliated with any grantee of the Foundation while employed by the Foundation;</text></paragraph><paragraph id="id1f7f3be009604c9dbc7b1c40f32bc0a4"><enum>(3)</enum><text>may not receive compensation from any other source for work performed in carrying out the duties of the Foundation while employed by the Foundation; and</text></paragraph><paragraph id="idc07db9e3771140b39f850fcf68c4b696"><enum>(4)</enum><text>should not receive a salary at a rate that is greater than the maximum rate of basic pay authorized for positions at level I of the Executive Schedule under section 5312 of title 5, United States Code.</text></paragraph></subsection><subsection id="id14cf710ce55c4e758c2794e75d7bca2e"><enum>(d)</enum><header>Limitation and conflicts of interests</header><paragraph id="id1a67d1c1462d45139f18be17a732d533"><enum>(1)</enum><header>Political participation</header><text>The Foundation may not—</text><subparagraph id="idc1726469c1f74eb59104b7841a6a504c"><enum>(A)</enum><text>lobby for political or policy issues; or</text></subparagraph><subparagraph id="idaed46a2873d048ca80e822c35fa1ba06"><enum>(B)</enum><text>participate or intervene in any political campaign in any country.</text></subparagraph></paragraph><paragraph id="idd83d03a76ec04020b6b7582dfdf9a237"><enum>(2)</enum><header>Financial interests</header><text>As determined by the Board and set forth in the bylaws established pursuant to subsection (b)(13), and consistent with best practices, any member of the Board or officer or employee of the Foundation shall be prohibited from participating, directly or indirectly, in the consideration or determination of any question before the Foundation affecting—</text><subparagraph id="ideb7a65f21d81437c8cadb0d53096a4ac"><enum>(A)</enum><text>the financial interests of such member of the Board, or officer or employee of the Foundation, not including such member's Foundation expenses and compensation; and</text></subparagraph><subparagraph id="id86398d4687544a8b944b4e98d6362dd1"><enum>(B)</enum><text>the interests of any corporation, partnership, entity, or organization in which such member of the Board, officer, or employee has any fiduciary obligation or direct or indirect financial interest.</text></subparagraph></paragraph><paragraph id="idfb088e0ecf2f4b0c927679c9a562442a"><enum>(3)</enum><header>Recusals</header><text>Any member of the Board that has a business, financial, or familial interest in an organization or community seeking support from the Foundation shall recuse himself or herself from all deliberations, meetings, and decisions concerning the consideration and decision relating to such support.</text></paragraph><paragraph id="ida274065c98a9480e8863067408a898f1"><enum>(4)</enum><header>Project ineligibility</header><text>The Foundation may not provide support to individuals or entities with business, financial, or familial ties to—</text><subparagraph id="id341c3fe6db154ede9de88972351ad2fe"><enum>(A)</enum><text>a current member of the Board; or</text></subparagraph><subparagraph id="id90e0177d0cc44265b6f38abb985c0180"><enum>(B)</enum><text>a former member of the Board during the 5-year period immediately following the last day of the former member’s term on the Board.</text></subparagraph></paragraph></subsection></section><section id="id72200bdf277c44e284b8de7bc3b3ddaa" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>5.</enum><header>Corporate powers and obligations of the Foundation</header><subsection id="iddb9fe0b33c324a93a730b38d17fb6e50"><enum>(a)</enum><header>General authority</header><paragraph id="idb79f2f9dc8b24c83a851796a3e707f0a"><enum>(1)</enum><header>In general</header><text>The Foundation—</text><subparagraph id="idc1906c8d6689464799094660778c2839"><enum>(A)</enum><text>may conduct business in foreign countries;</text></subparagraph><subparagraph id="id273e3265978e461ea4f7bdaee51195c6"><enum>(B)</enum><text>shall have its principal offices in the Washington, DC, metropolitan area; and</text></subparagraph><subparagraph id="id07ad9d47c7fa47f5ad78d23dbcede122"><enum>(C)</enum><text>shall continuously maintain a designated agent in Washington, DC, who is authorized to accept notice or service of process on behalf of the Foundation.</text></subparagraph></paragraph><paragraph id="idc233a38f1d3d483d8d139fd2e60b2de8"><enum>(2)</enum><header>Notice and service of process</header><text>The serving of notice to, or service of process upon, the agent referred to in paragraph (1)(C), or mailed to the business address of such agent, shall be deemed as service upon, or notice to, the Foundation.</text></paragraph><paragraph id="id3ce3b0acaabb4db9a325ad9d6cdf2e1a"><enum>(3)</enum><header>Audits</header><text>The Foundation shall be subject to the general audit authority of the Comptroller General of the United States under section 3523 of title 31, United States Code.</text></paragraph></subsection><subsection id="ide9d964d677934990b3056613b8fb07b6"><enum>(b)</enum><header>Authorities</header><text>In addition to powers explicitly authorized under this Act, the Foundation, in order to carry out the purposes described in section 3(b), shall have the usual powers of a corporation headquartered in Washington, DC, including the authority—</text><paragraph id="idbfc7a9b15b6e409cab9a9a645308a0f5"><enum>(1)</enum><text>to accept, receive, solicit, hold, administer, and use any gift, devise, or bequest, either absolutely or in trust, or real or personal property or any income derived from such gift or property, or other interest in such gift or property located in the United States;</text></paragraph><paragraph id="id62cb555b9d02433cb19b6e7c7123c8a5"><enum>(2)</enum><text>to acquire by donation, gift, devise, purchase, or exchange any real or personal property or interest in such property located in the United States;</text></paragraph><paragraph id="id0dd2e7b1625c4c2e8102bbc13d809d1b"><enum>(3)</enum><text>unless otherwise required by the instrument of transfer, to sell, donate, lease, invest, reinvest, retain, or otherwise dispose of any property or income derived from such property located in the United States;</text></paragraph><paragraph id="id2980fa494bf64049b961cf2e05050c77"><enum>(4)</enum><text>to complain and defend itself in any court of competent jurisdiction (except that the members of the Board shall not be personally liable, except for gross negligence);</text></paragraph><paragraph id="idb2dd1081aa254eefae4680da5653a6a8"><enum>(5)</enum><text>to enter into contracts or other arrangements with public agencies, private organizations, and persons and to make such payments as may be necessary to carry out the purposes of such contracts or arrangements; and</text></paragraph><paragraph id="id3b7c9f60a6a64ef6a9f5e9660b7b12a2"><enum>(6)</enum><text>to award grants for eligible projects, in accordance with section 7.</text></paragraph></subsection><subsection id="idd6a45686aa764f9ea15b6e7b314fa55c"><enum>(c)</enum><header>Limitation of public liability</header><text>The United States shall not be liable for any debts, defaults, acts, or omissions of the Foundation. The Federal Government shall be held harmless from any damages or awards ordered by a court against the Foundation.</text></subsection></section><section id="id39c292de28bb406fbdb6a3ae1dbaf92f" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>6.</enum><header>Safeguards and accountability</header><subsection id="id74b0ba9847e74ff987a751daf979cfe6"><enum>(a)</enum><header>Safeguards</header><text>The Foundation shall develop, and incorporate into any agreement for support provided by the Foundation, appropriate safeguards, policies, and guidelines, consistent with United States law and best practices and standards for environmental and social safeguards.</text></subsection><subsection id="id303b86b7ac764005a55cd4db068b0762"><enum>(b)</enum><header>Independent accountability mechanism</header><paragraph id="id25b564910e31452e9157153baf2475c5"><enum>(1)</enum><header>In general</header><text>The Secretary, or the Secretary’s designee, shall establish a transparent and independent accountability mechanism, consistent with best practices, which shall provide—</text><subparagraph id="ida4413c64e0124b88a1f8f68383792fab"><enum>(A)</enum><text>a compliance review function that assesses whether Foundation-supported projects adhere to the requirements developed pursuant to subsection (a);</text></subparagraph><subparagraph id="id81a67fa0884a44e794a973911c1aec3e"><enum>(B)</enum><text>a dispute resolution function for resolving and remedying concerns between complainants and project implementers regarding the impacts of specific Foundation-supported projects with respect to such standards; and</text></subparagraph><subparagraph id="id3182bc63883b481a87bdce6fe2814dca"><enum>(C)</enum><text>an advisory function that reports to the Board on projects, policies, and practices.</text></subparagraph></paragraph><paragraph id="id060ad7e9fcc447448a41275696a64248"><enum>(2)</enum><header>Duties</header><text>The accountability mechanism shall—</text><subparagraph id="id73e07941316f45e69755ada2463b1d0e"><enum>(A)</enum><text>report annually to the Board and the appropriate congressional committees regarding the Foundation’s compliance with best practices and standards in accordance with paragraph (1)(A) and the nature and resolution of any complaint;</text></subparagraph><subparagraph id="id7de59805d3c64558aafa4a0f44b97fa2"><enum>(B)</enum><clause commented="no" display-inline="yes-display-inline" id="idf6615234fe3e4a4286bf9d0a33b3f136"><enum>(i)</enum><text>have permanent staff, led by an independent accountability official, to conduct compliance reviews and dispute resolutions and perform advisory functions; and</text></clause><clause indent="up1" commented="no" display-inline="no-display-inline" id="id23f45cdaaf054844b7c7da7105410d13"><enum>(ii)</enum><text>maintain a roster of experts to serve such roles, to the extent needed; and</text></clause></subparagraph><subparagraph id="idb6b0373ccc66466e84d19bea9f3cd3f8"><enum>(C)</enum><text>hold a public comment period lasting not fewer than 60 days regarding the initial design of the accountability mechanism.</text></subparagraph></paragraph></subsection><subsection id="idc02d550287a94260832918c45546929a"><enum>(c)</enum><header>Internal accountability</header><text>The Foundation shall establish an ombudsman position at a senior level of executive staff as a confidential, neutral source of information and assistance to anyone affected by the activities of the Foundation.</text></subsection><subsection id="id89895cfeda0e40a7a0e34529ddf8fb69"><enum>(d)</enum><header>Annual review</header><text>The Secretary shall, periodically, but not less frequent than annually, review assistance provided by the Foundation for the purpose of implementing section 3(b) to ensure consistency with the provisions under section 620M of Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2378d">22 U.S.C. 2378d</external-xref>).</text></subsection></section><section id="id2c20d5697fd04c18a5f1ebb93016a38f" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>7.</enum><header>Projects and grants</header><subsection id="idf598d7dea5724f4dbd6a4986958149b2"><enum>(a)</enum><header>Project funding requirements</header><paragraph id="iddd8d63cc494e40a186257228dfd66850"><enum>(1)</enum><header>In general</header><text>The Foundation shall—</text><subparagraph id="id5e1400a861204af7915e1c59feedd933"><enum>(A)</enum><text>provide grants to support eligible projects described in paragraph (3) that advance its mission to enable effective management of primarily protected and conserved areas and their contiguous buffer zones in eligible countries;</text></subparagraph><subparagraph id="id42384086614945ee80714e0438857aba"><enum>(B)</enum><text>advance effective landscape or seascape approaches to conservation that include buffer zones, wildlife dispersal and corridor areas, and other effective area-based conservation measures; and</text></subparagraph><subparagraph id="ide08b2d8bd4e7485e8ffb97ffe4844277"><enum>(C)</enum><text>not purchase, own, or lease land, including conservation easements, in eligible countries.</text></subparagraph></paragraph><paragraph id="id455bd66055074c228fe0163c01c56b76"><enum>(2)</enum><header>Eligible entities</header><text>Eligible entities shall include—</text><subparagraph id="id90b6a154e6d34a1a9e9c18860baf618e"><enum>(A)</enum><text>not-for-profit organizations with demonstrated expertise in protected and conserved area management and economic development;</text></subparagraph><subparagraph id="idcb569fde34db40ca974044d04005b8e8"><enum>(B)</enum><text>governments of eligible partner countries, as determined by subsection (b), with the exception of governments and government entities that are prohibited from receiving grants from the Foundation pursuant to section 8; and</text></subparagraph><subparagraph id="id68e40ca22960489ea925408e54945663"><enum>(C)</enum><text>Indigenous and local communities in such eligible countries.</text></subparagraph></paragraph><paragraph id="id931e376a3a8f42ce86e5a50c1cbb5192"><enum>(3)</enum><header>Eligible projects</header><text>Eligible projects shall include projects that—</text><subparagraph id="idafe549e3de5341aba2a5d83036319c66"><enum>(A)</enum><text>focus on supporting—</text><clause id="idcb8aa2d34de94780910c8a1501509274"><enum>(i)</enum><text>transparent and effective long-term management of primarily protected or conserved areas and their contiguous buffer zones in countries described in subsection (b), including terrestrial, coastal, and marine protected or conserved areas, parks, community conservancies, Indigenous reserves, conservation easements, and biological reserves; and</text></clause><clause id="id6c7305100d1345cfbf3cb6be5ad9c622"><enum>(ii)</enum><text>other effective area-based conservation measures;</text></clause></subparagraph><subparagraph id="id396801f4ad7a4b4ab309dbfd528b766e"><enum>(B)</enum><text>are cost-matched at a ratio of not less than $2 from sources other than the United States for every $1 made available under this Act;</text></subparagraph><subparagraph id="id09101e284bd64ad2be32b6d4c4c1fc85"><enum>(C)</enum><text>are subject to long-term binding memoranda of understanding with the governments of eligible countries and local communities—</text><clause id="id45a5e513e87a4a4a9d2113b13752fe65"><enum>(i)</enum><text>to ensure that local populations have access, resource management responsibilities, and the ability to pursue permissible, sustainable economic activity on affected lands; and</text></clause><clause id="idf1024aae91da47caaf721224e72805a7"><enum>(ii)</enum><text>that may be signed by governments in such eligible countries to ensure free, prior, and informed consent of affected communities;</text></clause></subparagraph><subparagraph id="id085a985928084dc288c084cdc8b4cbde"><enum>(D)</enum><text>incorporate a set of key performance and impact indicators;</text></subparagraph><subparagraph id="id65c4d219803d4fada471c270c56f2ff5"><enum>(E)</enum><text>demonstrate robust local community engagement, with the completion of appropriate environmental and social due diligence, including—</text><clause id="idc74f15d09b12436493675f2e1f6e9015"><enum>(i)</enum><text>free, prior, and informed consent of Indigenous Peoples and relevant local communities;</text></clause><clause id="idf66069fe80174fcbba8da77e09c7531f"><enum>(ii)</enum><text>inclusive governance structures; and</text></clause><clause id="id0225f0f839c34738b67d3bbc280d06cb"><enum>(iii)</enum><text>effective grievance mechanisms;</text></clause></subparagraph><subparagraph id="ide98446d8040c4ef6b6ccfb8d1ec6e563"><enum>(F)</enum><text>create economic opportunities for local communities, including through—</text><clause id="id43059027d7974a18ab5e38beb4d32e59"><enum>(i)</enum><text>equity and profit-sharing;</text></clause><clause id="id8be3acc04be94c9bbf617032dd9216e4"><enum>(ii)</enum><text>cooperative management of natural resources;</text></clause><clause id="id8c43f8e15e1040ffb857d101a8693956"><enum>(iii)</enum><text>employment activities; and</text></clause><clause id="id2353677bb2a94e2992180abbf5b7a995"><enum>(iv)</enum><text>other related economic growth activities;</text></clause></subparagraph><subparagraph id="id0a6dbc1433cf4098a1f8be186e117ddd"><enum>(G)</enum><text>leverage stable baseline funding for the effective management of the primarily protected or conserved area project; and</text></subparagraph><subparagraph id="id001cb631ad5047be8c6c5e2333eb92a8"><enum>(H)</enum><text>to the extent possible—</text><clause id="id4329fcc80296495192ee16e5a1ab6a05"><enum>(i)</enum><text>are viable and prepared for implementation; and</text></clause><clause id="id17ec632014a24d309f8db3010066cb2b"><enum>(ii)</enum><text>demonstrate a plan to strengthen the capacity of, and transfer skills to, local institutions to manage the primarily protected or conserved area before or after grant funding is exhausted.</text></clause></subparagraph></paragraph></subsection><subsection id="ide971e18913c1427883de2c909271dc78"><enum>(b)</enum><header>Eligible countries</header><paragraph id="id25fc79fe9d8b4b1ebfaa4e26cb3f3b48"><enum>(1)</enum><header>In general</header><text>Pursuant to the Plan of Action required under section 3(c), and before awarding any grants or entering into any project agreements for any fiscal year, the Board shall conduct a review to identify eligible countries in which the Foundation may fund projects. Such review shall consider countries that—</text><subparagraph id="id856603577e6b436fa2ab38417040d413"><enum>(A)</enum><text>are low-income, lower middle-income, or upper-middle-income economies (as defined by the International Bank for Reconstruction and Development and the International Development Association);</text></subparagraph><subparagraph id="id35fef803dddd42019753658968c491de"><enum>(B)</enum><text>have—</text><clause id="id516eff2169974f85ad24efd024928524"><enum>(i)</enum><text>a high degree of threatened or at-risk biological diversity; or</text></clause><clause id="idf761e33b735e402282254099c4e26a6a"><enum>(ii)</enum><text>species or ecosystems of significant importance, including threatened or endangered species or ecosystems at risk of degradation or destruction;</text></clause></subparagraph><subparagraph id="iddbba346ba631477aa45cf4dc893e55eb"><enum>(C)</enum><text>have demonstrated a commitment to conservation through verifiable actions, such as protecting lands and waters through the gazettement of national parks, community conservancies, marine reserves and protected areas, forest reserves, or other legally recognized forms of place-based conservation; and</text></subparagraph><subparagraph id="id9bc5edb081d442c0b9ae3a309bdb4e1f"><enum>(D)</enum><text>are not ineligible to receive United States foreign assistance pursuant to any other provision of law, including laws identified in section 8.</text></subparagraph></paragraph><paragraph id="id6510d9bcd6bf42e3bc78919666d4781f"><enum>(2)</enum><header>Identification of eligible countries</header><text>Not later than 5 days after the date on which the Board determines which countries are eligible to receive assistance under this Act for a fiscal year, the Executive Director shall—</text><subparagraph id="ide1afe32482784737b4d1f577798899d4"><enum>(A)</enum><text>submit a report to the appropriate congressional committees that includes—</text><clause id="id2fbfb8028720486c9217cdb730d8d873"><enum>(i)</enum><text>a list of all such eligible countries, as determined through the review process described in paragraph (1); and</text></clause><clause id="ide1e9fe3b5ba64461b2ef8583c912c2aa"><enum>(ii)</enum><text>a detailed justification for each such eligibility determination, including—</text><subclause id="id39c307daa6f841c2ab0940696671d525"><enum>(I)</enum><text>an analysis of why the eligible country would be suitable for partnership;</text></subclause><subclause id="idfcb42d8a1edd4b1cad794dfc07009c6e"><enum>(II)</enum><text>an evaluation of the eligible partner country’s interest in and ability to participate meaningfully in proposed Foundation activities, including an evaluation of such eligible country’s prospects to substantially benefit from Foundation assistance;</text></subclause><subclause id="id1859ccf827134747a3df5b6ed6296ebd"><enum>(III)</enum><text>an estimation of each such eligible partner country’s commitment to conservation; and</text></subclause><subclause id="idbf01aa7a4f0d479d9f18128d703d9009"><enum>(IV)</enum><text>an assessment of the capacity and willingness of the eligible country to enact or implement reforms that might be necessary to maximize the impact and effectiveness of Foundation support; and</text></subclause></clause></subparagraph><subparagraph id="idb8a566820ce54d0ba76fa2d05c55e36c"><enum>(B)</enum><text>publish the information contained in the report described in subparagraph (A) in the Federal Register.</text></subparagraph></paragraph></subsection><subsection id="ide3baccb2851740e98adda136abc92bc1"><enum>(c)</enum><header>Grantmaking</header><paragraph id="id19f3d48856564ae6a433c5e10720c2e0"><enum>(1)</enum><header>In general</header><text>In order to maximize program effectiveness, the Foundation shall—</text><subparagraph id="id41037ff70d2a4513911b648dead81d2c"><enum>(A)</enum><text>coordinate with other international public and private donors to the greatest extent practicable and appropriate;</text></subparagraph><subparagraph id="id47050bdc68cd4627b80338ba745bb526"><enum>(B)</enum><text>seek additional financial and nonfinancial contributions and commitments for its projects from governments in eligible countries;</text></subparagraph><subparagraph id="id4cadf62d9fac41d4877e28105fe4b942"><enum>(C)</enum><text>strive to generate a partnership mentality among all participants, including public and private funders, host governments, local protected areas authorities, and private and nongovernmental organization partners;</text></subparagraph><subparagraph id="idbf6b8fcf7e3a4aa9969dbec2eae6ad5f"><enum>(D)</enum><text>prioritize investments in communities with low levels of economic development to the greatest extent practicable and appropriate; and</text></subparagraph><subparagraph id="id8dde80ec922d4549a345056d1c374574"><enum>(E)</enum><text>consider the eligible partner country’s planned and dedicated resources to the proposed project and the eligible entity’s ability to successfully implement the project.</text></subparagraph></paragraph><paragraph id="idc1eb51bce5a34d5f8bfa249c2d4e4fd9"><enum>(2)</enum><header>Grant criteria</header><text>Foundation grants—</text><subparagraph id="id60f762b5af9d406d93c034f0706eabee"><enum>(A)</enum><text>shall fund eligible projects that enhance the management of well-defined primarily protected or conserved areas and the systems of such conservation areas in eligible countries;</text></subparagraph><subparagraph id="idf0e2ada1da294d6491b582a97917fb71"><enum>(B)</enum><text>should support adequate baseline funding for eligible projects in eligible countries to be sustained for not less than 10 years;</text></subparagraph><subparagraph id="id7e379b9f67ef4c7eb1c8f395ecb27910"><enum>(C)</enum><text>should, during the grant period, demonstrate progress in achieving clearly defined key performance indicators (as defined in the grant agreement), which may include—</text><clause id="idda0d63fc46834d2ca87c6fce814f3ea9"><enum>(i)</enum><text>the protection of biological diversity;</text></clause><clause id="id5f8403b5a4a0429ba15971c96994fd90"><enum>(ii)</enum><text>the protection of native flora and habitats, such as trees, forests, wetlands, grasslands, mangroves, coral reefs, and sea grass;</text></clause><clause id="id7d6dda7b7cf64fde8adad8dd8aee60c5"><enum>(iii)</enum><text>community-based economic growth indicators, such as improved land tenure, increases in beneficiaries participating in related economic growth activities, and sufficient income from conservation activities being directed to communities in project areas;</text></clause><clause id="id4a76518db93240b18e60046e7da804b0"><enum>(iv)</enum><text>improved management of the primarily protected or conserved area covered by the project, as documented through the submission of strategic plans or annual reports to the Foundation; and</text></clause><clause id="idacc0722c740946b8954946b24e0195a0"><enum>(v)</enum><text>the identification of additional revenue sources or sustainable financing mechanisms to meet the recurring costs of management of the primarily protected or conserved areas; and</text></clause></subparagraph><subparagraph id="idfc10941705ba406d9cd6d7ffd958c0d0"><enum>(D)</enum><text>shall be terminated if the Board determines that the project is not—</text><clause commented="no" display-inline="no-display-inline" id="idae4e31b80aab4b7e9ddff0548d01045d"><enum>(i)</enum><text display-inline="yes-display-inline">meeting applicable requirements under this Act; or </text></clause><clause commented="no" display-inline="no-display-inline" id="id49d93f6a0a1a4513be54d98cca6e4564"><enum>(ii)</enum><text display-inline="yes-display-inline">making progress in achieving the key performance indicators defined in the grant agreement.</text></clause></subparagraph></paragraph></subsection></section><section id="idf24ce05f212c4bacbd9d64cb858072a8" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>8.</enum><header>Prohibition of support for certain governments</header><subsection id="idc22f98fce17d4ae2a3c5263d9848a301"><enum>(a)</enum><header>In general</header><text>The Foundation may not provide support for any government, or any entity owned or controlled by a government, if the Secretary has determined that such government—</text><paragraph id="id6ba705eac84145dab5960d2867560f9b"><enum>(1)</enum><text>has repeatedly provided support for acts of international terrorism, as determined under—</text><subparagraph id="idf65776654f724acea7bf5c33956b93fe"><enum>(A)</enum><text>section 1754(c)(1)(A)(i) of the Export Control Reform Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/22/4813">22 U.S.C. 4813(c)(1)(A)(i)</external-xref>);</text></subparagraph><subparagraph id="id0d2711d2aa4d4f1186bf34eb27bd85be"><enum>(B)</enum><text>section 620A(a) of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2371">22 U.S.C. 2371(a)</external-xref>);</text></subparagraph><subparagraph id="id5c3ab06d53ff4b6a9be7c3c6cc9255ae"><enum>(C)</enum><text>section 40(d) of the Arms Export Control Act (<external-xref legal-doc="usc" parsable-cite="usc/22/2780">22 U.S.C. 2780(d)</external-xref>); or</text></subparagraph><subparagraph id="ide650433e79554bf5949cb498836b3713"><enum>(D)</enum><text>any other relevant provision of law;</text></subparagraph></paragraph><paragraph id="id3b5cecd2959048cba0d5d4dc8e09f3f2"><enum>(2)</enum><text>has been identified pursuant to section 116(a) or 502B(a)(2) of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2151n">22 U.S.C. 2151n(a)</external-xref> and 2304(a)(2)) or any other relevant provision of law; or</text></paragraph><paragraph id="id904690571b1a4f41bce63c602d3b26dd"><enum>(3)</enum><text>has failed the <quote>control of corruption</quote> indicator, as determined by the Millennium Challenge Corporation, within any of the preceding 3 years of the intended grant;</text></paragraph></subsection><subsection id="id076ad9e5c45240ba974b49bc60b4a753"><enum>(b)</enum><header>Prohibition of support for sanctioned persons</header><text>The Foundation may not engage in any dealing prohibited under United States sanctions laws or regulations, including dealings with persons on the list of specially designated persons and blocked persons maintained by the Office of Foreign Assets Control of the Department of the Treasury, except to the extent otherwise authorized by the Secretary or by the Secretary of the Treasury.</text></subsection><subsection id="id99941a17247c4db8a2bd7f83b5b24458"><enum>(c)</enum><header>Prohibition of support for activities subject to sanctions</header><text>The Foundation shall require any person receiving support to certify that such person, and any entity owned or controlled by such person, is in compliance with all United States sanctions laws and regulations.</text></subsection></section><section id="id7cdbfd049ad9407bb6f7980e27ca2688" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>9.</enum><header>Annual report</header><text display-inline="no-display-inline">Not later than 360 days after the date of the enactment of this Act, and annually thereafter while the Foundation continues to operate, the Executive Director of the Foundation shall submit a report to the appropriate congressional committees that describes—</text><paragraph id="id2122822b0e3b4fd2999422064dc51532"><enum>(1)</enum><text>the goals of the Foundation;</text></paragraph><paragraph id="id97171a5dc4d344439fbb4d2ad844a7fb"><enum>(2)</enum><text>the programs, projects, and activities supported by the Foundation;</text></paragraph><paragraph id="id7b866ca90221403fb1f164156735f90f"><enum>(3)</enum><text>private and governmental contributions to the Foundation; and</text></paragraph><paragraph id="idceeccc7dd1d54bf0b748886238ee5938"><enum>(4)</enum><text>the standardized criteria utilized to determine the programs and activities supported by the Foundation, including baselines, targets, desired outcomes, measurable goals, and extent to which those goals are being achieved for each project.</text></paragraph></section><section id="id9c9910b2b88844d5bd0366d7138ff485" changed="added" reported-display-style="italic" committee-id="SSFR00"><enum>10.</enum><header>Authorization of appropriations</header><subsection id="id71a672757142465abf4f8924f0820954"><enum>(a)</enum><header>Authorization</header><text>In addition to amounts authorized to be appropriated to carry out international conservation and biodiversity programs under part I and chapter 4 of part II of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2151">22 U.S.C. 2151 et seq.</external-xref>), and subject to the limitations set forth in subsections (b) and (c), there is authorized to be appropriated to the Foundation to carry out the purposes of this Act—</text><paragraph id="id968da9413d2e429489d14b51b1aaacf7"><enum>(1)</enum><text>$1,000,000 for fiscal year 2025; and</text></paragraph><paragraph id="id7ba6fe29a8a944729d1572b9f013c96b"><enum>(2)</enum><text>not more than $100,000,000 for each of the fiscal years 2026 through 2034.</text></paragraph></subsection><subsection id="id3b3bd7d61ec941e8a46d95a7897f926e"><enum>(b)</enum><header>Cost matching requirement</header><text>Amounts appropriated pursuant to subsection (a) may only be made available to grantees to the extent the Foundation or such grantees secure funding for an eligible project from sources other than the United States Government in an amount that is not less than twice the amount received in grants for such project pursuant to section 7.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="id7835607233e045bfa860bbdb75fefb68"><enum>(c)</enum><header>Administrative costs</header><text>The administrative costs of the Foundation shall come from sources other than the United States Government. </text></subsection><subsection id="idf4a194af69f245a3a0928a51084f23bb"><enum>(d)</enum><header>Prohibition on use of grant amounts for lobbying expenses</header><text>Amounts provided as a grant by the Foundation pursuant to section 7 may not be used for any activity intended to influence legislation pending before the Congress of the United States. </text></subsection></section></legis-body><endorsement><action-date>May 7, 2024</action-date><action-desc>Reported with an amendment</action-desc></endorsement></bill>
