<congress display="yes">118th CONGRESS</congress><session display="yes">2d Session</session><legis-num display="yes">S. 4548</legis-num><current-chamber display="no">IN THE SENATE OF THE UNITED STATES</current-chamber><legis-type display="yes">AN ACT</legis-type><official-title display="yes">To make a technical correction to the National Defense Authorization Act for Fiscal Year 2024 by repealing section 5101 and enacting an updated version of the Foreign Extortion Prevention Act.</official-title></form><legis-body style="OLC" display-enacting-clause="yes-display-enacting-clause"><section id="S1" section-type="section-one" commented="no" display-inline="no-display-inline"><enum>1.</enum><header display-inline="yes-display-inline">Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Foreign Extortion Prevention Technical Corrections Act</short-title></quote>.</text></section><section id="id9f52f7fcff564eb1a18e62dfb32a9d3f" commented="no" display-inline="no-display-inline" section-type="subsequent-section"><enum>2.</enum><header display-inline="yes-display-inline">Technical correction to 2024 NDAA</header><subsection commented="no" display-inline="no-display-inline" id="idec0f487360cb45f4a284ba4e5cff2e42"><enum>(a)</enum><header display-inline="yes-display-inline">Repeal of previous version of FEPA</header><text display-inline="yes-display-inline">Section 5101 of the National Defense Authorization Act for Fiscal Year 2024 (<external-xref legal-doc="public-law" parsable-cite="pl/118/31">Public Law 118–31</external-xref>) is repealed, and each provision of law amended by that section is amended to read as it read on the day before the date of enactment of that Act.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="idc078c883f44d4f67bef89e319a786081"><enum>(b)</enum><header display-inline="yes-display-inline">Prohibition of demand for bribe</header><paragraph commented="no" display-inline="no-display-inline" id="idebeaa22ace274ecd8511911bf012a05b"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/18/63">Chapter 63</external-xref> of title 18, United States Code, is amended by adding at the end the following:</text><quoted-block style="USC" display-inline="no-display-inline" id="id02259B231BAF43E582AFBE5C4A9E3845"><section id="ida7e6e381c9884c7eadb1dfe08f1b06c4" commented="no" display-inline="no-display-inline" section-type="subsequent-section"><enum>1352.</enum><header display-inline="yes-display-inline">Demands by foreign officials for bribes</header><subsection commented="no" display-inline="no-display-inline" id="id660ed7fb5f664bbd8b9fa19a3fba117c"><enum>(a)</enum><header display-inline="yes-display-inline">Definitions</header><text display-inline="yes-display-inline">In this section:</text><paragraph id="idD101BACA55054731849EA20D2CA56108" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header display-inline="yes-display-inline">Foreign official</header><text display-inline="yes-display-inline">The term <term>foreign official</term> means—</text><subparagraph id="idAB525DC8E1FC4EA389C1DC41F2DF83EF" commented="no" display-inline="no-display-inline"><enum>(A)</enum><clause commented="no" display-inline="yes-display-inline" id="id64F928225ECC49C3BD22E6FA14CC907C"><enum>(i)</enum><text display-inline="yes-display-inline">any official or employee of a foreign government or any department, agency, or instrumentality thereof; or</text></clause><clause commented="no" display-inline="no-display-inline" id="id12D7CBCC150A4452B1F6ACC20D17EDA2" indent="up1"><enum>(ii)</enum><text display-inline="yes-display-inline">any senior foreign political figure, as defined in section 1010.605 of title 31, Code of Federal Regulations, or any successor regulation;</text></clause></subparagraph><subparagraph id="id4FCAD8E87F2647FD846CCE000321397B" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">any official or employee of a public international organization;</text></subparagraph><subparagraph id="idE09D1AB919834EF989B197154AAEB063" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text display-inline="yes-display-inline">any person acting in an official capacity for or on behalf of—</text><clause commented="no" display-inline="no-display-inline" id="id33AFB09B37F04BE89014A1B2256F50E6"><enum>(i)</enum><text display-inline="yes-display-inline">a government, department, agency, or instrumentality described in subparagraph (A)(i); or</text></clause><clause commented="no" display-inline="no-display-inline" id="idD28F393501F84764BE864FE3EB9FD0DA"><enum>(ii)</enum><text display-inline="yes-display-inline">a public international organization.</text></clause></subparagraph></paragraph><paragraph id="id5A4CEC40763F49CEBCD56E8CABAFD1CE" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Public international organization</header><text display-inline="yes-display-inline">The term <term>public international organization</term> means—</text><subparagraph id="id1900AC6703BF4B20892B8F4489E93FCE" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">an organization that is designated by Executive order pursuant to section 1 of the International Organizations Immunities Act (<external-xref legal-doc="usc" parsable-cite="usc/22/288">22 U.S.C. 288</external-xref>); or</text></subparagraph><subparagraph id="id703D0270DE784C9E910148A3A3F1D444" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">any other international organization that is designated by the President by Executive order for the purposes of this section, effective as of the date of publication of the order in the Federal Register.</text></subparagraph></paragraph></subsection><subsection id="idd36a2af5e5b443bb9043943f27ac9e01" commented="no" display-inline="no-display-inline"><enum>(b)</enum><header display-inline="yes-display-inline">Prohibition of demand for a bribe</header><paragraph id="id5a365c60d48940658d3281fef86082cd" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header display-inline="yes-display-inline">Offense</header><text display-inline="yes-display-inline">It shall be unlawful for any foreign official or person selected to be a foreign official to corruptly demand, seek, receive, accept, or agree to receive or accept, directly or indirectly, anything of value personally or for any other person or nongovernmental entity, by making use of the mails or any means or instrumentality of interstate commerce—</text><subparagraph commented="no" display-inline="no-display-inline" id="id5f3dbfe27c0b48e0905149a8c0f27c58"><enum>(A)</enum><text display-inline="yes-display-inline">from—</text><clause commented="no" display-inline="no-display-inline" id="id4b1d1be09d564de9994d8cb624774126"><enum>(i)</enum><text display-inline="yes-display-inline">any person (as defined in section 104A of the Foreign Corrupt Practices Act of 1977 (<external-xref legal-doc="usc" parsable-cite="usc/15/78dd-3">15 U.S.C. 78dd–3</external-xref>), except that that definition shall be applied without regard to whether the person is an offender) while the foreign official or person selected to be a foreign official, or a person acting on behalf of the foreign official or person selected to be a foreign official, is in the territory of the United States;</text></clause><clause commented="no" display-inline="no-display-inline" id="id92d00fb1620d4ec08e51e73a0ea8158d"><enum>(ii)</enum><text display-inline="yes-display-inline">an issuer (as defined in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>)), or any officer, director, employee, or agent of an issuer or any stockholder thereof acting on behalf of the issuer; or</text></clause><clause commented="no" display-inline="no-display-inline" id="id3be5b2fc90034beb8e345cf790b3cee6"><enum>(iii)</enum><text display-inline="yes-display-inline">a domestic concern (as defined in section 104 of the Foreign Corrupt Practices Act of 1977 (<external-xref legal-doc="usc" parsable-cite="usc/15/78dd-2">15 U.S.C. 78dd–2</external-xref>)), or any officer, director, employee, or agent of a domestic concern or any stockholder thereof acting on behalf of the domestic concern; and</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idaf030b0cf63541ed900cd96c1e614336"><enum>(B)</enum><text display-inline="yes-display-inline">in return for—</text><clause id="id019eacda538c4ee69974765eaeb0eab4" commented="no" display-inline="no-display-inline"><enum>(i)</enum><text display-inline="yes-display-inline">being influenced in the performance of any act or decision of the foreign official or person selected to be a foreign official in the official capacity of the foreign official or person selected to be a foreign official;</text></clause><clause id="ida4d6136a7a4640a2aec6af21bc2c2867" commented="no" display-inline="no-display-inline"><enum>(ii)</enum><text display-inline="yes-display-inline">being induced to do or omit to do any act in violation of the lawful duty of the foreign official or person selected to be a foreign official;</text></clause><clause id="id38e4cfff032044bf9b565078db388170" commented="no" display-inline="no-display-inline"><enum>(iii)</enum><text display-inline="yes-display-inline">conferring any improper advantage; or</text></clause><clause commented="no" display-inline="no-display-inline" id="id80e53aa54fce4240aa4c87d3bb700eef"><enum>(iv)</enum><text display-inline="yes-display-inline">using the influence of the foreign official or person selected to be a foreign official with a foreign government or instrumentality thereof to affect or influence any act or decision of that government or instrumentality,</text></clause><continuation-text continuation-text-level="subparagraph" commented="no">in connection with obtaining or retaining business for or with, or directing business to, any person.</continuation-text></subparagraph></paragraph><paragraph id="id3429586737034ab691c84025aa2e0357" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Penalties</header><text display-inline="yes-display-inline">Any person who violates paragraph (1) shall be fined not more than $250,000 or 3 times the monetary equivalent of the thing of value, imprisoned for not more than 15 years, or both.</text></paragraph><paragraph id="ida306bd8465d14e288b9a7aa971717291" commented="no" display-inline="no-display-inline"><enum>(3)</enum><header display-inline="yes-display-inline">Jurisdiction</header><text display-inline="yes-display-inline">An offense under paragraph (1) shall be subject to extraterritorial Federal jurisdiction.</text></paragraph><paragraph id="idd8201e193cc743bcbc096dc65a03f19d" commented="no" display-inline="no-display-inline"><enum>(4)</enum><header display-inline="yes-display-inline">Report</header><text display-inline="yes-display-inline">Not later than 1 year after the date of enactment of this section, and annually thereafter, the Attorney General, in consultation with the Secretary of State as relevant, shall submit to the Committee on the Judiciary and the Committee on Foreign Relations of the Senate and the Committee on the Judiciary and the Committee on Foreign Affairs of the House of Representatives, and post on the publicly available website of the Department of Justice, a report—</text><subparagraph id="idbd2ac3ef1a224cc49df798fab0586db4" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">focusing, in part, on demands by foreign officials for bribes from entities domiciled or incorporated in the United States, and the efforts of foreign governments to prosecute such cases;</text></subparagraph><subparagraph id="id8061b51061f24013b732d61d780bf882" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">addressing United States diplomatic efforts to protect entities domiciled or incorporated in the United States from foreign bribery, and the effectiveness of those efforts in protecting such entities;</text></subparagraph><subparagraph id="idaa8041f810b242fba13117fb67fd94fa" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text display-inline="yes-display-inline">summarizing major actions taken under this section in the previous year, including enforcement actions taken and penalties imposed;</text></subparagraph><subparagraph id="idabfdc36143194ab3bc612a1b6df99791" commented="no" display-inline="no-display-inline"><enum>(D)</enum><text display-inline="yes-display-inline">evaluating the effectiveness of the Department of Justice in enforcing this section; and</text></subparagraph><subparagraph id="id1ea2b608fd094dd69f03a065283f1d64" commented="no" display-inline="no-display-inline"><enum>(E)</enum><text display-inline="yes-display-inline">detailing what resources or legislative action the Department of Justice needs to ensure adequate enforcement of this section.</text></subparagraph></paragraph><paragraph id="idee686ec6372b4557a88af818a1cf334f" commented="no" display-inline="no-display-inline"><enum>(5)</enum><header display-inline="yes-display-inline">Rule of construction</header><text display-inline="yes-display-inline">This subsection shall not be construed as encompassing conduct that would violate section 30A of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78dd-1">15 U.S.C. 78dd–1</external-xref>) or section 104 or 104A of the Foreign Corrupt Practices Act of 1977 (<external-xref legal-doc="usc" parsable-cite="usc/15/78dd-2">15 U.S.C. 78dd–2</external-xref>; <external-xref legal-doc="usc" parsable-cite="usc/15/78dd-3">15 U.S.C. 78dd–3</external-xref>) whether pursuant to a theory of direct liability, conspiracy, complicity, or otherwise.</text></paragraph></subsection></section><after-quoted-block display="yes">.</after-quoted-block></quoted-block></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idfedb69110650416392fd197a76d71f3a"><enum>(2)</enum><header display-inline="yes-display-inline">Technical and conforming amendment</header><text display-inline="yes-display-inline">The table of sections for <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/18/63">chapter 63</external-xref> of title 18, United States Code, is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id90700A7BAC364716BBD95DE2D0C8D035"><toc><toc-entry level="section" bold="off">1352.
