<section id="HF6F2C884D497455E886C34CE8ADCD32F" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Protecting American Innovation and Development Act of 2024</short-title></quote> or the <quote><short-title>PAID Act of 2024</short-title></quote>.</text></section> <section id="HA6CE012B0F8F4D2086CC2E627C6CB6D7"><enum>2.</enum><header>Statement of policy</header><text display-inline="no-display-inline">Section 1752(2) of the Export Control Reform Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/50/4811">50 U.S.C. 4811(2)</external-xref>) is amended by inserting after subparagraph (G) the following:</text>

<subparagraph id="H0BA198B878EA45DD96F84C679E4B4783"><enum>(H)</enum><text>To ensure the continued strength and leadership of the United States in the research and development of critical and emerging technologies.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></section> <section id="HD23E624D5ABC4E0E97C4715259356152"><enum>3.</enum><header>Public transparency regarding foreign adversary entities using intellectual property related to critical or emerging technology without a license</header> <subsection id="H716606B259214705BE5526104E44F9CF"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Part I of the Export Control Reform Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/50/4811">50 U.S.C. 4811 et seq.</external-xref>) is amended by inserting after section 1758 the following:</text>

<section id="H59E0D64DD2A9459EADB9AFAC13BD51A8"><enum>1758A.</enum><header>Public transparency regarding foreign adversary entities using intellectual property related to critical or emerging technology without a license</header> 
<subsection id="H932C49294BDD4F41B8DC2D284BB5333D"><enum>(a)</enum><header>Identification</header> 
<paragraph id="H1BFDA9F4822D45D7AD0834E471ED8C05" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Secretary shall publish in the Federal Register a notice that identifies a foreign adversary entity if a majority of the members of the End-User Review Committee determines that the foreign adversary entity is using a patented invention or covered trade secret without a license, including if a majority of the members of the Committee determines that the foreign adversary entity—</text> <subparagraph id="H760AB9C80E024BDB94622EDC63AC453D" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">is manufacturing or selling a product that incorporates a patented invention or covered trade secret without a license; </text></subparagraph> 
<subparagraph id="H619E5B137FC34C308765978C6302E9BF" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">acquired a patented invention or covered trade secret through improper means, including—</text> <clause id="H2A4741B469FC4871A140ED4583B1652C" commented="no"><enum>(i)</enum><text>theft;</text></clause> 
<clause id="HF497142B32D043A88775B6EE803CA089" commented="no"><enum>(ii)</enum><text>bribery;</text></clause> <clause id="HC530C82622374C8292648795CB578222" commented="no"><enum>(iii)</enum><text>misrepresentation; </text></clause> 
<clause id="HDAA1B5744A89480A8E8CDAB49AB693FE" commented="no"><enum>(iv)</enum><text>breach of, or an inducement of a breach of, a duty to maintain secrecy; or</text></clause> <clause id="H56FF5EC5152845D4B15F4866FC9E400D" commented="no"><enum>(v)</enum><text>espionage; or</text></clause></subparagraph> 
<subparagraph id="H952DE9DA2EF740E1818901DDD93A7279" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">disclosed a patented invention or covered trade secret without express or implied consent.</text></subparagraph></paragraph> <paragraph id="H28EFAB4747E344AA8CFEA22CC49B8D1D"><enum>(2)</enum><header>Identification by petition</header> <subparagraph id="H4CDE86793DB04EB0836020D0827D2EA2"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">A United States person may submit a petition to the End-User Review Committee requesting the Committee to make a determination in accordance with the requirements of paragraph (1) for purposes of the Secretary publishing in the Federal Register a notice that identifies a foreign adversary entity in accordance with the requirements of paragraph (1) if the United States person—</text> 
<clause id="H5E4069EAF5964F7A9410F93D35DD62D0"><enum>(i)</enum><text display-inline="yes-display-inline">has reason to believe that a foreign entity is using a patented invention or covered trade secret without a license; and</text></clause> <clause id="HDCC87AAE553749C189AEB68BB1B82D6D"><enum>(ii)</enum><text display-inline="yes-display-inline">is the owner of that patented invention or covered trade secret. </text></clause></subparagraph> 
<subparagraph id="H691D03002CBC4AC7BE2438712DABC840" commented="no"><enum>(B)</enum><header>Deadline</header><text display-inline="yes-display-inline">After the End-User Review Committee receives a petition submitted under subparagraph (A), the Committee shall make a determination with respect to the petition in accordance with the requirements of paragraph (1) not later than 90 days after the date on which the Committee receives the petition. </text></subparagraph></paragraph> <paragraph id="H965BE210AEB942C4B8C1BB7FA4039891"><enum>(3)</enum><header>Removal</header> <subparagraph id="H70598C3D26FF45AABBFE7E7C35E878B2"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The Secretary shall publish in the Federal Register a subsequent notice with respect to a foreign adversary entity identified in the Federal Register under the process described in this section if the Secretary, in consultation with the other members of the End-User Review Committee, determines that there is prima facie evidence that the foreign adversary entity—</text> 
<clause id="H64F91FD53F1E494ABD315F3F7CE45C64"><enum>(i)</enum><text display-inline="yes-display-inline">is no longer using a patented invention or covered trade secret without a license; or</text></clause> <clause id="HAAC0ADE975AB4E86911EAEFACDC100E3"><enum>(ii)</enum><text display-inline="yes-display-inline">is using a patented invention or covered trade secret without a license, but—</text> 
<subclause id="HABF8DF2FBA294A528752DB8EFA3CBAC3" commented="no"><enum>(I)</enum><text display-inline="yes-display-inline">has entered into an agreement for such use with the owner of the patented invention or covered trade secret; or </text></subclause> <subclause id="HF75A27E27D74429A978DC84402FB94BC"><enum>(II)</enum><text display-inline="yes-display-inline">has entered into binding arbitration with the owner of the patented invention or covered trade secret to set the terms for such use.</text></subclause></clause></subparagraph> 
<subparagraph id="HF75EB529460A429E97B252402556BC40" commented="no"><enum>(B)</enum><header>Removal by petition</header><text>If a foreign adversary entity identified in the Federal Register under the process described in this section for using a patented invention or covered trade secret without a license, or the owner of the patented invention or covered trade secret, believes that the foreign adversary entity meets the conditions described in clause (i) or (ii) of subparagraph (A), the foreign adversary entity or the owner of the patented invention or covered secret may petition the Secretary to have the Secretary publish in the Federal Register a subsequent notice with respect to the foreign adversary entity.</text></subparagraph></paragraph></subsection> <subsection id="HF394A5C8C69F4E23B68DE8AF8ED9A1AB"><enum>(b)</enum><header>Report required</header><text display-inline="yes-display-inline">Upon request from any of the appropriate congressional committees, the Secretary shall submit to the appropriate congressional committees a report that includes a list of all foreign adversary entities identified in the Federal Register under the process described in this section, including a written explanation of the reasons therefor.</text> </subsection> 
<subsection id="HD92BACCD9E75486DAABD0D83D09BDA39" commented="no"><enum>(c)</enum><header>Definition of critical or emerging technology</header><text display-inline="yes-display-inline">In this section, the term <term>critical or emerging technology</term> includes any technology defined by the Under Secretary of Defense for Research and Engineering as a <quote>critical technology area</quote> as soon as practicable on or after the date of the enactment of this section. </text> </subsection> <subsection id="H376F04A4E1F24D3FB95F36F34E808353"><enum>(d)</enum><header>Other definitions</header><text>In this section:</text> 
<paragraph id="H8C4BABFF3B0A42B5AF2CAD8C17F41A43"><enum>(1)</enum><header>Appropriate congressional committees</header><text>The term <term>appropriate congressional committees</term> means—</text> <subparagraph id="HBF5348ED8DBD4274A689F9707E6CCE87"><enum>(A)</enum><text>the Committee on Banking, Housing, and Urban Affairs of the Senate; and</text></subparagraph> 
<subparagraph id="H838FD79A3D6D49E0A42DA3C2D2FB9417"><enum>(B)</enum><text>the Committee on Foreign Affairs and the Select Committee on the Strategic Competition Between the United States and the Chinese Communist Party of the House of Representatives.</text></subparagraph></paragraph> <paragraph id="H06C6AE79781F41A2A79318CE15C4D414"><enum>(2)</enum><header>End-User Review Committee</header><text>The term <term>End-User Review Committee</term> means the End-User Review Committee described in Supplement No. 9 to part 748(1) of the Export Administration Regulations, or any successor regulation, as making decisions related to export controls.</text></paragraph> 
<paragraph id="H4F414E2D96B24641BE925377DD2885F7"><enum>(3)</enum><header>Foreign adversary</header><text>The term <term>foreign adversary</term> means—</text> <subparagraph id="H410A160DA7F14182BBE8E9734ACD49B7"><enum>(A)</enum><text>the People’s Republic of China (including the Special Administrative Regions of China, including Hong Kong and Macau);</text></subparagraph> 
<subparagraph id="HF3ED1798083A4F2E8F1E9C2A36E72E33"><enum>(B)</enum><text>the Russian Federation;</text></subparagraph> <subparagraph id="HA1E9291A04F44DE4A06901E70755BFFD"><enum>(C)</enum><text>the Republic of Cuba;</text></subparagraph> 
<subparagraph id="HC2A97D39CC4B4337A14FE292C21C49B8"><enum>(D)</enum><text>the Democratic People’s Republic of Korea;</text></subparagraph> <subparagraph id="H7A5F3E1F46E84AC3867CAC0B6DA77BCF"><enum>(E)</enum><text>the Islamic Republic of Iran; and</text></subparagraph> 
<subparagraph id="H9B1F7A325D8B47618F743F393B550752"><enum>(F)</enum><text>the Venezuelan regime under the leadership of Nicolas Maduro.</text></subparagraph></paragraph> <paragraph id="HA1F33528EC16445A80ADC3541C004295" commented="no"><enum>(4)</enum><header>Foreign adversary entity</header><text>The term <term>foreign adversary entity</term>—</text> 
<subparagraph id="H7A8F18751586425A943545FBF97A1C7F" commented="no"><enum>(A)</enum><text>means—</text> <clause id="H06F99915D2634026AF9FC250D4EBAA14" commented="no"><enum>(i)</enum><text display-inline="yes-display-inline">an individual who is a citizen or national (as defined in section 101(a) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1101">8 U.S.C. 1101(a)</external-xref>)) of a foreign adversary;</text></clause> 
<clause id="HC0022BA4E00247C0900A23736641CA92" commented="no"><enum>(ii)</enum><text display-inline="yes-display-inline">an entity that is headquartered in, or organized under the laws of, or has its principal place of business in a foreign adversary; </text></clause> <clause id="H8FB905DDE5F24C1CB38EC0773BA9D125" commented="no"><enum>(iii)</enum><text display-inline="yes-display-inline">an entity subject to the control (as that term is defined in section 800.208 of subpart B of chapter VIII of title 31, Code of Federal Regulations, or any successor regulations) of any entity or combination of entities described in clause (i) or (ii); or</text></clause> 
<clause id="H6397C05FE42A475FA913840DB66E1A44" commented="no"><enum>(iv)</enum><text display-inline="yes-display-inline">any successor, subsidiary, or affiliate of any entity described in clause (i), (ii), or (iii); but</text></clause></subparagraph> <subparagraph id="H56AFD4F8D74C4B98A61F2DB7E331ECA6" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">does not include any entity with respect to which—</text> 
<clause id="H429C72A056694048BC3806BDA67D1D75" commented="no"><enum>(i)</enum><text display-inline="yes-display-inline">a majority of the equity interest in the entity is owned by nationals of the United States and nationals of such countries (other than a foreign adversary) as are identified for purposes of this subparagraph pursuant to regulations prescribed by the Secretary; or</text></clause> <clause id="HE2C9625A06C24C309AF6F052F2A89848" commented="no"><enum>(ii)</enum><text display-inline="yes-display-inline">its ultimate parent entity is an entity organized under the laws of, and headquartered in, the United States or its States, territories, or subdivisions.</text></clause></subparagraph></paragraph> 
<paragraph id="H66A0658CCD074FE09BCDB58BB695EE7C"><enum>(5)</enum><header>Owner of the patented invention or covered trade secret</header><text display-inline="yes-display-inline">The term <term>owner of the patented invention or covered trade secret</term> means—</text> <subparagraph id="H009572858434498F89DDBE843769D478"><enum>(A)</enum><text>in the case of a patented invention, the person or entity in whom or in which rightful legal or equitable title to, or license in, the applicable patent is reposed; and</text></subparagraph> 
<subparagraph id="HBDD7E4A09A0A444BA0EE6518E31951BA"><enum>(B)</enum><text display-inline="yes-display-inline">in the case of a covered trade secret, the person or entity in whom or in which rightful legal or equitable title to, or license in, the applicable trade secret is reposed.</text></subparagraph></paragraph> <paragraph id="HB15D2ABD51984BF2A1598D79993EC1E7"><enum>(6)</enum><header>Patented invention</header><text display-inline="yes-display-inline">The term <term>patented invention</term> means an invention—</text> 
<subparagraph id="H8F94433665C442B88F28CA4A21364C21"><enum>(A)</enum><text>related to critical or emerging technology; and </text></subparagraph> <subparagraph id="HC9DFE09CB0FF4B63BCD9C268D240417C" display-inline="no-display-inline"><enum>(B)</enum><text>protected by a patent—</text> 
<clause id="H1B393EFB45C441C88D573738919CFA68"><enum>(i)</enum><text>issued under title 35, United States Code; and</text></clause> <clause id="HFFAE2983524B46E7A4DBA87AFDC96D73"><enum>(ii)</enum><text display-inline="yes-display-inline">with respect to which the rightful legal or equitable title to, or license in such patent is reposed in a United States person.</text></clause></subparagraph></paragraph> 
<paragraph id="H84A9C04B0D6640B88EA4E4007F6D395C"><enum>(7)</enum><header>Covered trade secret</header><text display-inline="yes-display-inline">The term <term>covered trade secret</term> means a trade secret (as such term is defined in section 1839 of title 18, United States Code)—</text> <subparagraph id="H2A3CE8F2C8CC4CFEBFA8B74F0725D947"><enum>(A)</enum><text>related to critical or emerging technology; and</text></subparagraph> 
<subparagraph id="HE48BF5961E8B42EFBA022D1F0BA8A908"><enum>(B)</enum><text>with respect to which the rightful legal or equitable title to, or license in, the trade secret is reposed in a United States person.</text></subparagraph></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection> <subsection id="H1C4E7849DB7C4565A3DAA2595103A065"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of contents in section 2(b) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 and the table of contents at the beginning of title XVII of division A of such Act are each amended by inserting after the item relating to section 1758 the following new item:</text>
