certain price protection payments as eligible rollover distributions, and for other purposes.</official-title></form><legis-body id="H389B7A89B15744E0AE31F9A44BBDEE12" style="OLC"><section id="HE287EF7F773C400C8A989E67E6718BCC" section-type="section-one"><enum>1.</enum><header>Price protection payments treated as eligible rollover distributions</header><subsection id="H436ED772DC86482D928F2852ADB9F6F9"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/26/402">Section 402(c)(4)</external-xref> of the Internal Revenue Code of 1986 is amended—</text><paragraph id="HFF478BBF286347DDBD13570E8E0F8918"><enum>(1)</enum><text>by striking <quote>For purposes of</quote> and inserting— </text><quoted-block style="OLC" id="HCDB55FEC8D804B2294A24CD1FD51C630" display-inline="no-display-inline"><subparagraph id="H31529200AC004CC49CAFD3542B668B4E"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">For purposes of</text></subparagraph><after-quoted-block>, </after-quoted-block></quoted-block></paragraph><paragraph id="H5A3E08F51E6D4102994F7527B44830E3"><enum>(2)</enum><text>by striking <quote>If all or any portion</quote> and all that follows through the period and inserting— </text><quoted-block style="OLC" id="HB3827352C2344F35BCCF984658121203" display-inline="no-display-inline"><subparagraph id="H3D406BBC499A4D5BAF7C202ED522B0CB"><enum>(B)</enum><header>Special rule for 2020</header><text display-inline="yes-display-inline">If all or any portion</text></subparagraph><after-quoted-block>, and </after-quoted-block></quoted-block></paragraph><paragraph id="HA321A2D8C1CE40B18127AFF2E83ACD41"><enum>(3)</enum><text>by adding at the end the following new subparagraphs: </text><quoted-block style="OLC" id="H2754F17B398C4A709AF3F469002A4BD0" display-inline="no-display-inline"><subparagraph id="HC9DF898BFDDC4008979A1C9930CCD754"><enum>(C)</enum><header>Certain price protection payments treated as eligible rollover distributions</header><clause id="H5476F0F759DB46EF8BB09D5043749D42"><enum>(i)</enum><header>Distributions prior to 2025</header><text display-inline="yes-display-inline">In the case of a price protection payment made after December 12, 2019, with respect to a plan year ending before January 1, 2025, such payment will be treated as an eligible rollover distribution if such payment is made pursuant to a price protection agreement which provides a payment to a participant (or beneficiary of such participant) who separates from service with an employer due to retirement, death or disability.</text></clause><clause id="H41D939EF2E4443BABAF56832DA89EB12"><enum>(ii)</enum><header>Distributions after 2024</header><text display-inline="yes-display-inline">In the case of a price protection payment made with respect to a plan year ending after December 31, 2024, such payment will be treated as an eligible rollover distribution if such payment is made pursuant to a price protection agreement which—</text><subclause id="HC8400C48F3514DBCA342B3915EBDDD41"><enum>(I)</enum><text display-inline="yes-display-inline">is offered as part of an employee stock ownership plan, </text></subclause><subclause id="H7D5454B6BBA945E9AA6296068FB1C79D"><enum>(II)</enum><text display-inline="yes-display-inline">covers any separation of service of a plan participant regardless of the reason for such separation, and</text></subclause><subclause id="H2085027FF1604E91A8FCDFBAFC6A7A3B"><enum>(III)</enum><text display-inline="yes-display-inline">pays price protection payments upon commencement of plan distributions under section 409(o)(1)(A)(i). </text></subclause></clause></subparagraph><subparagraph id="H9CFE530FDC494656B57821CDED4F4F68"><enum>(D)</enum><header>Definitions</header><text display-inline="yes-display-inline">For purposes of this paragraph—</text><clause id="H29F43F2CC35E443B96492207E3039876"><enum>(i)</enum><header>Price protection agreement</header><text display-inline="yes-display-inline">The term <quote>price protection agreement</quote> means an agreement between an employer maintaining an employee stock ownership plan and the trustee of such plan, pursuant to which a participant or beneficiary receives a price protection payment for stock distributions from such plan following an exempt loan taken on by the employer.</text></clause><clause id="H067EEC1FF2644EF390E25DCF31E2DD27"><enum>(ii)</enum><header>Price protection payment</header><text display-inline="yes-display-inline">The term <quote>price protection payment</quote> means an amount paid to a plan participant or beneficiary pursuant to a price protection agreement if such agreement provides that price protection payments will be made—</text><subclause id="H5C4BBD9BB9D14643BE7CE2347F7EAEEF"><enum>(I)</enum><text display-inline="yes-display-inline">within a specified period of time, not to exceed the shorter of 5 years or the life of an exempt loan, following the purchase of employer securities with such loan, and</text></subclause><subclause id="H7B0107C5F048482490E9B2B0DE863761"><enum>(II)</enum><text display-inline="yes-display-inline">in an amount equal to the excess, if any, of—</text><item id="HDCAE0F5F6CAC49EE97606734CC8D649E" display-inline="no-display-inline"><enum>(aa)</enum><text>the fair market value of the shares of employer securities at the time of the distribution determined without regard to such exempt loan, over</text></item><item id="H760F296ADAC948DBA597720F53FC8F02" display-inline="no-display-inline"><enum>(bb)</enum><text>the fair market value of the employer securities at the time of distribution.</text></item></subclause></clause><clause id="H0B17322157414016B2032CF76A5A0649"><enum>(iii)</enum><header>Employee stock ownership plan</header><text display-inline="yes-display-inline">The term <quote>employee stock ownership plan</quote> has the meaning given such term in section 4975(e)(7).</text></clause><clause id="H355824278C894A64965395A2B5421784"><enum>(iv)</enum><header>Exempt loan</header><text display-inline="yes-display-inline">The term <quote>exempt loan</quote> means a loan described in section 4975(d)(3).</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="H150A95787F2A41A7893B021332687AD2"><enum>(b)</enum><header>Price protection agreements not considered discriminatory</header><text display-inline="yes-display-inline">Section 401(a)(5) of such Code is amended by adding at the end the following new subparagraph: </text><quoted-block style="OLC" id="H6688EFC3DAC24BD9B9E7B04A568F7404" display-inline="no-display-inline"><subparagraph id="H26ACF6812F234D3293C8683DFE5C0032"><enum>(H)</enum><header>Price protection agreements</header><text display-inline="yes-display-inline">A plan shall not be considered discriminatory within the meaning of paragraph (4) merely because the plan is subject to a price protection agreement (as defined in section 402(c)(4)(D)(ii)) which favors highly compensated employees. </text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HEA5E127EE23044CAACA7AE4325AB214A"><enum>(c)</enum><header>Price protection payments not taken into account for purposes of deduction limits</header><text display-inline="yes-display-inline">Section 404 of such Code is amended by adding at the end the following new subsection: </text><quoted-block style="OLC" id="H6C75B2BF1630420CBFA6402B527EEE15" display-inline="no-display-inline"><subsection id="H9DEC26DFA0724C31957B7D5E1AF036C4"><enum>(p)</enum><header>Price protection payments not taken into account for purposes of deduction limits</header><text display-inline="yes-display-inline">Price protection payments (as defined in section 402(c)(4)(D)(i)) shall not be subject to any limitation contained in subsection (a)(3). </text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H3692C2C3601C4F5784903AA22FC29EB9" commented="no"><enum>(d)</enum><header>Effective dates</header><paragraph id="HADED8B4EBF1444B9B611F5702B18DE8D" commented="no"><enum>(1)</enum><text display-inline="yes-display-inline">The amendments made by subsection (a) shall apply to amounts paid after December 12, 2019.</text></paragraph><paragraph id="H842EFEF8A03246F2859FB84F1235F5A4" commented="no"><enum>(2)</enum><text>The amendments made by subsections (b) and (c) shall apply to amounts paid in plan years ending after December 31, 2024.</text></paragraph></subsection></section></legis-body></bill>
