BILL</legis-type><official-title>To provide that certain discriminatory conduct by covered platforms shall be unlawful, and for other purposes.</official-title></form><legis-body style="OLC"><section id="idba9f13a7b93f437993d93ec4656dd77f" section-type="section-one" changed="not-changed"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>American Innovation and Choice Online Act</short-title></quote>.</text></section><section id="idCB9176B18FA94025AD181CE212AC1361" changed="not-changed"><enum>2.</enum><header>Definitions</header><subsection id="id825EE90FFE4748E2B7FAC04E97D5109A" changed="not-changed"><enum>(a)</enum><header>In general</header><text>In this Act:</text><paragraph id="id35e5e70868e34597bebf212ca7a27eff" changed="not-changed"><enum>(1)</enum><header>Antitrust laws; person</header><text>The terms <term>antitrust laws</term> and <term>person</term> have the meanings given the terms in subsection (a) of the first section of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12</external-xref>).</text></paragraph><paragraph id="id6f1ff4ca243d4e5aabc5034d65aa64a8" changed="not-changed"><enum>(2)</enum><header>Business user</header><text>The term <term>business user</term>—</text><subparagraph id="idDD5C1091F600413FB472F0923E3E88BA" changed="not-changed"><enum>(A)</enum><text>means a person that uses or is likely to use a covered platform for the advertising, sale, or provision of products or services, including such persons that are operating a covered platform or are controlled by a covered platform operator; and</text></subparagraph><subparagraph id="id9082AF07CC4D44EF93AB0624484BE80D" changed="not-changed"><enum>(B)</enum><text>does not include a person that—</text><clause id="id7B5EE3A27D684672BD7699C488AF368B" changed="not-changed"><enum>(i)</enum><text>is a clear national security risk; or</text></clause><clause id="id493866A24D4E48E8886B6E1FA6EC2A04" commented="no" display-inline="no-display-inline" changed="not-changed"><enum>(ii)</enum><text>is organized under the laws of or controlled by the Government of the People's Republic of China or the government of a foreign adversary. </text></clause></subparagraph></paragraph><paragraph id="idbc8802cb8a3a4e359ffb1cd2d2af4c22" changed="not-changed"><enum>(3)</enum><header>Commission</header><text>The term <term>Commission</term> means the Federal Trade Commission. </text></paragraph><paragraph id="id0a49ce0a611f4fd6b90edd69263f3964" changed="not-changed"><enum>(4)</enum><header>Control</header><text>The term <term>control</term> means, with respect to a person—</text><subparagraph id="id142e4a69c1384d828d266ea7f4233b78" changed="not-changed"><enum>(A)</enum><text>holding 25 percent or more of the stock of the person;</text></subparagraph><subparagraph id="id9599e58625e2492982e378af60198574" changed="not-changed"><enum>(B)</enum><text>having the right to 25 percent or more of the profits of the person;</text></subparagraph><subparagraph id="id1777ce198eab4747ba62f1d0fa5715c9" changed="not-changed"><enum>(C)</enum><text>in the event of the dissolution of the person, having the right to 25 percent or more of the assets of the person;</text></subparagraph><subparagraph id="id645787d9a88c4d71b4f8c425c90d1ef2" changed="not-changed"><enum>(D)</enum><text>if the person is a corporation, having the power to designate 25 percent or more of the directors of the person;</text></subparagraph><subparagraph id="id9d135a52681545ebbb73b31fc487bef8" changed="not-changed"><enum>(E)</enum><text>if the person is a trust, having the power to designate 25 percent or more of the trustees; or</text></subparagraph><subparagraph id="idccdf6d2ed4f34091ba29e3ddca0de78d" changed="not-changed"><enum>(F)</enum><text>otherwise exercising substantial control over the person. </text></subparagraph></paragraph><paragraph id="id5507b9969b3b4310886e01bc68aab3b4" changed="not-changed"><enum>(5)</enum><header>Covered platform</header><text>The term <term>covered platform</term> means an online platform that—</text><subparagraph id="id7790fa76e973460fb377ed934396179f" changed="not-changed"><enum>(A)</enum><text>has been designated as a covered platform under section 3(d); or</text></subparagraph><subparagraph id="id99c6847b4f1340619f0d2302078b929e" changed="not-changed"><enum>(B)</enum><text>is owned or controlled by a person that—</text><clause id="idF8BB0A8B19D94C3996A179813F1C3DFA" changed="not-changed"><enum>(i)</enum><text>at any point during the 12 months preceding a designation under section 3(d) or the 12 months preceding the filing of a complaint for an alleged violation of this Act has at least—</text><subclause id="id4b22561b9c74482486f266c7683103c7" changed="not-changed"><enum>(I)</enum><text>50,000,000 United States-based monthly active users on the online platform; or</text></subclause><subclause id="idc79d30a8327b48fd945cb35c158c491f" changed="not-changed"><enum>(II)</enum><text>100,000 United States-based monthly active business users on the online platform;</text></subclause></clause><clause id="id2ba774d5164a4d29a818c23aed0a5850" changed="not-changed"><enum>(ii)</enum><text>during—</text><subclause id="id4d5bc9dafce24237967db0275e29ea17" changed="not-changed"><enum>(I)</enum><text>the 2 years preceding a designation under section 3(d), or the 2 years preceding the filing of a complaint for an alleged violation of this Act—</text><item id="id6EE51CB703B041EEAD0820B254932F9F" changed="not-changed"><enum>(aa)</enum><text>at any point, is owned or controlled by a person with United States net annual sales of greater than $550,000,000,000, adjusted for inflation on the basis of the Consumer Price Index; or</text></item><item id="idB534FADA47EC404B92D54A22BD058807" changed="not-changed"><enum>(bb)</enum><text>during any 180-day period during the 2-year period, has an average market capitalization greater than $550,000,000,000, adjusted for inflation on the basis of the Consumer Price Index; or</text></item></subclause><subclause id="id74965aaf42cb4f0eac01effb19171f02" changed="not-changed"><enum>(II)</enum><text>the 12 months preceding a designation under section 3(d), or at any point during the 12 months preceding the filing of a complaint for an alleged violation of this Act, has at least 1,000,000,000 worldwide monthly active users on the online platform; and</text></subclause></clause><clause id="id916bc2b7d9c9439282d304b97d0bba5f" changed="not-changed"><enum>(iii)</enum><text>is a critical trading partner for the sale or provision of any product or service offered on or directly related to the online platform.</text></clause></subparagraph></paragraph><paragraph id="idd2188c44cbd9434eb5936708c4a08317" changed="not-changed"><enum>(6)</enum><header>Critical trading partner</header><text>The term <term>critical trading partner</term> means a person that has the ability to restrict or materially impede the access of—</text><subparagraph id="id5c91fea3354e47918ab930d0d4b7b275" changed="not-changed"><enum>(A)</enum><text>a business user to the users or customers of the business user; or</text></subparagraph><subparagraph id="id5ecf243c10774f6dbb28895c1811e10b" changed="not-changed"><enum>(B)</enum><text>a business user to a tool or service that the business user needs to effectively serve the users or customers of the business user.</text></subparagraph></paragraph><paragraph id="id83ad0f3dfdd04575b92c29315794ddc7" changed="not-changed"><enum>(7)</enum><header>Data</header><text>The term <term>data</term> includes information that is collected by or provided to a covered platform or business user that is linked, or reasonably linkable, to a specific—</text><subparagraph id="id1dcf1d53b25a4743abcfcfd0d9cd8cf3" changed="not-changed"><enum>(A)</enum><text>user or customer of the covered platform; or</text></subparagraph><subparagraph id="id404d6afcdcd1439eb1b4a079eb983d99" changed="not-changed"><enum>(B)</enum><text>user or customer of a business user. </text></subparagraph></paragraph><paragraph id="id13E1FC60E93949B6A9650E19178C8ACF" changed="not-changed"><enum>(8)</enum><header>Foreign adversary</header><text>The term <term>foreign adversary</term> has the meaning given the term in section 8(c) of the Secure and Trusted Communications Networks Act of 2019 (<external-xref legal-doc="usc" parsable-cite="usc/47/1607">47 U.S.C. 1607(c)</external-xref>). </text></paragraph><paragraph id="ide6b8db9187cb4d11aa9b3e0726ff90dd" changed="not-changed"><enum>(9)</enum><header>Online platform</header><text>The term <term>online platform</term>—</text><subparagraph changed="not-changed" id="id9EE2E9AF03E24E20A6CF21A01622111A"><enum>(A)</enum><text>means a website, online or mobile application, operating system, digital assistant, or online service that enables—</text><clause id="id5b4b507b01664df8a1fc7c7661ce02a2" changed="not-changed"><enum>(i)</enum><text>a user to generate or share content that can be viewed by other users on the platform or to interact with other content on the platform;</text></clause><clause id="idb4c4429d681846dbb3afcedafd152581" changed="not-changed"><enum>(ii)</enum><text>the offering, advertising, sale, purchase, or shipping of products or services, including software applications, between and among consumers or businesses not controlled by the platform operator; or</text></clause><clause id="idbe019de85454453680ad794a538b4209" changed="not-changed"><enum>(iii)</enum><text>user searches or queries that access or display a volume of information; and</text></clause></subparagraph><subparagraph changed="not-changed" id="idA36DDC63A8EB4965A32FBFEBBB2DE91F"><enum>(B)</enum><text>does not include a service by wire or radio that provides the capability to transmit data to and receive data from all or substantially all internet endpoints, including any capabilities that are incidental to and enable the operation of the communications service.</text></subparagraph></paragraph><paragraph id="id7bb79c02314d49e7a2eb2be94c53fe45" changed="not-changed"><enum>(10)</enum><header>State</header><text>The term <term>State</term> means a State, the District of Columbia, the Commonwealth of Puerto Rico, and any other territory or possession of the United States.</text></paragraph></subsection><subsection id="idd9a590d6ef8b48f9a07aca2a44a5ea2e" changed="not-changed"><enum>(b)</enum><header>Regulations</header><text>Not later than 180 days after the date of enactment of this Act, the Commission, with the concurrence of the Department of Justice, shall promulgate regulations in accordance with section 553 of title 5, United States Code, to define the term data for the purpose of implementing and enforcing this Act. </text></subsection></section><section id="id23141f0da7b34ab28d6af9dbcdaa8a06" changed="not-changed"><enum>3.</enum><header>Unlawful conduct</header><subsection id="idf142769379b74adebaa1ae115141f533" changed="not-changed"><enum>(a)</enum><header>In general</header><text>It shall be unlawful for a person operating a covered platform in or affecting commerce to—</text><paragraph id="id15bfb529089346818ddf7bd5043139c0" changed="not-changed"><enum>(1)</enum><text>preference the products, services, or lines of business of the covered platform operator over those of another business user on the covered platform in a manner that would materially harm competition;</text></paragraph><paragraph id="idce04f34db5f745778a8c193d5302ebbd" changed="not-changed"><enum>(2)</enum><text>limit the ability of the products, services, or lines of business of another business user to compete on the covered platform relative to the products, services, or lines of business of the covered platform operator in a manner that would materially harm competition;</text></paragraph><paragraph id="idcc8fe901920242df9cfc9ee37b06373a" changed="not-changed"><enum>(3)</enum><text>discriminate in the application or enforcement of the terms of service of the covered platform among similarly situated business users in a manner that would materially harm competition;</text></paragraph><paragraph id="idc02e8a171ef64b85aeb4cb99fc9d5acd" changed="not-changed"><enum>(4)</enum><text>materially restrict, impede, or unreasonably delay the capacity of a business user to access or interoperate with the same platform, operating system, or hardware or software features that are available to the products, services, or lines of business of the covered platform operator that compete or would compete with products or services offered by business users on the covered platform, except where such access would lead to a significant cybersecurity risk;</text></paragraph><paragraph id="ide11e9436053540638a1870c09dc636ab" changed="not-changed"><enum>(5)</enum><text>condition access to the covered platform or preferred status or placement on the covered platform on the purchase or use of other products or services offered by the covered platform operator that are not part of or intrinsic to the covered platform;</text></paragraph><paragraph id="id8f6cb95f056f4a91a63321eff3cae162" changed="not-changed"><enum>(6)</enum><text>use nonpublic data that are obtained from or generated on the covered platform by the activities of a business user or by the interaction of a covered platform user with the products or services of a business user to offer, or support the offering of, the products or services of the covered platform operator that compete or would compete with products or services offered by business users on the covered platform;</text></paragraph><paragraph id="id9c87a93abc6c4276990c0038f5e4691d" changed="not-changed"><enum>(7)</enum><text>materially restrict or impede a business user from accessing data generated on the covered platform by the activities of the business user, or through an interaction of a covered platform user with the products or services of the business user, such as by establishing contractual or technical restrictions that prevent the portability by the business user to other systems or applications of the data of the business user;</text></paragraph><paragraph id="id36D16A2728A7424A89D26DA048D56C5D" changed="not-changed"><enum>(8)</enum><text>materially restrict or impede covered platform users from uninstalling software applications that have been preinstalled on the covered platform or changing default settings that direct or steer covered platform users to products or services offered by the covered platform operator, unless necessary—</text><subparagraph id="idFAEC0660464D4AB087F87E7A2057C883" changed="not-changed"><enum>(A)</enum><text>for the security or functioning of the covered platform; or</text></subparagraph><subparagraph id="idCEC14B5344064E23BD097E6173E9FB4B" commented="no" display-inline="no-display-inline" changed="not-changed"><enum>(B)</enum><text>to prevent data from the covered platform operator or another business user from being transferred to the Government of the People's Republic of China or the government of a foreign adversary;</text></subparagraph></paragraph><paragraph id="idc4bdbc7c067545c4b2540e36f4e0fa31" changed="not-changed"><enum>(9)</enum><text>in connection with any covered platform user interface, including search or ranking functionality offered by the covered platform, treat the products, services, or lines of business of the covered platform operator more favorably relative to those of another business user and in a manner that is inconsistent with the neutral, fair, and nondiscriminatory treatment of all business users; or</text></paragraph><paragraph id="id6b6dc47bfaca4a1e9373ea94aec2c145" changed="not-changed"><enum>(10)</enum><text>retaliate against any business user or covered platform user that raises good-faith concerns with any law enforcement authority about actual or potential violations of State or Federal law on the covered platform or by the covered platform operator.</text></paragraph></subsection><subsection id="id1F3792F155D14E45AF6FC73091107BDB" changed="not-changed"><enum>(b)</enum><header>Affirmative defenses</header><paragraph id="idf2fc1d1c9b9f490bbbeb80d976779fdc" changed="not-changed"><enum>(1)</enum><header>In general</header><text>It shall be an affirmative defense to an action under subsection (a) if the defendant establishes that the conduct was reasonably tailored and reasonably necessary, such that the conduct could not be achieved through materially less discriminatory means, to—</text><subparagraph id="id17b56b789aaf4bab86193bb45d5246f6" changed="not-changed"><enum>(A)</enum><text>prevent a violation of, or comply with, Federal or State law;</text></subparagraph><subparagraph id="idd5a2b7ec6bad4d60ae7bba41fb73dafe" changed="not-changed"><enum>(B)</enum><text>protect safety, user privacy, the security of nonpublic data, or the security of the covered platform; or</text></subparagraph><subparagraph id="idd4d94918bdb244a3bc23dcbaecc8991e" changed="not-changed"><enum>(C)</enum><text>maintain or substantially enhance the core functionality of the covered platform.</text></subparagraph></paragraph><paragraph id="id6e7d58982f334487a3dc587461762f41" changed="not-changed"><enum>(2)</enum><header>Additional affirmative defenses</header><text>It shall be an affirmative defense to an action under paragraph (4), (5), (6), (7), (8), or (9) of subsection (a) if the defendant establishes that the conduct has not resulted in and would not result in material harm to competition.</text></paragraph><paragraph id="idb524b99b52234862860bfa100b86af63"><enum>(3)</enum><header>Effect of other laws</header><text>Notwithstanding any other provision of law, whether user conduct would constitute a violation of section 1030 of title 18, United States Code, shall have no effect on whether the defendant has established an affirmative defense under this Act.</text></paragraph><paragraph id="id04041cdb7efa4c2a90e102027c4912ec"><enum>(4)</enum><header>Burden of proof</header><text>The defendant has the burden of proving an affirmative defense under this subsection by a preponderance of the evidence.</text></paragraph></subsection><subsection id="id2cfc55a9a1714781ba18fd77c5c088cf"><enum>(c)</enum><header>Enforcement</header><paragraph id="id79e788949f724f65ad972a27bd0da0a6"><enum>(1)</enum><header>In general</header><text>Except as otherwise provided in this Act—</text><subparagraph id="ide147df6d45544b32addf29c18124fb9a"><enum>(A)</enum><text>the Commission shall enforce this Act in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>) were incorporated into and made a part of this Act;</text></subparagraph><subparagraph id="idef4b1bb8f66647fbacb289199129ee1c"><enum>(B)</enum><text>the Department of Justice shall enforce this Act in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms of the Sherman Act (<external-xref legal-doc="usc" parsable-cite="usc/15/1">15 U.S.C. 1 et seq.</external-xref>), Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12 et seq.</external-xref>), and Antitrust Civil Process Act (<external-xref legal-doc="usc" parsable-cite="usc/15/1311">15 U.S.C. 1311 et seq.</external-xref>) were incorporated into and made a part of this Act; and</text></subparagraph><subparagraph id="idd5e2669396f74d1190c4fec8f4d95dc9"><enum>(C)</enum><text>any attorney general of a State shall enforce this Act in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms of the Sherman Act (<external-xref legal-doc="usc" parsable-cite="usc/15/1">15 U.S.C. 1 et seq.</external-xref>) and the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12 et seq.</external-xref>) were incorporated into and made a part of this Act.</text></subparagraph></paragraph><paragraph id="id6852cdb0cb2840d38ef8c686f218f49d"><enum>(2)</enum><header>Commission independent litigation authority</header><text>If the Commission has reason to believe that a person violated this Act, the Commission may commence a civil action, in its own name by any of its attorneys designated by it for such purpose, to recover a civil penalty and seek other appropriate relief in a district court of the United States.</text></paragraph><paragraph id="id111081eff39d4a7e9e68de902e029ae7"><enum>(3)</enum><header>Parens patriae</header><text>Any attorney general of a State may bring a civil action in the name of such State for a violation of this Act as parens patriae on behalf of natural persons residing in such State, in any district court of the United States having jurisdiction of the defendant for any form of relief provided for in this section.</text></paragraph><paragraph id="id7df65d1dc2e3446ab2f8d44ed2d825dc"><enum>(4)</enum><header>Enforcement in federal district court</header><text>The Commission, Department of Justice, or any attorney general of a State shall only be able to enforce this Act through a civil action brought before a district court of the United States. </text></paragraph><paragraph changed="not-changed" id="id300B6CF4F55E4CE3B979566504CBDB01"><enum>(5)</enum><header>Preponderance of the evidence</header><text>The Department of Justice, the Commission, or the attorney general of a State shall establish a violation of this section by a preponderance of the evidence.</text></paragraph><paragraph changed="not-changed" id="id03BF1ACAB73E4E3EADDDDEB8C77267F1"><enum>(6)</enum><header>Remedies</header><subparagraph id="ida6bb172d4ab34ad096472a94fa92858b"><enum>(A)</enum><header>In general</header><text>The remedies provided in this paragraph are in addition to, and not in lieu of, any other remedy available under Federal or State law.</text></subparagraph><subparagraph id="id4c7a6e35f2eb4dda9ecda9cf0ef910e2"><enum>(B)</enum><header>Civil penalty</header><text>Any person who violates this Act shall forfeit and pay to the United States a civil penalty in an amount that is sufficient to deter violations of this Act, but not greater than 10 percent of the total United States revenue of the person for the period of time the violation occurred.</text></subparagraph><subparagraph id="idd95f0eb3a6054297a68afed628204128"><enum>(C)</enum><header>Injunctions</header><clause id="id3917538073ad4ff29b63bb7e44707206"><enum>(i)</enum><header>In general</header><text>The Department of Justice, the Commission, or the attorney general of any State may seek, and the court may order, relief in equity as necessary to prevent, restrain, or prohibit violations of this Act.</text></clause><clause id="id012fc89a0ef44de68e8d8f38ce1f1d47"><enum>(ii)</enum><header>Temporary injunctions</header><subclause id="id869c112033df434faf3144ed2112e7a3"><enum>(I)</enum><header>In general</header><text>The Commission, Department of Justice, or any attorney general of a State may seek a temporary injunction requiring the covered platform operator to take or stop taking any action for not more than 120 days.</text></subclause><subclause id="id739a45cb386a40fe9b81bb44daba791b"><enum>(II)</enum><header>Grant</header><text>The court may grant a temporary injunction under this clause if the Commission, the Department of Justice, or the attorney general of a State, as applicable, demonstrates—</text><item id="id8eeee667eabc43c494781c57ba093c62"><enum>(aa)</enum><text>there is a plausible claim, supported by substantial evidence raising sufficiently serious questions going to the merits to make them fair ground for litigation, that a covered platform operator violated this Act;</text></item><item id="ida32e13ca47754351aa5ea61913db5340"><enum>(bb)</enum><text>that the conduct alleged to violate this Act materially impairs the ability of business users to compete with the covered platform operator; and</text></item><item id="id2818edbf0b21456ab87cf4a8d8b85b0f"><enum>(cc)</enum><text>a temporary injunction would be in the public interest.</text></item></subclause><subclause id="id6ec6437708554d1bb8f9717a51ee42ef"><enum>(III)</enum><header>Duration</header><text>A temporary injunction under this clause shall expire not later than the date that is 120 days after the date on which a complaint under this subsection is filed.</text></subclause><subclause id="id84026ad27cd841a8a3459a0e3b82fcd5"><enum>(IV)</enum><header>Termination</header><text>The court shall terminate a temporary injunction under this clause if the covered platform operator demonstrates that—</text><item id="id4c4fcd675c84483e81a7f21629de4dc8"><enum>(aa)</enum><text>the Commission, the Department of Justice, or the attorney general of the State seeking relief under this subsection has not taken reasonable steps to investigate whether a violation has occurred; or</text></item><item id="id1aef06f7368a4a5da54a388d9714ec6c"><enum>(bb)</enum><text>allowing the temporary injunction to continue would harm the public interest.</text></item></subclause><subclause id="iddabc8e94ed734cf589d6d117fb57db3b"><enum>(V)</enum><header>Other equitable relief</header><text>Nothing in this clause shall prevent or limit the Commission, the Department of Justice, or any attorney general of any State from seeking other equitable relief, including the relief provided in this paragraph.</text></subclause></clause></subparagraph><subparagraph id="id14c34cb2ac0c4e0d933a8370c0de5b55"><enum>(D)</enum><header>Forfeiture for repeat offenders</header><clause id="idfac67e6b9e4d47b99a9ab5c6d3ebcf4d"><enum>(i)</enum><header>In general</header><text>If a person has engaged in a pattern or practice of violating this Act, the court shall consider requiring, and may order, that the chief executive officer of the person, and any other corporate officer of the person as appropriate to deter violations of this Act, forfeit to the United States Treasury any compensation received by that chief executive officer or corporate officer during the 12 months preceding the filing of a complaint for an alleged violation of this Act.</text></clause><clause id="iddb72259dd2964685a4571f6526b42999"><enum>(ii)</enum><header>Forfeiture process</header><text>Prior to ordering any chief executive officer or corporate officer to forfeit compensation under clause (i), the court shall provide such chief executive officer or corporate officer with reasonable notice that the court is considering ordering forfeiture under this subparagraph and provide an opportunity for such chief executive officer or corporate officer to appear and be heard before the court at a hearing on such potential forfeiture.</text></clause></subparagraph></paragraph><paragraph id="id97f828c1d31c40f09821d147cf7b47df"><enum>(7)</enum><header>Statute of limitations</header><text>A proceeding for a violation of this section may be commenced not later than 6 years after such violation occurs.</text></paragraph><paragraph id="ided0fd1424c8b451489287376591c0ba2"><enum>(8)</enum><header>Rules of construction</header><subparagraph id="id40733a90998f4080bace8377ea062c8d"><enum>(A)</enum><header>In general</header><text>Nothing in subsection (a) may be construed—</text><clause id="id747503b753c74092bf61b074cf455d60"><enum>(i)</enum><text>to require a covered platform operator to divulge or license any intellectual property, including any trade secrets, business secrets, or other confidential proprietary business processes, owned by or licensed to the covered platform operator;</text></clause><clause id="ide9a2825beef6433dabe3ad2b5cbedc05"><enum>(ii)</enum><text>to prevent a covered platform operator from asserting its preexisting rights under intellectual property law to prevent the unauthorized use of any intellectual property owned by or duly licensed to the covered platform operator;</text></clause><clause id="id2e6311ab138745288301fe9a7fce6b4f"><enum>(iii)</enum><text>to require a covered platform operator to interoperate or share data with persons or business users that are on any list maintained by the Federal Government by which entities—</text><subclause id="id107eee9000bc4c67ac7382ec4c28c6e6"><enum>(I)</enum><text>are identified as limited or prohibited from engaging in economic transactions as part of United States sanctions or export-control regimes; or</text></subclause><subclause id="idba0a6a3e5c9f4a1aad169c551624eca0"><enum>(II)</enum><text>have been identified as national security, intelligence, or law enforcement risks;</text></subclause></clause><clause id="id56a9f774e9eb459a9bdcc7feb7db5772"><enum>(iv)</enum><text>to prohibit a covered platform operator from promptly requesting and obtaining the consent of a covered platform user prior to providing access to the nonpublic, personally identifiable information of the user to a covered platform user under that subsection;</text></clause><clause id="id47257c5d4e7c49c585bf8f9abb45c7c6"><enum>(v)</enum><text>in a manner that would likely result in data on the covered platform or data from another business user being transferred to the Government of the People’s Republic of China or the government of a foreign adversary; or</text></clause><clause id="idd78364e3210841d8ac78028ac1ea2bff"><enum>(vi)</enum><text>to impose liability on a covered platform operator solely for offering—</text><subclause id="id2094e58d80c04a52b3079fccaffb9257"><enum>(I)</enum><text>full end-to-end encrypted messaging or full end-to-end encrypted communication products or services; or</text></subclause><subclause id="id7db5f1c5b3784f108e17612b736a5f33"><enum>(II)</enum><text>a fee-for-service subscription that provides benefits to covered platform users on the covered platform.</text></subclause></clause></subparagraph><subparagraph id="id4ffb9b3c9bde488a8737765668bb7464"><enum>(B)</enum><header>Copyright and trademark violations</header><text>An action taken by a covered platform operator that is reasonably tailored to protect the rights of third parties under section 106, 1101, 1201, or 1401 of title 17, United States Code, or rights actionable under section 32 or 43 of the Act entitled <quote>An Act to provide for the registration and protection of trademarks used in commerce, to carry out the provisions of certain international conventions, and for other purposes</quote>, approved July 5, 1946 (commonly known as the <quote>Lanham Act</quote> or the <quote>Trademark Act of 1946</quote>) (<external-xref legal-doc="usc" parsable-cite="usc/15/1114">15 U.S.C. 1114</external-xref>, 1125), or corollary State law, shall not be considered unlawful conduct under subsection (a).</text></subparagraph></paragraph></subsection><subsection id="idac1705990272486e8c5e66f0b27c019c"><enum>(d)</enum><header>Covered platform designation</header><paragraph id="ida7f053b0a2bd4bf5a96c35ac024417af"><enum>(1)</enum><header>In general</header><text>The Commission and the Department of Justice may jointly, with concurrence of the other, designate an online platform as a covered platform for the purpose of implementing and enforcing this Act, which shall—</text><subparagraph id="id1bcae20ce6de427ab2ec6c118f3d80af"><enum>(A)</enum><text>be based on a finding that the criteria set forth in section 2(a)(5)(B) are met;</text></subparagraph><subparagraph id="id7cf2d21ff8974ff782e0b6c4747f9279"><enum>(B)</enum><text>be issued in writing and published in the Federal Register; and</text></subparagraph><subparagraph id="id2be2b39a27914f24a0bdd07eca22daca"><enum>(C)</enum><text>except as provided in paragraph (2), apply for a 7-year period beginning on the date on which the designation is issued, regardless of whether there is a change in control or ownership over the covered platform.</text></subparagraph></paragraph><paragraph id="id99217cfae35346ddaabe38322b726b67"><enum>(2)</enum><header>Removal of covered platform designation</header><text>The Commission or the Department of Justice shall—</text><subparagraph id="id44654a3df63a4d6f9ccc3ac3dd3d0850"><enum>(A)</enum><text>consider whether a designation of a covered platform under paragraph (1) should be removed prior to the expiration of the 7-year period if the covered platform operator files a request with the Commission or the Department of Justice that shows that the online platform no longer meets the criteria set forth in section 2(a)(5)(B);</text></subparagraph><subparagraph id="idd68f7a96a1194b6db6ceb9590ebd2fcf"><enum>(B)</enum><text>determine whether to grant a request submitted under subparagraph (A) not later than 120 days after the date on which the request is filed;</text></subparagraph><subparagraph id="idb072e02a6ace4fdd85730db625aa06c3"><enum>(C)</enum><text>obtain the concurrence of the Commission or the Department of Justice, as appropriate, before granting a request submitted under subparagraph (A); and</text></subparagraph><subparagraph id="id4066623e60054717ad05a99aca6015c7"><enum>(D)</enum><text>publish any decision to grant or deny removal of a covered platform designation in the Federal Register.</text></subparagraph></paragraph><paragraph id="idb278aa5cb46b4bb5be958886e86bd14d"><enum>(3)</enum><header>Judicial review</header><text>Any person operating an online platform that has been designated as a covered platform under paragraph (1) or whose request for removal of such a designation under paragraph (2) is denied may, within 30 days of the issuance of such designation or decision, petition for review of such designation or decision in the United States Court of Appeals for the District of Columbia Circuit.</text></paragraph></subsection></section><section id="idf9ffc229eb78427abf6c2b3ca2418d94"><enum>4.</enum><header>Enforcement guidelines</header><subsection id="id30ace82b326247bca885656c0e262ac2"><enum>(a)</enum><header>In general</header><text>Not later than 270 days after the date of enactment of this Act, the Commission and the Department of Justice, in consultation with other relevant Federal agencies and State attorneys general, shall jointly issue agency enforcement guidelines outlining policies and practices relating to conduct that may materially harm competition under section 3(a), agency interpretations of the affirmative defenses under section 3(b), and policies for determining the appropriate amount of a civil penalty to be sought under section 3(c), with the goal of promoting transparency, deterring violations, fostering innovation and procompetitive conduct, and imposing sanctions proportionate to the gravity of individual violations.</text></subsection><subsection id="id7b2a4e1fa1204f95a3ed55e8c6af37cd"><enum>(b)</enum><header>Updates</header><text>The Commission and the Department of Justice shall update the joint guidelines issued under subsection (a) as needed to reflect current agency policies and practices, but not less frequently than once every 4 years beginning on the date of enactment of this Act.</text></subsection><subsection id="id2db1fcbb57ae4096bf5eb28c07bba213"><enum>(c)</enum><header>Public notice and comment</header><text>Before issuing guidelines, or updates to those guidelines, under this section, the Commission and the Department of Justice shall—</text><paragraph id="id4f032a4c04294b86a6db9adba98bd9c1"><enum>(1)</enum><text>publish proposed guidelines in draft form; and</text></paragraph><paragraph id="id6119f138ab7c41bfa2068a02b50e84f8"><enum>(2)</enum><text>provide public notice and opportunity for comment for not less than 60 days after the date on which the draft guidelines are published.</text></paragraph></subsection><subsection id="idcba5865a105949b5a17017be397506e6"><enum>(d)</enum><header>Operation</header><text>The joint guidelines issued under this section do not—</text><paragraph id="id1e0322b4a23c4ec2b773ca5828c28479"><enum>(1)</enum><text>confer any rights upon any person, State, or locality; or</text></paragraph><paragraph id="id92a124ff16e7459e9434a0451f01783d"><enum>(2)</enum><text>operate to bind the Commission, Department of Justice, or any person, State, or locality to the approach recommended in the guidelines.</text></paragraph></subsection></section><section id="id2d1dff5f980a461b8db5746d82a004f3"><enum>5.</enum><header>Rule of construction</header><text display-inline="no-display-inline">Nothing in this Act may be construed to limit—</text><paragraph id="id0aeb5edc66af4a38b27cb7d643a74bf3"><enum>(1)</enum><text>any authority of the Department of Justice or the Commission under the antitrust laws, section 5 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>), or any other provision of law; or</text></paragraph><paragraph id="idb500e3e056ae4d019137a6023962412e"><enum>(2)</enum><text>the application of any law.</text></paragraph></section><section id="id2110d1050f704949a839abb851a5f4a4"><enum>6.</enum><header>Severability</header><text display-inline="no-display-inline">If any provision of this Act, or the application of such provision to any person or circumstance, is held to be unconstitutional, the remainder of this Act, and the application of the remaining provisions of this Act, to any person or circumstance, shall not be affected.</text></section><section id="id4166befd44da47cb8e55d71bb1342680"><enum>7.</enum><header>Effective date</header><subsection id="id18b72ed46899455180d250ad1b47601b"><enum>(a)</enum><header>In general</header><text>Except as provided in subsection (b), this Act shall take effect on the date of enactment of this Act.</text></subsection><subsection id="idc04883ee04e14acdaf59b64fe3eb4a1b"><enum>(b)</enum><header>Exception</header><text>Section 3(a) shall take effect on the date that is 1 year after the date of enactment of this Act.</text></subsection><subsection id="id9294a16a174a4370ab825ae264b96911"><enum>(c)</enum><header>Authority</header><text>The exception in subsection (b) shall not limit the authority of the Commission or Department of Justice to implement other sections of this Act. </text></subsection></section></legis-body></bill>
