which was referred to the <committee-name committee-id="HSM00">Committee on Small Business</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Small Business Economic Policy Act of 1980 to examine how the competitiveness of small businesses is affected by the enforcement of Federal antitrust laws, and for other purposes.</official-title></form><legis-body id="HE1ADB014BC6C46DD8725E99FAC3272A5" style="OLC"><section id="H974EBE33675948C3889AC4704ED38BEE" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Main Street Competes Act</short-title></quote>.</text></section><section id="H08F7349224824DADB86EF8CFCC432482"><enum>2.</enum><header>Congressional declaration of small business economic policy</header><text display-inline="no-display-inline">Section 302(a) of the Small Business Economic Policy Act of 1980 (<external-xref legal-doc="usc" parsable-cite="usc/15/631a">15 U.S.C. 631a(a)</external-xref>) is amended—</text><paragraph id="HC0A5F6E26D5F47C1A5874D61A5425B51"><enum>(1)</enum><text>by striking <quote>and provide</quote> and inserting <quote>provide</quote>; and</text></paragraph><paragraph id="HE242A7DB2B3D4F0D9A4C00926FD4B447"><enum>(2)</enum><text>by striking the period at the end and inserting <quote>; and promote competitive markets, consumer choice, and business ownership through enforcement of Federal antitrust laws in the case of anticompetitive conduct that harms small businesses and the growth of small businesses.</quote>.</text></paragraph></section><section id="H659A4313A25F46C19D98C2C9AEF90F58" commented="no"><enum>3.</enum><header>State of small businesses</header><subsection id="H537F787D863640FC8F2071DFD257FF32" commented="no"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 303 of the Small Business Economic Policy Act of 1980 (<external-xref legal-doc="usc" parsable-cite="usc/15/631b">15 U.S.C. 631b</external-xref>) is amended to read as follows:</text><quoted-block style="OLC" id="H51585EF1ED934A8397044A0CE1F36805" display-inline="no-display-inline"><section id="HD7E826EB5AFE496C85748BEF744CD90B" commented="no"><enum>303.</enum><header>Report on the state of small business concerns</header><subsection id="H7FD203A0205F4F92897E1D79793AEB82" commented="no"><enum>(a)</enum><header>Specified entity report</header><text display-inline="yes-display-inline">Not later than 180 days after the end of fiscal year 2023 and each fiscal year thereafter, the head of each specified entity shall submit to the Chief Counsel for Advocacy of the Office of Advocacy of the Small Business Administration a report including—</text><paragraph id="H5F0AB5D3DDC846349402E9AE4A9CFA90" commented="no"><enum>(1)</enum><text display-inline="yes-display-inline">an analysis of how enforcement by the specified entity of Federal antitrust laws promoted competition during the preceding fiscal year by deterring and remedying anticompetitive conduct that harms small businesses and the growth of small businesses; </text></paragraph><paragraph id="H585ACBBB7FF14119AD9293AB51CA49B4" commented="no"><enum>(2)</enum><text display-inline="yes-display-inline">the number of complaints of alleged antitrust violations filed by small businesses with the specified entity during such fiscal year, disaggregated by category of the alleged antitrust violation, type of offense, and the specific Federal antitrust laws allegedly violated;</text></paragraph><paragraph id="HBB7410D139654D01B397EE3A2B36EB54" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">the number of inquiries, investigations, and enforcement actions undertaken by the specified entity in response to complaints filed by small businesses with the specified entity during such fiscal year; and</text></paragraph><paragraph id="H791F81565D4E496E8AEF2F8CE9D13CD3" commented="no"><enum>(4)</enum><text display-inline="yes-display-inline">the number of inquiries, investigations, and enforcement actions undertaken by the specified entity during such fiscal year pursuant to an alleged antitrust violation, opened for a reason other than described in paragraph (3), to deter and remedy anticompetitive conduct that harms small businesses and the growth of small businesses.</text></paragraph></subsection><subsection id="H18C661D883FA431D90B13156C0641FE5" commented="no"><enum>(b)</enum><header>Office of Advocacy report</header><text display-inline="yes-display-inline">Not later than 180 days after receipt of the report required by subsection (a), the Chief Counsel for Advocacy shall submit to the Committee on Small Business of the House of Representatives and the Committee on Small Business and Entrepreneurship of Senate a report that includes—</text><paragraph id="HDED066644F1F4C3497FDC5C353FB8461" commented="no"><enum>(1)</enum><text>a summary of the report submitted under subsection (a);</text></paragraph><paragraph id="HD77F4DF64BAD450B8062C3DC9E106B41" commented="no"><enum>(2)</enum><text>an analysis of the data in such report, disaggregated by industry category;</text></paragraph><paragraph id="H1496A38A59B04C3ABB68816C7BD10F32"><enum>(3)</enum><text display-inline="yes-display-inline">an evaluation of the issues identified in such report relating to—</text><subparagraph id="H2FF16929260B47E696C05615FC777813"><enum>(A)</enum><text>anticompetitive conduct that harmed small businesses and the growth of small businesses; and</text></subparagraph><subparagraph id="HF52FFB72A7424A058FAE76FA36C37B5E"><enum>(B)</enum><text>administrative actions that promoted competition and growth of small businesses;</text></subparagraph></paragraph><paragraph id="H73E00C5166284749B9034F535AEF79F2"><enum>(4)</enum><text>as appropriate, recommendations for administrative actions that could—</text><subparagraph id="H62B368098E8C431B8D70F6C3FE58BB65"><enum>(A)</enum><text>promote competition;</text></subparagraph><subparagraph id="HF0D61CEF53D04A7EA16E5716381DC42B"><enum>(B)</enum><text>deter anticompetitive conduct that harmed small business and the growth of small businesses; and</text></subparagraph><subparagraph id="HC47F1703A71F430FB6F71F076660FEC1"><enum>(C)</enum><text>remedy such anticompetitive conduct; and</text></subparagraph></paragraph><paragraph id="HB115FFEDC3FA467AA73AC44258215647"><enum>(5)</enum><text>as appropriate, recommendations for legislative actions that could—</text><subparagraph id="HA12FA84516DF479D91CEFDD063407084"><enum>(A)</enum><text>promote competition;</text></subparagraph><subparagraph id="H138FF1A986F6492380623A5256F4287C"><enum>(B)</enum><text>deter anticompetitive conduct that harmed small business and the growth of small businesses; and</text></subparagraph><subparagraph id="H8645D58BEC7744D8ABCB722DBC853902"><enum>(C)</enum><text>remedy such anticompetitive conduct.</text></subparagraph></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H453DA7B7A5064310A5103EC510A74555" commented="no"><enum>(b)</enum><header>Definitions</header><text>The Small Business Economic Policy Act of 1980 (<external-xref legal-doc="public-law" parsable-cite="pl/96/302">Public Law 96–302</external-xref>; 94 Stat. 848; <external-xref legal-doc="usc" parsable-cite="usc/15/631a">15 U.S.C. 631a et seq.</external-xref>) is amended by adding at the end the following new section:</text><quoted-block style="OLC" id="H81D7B312F84C4318849F1560958B3A96" display-inline="no-display-inline"><section id="H64514480461D4DA490B72753EA1360F0" commented="no"><enum>304.</enum><header>Definitions</header><text display-inline="no-display-inline">In this title:</text><paragraph id="H3931CC1786F3480F966C23CEB41F612D" commented="no"><enum>(1)</enum><header>Antitrust violation</header><text display-inline="yes-display-inline">The term <term>antitrust violation</term> means any violation of Federal antitrust laws.</text></paragraph><paragraph id="H936B8214F2024673A9A5EA95AECE8BCD" commented="no"><enum>(2)</enum><header>Federal antitrust laws</header><text>The term <term>Federal antitrust laws</term> has the meaning given the term <term>antitrust laws</term> in subsection (a) of the first section of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12(a)</external-xref>), except that such term shall also include section 5 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>) to the extent that such section 5 applies to unfair methods of competition.</text></paragraph><paragraph id="H1FA1E18C55E64D06BB77CA2B9989F05C"><enum>(3)</enum><header>Small business</header><text>The term <term>small business</term> has the meaning given <quote>small business concern</quote> under section 3 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632</external-xref>).</text></paragraph><paragraph id="HB82787371B6D4CF7ADC924BBED93655E" commented="no"><enum>(4)</enum><header>Specified entity</header><text>The term <term>specified entity</term> means—</text><subparagraph id="H28B39F69DF03487C9D9CEB22B6271A57" commented="no"><enum>(A)</enum><text>the Department of Justice; and</text></subparagraph><subparagraph id="H976EEF00EEBD486697C242A36D541C8A" commented="no"><enum>(B)</enum><text>the Federal Trade Commission.</text></subparagraph></paragraph></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section></legis-body></bill>
