R. 4590</legis-num><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20230712">July 12, 2023</action-date><action-desc><sponsor name-id="S001213">Mr. Steil</sponsor> introduced the following bill; which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Securities Exchange Act of 1934 to provide for liability for certain failures to disclose material information in connection with proxy voting advice, and for other purposes.</official-title></form><legis-body id="HAA92427D45E44D25BE598054E980823F" style="OLC"><section id="H1CA774BC53F148E2B8410CC45569CDC7" section-type="section-one"><enum>1.</enum><header>Liability for certain failures to disclose material information or making of material misstatements</header><text display-inline="no-display-inline">Section 14 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78n">15 U.S.C. 78n</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" id="HF99E131B39BE4055B091A311D9A98F58" display-inline="no-display-inline"><subsection id="H274F2EFF8613497FAF1B6D0DFD0A0450"><enum>(l)</enum><header>False or misleading statements</header><text display-inline="yes-display-inline">For purposes of section 18, the failure to disclose material information (such as a proxy voting advice business’s methodology, sources of information, or conflicts of interest) or the making of a material misstatement regarding proxy voting advice that makes a recommendation to a security holder as to the security holder’s vote, consent, or authorization on a specific matter for which security holder approval is solicited, and that is furnished by a person that markets the person’s expertise as a provider of such proxy voting advice separately from other forms of investment advice, and sells such proxy voting advice for a fee, shall be considered to be false or misleading with respect to a material fact.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body></bill>
