<distribution-code display="yes">II</distribution-code><congress>117th CONGRESS</congress><session>1st Session</session><legis-num>S. 1914</legis-num><current-chamber>IN THE SENATE OF THE UNITED STATES</current-chamber><action><action-date date="20210527">May 27, 2021</action-date><action-desc><sponsor name-id="S350">Mr. Rubio</sponsor> (for himself and <cosponsor name-id="S309">Mr. Casey</cosponsor>) introduced the following bill; which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To prohibit the initial public offering of certain securities, and for other purposes.</official-title></form><legis-body style="OLC"><section id="idB58149D3FC1A4D4189E947BEE5394779" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>No IPOs for Unaccountable Actors Act</short-title></quote>.</text></section><section id="idBE817EA695654D78AC9756891136AD75"><enum>2.</enum><header>No initial public offerings for unaccountable actors</header><subsection id="idA6CCAA463D6D4756A07ABF953198FC7F"><enum>(a)</enum><header>Definitions</header><text>In this section—</text><paragraph id="idF8810C7A7C094757824F420FB7D463EF"><enum>(1)</enum><text>the term <term>Board</term> means the Public Company Accounting Oversight Board;</text></paragraph><paragraph id="id4E084ED7FDFB40C3919CC2C9FDEF81DC"><enum>(2)</enum><text>the term <term>Commission</term> means the Securities and Exchange Commission;</text></paragraph><paragraph id="id0ADDA49F52514F499AFCCEB31C4E9DD8"><enum>(3)</enum><text>the term <term>covered entity</term> means— </text><subparagraph id="idE84C7BD7F2ED47228EBA27BAD938B10D"><enum>(A)</enum><text>an entity that is headquartered in, or otherwise controlled by an entity that is headquartered in, a foreign jurisdiction in which the Board is prevented from conducting an inspection or investigation of a registered public accounting firm under section 104 of the Sarbanes-Oxley Act of 2002 (<external-xref legal-doc="usc" parsable-cite="usc/15/7214">15 U.S.C. 7214</external-xref>) because of a position taken by an authority in that foreign jurisdiction, as determined by the Board; or</text></subparagraph><subparagraph id="idAE163081E4FE49C4ABE183A5D1B53B45"><enum>(B)</enum><text>an entity that— </text><clause id="idB9F1DBEEDE1E421BBE5606EA99A83B13"><enum>(i)</enum><text>is headquartered in, or otherwise controlled by an entity that is headquartered in, a foreign jurisdiction; and</text></clause><clause id="idF205BF01F58E4B9E9D4AAC6EE3210AB3"><enum>(ii)</enum><text>retains a registered public accounting firm described in section 104(i)(2)(A) of the Sarbanes-Oxley Act of 2002 (<external-xref legal-doc="usc" parsable-cite="usc/15/7214">15 U.S.C. 7214(i)(2)(A)</external-xref>); </text></clause></subparagraph></paragraph><paragraph id="id83E4B5E2BE8347DE94C5447043F74732"><enum>(4)</enum><text>the terms <term>exchange</term>, <term>issuer</term>, and <term>security</term> have the meanings given the terms in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>); and</text></paragraph><paragraph id="id4B390A6948F847E288FE237116454EF1"><enum>(5)</enum><text>the term <term>national securities exchange</term> means an exchange registered as a national securities exchange under section 6 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78f">15 U.S.C. 78f</external-xref>).</text></paragraph></subsection><subsection id="id4E107488577744D4933EC30956302602"><enum>(b)</enum><header>Prohibitions regarding covered entities</header><text>Beginning on the date that is 1 year after the date of enactment of this Act—</text><paragraph id="idBFE06376A873408681E2764E305CEBFF"><enum>(1)</enum><text>the Commission shall prohibit the initial listing of the securities of a covered entity on a national securities exchange;</text></paragraph><paragraph id="id64A4E6B0890D4FE6BEA14D8201319A5D"><enum>(2)</enum><text>if the securities of an issuer are listed on a national securities exchange and, as a result of a business combination, that issuer becomes a covered entity, the Commission shall prohibit the national securities exchange from continuing to list the securities of the issuer; and</text></paragraph><paragraph id="id375DB841D3E64EFF8B714949D1246F05"><enum>(3)</enum><text>a covered entity may not register a security of the covered entity under section 12(b) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78l">15 U.S.C. 78l(b)</external-xref>).</text></paragraph></subsection></section></legis-body></bill>
