Judiciary</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To promote competition, lower entry barriers, and reduce switching costs for consumers and businesses online.</official-title></form><legis-body id="HDD94596851974F9C80F368F6A76513F6" style="OLC"><section id="H9A92F27256084857B07230457F97948E" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Augmenting Compatibility and Competition by Enabling Service Switching Act of 2021</short-title></quote> or the <quote><short-title>ACCESS Act of 2021</short-title></quote>. </text></section><section id="H73288938B73248CF87A34CA7B22E1D4C"><enum>2.</enum><header>Unfair method of competition</header><text display-inline="no-display-inline">A violation of this Act, or standards issued pursuant to this Act, by a person, partnership, or corporation operating a covered platform, in or affecting commerce, shall be an unfair method of competition in violation of section 5(a)(1) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>).</text></section><section id="HDD43382DFB64416A97741D055451B685"><enum>3.</enum><header>Portability</header><subsection id="H873A9CC2B15F4E99B8EE28E5DA1BC7EF"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">A covered platform shall maintain a set of transparent, third-party-accessible interfaces (including application programming interfaces) to enable the secure transfer of data to a user, or with the affirmative consent of a user, to a business user at the direction of a user, in a structured, commonly used, and machine-readable format that complies with the standards issued pursuant to section 6(c).</text></subsection><subsection id="HAC9BC131162F40B18677EDB36845069F"><enum>(b)</enum><header>Data security</header><paragraph id="H43928387425B4511BAC132DB6D9CC0C9"><enum>(1)</enum><header>In general</header><text>A competing business or a potential competing business that receives ported user data from a covered platform shall reasonably secure any user data it acquires, and shall take reasonable steps to avoid introducing security risks to data or the covered platform’s information systems.</text></paragraph><paragraph id="H271CC79BF9314B9EA0A1F822485B2379"><enum>(2)</enum><header>Violation</header><text display-inline="yes-display-inline">A failure to comply with this section is a violation of this Act and subject to the enforcement under sections 9 and 10 of this Act. </text></paragraph><paragraph id="H8281EBE6FB754B6AA400344D2B0451D9"><enum>(3)</enum><header>Termination of access</header><text display-inline="yes-display-inline">The Commission may require the covered platform to cease the transfer of data to a competing or potentially competing business that the Commission finds has violated this section or standards adopted by the Commission under section 6(c) of this Act. </text></paragraph></subsection><subsection id="H0BE30EE8CD8D480BB4610C957E6F1DE0"><enum>(c)</enum><header>Portability obligations</header><text>In order to achieve portability under subsection (a), a covered platform shall comply with the standards issued under section 6(c) by the Commission.</text></subsection></section><section id="HCEA4FBEA2107410296A92FBFFAE99CE5"><enum>4.</enum><header>Interoperability</header><subsection id="HF764FC97A3124F58B3770647906935A2"><enum>(a)</enum><header>In general</header><text>A covered platform shall maintain a set of transparent, third-party-accessible interfaces (including application programming interfaces) to facilitate and maintain interoperability with a competing business or a potential competing business that complies with the standards issued pursuant to section 6(c).</text></subsection><subsection id="H82BDF74EDC344728979F5CAFBB5D2012"><enum>(b)</enum><header>Data security</header><paragraph id="HB55497E766EA406B99E4E7964CAF5DA2"><enum>(1)</enum><header>In general</header><text>A competing business or a potential competing business that accesses an interoperability interface of a covered platform shall reasonably secure any user data it acquires, processes, or transmits, and shall take reasonable steps to avoid introducing security risks to user data or the covered platform’s information systems.</text></paragraph><paragraph id="HB401884481204E499F73811326B0E7A8"><enum>(2)</enum><header>Violation</header><text display-inline="yes-display-inline">A failure to comply with this section is a violation of this Act and subject to the enforcement under sections 9 and 10 of this Act.</text></paragraph><paragraph id="HBD45A698F6E0474780B1EC3BAA7DF666"><enum>(3)</enum><header>Termination of access</header><text display-inline="yes-display-inline">The Commission may require the covered platform to cease interoperating with a competing or potentially competing business that the Commission finds has violated this section or standards adopted by the Commission under section 6(c) of this Act. </text></paragraph></subsection><subsection id="H628B481661C14FC2AA0F8F0130A40B4F"><enum>(c)</enum><header>Interoperability obligations</header><text display-inline="yes-display-inline">In order to achieve interoperability under subsection (a), a covered platform shall comply with the standards issued under section 6(c) by the Commission.</text></subsection><subsection id="H679BF547691E453F9ED0B95D4C04EDB9"><enum>(d)</enum><header>Security and privacy standards</header><text display-inline="yes-display-inline">Consistent with standards issued by the Commission under section 6(c) of this Act, a covered platform shall set privacy and security standards for access by competing businesses or potential competing businesses to the extent reasonably necessary to address a threat to the covered platform or user data, and shall report any suspected violations of those standards to the Commission.</text></subsection><subsection id="H61B77064A1D04EB5B7A1520E0532071A"><enum>(e)</enum><header>Prohibited changes to interfaces</header><paragraph id="H0F1C28DCA70E47619CE700BDE93C559A"><enum>(1)</enum><header>Commission approval</header><text display-inline="yes-display-inline">A covered platform may make a change that may affect its interoperability interface by petitioning the Commission to approve a proposed change. The Commission shall allow the change if, after consulting with the relevant technical committee the Commission concludes that the change is not being made with the purpose or effect of unreasonably denying access or undermining interoperability for competing businesses or potential competing businesses.</text></paragraph><paragraph id="H7437CD379F9C48AC9DE2602B73319916"><enum>(2)</enum><header>Exception</header><text display-inline="yes-display-inline">A covered platform may make a change affecting its interoperability interfaces without receiving approval from the Commission if that change is necessary to address a security vulnerability or other exigent circumstance that creates an imminent risk to user privacy or security if the change is narrowly tailored to the vulnerability and does not have the purpose or effect of unreasonably denying access or undermining interoperability for competing businesses or potential competing businesses. </text></paragraph><paragraph id="HD2ACCD5257824EC998EC5ED984763F09"><enum>(3)</enum><header>Interface information</header><subparagraph id="HC88FEB1B2BC343D89A9D2CC6CC8E90D9"><enum>(A)</enum><header>In general</header><text>Not later than 120 days after the adoption of a rule by the Commission under section 6(c) of this Act, a covered platform shall provide to competing businesses or potential competing businesses complete and accurate documentation describing access to the interoperability interface required under this section.</text></subparagraph><subparagraph id="H0FEE9282B8984041BDCBAA7D16D7D052"><enum>(B)</enum><header>Contents</header><text>The documentation required under subparagraph (A) is limited to interface documentation necessary to achieve development and operation of interoperable products and services.</text></subparagraph></paragraph><paragraph id="H99B066A596D643C592081A80F138F5E0"><enum>(4)</enum><header>Notice of changes</header><text>A covered platform shall provide reasonable advance notice to a competing business or a potential competing business, which may be provided through public notice, of any change to an interoperability interface maintained by the covered platform that will affect the interoperability of a competing business or a potential competing business.</text></paragraph></subsection><subsection id="HF07E2D9162984328B34BACC1F9981006"><enum>(f)</enum><header>Data Minimization</header><paragraph id="HBABC66FD76284DED9FDD7DD53864E255"><enum>(1)</enum><header>Non-commercialization by a covered platform</header><text>A covered platform shall not collect, use, or share user data obtained from a business user through the interoperability interface except for the purposes of safeguarding the privacy and security of such information or maintaining interoperability of services.</text></paragraph><paragraph id="HA18F8BC9A9E540B8992B1BA37F027CF0"><enum>(2)</enum><header>Non-commercialization of Data on a Covered Platform</header><text>A business user shall not collect, use, or share the data of a user on a covered platform except for the purposes of safeguarding and security of such data or maintaining interoperability of services.</text></paragraph></subsection></section><section id="H14F1FA7FF10C4308A1F28C6229D91BFF"><enum>5.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="H59FE184EAF8E4F83992928D4E5BD7B28"><enum>(1)</enum><header>Person</header><text>The term <term>person</term> has the meaning given the term in subsection (a) of section 1 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12</external-xref>).</text></paragraph><paragraph id="HFD844D353F07402798E3CE19F5A9A02A"><enum>(2)</enum><header>Affirmative express consent</header><text>The term <term>affirmative express consent</term> means an affirmative action of the consumer to make a choice following a clear and conspicuous disclosure to the consumer, separate and apart from any <quote>privacy policy</quote>, <quote>terms of service</quote>, <quote>terms of service</quote>, <quote>consent for research</quote>, or other similar document, of—</text><subparagraph id="H1BB17D16DC1848E8AF4E915DC67D0FE3"><enum>(A)</enum><text>the types of Personal Information that Respondent will disclose to third parties;</text></subparagraph><subparagraph id="HFE068E8D1ACA4C92B8B473948D6AD4C1"><enum>(B)</enum><text>the reason for such disclosures;</text></subparagraph><subparagraph id="HC6B6D9EE78E8457EB2AFC6A7187F0056"><enum>(C)</enum><text>the identity of all such third parties;</text></subparagraph><subparagraph id="H691200DD78BA4278BA6D4D775719CB4B"><enum>(D)</enum><text>any opportunities consumers have to decline or rescind consent for such disclosures; and</text></subparagraph><subparagraph id="H34EC4D298DD84A74863DC2C6F396DCD2"><enum>(E)</enum><text>how consumers may exercise any such opportunities.</text></subparagraph><continuation-text continuation-text-level="paragraph">An affirmative action does not include obtaining a consumer’s approval for a preselected default option. </continuation-text></paragraph><paragraph id="H71AA3F8767B34033BC9E63D3E9E689F4"><enum>(3)</enum><header>Clear and conspicuous disclosure</header><text>The term <term>clear and conspicuous disclosure</term> means that a required disclosure is difficult to miss such that it is easily noticeable and easily understandable by ordinary consumers, including in all of the following ways:</text><subparagraph id="H3C0159B0FADC495A906C56F8C8A3B2B1"><enum>(A)</enum><text>In any communication that is solely visual or solely audible, the disclosure must be made through the same means through which the communication is presented. In any communication made through both visual and audible means, such as a television advertisement, the disclosure must be presented simultaneously in both the visual and audible portions of the communication even if the representation requiring the disclosure (<quote>triggering representation</quote>) is made through only one means.</text></subparagraph><subparagraph id="H49638F2303CC4202A606FFCBAC48114B"><enum>(B)</enum><text>A visual disclosure, by its size, contrast, location, the length of time it appears, and other characteristics, must stand out from any accompanying text or other visual elements so that it is easily noticed, read, and understood.</text></subparagraph><subparagraph id="HAD9F7BC5399B4BFD8A0E59CFDDE9B494"><enum>(C)</enum><text>An audible disclosure, including by telephone or streaming video, must be delivered in a volume, speed, and cadence sufficient for ordinary consumers to easily hear and understand it.</text></subparagraph><subparagraph id="HAAFD6393498740A0B0034DE1D89355E9"><enum>(D)</enum><text>In any communication using an interactive electronic medium, such as the Internet or software, the disclosure must be unavoidable.</text></subparagraph><subparagraph id="H4A4389410C2D4C80BFE3878E4A160894"><enum>(E)</enum><text>The disclosure must use diction and syntax understandable to ordinary consumers and must appear in each language in which the triggering representation appears.</text></subparagraph><subparagraph id="H00E0DC1F8B9445DF95C74EBB3F890BB5"><enum>(F)</enum><text>The disclosure must comply with these requirements in each medium through which it is received, including all electronic devices and face-to-face communications.</text></subparagraph><subparagraph id="HBC42D45B2C1B4125BD4DA1C400378ACB"><enum>(G)</enum><text>The disclosure must not be contradicted or mitigated by, or inconsistent with, anything else in the communication.</text></subparagraph><subparagraph id="HFC8F9F616E2D4034B29A94171D06E689"><enum>(H)</enum><text>When the representation or sales practice targets a specific audience, such as children, the elderly, or the terminally ill, <quote>ordinary consumers</quote> includes reasonable members of that group.</text></subparagraph></paragraph><paragraph id="H2C667C0C00B9400588F9C7C8CAF9981A"><enum>(4)</enum><header>Commission</header><text>The term <term>Commission</term> means the Federal Trade Commission.</text></paragraph><paragraph id="H18F1D152381B451B9CB3AADE986F8279"><enum>(5)</enum><header>Control</header><text>The term <term>control</term> with respect to a person means—</text><subparagraph id="H0CD1851D21154DB2896093889D61CF47"><enum>(A)</enum><text>holding 25 percent or more of the stock of the person;</text></subparagraph><subparagraph id="HF7AAAD9E92174E26A155EB01CE5B7E87"><enum>(B)</enum><text>having the right to 25 percent or more of the profits of the person;</text></subparagraph><subparagraph id="H363D89A2F2D746B08F054EC725721E31"><enum>(C)</enum><text>having the right to 25 percent or more of the assets of the person, in the event of the person’s dissolution;</text></subparagraph><subparagraph id="HC432EE9746544BB38476FCE35B239454"><enum>(D)</enum><text>if the person is a corporation, having the power to designate 25 percent or more of the directors of the person;</text></subparagraph><subparagraph id="HDFC4889E90E44732858C556053DC4C70"><enum>(E)</enum><text>if the person is a trust, having the power to designate 25 percent or more of the trustees; or</text></subparagraph><subparagraph id="H41C36FC04D224F3AB16E7149F7D499A8"><enum>(F)</enum><text>otherwise exercises substantial control over the person.</text></subparagraph></paragraph><paragraph id="HF020F765A24B484CB467C530C0D56601"><enum>(6)</enum><header>Covered platform</header><text>The term <term>covered platform</term> means an online platform—</text><subparagraph id="HF597426B320D44A0AE26CBD62A731099"><enum>(A)</enum><text>that has been designated as a <quote>covered platform</quote> under section 6(a); or</text></subparagraph><subparagraph id="H1E6475FF6B014786832B78999C58F3B7"><enum>(B)</enum><text>that—</text><clause id="HEF36BEE8AC2C45C297A48B87EEA99816"><enum>(i)</enum><text>at the time of the Commission’s or the Department of Justice’s designation under section 2(d), or any of the twelve months preceding that time, or in any of the 12 months preceding the filing of a complaint for an alleged violation of this Act—</text><subclause id="H28C4D8CC795D449699D7E9FE899B5B56"><enum>(I)</enum><text>has at least 50,000,000 United States-based monthly active users on the online platform; or</text></subclause><subclause id="H5D54B8E0B233415CAD2C5D59F50D9CD4"><enum>(II)</enum><text>has at least 100,000 United States-based monthly active business users on the platform;</text></subclause></clause><clause id="H29F7E06E842B47339D19766D9BA06301"><enum>(ii)</enum><text>is owned or controlled by a person with net annual sales, or a market capitalization greater than $600,000,000,000, adjusted for inflation on the basis of the Consumer Price Index, at the time of the Commission’s or the Department of Justice’s designation under section 6(a) or any of the two years preceding that time, or at any time in the 2 years preceding the filing of a complaint for an alleged violation of this Act; and</text></clause><clause id="HBE6EB2CDB3694889BA286E681B513A16"><enum>(iii)</enum><text>is a critical trading partner for the sale or provision of any product or service offered on or directly related to the online platform.</text></clause></subparagraph></paragraph><paragraph id="H75CF55FB5F3C4DB49F2FD464553411F0"><enum>(7)</enum><header>Covered platform operator</header><text>The term <term>covered platform operator</term> means a person that, directly or indirectly, owns or controls a covered platform.</text></paragraph><paragraph id="H8923EA45867D487FA536C8D678AEED39"><enum>(8)</enum><header>Critical trading partner</header><text display-inline="yes-display-inline">The term <term>critical trading partner</term> means a trading partner that has the ability to restrict or impede—</text><subparagraph id="HC9965E9516D84516AFB8D430432E1972"><enum>(A)</enum><text>the access of a business user to its users or customers; or</text></subparagraph><subparagraph id="H47CEF08CABA34141BF35A5050F69FAF2"><enum>(B)</enum><text>the access of a business user to a tool or service that it needs to effectively serve its users or customers.</text></subparagraph></paragraph><paragraph id="H15ADB9499678411888F32A4DD8F2FE76"><enum>(9)</enum><header>Data</header><subparagraph id="H9AC1A27086F147E7A66F2D8D1834DB4A"><enum>(A)</enum><header>In general</header><text>Not later than 6 months after the date of enactment of this Act, the Commission shall adopt rules in accordance with section 553 of title 5, United States Code, to define the term <term>data</term> for the purpose of implementing and enforcing this Act.</text></subparagraph><subparagraph id="HD7F62CBBF00043D9856F04DEA9A82E26"><enum>(B)</enum><header>Data</header><text>The term <term>data</term> shall include information that is collected by or provided to a covered platform or competing business or a potential competing business that is linked, or reasonably linkable, to a specific user, user device, or customer of the covered platform or a competing business or a potential competing business.</text></subparagraph><subparagraph id="H501C1580639541D4AF1DE0E2427D960E"><enum>(C)</enum><header>Exclusion</header><text>The term <term>data</term> shall not include proprietary data that does not pertain to the user or a user device of the covered platform. The Commission shall narrowly construe the term <term>proprietary data</term> for the purposes of this Act.</text></subparagraph></paragraph><paragraph id="H7CEA4B8FE9384B24BECDFCF20866265D"><enum>(10)</enum><header>Business user</header><text>The term <term>business user</term> means a person that utilizes or plans to utilize the covered platform for the sale or provision of products or services.</text></paragraph><paragraph id="H6033B285C846435BB33E6F0E84A06FE0"><enum>(11)</enum><header>Interoperability interface</header><text>The term <term>interoperability interface</term> means an electronic interface maintained by a covered platform for purposes of achieving interoperability.</text></paragraph><paragraph id="H8E16B0E7C7E84B55B642E075DE936ED8"><enum>(12)</enum><header>Online platform</header><text>The term <term>online platform</term> means a website, online or mobile application, operating system, digital assistant, or online service that—</text><subparagraph id="H40BDDC475D5C4D6F9D78ACF74DD029D4"><enum>(A)</enum><text>enables a user to generate content that can be viewed by other users on the platform or to interact with other content on the platform;</text></subparagraph><subparagraph id="H196EBF6BF26A4E46A9AEAE069581262A"><enum>(B)</enum><text>facilitates the offering, sale, purchase, payment, or shipping of goods or services, including software applications, between and among consumers or businesses not controlled by the platform; or</text></subparagraph><subparagraph id="H2F2C1F109AB3473996550CAAC8937EED"><enum>(C)</enum><text>enables user searches or queries that access or display a large volume of information.</text></subparagraph></paragraph></section><section id="HA60C7C20C2D04C7E9DAE7308E6630195"><enum>6.</enum><header>Implementation</header><subsection id="H103A0F6F98664C7D988A5EF7C14729CB"><enum>(a)</enum><header>Covered platform designation</header><text>The Federal Trade Commission or Department of Justice may designate a covered platform for the purpose of implementing and enforcing this Act. Such designation shall—</text><paragraph id="H35C659E1783E439CAD6CF30D63221DC4"><enum>(1)</enum><text>be based on a finding that the criteria set forth in paragraph (6) of section 5 are met;</text></paragraph><paragraph id="HCE6B43EB2E3D4764A230C013824794D3"><enum>(2)</enum><text>be issued in writing and published in the Federal Register; and</text></paragraph><paragraph id="H041E2198E5FB413EA3A936D13519890E"><enum>(3)</enum><text>will apply for 10 years from its issuance regardless of whether there is a change in control or ownership over the covered platform unless the Federal Trade Commission or the Department of Justice removes the designation pursuant to subsection (b).</text></paragraph></subsection><subsection id="HC0602201233B42F98B7BF0F2855C00E8"><enum>(b)</enum><header>Removal of covered platform designation</header><text>The Commission or the Department of Justice shall—</text><paragraph id="H133A1C38ED1C4457A05F4BE026B365FB"><enum>(1)</enum><text>consider whether its designation of a covered platform pursuant to subsection (a) should be removed prior to the expiration of the 10-year period if the covered platform operator files a request with the Commission or the Department of Justice, which shows that the online platform is no longer a critical trading partner; and</text></paragraph><paragraph id="HFD6683C4097C43369E11BC496F1F75B7"><enum>(2)</enum><text>determine whether to grant a request submitted under paragraph (1) not later than 120 days after the date of the filing of such request.</text></paragraph></subsection><subsection id="HCEAEE83F6CA34FF7AC725D6ECB66CE9F"><enum>(c)</enum><header>Rulemaking and technical standards</header><paragraph id="H7595C317623645128670EECE6F09D13B"><enum>(1)</enum><text display-inline="yes-display-inline">After designating an online platform as a covered platform, the Commission shall issue standards of interoperability specific to the covered platform. These standards shall implement the requirements of sections 3 and 4 of this Act. In adopting the standards implementing the requirements of sections 3 and 4, the Commission shall seek to encourage entry by reducing or eliminating the network effects that limit competition with the covered platform, ensure that competing businesses or a potential competing business interconnects with the covered platform on fair and nondiscriminatory terms, and protect data security and privacy.</text></paragraph><paragraph id="HDBBCB525AE8846F5B5340F9881773FAE"><enum>(2)</enum><text>The Commission shall—</text><subparagraph id="H9529A564233D49909E1E2A357AF3F791"><enum>(A)</enum><text>establish a technical committee, as described in section 7 of this Act, to develop proposed standards implementing the requirements of section 3 as they apply to a specific covered platform; </text></subparagraph><subparagraph id="H58463191D8CD4383BA0D95E052CEB09F"><enum>(B)</enum><text>issue such standards in accordance with section 553 of title 5, United States Code; and</text></subparagraph><subparagraph id="H0D188003E8C046B1AE2A329A955BAE2D"><enum>(C)</enum><text display-inline="yes-display-inline">reject standards that have the purpose or effect of unreasonably denying access, undermine interoperability, or are unduly disruptive to interoperability.</text></subparagraph></paragraph></subsection><subsection id="HF38FFC401D5E4D50A6C28B1B4A91D884"><enum>(d)</enum><header>Compliance assessment</header><text>The Commission shall regularly assess compliance by covered platforms with the provisions of this Act and may—</text><paragraph id="HC97240175A524876AAA4FBCE6593D1E3"><enum>(1)</enum><text>undertake such investigation as appropriate to render this assessment;</text></paragraph><paragraph id="HF3F1CCEA1B3D458C91504BD5C0823D31"><enum>(2)</enum><text>issue subpoenas and civil investigative demands for relevant information, including any information that is necessary to effectuate the goals of sections 3 and 4 this Act, and consult with other agencies as appropriate; and</text></paragraph><paragraph id="H9CE0D1E4D843499E9D65151F6CFCDC8A"><enum>(3)</enum><text display-inline="yes-display-inline">prescribe such other rules in accordance with section 553 of title 5, United States Code as may be necessary and appropriate to carry out sections 3 and 4 of this Act.</text></paragraph></subsection><subsection id="H0377DAE5D3DE4FE2800FDEBAE91A8F4C"><enum>(e)</enum><header>Agency complaints</header><text>The Commission shall establish procedures under which a user, covered platform, or a business user may file a complaint alleging a violation of this Act.</text></subsection><subsection id="HFAED5D8E0F0D4E9EBE1412256DAF970F"><enum>(f)</enum><header>Reciprocity</header><text>A business user shall not be under any obligation to adopt or comply with the requirements of this Act or the rules adopted by the Commission under this Act unless it chooses to—</text><paragraph id="H0F4C44C6CE0246F59008B17B06C13FA0"><enum>(1)</enum><text>initiate the secure transfer of data from a covered platform under section 3 of this Act; or</text></paragraph><paragraph id="HA1A7923DB4094A08AB4059FF93D3EF1D"><enum>(2)</enum><text>access an interoperability interface of a covered platform under section 4 of this Act.</text></paragraph></subsection></section><section id="H6792B81FAAD747B8A297B166EE9A8A9B"><enum>7.</enum><header>Technical committee</header><subsection id="H5CA61DDE92854891B2ED7151E4628214"><enum>(a)</enum><header>Establishment</header><paragraph id="HBC564CA8626B434089973538E5BA6D04"><enum>(1)</enum><text display-inline="yes-display-inline">Not later than 180 days following the enactment of this Act, the Commission shall establish a technical committee to assist the Commission with considerations relating to implementation and technical aspects of the requirements under sections 3 and 4 of this Act.</text></paragraph><paragraph id="HD3866296DF124771969D2B2BAA3AAEC6"><enum>(2)</enum><text>The size of the committee and its membership is within the sole discretion of the Commission except as specified in subsection 7(b).</text></paragraph></subsection><subsection id="H5629617F559841BCB6BD16A0228A629B"><enum>(b)</enum><header>Composition</header><text>Each technical committee shall include—</text><paragraph id="H7B39EF44B1904C4A9F711B92DFCC0E17"><enum>(1)</enum><text>representatives of businesses that, in the judgement of the Commission, utilize or compete with the platform;</text></paragraph><paragraph id="HC70D5029E5494A44A461858D8806BC7D"><enum>(2)</enum><text>representatives of competition or privacy advocacy organizations, and independent academics that possess technical, legal, economic, financial, or other knowledge that the Commission may deem useful; </text></paragraph><paragraph id="H1E3BCC459CC44FACBBA9E9BDDE52B58E"><enum>(3)</enum><text>a representative from the National Institute of Standards and Technology; and</text></paragraph><paragraph id="H83FFEFE1B2194CC08C2904C41C17A638"><enum>(4)</enum><text display-inline="yes-display-inline">representatives of a covered platform, which, if required by Commission, shall provide a nonvoting advisory member to provide consultation and other aid to the technical committee. A failure by the covered platform to participate in good faith in the development of standards by the Technical Committee shall be a violation of this statute.</text></paragraph></subsection><subsection id="HB7E0DFB8D748441B8AAC1D5FCE439EE2"><enum>(c)</enum><header>General responsibilities</header><text display-inline="yes-display-inline">Each technical committee established under this section shall meet regularly to provide information, analysis, and recommendations to the Commission on the standards of portability and interoperability and any changes to those standards. These standards should—</text><paragraph id="H8C81D82FB2ED44B5A37EF3303210C670"><enum>(1)</enum><text>seek to reduce or eliminate network effects that limit competition with the covered platform;</text></paragraph><paragraph id="H35E31FABC3FF4A0497CB63B156CF1C73"><enum>(2)</enum><text>establish data security and privacy protections for data portability and interoperability;</text></paragraph><paragraph id="HD1B44CA85C9547FF978CC1BBC49F26C4"><enum>(3)</enum><text>prevent fraudulent, malicious, or abusive activity by a competing business or a potential competing business; and</text></paragraph><paragraph id="H8C591627FBD14D1C98ADF8981944E120"><enum>(4)</enum><text>establish reasonable thresholds related to the frequency, nature, and volume of requests by a competing business or a potential competing business to access resources maintained by the covered platform, beyond which the covered platform may assess a reasonable fee for such access that shall be reasonably proportional to the cost, complexity, and risk to the covered platform of providing such access, and do not limit the ability or deter the incentive of a competing business or a potentially competing business to interoperate with the covered platform.</text></paragraph></subsection><subsection id="H7FB5C6030A6543D484B1C768B57F2616"><enum>(d)</enum><header>Role</header><text>The role of technical committees is advisory in nature, and such committees shall have no implementation or enforcement authority. However, the Commission shall give strong consideration to the recommendations of such committees in implementing this Act.</text></subsection><subsection id="H82CAA24FE7404BDA9B401622B6FC00F7"><enum>(e)</enum><header>Nonapplicability of the federal advisory committee act</header><text>The Federal Advisory Committee Act (5 U.S.C. App.) shall not apply with respect to the technical committees.</text></subsection></section><section id="H49A76AC07A974406B9C2C1DD75E24EA6"><enum>8.</enum><header>Judicial review</header><subsection id="H788BE9EE9FB24235A856640B51F72BE0"><enum>(a)</enum><header>In general</header><text>Any party that is subject to a covered platform designation pursuant to section 6(a) of this Act, a final order issued in any district court, or a final order of the Commission issued in an administrative adjudicative proceeding may within 30 days of the issuance of such order, petition for review of such order in the United States Court of Appeals for the District of Columbia Circuit.</text></subsection><subsection id="H972E667449E64522922B238242B3A8E0"><enum>(b)</enum><header>Treatment of findings</header><text>In a proceeding for judicial review of a covered platform designation pursuant to section 6(a) of this Act or a final order of the Commission, the findings of the Commission as to the facts, if supported by evidence, shall be conclusive.</text></subsection></section><section id="H0FDB1BB035C048079049646F7D6D789A"><enum>9.</enum><header>Enforcement</header><subsection id="H148526A2366E434FA27EB23992F40421"><enum>(a)</enum><header>Commission litigation authority</header><text>If the Commission has reason to believe that a covered platform violated this Act, the Commission may commence a civil action, in its own name by any of its attorneys designated by it for such purpose, to recover a civil penalty under this Act and seek other appropriate relief in a district court of the United States against the covered platform operator.</text></subsection><subsection id="H76785DC834D741F491D2AB5308C941FA"><enum>(b)</enum><header>Emergency relief</header><paragraph id="HC31A45DC65CE4157821810A94568244C"><enum>(1)</enum><text>The Commission may seek a temporary injunction requiring the covered platform operator to take or stop taking any action for not more than 120 days and the court shall grant such relief if the Commission proves—</text><subparagraph id="H36B87F396E814A54AAD6544AE26BE14C"><enum>(A)</enum><text>there is a plausible claim that a covered platform operator took an action that could violate this Act; and</text></subparagraph><subparagraph id="HA461E64E1E2948FEAD604BFD3FE95B50"><enum>(B)</enum><text>that action impairs the ability of at least one company to compete with the covered platform.</text></subparagraph></paragraph><paragraph id="H2711E38888814351BAE92686A2669200"><enum>(2)</enum><text>The emergency relief shall not last more than 120 days from the filing of the complaint.</text></paragraph><paragraph id="H11D9F01CEBDF4E35AFE0439B82EDD7D8"><enum>(3)</enum><text>The court shall terminate the emergency relief at any time that the covered platform operator proves that the Commission has not taken reasonable steps to investigate whether a violation has occurred.</text></paragraph><paragraph id="HFBD77289D47746FD944614C93461F97E"><enum>(4)</enum><text>Nothing in this subsection prevents or limits the Commission from seeking other equitable relief as provided in section 10 of this Act.</text></paragraph></subsection><subsection id="HDE8856606E114A10B9F717D48BCD16AE"><enum>(c)</enum><header>Statute of limitations</header><text>A proceeding for a violation of this Act may be commenced not later than 6 years after such violation occurs.</text></subsection></section><section id="H50512668B16A413EAF30FEFFF745A27D"><enum>10.</enum><header>Remedies</header><subsection id="H2A668BF6536F45D1B4D09BA92F18F755"><enum>(a)</enum><header>Civil penalty</header><text>The Commission may recover a civil penalty for a violation of this Act, which shall accrue to the United States, in an amount not more than the greater of—</text><paragraph id="H9FB667FADB9345ABBCF27CC4B1F14841"><enum>(1)</enum><text>15 percent of the total United States revenue of the person, partnership, or corporation for the previous calendar year; or</text></paragraph><paragraph id="H302C2141157F426BA19D1DB5B4E4B70C"><enum>(2)</enum><text>30 percent of the United States revenue of the person, partnership, or corporation in any line of business affected or targeted by the unlawful conduct during the period of the unlawful conduct.</text></paragraph></subsection><subsection id="H12B0C78E81B54E74A5E08FF476A465E1"><enum>(b)</enum><header>Remedies in addition</header><text>Remedies provided in this subsection are in addition to, and not in lieu of, any other remedy available to the Commission under Federal law.</text><paragraph id="H8DCE73D870FE4B37B3F53AABF58E9E28"><enum>(1)</enum><header>Restitution; contract rescission and reformation; refunds; return of property</header><text>The Commission may seek, and a court may order, with respect to the violation that gives rise to the suit, restitution for losses, rescission or reformation of contracts, refund of money, or return of property.</text></paragraph><paragraph id="H5DB322EC464F4CBA83DB50F1811A4F0F"><enum>(2)</enum><header>Disgorgement</header><text>The Commission may seek, and a court may order, disgorgement of any unjust enrichment that a covered platform obtained as a result of the violation that gives rise to the suit.</text></paragraph><paragraph id="HFCC9227906AF4E5FA74E455B43E904AD"><enum>(3)</enum><header>Injunction</header><text>The Commission may seek, and the court may order, relief in equity as necessary to prevent, restrain, or prohibit violations of this Act.</text></paragraph></subsection><subsection id="H4646EB841FEB4E56A1B0696056B74159"><enum>(c)</enum><header>Repeat offenders</header><text>If the fact finder determines that a covered platform has shown a pattern or practice of violating this Act, the court shall consider requiring that the Chief Executive Officer forfeit to the United States Treasury any compensation received by that person during the 12 months preceding or following the filing of a complaint alleging a violation of this Act.</text></subsection></section><section id="HB29D714EAA274D26A8A53E21FA7B85D2"><enum>11.</enum><header>Rule of construction</header><text display-inline="no-display-inline">Nothing in this Act shall be construed to limit any authority of the Attorney General or the Federal Trade Commission under the antitrust laws, section 5 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>), or any other provision of law or to limit the application of any law.</text></section><section id="H06D015E2DFFB4B9EB2A6F4FAA63F0F32"><enum>12.</enum><header>Severability</header><text display-inline="no-display-inline">If any provision of this Act, an amendment made by this Act, or the application of such provision or amendment to any person or circumstance is held to be unconstitutional, the remainder of this Act and of the amendments made by this Act, and the application of the remaining provisions of this Act and amendments to any person or circumstance shall not be affected.</text></section></legis-body></bill>
