which was referred to the <committee-name committee-id="HJU00">Committee on the Judiciary</committee-name>, and in addition to the Committee on <committee-name committee-id="HIF00">Energy and Commerce</committee-name>, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To promote antitrust enforcement and protect competition through adjusting premerger filing fees, and increasing antitrust enforcement resources.</official-title></form><legis-body id="H0E599F1AF0C241A29B9D474F83C69988" style="OLC"><section section-type="section-one" id="HA56E97120AD8437FB9EFCE0D25A95B79"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Merger Filing Fee Modernization Act of 2021</short-title></quote>.</text></section><section id="HE83B603604104B67A001B7FFDE2E7773"><enum>2.</enum><header>Premerger notification filing fees</header><text display-inline="no-display-inline">Section 605 of <external-xref legal-doc="public-law" parsable-cite="pl/101/162">Public Law 101–162</external-xref> (<external-xref legal-doc="usc" parsable-cite="usc/15/18a">15 U.S.C. 18a</external-xref> note) is amended—</text><paragraph id="HAC09F02B6C6B49DA806FC66FF98493F2"><enum>(1)</enum><text>in subsection (b)—</text><subparagraph id="H412638A6C168491C8D8FC1C4D2C4B773"><enum>(A)</enum><text>in paragraph (1)—</text><clause id="H066ADE0BF2834DE4A4AFDEB37D2A406A"><enum>(i)</enum><text>by striking <quote>$45,000</quote> and inserting <quote>$30,000</quote>;</text></clause><clause id="HFC063EB528A14E8B9BC5D3EC998AB182"><enum>(ii)</enum><text>by striking <quote>$100,000,000</quote> and inserting <quote>$161,500,000</quote>;</text></clause><clause id="H29171B668A5746259FCD51E2DC4897E8"><enum>(iii)</enum><text>by striking <quote>2004</quote> and inserting <quote>2022</quote>; and</text></clause><clause id="HB4A3336D388F49F4AE2253F91B13C00C"><enum>(iv)</enum><text>by striking <quote>2003</quote> and inserting <quote>2021</quote>;</text></clause></subparagraph><subparagraph id="HED643D6F92CF4D649A76BD6DCE9C6BDE"><enum>(B)</enum><text>in paragraph (2)—</text><clause id="HC8B3343457384050987B563D07854BA2"><enum>(i)</enum><text>by striking <quote>$125,000</quote> and inserting <quote>$100,000</quote>;</text></clause><clause id="HE7DDFA3AFC9F480E941E4E4785B66104"><enum>(ii)</enum><text>by striking <quote>$100,000,000</quote> and inserting <quote>$161,500,000</quote>;</text></clause><clause id="HC39BEC6EC2014B2D95005B40E28A28DD"><enum>(iii)</enum><text>by striking <quote>but less</quote> and inserting <quote>but is less</quote>; and</text></clause><clause id="H46209912E9DF498CA3499B7DEAF9D002"><enum>(iv)</enum><text>by striking <quote>and</quote> at the end;</text></clause></subparagraph><subparagraph id="HA5A63837914A4264997AFCE0E151A3D1"><enum>(C)</enum><text>in paragraph (3)—</text><clause id="H6F067258BB354F438B95792C15AFFDD8"><enum>(i)</enum><text>by striking <quote>$280,000</quote> and inserting <quote>$250,000</quote>; and</text></clause><clause id="H99A3EEEDA13B4DC79E117E799220FB68"><enum>(ii)</enum><text>by striking the period at the end and inserting <quote>but is less than $1,000,000,000 (as so adjusted and published);</quote>; and</text></clause></subparagraph><subparagraph id="H00B2064A72024B5C86D6CAB42AD187AA"><enum>(D)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H4675B3FBE48346C5A2C6CD5CA8AB6EA3"><paragraph id="H936E732B3AFC4F608EAE3D9B5D1C9F93"><enum>(4)</enum><text>$400,000 if the aggregate total amount determined under section 7A(a)(2) of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18a">15 U.S.C. 18a(a)(2)</external-xref>) is not less than $1,000,000,000 (as so adjusted and published) but is less than $2,000,000,000 (as so adjusted and published);</text></paragraph><paragraph id="HD0A936FC697847C884CC7A174C002093"><enum>(5)</enum><text>$800,000 if the aggregate total amount determined under section 7A(a)(2) of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18a">15 U.S.C. 18a(a)(2)</external-xref>) is not less than $2,000,000,000 (as so adjusted and published) but is less than $5,000,000,000 (as so adjusted and published); and</text></paragraph><paragraph id="H8EF747417BB74BADA1E385F58B4457FC"><enum>(6)</enum><text>$2,250,000 if the aggregate total amount determined under section 7A(a)(2) of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18a">15 U.S.C. 18a(a)(2)</external-xref>) is not less than $5,000,000,000 (as so adjusted and published).</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="H8AB39E2AEC9A4BA6AA0505023CB9FD2B"><enum>(2)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H5561A9426B7A4E649BA653C04A1DB5BF"><subsection id="H547B5CD87449442FBAD77C7E083302B8"><enum>(c)</enum><paragraph commented="no" display-inline="yes-display-inline" id="H47C83F4EAC3544EDBCFD4BB1F275BE69"><enum>(1)</enum><text>For each fiscal year commencing after September 30, 2022, the filing fees in this section shall be increased each year by an amount equal to the percentage increase, if any, in the Consumer Price Index, as determined by the Department of Labor or its successor, for the year then ended over the level so established for the year ending September 30, 2021.</text></paragraph><paragraph id="H120725E7DF6C4775941CCD67CE2186C4" indent="up1"><enum>(2)</enum><text>As soon as practicable, but not later than January 31 of each year, the Federal Trade Commission shall publish the adjusted amounts required by paragraph (1).</text></paragraph><paragraph id="HC38B6DF22A104204961B7817D30B56AC" indent="up1"><enum>(3)</enum><text>The Federal Trade Commission shall not adjust amounts required by paragraph (1) if the percentage increase described in paragraph (1) is less than 1 percent.</text></paragraph><paragraph id="H5B08700D34984BD7A6A727FE41506800" indent="up1"><enum>(4)</enum><text>An amount adjusted under this section shall be rounded to the nearest multiple of $5,000.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="H121A634598C448979F50CC94A8B478FB"><enum>3.</enum><header>Authorization of appropriations</header><text display-inline="no-display-inline">There is authorized to be appropriated for fiscal year 2022—</text><paragraph id="H187A8F40B2F14734AA6A82D0E407D4F2"><enum>(1)</enum><text>$252,000,000 for the Antitrust Division of the Department of Justice; and</text></paragraph><paragraph id="HA476E1CEB32748909BA4911CBFDEF2D6"><enum>(2)</enum><text>$418,000,000 for the Federal Trade Commission.</text></paragraph></section></legis-body></bill>
