R. 1188</legis-num><associated-doc role="report" display="yes">[Report No. 117–55]</associated-doc><current-chamber display="yes">IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20210218">February 18, 2021</action-date><action-desc><sponsor name-id="V000081">Ms. Velázquez</sponsor> introduced the following bill; which was referred to the <committee-name committee-id="HBA00" added-display-style="italic" deleted-display-style="strikethrough">Committee on Financial Services</committee-name></action-desc></action><action><action-date>June 8, 2021</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc><action-instruction>Strike out all after the enacting clause and insert the part printed in italic</action-instruction><action-instruction>For text of introduced bill, see copy of bill as introduced on February 18, 2021</action-instruction></action><action display="yes"><action-desc display="yes"><pagebreak></pagebreak></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Securities Exchange Act of 1934 to require issuers to disclose information on pay raises made to executives and non-executive employees, and for other purposes.<pagebreak></pagebreak></official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause" changed="added" style="OLC" committee-id="HBA00" reported-display-style="italic" id="H26B88B6EC3D44FDD99BCD70E2CE73088"><section id="H615CD0EFE0E44E62833798CF47E6013C" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Greater Accountability in Pay Act of 2021</short-title></quote>.</text></section><section id="HDD73BBE7B3694C0E971682BA16F613F0"><enum>2.</enum><header>Pay raise disclosures</header><text display-inline="no-display-inline">Section 13 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78m">15 U.S.C. 78m</external-xref>) is amended by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="HEF1677C07D6E4D77A30BED7A4D8B1261" style="OLC" changed="added" reported-display-style="italic" committee-id="HBA00"><subsection id="HE0F5825F47B84B0288A747B30B9DD9A4"><enum>(s)</enum><header>Pay raise disclosures</header><text display-inline="yes-display-inline">An issuer required to file an annual report under this section or section 15(d), that is not an emerging growth company, shall include in such report—</text><paragraph id="H243592C3A3744A5BAC8761BF87826728"><enum>(1)</enum><text display-inline="yes-display-inline">the percentage increase in the median of the annual total compensation of all executive officers (as such term is defined in section 240.3b–7 of title 17, Code of Federal Regulations) of the issuer over the last completed fiscal year;</text></paragraph><paragraph id="H7B52FFAEDDD249C9AA5C54431921C867"><enum>(2)</enum><text display-inline="yes-display-inline">the percentage increase in the median of the annual total compensation of all employees of the issuer, excluding executive officers, over the last completed fiscal year;</text></paragraph><paragraph id="HD55B2C9652674BA0913BD6896E5D6538"><enum>(3)</enum><text display-inline="yes-display-inline">the ratio of the percentage described in paragraph (1) to the percentage described in paragraph (2);</text></paragraph><paragraph id="H693967E353584B1B870E82A5BDF718B3"><enum>(4)</enum><text display-inline="yes-display-inline">a comparison of the percentage described in paragraph (1) to the percentage change over the same period in the Consumer Price Index for All Urban Consumers published by the Bureau of Labor Statistics of the Department of Labor; and</text></paragraph><paragraph id="HCD4D0C2302F742F7ABFF59189A36CCDA"><enum>(5)</enum><text display-inline="yes-display-inline">a comparison of the percentage described in paragraph (2) to the percentage change over the same period in the Consumer Price Index for All Urban Consumers published by the Bureau of Labor Statistics of the Department of Labor.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body><endorsement display="yes"><action-date>June 8, 2021</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc></endorsement></bill>
