R. 7917</legis-num><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20200731">July 31, 2020</action-date><action-desc><sponsor name-id="P000616">Mr. Phillips</sponsor> (for himself and <cosponsor name-id="W000813">Mrs. Walorski</cosponsor>) introduced the following bill; which was referred to the <committee-name committee-id="HWM00">Committee on Ways and Means</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Internal Revenue Code of 1986 to provide for advance refunds of certain net operating losses and research expenditures relating to COVID–19, and for other purposes.</official-title></form><legis-body id="HA935BBF8A69B474DA742821731A961E7" style="OLC"><section id="HBA9CB64392684B34A369BEA5F18742BE" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Innovation and Growth Now by Investing in Tomorrow’s Enterprises Act</short-title></quote> or the <quote><short-title>IGNITE American Innovation Act</short-title></quote>.</text></section><section id="H40A16B66AAF14FB5B94622B29BB37C05" section-type="subsequent-section"><enum>2.</enum><header>Advance refunds of net operating losses for C corporation taxpayers</header><subsection id="H59728AEF7FE14B2A81F3F85254B1EC73"><enum>(a)</enum><header>In general</header><paragraph id="H8E39EDE009984A44BA780DF614469E01"><enum>(1)</enum><header>Net operating loss carryovers</header><text><external-xref legal-doc="usc" parsable-cite="usc/26/172">Section 172</external-xref> of the Internal Revenue Code of 1986 is amended by redesignating subsection (g) as subsection (h) and by inserting after subsection (f) the following:</text><quoted-block style="OLC" id="H9D570CFE74B34C5B97CA7C6DE551BDAE" display-inline="no-display-inline"><subsection id="HE7D3F9272A8F45F09E46586C93C9295E"><enum>(g)</enum><header>Advance refund for C corporations relating to certain carryovers arising during 2015 through 2021</header><paragraph id="H39EA638C1F68483297647E29FF3445F8"><enum>(1)</enum><header>In general</header><subparagraph id="H0F1A2F017322466C9E9BDAC20237B6AD"><enum>(A)</enum><header>Election</header><text>A taxpayer to whom this paragraph applies may elect an advance refund of net operating loss carryovers in the amounts and manner determined under subparagraphs (B) and (C).</text></subparagraph><subparagraph id="H45317F3B022E49E2A25C5CE60029DEB6"><enum>(B)</enum><header>Net operating loss carryovers arising during 2015 through 2021</header><text display-inline="yes-display-inline">The advance refund determined under this subparagraph is an amount elected by the taxpayer in lieu of an election with respect to a net operating loss carryback under subsection (b)(1)(D), in the amount equal to—</text><clause id="H2E083ABF96BF44819E60DE9D36E34BA2"><enum>(i)</enum><text>the rate set forth in section 11 (as in effect on the date of the enactment of this paragraph), multiplied by</text></clause><clause id="HC0937132CE0C48689A969FD42C3B26BC"><enum>(ii)</enum><text>any net operating loss carryovers that arose—</text><subclause id="H89FC6CB5B61F451B896993845E7CE731"><enum>(I)</enum><text>in a taxable year beginning on or after January 1, 2015, and before January 1, 2020, or</text></subclause><subclause id="H7ABDB0C8CBB3437B9CFD2C307D3AFF53"><enum>(II)</enum><text>in a taxable year beginning on or after January 1, 2019, and before January 1, 2022.</text></subclause></clause></subparagraph><subparagraph id="H8E4B46C7D5DA4AD7B0955AA28320813C"><enum>(C)</enum><header>COVID–19 research expenditures for 2020 and 2021</header><text display-inline="yes-display-inline">The advance refund under this subparagraph is the amount of the advance refund with respect to the portion of any net operating loss attributable to and arising from qualified COVID–19 research expenditures that are paid or incurred on or after February 15, 2020 and before January 1, 2022, that is equal to 200 percent of the amount otherwise taken into account under paragraph (1)(B)(ii). A net operating loss shall be treated as arising from qualified COVID–19 research expenditures to the extent that such expenses are paid or incurred by the taxpayer.</text></subparagraph></paragraph><paragraph id="H8E86AE205507450D9FD8893E641937E2"><enum>(2)</enum><header>Qualified COVID–19 research expenditures</header><text>For purposes of this subsection, the term <term>qualified COVID–19 research expenditures</term> means expenditures paid or incurred in connection with the research and development of products regulated by the Food and Drug Administration (including biologics, drugs, and devices) that are intended to be used in the diagnosis, prevention and treatment of coronavirus disease 2019 (COVID–19), and such other similar expenditures as prescribed by the Secretary in regulations.</text></paragraph><paragraph id="H7B03692AF1F346238BA1D70B672D397D"><enum>(3)</enum><header>Taxpayer described</header><text display-inline="yes-display-inline">For purposes of paragraph (1), this subsection applies to a taxpayer if—</text><subparagraph id="H43180B4B19A54526AA4C32D7020503C5"><enum>(A)</enum><text>the taxpayer is a C corporation,</text></subparagraph><subparagraph id="HB52B8723076744E48309ABE5E8C3A06D"><enum>(B)</enum><text>the average number of full-time employees (as determined for purposes of determining whether an employer is an applicable large employer for purposes of <external-xref legal-doc="usc" parsable-cite="usc/26/4980H">section 4980H(c)(2)</external-xref> of the Internal Revenue Code of 1986) employed by the taxpayer during calendar year 2019 or 2020, whichever is greater, is greater than five and did not exceed 1,500, and</text></subparagraph><subparagraph id="H78D08445D3DD4369B41CDA41DF3A9E01"><enum>(C)</enum><text display-inline="yes-display-inline">the taxpayer has complied to date with filing of all forms or return requirements under section 3102, 3111, 3301, and 3402 with respect to calendar years 2019 and 2020.</text></subparagraph></paragraph><paragraph id="HE5A80CFF9ADF4EEF8073AA44E9D38CC1"><enum>(4)</enum><header>Special rules</header><text>For purposes of this subsection—</text><subparagraph id="HCAA7CA7D903B49F78F7BB87FC65BE3B3"><enum>(A)</enum><header>Certain contributions of capital not taken into account in determining ownership change under section 382</header><text display-inline="yes-display-inline">For purposes of determining whether an ownership change has occurred with respect to the loss corporation under section 382(g) in computing the amount of any advance refund under this section, a transfer of stock in exchange for a capital contribution to such loss corporation shall not be taken into account if—</text><clause id="H5B7C1887B42F4C5A81E75311F89F27E7"><enum>(i)</enum><text display-inline="yes-display-inline">the value of the stock transferred is commensurate with the amount of capital being contributed, and</text></clause><clause id="HC4568E0C7EAC44079C67DA413685516C"><enum>(ii)</enum><text display-inline="yes-display-inline">such exchange is not part of a plan to redeem other shareholders.</text></clause></subparagraph><subparagraph id="HD5EACE531DDD4E788E340F75FA343D8F"><enum>(B)</enum><header>Aggregate limitation</header><text display-inline="yes-display-inline">The aggregate amount of net operating loss or net operating loss carryover for which an advance refund is elected pursuant to this subsection shall not exceed $100,000,000.</text></subparagraph><subparagraph id="H35C01E181A1D49DDAEF87839826185E9"><enum>(C)</enum><header>Reduction of net operating loss</header><text display-inline="yes-display-inline">The net operating losses of the taxpayer determined under subsection (c) shall be reduced by the amount of any net operating loss or net operating loss carryover for which an advance refund is elected pursuant to this subsection, including the amount of any net operating loss to which paragraph (1)(C) applies.</text></subparagraph><subparagraph id="H4883D6FD33BD4157B977A0C8370C4391"><enum>(D)</enum><header>Aggregation rule</header><text>All corporations treated as a single employer under subsection (a) of section 52 or subsection (m) or (o) under section 414 shall be treated as a single taxpayer for purposes of this section.</text></subparagraph></paragraph><paragraph id="HF9B562937CF1460789839F42EB969BB8"><enum>(5)</enum><header>Regulations and guidance</header><text display-inline="yes-display-inline">The Secretary shall issue such regulations and other guidance as may be necessary to carry out the purposes of this section, including regulations and other guidance to carry out the purposes of this subsection—</text><subparagraph id="HA27A058C3F0144468B7A9FC24A960A8C"><enum>(A)</enum><text>to allow for the making of an election for the application of this subsection in such manner as the Secretary may by regulations prescribe,</text></subparagraph><subparagraph id="H2EF827D217754BD5B591E6DB3EBE0420"><enum>(B)</enum><text>to allow the payment of the advance refund in accordance with section 6429 based on such information as the Secretary shall require,</text></subparagraph><subparagraph id="H8DA6814DCFC64910AB74EE667A9D7D47"><enum>(C)</enum><text>to allow advance refunds permitted under this subsection to be claimed on such forms as the Secretary shall prescribe, and</text></subparagraph><subparagraph id="HE61739551C674EE3874DE32FA800E4EF"><enum>(D)</enum><text>to provide for the application of this subsection to taxpayers that file consolidated returns.</text></subparagraph></paragraph><paragraph id="H515579907FBC406CBC00427E974935BD"><enum>(6)</enum><header>Advance refund</header><text display-inline="yes-display-inline">See section 6429 for rules for claiming the advance refund.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph><paragraph id="HD638F89CB5D540E48BBDB3959EC6FAD0"><enum>(2)</enum><header>Conforming amendment</header><text>Section 172(c) of such Code is amended by inserting before the period at the end the following: <quote>and with the reduction required by subsection (g)</quote>.</text></paragraph></subsection><subsection id="H23CD195C3C094EE7B477DE1E5C223248"><enum>(b)</enum><header>Advance refund of research credits and orphan drug credits for C corporation taxpayers</header><text>Section 39 of such Code is amended by adding at the end the following:</text><quoted-block style="OLC" id="HBB4048A4E1C8406486176B572432C62F" display-inline="no-display-inline"><subsection id="H6646285492DE4CA0A8CA5C2A8F15FFD9"><enum>(e)</enum><header>Advance refund of research and orphan drug credits</header><paragraph id="HAA8F74CD10C7471FBAA255DFB1D9F48A"><enum>(1)</enum><header>In general</header><text>A taxpayer that is a C corporation may elect an advance refund of the portion of any unused business credit carryforward under section 39 that—</text><subparagraph id="H9F54AAA61F734F38BCCE2F4FC0BCE6D7"><enum>(A)</enum><text>is attributable to the credit determined under section 41 or the credit determined under section 45C, and</text></subparagraph><subparagraph id="HE7CFA10C05FC4E56987E751CBD19AACA"><enum>(B)</enum><text>is an unused business credit carryforward carried to a taxable year beginning on or after January 1, 2020, and before January 1, 2022, and that arose in taxable years beginning after January 1, 2015.</text></subparagraph></paragraph><paragraph id="H30761456FD594568BE0533B8C7E9D0AD"><enum>(2)</enum><header>Limitation</header><text display-inline="yes-display-inline">The amount elected under paragraph (1) for a taxable year may not exceed the excess of $25,000,000 reduced by the amount elected for the taxable year as an advance refund of net operating loss carryovers under section 172(g).</text></paragraph><paragraph id="H9A321E0D5AC34971B8D2BCB41BB781E5"><enum>(3)</enum><header>Inapplicability of sections <enum-in-header>38(c)</enum-in-header> and <enum-in-header>383(a)</enum-in-header></header><text>For purposes of this subsection, the amount of any advance refund shall be computed without respect to the limitations under sections 38(c) and 383(a).</text></paragraph><paragraph id="H40C07204625949B4881541D5590F3690"><enum>(4)</enum><header>Regulations and guidance</header><text>The Secretary shall issue such regulations and other guidance as may be necessary—</text><subparagraph id="HDC2B090A461A42078349CBF8D0B79588"><enum>(A)</enum><text>to allow for the making of an election under paragraph (1) in such manner as the Secretary may by regulations prescribe,</text></subparagraph><subparagraph id="HDBCCEC841C4848D68524D2AEEA36E6CA"><enum>(B)</enum><text>to allow the advance refund under this subsection and section 6429 based on such information as the Secretary shall require, and</text></subparagraph><subparagraph id="HB3721C03884C4FFEB3C3D35B6479C532"><enum>(C)</enum><text>to allow advance refunds under this section to be claimed on such forms as the Secretary shall prescribe.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H6E8D5C1D3CB545BAB6AE1BA532FC6AEE"><enum>(c)</enum><header>Advance refund of certain net operating losses, research credit, and orphan drug credit</header><paragraph id="H6265317CF8C74018AFE6EF3BAC308B08"><enum>(1)</enum><header>In general</header><text>Subchapter B of chapter 65 of such Code is amended by inserting after section 6428 the following new section:</text><quoted-block style="OLC" id="HD96A72793EDE4D7FB1FADE4311356DC2" display-inline="no-display-inline"><section id="HE5BBF57F1ED941F58BD917D79686690D"><enum>6429.</enum><header>Advance refund of certain net operating losses, research credit, and orphan drug credit</header><subsection id="H28D79CE8546847399175D092C754895D"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">In the case of a C corporation, the advance refund sum may be claimed by the taxpayer as follows:</text><paragraph id="H3058FCE0FCB84604A08F9E026ADAC369"><enum>(1)</enum><header>Payroll taxes</header><text>First, by reducing deposits or payments of—</text><subparagraph id="H7D1A81DBD4924D85ABFA63CE092A2C7A"><enum>(A)</enum><text>the applicable employment taxes imposed under sections 3101(a), 3101(b), 3111(a), and 3111(b) (reduced by any credits allowed under subsections (e) and (f) of section 3111, sections 7001 and 7003 of the Families First Coronavirus Response Act and section 2301 of the Coronavirus, Aid, Relief, and Economic Security Act) on the wages paid with respect to the employment of all the employees of the taxpayer for a calendar quarter, and</text></subparagraph><subparagraph id="H5BD8F0D5B64A4838896DE990ED3D23BC"><enum>(B)</enum><text>the withholding taxes required to be paid by an employer pursuant to section 3403, with the balance of the advance refund payable to the taxpayer.</text></subparagraph></paragraph><paragraph id="H6FAEDA9184CE4208B779B2D4435B15B6"><enum>(2)</enum><header>Advance refundability of excess losses</header><text display-inline="yes-display-inline">Second, any remaining amount to be refunded to the taxpayer after the application of paragraph (1) shall be treated as an overpayment and shall be refunded in a manner similar to that prescribed in subsection 2301(b)(3) of the Coronavirus, Aid, Relief, and Economic Security Act.</text></paragraph></subsection><subsection id="H281DC740B294407D8D11D85722AD0371"><enum>(b)</enum><header>Advance refund sum</header><text>For purposes of subsection (a), the term <term>advance refund sum</term> means the sum of—</text><paragraph id="H9B3B1A21465441CE931A9B31FB56294D"><enum>(1)</enum><text>the amount elected by the taxpayer as an advance refund of net operating loss carryovers under section 172(g), and</text></paragraph><paragraph id="H2100E740D3CA45EA847474D3FF5B0372"><enum>(2)</enum><text>the amount of any unused business credit carryforward elected under section 39(e) that is attributable to the research credit determined under section 41 or the orphan drug credit determined under section 45C.</text></paragraph></subsection><subsection id="H239189C60C534C5CA33F29D42AF124E9" commented="no"><enum>(c)</enum><header>Recapture</header><paragraph id="H45AA887F51EE4980B23BA76C341D85AE"><enum>(1)</enum><header>In general</header><text>The Secretary shall, by regulations, provide for recapturing the benefit of any advance refund allowable under this section if there is a sale or full or partial liquidation of the corporation during the recapture period. The recapture amount shall not exceed the lesser of—</text><subparagraph id="H0EFE1E188C6348CCBBC9DF044A29F21B"><enum>(A)</enum><text>the amount of any proceeds or distributions received by shareholders of the corporation attributable to such sale or liquidation, or</text></subparagraph><subparagraph id="H388B353C977E4BD0AAA385E954868635"><enum>(B)</enum><text>the amount that the advance refund exceeds the aggregate amount spent by the corporation on payroll, research expenses, and property, plant and equipment during the recapture period.</text></subparagraph></paragraph><paragraph id="HAE7CE86BC1434D0292831B8FE76A4CE6"><enum>(2)</enum><header>Recapture period</header><text>For purposes of paragraph (1), the term <term>recapture period</term> means the two-year period beginning on the date of the advance refund.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></paragraph><paragraph id="H98225C0D242245C68CBDF3DE7A31C9B5"><enum>(2)</enum><header>Transfers to Federal old-age and survivors insurance trust fund</header><text display-inline="yes-display-inline">There are hereby appropriated to the Federal Old-Age and Survivors Insurance Trust Fund and the Federal Disability Insurance Trust Fund established under section 201 of the Social Security Act (<external-xref legal-doc="usc" parsable-cite="usc/42/401">42 U.S.C. 401</external-xref>), the Federal Hospital Insurance Trust Fund established under section 1817(a) of the Social Security Act (<external-xref legal-doc="usc" parsable-cite="usc/42/1395i">42 U.S.C. 1395i(a)</external-xref>), and the Social Security Equivalent Benefit Account established under section 15A(a) of the Railroad Retirement Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/45/14">45 U.S.C. 14</external-xref> 231n–1(a)) amounts equal to the reduction in revenues to the Treasury by reason of this section (without regard to this subsection). Amounts appropriated by the preceding sentence shall be transferred from the general fund at such times and in such manner as to replicate to the extent possible the transfers which would have occurred to such Trust Fund or Account had this section not been enacted.</text></paragraph><paragraph id="HD258114679704FF28682C7CC5CCD3A78"><enum>(3)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of sections for subchapter B of chapter 65 of such Code is amended by inserting after the item relating to section 6428 the following new item:</text><quoted-block style="OLC" id="H4653F2C0C99E43B6B76CC247E979623A" display-inline="no-display-inline"><toc container-level="quoted-block-container" quoted-block="no-quoted-block" lowest-level="section" idref="HD96A72793EDE4D7FB1FADE4311356DC2" regeneration="yes-regeneration" lowest-bolded-level="division-lowest-bolded"><toc-entry idref="HE5BBF57F1ED941F58BD917D79686690D" level="section">Sec. 6429. Advance refund of certain net operating losses, research credit, and orphan drug credit.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="H0C25DAE708EF49D89B88F53894AD76A5"><enum>(d)</enum><header>Effective date</header><text>The amendments made by this section shall apply to taxable years beginning after December 31, 2019.</text></subsection></section><section id="H3F55CEAF9B8A4E01BA6D928E97653B05"><enum>3.</enum><header>Enhanced research credit for COVID–19 expenditures</header><subsection id="H5210B0CEF46242ABB16B3EDB626046DC"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/26/41">Section 41</external-xref> of the Internal Revenue Code of 1986 is amended by adding at the end the following:</text><quoted-block style="OLC" id="H5E500849C2CD46E5BA68A673620554FA" display-inline="no-display-inline"><subsection id="H7368275E2AFF437496D0CFD1BDA1F8B6"><enum>(i)</enum><header>Enhanced credit for COVID–19 research expenditures</header><paragraph id="H596E1EF893C242B58CB35668FB8D7E20"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">For purposes of determining the amount of qualified research expenses under subsection (b) for the taxable year, the amount of any qualified COVID–19 research expenditures paid or incurred by a taxpayer on or after February 15, 2020, and before January 1, 2022, shall be equal to 200 percent of the amount paid or incurred.</text></paragraph><paragraph id="HC2BC4886B41740D4BEA995AB445D3355"><enum>(2)</enum><header>Qualified COVID–19 research expenditures</header><text>The term <term>qualified COVID–19 research expenditures</term> has the meaning given such term by section 172(g)(2).</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HA61EEC3B241A4D448270B00DCF73D20D"><enum>(b)</enum><header>Effective date</header><text>The amendment made by this section shall apply to taxable years beginning after December 31, 2019.</text></subsection></section></legis-body></bill>
