Severability clause.</toc-entry></toc></section><section id="H008EF7995C7E4AA89704BD9BFE173193"><enum>3.</enum><header>Preventing conflicts of interest by oversight board</header><subsection id="H98537D1F0C3C44EB9B227B49CAF6334C"><enum>(a)</enum><header>Eligibility for Appointments</header><text display-inline="yes-display-inline">Section 101(f)(2) of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2121">48 U.S.C. 2121(f)(2)</external-xref>) is amended to read as follows:</text><quoted-block style="OLC" id="HA78E40E82BF749F4B7464BE268EF2D25" display-inline="no-display-inline"><paragraph id="H8871D97427D6418694BB983EEF9F95D1"><enum>(2)</enum><text display-inline="yes-display-inline">is not an officer, elected official, or employee of the territorial government, a candidate for elected office of the territorial government, a former elected official of the territorial government, has never served in any official capacity in the territorial government or in any of the municipal governments or public corporations of the territorial government, or financial institutions owned by the territorial government, and has never been an employee or director of any corporation, company, or institution that sold, purchased, or insured financial assets to or from the territorial government.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H31E12C2359E645AB80735A66C4B5D89E"><enum>(b)</enum><header>Executive director and staff oversight board</header><text display-inline="yes-display-inline">Section 103 of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2123">48 U.S.C. 2123</external-xref>) is amended—</text><paragraph id="HE9E0CB60B88545009541160364D35A2D"><enum>(1)</enum><text>in subsection (a), by inserting after the period at the end the following: <quote>An individual may not serve as Executive Director if that individual has served in an official capacity in the territorial government, in a municipal government or public corporation of the territorial government, or in a financial institution owned by the territorial government, or has been an employee or director of a corporation, company, or institution that has sold financial assets to, purchased financial assets from, or insured financial assets of the territorial government.</quote>; and</text></paragraph><paragraph id="H62528D07661E41359AA45BA1EE65FF83"><enum>(2)</enum><text>by amending subsection (c) to read as follows: </text><quoted-block style="OLC" id="HB4D11FF6008E42E2B6780ECBB8B95432" display-inline="no-display-inline"><subsection id="H38715723659D4AB8B5E931478A933DC1" commented="no"><enum>(c)</enum><header>Ethics Board</header><text display-inline="yes-display-inline">Not later than 30 days after the date of the enactment of the <short-title>Amendments to PROMESA Act of 2020</short-title>, in the case of the Oversight Board for Puerto Rico, or 30 days after the formation of an Oversight Board, for an Oversight Board formed after the date of the enactment of this Act, the Oversight Board shall designate an ethics board comprised of 3 nonexecutive board members. The ethics board shall meet as needed, but not less than once every 6 months, to consider the compliance of members, the Executive Director, employees, contractors, and subcontractors of the Oversight Board with all applicable Federal laws regulating the conduct of the Oversight Board, including conflict of interest, financial disclosure, and open government laws.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="H457EFF1744024389B16469613243CCE4"><enum>(c)</enum><header>Authority To enter into contracts</header><text display-inline="yes-display-inline">Section 104(g) of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2124">48 U.S.C. 2124(g)</external-xref>) is amended by inserting <quote>The total cost of contracts entered into under this subparagraph for any fiscal year may not exceed 5 percent of the total operating budget of an Oversight Board for that fiscal year.</quote> after the period at the end.</text></subsection><subsection id="H43C997B704D344529ED6DD1928FE613B" commented="no"><enum>(d)</enum><header>Ethics</header><text>Section 109 of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2129">48 U.S.C. 2129</external-xref>) is amended—</text><paragraph id="HE6DE7883D2CB40CB9D711261350AB9CC" commented="no"><enum>(1)</enum><text>in subsection (a)—</text><subparagraph id="H5E95EA638811445EAC1FA7CA266CDBCD" commented="no"><enum>(A)</enum><text>by striking <quote>and staff</quote> after <quote>all members</quote> and inserting <quote>, employees, contractors, and sub-contractors</quote>;</text></subparagraph><subparagraph id="H808C635ACEBC45A3A03395EFB80F02CC" commented="no"><enum>(B)</enum><text>by inserting <quote>, without exception</quote> after <quote>United States Code</quote>; and</text></subparagraph><subparagraph id="H9E3CE608FBA340B0BBAE45B45C0AAC82" commented="no"><enum>(C)</enum><text>after the period at the end, by inserting <quote>An individual may not serve on an Oversight Board if that individual is in violation of section 208 of title 18, United States Code.</quote>; and</text></subparagraph></paragraph><paragraph id="H527A71C179F64A12B7CEF1C65D9D1A9E" commented="no"><enum>(2)</enum><text>by adding at the end the following:</text><quoted-block id="H577B319E1ECC4A529F921D00539C0AEB" style="OLC"><subsection id="HC53EBD4F8195451582D5A00487D422A5" commented="no"><enum>(c)</enum><header>Formal written statement</header><text>An individual, including an individual under consideration for appointment or serving as a member of an Oversight Board on the date of the enactment of this subsection, may not serve as a member of an Oversight Board or as an Executive Director unless the individual—</text><paragraph id="H761DF248EF4C459FBE6918779FB8325B"><enum>(1)</enum><text>has issued a formal statement regarding that individual’s past and present compliance, and intent of future compliance with all applicable Federal laws regulating the individual’s conduct, including conflict of interest, financial disclosure, and open government laws; and</text></paragraph><paragraph id="H45086DC1BDA74A07A4E257F4DB2D6782"><enum>(2)</enum><text>has committed in writing to strictly abide by section 208 of title 18, United States Code, and other applicable Federal laws regulating their conduct, including conflict of interest, financial disclosure, and open government laws.</text></paragraph></subsection><subsection id="H1E4FA34769554ADC884020BDF35533E6" commented="no"><enum>(d)</enum><header>Federal lobbying</header><text>Section 1913 of title 18, United States Code, shall apply to all funds made available to members and staff of an Oversight Board without regard to the source of such funds.</text></subsection><subsection id="H5CD72261CC6D46689B124028870566FB" commented="no"><enum>(e)</enum><header>Annual ethics report</header><text>Not later than May 15 each year, the Executive Director and each member of an Oversight Board shall file a report with the ethics board. Such annual reports shall—</text><paragraph id="H055D9FCA9F3440B99623B75CAFD8E0CC" commented="no"><enum>(1)</enum><text>be posted by the ethics board on the public electronic website of an Oversight Board not later than June 1st of each year;</text></paragraph><paragraph id="H8FFEC0440AAD4B1DACE9EDED0FB094BC" commented="no"><enum>(2)</enum><text>be filed in accordance with—</text><subparagraph id="HC442DC46232A414AACBC938EC9FD25F3" commented="no"><enum>(A)</enum><text>the Ethics in Government Act of 1978; and</text></subparagraph><subparagraph id="HB8A982AA6A9D4D3198483CEAD6216CE1" commented="no"><enum>(B)</enum><text>the Stop Trading on Congressional Knowledge Act of 2012; and</text></subparagraph></paragraph><paragraph id="HE1CBBC9670434F10B77C07DA9BB63839" commented="no"><enum>(3)</enum><text>include information detailing the following with regard to the individual during the year for which the report is filed:</text><subparagraph id="HE15E5BEF9C614B09945B535022AAFCE7" commented="no"><enum>(A)</enum><text>Income of the individual.</text></subparagraph><subparagraph id="H6ABE53A23029496C9BAAD73E03ACEBDC" commented="no"><enum>(B)</enum><text>Honoraria given to the individual.</text></subparagraph><subparagraph id="H0E88F1CEC0AE44829D1AB1A2DB9A795D" commented="no"><enum>(C)</enum><text>Assets held by the individual.</text></subparagraph><subparagraph id="HABC794A14BD24F3A9666601AC7F84B57" commented="no"><enum>(D)</enum><text>Financial transactions by the individual.</text></subparagraph><subparagraph id="HAA766B3A03C8444D99F232EAB02C46D8" commented="no"><enum>(E)</enum><text>Financial liabilities of the individual.</text></subparagraph><subparagraph id="H3B6435FA3AB4471D8AE6E29A9B648906" commented="no"><enum>(F)</enum><text>Positions held by the individual.</text></subparagraph><subparagraph id="HD2ABB5D88E6843C886557C06F35595F3" commented="no"><enum>(G)</enum><text>Agreements to which the individual is a part.</text></subparagraph><subparagraph id="H8D08A81BE19543A4A31E08F48163A559" commented="no"><enum>(H)</enum><text>Travel taken by the individual.</text></subparagraph><subparagraph id="H2E7C1E8EBB6141E890B8E257FEE11DD3" commented="no"><enum>(I)</enum><text>Gifts received by the individual.</text></subparagraph><subparagraph id="H179219ABA48243A08AF15A703E8975A1" commented="no"><enum>(J)</enum><text>Other details required pursuant to paragraph (2).</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="HF08D817F995544DBBBA221FAC3D65C57"><enum>(e)</enum><header>Required reports</header><text display-inline="yes-display-inline">Section 208 of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2148">48 U.S.C. 2148</external-xref>) is amended by adding at the end the following: </text><quoted-block style="OLC" id="HEE7A616AAB29498287CFDAB3B397C58B" display-inline="no-display-inline"><subsection id="HEF2FAA8A0B4E4B0C9D032D0200B968F6"><enum>(d)</enum><header>Annual ethics report</header><paragraph id="H0E9096E359344B5EAA6E817692B80B3C"><enum>(1)</enum><header>Annual report required</header><text display-inline="yes-display-inline">Not later than June 30th of each year, the ethics board shall submit a report detailing compliance by members, employees, contractors, and subcontractors of an Oversight Board with section 109 directly to—</text><subparagraph id="H48085D42805F40B4A07F923A5DB1E443"><enum>(A)</enum><text>the President;</text></subparagraph><subparagraph id="H87D43D57768F4767A6DA112E3CED0925"><enum>(B)</enum><text>the House of Representatives Committee on Natural Resources; and</text></subparagraph><subparagraph id="H46681F693B28467AB41549839B98A1B6"><enum>(C)</enum><text>the Senate Committee on Energy and Natural Resources.</text></subparagraph></paragraph><paragraph id="H5DAFD3B95EBB415EA163F8941B93B7FA" commented="no"><enum>(2)</enum><header>Confidentiality requirement</header><text>Members, employees, contractors, or subcontractors of an Oversight Board may not—</text><subparagraph id="H8E0C6E67F1A543FDB0C2EABA5117E77C" commented="no"><enum>(A)</enum><text>view any part of a report compiled or being compiled to comply with this subsection before that report is submitted under paragraph (1); </text></subparagraph><subparagraph id="HFFB4F6F3DB394586AE37D786A60B27F2" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">delay submission of the report compiled or being compiled to comply with this subsection; and </text></subparagraph><subparagraph id="H48650FADD1A349C08EF561384FF1CE81" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">attempt to influence the ethics board to make any change to the content of a report compiled or being compiled to comply with this subsection.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="H5F38F60F33A54AAF919E1EE463AB7869"><enum>4.</enum><header>Federal funding for operation of oversight board and title III proceedings</header><text display-inline="no-display-inline">Section 107 of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2127">48 U.S.C. 2127</external-xref>) is amended—</text><paragraph id="H0F8CF7A53BC44F478B01EEBC14A5C1DD"><enum>(1)</enum><text>by striking subsection (b); and</text></paragraph><paragraph id="H8FDB4990748E41459A8FDB962D2ECC34"><enum>(2)</enum><text>by inserting after subsection (a) the following new subsections:</text><quoted-block id="HFA38C606BAE843DAA4CA1FD3500986BF" style="OLC"><subsection id="H77940FE2CEED4A9D98D6969D6151B235"><enum>(b)</enum><header>Funding</header><text>There is authorized to be appropriated such sums as may be necessary to carry out the operations and proceedings of an Oversight Board under title III.</text></subsection><subsection id="HA8E5F89209064083A2F0AE7A68918AAE"><enum>(c)</enum><header>Remission of excess funds</header><text display-inline="yes-display-inline">If an Oversight Board determines, in its sole discretion, that funds made available to an Oversight Board for the operations and proceedings of an Oversight Board under title III exceed the amount required for those operations and proceedings during a fiscal year, the excess funds shall be remitted by the Executive Director to the Department of the Treasury not later than 30 days after the end of the fiscal year.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="H47AABB8701884A87A378EE13986EC0B6"><enum>5.</enum><header>Funding for essential public services</header><text display-inline="no-display-inline">Section 201(b)(1)(B) of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2141">48 U.S.C. 2141(b)(1)(B)</external-xref>) is amended—</text><paragraph id="HC35FEDB81B664738A8A83BEE5820A222"><enum>(1)</enum><text>by inserting <quote>full</quote> before <quote>funding</quote>; and</text></paragraph><paragraph id="H8BA774CC4BAC4BA7B31CF262652C6ABD"><enum>(2)</enum><text>by inserting <quote>, including public education, public safety, health care, and pensions</quote> before the semicolon.</text></paragraph></section><section id="HC62D036FCE3F401C94A359A41E1E6625"><enum>6.</enum><header>Funding to promote economic growth</header><text display-inline="no-display-inline">Section 201(b)(1)(J) of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2141">48 U.S.C. 2141(b)(1)(J)</external-xref>) is amended by inserting <quote>, including investments and expenditures to increase the creation of new jobs, reduce income inequality, increase gross national product and gross domestic product, expand workforce development programs, transition informal economic activity to the formal sector, increase the median household income, and reduce the number of residents living under the poverty level</quote> before the semicolon.</text></section><section id="H8F68EF800EBC43EA984BF4ED2CD6FBD3" commented="no"><enum>7.</enum><header>Funding for operation of the University of Puerto Rico</header><subsection id="HFE5577F0E8034D7281C818BAC3A0873F"><enum>(a)</enum><header>Amendment</header><text display-inline="yes-display-inline">Title II of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by adding at the end the following:</text><quoted-block style="OLC" id="H0DAE56C35B054B1B9C45F7720DBAD78B" display-inline="no-display-inline"><section id="H96AB513F46164A2186CAEE3C198810B1" commented="no"><enum>213.</enum><header>Funding for Operation of the University of Puerto Rico</header><text display-inline="no-display-inline">Until the termination of the Oversight Board for Puerto Rico pursuant to section 209, the Fiscal Plan for the Commonwealth of Puerto Rico and the Fiscal Plan for the University of Puerto Rico, developed under section 201, shall include an annual allocation of public funds to the University of Puerto Rico in an amount calculated under the funding formula of Law 2–1966 or $800,000,000, whichever is greater, to allow the University of Puerto Rico to fulfill its major role as an essential public service and to comply effectively with its obligations and accreditation requirements.</text></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HBC0C3F2F5431489E9A5B91A2976E0F7E"><enum>(b)</enum><header>Clerical amendment</header><text>The table of contents of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by inserting after the item relating to section 212 the following:</text><quoted-block style="OLC" id="HF28110DC0FCD42EE854EB1B3FDB61029"><toc regeneration="no-regeneration"><toc-entry level="section">Sec. 213. Funding for Operation of the University of Puerto Rico. </toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="H9C94495D60F442E985BC25B05E51ED4C"><enum>8.</enum><header>Disclosure by professional persons employed by court order</header><subsection id="H4472BEEE2FAC4E5D94961AFA85E490C5"><enum>(a)</enum><header>Amendments</header><text display-inline="yes-display-inline">Title III of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by adding at the end the following:</text><quoted-block id="HD9D49FEDA3BE4735B5D55D2C492582FA" style="OLC"><section id="H95556CE958DA4FD8AAA5990E0FE408A7"><enum>318.</enum><header>Disclosure by professional persons employed by court order</header><subsection id="H171C60FD4FF14215B0AEEBF09624403E"><enum>(a)</enum><header>Required disclosure</header><text>In a voluntary case commenced under section 304, an attorney, accountant, appraiser, auctioneer, agent, consultant, or other professional person may not be compensated under section 316 unless, before making a request for compensation, such a professional person submitted a verified statement conforming to the disclosure requirements of rule 2014(a) of the Federal Rules of Bankruptcy Procedure setting forth the professional person’s connections with—</text><paragraph id="H6A3BA65127EC41269620B2AA9C993407"><enum>(1)</enum><text>the debt, creditors, any other parties in interest;</text></paragraph><paragraph id="HAE193A0A13FF49FCB38E53CF69F7DDA5"><enum>(2)</enum><text display-inline="yes-display-inline">the attorneys and accountants of any person or entity listed pursuant to paragraph (1);</text></paragraph><paragraph id="HB871764EB489467794DD5D63B2095E4B"><enum>(3)</enum><text>an Oversight Board;</text></paragraph><paragraph id="H994E5CA0F34E4CAC928C097468D47C0F"><enum>(4)</enum><text>any person employed by an Oversight Board; and</text></paragraph><paragraph id="H71FA73AF85C445C9BFD8C311431F4AC0"><enum>(5)</enum><text>information on the identity of each entity or person with whom such professional person has a connection. </text></paragraph></subsection><subsection id="H420B00BEA04A451F831EC7B6AE4D9845"><enum>(b)</enum><header>Supplement</header><text>A professional person referred to in subsection (a) shall be required to—</text><paragraph id="HB160C600D22E4925A96796137AA1363D"><enum>(1)</enum><text>supplement such verified statement as additional relevant information becomes known to such person; and</text></paragraph><paragraph id="H105CF6A4189246E1A0A2537F7F31BABA"><enum>(2)</enum><text>annually file a notice confirming the accuracy of such statement.</text></paragraph></subsection><subsection id="HC93EEE04ECD74D66AC3B3B87602D56C2"><enum>(c)</enum><header>Review</header><paragraph id="H90BAE79A1D7C4D2C80C84B68CEC0DBC7"><enum>(1)</enum><header>Trustee</header><text>The United States Trustee—</text><subparagraph id="H0093FB72BEF1459B9F0FA444B9D360BD"><enum>(A)</enum><text>shall review each verified statement submitted pursuant to subsection (a);</text></subparagraph><subparagraph id="HE1DFB21AFFD94BFC8F5C5CCF2D702223"><enum>(B)</enum><text>may file with the court comments on such verified statements before the professionals filing such statements seek compensation under section 316; and</text></subparagraph><subparagraph id="H506232E19E154ACE835593A1EFBB3AFD"><enum>(C)</enum><text>may object to any compensation application filed under section 316 that fails to satisfy the requirements of subsection (d).</text></subparagraph></paragraph><paragraph id="H41C169B7BD24426897FC7C93A90C61A2"><enum>(2)</enum><header>Standing</header><text>A person having standing under section 1109 of title 11, United States Code, shall also have standing under this section. The district court shall have jurisdiction to adjudicate all matters arising under this section.</text></paragraph></subsection><subsection id="H84EB54053CE64671A9431E3E67533DDF"><enum>(d)</enum><header>Retroactivity</header><text>If, on the date of the enactment of this section, a court has entered orders approving compensation under cases commenced under section 304, each professional person previously awarded compensation shall file a verified statement in accordance with subsection (a) not later than 30 days after such person’s first request for compensation under section 316 occurring after the date of the enactment of this section. The court may not delay any proceeding in connection with a case commenced under section 304 pending the filing of a verified statement under this subsection.</text></subsection><subsection id="H0786A66A38D248B5BE16BD70FD66A216"><enum>(e)</enum><header>Limitation on compensation</header><text>In a voluntary case commenced under section 304, in connection with the review and approval of professional compensation under section 316, the court may deny allowance of compensation for services and reimbursement of expenses accruing after the date of the enactment of this section to a professional person if such professional person—</text><paragraph id="H6C9AF68DA9F243C590911BD1F0498603"><enum>(1)</enum><text>failed to file statements of connections required by subsection (a) or filed inadequate statements of connections;</text></paragraph><paragraph id="HF709D334FF4C4AB9A9A2A3811862471C"><enum>(2)</enum><text>is at any time during such professional person’s employment in such case not a disinterested person as defined in section 101(14) of title 11, United States Code; or</text></paragraph><paragraph id="HC6D347F0D6154520B95432E5BDE7716F"><enum>(3)</enum><text>represents, or holds an interest adverse to, the interest of the estate with respect to the matter on which such professional person is employed, except that the qualification standards for committee professionals shall be those set forth in section 1103(b) of title 11, United States Code.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H78A81F4D46484E0E8D446661464B7073" commented="no"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of contents of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by inserting after the item relating to section 317 the following:</text><quoted-block style="OLC" id="H816058F0AFED4A7CBD3B6E13BA18107E"><toc regeneration="no-regeneration"><toc-entry level="section">Sec. 318. Disclosure by professional persons employed by the debtor. </toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HE6A4164803054A0BBC275B94656287D4" commented="no"><enum>(c)</enum><header>Effective date; application of amendments</header><paragraph id="H3C1C9049F0EF41128C50DF52BF20258C"><enum>(1)</enum><header>Effective date</header><text>Except as provided in paragraph (2), this section and the amendments made by this section shall take effect on June 30, 2016.</text></paragraph><paragraph id="H73B1F28621F847DB81B9C333B33ECACE" commented="no"><enum>(2)</enum><header>Special application</header><text>The amendments made by paragraphs (1)(A) and (2) of subsection (a) shall take effect 30 days after the date of the enactment of this section.</text></paragraph></subsection></section><section id="H11FCA7395C0C4D41B2FBF70C19C6596F"><enum>10.</enum><header>Access to information</header><subsection id="H4259894081E145FCB42ED3CF148035F3"><enum>(a)</enum><header>Amendment</header><text display-inline="yes-display-inline">Title III of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by adding after section 319 (as added by section 9 of this Act), the following:</text><quoted-block id="HA7DB0F82DBD744B1B079824CAB38475A" style="OLC"><section id="H9C95CA020D924863B6C33CA015FF03F0" commented="no"><enum>320.</enum><header>Access to information relating to public debt of Puerto Rico</header><subsection id="HDBB681E41591482D83CA923661D79107" commented="no"><enum>(a)</enum><header>Public documents</header><text display-inline="yes-display-inline">Any document, record, or information relating to the public debt of Puerto Rico or any of its territorial instrumentalities, including any document relating to any public offering, contract, agreement, order, or report detailing how funds obtained are spent, or contract or agreements with a creditor, shall be—</text><paragraph id="H5173FEE2269648EDAE44A922F0422FD6" commented="no"><enum>(1)</enum><text>classified as a public document; and</text></paragraph><paragraph id="H22BEA84870D645BBA3596A416F0ACD37" commented="no"><enum>(2)</enum><text>made accessible to any interested person.</text></paragraph></subsection><subsection id="H60F95B0E907C44B1968DC8887F79A246" commented="no"><enum>(b)</enum><header>Confidentiality</header><text display-inline="yes-display-inline">Any claim of confidentiality relating to information described in subsection (a) by any person, including any entity, current or past official of Puerto Rico, or current or past official of the Oversight Board for Puerto Rico shall be construed narrowly in favor of promoting transparency and the right of the public to that information.</text></subsection><subsection id="H2C48E65100FE45E5B88D82E290BABDB2" commented="no"><enum>(c)</enum><header>Enforcement</header><text display-inline="yes-display-inline">On complaint, the United States District Court for the district of Puerto Rico shall have jurisdiction to enjoin the Oversight Board for Puerto Rico or any local agency from withholding agency records and to order the production of any agency records improperly withheld from the complainant. In such a case, the District Court shall determine the matter de novo and may examine the contents of such agency records in camera to determine whether the records, in whole or in part, should be withheld under any exemption set forth in section 552(b) of title 5, United States Code (commonly known as the <quote>Freedom of Information Act</quote>). The Oversight Board for Puerto Rico or a local agency shall bear the burden of proving that an exemption applies. The District Court’s jurisdiction over these matters shall be nonexclusive and without prejudice to any remedies provided under local law.</text></subsection><subsection id="HCFEC9AE635754BCAA0CE8CC88E11C509" commented="no"><enum>(d)</enum><header>Attorney fees</header><text display-inline="yes-display-inline">The United States District Court for the district of Puerto Rico may assess against the Oversight Board of Puerto Rico or a relevant local agency reasonable attorney fees and other costs reasonably incurred in any case under this section in which the complainant obtained any relief through either—</text><paragraph id="H7F505127BFFB43EB953091BFE0993B8D" commented="no"><enum>(1)</enum><text>a judicial order or an enforceable written agreement or consent decree; or</text></paragraph><paragraph id="H73B0F0D90C4247CFB9886351A3A1BCE7" commented="no"><enum>(2)</enum><text>a voluntary or unilateral change in position by the agency, if the complainant’s claim is not insubstantial.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HA8F2BC9D71DF46DAB35C17718E9E0081" commented="no"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of contents of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by inserting after the item relating to section 319 the following:</text><quoted-block style="OLC" id="HB94EE1F97A8947F59F1D845A577946C6"><toc regeneration="no-regeneration"><toc-entry level="section">Sec. 320. Access to information relating to public debt of Puerto Rico. </toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="H7928387EE5DE4DBD8B0C36BEFB6D8120"><enum>11.</enum><header>GAO report on expenditures and operation of oversight board</header><subsection id="H6E4EFCCB9B2E45CB933BC3265F2BE89F"><enum>(a)</enum><header>Amendment</header><text display-inline="yes-display-inline">Title I of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by adding at the end the following: </text><quoted-block style="OLC" id="H8CB137B4D088468BAB503503EC9D5130" display-inline="no-display-inline"><section id="H2AE7AA96B794459EA4AE388D4585A630"><enum>110.</enum><header>Report on Oversight Board</header><text display-inline="no-display-inline">Not later than 30 days after the last day of each fiscal year, the Comptroller General of the United States shall report to the President, the House of Representatives Committee on Natural Resources and the Senate Committee on Energy and Natural Resources the results of an audit completed for the calendar year before the report containing—</text><paragraph id="HFF7C568296F649D080853BD68065CA3E"><enum>(1)</enum><text>details of all matters related to the receipt, disbursement, and use of Federal funds authorized under section 4;</text></paragraph><paragraph id="H12B0302924864D0BAC5D3D6E7C1F5423"><enum>(2)</enum><text>an analysis of the expenditures and estimate of the cost to the United States of the operation of an Oversight Board;</text></paragraph><paragraph id="H6187D7A60208491DA283A9A53D7643A2"><enum>(3)</enum><text>the compliance or noncompliance of an Oversight Board with this Act and all other applicable laws; and</text></paragraph><paragraph id="H0C35EA6912874DF2B1C5030F5ADF751E"><enum>(4)</enum><text>recommendations for improving the operations of an Oversight Board.</text></paragraph></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H99613A8880B645CC8D8163DC71A6BE8B" commented="no"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of contents of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by inserting after the item relating to section 109 the following:</text><quoted-block style="OLC" id="HC2C53452EF694FD5AA6E28B41A7EF7D5"><toc regeneration="no-regeneration"><toc-entry level="section">Sec. 110. (relating to Puerto Rico Infrastructure Revitalization) is repealed.</text></section><section id="HAE6A3E15AB2B4E57BAA6119B9C6A1BC3"><enum>13.</enum><header>Territorial relief for unsecured public debt</header><subsection id="H9627E0A76178482F85D0E19E009D45E1"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by adding after title VII, the following:</text><quoted-block id="H083660DAAA1B40F9B0EB741FB8149592" style="OLC"><title id="H7083488BB8454C419D1BE4346148AF00"><enum>VIII</enum><header>TERRITORIAL RELIEF</header><section id="H598A4C5BCBC24661A39C899DF0AF5B91"><enum>801.</enum><header>Definitions</header><text display-inline="no-display-inline">For purposes of this title:</text><paragraph id="HD0B49E2812484991AA0AAE81E7506D39"><enum>(1)</enum><header>Collateral</header><text display-inline="yes-display-inline">The term <term>collateral</term> means property subject to a security interest.</text></paragraph><paragraph id="HE48A4BA8B5E742A09F4E794C7754FAF9"><enum>(2)</enum><header>Financial obligation</header><text>The term <term>financial obligation</term> means an obligation validly owed as of the effective date of this title by a qualifying territory or an instrumentality of a qualifying territory that arises from any—</text><subparagraph id="H35EEEC44DF024984984469369060BA2C"><enum>(A)</enum><text>security issued by a qualifying territory or instrumentality of a qualifying territory;</text></subparagraph><subparagraph id="HC5090096537E4F239B2722CFC058BB0B"><enum>(B)</enum><text>loan taken out by a qualifying territory or instrumentality of a qualifying territory;</text></subparagraph><subparagraph id="H2330CB9A51644FD88497D18B4BFAE13E"><enum>(C)</enum><text>repurchase or swap or other derivative contract entered into by a qualifying territory or instrumentality of a qualifying territory; or</text></subparagraph><subparagraph id="HB70E5F3836164C3794D24F06BF9C82F1"><enum>(D)</enum><text>guaranty of any security or loan or repurchase or swap or other derivative contract by a qualifying territory or instrumentality of a qualifying territory; and does not include any—</text><clause id="HE6724E6DA17B400ABCAA7E2A34D2AECE"><enum>(i)</enum><text>claim made by a vendor or service provider that is owed payment by a qualifying territory or an instrumentality of a qualifying territory for a good or service rendered in the ordinary course of business;</text></clause><clause id="HF14D6EF4EF1F428EB25C7EE819037C6F"><enum>(ii)</enum><text>claim made by or on behalf of a current or former employee of a qualifying territory or an instrumentality of a qualifying territory that is owed payment for a pension or other retirement benefit, or for a health care benefit of any kind; or</text></clause><clause id="HE021BFF5CD574705AB2E8041DCFA624C"><enum>(iii)</enum><text>claim against a qualifying territory or an instrumentality of a qualifying territory for a pending tax refund or tax credit.</text></clause></subparagraph></paragraph><paragraph id="H35BBAF3F863743C5B7E5265E93B57893"><enum>(3)</enum><header>Instrumentality</header><text display-inline="yes-display-inline">The term <term>instrumentality</term> includes—</text><subparagraph id="H85E27E58DA7A43278644F9C25EF788D1"><enum>(A)</enum><text display-inline="yes-display-inline">a political subdivision of a qualifying territory; </text></subparagraph><subparagraph id="H1393C6758A3F4A128CB2C2A6F7623B8F"><enum>(B)</enum><text>a public agency of a qualifying territory; </text></subparagraph><subparagraph id="HE3B72F9596D94234981D2CC376B91BD8"><enum>(C)</enum><text>a public corporation of a qualifying territory; and</text></subparagraph><subparagraph id="H745ED0AF9B09441381A4FB2CB5105932"><enum>(D)</enum><text>a banking corporation of a qualifying territory.</text></subparagraph></paragraph><paragraph id="H3274DF9BBEA14B7E9EF132AC9877B0DE"><enum>(4)</enum><header>Per Capita Debt of the Territory</header><text display-inline="yes-display-inline">The term <term>per capita debt of a territory</term> means the quotient obtained by dividing—</text><subparagraph id="HECF44FD51FA54CB9B8FB4EC3933E22E8"><enum>(A)</enum><text display-inline="yes-display-inline">the aggregate amount of the financial obligations of a territory and the instrumentalities of the territory, which shall not include—</text><clause id="HCD362F22CED94145B1F9374A0F1EA189"><enum>(i)</enum><text display-inline="yes-display-inline">Federal debt; and</text></clause><clause id="H70E687B8B6E84168B674A30C54B06232"><enum>(ii)</enum><text>the unfunded liabilities of a pension system of the government of the qualifying territory or any instrumentality of a qualifying territory for the payment of pension and other retirement benefits, or health care benefits of any kind, to current or former employees of the qualifying territory or the instrumentality of the qualifying territory that are owed payment for a pension or other retirement benefit, or for a health care benefit of any kind; by</text></clause></subparagraph><subparagraph id="HE603B6B64388475FBDE8B61A370B3992"><enum>(B)</enum><text>the population of the territory (based on the most recent data available from the Bureau of the Census).</text></subparagraph></paragraph><paragraph id="H8A48AF598E2C4257B79D085C7B0B856D"><enum>(5)</enum><header>Proceeds</header><text display-inline="yes-display-inline">The term <term>proceeds</term> means amounts—</text><subparagraph id="HCE4F2DEAF5464EAEBF2D6163D976A385"><enum>(A)</enum><text display-inline="yes-display-inline">acquired from the sale, lease, license, exchange, or other disposition of collateral; and</text></subparagraph><subparagraph id="H04DB60DD0BFD482E868DC82676CBE095"><enum>(B)</enum><text>collected from, or distributed on account of, collateral. </text></subparagraph></paragraph><paragraph id="H477FB9194B3E4E4B9465DD2558174017"><enum>(6)</enum><header>Qualifying territory</header><text>The term <term>qualifying territory</term> means a territory that meets two or more of the following qualifications:</text><subparagraph id="HCA2CF8502DCD475DB496CFDC5093FAA2"><enum>(A)</enum><text>The population of the territory, based on the most recent data available from the Bureau of the Census, has decreased by more than 5 percent during the 10-year period ending on the date of a discharge under section 802.</text></subparagraph><subparagraph id="HCB1127FFD4C64D088F589D0914092230"><enum>(B)</enum><text>The territory received major disaster assistance under the Robert T. Stafford Disaster Relief and Emergency Assistance Act (<external-xref legal-doc="usc" parsable-cite="usc/42/5121">42 U.S.C. 5121</external-xref> et seq.) during the 5-year period ending on the date of a discharge under section 802.</text></subparagraph><subparagraph id="HEBA44E66F64941499DA2C4EB74BC073D"><enum>(C)</enum><text>The per capita debt of the territory is greater than $15,000 (as adjusted annually to reflect the percentage change in the Consumer Price Index for all Urban Consumers published by the Bureau of Labor Statistics of the Department of Labor).</text></subparagraph></paragraph><paragraph id="H183EB3B2EA7A4B3B958532A93B39ED1E"><enum>(7)</enum><header>Secured financial obligation</header><text>The term <term>secured financial obligation</term> means any financial obligation to the extent of the value of any collateral pledged by a qualifying territory or any instrumentality of a qualifying territory to secure the repayment of the financial obligation pursuant to a valid and perfected security interest under applicable territorial law, not including—</text><subparagraph id="H8F3B3098108C4DAE9313C25D350C1C71"><enum>(A)</enum><text>any property acquired or anticipated to be acquired by a qualifying territory or an instrumentality of a qualifying territory after the date of a discharge under section 802, even if that property, when acquired, would have become collateral subject to a security interest; or</text></subparagraph><subparagraph id="H0A41172EE438469598B7FDFE4E383EEB"><enum>(B)</enum><text>any proceeds, products, offspring, or profits of the collateral not in existence on the date of a discharge under section 802, unless the property constitutes the proceeds of a collateral to which the security interest has attached as of the date of the discharge.</text></subparagraph></paragraph><paragraph id="H0665A7A31FB941A9BE8C833D660DB2F5"><enum>(8)</enum><header>Territory</header><text>The term <term>territory</term> has the meaning given such term in section 5(20) excluding subparagraph (E) of such section.</text></paragraph><paragraph id="HEED98BCF03EB4C2FA51985EC4F6958B5"><enum>(9)</enum><header>Unsecured financial obligation</header><text>The term <term>unsecured financial obligation</term> means any financial obligation to the extent the financial obligation is not a secured financial obligation.</text></paragraph></section><section id="HE3EE054025524E7CAEF931746EE33641"><enum>802.</enum><header>Relief through exercise of the power to regulate commerce, the bankruptcy power, and the territorial power</header><subsection id="H158A4F6AFB0E484B8DA9F2C7C9EA6B2B"><enum>(a)</enum><header>In general</header><text>Pursuant to clauses 3 and 4 of section 8 of article I and clause 2 of section 3 of article IV of the Constitution of the United States, any unsecured financial obligation of a qualifying territory or an instrumentality of a qualifying territory that is outstanding is discharged on the date on which a resolution stating that the qualifying territory wishes to discharge the unsecured financial obligations of the qualifying territory and the instrumentalities of the qualifying territory—</text><paragraph id="HFB15D9E3043D4180A049BDAAF11E1B6D"><enum>(1)</enum><text>is adopted by an affirmative vote of more than 50 percent of the members of each house of the legislature of that qualifying territory and is signed by the chief executive of the qualifying territory; or</text></paragraph><paragraph id="H1BAA89C88F8F4E7CB086FA42344C9FD0"><enum>(2)</enum><text>is adopted by an affirmative vote of not less than two-thirds of the members of each house of the legislature of that qualifying territory.</text></paragraph></subsection><subsection id="H2AC75E92D96A4C88A4F19187DF15170D"><enum>(b)</enum><header>Limitation</header><text>A qualifying territory may discharge unsecured financial obligations of the qualifying territory and the instrumentalities of the qualifying territory under this title not more frequently than once during any 7-year period. Such discharge shall prohibit the qualifying territory from discharging, adjusting, or impairing, in any manner or degree including in a proceeding under title III, a claim made by a vendor or service provider that is owed payment by a qualifying territory or an instrumentality of a qualifying territory that is owed payment for a pension or other retirement benefit, or for a health care benefit of any kind.</text></subsection><subsection id="H135F964B067A456B95B603A8EDDF7B19"><enum>(c)</enum><header>No stay of actions by qualifying territory To obtain a discharge</header><text>Notwithstanding any other provision of Federal, State, or territorial law, the ability of a qualifying territory to obtain a discharge under this title shall not be stayed, avoided, or otherwise limited by operation of any provision of law or by order of a court, an Oversight Board, or an administrative agency in any proceeding.</text></subsection><subsection id="HDEF2F7872FB44CD590608AD5B527D6AD"><enum>(d)</enum><header>Secured financial obligations unaffected</header><paragraph id="HDA556893FF8A474E8D78B59AD45600B8"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (3) of section 803, nothing in subsection (a) shall affect the validity and enforceability of any financial obligation of a qualifying territory or an instrumentality of a qualifying territory to the extent that the obligation is a secured financial obligation.</text></paragraph><paragraph id="H5326C9AD7CD84F1F84461DFDBB05EA9A"><enum>(2)</enum><header>Voidability</header><text>Notwithstanding paragraph (1), a secured financial obligation of a qualifying territory or an instrumentality of a qualifying territory may be voidable or otherwise impaired under any other applicable law.</text></paragraph></subsection><subsection id="H151C7FD9A1C442B28BAF9980CDF257CA"><enum>(e)</enum><header>Rule of construction</header><text>Nothing in this title shall be construed to operate as a stay of a pending case brought under title III, or of any act of an Oversight Board appointed under this Act, or to reinstate financial obligations discharged under this title through any procedure under this Act.</text></subsection></section><section id="H4C9E3D1A84804668A3C377A0EF7B4E2B"><enum>803.</enum><header>Effect of discharge</header><text display-inline="no-display-inline">A discharge under section 802 shall—</text><paragraph id="HA7C60E1B46EC42ABBE3CB473E177300D"><enum>(1)</enum><text>except with regard to actions brought under section 804, operate as a permanent stay, applicable to all entities and enforceable by the qualifying territory or an instrumentality of the qualifying territory in any court with jurisdiction over an action described in section 804(a), against the commencement or continuation of an action, the employment of process, or an act to collect, recover, or offset any outstanding financial obligation to the extent that the financial obligation is not a secured financial obligation as of the date of the discharge, regardless of whether discharge of that unsecured financial obligation is waived by the qualifying territory;</text></paragraph><paragraph id="H995D28C46CEE453696B3616C3591B93D"><enum>(2)</enum><text>void any outstanding judgment entered on an unsecured financial obligation of the qualifying territory or an instrumentality of the qualifying territory to the extent that such judgment is a determination of liability of the qualifying territory or instrumentality; and</text></paragraph><paragraph id="H068B2EFA5EC4412CB0175E0F395F2A59"><enum>(3)</enum><text>if prior to the date of the discharge under section 802, the qualifying territory or an instrumentality of the qualifying territory entered into a security agreement securing a financial obligation, prevent the security interest created by the security agreement from attaching to any property acquired by the qualifying territory or an instrumentality of a qualifying territory after the date of the discharge under section 802, except to the extent that such property constitutes the proceeds of collateral to which the security interest had attached as of the date of the discharge.</text></paragraph></section><section id="H83CFEA3551F442E98E99C6022D1D60B9"><enum>804.</enum><header>Actions related to the status of financial obligations</header><subsection id="H98DBFE2CB7A04F7B8DBA7954D8BEEFE1"><enum>(a)</enum><header>In general</header><text>Any financial obligation is conclusively deemed to be an unsecured financial obligation except to the extent that the holder of that obligation proves that the financial obligation is a secured financial obligation in an action for a declaratory judgment that is filed—</text><paragraph id="H20DD664B77E84EC08761303D706DC75F"><enum>(1)</enum><text>in—</text><subparagraph id="H2BAF5E296C454923818ED2269449677D"><enum>(A)</enum><text>an appropriate territorial court of the qualifying territory; or</text></subparagraph><subparagraph id="H3C75E14B9527446383BDA009FCB004C3"><enum>(B)</enum><text>a district court of the United States in the qualifying territory; and</text></subparagraph></paragraph><paragraph id="H09CD11F20653488793FF564BD822BAA7"><enum>(2)</enum><text>not later than 180 days after the date of a discharge under section 802.</text></paragraph></subsection><subsection id="H8D80F956807D4C4F96C8689E8ABE0A1D"><enum>(b)</enum><header>Burden of proof</header><text>In an action described in subsection (a), the holder of an obligation shall be required to prove by clear and convincing evidence that—</text><paragraph id="H088DD2EEF64E4B8691A388295CDFFDD3"><enum>(1)</enum><text>the obligation is a secured financial obligation; and</text></paragraph><paragraph id="HD781584EADFA42B28596AE8F787920EF"><enum>(2)</enum><text>any revenues generated after a discharge under section 802 are the proceeds of the collateral securing the secured financial obligation.</text></paragraph></subsection><subsection id="HE7FDBEDC1F06410CBFF7B0E07C99350D"><enum>(c)</enum><header>Exclusive jurisdiction</header><text>Notwithstanding title 28, United States Code, a court described in subsection (a)(1) shall have exclusive jurisdiction over an action involving, arising from, or related to the status of a financial obligation as a secured or an unsecured financial obligation under subsection (a), including—</text><paragraph id="HA187E43EE21E4973A0EB0C502EDBD697"><enum>(1)</enum><text>any action asserting a taking under the fifth article of amendment to the Constitution of the United States; and</text></paragraph><paragraph id="HBD845922E96F4459A55858061812D739"><enum>(2)</enum><text>any action for declaratory judgment.</text></paragraph></subsection><subsection id="H030406E9592844BF81575E5C58A7CDDF"><enum>(d)</enum><header>Appeals</header><text>Any appeal from an action under this section shall be heard solely—</text><paragraph id="H30A2B16826134C068BC098EC2FFC7E36"><enum>(1)</enum><text>for a case filed under subsection (a)(1)(A), in the appropriate territorial court of the qualifying territory; or</text></paragraph><paragraph id="HCFEE349C507D4EA8A101E75FD78A6053"><enum>(2)</enum><text>for a case filed under subsection (a)(1)(B), in the appropriate court of appeals of the United States for the qualifying territory.</text></paragraph></subsection><subsection id="H642E45137C754F81860863642648D837"><enum>(e)</enum><header>Costs</header><text>All parties shall bear their own costs in an action under this section.</text></subsection><subsection id="HD4B1C39013CC4F649C7A5427404B1C95"><enum>(f)</enum><header>Estoppel</header><text>Any party to an action under this section shall be estopped in other actions from claiming that the party has been deprived of the property of that party by virtue of—</text><paragraph id="H6CF2D6D4672846A29FFB1199EFB69C54"><enum>(1)</enum><text>a discharge under section 802; or</text></paragraph><paragraph id="H3CF9E9C8A7CD44E4A020FF39B7B67E8C"><enum>(2)</enum><text>a final ruling in an action described in subsection (a) that a financial obligation of a party is an unsecured financial obligation.</text></paragraph></subsection><subsection id="HD473FF12AFCF499280C1EB19CC61DDAD"><enum>(g)</enum><header>Bar on avoidance actions by creditors</header><text>Notwithstanding any other provision of law, a creditor of a qualifying territory or an instrumentality of a qualifying territory that has received a discharge under this title may not avoid or bring an action to avoid, directly or derivatively, any transfer of property made by the qualifying territory or instrumentality.</text></subsection><subsection id="HC182D6259DB3495A943C54D341863156"><enum>(h)</enum><header>Avoidance of security interests by qualifying territories and instrumentalities of qualifying territories</header><paragraph id="HE19ACDF7F2424A7B829CE2E45BA5412A"><enum>(1)</enum><header>In general</header><text>In addition to the relief provided elsewhere in this Act, a qualifying territory or an instrumentality of a qualifying territory, in a civil action described in paragraph (2), may avoid any security interest—</text><subparagraph id="HB569B9DD021E4FBCAE2B07C7FC517E47"><enum>(A)</enum><text>securing a financial obligation that would be avoidable by a trustee in a case under <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/11/7">chapter 7</external-xref> of title 11, United States Code, filed on the date of the discharge under section 802 if, notwithstanding sections 101(41) and 109(a) of title 11, United States Code, or any statute of limitations under that title, the qualifying territory or the instrumentality of the qualifying territory were deemed an eligible debtor under such chapter 7; or</text></subparagraph><subparagraph id="H0291E019CBCD428BBD1CE3218A44357D"><enum>(B)</enum><text>securing a financial obligation to the extent that the amount owed on the financial obligation exceeds the value of any collateral, subject to restrictions under paragraph (3), securing the financial obligation.</text></subparagraph></paragraph><paragraph id="H758C7A2BC2324EF0AE6BE99A69BA7DDB"><enum>(2)</enum><header>Civil actions</header><text>A civil action described in this paragraph shall be—</text><subparagraph id="H9E1624876EA74FA480F6E02AEE78E795"><enum>(A)</enum><text>brought by a qualifying territory, an instrumentality of a qualifying territory, or a relator on behalf of a qualifying territory or an instrumentality of a qualifying territory not later than 2 years after the date of a discharge under section 802; and</text></subparagraph><subparagraph id="HDB388FB0BC6C4D24846032A63C2BB268"><enum>(B)</enum><text>filed in—</text><clause id="HE231C2D359E94A24A0D0F1B6448CED38"><enum>(i)</enum><text>an appropriate territorial court of the qualifying territory; or</text></clause><clause id="H992B921EB2FD457A8DF67B59F541105B"><enum>(ii)</enum><text>a district court of the United States for the qualifying territory.</text></clause></subparagraph></paragraph><paragraph id="H3DDE7121B52542B69976E392628E41D2"><enum>(3)</enum><header>Value of collateral</header><text>For the purpose of determining the value of collateral under paragraph (1)(B), the following shall not be included:</text><subparagraph id="H2152393B0997479390DCF400F12B86C2"><enum>(A)</enum><text>Any proceeds, products, offspring, or profits of the collateral not in existence on the date of a discharge under section 802, regardless of whether those proceeds, products, off-spring, or profits of the collateral would become collateral subject to a security interest after the date of a discharge under section 802.</text></subparagraph><subparagraph id="H00ACE5FA57C443098B5F54E96491C5E4"><enum>(B)</enum><text>Any property acquired or anticipated to be acquired by a qualifying territory or an instrumentality of a qualifying territory after the date of a discharge under section 802, regardless of whether that property, when acquired, would have become collateral subject to a security interest.</text></subparagraph><subparagraph id="HC914446B8B9848079264C2FA1F5CE133"><enum>(C)</enum><text>Any contract right to tax revenues that arise after the date of a discharge under section 802.</text></subparagraph></paragraph></subsection></section><section id="H48A5166215BF4903B3A56955BEAB94EA"><enum>805.</enum><header>Notice of discharge</header><subsection id="H94C622FC1BF74C50A6ED30B2C4F6441E"><enum>(a)</enum><header>In general</header><paragraph id="H4C73A834D3D74C248E88A6BFBC77C5C6"><enum>(1)</enum><header>Responsibilities of a qualifying territory or an instrumentality of a qualifying territory</header><text>After a discharge under section 802, the qualifying territory shall promptly—</text><subparagraph id="H6AF48C96A3EF43B8AFB9FD028EBAC0C3"><enum>(A)</enum><text>notify the Secretary of the Treasury of the discharge;</text></subparagraph><subparagraph id="HF738672325674304A08F256A6D6D647B"><enum>(B)</enum><text>provide actual notice of the discharge and of the right to bring an action under section 804 to—</text><clause id="H234B8CB652CA4736A3F8587DEEF92B09"><enum>(i)</enum><text>any known holder of a financial obligation as of the date of the discharge;</text></clause><clause id="HE677A1263AF74B7C9BAB4B3694A01449"><enum>(ii)</enum><text>any known indenture trustee for a financial obligation as of the date of the discharge;</text></clause><clause id="HB72C8091BCD84896A6747116D42FB8A6"><enum>(iii)</enum><text>any known agent bank for the loan, swap, repurchase agreement, or other derivative of the holder of a financial obligation as of the date of the discharge; and</text></clause><clause id="H77550A25B3824ECD96966926B1FEA8BF"><enum>(iv)</enum><text>any known financial guaranty insurer of a financial obligation as of the date of the discharge;</text></clause></subparagraph><subparagraph id="H0FD0615E5D0444679208012A33F14F7C"><enum>(C)</enum><text>publish a general notice, in each of the governmental languages of the qualifying territory, of the discharge and of the right to bring an action under section 804 in—</text><clause id="HD0570FB2953142858BF561F103B5A5C5"><enum>(i)</enum><text>not less than 1 newspaper of general circulation of each governmental language published in the qualifying territory; and</text></clause><clause id="H0A91E5479A3643328994C2BFD92FDA50"><enum>(ii)</enum><text>not fewer than 2 daily newspapers that each have a national circulation in the United States and a general audience; and</text></clause></subparagraph><subparagraph id="HF02FD245468A4CF0951DACFE46C3F62E"><enum>(D)</enum><text>publish the general notice described in subparagraph (C) in the newspapers described in subparagraph (C) not less than once each week during the 3-week period beginning on the date on which that general notice is first published.</text></subparagraph></paragraph><paragraph id="H85591A888B1E48E0AA46A14F3EFD7629"><enum>(2)</enum><header>Notice in the federal register</header><text>On the date on which the Secretary of the Treasury receives the notice described in paragraph (1)(A), the Secretary of the Treasury shall promptly cause to be published in the Federal Register a notice of that discharge and of the right to bring an action under section 804.</text></paragraph></subsection><subsection id="H73BC4AE5F187418ABBA950BF0C3B3BC4"><enum>(b)</enum><header>Adequate notice</header><paragraph id="H496D3242F1E24881B0BACDCFD1040858"><enum>(1)</enum><header>Holders of financial obligations</header><subparagraph id="H9A445F75F2A4476690AA35B0B56BF3CC"><enum>(A)</enum><header>In general</header><text>A holder of a financial obligation shall be presumed to have received adequate notice of a discharge under section 802 if, during the 180-day period beginning on the date of a discharge under section 802, a qualifying territory provides actual notice of the discharge and of the right to bring an action under section 804 to—</text><clause id="H98F54B9035B245B391028569CCA7338B"><enum>(i)</enum><text>the holder of the financial obligation as of the date of the discharge;</text></clause><clause id="H14B8807DBA304F8289A887CEAF91F00C"><enum>(ii)</enum><text>an indenture trustee for the security of the holder as of the date of the discharge; or</text></clause><clause id="HDDCC6406F5004CF1B8D511DC05D80E0C"><enum>(iii)</enum><text>an agent bank for the loan, swap, repurchase agreement, or other derivative of the holder of a financial obligation as of the date of the discharge.</text></clause></subparagraph><subparagraph id="HDBDE734D24E6414A90D7C5BF8CF4721F"><enum>(B)</enum><header>Rebuttable presumption</header><text>The presumption described in subparagraph (A) may be rebutted by clear and convincing evidence that the holder of the financial obligation did not receive adequate evidence.</text></subparagraph></paragraph><paragraph id="H5A5D1E1B891644A3A9C9493E441729F1"><enum>(2)</enum><header>Notice to a financial guaranty insurer</header><text>A financial guaranty insurer shall be conclusively deemed to have received adequate notice of a discharge under section 802 if, during the 180-day beginning on the date of a discharge under section 802, the financial guaranty insurer receives actual notice of the discharge and of the right to bring an action under section 804.</text></paragraph></subsection></section><section id="H7CBC452B7784455CB1DB4B54FCBBD164"><enum>806.</enum><header>Applicability</header><text display-inline="no-display-inline">This title shall not apply to American Samoa, the Commonwealth of the Northern Mariana Islands, Guam, or the Virgin Islands of the United States. </text></section><section id="H5F904ECBC6D0482DB389C2EE77A00AA6"><enum>807.</enum><header>Effective date</header><text display-inline="no-display-inline">This title shall take effect 60 days after the date of the enactment of the <short-title>Amendments to PROMESA Act of 2020</short-title>.</text></section></title><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HE534927C4B234D75BADCCFED53C398A8"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of contents of the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) is amended by inserting after the items relating to title VII the following:</text><quoted-block id="H04962AD17AFB457FB8FC360424D94C16" style="OLC"><toc regeneration="no-regeneration"><toc-entry level="title">TITLE VIII—TERRITORIAL RELIEF </toc-entry><toc-entry level="section">Sec. 801. (as amended by section 13 of this Act) is further amended by adding at the end the following:</text><quoted-block id="H84C3D72E93914997BCEB96CCED5F6BEA" style="OLC"><title id="H6304843024DD49D1B3BB6608BE89CD52"><enum>IX</enum><header>PUBLIC CREDIT COMPREHENSIVE AUDIT</header><section id="H23DB4AA7E060472090D08E8F1BAE8586"><enum>901.</enum><header>Puerto Rico Public Credit Comprehensive Audit Commission</header><subsection id="H39BCE3A870234242B99199E30ED43DAE"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this title, the following definitions apply:</text><paragraph id="H0725CFAD409F4951B53E30628C67E053"><enum>(1)</enum><header>Audit actions</header><text>The term <term>audit actions</term> means—</text><subparagraph id="HD66D3613C973427297C5AF30C5F1F4CB"><enum>(A)</enum><text>the public debt contracting, refinancing, or renegotiation process;</text></subparagraph><subparagraph id="HE5C80D0FB2874EB7A00CD1372BA8F80E"><enum>(B)</enum><text>the source and intended use of resources; and</text></subparagraph><subparagraph id="HFEB7AF42ABB846A5A942D8116700A53F"><enum>(C)</enum><text>the implementation of programs and projects financed with domestic or foreign debt.</text></subparagraph></paragraph><paragraph id="H27C7978C2C594B208C7C389C860A861C"><enum>(2)</enum><header>Commission</header><text display-inline="yes-display-inline">The term <term>Commission</term> means the Puerto Rico Public Credit Comprehensive Audit Commission.</text></paragraph><paragraph id="HD2BA55B8A150487E8368760B07693F9C"><enum>(3)</enum><header>Comprehensive audit</header><text>The term <term>comprehensive audit</term> means a supervisory action taken to—</text><subparagraph id="H16F8DCBB45024357A91E9382BB083E91"><enum>(A)</enum><text>examine and evaluate audit actions; </text></subparagraph><subparagraph id="H91709105DDF249AC814FFB30DE296486"><enum>(B)</enum><text display-inline="yes-display-inline">consider legal and financial aspects, and the economic, social, ecological, national, and municipal impacts of audit actions; and</text></subparagraph><subparagraph id="H0E2D99F750A04E33A6ABA52241A49FDA"><enum>(C)</enum><text display-inline="yes-display-inline">using the information obtained after completing the requirements under paragraphs (1) and (2), determine the legitimacy, lawfulness, transparency, quality, efficacy, and efficiency of the audit actions.</text></subparagraph></paragraph><paragraph id="H5CA2B596D9404416A6D620C25FCB8024"><enum>(4)</enum><header>Cooperative sector</header><text display-inline="yes-display-inline">The term <term>cooperative sector</term> means autonomous associations of persons united voluntarily to meet their common needs and aspirations through a jointly owned and democratically-controlled enterprise.</text></paragraph></subsection><subsection id="H013FC98EA6584B5CB589E5BB5857DF43"><enum>(b)</enum><header>Establishment; dissolution</header><text>There is established an independent commission to be known as the <quote>Puerto Rico Public Credit Comprehensive Audit Commission</quote>. The Commission—</text><paragraph id="H224D12440ABC4BFFADDEF8BD2227A6AF"><enum>(1)</enum><text>shall be created as an independent entity within the territorial government;</text></paragraph><paragraph id="H3A6FE91733D0416A8FCFB96E7FA7C54D"><enum>(2)</enum><text>shall not be a department, agency, establishment, or instrumentality of the Federal Government; and</text></paragraph><paragraph id="H431D2D182C5A4EBB91F4673AEC2884CA"><enum>(3)</enum><text>shall dissolve after the Commission completes or fulfills each duty of the Commission under subsection (c) and issues the final report of the Commission under subsection (g).</text></paragraph></subsection><subsection id="HD2D12D4E4CA641B183ABCB85EB823F0E"><enum>(c)</enum><header>Duties</header><text display-inline="yes-display-inline">The Commission shall—</text><paragraph id="H89B4FD80D98F43258731186A20F236BB"><enum>(1)</enum><text>order a comprehensive audit of all public debt of Puerto Rico and its instrumentalities, in conformity with the Government Accountability Office’s Generally Accepted Government Auditing Standards (also known as the <quote>Yellow Book</quote>); and</text></paragraph><paragraph id="H74574372E084425AA5F4528830D95475"><enum>(2)</enum><text>audit all public debt issued during the period beginning on the first day of fiscal year 1972 and ending on the date of enactment of this section, including—</text><subparagraph id="H12DF9280DCE1407D94AEE9A937B9FBD5"><enum>(A)</enum><text>a current and complete accounting as to the amount of outstanding indebtedness as of the date of the enactment of this section;</text></subparagraph><subparagraph id="H7FA8D0BA5D4A4400A67D0F211426DEA6"><enum>(B)</enum><text>an analysis of the sustainability of outstanding debts;</text></subparagraph><subparagraph id="HE2F1DCBCD84A4D07AB0106AC18D70019"><enum>(C)</enum><text display-inline="yes-display-inline">an assessment of how rules, policies, and controls over the use of debt can be improved upon to ensure that in the future Puerto Rico’s debt load is sustainable and issued in a manner that effectively protects the legal and financial interests of the Government of Puerto Rico; and</text></subparagraph><subparagraph id="H255EFB755E9C4827AA2185722DC3DC08"><enum>(D)</enum><text>an investigation into any irregularities, apparent or alleged, wherein probable cause of malfeasance or misfeasance is found.</text></subparagraph></paragraph></subsection><subsection id="H466B1DE0D8C246EEA0BEE5AFB09EC089"><enum>(d)</enum><header>Organizational Responsibilities</header><text>The Commission shall—</text><paragraph id="HB5EEAF131CF1403EBB3CF8612E8F8038"><enum>(1)</enum><text>adopt internal bylaws as appropriate for the proper operations and fulfillment of the objectives of the Commission;</text></paragraph><paragraph id="H1CC5BAF7B25B42CCAEA221EEF9F1DBD2"><enum>(2)</enum><text>designate and hire a minimum number of regular personnel required to carry out the duties and fulfill the objectives of the Commission;</text></paragraph><paragraph id="H88E2B8FDE22F4B3FA28A0AEEBE3D799F"><enum>(3)</enum><text>start its examination of the debt from the most recently issued bonds and review issuances in reverse chronological order; and</text></paragraph><paragraph id="H023526439544463BAE438056DE308183"><enum>(4)</enum><text>hold a regular meeting not less than once each month.</text></paragraph></subsection><subsection id="H017DED4B710C4A8FA6F6EE74051B7D61"><enum>(e)</enum><header>Authority</header><paragraph id="H36D84228EAEC4CA38961B582B6906057"><enum>(1)</enum><header>In general</header><text>To carry out its duties under this section (c), the Commission—</text><subparagraph id="H0820AA3C0675490CACCD3345A9073F36"><enum>(A)</enum><text display-inline="yes-display-inline">may audit, and ensure the transparency of, the indebtedness process of Puerto Rico and each instrumentality of the Commonwealth of Puerto Rico; and</text></subparagraph><subparagraph id="HA426CD5CC873487A9F22F2A94F3E3431"><enum>(B)</enum><text>shall have primary jurisdiction to intervene, have knowledge of, and conduct, on the initiative of the Commission, any investigation on any matter or dispute relating to any indebtedness process described in subparagraph (A).</text></subparagraph></paragraph><paragraph id="HA5855917AACF497CAF39F13A77BB22E1"><enum>(2)</enum><header>Subpoena power</header><subparagraph id="HFF98B4DEF6CB4303BF13A167DA299437"><enum>(A)</enum><header>In general</header><text>The Commission may issue subpoenas requiring the attendance and testimony of witnesses and the production of books, records, correspondence, memoranda, papers, documents, electronic files, metadata, tapes, and materials of any nature relating to any matter under investigation by the Commission. Jurisdiction to compel the attendance of witnesses and the production of such materials shall be governed by 32 L.P.R.A. App. III. R. 4. 7., as amended.</text></subparagraph><subparagraph id="HE5993B0235BC46B5A0E43A5724543596"><enum>(B)</enum><header>Failure to obey a subpoena</header><text display-inline="yes-display-inline">If a person refuses to obey a subpoena issued under subparagraph (A), the Commission may apply to the court of first instance of Puerto Rico. Any failure to obey the order of the court may be punished by the court in accordance with civil contempt laws of Puerto Rico.</text></subparagraph><subparagraph id="H9BDC238990CF428D86B7F766A401B969"><enum>(C)</enum><header>Service of subpoenas</header><text>The subpoena of the Commission shall be served in the manner provided by the rules of procedure for the courts of Puerto Rico, the Rules of Civil Procedure of Puerto Rico.</text></subparagraph></paragraph></subsection><subsection id="HCB3BDD2CBE7445FC9865A89D01980304"><enum>(f)</enum><header>Appointment of Members</header><paragraph id="H58E359F350C8429FBB7EF11C33099280"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Not later than 180 days after the date of the enactment of this section, the Governor of Puerto Rico shall appoint the following individuals to serve on the Commission:</text><subparagraph id="HD8BA0BF451B94778807B9E5521E02378"><enum>(A)</enum><text display-inline="yes-display-inline">One professor of economics from any public higher education institution located in Puerto Rico.</text></subparagraph><subparagraph id="HF95B463E08ED4F59A711A0CE38AE3EE0"><enum>(B)</enum><text display-inline="yes-display-inline">One professor of finance from any public higher education institution located in Puerto Rico.</text></subparagraph><subparagraph id="HF609A62BEB084D5AA027CF922C0F4066"><enum>(C)</enum><text display-inline="yes-display-inline">One professor of accounting from any public higher education institution located in Puerto Rico.</text></subparagraph><subparagraph id="H80A1B650D0F645B8A105AEE6056E9039"><enum>(D)</enum><text display-inline="yes-display-inline">One professor of statistics from any public higher education institution located in Puerto Rico.</text></subparagraph><subparagraph id="H4183F7EDCB92473C849F10824889B89B"><enum>(E)</enum><text display-inline="yes-display-inline">One professor of law from any public higher education institution located in Puerto Rico.</text></subparagraph><subparagraph id="HA681B31F92FA4145BF806E3FD27771E1"><enum>(F)</enum><text display-inline="yes-display-inline">One professor of sociology from any public higher education institution located in Puerto Rico.</text></subparagraph><subparagraph id="H620B56A31833455A92B018D3DD0BAF15"><enum>(G)</enum><text>One representative of the labor union sector in Puerto Rico.</text></subparagraph><subparagraph id="H1A07068F82CB4C2FB972567EA063F0C9"><enum>(H)</enum><text display-inline="yes-display-inline">One representative of the business community in Puerto Rico, with preference given to a representative from a small- or medium-sized business located in Puerto Rico.</text></subparagraph><subparagraph id="H628E0EDF8AAF4487B0195D39A1CC4447"><enum>(I)</enum><text display-inline="yes-display-inline">One representative of the cooperative sector in Puerto Rico.</text></subparagraph><subparagraph id="H41073E39E1404DBF8DD830AFA58CE138"><enum>(J)</enum><text display-inline="yes-display-inline">One individual who is a certified translator or interpreter of English and Spanish.</text></subparagraph></paragraph><paragraph id="HAB2D433E806C44EC965E7C95A93CADE9"><enum>(2)</enum><header>Failure to Appoint Members</header><text display-inline="yes-display-inline">If the Governor of Puerto Rico fails to appoint any member of the Commission in accordance with paragraph (1), not later than 360 days after the date of the enactment of the <short-title>Amendments to PROMESA Act of 2020</short-title>, the President of the Senate of Puerto Rico and the Speaker of the House of Representatives of Puerto Rico shall jointly appoint any member who has not been appointed. </text></paragraph></subsection><subsection id="H1C3E489814BC494383BE5930E389DED9"><enum>(g)</enum><header>Chairperson</header><paragraph id="H2935D0AD55D4421A84AE168395E80049"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">After the members of the Commission are appointed under subsection (f), the members shall elect one member to serve as the Chairperson of the Commission.</text></paragraph><paragraph id="H6E0E767AA12540FD8292AB6BC2CFAB9B"><enum>(2)</enum><header>Duties</header><text display-inline="yes-display-inline">The Chairperson shall—</text><subparagraph id="H85071CEC09B3494BB626EA396A4E2AAC"><enum>(A)</enum><text display-inline="yes-display-inline">call and preside over meetings of the Commission; </text></subparagraph><subparagraph id="H084BDA627E914B82B565AE54B06D9A27"><enum>(B)</enum><text>serve as the legal representative of the Commission; and</text></subparagraph><subparagraph id="H67F9C53B757146AA91C582A6CD9D3FBA"><enum>(C)</enum><text>have the determinative vote in the case of a tie vote of the Commission.</text></subparagraph></paragraph></subsection><subsection id="H0C94B0EAB43E417893C99224336321E4"><enum>(h)</enum><header>Term</header><text display-inline="yes-display-inline">Members of the Commission shall be appointed for the life of the Commission.</text></subsection><subsection id="HD2435A1238FB4BED885BD820FF016B38"><enum>(i)</enum><header>Vacancies</header><text display-inline="yes-display-inline">Any vacancy in the Commission shall not affect the powers of the Commission and shall be filled in the same manner as the original appointment or election.</text></subsection><subsection id="HD2D7213E51E5472597DD74EBEAA06D09"><enum>(j)</enum><header>Reports</header><text display-inline="yes-display-inline">Not later than 180 days after the date of enactment of this section, and not later than every 180 days thereafter, the Commission shall file with the President, the Committee on Natural Resources of the House of Representatives, the Committee on Energy and Natural Resources of the Senate, the Governor of Puerto Rico, and the legislature of Puerto Rico, and make publicly available, a report describing the progress of the Commission in carrying out the duties of the Commission under subsection (c).</text></subsection><subsection id="HC56AA8A5E59C416DB2DEB3CFE60CAD35"><enum>(k)</enum><header>Funding</header><text>There is authorized to be appropriated such sums as may be necessary to carry out this title. </text></subsection></section></title><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H16DFA728BACA4339A407FD72D7E31791"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of contents for the Puerto Rico Oversight, Management, and Economic Stability Act (<external-xref legal-doc="usc" parsable-cite="usc/48/2101">48 U.S.C. 2101</external-xref> et seq.) (as amended by this Act) is further amended by adding at the end the following:</text><quoted-block id="H38E6A81B737C44D590C0676A19FCB6B6" style="OLC"><toc regeneration="no-regeneration"><toc-entry level="title">TITLE IX—PUBLIC CREDIT COMPREHENSIVE AUDIT </toc-entry><toc-entry level="section">Sec. 901. Puerto Rico Public Credit Comprehensive Audit Commission.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="H779D2223742242829A8E818E0F37609C"><enum>15.</enum><header>Severability clause</header><text display-inline="no-display-inline">If any provision of this Act or an amendment made by this Act, or the application of a provision or amendment to any person or circumstance, is held to be invalid for any reason in any court of competent jurisdiction, the remainder of this Act and amendments made by this Act, and the application of the provisions and amendment to any other person or circumstance, shall not be affected.</text></section></legis-body></bill>
