which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To prohibit the enforcement of certain loan covenants during the COVID–19 national emergency, and for other purposes.</official-title></form><legis-body id="HF3C8C76BF39C46CDA599C139D0FF1253" style="OLC"><section id="H26DED44AA7694F8CA1CD7FF891E2CDE6" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Business Borrowers Protection Act</short-title></quote>.</text></section><section id="HB2E1BB16C6A94AA0BAB8F2221FEBB38B" section-type="subsequent-section"><enum>2.</enum><header>Enforcement of loan covenants</header><subsection id="HCDE1A874A6BD4B13A09BA38204624C6F"><enum>(a)</enum><header>Loans received under COVID–19 relief programs</header><text>Any loan that a borrower receives under a COVID–19 relief program may not be taken into account—</text><paragraph id="H0D2C190C53814BE49EA6FEF890AF853A"><enum>(1)</enum><text>in determining whether—</text><subparagraph id="H341D8C67BFB44A3F89107EEF1F6F15CE"><enum>(A)</enum><text>the borrower is in violation of any loan covenant of a covered loan; or</text></subparagraph><subparagraph id="HA839BB69827F40F6901AB35B9C29FA39"><enum>(B)</enum><text>a lender may accelerate the due date of any covered loan agreement; or</text></subparagraph></paragraph><paragraph id="HA480DE7170034C658E177EA0E5151938"><enum>(2)</enum><text>in calculating the debts or liabilities of the borrower for purposes of determining whether such borrower is in conformity with any covered loan agreement.</text></paragraph></subsection><subsection id="H58A29DEC5A4846F69474C1BA1D2894BE"><enum>(b)</enum><header>Loan covenants not enforceable during COVID–19 national emergency</header><paragraph id="H511469DD35F345F5BDF93499F7F971F1"><enum>(1)</enum><header>In general</header><text>A lender may not enforce any loan covenant during the period beginning on the date of enactment of this Act and ending on the day that is 1 year after the termination of the national emergency declared by the President on March 13, 2020, under the National Emergencies Act (<external-xref legal-doc="usc" parsable-cite="usc/50/1601">50 U.S.C. 1601</external-xref> et seq.) relating to the COVID–19 pandemic. </text></paragraph><paragraph id="H99784839AE99465BBE8D1C04AD3B6B7D" commented="no"><enum>(2)</enum><header>Rulemaking</header><text display-inline="yes-display-inline">Not later than the end of the 60-day period beginning on the date of enactment of this Act, the Secretary of the Treasury shall issue such regulations and guidance as may be necessary to ensure that any lender who complies with the requirements described in paragraph (1) is not deemed to be in violation of any law or regulation relating to the enforcement of loan covenants. </text></paragraph></subsection><subsection id="HED2982273B5F4BEAA221D74E2F1F7BF3"><enum>(c)</enum><header>Trustee or person with fiduciary duty not liable</header><paragraph id="HF584CC98857246D7A64BA7FAEE8DA4F2"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">No trustee or other person with a fiduciary duty to the holders of any debt security shall be liable for any decision made not to enforce a loan covenant related to such debt security.</text></paragraph><paragraph id="H69CB06E915424A83B766BF6435526D32"><enum>(2)</enum><header>Applicability</header><text>Paragraph (1) shall only apply during the period beginning on March 12, 2020, and ending on March 13, 2022.</text></paragraph></subsection><subsection id="H3D90689FD4914DC6B7391480ED254612"><enum>(d)</enum><header>Definitions</header><text>In this Act, the following definitions apply:</text><paragraph id="HC1F40C2D463744BB9810DB7D62B23C4D"><enum>(1)</enum><header>Covered loan</header><text display-inline="yes-display-inline">The term <quote>covered loan</quote> means a loan entered into on or before the date of the enactment of this Act. </text></paragraph><paragraph id="HD305EA7566744C99A337D0099D2EE923"><enum>(2)</enum><header>COVID–19 relief program</header><text display-inline="yes-display-inline">The term <quote>COVID–19 relief program</quote> means any program created by—</text><subparagraph id="HD6A1EACC3D6D4BA492CA869A2775F245"><enum>(A)</enum><text>the Coronavirus Preparedness and Response Supplemental Appropriations Act, 2020 (<external-xref legal-doc="public-law" parsable-cite="pl/116/123">Public Law 116–123</external-xref>);</text></subparagraph><subparagraph id="HEBF1A707849F4D2299E0D59B8BFFEAED"><enum>(B)</enum><text>the Families First Coronavirus Response Act (<external-xref legal-doc="public-law" parsable-cite="pl/116/127">Public Law 116–127</external-xref>);</text></subparagraph><subparagraph id="HB67533FDDCEB482C8933587CDC1C9961"><enum>(C)</enum><text>the CARES Act (<external-xref legal-doc="public-law" parsable-cite="pl/116/136">Public Law 116–136</external-xref>); or</text></subparagraph><subparagraph id="HEAEDAB6227004EB29FFE092FCB74B2B4"><enum>(D)</enum><text display-inline="yes-display-inline">the Federal Government or any State, local, Tribal, or territorial government for the purpose of reducing the financial losses of businesses caused by the spread of COVID–19.</text></subparagraph></paragraph><paragraph id="H24DB94507D9D4277A0E640712869A635"><enum>(3)</enum><header>Loan covenant</header><text>The term <quote>loan covenant</quote> means any provision in a covered loan agreement that allows or requires the acceleration of repayments due under any loan agreement or that reduces the availability of funds under a line of credit—</text><subparagraph id="HD6391F11E4F340B5A5E340849C5B1C3D"><enum>(A)</enum><text>due to any act or omission of a borrower or any entity related to the borrower; or</text></subparagraph><subparagraph id="HB470DDB6684A4DCCBD52FB7740F557EB"><enum>(B)</enum><text>because the total liabilities or current liabilities of a borrower exceed—</text><clause id="HF77F70E8D43C4C26B259BA589CC3B048"><enum>(i)</enum><text>any benchmark; or</text></clause><clause id="H735BD7B8902046B5B1DF1127594ACFEB"><enum>(ii)</enum><text>any percentage of the assets of the borrower, revenues, equity, or any other benchmark.</text></clause></subparagraph></paragraph></subsection></section></legis-body></bill>
