<official-title display="yes">To amend the Bank Holding Company Act of 1956 to restore the separation between banking and commerce by prohibiting bank holding company ownership of non-financial assets, and for other purposes.</official-title>

<section id="H9E53B97440424BAEA60933AB3E6C39DC" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Protecting Consumers from Market Manipulation Act</short-title></quote>.</text> </section> <section id="HD4786C6A886146219F8C959650185A10"><enum>2.</enum><header>Limitation on certain large non-financial companies with respect to activities that are financial in nature</header> <subsection id="H99C406B2DE274881B35F1E55464F3679"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">A large non-financial company that is not registered as a bank holding company may not (either directly or indirectly, or through a subsidiary) engage in activities that are financial in nature if engaging in such activities would result in such activities producing the lower of—</text> 
<paragraph id="H39FCBAE0347A415FAAF978F00C952A74"><enum>(1)</enum><text>5 percent of the revenue of the large non-financial company; or</text> </paragraph> <paragraph id="HA2F7F8DBCF564839AF689B6C40BD75FE"><enum>(2)</enum><text>$1,000,000,000 in revenue.</text> </paragraph></subsection>
<subsection id="H44DF35E69B3E438A8E431B2E3B901B9F"><enum>(b)</enum><header>Definitions</header><text>In this section:</text> <paragraph id="H52613E7AC2D344BFB298CE19F1DA9600"><enum>(1)</enum><header>Activities that are financial in nature</header><text display-inline="yes-display-inline">The term <term>activities that are financial in nature</term> has the meaning given that term under section 4(k)(4) of the Bank Holding Company Act of 1956.</text> </paragraph>
<paragraph id="H750AD8AFABB349C8AABF27AB87747D26"><enum>(2)</enum><header>Bank holding company</header><text display-inline="yes-display-inline">The term <term>bank holding company</term> has the meaning given that term under section 2 of the Bank Holding Company Act of 1956.</text> </paragraph> <paragraph id="HF82149DE62814E6EB34828C87F67F9FC"><enum>(3)</enum><header>Large non-financial company</header><text display-inline="yes-display-inline">The term <term>large non-financial company</term> means a company that—</text> 
<subparagraph id="HBE1E2D1EFF5749DA9645045DE7D026EE"><enum>(A)</enum><text>has annual revenues of more than $5,000,000,000; and</text> </subparagraph> <subparagraph id="HCE17FB577954453CB5B423FCCCE7B180"><enum>(B)</enum><text display-inline="yes-display-inline">is not predominantly engaged in financial activities (as such term is defined under section 102 of the Financial Stability Act of 2010).</text> </subparagraph></paragraph>
<paragraph id="HAF4092FD3F9B4BAEB085B0B629025D30"><enum>(4)</enum><header>Subsidiary</header><text display-inline="yes-display-inline">The term <term>subsidiary</term> has the meaning given that term under section 2 of the Bank Holding Company Act of 1956.</text> </paragraph></subsection></section> <section id="H3EDACE9CF66E4AE5A1AFD7E35AD6789F"><enum>3.</enum><header>Limitations on commodity ownership and repeal of the merchant banking authority</header> <subsection id="H3A80D018ED4C40778A8B25B538E79A4D"><enum>(a)</enum><header>In general</header><text>Section 4 of the Bank Holding Company Act of 1956 (<external-xref legal-doc="usc" parsable-cite="usc/12/1843">12 U.S.C. 1843</external-xref>) is amended—</text> 
<paragraph id="HDC924A4993734C899899063894205D0E"><enum>(1)</enum><text>in subsection (k)—</text> <subparagraph id="H77782956645240538352D7474F17A089"><enum>(A)</enum><text>in paragraph (1), by striking <quote>(by regulation or order)</quote> and inserting <quote>, by regulation</quote>;</text> </subparagraph>
<subparagraph id="H02E1CC4E94A54A14A746DE1C2A32ECFE"><enum>(B)</enum><text>in paragraph (2)—</text> <clause id="H51385868B0694F80A417E95C452AC49C"><enum>(i)</enum><text>in the heading, by inserting <quote><header-in-text level="paragraph" style="OLC">and the Federal Deposit Insurance Corporation</header-in-text></quote> after <quote><header-in-text level="paragraph" style="OLC">treasury</header-in-text></quote>; and</text> </clause>
<clause id="H69AB0ECA56F1408092EBFBDFC51EF5FC"><enum>(ii)</enum><text>by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="H119B79DC40F640539BE6DFBD6B42E5F2" style="OLC"> <subparagraph id="H4CD10F16E1C543A2972044FC98023549"><enum>(C)</enum><header>Joint determination with the Federal Deposit Insurance Corporation</header><text display-inline="yes-display-inline">For purposes of paragraph (1), the Board may only make a determination that an activity is complementary to a financial activity and does not pose a substantial risk to the safety or soundness of depository institutions or the financial system generally, if such determination is made jointly, by rule, with the Federal Deposit Insurance Corporation.</text></subparagraph><after-quoted-block>;</after-quoted-block></quoted-block> </clause></subparagraph>
<subparagraph id="H31C50CE9389444EB8C0B12BB16ACBE65"><enum>(C)</enum><text>in paragraph (4)—</text> <clause id="H64CE389ED49441F2853EAE214340150C"><enum>(i)</enum><text>by striking subparagraph (H); and</text> </clause>
<clause id="H30F78B7BDEB44B99A4367865FF69289F"><enum>(ii)</enum><text>by redesignating subparagraph (I) as subparagraph (H); and</text> </clause></subparagraph> <subparagraph id="H29F39A52126448E3B22876264C1CE662"><enum>(D)</enum><text>by striking paragraph (7);</text> </subparagraph></paragraph>
<paragraph id="HABA3B4BD0C8A4332AA993B96531CC5F0"><enum>(2)</enum><text>in subsection (l)—</text> <subparagraph id="H93A6E16F883F457D9CFB78322FEEA380"><enum>(A)</enum><text>in paragraph (1), by striking <quote>subsection (k), (n), or (o)</quote> each place such term appears and inserting <quote>subsection (k) or (n)</quote>; and</text> </subparagraph>
<subparagraph id="H3885E4AAD8324C398FC3785F2C6F674F"><enum>(B)</enum><text display-inline="yes-display-inline">in paragraph (2)(B), by striking <quote>subparagraph (H) or (I)</quote> and inserting <quote>subparagraph (H)</quote>;</text> </subparagraph></paragraph> <paragraph id="H910549DD7F484B759C37611E245019C4"><enum>(3)</enum><text>in subsection (m)(1)(A), by striking <quote>subsection (k), (n), or (o)</quote> and inserting <quote>subsection (k) or (n)</quote>;</text> </paragraph>
<paragraph id="HBF9AABC2DF794F968D47A46A3BBD8A80"><enum>(4)</enum><text display-inline="yes-display-inline">in subsection (n)(5), by striking <quote>subparagraph (H) or (I)</quote> each place such term appears and inserting <quote>subparagraph (H)</quote>; and</text> </paragraph> <paragraph id="HDCB1A3ACD9D846C5ADFAA1C721BD8FC2"><enum>(5)</enum><text>by striking subsection (o).</text> </paragraph></subsection>
<subsection id="H893BC3E9E37A42F1B8F9B722CADF6583"><enum>(b)</enum><header>Conforming amendment</header><text display-inline="yes-display-inline">Section 3(a)(4)(B)(vi) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)(4)(B)(vi)</external-xref>) is amended by striking <quote>other than</quote> and all that follows through the end and inserting <quote>other than a registered broker or dealer.</quote>.</text> </subsection> <subsection id="H1DEBEA3EF8E94BCFA0A70CF489DC9FA6"><enum>(c)</enum><header>Rulemaking</header><text display-inline="yes-display-inline">The Board of Governors of the Federal Reserve System shall—</text> 
<paragraph id="H422B8B3A63B5439E9CA9E1531A6E38B1"><enum>(1)</enum><text>issue rules to carry out the amendments made by this section; and</text> </paragraph> <paragraph id="HD8C57D06986B4277938FB4163D60A1A5"><enum>(2)</enum><text>provide for an appropriate transition period before persons are required to comply with the amendments made by this section, including allowing for the divestment of shares, assets, and ownership interests affected by such amendments.</text> </paragraph></subsection></section>
<section id="H1200C25069EC449AB4CA317EB0CED758"><enum>4.</enum><header>Digital currency studies</header> 
<subsection id="H298B480BD7704ABC9694CD8560CFCF56"><enum>(a)</enum><header>FSOC study</header><text display-inline="yes-display-inline">The Financial Stability Oversight Council shall carry out a study, and issue a report to Congress that—</text> <paragraph id="H0056D01802AD43FF940BE42294E25135"><enum>(1)</enum><text>examines the financial stability implications of digital currency; and</text> </paragraph>
<paragraph id="HE09705B4F9AD4AA087FA0EDDFACDB055"><enum>(2)</enum><text display-inline="yes-display-inline">determines whether digital currencies should be designated as designated financial market utilities under title VIII of the Payment, Clearing, and Settlement Supervision Act of 2010.</text> </paragraph></subsection> <subsection id="HEB742C7C99C64547930F5D7A9A4EB316"><enum>(b)</enum><header>Federal Reserve study</header><text display-inline="yes-display-inline">The Board of Governors of the Federal Reserve System shall carry out a study and issue a report to Congress that—</text> 
<paragraph id="H9A083B325EB24F70B420FECAE3ECE2F9"><enum>(1)</enum><text>examines the monetary policy and monetary sovereignty implications of digital currency; and</text> </paragraph> <paragraph id="HC25D285B85E2496B8595909D5148E36E"><enum>(2)</enum><text display-inline="yes-display-inline">proposes a framework for supervising any digital currency that is designated as a designated financial market utility under title VIII of the Payment, Clearing, and Settlement Supervision Act of 2010.</text> </paragraph></subsection>
<subsection id="H939B651C7A86432ABE15E6100309AC28"><enum>(c)</enum><header>Digital currency defined</header><text display-inline="yes-display-inline">In this section, the term <term>digital currency</term> means a digital representation of value that—</text> <paragraph id="H16123CA5F3FE45C0997FA0E4C3EB1DCD"><enum>(1)</enum><text>can be digitally traded;</text> </paragraph>
<paragraph id="H97F95B0600EE4187AC61B38760C870D2"><enum>(2)</enum><text>functions as—</text> <subparagraph id="HD8FC5DD1E87C4E729A7B982E35633C0E"><enum>(A)</enum><text>a medium of exchange;</text> </subparagraph>
<subparagraph id="HB9B921A8B0804F5AA7338D3DBE5DE462"><enum>(B)</enum><text>a unit of account; or</text> </subparagraph> <subparagraph id="HF8ECDDCFD2A441AD9EDDC56A357DBCD5"><enum>(C)</enum><text>a store of value;</text> </subparagraph></paragraph>
<paragraph id="H192DA983022A4A73895A7C30B245CD7A"><enum>(3)</enum><text>does not have legal tender status (i.e., when tendered to a creditor, is a valid and legal offer of payment) in any jurisdiction;</text> </paragraph> <paragraph id="H309968C58376462EA484968758988E81"><enum>(4)</enum><text>is not issued nor guaranteed by any jurisdiction;</text> </paragraph>
<paragraph id="H6CD92616A4F44584B97041BA7DA42F26"><enum>(5)</enum><text>fulfils the functions described under paragraph (2) only by agreement within the community of users of the virtual currency;</text> </paragraph> <paragraph id="H8F329481C5DE4342A95FA875A0BE3BA4"><enum>(6)</enum><text>is not sovereign currency (also known as <quote>real currency</quote>, <quote>real money</quote>, or <quote>national currency</quote>), which is the coin and paper money of a country that is designated as its legal tender, circulates, and is customarily used and accepted as a medium of exchange in the issuing country; and</text> </paragraph>
<paragraph id="H211F5192B8574F71B535BB681AF7AEB5"><enum>(7)</enum><text display-inline="yes-display-inline">is not e-money, which is a digital representation of sovereign currency used to electronically transfer value denominated in sovereign currency and is a digital transfer mechanism for sovereign currency (meaning that it electronically transfers value that has legal tender status).</text> </paragraph></subsection></section> </legis-body> </bill>
