		<official-title display="yes">To amend titles 41 and 10 of the United States Code to establish certain procurement procedures
			 with respect to businesses wholly-owned through an ESOP, and for other
			 purposes.</official-title>

 <section id="HE64C791B8C0F41DD932B7D38105FC992" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be referred to as the <quote><short-title>ESOP Business Act of 2018</short-title></quote>.</text> </section><section id="H3F5AD0A859994DEBB61A5465C5B8DA22"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Congress finds the following:</text>
 <paragraph id="H70D33BF3A2EB4A008ACEE39D80EB4EE6"><enum>(1)</enum><text>Businesses wholly-owned through an ESOP—</text> <subparagraph id="H0922C5B76E4C4DB6B89C9EC678DE737B"><enum>(A)</enum><text>offer unique benefits to the United States and to customers of such businesses;</text>
 </subparagraph><subparagraph id="H44A9C45FFA7C4AE5A2B3206A868B2B62"><enum>(B)</enum><text display-inline="yes-display-inline">provide better retirement security, work culture, and wage growth for workers; and</text> </subparagraph><subparagraph id="H229DDD480F634D07A98FD3139BB35C65"><enum>(C)</enum><text display-inline="yes-display-inline">reduce wealth inequality among managers and employees.</text>
 </subparagraph></paragraph><paragraph id="H8352016458EF422AA20C1392BE5DF864"><enum>(2)</enum><text display-inline="yes-display-inline">Current Federal contracting laws may inadvertently exclude businesses wholly-owned through an ESOP from key projects.</text>
 </paragraph><paragraph id="H62A32C5BCEEB44A082D2F16BF1134D11"><enum>(3)</enum><text display-inline="yes-display-inline">The growth of the number businesses wholly-owned through an ESOP benefits employees of such businesses.</text>
 </paragraph></section><section id="HAA9C7527A66744B7B5B163E8EDABAFFE"><enum>3.</enum><header>Sense of Congress</header><text display-inline="no-display-inline">It is the sense of Congress that—</text> <paragraph id="H9BF0437A29914CD9A46EC22F6BAEA338"><enum>(1)</enum><text display-inline="yes-display-inline">businesses wholly-owned through an ESOP are beneficial to the economy;</text>
 </paragraph><paragraph id="HDCA5060198DB469A9D3B711574E0287B"><enum>(2)</enum><text display-inline="yes-display-inline">Congress should provide incentives for businesses to become businesses wholly-owned through an ESOP; and</text>
 </paragraph><paragraph id="H9A306C9079CD4B3D8052098A98023423"><enum>(3)</enum><text display-inline="yes-display-inline">businesses wholly-owned through an ESOP should be rewarded through the Federal contracting process for the benefits that such businesses provide.</text>
			</paragraph></section><section id="HEB6F0CCDE6384287808A99B73E512ED8"><enum>4.</enum><header>Full and open contract competition for businesses wholly-Owned through an ESOP</header>
 <subsection id="H50FDE5002D254A8E9BF5CBC0FC58C067"><enum>(a)</enum><header>Full and open contract competition</header><text display-inline="yes-display-inline">Section 3301 of title 41, United States Code, is amended—</text> <paragraph id="HB0EBA94EA2FD4A8192CBB66B0E6B6697"><enum>(1)</enum><text>in subsection (a), by inserting <quote>in subsection (d) and</quote> before <quote>in sections 3303, 3304(a), and 3305</quote>; and</text>
 </paragraph><paragraph id="H8B0380B1B57F43E7B7D427FFA10546B8"><enum>(2)</enum><text>by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="H23055A5BCED349148E113E216CD3E6F4" style="USC"> <subsection id="HF0495B0E415A4F33929F039EA34786C1"><enum>(d)</enum><header>Businesses wholly-Owned through an ESOP</header><text display-inline="yes-display-inline">A business wholly-owned through an ESOP may submit a bid to an executive agency conducting a procurement for property or services under section 3303, 3304(a), or 3305.</text>
						</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
 </paragraph></subsection><subsection id="HDC6D070CEBB94A8AB518F4E890232EE3"><enum>(b)</enum><header>Use of noncompetitive procedures</header><text display-inline="yes-display-inline">Section 3304(b) of title 41, United States Code, is amended—</text> <paragraph id="HDC6E1506411C40D185CE83372A8C378B"><enum>(1)</enum><text display-inline="yes-display-inline">in paragraph (1), by striking <quote>or</quote> after <quote>procurement;</quote>;</text>
 </paragraph><paragraph id="H0D5636CC86DF4F9C9599D06E1E0B1ABF"><enum>(2)</enum><text display-inline="yes-display-inline">in paragraph (2)(B), by striking the period and inserting <quote>; or</quote>; and</text> </paragraph><paragraph id="H29D3B3401EDE44779A69B7AD421B6079"><enum>(3)</enum><text>by adding at the end the following:</text>
					<quoted-block display-inline="no-display-inline" id="H7584BC452837482BB75B25B12522F034" style="USC">
 <paragraph id="HC47C2F076D7A4C44BF513A6C43D40870"><enum>(3)</enum><text display-inline="yes-display-inline">a follow-on contract for a contract awarded to a business wholly-owned through an ESOP if the executive agency rates the performance of such business on the original contract as satisfactory or better in the Contractor Performance Assessment Reporting System (or a successor system).</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="H738565D5A7634AB1B39479C81F4B263E"><enum>(c)</enum><header>Definition of business wholly-Owned through an ESOP</header>
 <paragraph id="HC136B0DA5AC44DAFB90C6EC81CC5F15A"><enum>(1)</enum><header>Title <enum-in-header>10</enum-in-header></header><text display-inline="yes-display-inline">Section 2302 of title 10, United States Code, is amended by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="H1541FEC62E8F4416A81B906538076424" style="OLC"> <paragraph id="H36E2C16836234DA2955D5C9204CD7E13"><enum>(10)</enum><text display-inline="yes-display-inline">The term <quote>business wholly-owned through an ESOP</quote> has the meaning given the term in section 117 of title 41.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
 </paragraph><paragraph id="H220A874D0F7B4142996D21D737301B4B"><enum>(2)</enum><header>Title <enum-in-header>41</enum-in-header></header><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/41/1">Chapter 1</external-xref> of title 41, United States Code, is amended by adding after section 116 the following new section:</text>
					<quoted-block display-inline="no-display-inline" id="H11C17805D7BC4B47A5D42DEE7527671F" style="USC">
 <section id="HA753B6D88602403E8F542B47B88FDA6F"><enum>117.</enum><header>Business wholly-owned through an ESOP</header><text display-inline="no-display-inline">In this subtitle, the term <quote>business wholly-owned through an ESOP</quote> means a business for which 100 percent of the outstanding stock is held through an employee stock ownership plan (as defined in section 4795(e)(7) of title 26).</text></section><after-quoted-block>.</after-quoted-block></quoted-block>
 </paragraph></subsection><subsection id="H110C47DE306541BA8CF434D361DA8A92"><enum>(d)</enum><header>Pricing preference</header><text>Section 2304 of title 10, United States Code, is amended by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="HB9A17C1853A94D1D897C68199FF32B17" style="USC"> <subsection id="H4DC4DFAE5AB846978433D791A1AA65C2"><enum>(m)</enum><text display-inline="yes-display-inline">For a contract awarded pursuant to this section, the head of the agency may enter into a contract with a business wholly-owned through an ESOP using a price evaluation preference not in excess of 10 percent when evaluating an offer received from such a business.</text>
					</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
 </subsection><subsection id="HA8261151FC0447B7B6CA230B6C9E32CE"><enum>(e)</enum><header>Inclusion in contract goals</header><text display-inline="yes-display-inline">Section 2323(a) of title 10, United States Code, is amended by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="H2C98F79B73814CCDB794A92104C630BE" style="OLC"> <paragraph id="H47F678AD5C8F4045B87A7C1C8BB663AE"><enum>(4)</enum><text display-inline="yes-display-inline">For the purposes of this subsection, a business wholly-owned through an ESOP shall be considered a small business concern.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
