 <section id="H9707B59FBABE4C709E70AFCA6DAB5207" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Access to Capital Creates Economic Strength and Supports Rural America Act</short-title></quote> or the <quote>ACCESS Rural America Act</quote>.</text> </section><section id="H688730280A2C48E0892D7E0D0AB2C20B"><enum>2.</enum><header>Shareholder threshold for registration of certain issuers</header><text display-inline="no-display-inline">Section 12(g) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78a">15 U.S.C. 78a</external-xref> et seq.) is amended—</text>
 <paragraph id="H408F25820ECB4F378EF5F7FC33BBDEA8"><enum>(1)</enum><text>in paragraph (1)—</text> <subparagraph id="H12658389E1354505B107B49B9E910359"><enum>(A)</enum><text>in subparagraph (A)(ii), by striking <quote>and</quote> at the end;</text>
 </subparagraph><subparagraph id="H66C8474F44514BBD9A8282A9E6E6C93D"><enum>(B)</enum><text>in subparagraph (B), by adding <quote>and</quote> at the end;</text> </subparagraph><subparagraph id="HC323286FBEFA4F8F84AF69AF18B1D02B"><enum>(C)</enum><text>by inserting after subparagraph (B) the following:</text>
					<quoted-block changed="added" committee-id="HBA00" display-inline="no-display-inline" id="H0D8CED544AAE4172BF6EAB242C58A674" reported-display-style="italic" style="OLC">
 <subparagraph id="HA4421F324CAF4D62A26DFE9AB4D756B9" indent="up1"><enum>(C)</enum><text display-inline="yes-display-inline">in the case of an issuer that, during its previous fiscal year, received support, directly or through an affiliate, through any Federal universal service support mechanism established under section 254 of the Communications Act of 1934 and filed the report described under paragraph (7) with respect to such fiscal year, not later than 120 days after the last day of its first fiscal year ended after the effective date of this subsection on which the issuer has total assets exceeding $10,000,000 and a class of equity security (other than an exempted security) held of record by either—</text>
 <clause id="HCB5C35F5EFF640DDA190D11D90B0F857"><enum>(i)</enum><text>2,000 persons, or</text> </clause><clause id="H0BE5030260C5423D83869F3FB0409723"><enum>(ii)</enum><text display-inline="yes-display-inline">1,250 persons who are not accredited investors,</text></clause></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block>
 </subparagraph><subparagraph id="H89E19793658E4AE69B898C5E98DE21BB"><enum>(D)</enum><text display-inline="yes-display-inline">by adding at the end the following: <quote>The dollar figures in this paragraph shall be indexed for inflation every 5 years by the Commission to reflect the change in the Consumer Price Index for All Urban Consumers published by the Bureau of Labor Statistics, rounded to the nearest $100,000.</quote>; and</text>
 </subparagraph></paragraph><paragraph id="H4B4291C8C4BA4552BA92E758BCC89E5F"><enum>(2)</enum><text>by adding at the end the following:</text> <quoted-block changed="added" committee-id="HBA00" display-inline="no-display-inline" id="H7D61F11D2EEF4C3C981625EC0C6242E5" reported-display-style="italic" style="OLC"> <paragraph id="H46FDEDABA5A24F1BB60AA57B37EBA77A"><enum>(7)</enum><header>Report by universal service support mechanism recipients</header> <subparagraph id="HAC3340E4A2D24185838B9C82B778CFFE"><enum>(A)</enum><header>In general</header><text>The Commission shall issue regulations to establish a financial summary form that may be annually filed by an issuer that—</text>
 <clause id="H88AF7FB5F2364F16A6BF7DC5EB1E4953"><enum>(i)</enum><text display-inline="yes-display-inline">during its previous fiscal year, received support, directly or through an affiliate, through any Federal universal service support mechanism established under section 254 of the Communications Act of 1934; and</text>
 </clause><clause id="H330A89A5F46E496882338D258C2BCF40"><enum>(ii)</enum><text>has a class of equity security held of record by 500 or more persons who are not accredited investors, but less than 1,250 persons who are not accredited investors.</text>
 </clause></subparagraph><subparagraph id="HBD14A0DCC9A74AC9996AEB96AE377E1E"><enum>(B)</enum><header>Contents</header><text>The form described under subparagraph (A) shall include a summary of the consolidated balance sheet and the consolidated income statement of the issuer, and such other information as the Commission determines is necessary and appropriate in the public interest and for the protection of investors.</text>
 </subparagraph><subparagraph id="H921DD73A3F9046B98B9CA83F121537FF"><enum>(C)</enum><header>Public availability of forms</header><text display-inline="yes-display-inline">The Commission shall make financial summary forms filed under this paragraph available to the public, including on the website of the Commission.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</paragraph></section><section id="HFCBA9FCCC9FE4D74A68312D46AC0135D"><enum>3.</enum><header>SEC Study</header>
 <subsection id="H71C5B01204CA49C3869F0D010AD51CBC"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">After the end of the 3-year period beginning on the date of enactment of this Act, the Securities and Exchange Commission shall carry out a study on—</text>
 <paragraph id="H806E317B0AFA4CF0AB48A032A560D781"><enum>(1)</enum><text>the effect of the amendments under section 2; and</text> </paragraph><paragraph id="HCF38350ECC0B4BB1A6039596E5DA43E2"><enum>(2)</enum><text>to what extent those changes have improved capital formation by the issuers described under section 12(g)(1)(C) of the Securities Exchange Act of 1934.</text>
 </paragraph></subsection><subsection id="H62EAE64E9AB04CCA863427CA721B1CED"><enum>(b)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than the end of the 180-day period beginning after the end of the 3-year period described under subsection (a), the Commission shall issue a report to the Congress containing—</text>
 <paragraph id="HA251E3C387934CCBB81819812BD56F8D"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a); and</text> </paragraph><paragraph id="H44D049B97290465D97ACE8F174FBAD2B"><enum>(2)</enum><text display-inline="yes-display-inline">a recommendation as to whether issuers in other sectors of the economy could also benefit from the sort of changes made by the amendments under section 2.</text>
				</paragraph></subsection></section></legis-body>
